The Harris Williams & Co. Consumer team had a

busy finish to 2014 and start of 2015 that saw us close

six sell-side and two buy-side engagements in the

past four months. More recently, we closed on the

sale of Fishing Holdings, a world-class manufacturer

of fishing boats under three legendary enthusiast

brands – Ranger, Triton, and Stratos, to Bass Pro

Group as well as the sale of Enjoy Life Foods, a

rapidly growing brand in the “better-for-you” health

category, to Mondelez International. Both of these

transactions closed during the week of February 9th,

2015.

HW&CO.’S RECENT INDUSTRY OBSERVATIONS

Our current volume of clients and new opportunities is continuing to increase as well with all

signs pointing to another year of strong activity in the Consumer M&A market. Additionally,

many of the same dynamics that we noticed driving premium valuations in 2014, including

strong corporate balance sheets, significant amounts of uninvested private equity capital,

and frothy financing markets will continue to favor sellers.

January is always a busy month on the trade show circuit, and this year was no different with

visits to the Archery Trade Association (ATA) Show, Fancy Food Show, ICR XChange, Outdoor

Retailer, and the Shooting Hunting and Outdoor Trade (SHOT) Show. Walking the trade show

floors and speaking with a diverse group of consumer investors, strategic consolidators, and

business operators, we have seen a number of important industry trends playing out that will

influence overall sector growth and near term M&A activity in the consumer sector.

Key Take-Aways:

Strong Strategic Buyer Interest for Authentic Brands – Both during the recent Fishing Holdings

process and during our discussions with the strategic consolidators at the trade shows in

January, it’s very clear that there is currently strong strategic buyer interest for authentic

outdoor & lifestyle assets. In the case of Fishing Holdings, the iconic Ranger brand has led the

fiberglass fishing boat category for over 40 years and is the brand of choice for the most

passionate and avid anglers. Bass Pro Group is excited to add this brand to its world-class

sales and marketing infrastructure.

Increased Consumer Use of Technology – Whether it is a Fitbit device for consumers who want

to measure their daily movements or $30,000 worth of fish locating electronics on a Ranger

boat, there is no doubt that the technology is playing a huge role in driving growth across

numerous segments of the outdoor and lifestyle sector. We fully expect for this trend to

continue going forward, especially as it relates to consumers monitoring their own personal

health and helping hunting and fishing enthusiasts be more successful in the field.

Willingness of Financial Buyers to Build Platforms – There are a number of attractive

investment attributes for private equity buyers who view the outdoor and lifestyle category as

an attractive industry to invest capital. However, some financial buyers have recently been

disappointed with the number of pure outdoor and lifestyle platforms in the market (or the

prices being demanded) and have chosen to build their own industry platforms by entering

the category through a number of smaller acquisitions. While this is not a strategy for

everyone, we expect that this trend will continue in the near term.
