6.1 The IAOMS recognizes both Regional and National Associations and Societies of oral and maxillofacial Surgeons by a process of affiliation. Whereas National Associations and Societies represent a single country, Regional Associations represent geographically related groups of countries, based on continental definition. ................... 10

6.2 Application for affiliation by a Regional or National Association or Society of oral and maxillofacial Surgery shall be made in writing to the Executive Director and will require approval by the Executive Committee and by Council. ........................................ 10

6.3 Any Association representing a geographically related group of countries based on continental definition may apply under Article 6.2 for affiliation as a Regional Association providing that the majority of countries within the proposed regional group are represented by national associations or societies affiliated to IAOMS. Such an Association should be able to demonstrate that it represents a significant majority of those countries within its geographical area in which oral and maxillofacial surgery is practiced as a specialty and that its member nations are not otherwise represented as a distinctive grouping within the IAOMS. The regulations that govern any proposed regional group must be compatible with the Mission of the IAOMS and its Training Guidelines. 10

6.4 A Regional Association recognized and approved by the Executive Committee may nominate an individual to serve as a representative of that Regional Association on the Executive Committee and shall serve no more than three consecutive two-year terms, but are eligible for additional terms as officers. 6.5 Regional and National Associations and Societies of oral and maxillofacial surgeons affiliated to the IAOMS shall not be required to pay affiliation fees, but shall be required to support the decisions made by the Executive Committee with respect to dues payable by individual Fellows of the IAOMS. ............................................................................... 11

6.6 Regional and National Associations and Societies of oral and maxillofacial surgeons affiliated to the IAOMS shall normally allow Fellows of the IAOMS, who are residents outside that region in good standing, to register for that Regional or National Association’s principal scientific meeting or meetings at the rate applicable to their own members. 11

6.7 National Associations and Societies of oral and maxillofacial surgeons which have a category of full membership made up of those persons who have completed an appropriate period of training in accordance with the national requirements for the practice of the specialty of Oral and Maxillofacial Surgery as defined and regulated in that country, may apply for affiliation. Members of affiliated National Associations or Societies who have completed the said national training requirements automatically qualify for Fellowship of IAOMS. Other categories of membership of Affiliated National Associations automatically qualify for Associate Membership of IAOMS. ...... 11

6.8 Normally, for any one country, a single named National Association or Society of Oral and Maxillofacial Surgeons will be affiliated to the IAOMS. The named National Association or Society so affiliated should represent the majority of oral and maxillofacial surgeons within the country concerned. Exceptionally where changes in international frontiers affect previously autonomous regions with National Associations or Societies affiliated to IAOMS, the Executive Committee will have the power to approve continuing affiliation where such a decision is compatible with the Mission of the Association. .................................................................................................................. 11

6.9 Each National Association or Society of Oral and Maxillofacial Surgeons affiliated to the IAOMS shall, subject to the provisions of Articles 6.8 and 6.10, have the right to nominate one representative Fellow to serve on the Council, the name of that representative being sent to the Executive Director who shall enter it into the records, changing only at the request of the National Association or Society concerned. Councilors from affiliated national associations shall serve no more than three consecutive two-year terms. .............................................................................................. 11

6.10 No country shall be entitled to nominate more than one representative Fellow to serve on the Council with the exception that should there be more than 500 of the total Fellowship from any one country, that country shall be entitled to a second representative on the Council. ................................................................................................................... 12

6.11 The Executive Committee of the IAOMS may rescind their decision concerning the affiliation of any Regional or National Association or Society of Oral and Maxillofacial Surgeons if, in their opinion, the Regional or National Association or Society no longer meets the requirements for affiliation. Appeals against such decisions may be made in writing to the Council of the IAOMS by the President of any Regional or National Association or Society which has been disaffiliated. 8.3 Provisional audit of accounts on income and expenses from an I.C.O.M.S. must be submitted to the Executive Director within 90 days of the conclusion of the ICOMS. . . 13

8.4 The financial year of the IAOMS shall be from the 1st of January to the 31st of December inclusive. A statement of the accounts of the Association and a budget for the forthcoming year shall be prepared by the Treasurer and Executive Director and approved by the Executive Committee normally by September 30th for implementation by January 1st. 14

16.1 Amendments to the Bylaws, must be consistent with Article 2, and to the Executive Committee 120 days prior to the Council meeting for their approval. .............................. 22

16.2 The Board of Directors and the Executive Committee may propose amendments to the Bylaws at anytime. Any proposals not submitted in time to comply with Article 16.1 will require a 2/3 vote of the Council in order to be considered at that Council meeting. 17.2 Any motion proposing dissolution must be supported by either one-quarter of the affiliated National Associations and Societies of Oral and Maxillofacial Surgeons or all members of the Executive Committee. .............................................................................. 22

17.3 Any motion proposing dissolution must be lodged with or made by the Executive Committee at least one year before an International Conference on Oral and Maxillofacial Surgery. Such a motion must be sent to all Fellows of the IAOMS individually, each of whom must be given the opportunity to vote by proxy if unable to attend the General Assembly in person. ........................................................................................................... 22

17.4 For dissolution to take place, an absolute majority of all Fellows of the Association must be shown to be in favor of such action. .................................................................... 22

17.5 If upon dissolution and after all the Association’s debts are settled and all its liabilities met there remains any property or funds, these shall neither be paid to or distributed amongst the Fellows of IAOMS. They shall be transferred either to some institution, institutions or funds having similar mission objectives to those of the Association or to some other charitable purpose as recommended by the Executive Committee. 22

BYLAWSof the

INTERNATIONAL ASSOCIATION OF ORAL AND MAXILLOFACIAL SURGEONS

Article 1 Name of Association

The name of the Association shall be the INTERNATIONAL ASSOCIATION OF ORAL AND MAXILLOFACIAL SURGEONS, hereinafter referred to as the IAOMS or the Association.

Article 2 Mission StatementThe Mission of the International Association of Oral and Maxillofacial Surgeons is to improve the quality and safety of healthcare worldwide through the advancement of patient care, education and research in oral and maxillofacial surgery.

Article 3 Implementation of the Mission of the AssociationThe Mission of the Association shall be improved principally by:

3.1 the encouragement of higher standards in oral and maxillofacial surgery throughout the world,

3.2 assisting and encouraging the formation of Regional and National Associations and Societies of Oral and Maxillofacial Surgeons,

3.2.1 Actions of the IAOMS should be complimentary to and supportive of the mission of regional and national associations and societies without interfering with their international workings.

3.3 the promotion of research in oral and maxillofacial surgery,

3.4 the dissemination of scientific information among members and any other interested persons or bodies having the same interests,

3.5 the recommendation of desirable standards of training for oral and maxillofacial surgeons as outlined in the Training Guidelines for oral and maxillofacial surgeons and the establishment of a post-graduate advisory service,

3.6 the promotion of international education through the exchange of educators and approved fellowships,

3.7 the organization of an International Conference on Oral and Maxillofacial Surgery to be held at least once every two years,

3.8 any other means which furthers the Mission of the Association.

Article 4 MembershipMembership of the Association shall consist of Fellows, Honorary Fellows, Distinguished Fellows, Associate Members, and Trainee Members.

4.1 Fellows

4.1.1 Fellowship in the Association shall be open to any oral or maxillofacial surgeon who is a full member of a National Association or Society of Oral and Maxillofacial Surgeons affiliated to the IAOMS (see Article 6.1) An oral and maxillofacial surgeon is

a person who is entitled by training and qualification to practice oral and maxillofacial surgery as defined by the regulations pertaining in the particular country in which the said person has been accepted for membership of the National Association or Society affiliated to IAOMS

4.1.2 An oral or maxillofacial surgeon who is licensed to practice as such in a country that does not have an affiliated National Association or Society of Oral and Maxillofacial Surgeons may apply in writing for Fellowship. Any case where difficulty is experienced shall be considered by the Council of the International Association, whose decision shall be final.

4.2 Honorary and Distinguished Fellows

4.2.1 The names of present and past Honorary Fellows of the Association shall be entered into the records of the IAOMS

4.2.2 Honorary Fellows of the Association shall not exercise any rights or privileges by virtue of their election to Honorary Fellowship.

4.2.3 The names of present and past Distinguished Fellows of the Association shall be entered into the Records of the IAOMS.

4.3 Associate Members

4.3.1 Those persons who possess either a dental, medical or scientific qualification, and who are interested in oral and maxillofacial surgery. Those who do not qualify for Fellowship in IAOMS may be admitted to Associate Membership in the Association (see Article 6.7).

4.3.2 Those persons desiring to become Associate Members of the IAOMS shall apply in writing to the Executive Director who will be empowered to make such inquiries as may be deemed advisable.

4.3.3 Associate Members are entitled to all of the privileges of Fellowship, except that they may not vote or hold office.

4.4 Trainee Members

4.4.1 Medical or dental graduates who are in training in oral and maxillofacial surgery programs are eligible for this category.

4.4.2 Applicants for trainee membership must submit to the Executive Director written evidence that they have been enrolled in a training program in oral and maxillofacial surgery, which is approved within the country concerned.

4.4.3 Trainee Members are entitled to all of the privileges of Fellowship, except that they may not vote or hold office.

Article 5 Terms of Membership

5.1 Fellows (other than Honorary, Distinguished and Life Fellows), Associate Members and Trainee Members of the Association shall pay annual dues on January 1 each year. The level of fee paid by each category of membership will be subject to periodic review by the Executive Committee and any changes recommended, approved by the Council of IAOMS.

5.1.1 Fellows from affiliated national associations, in the “Regular Membership” category, are eligible for vertical membership if the total membership agrees to become IAOMS Fellows. Under such circumstances, Fellows of affiliated national associations will pay 75% of the normal dues amount for each of its members. National associations in the “Reduced Membership” category are not eligible for a dues reduction.

5.1.2 So as to encourage trainee membership in the IAOMS, if 100% of the trainees in a program become trainee members, each will receive a 10% reduction of prevailing membership dues for those in developing countries, and 20% for those in developed countries.

5.1.3 Once accepted for membership and dues have been paid, a Fellow may not be reimbursed for dues paid for that calendar year.

6.2.1 When a group of geographically related countries organizes as a single organization, they may petition the Council through the Executive Committee for “Affiliated National Association” status. If approved, they will be represented by one councilor.

6.2.1.1 When a single country within this group of nations desires individual national association affiliation, it shall formally withdraw from membership in the group of nations and apply in accordance with 6.2.

6.3 Any Association representing a geographically related group of countries based on continental definition may apply under Article 6.2 for affiliation as a Regional Association providing that the majority of countries within the proposed regional group are represented by national associations or societies affiliated to IAOMS. Such an Association should be able to demonstrate that it represents a significant majority of those countries within its geographical area in which oral and maxillofacial surgery is practiced as a specialty and that its member nations are not otherwise represented as a distinctive grouping within the IAOMS. Article 7 Awards

7.1 The Executive Committee of the IAOMS may recommend to the Council Fellows for election to Distinguished Fellowship in the Association.

7.1.1 Fellows recommended for election to Distinguished Fellowship in the Association shall be oral and maxillofacial surgeons who have rendered distinguished service to the specialty internationally.

7.1.2 The Executive Committee must be unanimous in their decision before submitting the name of a person to the Council for election to Distinguished Fellowship. Candidates will be elected to Distinguished Fellowship by a simple majority vote of the Council.

7.2 The Executive Committee may select a Fellow for the Association’s Distinguished Service Award.

7.2.1 The nominee will have provided service above and beyond that ordinarily expected of a Fellow in a focused area of IAOMS endeavors and/or initiatives.

7.2.2 The Executive Committee shall be unanimous in their decision. This award does not require Council approval.

7.3 The Executive Committee may select a Fellow for the Association’s Outstanding Committee Member Award.

7.3.1 The nominee will have provided exceptional support above and beyond that ordinarily expected of a Fellow in a focused area of IAOMS endeavors and/or initiatives.

7.3.2 The Executive Committee shall be unanimous in their decision. This award does not require Council approval.

7.4 The President may present a Presidential Citation Award to a Fellow of the Association who has made exceptional contributions to the IAOMS and/or the specialty.

7.4.1 A fellow worthy of the Presidential Citation Award shall be nominated by the President and approved by the Board of Directors.

7.4.2 The Presidential Citation Award does not require Executive Committee or Council approval.

7.5 The Executive Committee of the IAOMS may recommend to Council names for election to Honorary Fellowship in the Association.

7.5.1 Persons recommended for election to Honorary Fellowship in the Association shall be other than oral and maxillofacial surgeons who have rendered outstanding service to oral or maxillofacial surgery.

7.5.2 The Executive Committee must be unanimous in their decision before submitting the name of a person to the Council for election to Honorary Fellowship. Candidates will be elected to Honorary Fellowship by a simple majority vote of the Council.

Article 8 Finances

8.1 The IAOMS shall be supported by dues from Fellows, Life Fellows and Associate and Trainee Members, any profits from International Conferences on Oral and Maxillofacial Surgery, IJOMS, grants, gifts, donations and bequests.

8.2 The financing of International Conferences on Oral and Maxillofacial Surgery shall be the responsibility of the host country. A loan from IAOMS funds, not to exceed $25,000 USD, shall be made to the host country to initiate the organization of the International Conference. The loan shall be repaid in full one month before the conference.

8.3 Provisional audit of accounts on income and expenses from an I.C.O.M.S. must be submitted to the Executive Director within 90 days of the conclusion of the ICOMS.

Reimbursement for IAOMS Administrative Expenses The IAOMS experiences administrative expenses associated with the planning of each International Conference. In order to offset these expenses, the IAOMS will be reimbursed for these expenses from collected ICOMS revenue from all sources according to the following schedule.

1. 10% of collected revenue 6 months prior to the ICOMS2. 10% at 3 months prior to the ICOMS from revenue collected since #1.3. 10% 1 month prior to the ICOMS on revenue collected since #2.

The excess revenue/expenses at the time of the final audit of ICOMS accounts will be divided on a 2/3 to the IAOMS and 1/3 to the sponsoring national association basis. This policy becomes effective following the 2009 ICOMS.

8.4 The financial year of the IAOMS shall be from the 1st of January to the 31st

of December inclusive. A statement of the accounts of the Association and a budget for the forthcoming year shall be prepared by the Treasurer and Executive Director and approved by the Executive Committee normally by September 30th for implementation by January 1st.

8.7 The Executive Director shall be authorized to allocate funds at his discretion, but will be required to present to the Executive Committee a financial statement showing the allocation of such funds. Officers shall be entitled to reasonable expenses under the provisions of Articles 9.3.7, 10.1.5 and 13.1.5.

8.8 At the discretion of the Board of Directors, a member of the Executive Committee other than an officer may be requested to represent the IAOMS at a national or regional meeting. If that Executive Committee member was not otherwise attending the meeting, his/her expenses will be reimbursed consistent with the IAOMS Travel Policy. The association does not fund non-Executive Committee members to attend such meetings, unless approved by the President.

Article 9 Constitution

The constitution of the IAOMS shall comprise the General Assembly, the Council, the Executive Committee and those Committees identified in Article 10.

9.1 General Assembly

9.1.1 The General Assembly shall consist of all those present at the International Conference on Oral and Maxillofacial Surgery who are members of the IAOMS in good standing.

9.1.2 IAOMS members who are unable to attend the General Assembly may not participate by proxy.

9.1.3 The General Assembly shall meet at least once during the International Conference on Oral and Maxillofacial Surgery.

9.1.4 The General Assembly shall be required to:

9.1.4.1 receive reports from the Council on the work of the IAOMS in the intervening period between Conferences.

9.1.4.2 receive the Financial Statement

9.1.4.3 receive decisions of Council regarding the election of the President, President-Elect, the members of the Executive Committee, and any other Officers for the ensuing two years.

9.1.4.4 receive the decisions of the Council regarding Honorary and Distinguished Fellowship in the Association.

9.1.4.5 receive the decision of the Council concerning the venues for future International Conferences on Oral and Maxillofacial Surgery.

9.1.4.6 further the Mission of the Association.

9.2 Council

9.2.1 Council shall consist of:

9.2.1.1 National representatives appointed under the terms of Articles 6.9, and 6.10.

9.2.1.2 The voting members of the Executive Committee shall vote on all matters coming before Council. Non-voting members of the Executive Committee shall also serve on Council without a vote (see Article 9.3.1).

9.2.2 Council shall be required to:

9.2.2.1 receive and approve reports from the Executive Committee on the work of the IAOMS since the last meeting.

9.2.2.2 receive and be responsible for approving financial statements.

9.2.2.3 receive nominations submitted by Councilors, for offices in the Association and for members to serve on the Executive Committee. The following regulations shall apply:

(i) All nominations shall be made by affiliated National Associations or Societies through their Councillor’s. Duly approved nominations must be fellows in good standing, and shall be forwarded to the Executive Director at least six months prior to the meeting of Council. No more than three Fellows from any Affiliated National Association or Society may be nominated.

(ii) Any Fellow from a country without an Affiliated National Association or Society may be individually nominated for office by a Councillor, providing the said nomination is supported in writing by the nominating Councillor’s own National Association or Society.

(iii) Duly qualified candidates for election to the position of President Elect may also stand for election to one other position on the Executive Committee for which they may be eligible.

(iv) Nominations will not be accepted without an accompanying signature by the nominee agreeing to be nominated for the position.

(v) To be eligible for nomination to the office of President-Elect, the nominee must be a Fellow, a current member of Council or have been a member of the Executive Committee within the past two years.

9.2.2.4 approve any recommendation of the Executive Committee with regard to elections to Honorary and Distinguished Fellowship in the Association.

9.2.2.5 approve changes in the IAOMS Bylaws and any Regulations governing the work of the Executive Committee.

9.2.2.6 decide the venues for future International Conferences on Oral and Maxillofacial Surgery after consideration of the two venues recommended by the Executive Committee.

9.2.2.7 report its decisions under Articles 9.2.2.3,9.2.2.4,9.2.2.5, and 9.2.2.4 to the General Assembly.

9.2.3 Council shall meet at least once during each International Conference on Oral and Maxillofacial Surgery, prior to the meeting of the General Assembly.

9.2.3.1 only councilors present at this Council meeting will be eligible to vote on matters of policy and elected positions.

9.2.4 The business of the Council shall be conducted by correspondence during the intervening periods between meetings.

9.2.5 Council shall delegate responsibility for conducting the business of the IAOMS to the Executive Committee, the President, the President-Elect and the Executive Director, requiring only that reports be submitted to Members of Council at agreed regular intervals.

9.2.6 The Executive Committee may at any time, and the Executive Director shall upon the request of one-quarter of the Affiliated National Associations or Societies of Oral and Maxillofacial Surgeons, convene a meeting of the Council between International Conferences on Oral and Maxillofacial Surgery. Any such request shall specify the business for which the meeting is to be convened.

9.3 Executive Committee

9.3.1 The voting members of the Executive Committee shall consist of the President; President-Elect; the immediate Past President; three elected members, and appointed members from affiliated Regional Associations (see Article 6.4).

9.3.2 The Executive Director, the Assistant Executive Director, the Chairman of the Foundation, the Chairman of the Education Committee, the Chairman of the Research Committee, the Editor-in-chief of the Journal, and one member appointed by the Executive Committee who shall be a representative of the country in which the next International Conference on Oral and Maxillofacial Surgery is to be held, shall serve as non-voting members.

9.3.3 The Executive Committee shall have the power to co-opt an additional non-voting member when this would benefit the Association.

9.3.4 The Executive Committee shall have the power to invite attendance by Fellows and others during discussion of particular items of business.

9.3.5 The Executive Committee shall serve on the Council.

9.3.6 The Executive Committee shall have the power of discretion, submitting reports to Council at regular intervals, and shall be required to:

9.3.6.1 maintain and manage the funds of the IAOMS in accordance with 7

9.3.6.2 appoint an Executive Director and determine the time the person should serve.

9.3.6.3 appoint a Treasurer and determine the time the person should serve.

9.3.6.4 appoint an Editor of the Association’s Journal and determine the time for which the person should serve.

9.3.6.5 approve or reject any application for affiliation by a Regional or National Association or Society of oral and maxillofacial surgeons.

9.3.6.6 recommend names to Council for election to Honorary and Distinguished Fellowship in the Association.

9.3.6.7 select a Fellow for the Distinguished Service Award and Outstanding Committee Member Award when appropriate.

9.3.6.8 approve changes in the Regulations governing the work of the President, the President-Elect, and other Officers.

9.3.6.9 approve Committee members recommended by the President.

9.3.6.10nominate and submit two venues for each future International Conference on Oral and Maxillofacial Surgery to Council.

9.3.6.11advise the Host Country on all aspects of organization of the International Conference on Oral and Maxillofacial Surgery.

9.3.6.12further the Mission of the Association.

9.3.7 The Executive Committee should meet once a year, and more often if circumstances so require. The reasonable expenses of such meetings, consistent with the Association’s Travel Policy, shall normally be defrayed by the IAOMS.

9.3.8 In the intervening period between meetings, the business of the Executive Committee shall be conducted by correspondence.

9.3.9 At large members of the Executive Committee shall be eligible to serve no more than three consecutive two-year terms, but are eligible for additional terms as officers.

9.3.10 New Executive Committee members will assume office on January 1 following the election.

9.3.11 Vacancies; In the event of a vacancy in the office of:

9.3.11.1President: The President Elect shall serve as President until the next meeting of the Council following which his or her regular two-year term as President shall commence. If it is not possible for the President Elect to take up the office of President when it becomes unexpectedly vacant, the Executive Committee shall elect a President from members-at-large to serve the unexpired term.

9.3.11.2President Elect: The vacancy shall be filled by one of the members-at-large by vote of the Executive Committee.

9.3.11.3Regional Representatives: The Regional Association concerned will appoint another representative approved by the Executive Committee to fill the unexpired term.

9.3.11.4At Large members: The position shall be left vacant until the next regular meeting of Council.

9.3.12 It is the duty of the Executive Committee to establish policies for the organization and running of the International Association of Oral and Maxillofacial Surgeons and its Conferences.

Article 10 Offices of President, President-Elect and Treasurer

10.1 President

10.1.1 The President shall serve normally for two years and shall not be eligible for re-election to that office.

10.1.2 The term of the President shall begin on January 1 of the year following the ICOMS and continue for two calendar years, ending on the last day of December.

10.1.3 The President will preside over the International Conference on Oral and Maxillofacial Surgery, meetings of the Executive Committee, meetings of the Board of Directors, meetings of the Council, and meetings of the General Assembly that take place during the two year period of office.

10.1.4 The retiring President of the International Association shall continue to serve on the Executive Committee for the ensuing two-year period as Past President and normally Chairman of the Foundation.

10.1.5 Funds shall be made available to defray the reasonable expenses of the President or his delegate in connection with activities undertaken on behalf of IAOMS.

10.1.6 The President shall appoint standing Committees and Committee Chairmen as required, subject to concurrence by the Executive Committee.

10.1.7 The President shall appoint the Chairperson of the Education Committee. The remainder of the members shall be appointed by each Region, with concurrence of the President and Chairperson. Only one person from each Region shall be appointed and, ideally, this individual will be the Chair of that Region’s Education Committee.

10.1.8 The President and President Elect are responsible for the annual evaluation of the Executive Director.

10.1.9 The office of the President shall be honorary.

10.2 President-Elect

10.2.1 A President-Elect shall be elected by a simple majority of the Council and shall serve for a two year period starting January 1 of the year following the ICOMS.

10.2.2 The President-Elect shall automatically succeed to the office of President.

10.2.3 The President-Elect shall serve for the President either at his request or in his absence.

10.2.4 The President-Elect shall be responsible, along with the President, for the annual performance evaluation of the Executive Director.

10.2.5 The office of President-Elect shall be honorary.

10.3 Treasurer

10.3.1 A Treasurer will be appointed by the President with concurrence of the Executive Committee. The Treasurer will serve for a two-year term with a maximum of three two-year terms and be eligible for reappointment.

10.3.2 The Treasurer shall have a vote as an Executive Committee member.

10.3.3 The Treasurer will advise the Executive Committee on the maintenance and management of the funds of the IAOMS in accordance with 7.

10.3.4 The Treasurer, with the approval of the Executive Committee, shall appoint duly qualified independent financial advisors as may be deemed necessary for the management of the IAOMS funds (see Article 8.6 )

10.3.5 The office of Treasurer shall be honorary.

Article 11 Immediate Past-President

The Immediate Past-President shall normally serve as Chairman of the IAOMS Foundation Board. If unable to serve, a new Chairman will be appointed by the Board of Directors of IAOMS.

Article 12 Board of Directors

The President may establish, with concurrence of the voting members of the Executive Committee, a Board of Directors to assist him/her in performing the business of the Association between meetings of the Executive Committee. The Board shall normally consist of the President, President-elect, Immediate Past-President and Treasurer. The Executive Director, Assistant Executive Director, Executive Secretary and other members of the staff whom the President shall appoint shall serve as ex-officio members. The Board forwards all policy decisions to the Executive Committee for their approval before submitting them to Council.

Article 13 Executive Director

13.1.1 The Executive Director will be hired by the Board of Directors with approval of the Executive Committee.

13.1.2 The Executive Director will serve as a non-voting member of the Executive Committee.

13.1.3 The Executive Director will be responsible for the administrative functions of the IAOMS, the Executive Committee, the Council, and the General Assembly.

13.1.4 The Executive Director shall be responsible for the collection of all IAOMS funds and will allocate them at the discretion of the President and the Executive Committee. The Executive Director and Treasurer will together be responsible for the preparation of the annual budget.

13.1.5 The Executive Director will be responsible for the Secretariat. Any expenses incurred by the Executive Director or any member of the Secretariat on his/her authority in connection with the business of IAOMS shall be defrayed from IAOMS funds.

13.1.6 The Executive Director will report to the Board of Directors, the Executive Committee and Council at regular intervals.

Article 14 Secretariat

The Headquarters of the IAOMS and the Secretariat shall be in a location designated by the Executive Committee.

Article 15 Official Language

The official language of the IAOMS shall be English, and all correspondence, meetings and International Conferences on Oral and Maxillofacial Surgery shall be conducted in that language.

Article 16 Amendments to the Bylaws

16.1 Amendments to the Bylaws, must be consistent with Article 2, and to the Executive Committee 120 days prior to the Council meeting for their approval.

16.1.1 To Council 90 days prior to the Council meeting.

16.2 The Board of Directors and the Executive Committee may propose amendments to the Bylaws at anytime. Any proposals not submitted in time to comply with Article 16.1 will require a 2/3 vote of the Council in order to be considered at that Council meeting. Those proposals not receiving a 2/3 vote shall be automatically considered at the next Council meeting. Once presented, a majority vote by the Council will be required for passage.

61.3. Any Bylaw amendments affecting the dues structure of the IAOMS will require 2 readings unless unanimous approval is given by Council.

Article 17 Dissolution of the Association

17.1 The decision to dissolve the IAOMS can only be passed at an ordinary meeting of the General Assembly.

17.2 Any motion proposing dissolution must be supported by either one-quarter of the affiliated National Associations and Societies of Oral and Maxillofacial Surgeons or all members of the Executive Committee.

17.3 Any motion proposing dissolution must be lodged with or made by the Executive Committee at least one year before an International Conference on Oral and Maxillofacial Surgery. Such a motion must be sent to all Fellows of the IAOMS individually, each of whom must be given the opportunity to vote by proxy if unable to attend the General Assembly in person.

17.4 For dissolution to take place, an absolute majority of all Fellows of the Association must be shown to be in favor of such action.

17.5 If upon dissolution and after all the Association’s debts are settled and all its liabilities met there remains any property or funds, these shall neither be paid to or distributed amongst the Fellows of IAOMS. They shall be transferred either to some institution, institutions or funds having similar mission objectives to those of the Association or to some other charitable purpose as recommended by the Executive Committee.
