I like this photo although technically could be improved. Long daylight exposure with neutral density filters is a photographic technique that requires a lot of practice and depends greatly on the light conditions and the skill of the photographer. Here we can see leakages of light, glare, noise and dirt: a whole list of problems that would make this photograph an example of how LED (long daylight exposure) should NOT be done. However I like it and that is why photography is considered an art and not a science. It does not have to be perfect and it does not have to have a reason. Enjoy it and that's enough.

Grupo Antolin offers the complete interior of the car

On August 31 2015 Grupo Antolin completed the acquisition of the Canadian Company MAGNA INTERIORS that will be integrated as a new business unit with its headquarters near Munich

IN COVER

After the agreement, Magna’s interiors business becomes part of the structure of Grupo Antolin as a new business unit named Cockpits & Interior Trim, which will join the existing ones: Overhead Systems, Doors, Seating and Lighting.

The new division will be headquartered in Allershausen near the city of Munich, which will become one of the main centers for the company from which all the industrial activity of the new business unit will be coordinated.

A stronger and more diversified company

The combination of Magna Interiors and Grupo Antolin creates a more diversified company with a stronger resiliency to

possible market changes. The company will include new products in its portfolio, reinforcing and expanding its presence in the main automotive markets and im-proving its commercial offer.

Grupo Antolin now has the technological and production capacity to offer the en-tire interior of the car, since this transac-tion adds instrument panels and various soft trim products to the portfolio. In ad-dition, it will have advanced technology for the manufacture of doors that com-plements the existing range.

The company will also improve its pres-ence in key markets for the car industry such as the United States, United King-dom, Germany and China, since it will notably increase its industrial capacity in all of these. In fact, with the closing of the

transaction, Grupo Antolin will start to manufacture door panels in the United States, meeting one of the main strategic objectives set by the company.

Sales of more than €4 billion

The combined business would have global sales of more than €4 billion in 2014, according to the pro-forma fig-ures for 2014, and a workforce of around 28,000 employees, leading to the group doubling in size. In addition, it will now have 161 factories compared to the 125 it had before the acquisition.

One of the most important aspects of this transaction is how well it has been received by the stakeholders. Most of the customers have welcomed the cre-ation of another large global company in the market for car interiors.

In addition, the financial markets have responded in a very satisfactory way. Grupo Antolin has financed the oper-ation through issuing €400 million of senior secured notes with a seven year maturity plus a €200 million syndicated loan at five years. ▪

With this operation, the company becomes one of the larg-est players in the car interiors market and strengthens its robust global growth platform especially in the United Kingdom, USA, Mexico, China and Eastern Europe.

BUSINESS UNITS REGIONS CORPORATE DEPARTMENTS

What do these functions have in common in order to be part of the same Department?

It is clear that these areas are very different to each other, some are a support to the business and others are an intrinsic part of it. However, what they have in common is that they have a cross-cutting impact on the Business Units and Regions. They all need

a uniform management and must be con-sistent with the company's strategy. At the moment, where one of the group's greatest challenges is the integration of the new busi-ness unit, with different cultures and ways of understanding the business, it is important to have a common approach to these func-tions, consolidating the resources that both companies provide in the most logical way in order to operate through a single unit.

What will be the first decisions and priorities?

The 2016 budgetary process which has al-ready begun. It is very important so that we have greater understanding than was gained during the Due Diligence and can begin the process of setting objectives and integration. The priorities for next year will be the complete separation of Magna, mainly relating to the IT sys-tems where we continue to depend on certain applications, and also the oper-ations in the Czech Republic, and above all the integration of the new BU, which is proceeding in three stages: a) specific understanding of the new BU and its re-sources b) discussion and planning c) ex-ecution of the integration of each func-

tion that will be linked to the strategic integration plan for the entire group. The culture and organization of the acquired unit is different to that of GA, so we must make an effort to integrate it, with its specific features, into GA.

How are you going to manage such a large and diverse team?

These units have very senior and estab-lished directors who are already man-aging the departments in a professional and organized way. With their help and by working together we will provide ho-mogeneity across the Corporate Indus-trial Department and we will contribute greatly to the successful implementation of the Group's strategic plan. ▪

Grupo Antolin approves a NEW STRUCTUREThe objective of this organizational change is to adapt its structure to the new reality that the Group must face and integrate Magna Interiors as a new Business Unit. As a result, it has created the Cockpits & Interior Trim Business Unit which will be run by Richard Hübner from Germany as well as a new Corporate Industrial Department with Juan Carlos González at the helm, who from Burgos, and reporting directly to the CEO, will be re-sponsible for the Departments of M&A, Information Systems, Corpo-

rate Quality, Corporate Engineering and Corporate Purchasing. Market developments have made it clear that there is a very strong relationship between these areas and the different business units, so bringing them together will enable us to deliver cross-cutting development to the en-tire company, generating efficiencies and improvement opportunities.

Interview with Juan Carlos GonzálezJuan Carlos has spent most of his career at Grupo Antolin where he has held a number of positions both at headquarters and in other regions. Since 2010 he has been Director of the M&A area where he has managed -in conjunction with other areas- the recent corporate operations. In this interview he reveals the greatest challenges he is facing in his new position.

INTERVIEW

Jesús Pascual “Cost

efficiency, innovation and having the best professionals are the key features of our strategy”

How have the first few months as CEO been?

Intense. We have had to cope with the completion of the acquisition of Mag-na Interiors, with all that this implies in terms of authorizations, internal and external communication, review-ing our new organization in light of the new reality of the Group, etc. And at the same time it has been essential for the operation not to have an impact on the day-to-day running of the company. I'm very satisfied in both senses because the operation has been carried out success-fully and Grupo Antolin is surpassing the budgetary objectives established.

What will be the priorities in this new stage?

We are facing a new phase of transfor-mation, with very significant challeng-es, but we must not forget what has allowed us to get where we are today. One of those aspects has been main-taining a daily effort to guarantee the company's competitiveness, as this is rather fundamental in our industry. As a result, cost control and efficiency are a differential element of this company.

In addition, Grupo Antolin is more in-ternational and diverse every day and therefore it is fundamental to establish procedures and practices that enable us to better listen to all of our teams world-wide so that we can all take advantage

of the best forms of management.

And finally, to contin-ue with our commit-ment to innovation as a key element in leading the industry and to our people, to all our teams, as ul-timately businesses are just people.

CEO OF GRUPO ANTOLIN

“WE HAVE TO BE THE BEST IN EACH PRODUCT SO THAT WE CAN OFFER THE

COMPLETE INTERIOR”

grupoantolinINFORMA 52015 october

ON A PERSONAL NOTEWhere were you born?

I was born in Burgos 52 years ago.

What did you study?

I studied Industrial Technical Engineering in Burgos. Then I did a Master's in Business Administration.

One lesson that the business world has taught you.

Many lessons, but perhaps one of the most important is that individually it is hard to achieve anything without the support of others. As a result, for me teamwork (I think university may encourage individual achievement more) is one of the key factors in the success of the company.

Hence the importance of collective talent management as one of the main assets of the organization (allowing each person individually to contribute as much as they can). Behind every project, every strategy and every achievement, there is always a team of professionals who have made this possible.

Any advice for young people?

I would not presume to offer them any advice. Objectively young people today are much more prepared than we were some years ago. If I had to say anything I would tell them that in the company, like in any other part of life, in order to achieve success there are no short cuts and only perseverance will help them to develop and achieve success.

What do you value most in a co-worker?

The truth is that in my professional life I have always had excellent co-workers, I truly believe that it would have been impossible to get to this point without those outstanding people and professionals. Each person provides you with something different and it is all of these contributions that make the team and it is the team that leads to success. To speak of a single quality would be restrictive. I greatly value more assertive people who offer their point of view (without being obstinate), those who are proactive and ingenious when providing solutions to problems, and people who are optimistic and see the glass as half full (not confusing optimism with idealism). I don't like it if in response to a problem there are only negatives and a focus on what is going to go wrong, pessimists make me a little nervous.

Man is naturally good (Rousseau) or man is a wolf to man (Hobbes)?

Personally I am more in favor of the "noble savage" theory of Rousseau. I think that the innate desire in people is to collaborate, help and progress. I believe that society advances precisely thanks to this type of value and not through conflict and confrontation. In short, I don't believe that anybody is good or bad by nature. I think that man is free and will take his path in life, most choosing to act for the good.

A book and a movie that you would recommend to your colleagues?

I am not going to recommend any movies. Although I like going to the cinema or watching a movie I'm not really a film buff and after 3 minutes I have forgotten all about it. With books I mostly read novels and mainly from Spanish writers (while of course not dismissing foreign authors). Among the latest novels I have read is "The Girl on the Train" which I thought was interesting, and the best historical novel I have read is "Cathedral of the Sea" by Ildefonso Falcones.

A phrase or quote that reflects your philosophy of life?

Again I am not really one for categorical phrases but one that defines me is "Carpe Diem" (seize the day), in the sense of taking advantage of each moment without wasting it and not waiting for tomorrow.

Following the acquisition of Magna Interiors, Grupo Antolin has become the third largest global supplier of car interiors. What does this new situation imply?

It's a great responsibility. Firstly with our customers as we must demonstrate to them that we are capable of facing a chal-lenge of this type without the quality of our products being affected.

Despite doubling the size of the company, we must continue to guarantee our flex-ibility and speed, which have been a fun-damental part of our success.

What are the biggest challenges faced by the company at the moment?

The first and most important is the quick integration of Magna Interiors. We have created a new business unit with its head-quarters in Munich, in which we have grouped all the activity of Magna Interiors in order for this process to not interfere in the activity of our other units.

During the months of negotiation we have detected critical areas for the inte-

gration, we have made a plan and now the execution begins. It will be a long period that will require a lot of effort and flexibility on all sides. This integration will begin with the corporate functions (pur-chasing, finances, etc.) and will gradually be extended to the other areas.

It is fundamental for our customers to only see the integration from a positive viewpoint: better solutions with increas-ingly competitive conditions.

What will be the Grupo Antolin strategy in order to continue globally leading the automobile interiors sector?

As I have said before, cost efficiency, the maximum ability to innovate and having the best professionals in each position, all of that with a new and more internation-al vision for our group. The customer will keep us in mind if we continue being com-petitive and innovative, and provide them with a global service.

In terms of the customer, how is our positioning improved by offering the complete vehicle interior?

6 grupoantolinINFORMA october 2015

Manufacturers want global suppliers who understand the business and have a long-term commitment. In this sense, this operation strengthens all of these ele-ments and provides us with a competitive advantage that is very significant, indeed almost unique in the industry globally, which opens up a world of opportunities to us through synergies and the ability to cross-sell different components.

However, the customers are not going to give us something for nothing. In con-trast, they are going to become more de-manding, so we have to be able to be the best in each of the interior components in order to offer the complete package.

The phrase: "think globally, act locally" which you used in an interview in 2009 is more relevant today than ever before. Grupo Antolin has gone from 15,000 to 28,000 employees in 26 different countries. How will this diversity be managed?

The first thing I want to say is that, effectively, a new stage has begun in which we have gone from 15,000 to 28,000 co-workers around the world.

SELF PORTRAIT Why did you decide to work in the automotive industry? It is all down to chance. One fine day I had an interview with Ramiro Santiuste at Dapsa to join as team leader of a range of locks. It was from that moment when the different people I had around me began to generate interest in this industry. As I have said before, the continuous challenges that I have had before me have been really motivating.

Your dream carI have owned 8 cars in my life, all from different brands. In other words, I don't have a single favorite car. I am more attracted nowadays to cars that make the driving easier. Automatic gears, cruise control...

Favorite color of carI don't have one, it depends on the type of car.

A character to mention from the automotive worldHenry Ford.

What automobile invention impresses you the most?A new one every day. It's difficult to decide if it's the air bag, ABS, GPS, cruise control...

What would you have liked to invent? I would have liked to be the inventor of the seat belt, it's the element that continues to save the most lives.

Your motto at the wheel... I don't have a motto. I'm not a driving enthusiast and I'm very laid back.

What was your first car? An R-18 that I inherited from my father. The first one I bought was a Ford Fiesta.

What will we be driving in 20 years? Well, I think the cars will be more self-driving, safer, more technological, and I hope with much better interior finishes.

“We spend a lot of time inside cars and I think the interior will be a determining factor in the future"

I want to welcome everyone being in-tegrated into Grupo Antolin and also thank all the co-workers for their efforts over recent years as this is largely what has allowed us to successfully complete this operation.

We have to manage diversity with an open and flexible approach, always within the corporate culture of Grupo Antolin. We have to establish internal mechanisms to encourage people to have international professional careers and we have to open the channels necessary so that the best management practices, wherever they may come from, can be shared through-out the Group.

Our customers are all over the world and for a long time now we have been focus-ing on global platforms, so it is funda-mental to offer them the answers they are looking for. Our objective must be to ensure their satisfaction and our man-agement model must be heading in that direction.

The acquisition of Magna Interiors has been another example of adapting to our customers. Do you think they have appreciated it?

The customers have welcomed the ac-quisition of Magna Interiors by Grupo Antolin. This has been conveyed to us in the various meetings that we have held. Like us, the customers see the possible synergies and the chance to obtain qual-ity products at the lowest cost. We are going to have more opportunities and it is us who must take advantage of these opportunities.

Finally, what would you say to the new employees who are now part of the company? What message would you like to convey to all the people who make up Grupo Antolin?

As our Chairman has said, that the best is yet to come. This operation is not the end, but rather the beginning of a new stage for Grupo Antolin with even more ambition, if possible, than before. One in which our teams are going to have much more opportunities and in which our customers are going to see that we are doing things differently. Today more than ever we can say that Grupo Antolin has laid the foundations for a new stage of growth with the aspiration to lead the automotive interiors industry. ▪

“Collective talent management is one of the main assets of the organization”

“Teamwork, key factor for the company's success ”

“Despite doubling our size, we must retain our flexibility and speed”

grupoantolinINFORMA 72015 october

8 grupoantolinINFORMA october 2015

I will take this opportunity to try to share some reflections about the challenges that we have faced throughout our his-tory and the values that we have main-tained that have enabled us to develop from that small workshop to become a highly prestigious industrial group in the Automobile Components sector.

Initially, following the success of the com-pany ANSA-LEMFÖRDER created by those two great entrepreneurs, the ANTOLÍN brothers began manufacturing steering and suspension ball joints which equaled and even exceeded the quality of these components previously imported from Germany. The vehicle manufacturers lo-cated in Spain at that time, BARREIROS, RENAULT and SEAT, trusted these entre-preneurs and their then small team of pro-fessionals to meet their needs in terms of the sourcing of different components and we then began to produce parts as diverse as door panels, window regulators, locks, headliners and seating structures.

In this first stage it was essential to respond satisfactorily to the challenge of producing HIGH QUALITY products. At the same time, and from that first moment, our compa-ny has had the constant mission to create its own technology that would enable us over time to strengthen our identity and take the leap from a manufacturing com-pany to a company capable of designing all the products that at any time we thought should be the focus of our future strategic development, and we basically decided to focus on vehicle interiors.

After overcoming these two challeng-es, QUALITY and the ABILITY TO CREATE TECHNOLOGY, we decided to take on a new and just as important one, INTER-NATIONALIZATION.

The decision centers of our customers were beginning to move. The responsi-bility for purchasing was leaving Madrid, Barcelona and Zaragoza and going to Wolfsburg, Paris or Detroit, which forced us to rethink the scope of our business. If we wanted to have any chance of success we had to be close to them. We decided to open technical-sales offices near the headquarters of the main manufacturers.

The opportunities that were generated as a result of this technical-sales develop-ment and the fact that most of our prod-ucts, with large volumes, required produc-tion and assembly close to our customers' plants led to us having to make a serious decision: INTERNATIONALIZE or SELL UP.

The ANTOLÍN family accepted the chal-lenge and chose the first option, despite the tempting offers being received at that time from important companies, mostly American, who wanted to establish their position in the European market. Today, almost twenty five years later, we can say with real pride that this decision taken by the ANTOLÍN family was no mistake.

Trying to summarize the key elements of our business model, I think that diversifi-cation of the product, customer, and terri-tory and finally funding sources have been

REPORT

essential for its development. We are very diversified in terms of products, while still following the strategy of concentrating our activity on the interior of the vehicle.

I would like to highlight the values that have been our foundation and that have helped us overcome the different challeng-es to which I have referred, and that in my opinion must continue being the key to our progress. First and foremost has been the constant focus on CUSTOMER SATISFAC-TION, displaying the adaptability necessary to respond to changing market trends, demonstrating a flexible and constructive attitude throughout the phases of each project, resolving any problems arising.

The second value that I want to highlight is the permanent MEDIUM AND LONG-TERM STRATEGIC FOCUS of our company. The image earned by our Group of an in-dustrial company with a strategic focus on long-term sustainability gives us a clear ad-vantage compared to competitors who are currently in the power of financial groups that base their business on the purchase, restructuring and short-term sale of com-panies. In this regard, the continued com-mitment of the shareholders of Grupo An-tolin to the company, making the greatest possible effort to invest so that we can con-tinue with this policy of long-term sustain-ability, has been essential. The market rec-ognizes this and we should all be grateful.

Another value that I should mention is EXEMPLARY LEADERSHIP. I think that those of you in the different management positions in our company have shown yourselves more than capable of leading our teams in an exemplary way, showing a willingness to always work hard and a commitment to the Group's objectives, providing a constant example of efficien-cy, austerity and humility, recognizing any mistakes so that we can make the most of the lessons learned.

To conclude I would like to say thank you to the ANTOLÍN family for the trust they have always placed in me and that I am sure will now be fully placed in my successor JESÚS PASCUAL. I am convinced that while main-taining the values I have mentioned above JESÚS will be able, with all of you and with the effort and dedication that you have al-ways shown, to make GRUPO ANTOLIN grow to levels that you cannot imagine right now, in the same way that forty years ago we could never have dreamt that today we would be one of the three largest interi-or component companies in the world.

Finally, I would like to assure you that from my new position as a member of the Board and Strategic Adviser I will remain, for as long as I am wanted, at the permanent service of the GREAT COMPANY that is GRUPO ANTOLIN which I hope to see mul-tiply in size in the future, thanks to your continuous enthusiasm and effort. ▪

After a short initial stage in which I juggled my professional activity at the company FOSBUCRAA, which exploited the enormous phosphate reserves located under what was then the Spanish Sahara, with teaching Calculus in the Superior School of Mining Engineers in Madrid, in 1977 I accepted the challenge proposed to me by AVELINO and JOSÉ ANTOLÍN to run a small industrial company, TALLERES ARA, which produced some door linings, small seating structures and had begun manufacturing window regulators with cable technology from a license agreement with the German company KÜSTER.

FERNANDO REY "An innovative man"Born in Cantillana, Seville, from a very young age he had a great interest in automotive engineering, which led him to study Industrial Engineering in Bilbao. He later completed a Master's in Automotive Engineering at the Polytechnic University of Turin and in 1973 began his professional carri-er in the Department of Studies at Renault where he spent 19 years in total, 16 in Valladolid and the final 3 in Paris. It was in Paris where he received the visit from Avelino Anto-lin, who at that time was Chairman of the company, who sought him out with a very clear objective in mind: "We are going to be international and I need R&D+i that is good enough to achieve this". With this phrase he managed to convince Fernando to leave Paris and come to Burgos to begin his career in the company as the driving force behind international R&D.

In 1993 he became Director of Global Engineering and from 2005 to November 2014 he was Director of Corporate In-novation at Grupo Antolin. Over these 20 years Fernando tirelessly travelled taking R&D around the whole world. His knowledge and experience have been key factors in the suc-cess of the company.

We would like to take this opportunity to thank Fernando for his friendliness, for teaching us to pay attention to the details and for passing on to us his passion for doing things well. His "savoir faire" has touched everyone who knew him. We hope that now you will be able to enjoy your other great interests: your family, Huelva and the sea. ▪

The 2015 Frankfurt Motor Show has show-cased interesting new developments such as the new 2016 Kia Cee'd and the other ver-sions of the Alfa Romeo Giulia. Renault Me-gane, Opel Astra and Volkswagen Tiguan have been the three new features with the greatest sales volume at the exhibition.

As one would expect, the German brands shone at this Motor Show:

AUDI: prototype of the e-tron quattro con-cept and new generation of the A4.

BMW: new X1, hybrid versions of the Series 2 Active Tourer and the Series 3.

MERCEDES-BENZ: convertible version of the S Class, the coupé version of the C Class, and the IAA concept, with intelligent aero-dynamics.

PORSCHE new engines for its iconic 911.

VOLKSWAGEN: new Tiguan, special ver-sions of the Golf. As a great surprise we should mention the revival of the Borgward brand with an SUV.

Among the French manufacturers, CITROËN showed off its Citroën Cactus M Con-cept, a type of Mehari for the 21st century. RENAULT presented the new Megane IV and the concept of the pick-up to be man-ufactured in Cordoba. PEUGEOT present-ed its futuristic Fractal prototype.

Moreover, the English manufacturers, such as BENTLEY and JAGUAR, unveiled their first SUV's. ▪
