Agenda Item: Presentation, Discussion and Possible Approval of the Selection of Independent Financial Auditors. Background: The Texas State Affordable Housing Corporation’s (Corporation) enabling legislation and the General Appropriations Act require that the Corporation obtain an annual audit of its financial statements. Due to the receipt of federal grant funding through the U.S. Department of Housing and Urban Development and the U.S. Department of Treasury the Corporation may be required to obtain an audit in compliance with the U.S. Office of Management and Budget Circular A-133, Audits of States, Local Governments, and Non-Profit Organizations. The Public Funds Investment Act (PFIA) requires that the Corporation obtain an audit for compliance with the PFIA every other fiscal year. Finally, as a 501(c)(3) non-profit, the Corporation is required to file certain informational and unrelated business income tax returns with the Internal Revenue Service. The Corporation customarily seeks these professional services through a Request for Proposal (RFP) every three to four years. In April 2014 the Texas State Affordable Housing Corporation published an RFP for audit, tax and accounting consulting services for the three fiscal years ending August 31, 2014, 2015 and 2016. The RFP was published in the Texas Register and on the Corporation’s Website. The Corporation received five responses to the RFP from the following Certified Public Accounting firms.

· Darilek, Butler & Associates, PLLC · Maxwell Locke & Ritter, LLP · Padgett, Stratemann & Company, LLP · PMB Helin Donovan, CPAs · Weaver and Tidwell, LLP

Corporation staff scored the proposals based on factors listed in the RFP giving weight to the respondents understanding of the engagement and their experience performing comparable engagements, the expertise and availability of key personnel, the respondent’s conformance with the terms of the RFP and cost. Recommendation: Based on the staff scoring of responses to the RFP the Corporation is asking the Audit Committee to engage the firm of Maxwell Locke & Ritter, LLP to perform the Corporation’s audit, tax and accounting consulting services for the three fiscal years ending August 31, 2014, 2015, and 2016.

Texas State Affordable Housing Corporation Development Finance Programs Report - June 2014

Affordable Communities of Texas Program Redevelopment activity has increased significantly in the past several months for all of the ACT initiatives. From El Paso to Lufkin, more than 25 homes are currently being constructed or renovated by our local partners. The veteran’s program has seen 8 construction starts in the past two months alone, while new home starts on NSP properties are up to 5 this year. Properties acquired using Texas NSP funds have not only seen an increase in construction, but we also have more homes under contract. This year 5 homes have sold to date and another 8 are under contract to eligible homebuyers. Last year the program sold 11 homes in the entire year. Staff believes much of this change is due to improved economic conditions across Texas and the continuation of low mortgage interest rates. The Wells Fargo Priority Market grant that was awarded in November of 2013 is more than 50% spent and we anticipate that all 6 homes to be renovated using grant funds will be completed by the end of July. The three homes using grant funds in El Paso are completed, and TSAHC staff held a volunteer event with Wells Fargo staff on May 31, 2014, at the site of one of the completed properties. Lending Programs Existing lines of credit for construction and rehab programs have been active in Port Arthur, Dallas and Austin. In the past three months our borrowers have completed more than $135,000 in renovations and construction. Staff also continues to do outreach to local partners in our ACT program and has been working with our development and marketing team to rebrand and increase internet marketing for the direct lending program. Multifamily Bond Programs The HDSA housing portfolio was foreclosed and liquidated in May, 2014. All of the bond holders were repaid through the liquidation process and local vendors, contractors and others were also made whole by the sale. The South Texas portfolio is still working to complete its liquidation process. All 6 properties will be sold at foreclosure and 100% of the bonds will be repaid. The Corporation is also anticipating full repayment of past due fees and other outstanding payables. After completion of the South Texas foreclosure the Corporation will continue to have 3,564 units monitored by our Multifamily Oversight team.

Public Comment No public comment was given. President’s Report Mr. Long reported the Corporation had recently participated in an online fundraising event called Amplify Austin. The event lasted 24 hours and benefited non-profits throughout Austin. Mr. Long noted the Corporation had received over $1,200 in donations from 19 individuals, and a portion of the funding would matched by the organization sponsoring the event, “I live here, I give here”. All funding that was raised would go to benefit the Texas Financial Toolbox. Mr. Long informed the board that the Corporation had also received a $2,500 grant from Frost Bank for the Texas Statewide Homebuyer Education Program (TSHEP). Mr. Long stated that the Corporation, in partnership with the Texas Association of Realtors (TAR), had launched a homebuyer education awareness campaign, “Get Ready! Making Texans Homeowners for Life” on April 7, 2014. Mr. Long noted that the campaign would be marketed through radio spots and other advertising. He complemented Ms. Janie Taylor and Ms. Omohundro for their work on the campaign and noted the positive feedback the Corporation had received since its launch. Staff was very excited for the opportunity to partner with TAR on this endeavor. Mr. Long informed the board that the Corporation had closed on its eighth property under the Single Family Rental program. He reported that one more property could be purchased before the original allocation designated by the board for the program was fully utilized. It was staff’s intention to request more funding for the program under next year’s operating budget so additional homes could be purchased. Mr. Long informed the board that he, Mr. Danenfelzer, Ms. Ellinor and Ms. Ropiak had attended the Texas Association of Community Development Corporations (TACDC) Conference in San Antonio the previous week. Mr. Danenfelzer and Ms. Ellinor both had the opportunity to share information on the Corporation’s programs at the Conference. Mr. Long reported that Ms. Omohundro and Ms. Ellinor had participated in several homebuyer fairs and meetings related to the Corporation’s programs. They were also currently preparing for the next TSHEP training, which would take place the first week of May in San Antonio. Mr. Long stated that earlier in the week he, Ms. Omohundro and Mr. Jones had attended the Houston Black Real Estate Association Brown Bag Luncheon, where Mr. Jones was the keynote speaker. Ms. Omohundro also had the opportunity to speak about the Corporation’s homeownership programs and ways the Corporation and Houston realtors could coordinate on our programs. Mr. Jones complemented Ms. Omohundro on her presentation. Mr. Long informed the Board that several check presentations had been made in association with awards made under the 2013 funding cycle of the Texas Foundations Fund. A presentation made to Buckner Family Services in Lufkin had been attended by himself, Mr. Leal and Ms. Howard along with State Representative Trent Ashby. Since the last board meeting, check presentations had also been made in Austin, Houston and Raymondville. Attendance at the events had been great and staff was thankful for the opportunity. He complemented Mr. Leal and Ms. Howard for their effort and hard work in organizing the events and documenting them with pictures.

Mr. Long stated that awards had been presented to the top lenders of our homeownership programs for 2013. Awards went to Ms. Kim Lewis with Premiere National Lending, Ms. Gabriela Rodriguez with First Community Mortgage, and Mary Galland with Cornerstone Home Lending. Mr. Long recognized the professionals in attendance at the meeting today: Ms. Livingston, the Corporation’s general counsel; and Michael Marz with First Southwest Company, the Corporation’s Financial Advisory firm. Mr. Long noted that the next board meeting would be scheduled for May 8th or 15th. He added that an Audit Committee meeting would also be needed in May for review of the responses to the RFP for Auditing services. Tab 1 Presentation, Discussion and Possible Approval of Minutes of the Board

Meeting held on February 13, 2014. Mr. Romero made a motion to approve the minutes of the board meeting held on February 13, 2014. Mr. Evenwel seconded the motion. Mr. Jones asked for public comment and none was given. A vote was taken and the motion passed unanimously. Tab 2 Presentation, Discussion and Possible Approval of the Texas Foundation

Fund 2014 Guidelines. Ms. Howard informed the board that the draft Guidelines had been posted for public comment from February 14, 2014, until March 14, 2014. During the public comment period, the Corporation had received one comment from Search Homeless Services, a non-profit that provides case management services in Houston. The comment requested that a current requirement be removed stating that applicants providing supportive housing services must also own and operate the housing in which their supportive services were provided. Ms. Howard reported that staff had met with the Advisory Council via conference call to discuss the comment received and they had agreed that, because the Corporation was a housing organization, it was important that the organizations we supported through the Foundations Fund have a strong tie to housing as well. Therefore the Advisory Council and staff decided to keep the requirement as it was currently stated. Ms. Howard stated that no further comment had been received during the public comment period, so staff elected to make no changes to the guidelines as a result of the public comment period. Ms. Howard and Ms. Bayless stated that, with the board’s approval of the Final Guidelines, the Corporation would open the 2014 application round. Mr. Evenwel made a motion to approve the Texas Foundations Fund 2014 Guidelines. Mr. Meade seconded the motion. Mr. Jones asked for public comment and none was given. A vote was taken and the motion passed unanimously. Tab 3 Presentation, Discussion and Possible Approval of the Texas State

Affordable Housing Corporation’s 2014 – 2017 Strategic Plan. Ms. Bayless provided the Board with a brief overview of the strategic planning process, which involved every staff member of the Corporation. She explained that they defined four broad, overarching goals that would enable us to achieve our mission. The first goal focused on the

Corporation’s programs; the second goal addressed the Corporation’s financial soundness and sustainability; the third goal addressed the Corporation’s reputation and relationships with external third parties; and the fourth goal four addressed corporate governance and management. Under each goal, staff developed strategies to address the goal and tactics with certain targets that would help implement each strategy. Staff anticipated that the tactics and targets would change every year to adapt to current conditions at the Corporation. Mr. Evenwel asked about the timeframes used throughout the Plan. Ms. Bayless explained that, after much discussion, staff had decided to use calendar year dates for everything except when fiscal year dates were required. Those instances would be specifically noted throughout the document. Mr. Jones asked about the dates and timing used with regard to targets and tactics related to the legislature. Mr. Leal explained that the legislature held interim hearings on charges given to them by the Speaker of the House or Lieutenant Governor. Where hearings were mentioned in the document, it referred to the interim hearings. Mr. Evenwel asked if all departments at the Corporation had specific tactics and targets, and Ms. Bayless confirmed that the Plan covered all departments. Further discussion between staff and the board members continued through each of the specific goals, including the strategies, tactics and benchmarks. Goal One stated “Establish and manage effective programs to serve the housing needs of low-income Texans and other underserved populations”. Mr. Dietz suggested that Goal One be changed to read, “Establish, Manage, and Expand Effective Programs to serve the housing needs of low-income Texans and other underserved populations”. The other board members agreed to this change. Ms. Bayless then turned to Goal Two, “Ensure the Corporation's Financial Sustainability”. Mr. Dietz suggested that instead of listing a dollar amount for Investment Income as a benchmark, the benchmark instead should be a spread of a certain number of basis points because of the fact the market could change, and it was out of the Corporation’s control how much income could be earned. Staff agreed to make this change and Mr. Romero commented that it would be a better target to give the Corporation’s Investment Advisor, Linda Patterson. Ms. Bayless noted that staff would discuss what an appropriate spread would be and would make the change. Mr. Romero added that the net amount the Corporation would receive should be used in the benchmark, after all fees and associated costs were taken out. Ms. Bayless provided an overview of Goal 3, “Implement Marketing Communications and Outreach Strategies to Increase Awareness and Promotion of the Corporation and its Programs”. Mr. Romero pointed out the importance of Goal 3, as the Corporation headed into the next legislative session. Ms. Bayless summarized Goal 3 in that staff wanted stronger relationships with external parties. The Corporation also wanted to continue the marketing communications strategies that were successful to us in the past, and try new strategies to determine what worked best for us. Mr. Romero complemented staff on their marketing efforts, and encouraged them to look for opportunities to enhance them. The board asked briefly about the Corporation’s blog and Ms. Taylor explained that it was part of a larger strategy known as search engine optimization. Ms. Taylor stated the overall goal of the blog was reaching more people about our organization. Ms. Taylor asked for ideas from staff and board for the blog and Mr. Jones commented that the blog would keep content on the homepage fresh which would increase our search engine optimization.

Ms. Bayless provided an overview of Goal 4, “Ensure Effective Direction and Control of the Corporation”. She stated that this goal dealt with corporate governance and good management. Governance dealt broader principles such as stewardship, duty and integrity. Mr. Jones commented that the Strategic Plan was like a road map for moving our business forward. Ms. Bayless summarized the board recommended changes, including a change to the title of Goal One and a change under Goal 2 ( 2.4) regarding to how we expressed the benchmark for our investment income, reflecting it as a spread of an amount determined appropriate by staff, which would be net any associated fees. With these changes, she asked for the board’s approval of the Strategic Plan. Mr. Romero made a motion to approve the Strategic Plan with the recommended changes. Mr. Meade seconded the motion. Mr. Jones called for public comment and none was given. A vote was taken and it passed unanimously. Open Meeting Mr. Long informed the board of an ACT – Vet program home donation that took place in Bellville on March 20, 2014. Mr. Long thanked Mr. Jones for his attendance and for leading the event. He noted city, county and state officials had also been in attendance. The local partner and representatives from Bank of America (BofA) and National Community Stabilization Trust (NCST) were there, along with the Patriot Guard (motorcycle riders who support veterans), State Representative Kolkhorst, the Bellville City Manager and City Mayor, and several County Commissioners. He noted that these events were a great opportunity for the Corporation to give back, and staff appreciated the board’s participation. Mr. Long stated that the partnership and collaboration with BofA and NCST made the program possible. Mr. Jones commented on the event, saying he was moved by the American Flags placed at the home and the staff’s dedication to making the event happen and helping the new homeowner move in. Mr. Long restated that another ACT – Vet program home donation event would be taking place the following week in McAllen and Mr. Meade would be participating and leading the event. Closed meeting Mr. Jones called the board into closed meeting in accordance with Texas Government Code Section 551-071, consultation with legal counsel on legal matters. Ms. Livingston, general counsel for the Corporation, added that pursuant to Texas Government Code Section 551.103 this closed session held pursuant to 551.071 was not subject to being tape recorded or summarized by certified agenda. The time was 12:04. The board came out of closed meeting and back into open meeting at 12:31pm. Mr. Jones noted that no action was taken in the course of the closed meeting held under Government Code section 551.071, consultation on legal matters with Counsel. Open Meeting

WHEREAS, the Texas State Affordable Housing Corporation (the “Corporation”) has been duly created and organized pursuant to and in accordance with the provisions of the Texas Non-Profit Corporation Act, Article 1396-1.01 et seq. Vernon’s Annotated Texas Civil Statutes, as amended and under the authority of Texas Government Code, Subchapter Y of Chapter 2306, as amended (the “Act”), the Corporation is authorized to establish a program to provide eligible mortgagors with low-interest home mortgage loans;

WHEREAS, the Board of Directors of the Corporation desires to submit one or more Applications for Allocation of Private Activity Bonds to the Texas Bond Review Board for the calendar year 2014 in connection with qualified mortgage bonds to be converted to mortgage credit certificates;

“Resolution Approving the Amendment and Restatement of the Bylaws, as amended (the (“Bylaws”) of Texas Community Capital, Inc. (“TCC”), of which the Corporation is an “Appointing Authority” (as defined in the Bylaws) to amend: (i) Article II of the Bylaws to revise TCC’s stated mission and (ii) Article XII, Section 4 to revise the requirement that any Articles of Amendment to TCC’s Articles of Incorporation or any amendment to the Bylaws be approved by each Appointing Authority to become effective to state that such approval by each Appointing Authority is only required in the case of an amendment to Article III of the Bylaws.”

WHEREAS, at a meeting of Board of Directors of the Corporation (the “Board”) on January 29, 2010, the Corporation approved (i) the Memorandum of Understanding (the “CDFI MOU”) among the Corporation, the Texas Association of Community Development Corporations (“TACDC”) and Texas Community Capital, Inc. (“TCC”) to create a partnership among such entities to allow for the use of TCC as a Community Development Financial Institution (“CDFI”) to benefit the Corporation’s fund raising efforts through the receipt of federal matching funds for the promotion of affordable housing for low and very low income Texas residents and (ii) the amendment of the Bylaws of TCC (the “Bylaws”), which amendment, among other things, named the Corporation’s Board and TACDC’s board of directors as “Appointing Authorities” (as defined in the Bylaws) for TCC and required the Appointing Authorities to approve amendments to the TCC Bylaws and Articles of Incorporation;

WHEREAS, TCC desires to amend the mission statement to broaden the scope and more accurately reflect the programs and loans its supports and such mission statement is set forth in the Bylaws;

WHEREAS, TCC desires to amend Article II of the Bylaws to revise TCC’s stated mission to read, “The mission of the Corporation is to promote economic and community development in low-income Texas communities.”;

WHEREAS, TCC also desires to amend Article XII, Section 4 of the Bylaws to revise and limit the requirement that any Articles of Amendment to TCC’s Articles of Incorporation or any amendment to the Bylaws be approved by each Appointing Authority to become effective.

NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Texas State Affordable Housing Corporation:

Section 1. Authorization and Approval of the Amendment to the Bylaws. That the Board hereby (a) approves the form of the Bylaws, as amended and restated (the “Amended Bylaws”), as presented to the Board at the meeting at which this Resolution was considered and (b) contingent upon the approval of the Amended Bylaws by TACDC, authorizes the board of directors of TCC to consider, vote upon and thereafter approve, if so desired, the Amended Bylaws.

Section 2. Ratification of Prior Actions. That all prior actions taken by or on behalf of the Corporation in connection with the subject of this Resolution are hereby authorized, ratified, confirmed and approved.

Agenda Item: Presentation, Discussion and Possible Approval of the Selection of Single Family Trustee for the Corporation. Background: The Corporation customarily seeks professional services through a Request for Proposal (RFP) every three to four years. In February 2014 the Texas State Affordable Housing Corporation published an RFP for single family trustee services for the five (5) year period 2015 through 2019 with an option to renew at the discretion of both parties. The RFP was published in the Texas Register and on the Corporation’s Website. The Corporation received six (6) responses to the RFP from the following financial institutions.

· Amegy Bank of Texas · Bank of Texas · Regions Bank · The Bank of New York Mellon Trust Company N.A. · Wells Fargo Bank N.A. · Wilmington Trust, N.A.

Corporation staff scored the proposals based on factors listed in the RFP giving weight to the respondents understanding of the services to be provided, their qualifications and experience performing comparable services to other non-profit corporations, the availability of key personnel, the respondent’s conformance with the terms of the RFP and the reasonableness of proposed fees. Recommendation: Based on the staff scoring of responses to the RFP the Corporation is asking the Board of Texas State Affordable Housing Corporation to engage the firm of Wells Fargo Bank N.A. to provide the Corporation’s single family trustee services for the five years beginning January 1, 2015 and ending December 31, 2019 with an option to renew at the discretion of both parties.

AUDIT COMMITTEE GUIDELINES (Submitted for Approval June 12, 2014)

These guidelines are intended to define the purposes, membership and responsibilities of the Audit Committee of the Texas State Affordable Housing Corporation (“the Corporation”). I. PURPOSES The Audit Committee is appointed by the Board of Directors to assist the Board in fulfilling its oversight responsibilities. The Audit Committee’s primary duties and responsibilities are to:

1. Monitor the integrity of the Corporation’s budgeting process, financial reporting process and systems of internal controls regarding finance, accounting, legal and ethics compliance.

2. Monitor the independence and performance of the Corporation’s independent

financial auditors who shall report directly to the Audit Committee.

3. Facilitate communication among the independent auditors, management, the CFO and the Board of Directors.

4. Monitor compliance by the Corporation and its directors, officers and

employees with all applicable laws, regulations, contracts, agreements, and grants and the Corporation’s code of ethics and conflict of interest policies.

5. Establish procedures for the receipt, retention and treatment of financial matters complaints and the confidential anonymous submission by employees regarding questionable accounting, fraud or abuse.

6. Report on its activities to the Board of Directors.

The Audit Committee has the authority to conduct any investigation appropriate to fulfilling its responsibilities and it has direct access to the independent auditors as well as anyone at the Corporation. The Audit Committee has the ability to retain, at the Corporation’s expense, special legal, accounting, or other consultants or experts it deems necessary in the performance of its duties. However, it is not the duty or responsibility of the Audit Committee or its members to conduct auditing or accounting review or procedures, and each member of the Audit Committee shall be entitled to rely on (i) the integrity of those persons and organizations within and outside the Corporation from which it receives information and (ii) the accuracy of the financial and other information provided to the Audit Committee by such persons or organizations.

II. COMPOSITON AND MEETINGS The Audit Committee shall be comprised of four members, as determined by the Board of Directors, two of whom shall be directors of the Corporation. Any other board member will be eligible to serve as an alternate member of the Audit Committee and will serve if one of the other member Board directors is absent from the meeting. The Corporation’s President and Chief Financial Officer will serve as Ad Hoc members of the Committee. The two member board directors shall be free from any relationship that would interfere with the exercise of his or her independent judgment. All members of the Audit Committee shall have a basic understanding of finance and accounting and be able to read and understand fundamental financial statements, and at least one member of the Audit Committee shall have accounting or related financial management expertise. Audit Committee members shall be appointed on recommendation by the full Board of Directors. If a Chair of the Audit Committee is not designated or present, the members of the Audit Committee may designate a Chair by majority vote of the Audit Committee. A quorum for a meeting of the Audit Committee shall consist of at least three committee members, two of which must be Board members. Audit Committee members will be reimbursed for travel and other actual and reasonable expenses incurred in the conduct of official Audit Committee business. No member of the Audit Committee may accept any additional consulting, advisory or other compensatory fee from the Corporation or other organization. The Audit Committee shall meet a minimum of two times annually or more frequently if circumstances dictate. III. RESPONSIBILITIES AND DUTIES To carry out its purposes, the Audit Committee shall have the following duties and responsibilities: Review Procedures

1. Review and assess the adequacy of these guidelines at least annually and submit any proposed changes to the Board of Directors for approval.

2. Review and approve the Corporation’s proposed fiscal year operating budget

and any amendments thereto for the submission to the Board of Directors for approval.

3. Review and approve the audited financial statements and any amendments thereto for submission to the Board of Directors for approval. The review should include discussion with management and independent auditors of significant issues regarding accounting and auditing principles, practices and judgments.

4. In consultation with the management, the CFO and independent auditors,

consider the integrity of the company’s financial reporting processes and controls. Discuss significant financial and non-financial risk exposures and the steps management has taken to monitor, control, and report such exposures. Review significant findings prepared by the independent auditors together with management’s responses.

5. Consider and approve, if appropriate, major changes to the Corporation’s

accounting principles as suggested by the independent auditors, management or CFO and any items required to be communicated by the independent auditors in accordance with Statement on Auditing Standards No. 115.

Independent Auditors

1. The independent auditors are ultimately accountable to the Audit Committee and the Board of Directors. The Audit Committee shall review the independence, qualifications and performance of the auditors and annually appoint the independent auditors or approve any discharge of auditors when circumstances warrant.

2. On an annual basis, the Audit Committee should review and discuss with the

independent auditors all significant relationships they have the Corporation that could impair the auditors’ independence.

3. Prior to releasing the audit report, discuss the results of the audit with the

independent auditors. Discuss certain matters required to be communicated to the Audit Committee in accordance with Statement on Auditing Standards No. 114 and No. 115, OMB Circular A-133, and any other standards required by applicable federal or state law or regulation.

4. Review with the independent auditor any management letter provided by the

auditor and the Corporation’s response to that letter. While the Audit Committee has the responsibilities and powers set forth in these guidelines, it is not the duty of the Audit Committee to plan or conduct audits or to determine that the Corporation’s financial statements are complete and accurate and are in accordance with generally accepted accounting principles. This is the responsibility of management and the independent auditor. Nor is it the duty of the Audit Committee to conduct investigations, to resolve disagreements, if any, between management and the independent auditor or to assure compliance with laws and regulations.
