    Seiring dengan pertumbuhan sektor konstruksi, Perseroan mencatat pertumbuhan kinerja yang sangat signifikan di tahun 2018. Namun demikian, Perseroan menyadari bahwa di tahun-tahun mendatang tantangan bisnis akan semakin kompetitif sehingga menuntut Perseroan untuk terus berinovasi agar memiliki daya saing yang lebih tinggi. Oleh karena itu, Perseroan berupaya melakukan perbaikan proses bisnis agar lebih efisien dalam rangka meraih tingkat pertumbuhan sesuai dengan ekspektasi para pemangku kepentingan. Guna merespon tantangan masa depan tersebut, Perseroan berupaya menghasilkan produk yang berkualitas tinggi sesuai dengan standar internasional seraya mewujudkan visi Perseroan, yaitu “Menjadi Perusahaan Terkemuka dalam Bidang Engineering, Production, Installation (EPI) Industri Beton di Asia Tenggara".

    In line with the growing construction sector, the Company recorded a significant growth in its performance in 2018. However, the Company is fully aware of increasingly competitive business challenge which demands the Company to continue to bring innovation for having a higher competitiveness. Therefore, the Company endeavours to improve its business process to be more efficient in order to achieve growth level as expected by the stakeholders. To respond such a future challenge, the Company strives to produce a high quality products with international standard whilst realizing the new vision, “Becoming the Leading Company in Engineering, Production, Installation (EPI) of Precast Industry in South East Asia”.

    Peristiwa Penting SIGNIFICANT EVENTS

    Seluruh jajaran Manajemen Perseroan dengan disaksikan oleh

    Dewan Komisaris mengesahkan RKAP seluruh Unit Kerja tahun

    2018 bertempat di Lampung pada 18 Januari 2018. Selain itu,

    Perseroan juga secara resmi memperkenalkan nilai perusahaan

    yang baru, yaitu ACE (Agility, Caring, Excellence) agar setiap

    insan Perseroan mampu bertindak trengginas dan cepat terhadap

    peluang dan perubahan bisnis, mampu proaktif dan peduli

    terhadap pemangku kepentingan, serta mampu memberi hasil

    unggul kepada pelanggan dan seluruh pemangku kepentingan.

    Perseroan meresmikan Jalur Produksi ke-4 di Pabrik Produk

    Beton (PPB) Lampung Selatan yang merupakan jalur putar modern

    pertama yang menerapkan penggunaan teknologi produksi

    dan sistem produksi terkini sehingga mampu meningkatkan

    produktivitas hingga 3 kali lipat dibandingkan dengan sistem

    produksi generasi sebelumnya.

    All of the Company’s Management witnessed by the Board of

    Commissioners ratified CBP of all Work Units in 2018 in Lampung

    on January 18, 2018. Furthermore, the Company has also officially

    introduced its new values, ACE (Agility, Caring, Excellence) so all

    of its employees are able to act excellently and agile in response to

    business opportunities and changes, able to be proactive and care

    about the stakeholders, as well as able to give excellent results to

    customers and all all stakeholders.

    The Company inaugurated the 4th Production line in the Concrete

    Product Plant (PPB) South Lampung that was the first modern

    rotary track that implements the use of the latest production

    technology and system so it is able to improve its productivity

    3 times compared to the previous generation’s production system.

    Penyelenggaraan Rapat Umum Pemegang Saham Tahunan

    (RUPST) di Main Hall Gedung Bursa Efek Indonesia yang dihadiri

    oleh 6.391.037.889 saham atau mewakili 76,647% dari jumlah

    saham yang dikeluarkan oleh Perseroan (tidak termasuk saham

    treasuri). Pada acara RUPST ini, terdapat 7 agenda yang dibahas

    salah satunya mengenai pembagian dividen sebesar 30% dari

    laba bersih yang diperoleh pada tahun 2017 atau senilai Rp101,1

    miliar kepada para Pemegang Saham.

    The Annual General Meeting of Shareholders (AGMS) was held at

    the Main Hall of Indonesian Stock Exchange Building, attended by

    6,391,037,889 shares or representing 76.647% of the total shares

    listed by the Company (excluding treasury shares). In this AGMS,

    7 agendas were discussed, one of which was about dividend

    distribution of 30% of the Net Income received in 2017 or about

    Rp101.1 billion to shareholders.

Kedepannya, lahan ini akan digunakan untuk menunjang pelaksanaan proyek strategis lainnya di wilayah Indonesia Timur.

    WIKA Beton is ready to expand its business in precast concrete in Eastern Indonesia through the Agreement Signing of the Industrial Land Usage between WIKA Beton with PT Kawasan Industri Makassar (PT KIMA) for + 4.45 Ha land.

    The opportunity for precast concrete market in Eastern Indonesia is considered quite big for the next 5 years that made WIKA Beton through its Southern Sulawesi Concrete Product Plant (PPB Sulsel) to develop production lines, one of which to meet the needs for precast concrete at the A.P. Pettarani Makassar Flyover Toll Road construction. This additional land is also a solution for the needs for PPB Sulsel stockyard land. Going forward, this land will be used to support other strategic projects in Eastern Indonesia.

    Dear Respected Shareholders and Stakeholders,

    Representing the Board of Commissioners,

    first of all I would like to take this opportunity

    to express my gratitude of His blessings for

    the achievement of the Company’s positive

    performance in 2018.

    Entering 2018, the dynamics of the

    global economy occurred especially in

    the first and second quarters, due to the

    normalization of the policies of the Central

    Bank of the United States (US) or The

    Federal Reserve (Fed) which ultimately had

    brought an impact of liquidity tightening.

    Expansive policies implemented by

    the United States by cutting taxes and

    encouraging expenditures, coupled with

    trade wars between the United States

    and China has increasingly made global

    economic conditions uncertain. The

    global economic turmoil has quite brought

    an impact on the national economy.

    The IMF projected Indonesia’s economic

    growth at the end of 2018 at 5.1%, in its

    October 2018 World Economic Outlook

    (WEO) report, lower than the economic

    growth targeted by the Indonesian

    government in the 2018 State Budget, i.e.

    at 5.4%.

    Para Pemegang Saham dan Pemangku Kepentingan yang Terhormat,

    Mewakili Dewan Komisaris, pertama-tama

    saya ingin menggunakan kesempatan ini

    untuk menyampaikan ungkapan syukur

    kehadirat-Nya atas pencapaian kinerja

    positif Perseroan selama tahun 2018.

    Memasuki tahun 2018, perubahan

    dinamika ekonomi global terjadi terutama

    pada kuartal I dan II yang disebabkan

    oleh normalisasi kebijakan Bank Sentral

    Amerika Serikat (AS) atau The Federal

    Reserve (The Fed) yang pada akhirnya

    berdampak pada pengetatan likuiditas.

    Kebijakan ekspansif yang diterapkan oleh

    Amerika Serikat dengan memotong pajak

    dan mendorong belanja, ditambah dengan

    perang dagang antara Amerika Serikat

    dan China semakin membuat kondisi

    ekonomi global menjadi tidak menentu.

    Gejolak ekonomi global tersebut cukup

    berdampak pada perekonomian nasional.

    IMF memproyeksikan pertumbuhan

    ekonomi Indonesia di akhir tahun 2018

    sebesar 5,1%, dalam laporannya yang

    berjudul World Economic Outlook

    (WEO) Oktober 2018, lebih rendah dari

    target pertumbuhan perekonomian

    yang ditargetkan pemerintah Indonesia

    sebesar 5,4% di APBN 2018.

    Sebaliknya, industri beton pracetak tumbuh cukup signifikan di

    tahun 2018 yang disebabkan oleh pertumbuhan infrastruktur

    yang sangat pesat, yang mana hal ini berimbas positif terhadap

    kinerja Perseroan secara keseluruhan.

    Evaluasi Kinerja Perseroan dan Direksi

    Dewan Komisaris menilai bahwa Direksi secara keseluruhan

    telah menunjukkan kinerja yang baik sepanjang tahun 2018,

    yang tercermin dari indikator-indikator keuangan yang tersaji

    pada Laporan Keuangan Auditan Tahun Buku 2018. Bila dilihat

    dari Laporan Laba Rugi Konsolidasian, Perseroan membukukan

    Pendapatan Usaha yang meningkat 29,25% menjadi Rp6,93

    triliun dari tahun sebelumnya sebesar Rp5,36 triliun. Kenaikan ini

    disebabkan karena keberhasilan menjalankan strategi penjualan

    dengan mencapai ketepatan waktu produksi dan distribusi serta

    kemampuan Perseroan dalam mempertahankan mutu produk

    sehingga dapat menjaga kepercayaan pelanggan. Perseroan

    juga mampu membukukan Laba Bersih sebesar Rp486,64 miliar,

    meningkat 42,94% dibandingkan dengan tahun sebelumnya

    sebesar Rp340 miliar yang melebihi target RKAP sebesar 3,48%.

    Sementara itu, ditinjau dari Laporan Posisi Keuangan Konsolidasian,

    Dewan Komisaris menilai bahwa Perseroan telah mencatat adanya

    peningkatan Total Aset menjadi sebesar Rp8,88 triliun, meningkat

    25,66% dibandingkan tahun sebelumnya sebesar Rp7,07 triliun.

    Peningkatan Aset tersebut terutama disebabkan oleh adanya

    kenaikan jumlah Aset Lancar sebesar 34,92% dari Rp4,35 triliun

    di tahun 2017 menjadi Rp5,87 triliun di tahun 2018 dan kenaikan

    jumlah Aset Tidak Lancar sebesar 10,84% dari Rp2,72 triliun

    menjadi Rp3,01 triliun. Permodalan Perseroan terlihat semakin

    kuat dimana Total Ekuitas tumbuh 14,15% dari Rp2,75 triliun

    menjadi Rp3,14 triliun. Selain itu jumlah Aset Perseroan mencatat

    pencapaian sebesar 103,85% dari target RKAP tahun 2018.

    Dewan Komisaris berpendapat bahwa keberhasilan ini tidak lepas

    dari berbagai strategi yang diimplementasikan secara efektif

    dan sesuai dengan target yang telah dicanangkan, di antaranya

    strategi penguatan eksistensi Perseroan di lini bisnis baru seperti

    Ready Mix dan bidang Jasa Instalasi.

    Dewan Komisaris juga mendukung langkah strategis yang telah

    diambil oleh Direksi untuk menggarap Desain dan Konstruksi

    Jalan Tol Layang A.P. Pettarani (Seksi III) Makassar dimana untuk

    pengerjaan proyek tersebut, Perseroan menambah kapasitas

    produksi di salah satu pabrik yang berada di kawasan industri

    Pabrik Makassar sebanyak 90.000 ton sehingga akan menjadi

    300.000 ton/tahun. Selain itu, Perseroan juga akan berperan

    di bidang Engineering, Production, dan Installation (EPI) pada

    proyek tol layang pertama di Makassar ini. Hal ini dinilai sejalan

    dengan visi Perseroan untuk menjadi Perusahaan terkemuka

    dalam bidang Engineering, Production, dan Installation (EPI)

    industri beton di Asia Tenggara.

    In contrast, the precast concrete industry grew significantly in

    2018 due to very rapid infrastructure growth which had a positive

    impact on the Company’s overall performance.

    Evaluation in Performance of the Company and Board of Directors

    The Board of Commissioners considered that the Board of

    Directors has shown good performance throughout 2018, as

    reflected in the financial indicators presented in the Audited

    Financial Statement for Fiscal Year of 2018. From the perspective

    of Consolidated Income Statement, the Company booked

    Operating Revenues that increased by 29.25% to Rp6.93 trillion

    from the previous year of Rp5.36 trillion. This increase was due

    to the success implementation of sales strategy, by achieving

    timely production and distribution, and the Company’s ability

    to maintain product quality which consequently could maintain

    the customers’ trust. The Company was also able to book a Net

    Profit of Rp486.64 billion, an increase of 42.94% compared to the

    previous year of Rp340 billion, which exceeded the Work Plan

    and Corporate Budget (RKAP) target of 3.48%.

    Meanwhile, from the Consolidated Financial Statement

    perspective, the Board of Commissioners considered that the

    Company has recorded an increase in Total Assets to Rp8.88

    trillion, an increase of 25.66% compared to the previous year of

    Rp7.07 trillion. Such increase in Asset was primarily due to the

    increase in Current Asset at 34.92% from Rp4.35 trillion in 2017

    to Rp5.87 trillion in 2018, and the increase in Non-Current Asset

    at 10.84% from Rp2.72 trillion to Rp3.01 trillion. The Company’s

    capital showed growth, where Total Equity went up at 14.15%

    from Rp2.75 trillion to Rp3.14 trillion. The Company’s Assets

    booked an increase of 103.85% from the RKAP target for 2018.

    The Board of Commissioners was of the opinion that this success

    was closely related to the effectively implemented strategy and

    was in line with the targets that had been set, including the

    strategy of the Company’s breakthrough in new business lines

    such as Ready Mix and Installation Service.

    The Board of Commissioners also supported the strategic steps

    which has taken by the Board of Directors to work on the Design

    and Construction of A.P. Pettarani Flyover Toll Road (Section

    III) Makassar where the Company will increase the production

    capacity by 90,000 tons in one of the factories in the Makassar

    industrial area to realize 300,000 tons/year. In addition, the

    Company also played a role in Engineering, Production and

    Installation (EPI) in this first flyover toll road project in Makassar.

    This is considered in line with the Company’s vision to become

    a leading company in the field of Engineering, Production and

    Installation (EPI) for concrete industry in Southeast Asia.

    Dewan Komisaris juga melihat bahwa Direksi telah mampu

    melakukan pengelolaan risiko yang efektif. Upaya Direksi secara

    berkala dan berkelanjutan untuk terus mengembangkan kerangka

    sistem pengelolaan risiko dan struktur pengendalian internal yang

    terpadu dan komprehensif dinilai dapat memberikan deteksi dini

    tentang adanya potensi risiko yang berpengaruh pada kinerja

    Perseroan.

    Dalam hal teknologi informasi, Direksi telah menunjukkan

    kapabilitasnya melalui penggunaan teknologi otomatisasi dalam

    sistem produksi dalam rangka meningkatkan produktivitas.

    Direksi juga dinilai telah menerapkan prinsip kehati-hatian guna

    mendorong pertumbuhan bisnis non organik sesuai dengan

    masukan dari Dewan Komisaris sehingga dapat berkontribusi

    secara optimal pada kinerja Perseroan.

    Selain memberikan dukungan penuh bagi pemantapan segmen

    jasa instalasi maupun peningkatan kapasitas produksi dari pabrik-

    pabrik yang sudah ada, Dewan Komisaris juga memberikan

    apresiasi khusus kepada Direksi dengan diluncurkannya inovasi

    produk beton terbaru yakni Box Culvert pada struktur underpass

    proyek Tol Depok – Antasari.

    Dewan Komisaris merasa gembira atas pencapaian Perseroan

    yang dibuktikan dengan berbagai penghargaan yang diterima

    oleh Perseroan sepanjang tahun 2018, di antaranya Top 100

    Most Valuable Indonesian Brands 2018, Pengembangan Talenta

    Terbaik II BUMN Tbk dalam perhelatan 7th Anugerah BUMN

    2018, Indonesia Fast Growing New Public Company 2018

    untuk kategori Basic Industry & Chemical di ajang Best Public

    Companies Award 2018, Bronze Winner “Promising Company in

    Branding Campaign” kategori Anak Perusahaan BUMN dalam

    ajang BUMN Marketeers Awards, Indonesia Most Creative

    Companies 2018, dan Indonesia Most Innovative Business

    Award 2018 sebagai  Excellent Company for Business Process

    Innovation in Cement Sector. Selain itu, Dewan Komisaris juga

    mengapresiasi Perseroan yang untuk ketiga kalinya masuk

    jajaran 25 Perusahaan dalam Indeks SRI KEHATI.

    Dewan Komisaris memandang bahwa keberhasilan ini tidak lepas

    dari adanya sinergi yang baik dengan WIKA Group. Untuk ke

    depannya, Dewan Komisaris berharap agar sinergi yang sudah

    terjalin dengan baik ini dapat dipertahankan guna mendukung

    pembangunan ekonomi nasional secara lebih optimal sehingga

    dapat memberikan dampak positif bagi masyarakat luas.

    Pengawasan terhadap Implementasi Strategi Perseroan

    Dewan Komisaris melakukan pengawasan secara aktif terhadap

    implementasi strategi Perseroan melalui komite-komite yang

    berada di bawahnya, yaitu Komite Audit dan Risiko Usaha,

    Komite Remunerasi dan Nominasi serta Komite Good Corporate

    Governance (GCG).

    The Board of Commissioners also saw that the Board of Directors

    has been able to carry out effective risk management. The

    periodical and continuous efforts of the Board of Directors to

    continuously develop a framework of risk management systems

    and an integrated and comprehensive internal control structure

    are considered having provided early detection of potential risks

    that may affect the Company’s performance.

    In terms of information technology, the Board of Directors has

    demonstrated its capabilities through the use of automation

    technology in production systems in order to increase

    productivity. The Board of Directors is also considered to have

    applied the precautionary principle to encourage the growth of

    non-organic business in accordance with input from the Board of

    Commissioners, in order to contribute optimally to the Company’s

    performance.

    In addition to providing full support for strengthening the

    installation service segment and increasing production capacity

    from existing factories, the Board of Commissioners also handed

    special appreciation to the Board of Directors by launching the

    latest concrete product innovation, namely Box Culvert, applied

    on the underpass structure of the Depok - Antasari Toll project.

    The Board of Commissioners is pleased with the achievements

    of the Company as evidenced by various awards the Company

    received throughout 2018, including Top 100 Most Valuable

    Indonesian Brands 2018, Second Best BUMN Tbk Talent

    Development on the 7th BUMN 2018 Award, Indonesia Fast

    Growing New Public Company 2018 for the Basic Industry &

    Chemical category in the Best Public Companies Award 2018,

    Bronze Winner “Promising Company in Branding Campaign” in

    the category of SOE Subsidiary in the BUMN Marketeers Awards,

    Indonesia Most Creative Companies 2018, and Indonesia Most

    Innovative Business Award 2018 as Excellent Company for

    Business Process Innovation in Cement Sector. In addition,

    the Board of Commissioners also appreciated the Company’s

    achievement for the third time being placed as one of top 25

    companies in the SRI KEHATI Index.

    The Board of Commissioners viewed that this success was also

    due to the good synergy with the WIKA Group. The Board of

    Commissioners expected that the synergy that has been well

    established can continuously be maintained in order to support

    national economic development more optimally so enables the

    Company to deliver a positive impact on the wider community.

    Supervision over Corporate Strategy Implementation

    The Board of Commissioners actively monitored the

    implementation of the Company’s strategy through the

    committees under its aegis, namely the Audit and Business Risk

    Committee, the Remuneration and Nomination Committee and

    the Good Corporate Governance (GCG) Committee.

    Secara berkala Dewan Komisaris melakukan review terhadap

    penerapan strategi yang dieksekusi oleh Direksi dan senantiasa

    memberikan masukan kepada Direksi untuk mengevaluasi setiap

    program yang dijalankan guna menentukan kembali program

    mana yang perlu dilanjutkan dan mana yang memerlukan evaluasi

    lebih lanjut sehingga dapat mendorong kinerja perusahaan di

    tahun-tahun mendatang.

    Frekuensi dan Cara Pemberian Nasihat kepada Direksi

    Pemberian nasihat kepada Direksi dilakukan melalui rapat

    formal maupun diskusi informal. Rapat formal paling sedikit

    diadakan sekali dalam empat bulan dimana sepanjang 2018

    frekuensi rapat bersama dengan Direksi tercatat sebanyak 12

    kali, sedangkan diskusi informal dapat dilakukan sewaktu-waktu

    tanpa harus melalui mekanisme rapat.

    Adapun yang menjadi fokus pembahasan dalam rapat-rapat

    gabungan tersebut antara lain adalah evaluasi hasil usaha dan

    kinerja Perseroan, rencana investasi, realisasi RKAP, persiapan

    pelaksanaan RUPS, perkembangan penyelesaian Laporan Audit

    dan hal-hal lainnya.

    Penilaian Atas Kinerja Komite di Bawah Dewan Komisaris

    Untuk tahun buku 2018, Dewan Komisaris menilai bahwa Komite

    Audit dan Risiko Usaha, Komite Remunerasi dan Nominasi serta

    Komite Good Corporate Governance (GCG) telah menjalankan

    tugas dan tanggung jawabnya secara efektif sesuai charter yang

    berlaku bagi masing-masing komite, termasuk memberikan

    rekomendasi serta laporan kepada Dewan Komisaris atas

    hal-hal yang perlu menjadi perhatian dan tindak lanjut Dewan

    Komisaris.

    Di tahun 2018, Komite Audit dan Risiko Usaha telah menjalankan

    tanggung jawabnya dalam membantu Dewan Komisaris

    mengevaluasi efektivitas pengendalian internal yang dilakukan

    oleh audit internal maupun auditor eksternal. Selain itu, Komite

    Audit dan Risiko Usaha juga telah memberikan rekomendasi terkait

    penunjukan Kantor Akuntan Publik (KAP) yang akan melakukan

    audit terhadap Laporan Keuangan Perseroan Tahun Buku 2018.

    Berdasarkan rekomendasi dari Komite Audit dan Risiko Usaha,

    Dewan Komisaris telah menunjuk KAP Amir Abadi Jusuf, Aryanto,

    Mawar & rekan (RSM Indonesia) untuk melakukan pekerjaan

    Audit Umum Laporan Keuangan Perseroan Tahun Buku 2018

    serta Audit kepatuhan terhadap peraturan perundang-undangan

    dan pengendalian intern. KAP Amir Abadi Jusuf, Aryanto, Mawar

    & rekan (RSM Indonesia) ditunjuk untuk menggantikan KAP

    Satrio Bing Eny & rekan (Delloitte) dikarenakan adanya sanksi

    administratif berupa pembatalan pada KAP tersebut.

    Sementara itu, Komite Remunerasi & Nominasi telah menelaah,

    mengusulkan dan menetapkan besarnya tantiem Tahun

    Periodically, the Board of Commissioners conducts reviews on

    the implementation of the strategies executed by the Board of

    Directors and always provides input to the Board of Directors to

    evaluate each program carried out to determine which programs

    that should be continued and which ones requiring further

    evaluation. This is aimed so that the programs can drive the

    company’s performance in the coming year.

    Frequency and Method of Advisory to the Board of Directors

    Advice to the Board of Directors is provided through formal

    meetings and informal discussions. The formal meetings are

    held at least once in four months, where throughout 2018 joint

    meetings with the Board of Directors have been held 12 times,

    while informal discussions can be held at any time without

    passing through a meeting mechanism.

    The focus of the discussion in the joint meetings includes

    evaluating the results of the business and the performance of the

    Company, investment plans, realization of the RKAP, preparation

    of the GMS implementation, progress of the compilation of Audit

    Reports and other matters.

    Performance Assessment of Committee under Board of Commissioners

    For the financial year of 2018, the Board of Commissioners considered

    that the Audit and Business Risk Committee, Remuneration and

    Nomination Committee as well as the Good Corporate Governance

    (GCG) Committee have carried out their duties and responsibilities

    effectively according to the charter which applies to each committee,

    among others is providing recommendations and report to the Board

    of Commissioners on matters that require attention and follow-up of

    the Board of Commissioners.

    In 2018, the Audit Committee and Business Risk have carried

    out its responsibilities in helping the Board of Commissioners

    to evaluate the effectiveness of internal control performed by

    internal audit and external auditor. In addition, the Audit and

    Business Risk Committee has also provided recommendations

    regarding the appointment of the Public Accountant Firm (KAP)

    which will conduct an audit of the Company’s Financial Statement

    Fiscal Year 2018. Based on recommendations from the Audit

    and Business Risk Committee, the Board of Commissioners has

    appointed KAP Amir Abadi Jusuf, Aryanto, Mawar and partner

    (RSM Indonesia) to carry out the general audit into the Company’s

    Financial Statements 2018 and compliance audit against with

    legislation and internal control. KAP Amir Abadi Jusuf, Aryanto,

    Mawar and partner (RSM Indonesia) was appointed to replace

    KAP Satrio Bing Eny & partner (Delloitte) due to administrative

    sanctions for canceling the registration to the latter.

    Meanwhile, the Remuneration & Nomination Committee has

    reviewed, proposed and determined the amount of tantiem for the

    Buku 2017 serta menetapkan gaji/honorarium, tunjangan

    dan fasilitas bagi Direksi dan Komisaris Tahun 2018, serta

    memberikan saran terkait proses nominasi untuk Direksi dan

    komposisi Dewan Komisaris. Sedangkan Komite GCG telah

    melakukan penelahaan atas efektivitas GCG di Perseroan

    berdasarkan prinsip-prinsip dan pedoman GCG.

    Perlu kami sampaikan pula bahwa terhitung sejak tanggal 30

    April 2018, susunan Komite Audit mengalami perubahan dimana

    Ibu Rosmala dan Bapak Soemartojo tidak lagi menjabat sebagai

    Anggota Komite Audit. Posisi keduanya digantikan oleh Bapak

    Herry Trisaputra Zuna dan Bapak Tarcicius Sawardi berdasarkan

    Surat Keputusan Dewan Komisaris No. SK.03/DK-WB/IV/2018

    tanggal 30 April 2018.

    Efektivitas Penerapan Tata Kelola Perusahaan

    Dewan Komisaris berpendapat bahwa penerapan Tata Kelola

    Perusahaan (GCG) di lingkungan Perseroan telah menunjukkan

    kualitas yang sangat memadai. Setiap insan Perseroan dianggap

    telah memahami pentingnya mengaplikasikan kelima prinsip

    GCG dalam kegiatan operasional sehari-hari. Hal ini tidak lepas

    dari komitmen Perseroan untuk terus melakukan sosialisasi GCG

    terhadap para karyawan di berbagai lini.

    Keberhasilan Perseroan dalam menerapkan GCG secara efektif

    tercermin dari pencapaian skor assessment GCG yang tinggi

    dari Tim Assessor terpercaya BPKP Perwakilan Provinsi DKI

    Jakarta sebesar 88,46 dengan kategori penilaian “Sangat Baik”.

    Implementasi GCG di lingkungan Perseroan memperlihatkan

    perkembangan yang signifikan dan dapat dilihat pada nilai skor

    assessment GCG Perseroan yang semakin meningkat dari tahun

    ke tahun.

    Kemajuan dalam implementasi GCG selama ini terbukti telah

    memberikan dampak yang positif bagi Perseroan, antara

    lain meningkatnya kinerja dan daya saing Perseroan, serta

    kepercayaan para pemangku kepentingan (stakeholders)

    Perseroan.

    Untuk ke depannya, Dewan Komisaris berharap agar penerapan

    GCG Perseroan yang bisa dikategorikan sangat baik ini dapat

    terus disempurnakan melalui komitmen yang kuat dan partisipasi

    aktif dari seluruh insan Perseroan dalam rangka menjaga

    kepercayaan dan kepentingan para pemangku kepentingan

    secara berkelanjutan.

    Komitmen Terhadap Pemegang Saham

    Dewan Komisaris memandang bahwa Perseroan dapat menjaga

    komitmen untuk mempertahankan imbal hasil bagi para

    pemegang saham Perseroan melalui pembagian dividen tunai

    untuk tahun buku 2017 sebesar Rp12,13 per saham dengan total

    nilai Rp101.140.994.048 yang telah dibayarkan pada tanggal

    Fiscal Year 2017 and determined the salaries/honorarium, benefits

    and facilities for the Board of Directors and Commissioners

    in 2018, and provided suggestions regarding the nomination

    process for the Board of Directors and the composition of the

    Board of Commissioners. As for GCG Committee, it has evaluated

    the effectiveness of GCG in the Company referring to the GCG

    principles and guidelines.

    We informed that as of April 30, 2018 the composition of

    the Audit Committee was changed, where Ms. Rosmala and

    Mr. Soemartojo were no longer held the position of Audit

    Committee member. The two persons have been replaced by

    Mr. Herry Trisaputra Zuna and Mr. Tarcicius Sawardi, based on

    Letter of Board of Commissioners No. SK.03/DK-WB/IV/2018

    dated April 30, 2018.

    Effectiveness of Corporate Governance Implementation

    The Board of Commissioners saw that the implementation of

    Corporate Governance (GCG) within the Company has shown

    adequate quality. Every member of the Company is considered

    to has understood the importance of applying the five principles

    of GCG in daily operational activities. This is inseparable with

    the Company’s commitment to continue to conduct GCG

    dissemination to employees at various lines.

    The success of the Company in implementing GCG effectively is

    reflected in the achievement of a high score of GCG Assessment

    conducted by the trusted Assessor Team of the BPKP of

    Jakarta Province, i.e. 88.46 with the “Very Good” rating. GCG

    implementation in the Company has shown significant progress

    and can be seen in the Assessment score of the Company’s GCG

    that goes higher year by year.

    Progress in GCG implementation has been proven to have

    a positive impact on the Company, such as increasing the

    Company’s performance and competitiveness, as well as

    stakeholders’ trust.

    In the future, the Board of Commissioners hopes that the

    implementation of the Company’s high-level GCG can continue

    to be refined through strong commitment and active participation

    from all the Company’s employees. The objective of this is to

    maintain the trust and interests of stakeholders in a sustainable

    manner.

    Commitments to Shareholders

    The Board of Commissioners saw that the Company could

    maintain its commitment to maintaining returns for the Company’s

    shareholders through the distribution of cash dividends for the

    2017 financial year of Rp12.13 per share, with the total share

    values amounted to Rp101,140,994,048 and was paid on April 20,

    20 April 2018. Hal ini membuktikan konsistensi Perseroan

    dalam menjaga kepercayaan dan memberikan nilai tambah

    bagi Pemegang Saham mengingat keberadaan para Pemegang

    Saham tersebut sangatlah penting bagi keberlangsungan bisnis

    Perseroan.

    Perubahan Susunan Dewan Komisaris

    Pada kesempatan ini Dewan Komisaris juga ingin melaporkan

    bahwa susunan Dewan Komisaris telah mengalami perubahan

    berdasarkan hasil Keputusan Rapat Umum Pemegang Saham

    Tahunan yang diadakan pada tanggal 19 Maret 2018, di mana

    Bapak Gandira Gutawa Sumapraja dan Ibu Tumik Kristianingsih

    tidak lagi berada di jajaran Dewan Komisaris. Posisi keduanya

    digantikan oleh saya sebagai Komisaris Utama dan Bapak Yohanes

    Babtista Priyatmo Hadi sebagai Komisaris. Adapun alasan

    perubahan susunan Dewan Komisaris ini karena penyegaran

    organisasi dalam rangka upaya peningkatan kinerja Perseroan.

    Pandangan dan Peran Dewan Komisaris atas Implementasi Whistleblowing System (WBS) Perseroan

    Dewan Komisaris memandang bahwa implementasi

    Whistleblowing System (WBS) telah berjalan dengan baik dimana

    semua elemen yang terlibat semakin memahami apa yang

    menjadi peran, tugas dan tanggung jawabnya masing-masing.

    Seluruh insan Perseroan juga semakin banyak yang mengetahui

    keberadaan WBS ini berkat sosialisasi yang dilakukan oleh

    manajemen setiap tahun. Manajemen senantiasa berupaya

    mendorong para karyawan untuk tidak ragu dan takut dalam

    menyampaikan pengaduan apabila mereka mengetahui adanya

    penyimpangan yang terjadi di unit-unit kerjanya.

    Terkait dengan WBS tersebut, Dewan Komisaris berperan dalam

    menerima laporan beserta data dan fakta dari fungsi penerima

    laporan pelanggaran. Selain itu Dewan Komisaris juga melakukan

    evaluasi terhadap laporan pelanggaran apakah diperlukan

    investigasi lebih lanjut atau sudah cukup dilakukan penetapan

    hukuman.

    Prospek Usaha di Tahun 2019

    Menurut para ekonom, pertumbuhan ekonomi dunia pada tahun

    2018 yang mencapai 3,8% diprediksi mengalami perlambatan

    menjadi 3,6% pada tahun 2019. Angka ini sedikit lebih rendah

    dibandingkan proyeksi Dana Moneter Internasional (IMF)

    sebesar 3,7%. Sementara itu, pertumbuhan ekonomi nasional

    diproyeksikan berada di kisaran 5,2% menurut Bank Dunia,

    sedikit lebih rendah dibandingkan proyeksi Pemerintah sebesar

    5,3% yang tertuang dalam APBN 2019.

    Namun demikian, kondisi ekonomi makro tersebut sepertinya

    tidak akan menjadi penghambat terhadap laju industri beton

    pracetak. Sebaliknya, pengembangan infrastruktur yang sangat

    gencar oleh pemerintah justru telah mendorong tingginya

    kebutuhan terhadap material seperti beton pracetak.

    Changes in the Composition of the Board of Commissioners

    On this occasion, the Board of Commissioners would also

    inform that the composition of the Board of Commissioners

    has been changed, following the Decision of Annual General

    Meeting of Shareholders held on March 19, 2018, where

    Mr. Gandira Gutawa Sumapraja and Ms. Tumik Kristianingsih

    were no longer members of the Board of Commissioners. The

    position of President Commissioner has been taken over by

    myself and the Commissioner, by Mr. Yohanes Babtista Priyatmo

    Hadi. The reason for this changes is the organization needed

    fresh air for improving the Company’s performance.

    The Board of Commissioners' Outlook and Role on the Company’s Implementation of Whistleblowing System (WBS)

    The Board of Commissioners considered that the implementation

    of the Whistleblowing System (WBS) has been running well where

    all the elements involved understand better what their respective

    roles, duties and responsibilities are. More and more of the

    Company’s employees are aware of the existence of this WBS,

    due to the information provided by management every year. The

    Management always strived to encourage employees not to be

    hesitate and fear in filing complaints if they are aware of any

    irregularities that occur in their work units.

    Related to the WBS, the Board of Commissioners plays a role in

    receiving reports along with data and facts from the department

    that receives a violation complaint. In addition, the Board of

    Commissioners also evaluates complaints of violations, to

    see whether further investigation is needed or penalty may be

    imposed.

    Business Prospects in 2019

    According to economists, the world economic growth in 2018,

    which reached 3.8% is predicted to slow down to 3.6% in 2019.

    This figure is slightly lower than the International Monetary Fund

    (IMF) projection of 3.7%. Meanwhile, World Bank projected

    Indonesia’s economic growth will be approximately 5.2%, slightly

    lower than the government’s projection of 5.3% as stated in the

    2019 State Budget.

    However, these macroeconomic conditions do not seem to be an

    obstacle to the pace of the precast concrete industry. Conversely,

    the intensive development of infrastructure by the government

    has actually encouraged the high demand for materials, including

    precast concrete.

    Dewan Komisaris menghimbau manajemen untuk bersikap

    optimis namun tetap berhati-hati dalam mengeksekusi berbagai

    program mengingat kondisi makroekonomi yang masih diliputi

    ketidakpastian.

    Dewan Komisaris menyambut baik prospek usaha dan rencana

    strategis Direksi di tahun 2019 dan berpendapat bahwa rencana

    program dan target-target bisnis tersebut cukup realistis

    untuk dicapai. Direksi dinilai telah secara cermat dan hati-hati

    menetapkan strategi dan target-target utama di tahun 2019.

    Dewan Komisaris juga mengapresiasi strategi Direksi dalam

    melakukan penjajakan kerjasama dengan perusahaan induk dan

    BUMN lainnya untuk melakukan penetrasi pasar ke Asia Tenggara.

    Selain itu, Dewan Komisaris juga memberikan masukan kepada

    Direksi untuk tetap mengedepankan keberlanjutan bisnis dalam

    jangka panjang dibanding pertumbuhan yang agresif.

    Terkait dengan pengembangan usaha di masa mendatang,

    Dewan Komisaris menyarankan kepada Direksi untuk senantiasa

    melakukan evaluasi terhadap setiap investasi yang dilakukan

    dengan melibatkan konsultan guna memperoleh hasil kajian yang

    lebih akurat sehingga memudahkan Direksi untuk mengambil

    keputusan strategis dalam pengembangan usaha guna

    meningkatkan daya saing di masa depan.

    Di tahun 2018, Perseroan sudah meletakkan dasar untuk

    2019 baik dari sisi produksi maupun kondisi keuangan yang

    baik. Untuk itu, Dewan Komisaris yakin bahwa Perseroan

    siap menerima tantangan untuk produksi di luar negeri dan

    mengembangkan lini bisnis di luar produk seperti jasa kontraktor

    di tahun mendatang.

    Apresiasi

    Mengakhiri laporan ini, atas nama Dewan Komisaris, saya

    ingin menyampaikan apresiasi yang sebesar-besarnya kepada

    jajaran Direksi atas kinerjanya yang luar biasa dalam mengelola

    Perseroan, para karyawan atas dedikasi dan loyalitasnya

    terhadap Perseroan. Tidak lupa saya ucapkan terima kasih

    yang tak terhingga kepada para pelanggan, mitra bisnis, para

    pemegang saham dan pemangku kepentingan lainnya atas

    kepercayaan dan dukungan yang telah diberikan kepada

    The Board of Commissioners urged the Management to be

    optimistic but remain cautious in executing various programs

    given the yet uncertain macroeconomic conditions.

    The Board of Commissioners welcomed the Board of Directors’

    business prospect analysis and strategic plans for 2019 and

    assumed that these are feasible to realize. The Board of Directors

    is considered to have carefully and cautiously set the main

    strategies and targets for 2019.

    The Board of Commissioners also appreciated the Board of

    Directors’ strategy in exploring cooperation with other holding

    companies and BUMNs to penetrate Southeast Asia market. In

    addition, the Board of Commissioners also provided input to the

    Board of Directors to continue prioritize business sustainability in

    the long term rather than aggressive growth.

    Regarding future business development, the Board of

    Commissioners advised the Board of Directors to always evaluate

    every investment made by involving consultants in order to obtain

    more accurate study results. This is aimed to facilitate the Board

    of Directors to make strategic decisions in business development

    to improve competitiveness in the future.

    In 2018, the Company has laid good foundation for 2019 both

    in terms of production and financial conditions. To that end,

    the Board of Commissioners is confident that the Company is

    ready to accept challenges for overseas production and develop

    business lines outside of products such as contractor services in

    the coming year.

    Appreciation

    Concluding this report, on behalf of the Board of Commissioners,

    I would like to express my highest appreciation to the Board

    of Directors for their outstanding performance in managing the

    Company, and to the employees for their dedication and loyalty

    to the Company. I also immeasurably thank the customers,

    business partners, shareholders and other stakeholders for the

    trust and support provided to the Company. Hopefully with well-

    established synergy supported by continuous innovation, the

    Company would be able to accelerate positive business growth

    in a sustainable manner in the coming years.
