VALIDITYUnless other terms and conditions are expressly accepted by us by a written amendment to these terms and conditions signed by oneof our Directors and referring specifically to the term or condition to be amended the Contract will be on the terms and conditions setout below (together called the Contract Terms) to the exclusion of any other terms and conditions whether or not the same areendorsed upon delivered with or referred to in any purchase order or order document delivered by the Buyer to us. Any referencebelow to any other specification or like document will not be deemed to imply that any terms or conditions endorsed upon deliveredwith or referred to in such order specification or like document will have effect to the exclusion or amendment of the Contract Terms.

ILLUSTRATIONS, DESCRIPTIVE MATTER AND DIMENSIONSThe Buyer is not to rely on any illustrations, descriptive matter and dimensions contained in any of our brochures or catalogues asstatements or representations of fact and they will not form part of the Contract nor be regarded as a warranty or representation. Wewill not accept any responsibility or liability for any inaccuracy contained therein unless the Seller has specifically and expresslyaccepted responsibility therefore in writing in which case in the event of any inaccuracy in such statement, the Buyer will have thebenefit (subject to the conditions) of the Assurance as if the goods were defective in material or workmanship. All conduit is measuredlightly tensioned.

PRICE VARIATIONThe Seller reserves the right to vary prices and discounts at any time before a contract is formed, and if there is a variation in pricewhich would result in a Buyer’s order as a whole costing more than would otherwise have been the case, the Seller will give the Buyernotice thereof. Thereafter, the quoted price for the goods may be varied by additions upwards by the Seller in accordance with marketconditions at the date of actual supply and the Buyer shall pay such additions in addition to the quoted price. Without prejudice to thegenerality of the foregoing market conditions shall include any increase in the cost of labour and/or materials and/or transport. Prices(including delivery charges) and discounts quoted are applicable to the quantities and delivery amounts specified and if these arealtered the Seller shall be entitled to adjust the said prices and discounts to those applicable to the altered quantities and/or delivery

amounts. All prices exclude VAT.

MINIMUM CHARGEMinimum order values, minimum charges and carriage costs will apply. Details will be provided by the Sales Office. Orders thatqualify are inclusive of standard carriage method.

PAYMENTThe price is payable upon delivery. Payment will be made by the end of the month next following the month in which each invoice issent to the Buyer. All payments are strictly net, and are to be made on or before due date as a condition precedent to future deliveries.

The Seller shall be entitled to charge interest at an annual rate of 5% above Lloyds Bank PLC base rate from time to time which interestwill accrue daily and be calculated on a daily basis on overdue accounts from the date of invoice until payment. Notwithstanding anyContract Term allowing the Buyer credit, payment shall become due and payable to the Seller immediately upon the termination of theContract. The time of payment of the price shall be of the essence of the contract between the buyer and the seller.

QUOTATIONSAny quotation given by the Seller is given on the basis that no contract will come into existence until the Seller has accepted theBuyer’s order.

Any quotation made by the Seller on a fixed price basis is valid for a period of 30 days only from the date of the quotation providedthat the Seller has not previously withdrawn it, unless agreed otherwise.

PACKINGGoods will be packed in suitable containers for which no charge will be made. However, where (at the request of the Buyer) large orspecial packing cases are used an appropriate charge will be made.

DELIVERYWe will endeavour to deliver the goods within the time agreed or if no time is agreed within a reasonable time but delayed deliverywill not entitle the Buyer to cancel the order, unless such delay exceeds 60 days, and in no circumstances will we liable for any loss

or damage of any kind whatsoever caused directly or indirectly by any delay in the completion of the Contract or the delivery of thegoods. If for any reason whatsoever the completion of the Contract or the delivery of the goods is in our opinion rendered impractical

we may terminate the Contract by sending by ordinary post or by delivering to the Buyer a Notice in writing to that effect. Thereuponthe Buyer will pay to us such a sum as will together with any sum paid previously bear the same proportion to the Contract price(including any variation hereof) as the goods delivered bear to the goods contracted for and such termination shall not give rise toany claims by the buyer.

We will be entitled to make delivery of the goods by installments.

The Seller may in the case of a request to defer delivery of all part of a delivery, do so, but the Seller may invoice the goods involvedas if they had been delivered charging for split delivery if appropriate. No claim for damages or shortages will be considered unlesswe and the carrier are advised in writing within 10 days of invoice date and no claim for non-delivery will be considered unless weand the carrier are notified in writing within 15 days of despatch.

We will pay the carriage (goods rates) in Great Britain within ANC free delivery area on consignments to the net value of £175 andover for UK mainland and the Channel Islands. The Buyer will be charged carriage on consignments below this value. This includessplit deliveries at the request of the Buyer. Orders instructing despatch by other means will be subject to a packing and carriage chargeto cover the additional costs. No allowance will be made where the goods are collected from our premises by the Buyer.

STORAGEIf the Buyer fails to take delivery of the goods when they are ready for delivery we may at our option either store them ourselves orhave them stored by third parties on such terms as we may in our absolute discretion think fit. In any event cost of storage will thenbe borne by the Buyer and in so far as the storage is done by us then those costs will be our storage charges current at the time ofstorage. The cost will be added to and form part of the price.

FORCE MAJEUREThe Seller shall have the right to cancel or delay delivery of or to reduce the amount delivered if it is prevented from or hindered in ordelayed in supply of or delivery by normal route or means of delivery, the goods of the description covered by this Contract throughany circumstances beyond its control including but limited to strikes, lock-outs, accidents, war, fire, reduction in or unavailability ofpower at manufacturing plant, break-down of plant or machinery or shortage or unavailability of raw materials from normal sourcesor routes of supply and such cancellation, delay or reduction shall not give rise to any claims by the Buyer.

GUARANTEEIf during the period 6 months from the date of delivery any part manufactured by us is found on inspection by or for us or have proveddefective in material or workmanship under normal use and service and when properly installed and connected we will free of costrepair or if we wish replace such part provided that part is returned carriage paid to us as soon as possible after discovery of thedefect. We will not however be liable to repair or replace part if any identification or serial number thereon has been altered, defacedor removed or if any part has been subjected to any misuse, unauthorised repair, replacement, modification or alteration. Without

limiting the generality of the foregoing for the purpose of this Clause normal use and service will not be deemed to have occurred ifin our opinion it appears that the goods have after delivery to the Buyer been used or stored in damp or corrosive conditions. Subjectas aforesaid we will in no circumstances be liable for any loss or damage of any kind whatsoever whether under the contract or causeddirectly or indirectly by any defect in material or workmanship or any defect in the goods supplied or by any negligence on our partor the part of any of our servants or agents and all warranties and conditions expressed or implied statutory or otherwise are hereby

expressly excluded (except that such exclusion shall not apply to any implied condition that the Seller has or will have the right to sellthe goods when the property is to pass). Persons dealing in our goods are in no way our Agents but the Buyer has authority to transferor make over to any person to whom the goods are sold, let, hired or otherwise disposed of the benefit of the Guarantee which isgiven by us above. Apart from this the Buyer has no right or authority to bind us in any way or to assume on our behalf any obligationexpressed or implied. Any repaired or replaced goods are guaranteed on these terms for the unexpired portion of the 6 months.

RETENTION OF TITLENotwithstanding any other Contract Term, risk in the Goods shall pass to the Buyer when the Goods are delivered to the Buyer or itsagent.

The property (both legal and equitable) in the Goods shall not pass to the Buyer until the purchase price of the Goods has been paidin full together with payment to the Seller of any sum which is at the date of the contract or may thereafter become due or owing fromthe Buyer to the Seller.

Until property in the goods has passed to the Buyer or until delivery of the Goods to a third party pursuant to the permission givenbelow, the Buyer will hold the goods in a fiduciary capacity, will not obliterate any identifying mark on the Goods or their packagingand will keep the Goods separate from any other goods.

Prior to the property in the Goods passing to the Buyer the Seller permits the Buyer to deliver the Goods to a third party pursuant toa bona fide and arms-length agreement to re-sell the Goods and allows the Buyer to convert or incorporate the Goods into or mix theGoods with other goods but such liberty will cease upon the termination of the contract.

Where the Seller is unable to determine whether any goods are the Goods the Buyer shall be deemed to have sold all goods of thekind sold by the Seller to the Buyer in the order in which they were invoiced to the Buyer.

The Seller may at any time after payment for the Goods has become due take possession of the Goods (which for the avoidance ofdoubt will include the right to stop the Goods in transit) and remove them and the Buyer shall be deemed to have granted irrevocableauthority to the Seller to enter upon the Buyer’s premises or other premises where the Goods may be by its employees or agents totake possession of the Goods and (if necessary) to dismantle the Goods from any thing to which they are attached.

If prior to the expiry of 7 days from the date when the Seller has taken possession of the Goods the Buyer pays all sums then due orowing to the Seller together with the costs of re-taking possession of the Goods, the Seller will re-deliver the Goods to the Buyer at

the Buyer’s expense. If within 7 days the Buyer fails to pay all sums then due or owing to the Seller, the Seller may re-sell the Goodsand shall pay to the Buyer the balance of any sums received upon the re-sale of the Goods after deducting all sums due or owing fromthe Buyer to the seller and the costs of taking possession of and re-selling the Goods save that if the sums so received by the Sellerdo not exceed all sums due or owing from the Buyer to the Seller and the costs of taking possession of and re-selling the Goods theBuyer will pay to the Seller any shortfall.

The Seller has the right to maintain an action against the Buyer for the price of the Goods notwithstanding that property in the Goodshas not passed.

Nothing in the contract will constitute the Buyer the agent of the Seller in respect of any re-sale of the Goods by the Buyer so as toconfer upon a third party rights against the Seller.

TECHNICAL ADVICEThe Seller may at his discretion furnish technical advice to the Buyer relating to goods manufactured or supplied by the Seller or useof them, but on the basis that the same is given at the Buyer’s risk and the Seller shall not be liable for any loss damage or claims orwhatever nature or howsoever arising there from unless any misrepresentation was made fraudulently nor shall the Buyer be entitledto rescind the Contract.

AEROSPACEFlexible conduit and accessories are not supplied for Aerospace or Aeronautical applications. We will be pleased to advise specificallyon orders notified to us where the customer wishes to use conduit or accessories in such applications.

SPECIFICATION OR DESIGNWhere the Goods are manufactured in accordance with information or drawings supplied by the Buyer or to his design or specificationor where standard goods of the Seller are altered in accordance with the Buyer’s instructions no guarantee or warranty is given by theSeller as to the practicability, efficiency, safety or otherwise of the Goods (this being without prejudice to any other of the ContractTerms). The Buyer will indemnify and keep the Seller indemnified against all liability incurred by the Seller as a result of:-

ï Such goods infringing any intellectual property right including without prejudice to the generality of the foregoing patents

registered designs and copyrights or the provision of any statute, statutory instrument or regulation.

ï Any impracticability, inefficiency or lack of safety or other defects in the Goods where such defect is due (whether in whole or in part)to faults or omissions in such information drawings design specification or instructions.

No variation in the specification or design of any Goods which in the reasonable opinion of the Seller does not affect the suitability ofthe Goods for the purpose for which they are supplied by the Seller will constitute a breach of contract or impose upon the Seller anyliability whatsoever.

TERMINATIONThe contract will terminate immediately upon the happening of any one or more of the following, namely, that the Buyer has hadconvened a meeting of creditors (whether formal or informal) or has entered into liquidation (whether voluntary or compulsory) orhas a receiver, manager, administrator or administrative receiver appointed of its undertaking or any part thereof or a resolution hasbeen passed or a petition presented to any court for the winding-up of the Buyer or for the granting of an administration order inrespect of the Buyer or any proceedings have been commenced relating to the insolvency or possible insolvency of the Buyer.

EXPORTWhere the Goods are to be exported to the Buyer:-

ï The Uniform Laws on International Sales Act 1967 shall not apply to the contract.

ï Unless otherwise agreed: -payment will be in Pounds Sterling in England. -The Buyer will establish and maintain in favour of theSeller an irrevocable letter of credit in English confirmed by a U.K. clearing bank payable on drafts drawn at sight upon presentationto the bank by the Seller of a certified copy of the Seller’s invoice. Such letter of credit shall be established at least 30 days prior toanticipated shipment date and shall cover the full price of the Goods (including applicable taxes) and such letter of credit shall betransferable. All bank charges and other expenses in relation to the letter of credit shall be paid by the Buyer.

ï Unless otherwise agreed, the Goods will be sold F.O.B. or C.I.F. at the option of the Seller and the Seller will be under no obligationto give the Buyer notice as specified in Section 32(3) of the Sale of Goods Act 1979.

Where the goods are supplied for export from the United Kingdom the provisions of this clause shall be subject to any special termsagreed in writing by the Buyer and the Seller, apply notwithstanding any other provision of these conditions.

The Buyer shall be responsible for complying with any legislation or regulations governing importation of the Goods into the countryor destination and for payment of any duties on them.

RETURN OF GOODS POLICYGoods returned to Kopex Ltd without our prior authorisation and appropriate documentation will be refused and returned at theCustomers expense.

Prior to returning any goods to Kopex Ltd authorisation must be obtained from our Sales Office (phone +44(0)1753-502500 or fax+44 (0)1753 693521.

Authorisation comprises a Reference number and a Returns Note issued by Post or Fax which must be included with the returnedgoods. This enables goods to be identified, inspected and credited as quickly as possible.

Returned goods must be adequately packaged, particularly if sent by carrier, as those which have been damaged in transit or havebecome separated and are not actually received will be refused credit.

Part packs and part reels will only be accepted if the goods are faulty.

STOCK CLEANSE POLICY.Full details on request. No unauthorised returns will be accepted.

GENERALWe carry on business as Manufacturers of Flexible and Pliable Conduit, Fittings and Accessories. If the Buyer cancels, extends ordelays or purports to cancel or extend or delay the contract or any part of it or fails to take delivery of any goods such cancellationextension or delay or failure is calculated to cause disruption to our business and the Buyer will be liable, without prejudice to any ofour other rights to claim damages, to indemnify us against any loss damage or claim resulting from such disruption and against anyloss damage or expense incurred by us in connection with the manufacture or non-manufacture of the goods including the cost of

any material plant or tools used or intended to be used therefore and the cost of labour and other overheads.

We will be entitled to assign sub-contract or sub-let the Contract or any part thereof. Failure by us to enforce any of the Contract Termswill not be construed as waiver of any of our rights hereunder. The Contract made between the Buyer and ourselves will be construed

and operate in accordance with English Law. The Buyer hereby submits himself the jurisdiction of the English Courts to which alldisputes relating to the contract will be submitted.

Please note that our conduit is measured under light tension at -/+ 2%.
