Penerapan prinsip-prinsip Good Corporate Governance
(GCG) telah dijalankan oleh PT Bank Resona Perdania
(Bank) sebagai budaya perusahaan yang senantiasa
harus dipelihara, dijaga, dan ditingkatkan kualitasnya
dalam rangka pencapaian visi, misi, dan nilai-nilai
perusahaan.
Bank mempunyai komitmen untuk senantiasa
meningkatkan pelaksanaan GCG karena masyarakat
investor dan konsumen menilai Bank berdasarkan
kriteria layanan yang baik, etika, kualitas, profesional,
proporsional, dan terlindungi dari praktek penyimpangan
usaha. Maka, untuk mewujudkan tata kelola perusahaan
yang baik tersebut, Bank telah menerapkan prinsip-prinsip
dan praktek-praktek terbaik GCG secara konsisten, untuk
kepentingan Bank dan seluruh pemangku kepentingan
(stakeholders).
Penerapan prinsip-prinsip GCG ini dilaksanakan dalam
setiap kegiatan usaha oleh seluruh tingkatan atau jenjang
organisasi, yaitu seluruh pengurus dan karyawan Bank,
mulai dari Dewan Komisaris dan Direksi sampai pada
karyawan tingkat pelaksana.
Bank telah menetapkan struktur organisasi, membentuk
komite-komite dan menempatkan pejabat yang kompeten
dibidangnya dengan pembagian tugas dan tanggung
jawab yang jelas, disertai dengan komitmen yang kuat
dari pejabat-pejabat tersebut dalam melaksanakan tugas
dan tanggung jawabnya masing-masing.
The implementation of Good Corporate Governance
(GCG) principles has been obtained by PT Bank Resona
Perdania (The Bank) as a corporate culture that should
always be preserved, maintained and improved in quality
so as to achieve the vision, mission and corporate values.
The Bank is committed to improving the GCG
implementation, as investors and consumers will value
the Bank based on good services, ethical, professional,
quality and protected from business irregularities.
To achieve good corporate governance, the Bank has
applied the GCG principles and best practices consistently
for the benefits of the Bank and all stakeholders.
The implementation of GCG principles is applied in
each business activity by all levels of the organization,
namely the entire board and employees, ranging from
the Board of Commissioners, the Board of Directors,
and employees level.
The Bank has determined organizational structure,
established committees and put a competent officer with
clear segregation of duties and responsibilities followed by
strong commitment from those officers in implementing
duties and responsibilities.
Laporan ini dibuat untuk memenuhi ketentuan Peraturan Bank Indonesia (PBI) No. 8/4/PBI/2006 tanggal 30 Januari 2006 yang sebagian telah diubah dengan PBI No. 8/14/PBI/2006 tanggal 5 Oktober 2006 tentang Pelaksanaan Good Corporate Governance bagi Bank Umum.
This report is made to comply with Bank Indonesia Regulation (PBI) No. 8/4/PBI/2006 dated January 30, 2006 and partially amended by PBI No. 8/14/PBI/2006 dated October 5, 2006 concerning the Implementation of Good Corporate Governance for Commercial Banks.

Adapun jumlah dan komposisi anggota Dewan
Komisaris dan Direksi adalah, sebagai berikut:
1. Anggota Dewan Komisaris berjumlah 4 (empat)
orang, 2 (dua) orang diantaranya berasal dari pihak
independen (domisili di indonesia) dan 2 (dua) orang
berasal dari pihak non-independen (satu diantaranya
berdomisili di luar negeri). Anggota Direksi Bank
Resona Perdania terdiri dari 7 (tujuh) orang Direktur.
Kondisi ini telah memenuhi ketentuan Pasal 4 PBI No.
8/4/PBI/2006, yaitu jumlah anggota Dewan Komisaris
paling kurang 3 (tiga) orang dan paling banyak sama
dengan jumlah anggota Direksi.
2. Komposisi perbandingan antara Komisaris WNA
dengan Komisaris WNI adalah 2 (dua) berbanding
2 (dua). Kondisi ini telah sesuai dengan ketentuan
Pasal 12 ayat (3) PBI No. 9/8/PBI/2007 tanggal
13 Juni 2007 tentang Pemanfaatan Tenaga Kerja
Asing dan Program Alih Pengetahuan di Sektor
Perbankan, yaitu 50% (lima puluh persen) atau lebih
anggota Dewan Komisaris wajib berkewarganegaraan
Indonesia.
3. Komposisi perbandingan antara Direktur WNA dengan
Direktur WNI adalah 3 (tiga) berbanding 4 (empat).
Kondisi ini telah sesuai dengan ketentuan Pasal 12
ayat (4) PBI No. 9/8/PBI/2007, yaitu mayoritas anggota
Direksi wajib berkewarganegaraan Indonesia.
4. Jumlah anggota Direksi ada 7 (tujuh) orang. Kondisi
ini telah sesuai dengan ketentuan Pasal 19 ayat (1) PBI
No. 8/4/PBI/2006, yaitu jumlah anggota Direksi paling
kurang 3 (tiga) orang.
A. Pelaksanaan Tugas dan Tanggung Jawab
- Dewan Komisaris telah melaksanakan pengawasan
terhadap kebijakan pengurusan dan pelaksanaan
pengurusan Bank oleh Direksi, serta memberikan
nasehat kepada Direksi bilamana diperlukan.
- Dalam melakukan pengawasan, Dewan Komisaris
tidak terlibat dalam pengambilan keputusan
kegiatan operasional Bank, kecuali mengenai
hal-hal yang diatur di dalam Pasal 9 ayat (4)
PBI No. 8/4/PBI/2006, yaitu;
• Penyediaan dana kepada pihak terkait
sebagaimana diatur dalam ketentuan Bank
Indonesia tentang Batas Maksimum Pemberian
Kredit Bank Umum; dan
Number and composition member of Board of
Commissioners and Directors as follows:
1. Members of the Board of Commissioners consist of
4 (four) persons, 2 (two) persons are from independent
parties (domicile in Indonesia), and 2 (two) non-
independent parties (one of them is domicile abroad).
Member of the Board of Directors consist of 7 (seven)
persons. This condition is in accordance with the Bank
Indonesia Regulation No. 8/4/PBI/2006 article 4, which
states that the number of Board of Commissioners
must be at least 3 (three) persons and at most equal to
the number of members of the Board of Directors.
2. Composition of a Foreign Commissioner and
Indonesian Commissioner is 2 (two) to 2 (two). This
condition is in accordance with the Bank Indonesia
Regulation No. 9/8/PBI/2007, dated June 13, 2007
about Utilization of Foreign Workers and Transfer
Knowledge Program in Banking Sector article 12
paragraph 3, which states that 50% or more
members of the Board of Commissioners must
be Indonesian Citizen.
3. Composition of Foreign Directors and Indonesian
Directors is 3 (three) to 4 (four). This condition is in
accordance with the Bank Indonesia Regulation
No. 9/8/PBI/2007 article 12 paragraph 4, which states
that the majority of members of the Board of Directors
should be Indonesian citizens.
4. The number of members of the Board of Directors
is 7 (seven) persons. This condition is in accordance
with the Bank Indonesia Regulation No. 8/4/PBI/2006
article 19 paragraph 1, which states that the number
of members of the Board of Directors must at least 3
(three) persons.
A. Implementation of Roles and Responsibilities
- The Board of Commissioners has conducted
active oversight to the management policy and
management implementation from the Board of
Directors, and provided advices to the Board of
Directors when necessary.
- In conducting monitoring, the Board of
Commissioners was not involved in the decision
making for operations of the Bank, except on
matters regulated in article 9, paragraph 4, Bank
Indonesia Regulation No. 8/4/PBI/2006, namely:
• Provisionoffundstorelatedpartiesasstipulated
in the Bank Indonesia Regulation concerning the
Legal Lending Limit for Commercial Banks; and

• Hal-hal yang ditetapkan dalam Anggaran Dasar
Bank atau peraturan perundangan yang berlaku.
- Dewan Komisaris selalu hadir di dalam rapat-
rapat penting seperti Rapat Direksi, Rapat Kredit,
dan Rapat Komite Manajemen Risiko, dll. untuk
memantau dan melaksanakan fungsi pengawasan
secara langsung terhadap operasional Bank agar
sesuai dengan Kebijakan Bank, Anggaran Dasar, PBI,
peraturan perundangan lain yang berlaku efektif,
dan sah.
- Dewan Komisaris telah memastikan
terselenggaranya prinsip-prinsip GCG dalam setiap
kegiatan usaha Bank pada seluruh tingkatan/
jenjang organisasi, antara lain berupa :
a. Adanya transparansi dan keterbukaan informasi
secara lengkap, akurat dan tepat waktu, antara
lain mengenai laporan keuangan Bank.
b. Memastikan akuntabilitas setiap organ Bank.
c. Kepatuhan Bank terhadap peraturan perundangan
yang berlaku.
d. Pengungkapan transaksi yang mengandung
benturan kepentingan secara wajar dan adil,
tanpa ada pengaruh dari pihak lain.
e. Perlakuan yang adil terhadap pemegang saham
minoritas dan pemangku kepentingan lainnya.
- Dewan Komisaris Bank telah memastikan bahwa
Direksi Bank menindaklanjuti temuan audit dan
rekomendasi dari Satuan Kerja Audit Intern (SKAI),
auditor eksternal, hasil pengawasan Bank Indonesia,
dan/ atau hasil pengawasan otoritas lain.
- Dewan Komisaris telah memastikan bahwa risiko
dan potensi risiko selalu diidentifikasi dan dikelola
dengan baik.
- Dewan Komisaris telah menyediakan waktu yang
sangat cukup dalam melaksanakan tugasnya.
- Jabatan rangkap Komisaris sangat terbatas, yaitu:
• Presiden Komisaris Independen merangkap jabatan sebagai Ketua Komite Audit dan Ketua Komite Pemantau Risiko, dan Anggota Komite Remunerasi & Nominasi.
• 1 (satu) orang Komisaris Independen menjadi
Ketua Komite Remunerasi dan Nominasi.
• Seluruh anggota Dewan Komisaris tidak ada
jabatan rangkap di luar Bank, kecuali seorang
Komisaris Independen, menjadi Komisaris pada
anak perusahaan Bank, yaitu PT Resona Indonesia
Finance (“RIF”).

important meetings such as the Board of Directors
Meeting, Credit Meeting, and Risk Management
Committee Meeting to monitor directly whether
the Bank’s operations are in accordance with the
Bank’s Policy, Articles of Association, Bank Indonesia
Regulations, other effective and valid laws and
regulations.
- The Board of Commissioners has ensured the
implementation of GCG principles in every business
activity of the Bank at all levels of the organization,
such as:
a. Comprehensive transparency and information
disclosures in an accurate and timely manner,
among others to the Bank's financial statements.
b. Ensuring accountability of every elements of
the Bank.
c. Compliance of the Bank to conducted
regulations.
d. Fair and equitable disclosure of conflict of
interest transaction, without interference from
others parties.
e. Fair treatment of minority shareholder and
other stakeholders.
- The Board of Commissioners has ensured that the
Board of Directors followed up on audit findings
and recommendations of the Internal Audit Task
Force (SKAI),external auditors, the results of Bank
Indonesia supervisory and/ or other supervisory
authorities result.
- The Board of Commissioners has ensured that risks
and potential risks are continually identified and
suitably managed.
- The Board of Commissioners has provided very
adequate time for performing their duties.
- Concurrent positions for Commissioners are very
limited, namely:
• TheIndependentPresidentCommissioner
concurrently holds the positions as Chairman
of Audit Committee and also as Chairman of
Risk Monitoring Committee and Member of
Remuneration & Nomination Committee.
• 1(one)IndependentCommissionerbecamea
Chairman of the Remuneration and Nomination

duplicate positions outside the Bank, except
one Independent Commissioner, become
Commissioner in a subsidiary company, that is PT

B. Kriteria
- Seluruh anggota Dewan Komisaris Bank:
• Memiliki integritas, kompetensi dan reputasi
keuangan yang memadai.
• Tidak pernah dinyatakan pailit dan atau
dinyatakan bersalah menyebabkan suatu
perseroan dinyatakan pailit.
• Tidak pernah melakukan tindakan tercela dan
tidak pernah dihukum karena melakukan tindak
pidana kejahatan.
- Seluruh anggota Dewan Komisaris Bank tidak
memiliki hubungan keuangan, kepengurusan,
kepemilikan saham dan/ atau hubungan keluarga
dengan anggota Komisaris lainnya, dengan Direksi
dan/ atau pemegang saham pengendali yang dapat
mempengaruhi kemampuannya untuk bertindak
independen.
C. Independensi
- Dewan Komisaris Bank melaksanakan tugas dan
tanggung jawab secara independen dan tidak
mendapat intervensi dari pemegang saham ataupun
pihak lain manapun.
- Dalam memandang dan menyelesaikan masalah,
Dewan Komisaris Bank selalu mengenyampingkan
kepentingan pribadi dan menghindari benturan
kepentingan.
D. Rapat Dewan Komisaris
- Selama tahun 2012 rapat Dewan Komisaris Bank
telah diselenggarakan sebanyak 17 (tujuh belas) kali.
- Hasil Rapat Dewan Komisaris Bank dituangkan
dalam Risalah Rapat dan didokumentasikan dengan
baik, termasuk jika terdapat perbedaan pendapat
yang terjadi di dalam rapat.
B. Criteria
- All members of the Board of Commissioners:
• Haveintegrity,competenceandasolidfinancial
reputation.
• Haveneverbeendeclaredbankruptorconvicted
of causing a company to go bankrupt.
• Havenevercommitteddisgracefulactsandhave
never been convicted of a criminal act.
- All of Bank the Board of Commissioners member
has no financial, management, share interest
relationship and/ or family relationship with other
members of the Board of Commissioners,
the Board of Directors, and/ or controlling
shareholder, that can impact to each capability to
act independent.
C. Independence
- The Board of Commissioners carries out their
duties and responsibilities independently without
intervention from shareholders or other parties.
- The Board of Commissioners always put aside
personal interests and avoids conflicts of interest
in view and solve the problems.
D. Meetings of The Board of Commissioners
- During year 2012, the board of Commissioners
already held meeting as much as 17
(seventeen) times.
- The Meetings of the Board of Commissioners are
stated in the Minutes of Meeting and are well
documented, including if there are dissenting
opinion in the meetings.

A. Pelaksanaan Tanggung Jawab
- Direksi Bank melaksanakan pengurusan Bank
dengan penuh tanggung jawab sesuai dengan
kewenangan yang diatur di dalam Anggaran Dasar
Bank dan peraturan perundangan yang berlaku
efektif dan sah.
- Direksi Bank memiliki Pedoman dan Etika Kerja yang
bersifat mengikat bagi setiap anggota Direksi Bank.
- Direksi Bank melaksanakan prinsip-prinsip GCG
dalam setiap kegiatan usaha Bank pada seluruh
tingkatan atau jenjang organisasi.
- Direksi Bank memonitor dan menindak lanjuti
temuan audit serta rekomendasi dari Satuan
Kerja Audit Intern (SKAI), auditor eksternal, hasil
pengawasan Bank Indonesia, dan/ atau otoritas lain.
- Dalam rangka melaksanakan prinsip-prinsip GCG,
Direksi Bank telah membentuk Unit Kepatuhan,
Satuan Kerja Audit Intern, Bagian Manajemen Risiko,
Komite Manajemen Risiko, dan Unit Hukum.
- Direksi Bank tidak pernah memberikan kuasa umum
kepada pihak lain yang mengakibatkan pengalihan
tugas dan fungsi Direksi Bank.
- Direksi Bank menyediakan data dan informasi yang
akurat, relevan, tepat waktu dan telah menyiapkan
sistem pelaporan yang lengkap kepada Dewan
Komisaris Bank.
- Direksi Bank mengungkapkan semua kebijakan Bank
yang bersifat strategis di bidang ketenagakerjaan
kepada karyawan melalui fasilitas intranet Bank.

- The Board of Directors conducts the Bank’s
management with full responsibility in conformity
with the authority as stipulated in the Bank Articles
of Association and efective and valid regulations.
- The Board of Directors has a Guideline and Work
Ethics for each member.
- The Board of Directors implements the principles
of GCG in every business activity of the Bank at all
levels of the organization.
- The Board of Directors monitors and follows up on
audit findings and recommendations of the Internal
Audit Task Forces (SKAI), external auditors, the
results of Bank Indonesia supervisory and/ or other
supervisory authorities.
- In order to implement the principles of GCG,
the Board of Directors has established Compliance
Unit, Internal Audit Task Forces, Risk Management
Division, Risk Management Committee and
Legal Unit.
- The Board of Directors never gives general authority
to other parties that results in the transfer of duties
and functions of the Board of Directors.
- The Board of Directors provides data and
information that is accurate, relevant, timely and has
prepared a comprehensive reporting system to the
Board of Commissioners.
- The Board of Directors disseminates all the Banks’
strategic policies in the field of employment through
an Internal Web for all employees.

- Anggota Direksi Bank tidak pernah memanfaatkan
Bank untuk kepentingan pribadi, keluarga, dan atau
pihak lain yang dapat merugikan atau mengurangi
keuntungan Bank.
B. Kriteria
- Semua anggota Direksi Bank telah mendapat
persetujuan dari Bank Indonesia. Komposisi anggota
DIreksi telah memenuhi Peraturan Bank Indonesia
mengenai Pelaksanaan Good Corporate Governance
bagi Bank Umum dan Pemanfaatan Tenaga Kerja

• Tidak memiliki jabatan rangkap sebagai Komisaris,
Direksi atau Pejabat Eksekutif pada bank,
perusahaan dan atau lembaga lain;
• Secara sendiri-sendiri dan bersama-sama
tidak memiliki saham dari modal disetor pada
perusahaan lain.
• Tidak memiliki hubungan keuangan dan
hubungan keluarga dengan anggota Dewan
Komisaris, anggota Direksi lain dan/ atau
pemegang saham Bank.
- Anggota Direksi Bank telah memiliki Sertifikat
Manajemen Risiko yang dipersyaratkan, yang
diterbitkan oleh lembaga yang berwenang dan
terus dikinikan sesuai dengan jangka waktu yang
ditentukan oleh Peraturan Bank Indonesia.
- Presiden Direktur Bank berasal dari Resona Bank
Ltd., Jepang, yang merupakan pemegang saham
pengendali Bank, tetapi Presiden Direktur tersebut
telah menandatangani Surat Pernyataan Independen
sesuai Lampiran 1 Surat Edaran Bank Indonesia
No. 9/12/DPNP tanggal 30 Mei 2007 tentang
Pelaksanaan GCG bagi Bank Umum.
c. Independensi
- Direksi Bank melaksanakan tugas dan tanggung
jawab secara independen dan tidak mendapat
intervensi dari pemegang saham ataupun pihak lain.

family, and or other parties that may harm or reduce
the profits of the Bank.
B. Criteria
- All members of the Board of Directors have
had Bank Indonesia approval. Composition of
member of the Board of DIrector has fulfilled Bank
Indonesia Regulation regarding Good Corporate
Governace Implementation for Commercial Banks
and Utilization of Foreign Workers and Transfer
Knowledge Program in Banking Sector.
- All members of the Board of Directors are domiciled
in Indonesia.
- All members of the Board of Directors:
• Haveneverbeendeclaredbankruptorconvicted
of causing a company to go bankrupt.
• Haveneverdonedisgracefulactsandhavenever
been convicted of a criminal act.
• DonothaveanotherpositionasCommissioner,
Board of Directors or Executive Officer of another
bank, corporation, and other institutions.
• Donotindividuallyorcollectivelyownsharesof
paid up capital of another company.
• Donothavefinancialandfamilytieswith
members of the Board of Commissioners, other
Directors and/ or shareholders of the Bank.
- Members of The Board of Directors hold required
Risk Management Certificates issued by the
authorize institution through executive and reguler
program and are kept updated in accordance with
the duration as determined by Bank Indonesia
Regulations.
- The President Director comes from Resona Bank Ltd.,
Japan, which is the Bank’s controlling shareholder,
but the President Director has signed Statement of
Independence according to appendix 1,
Bank Indonesia Circular Letter No. 9/12/DPNP dated
May 30, 2007 regarding Implementation of GCG for
Commercial Bank.
C. Independence
- The Board of Directors carries out duties and
responsibilities independently and does not get
intervention from shareholders or other parties.

- Direksi Bank dalam memandang dan menyelesaikan
masalah selalu mengenyampingkan kepentingan
pribadi dan menghindari benturan kepentingan.
D. Rapat Direksi
- Setiap keputusan dan kebijakan strategis ditetapkan
melalui Rapat Direksi, pengambilan keputusan
dilakukan berdasarkan musyawarah mufakat.
- Hasil Rapat Direksi Bank dituangkan dalam risalah
rapat dan diadministrasikan dengan baik termasuk
pendapat berbeda (dissenting opinion) apabila ada.
- Setiap keputusan rapat yang diambil Direksi
Bank diterapkan dan tidak bertentangan dengan
ketentuan yang berlaku dan tata tertib kerja Bank.

Dalam rangka mendukung efektifitas pelaksanaan
tugas dan tanggung jawabnya, Dewan Komisaris telah
membentuk komite-komite, yaitu: Komite Audit, Komite
Pemantau Risiko, dan Komite Remunerasi dan Nominasi.
1. Komite Audit
Komite Audit dibentuk oleh Dewan Komisaris pada
bulan Juni 2007 dengan susunan anggota per akhir

Pelaksanaan Tugas dan Tanggung Jawab
- Komite Audit telah memantau dan mengevaluasi
perencanaan dan pelaksanaan audit, serta
memantau tindak lanjut hasil audit dalam rangka
menilai kecukupan dan pengendalian intern
termasuk kecukupan proses pelaporan keuangan.
- Dalam melaksanakan tugas, Komite Audit telah
memberikan rekomendasi kepada Dewan Komisaris
Bank serta melakukan pemantauan dan evaluasi
terhadap :
a. Pelaksanaan tugas SKAI.
b. Kesesuaian pelaksanaan audit oleh kantor
Akuntan Publik (KAP) dengan standar audit yang
berlaku.
c. Kesesuaian laporan keuangan dengan standar
akuntasi yang berlaku.
d. Pelaksanaan tindak lanjut oleh Direksi Bank atas
hasil temuan audit SKAI, Akuntan Publik, hasil
pengawasan Bank Indonesia dan otoritas lain.
In order to support the effective implementation of
duties and responsibilities, the Board of Commissioners
has established committees, namely: Audit Committee,
Risk Monitoring Committee, and Remuneration and
Nomination Committee.
1. Audit Committee
Audit Committee was established by the Board of
Commissioners in June 2007 with the members as of
the end of December 2012 consisting of:

All members of the Audit Committee have no financial,

Implementation of Duties and Responsibilities
- Audit Committee monitors and evaluates the
planning and implementation of audits, and
monitors the follow-up action of the audit result
in order to assess the sufficiency of internal
control including the adequacy of the financial
reporting process.
- In performing its duties, Audit Committee has
provided recommendations to the Board of
Commissioners and performed controlling and
evaluation of:
a. Implementation task of Internal Audit Task Force.
b. The suitability of the audit process by the Public
Accountant Office with applicable auditing
standards.
c. Appropriateness of financial statements with
accounting standards.
d. Implementation of a follow-up action by the
Board of Directors on the audit findings of Internal
Audit, Public Accountant, the supervision of Bank
Indonesia and other authorities.

Committee took into account the Bank’s financial
performance, individual performance, fairness
in Peer Group, and the long-term objectives and
strategies.

Officers and employees within reasonable limits in
accordance with the company’s capability.

A. Fungsi Kepatuhan
Fungsi Kepatuhan merupakan rangkaian tindakan
atau langkah-langkah yang bersifat preventif untuk
memastikan bahwa kebijakan, ketentuan, sistem dan
prosedur, serta kegiatan usaha yang dilakukan oleh
Bank telah sesuai dengan ketentuan Bank Indonesia
dan perundangan yang berlaku.

dan tanggung jawab masing-masing dalam

A. The Compliance Function
Compliance function is a series of actions or measures
of a preventive nature to ensure that the policies, rules,
systems and procedures, as well as business activities
conducted by the Bank in accordance with prevailing
Bank Indonesia and other regulations.
- The Board of Directors and all Bank’s staff have
understood the role and responsibilities of each in

Membawahkan Fungsi Kepatuhan secara efektif,
Bank telah membentuk Unit Kepatuhan yang
independen terhadap satuan kerja operasional.
- Bank melalui Direktur yang Membawahkan Fungsi
Kepatuhan telah memastikan kepatuhan terhadap
peraturan Bank Indonesia dan peraturan perundang-
undangan lainnya yang berlaku.
- Direktur yang Membawahkan Fungsi Kepatuhan
senantiasa memantau dan menjaga kebijakan Bank
agar tidak menyimpang dari peraturan perundangan-
undangan, dan memantau semua komitmen kepada
Bank Indonesia dan otoritas lainnya.
- Direktur yang Membawahkan Fungsi Kepatuhan
melaporkan pelaksanaan tugas dan tanggung jawab
setiap 3 (tiga) bulan sekali kepada Presiden Direktur
Bank dengan tembusan kepada Dewan
Komisaris Bank.
- Direktur yang Membawahkan Fungsi Kepatuhan
melaporkan pelaksanaan tugas dan tanggung jawab
Direktur yang Membawahkan Fungsi Kepatuhan
setiap 6 (enam) bulan sekali kepada Bank Indonesia,
secara tepat waktu.
- Unit Kepatuhan secara reguler menyelenggarakan
pelatihan dan sosialisi kepada karyawan mengenai
peningkatan Budaya Kepatuhan, Pelaksanaan
Fungsi Kepatuhan, Kebijakan Kepatuhan, Pedoman
Kepatuhan, Penerapan Pedoman Anti Pencucian Uang
dan Pencegahan Pendanaan Terorisme, peraturan
Internal dan Eksternal dan hal-hal lain yang terkait
dengan pelaksanaan prinsip kehati-hatian, agar dalam
melaksanakan tugasnya, karyawan selalu berpedoman
pada peraturan dan undang-undang yang berlaku.
B. Penerapan Fungsi Audit Intern
- Satuan Kerja Audit Intern (SKAI) merupakan satuan
kerja yang independen dari satuan kerja operasional,
yang melaksanakan tugas dan fungsinya secara efektif
dengan berpedoman pada persyaratan dan tata cara
sebagaimana diatur dalam Kebijakan Audit Internal
dan ketentuan Bank Indonesia.
- SKAI melakukan fungsinya secara independen
sesuai dengan Kebijakan Audit dan rencana kerja
audit tahunan yang telah disetujui oleh Presiden
Direktur dan Dewan Komisaris. Dalam melakukan
carrying out the compliance functions, comprising,

- The Bank already have Director in charge for
Compliance Function according to the requirements
and regulations as stipulated in the Bank Indonesia
regulations regarding The Implementation of
Compliance Function in Commercial Bank.
- To assist the implementation of Director in Charge
for Compliance Function effectively, Bank’s has
formed a Compliance Unit that is independent of
the operational unit.
- Through the Director in Charge for Compliance
Function, Bank’s has ensured compliance with the
regulations of Bank Indonesia and other applicable
laws and regulations.
- Director in Charge for Compliance Function
constantly monitors and maintains Bank's policy
so as not to deviate from the statutory laws and
regulations, and monitors all commitments to Bank
Indonesia and other authorities.
- Director in Charge for Compliance Function reports
on the performance of his duties and responsibilities
every quarterly to President Director, with copies to

B. Implementation of Internal Audit Function
- Internal Audit Task Force (SKAI) is an independent
unit of the operational unit carrying out their
duties and functions effectively, guided by the
requirements and procedures as stipulated in the
Internal Audit Policy and Bank Indonesia regulations.
- SKAI independently performs its functions in
accordance with the Audit Policy and the annual
audit work plan approved by the President Director
and the Board of Commissioners. SKAI has also

yang diaudit dengan dihadiri oleh Dewan Komisaris
Bank, selanjutnya hasil audit dilaporkan secara
tertulis kepada Presiden Direktur dan Dewan
Komisaris dengan tembusan kepada Direktur yang
Membawahkan Fungsi Kepatuhan.
- Komitmen terhadap temuan hasil audit Bank
Indonesia dimonitor penyelesaiannya setiap bulan,
dan dilaporkan kepada Presiden Direktur dan Dewan
Komisaris.
- Efektifitas pelaksanaan kerja SKAI dan kepatuhan
terhadap Standar Pelaksanaan Fungsi Auditor Intern
Bank (SPFAIB) dilakukan review oleh audit pihak luar
secara berkala setiap 3 (tiga) tahun sekali, terakhir
dilakukan tahun 2010.
C. Penerapan Fungsi Audit Ekstern
- RUPS Bank tahun 2012 telah memutuskan untuk
menunjuk Kantor Akuntan Publik (KAP) Osman Bing
Satrio & Eny untuk mengaudit laporan keuangan
Bank akhir tahun buku 31 Desember 2012 melalui
Unanimous Circular Resolution of the Shareholders
No.05/Dir-Um/VI/2012. Penunjukkan ini dilakukan
setelah mempertimbangkan rekomendasi yang
diberikan oleh Komite Audit melalui Dewan
Komisaris.
- Akuntan Publik (AP) dan Kantor Akuntan Publik
(KAP) yang ditunjuk telah terdaftar pada Bank
Indonesia, dan penunjukan KAP tersebut sesuai
dengan ketentuan Bank Indonesia yang berlaku
tentang Transparansi Kondisi Keuangan Bank dan
peraturan terkait dari Menteri Keuangan.
- Pelaksanaan audit oleh KAP dilakukan secara
independen dan telah menggambarkan secara riil
kondisi keuangan dan kinerja Bank.
Penerapan Manajemen Risiko
- Secara umum Bank telah menerapkan manajemen
risiko sesuai dengan (i) PBI No. 5/8/PBI/2003 yang
sebagian diubah dengan PBI No. 11/25/PBI/2009
tentang Penerapan Manajemen Risiko Bagi Bank
Umum, dan (ii) PBI No. 8/6/PBI/2006 tentang
conducted an assessment of the adequacy and
effectiveness of internal control systems and the
quality of the performance of operational units

- The audit results are discussed together with the
audited unit with the attendance of the Board of

C. Implementation of The External Audit Function
- General Meeting of Shareholders of the Bank
in 2012 decided to appoint the Public Accountant
Office Osman Bing Satrio & Eny to audit
the financial statements of the Bank year ended
December 31, 2012 through Unanimous
Circular Resolution of the Shareholders No.
05/DIr-UM/VI/2012. This appointment conducted
after considering recommendation from Audit
Committee through The Board of Commissioners.

Implementation of Risk Management
- In general, the Bank has implemented risk
management in accordance with Bank Indonesia
Regulation No. 5/8/PBI/2003 as partially amended
by Bank Indonesia Regulation No. 11/25/PBI/2009
about Risk Management for Commercial Banks, and
Bank Indonesia Regulation No. 8/6/PBI/2006 on the

menetapkan dan mengembangkan kerangka
manajemen risiko yang terpadu dalam
pengendalian risiko.

Pengendalian Intern
- Pengendalian intern merupakan suatu mekanisme
pengawasan yang ditetapkan oleh manajemen
Bank secara berkesinambungan guna menjaga dan
mengamankan harta kekayaan Bank, menjamin
tersedianya laporan yang lebih akurat, meningkatkan
kepatuhan terhadap ketentuan yang berlaku,
mengurangi dampak keuangan/ kerugian dan
penyimpangan termasuk fraud dan penyelenggaraan
aspek kehati-hatian.
- Bank telah memiliki Kebijakan Pengendalian Intern
yang disusun berdasarkan ketentuan Bank Indonesia.
- Penyusunan Kebijakan Pengendalian Intern Bank
disesuaikan dengan total aset, produk dan jasa yang
ditawarkan, kompleksitas operasional, jaringan kantor,
profil risiko setiap kegiatan usaha, metode pengolahan
data dan pengukuran risiko serta ketentuan terkait
yang berlaku.

- The Bank has a policy used as a reference in
implementing risk management. The policy is in
line with the Bank’s vision, mission and strategic
plan, and the policy is focused on the related risks
dominant in business activities.
- The Bank has established the Risk Management Unit
("Risk Management Division") that is responsible
for daily monitoring of risks.
- In addition to the Risk Management Division, a Risk
Management Committee has also been established
to assist the Board of Directors in conducting risk
control and the Risk Monitoring Committee, which
assists the Board of Commissioners in monitoring the
implementation of the Bank's risk management.
- Risk Monitoring Committee and Risk Management
Committee are each assigned to assist in an active
role by the Board of Commissioners and the Board
of Directors in ensuring the adequacy of policy
and implementation of risk management within

Internal Control
- Internal controls is a control mechanism established
by the Bank's management on an ongoing basis
in order to safeguard and secure the Bank’s
assets, guarantee the availability of more accurate
reporting, improve compliance with applicable
regulations, reduce the financial impact of
losses and irregularities, including fraud and the
implementation of the principles of prudence.
- Bank’s has an Internal Control Policy prepared in
accordance with Bank Indonesia regulations.
- The formulation of the Bank’s Internal Control Policy
is adjusted for total assets, products and services
offered, operational complexity, office network, the
risk profile of each business activity, methods of
data processing and measurement of risk and the
applicable relevant regulations.

penyediaan dana besar, Bank selalu :
a. Menerapkan prinsip kehati-hatian dan mematuhi
ketentuan Bank Indonesia tentang BMPK.
b. Memonitor jumlah pinjaman yang diberikan per
debitur maupun per kelompok debitur. Hal ini
dimaksudkan untuk menjaga agar tidak terjadi
pelanggaran dan atau pelampauan BMPK.
c. Memperhatikan penyebaran/ diversifikasi portofolio
penyediaan dana.
- Bank menetapkan limit penyediaan dana besar secara
internal berdasarkan Kualitas Aset dan Kolektibilitas
Debitur dalam satu kelompok.
Penetapan limit dilakukan secara berjenjang, dengan
batas maksimum tidak melampaui ketentuan yang
ditetapkan oleh Bank Indonesia.
- Penyediaan dana besar, per debitur dan per kelompok
debitur, secara rutin dilaporkan kepada Dewan
Komisaris sebagai sarana pemantauan.
- Sepanjang tahun 2012 tidak terdapat pelanggaran
dan atau pelampauan BMPK.

Penyimpangan Internal
Tidak ada penyimpangan internal yang dilakukan oleh
karyawan Bank yang mempengaruhi kondisi keuangan

Bank telah melakukan upaya secara maksimal dalam
meminimalkan terjadinya penyimpangan internal, antara
lain dengan:

- Transparasi Informasi Produk Bank
- Transparansi suku Bunga Dasar Kredit
Permasalahan Hukum dalam Tahun 2012
Selama tahun 2012, tidak terjadi kasus Perdata maupun
Pidana, per 31 Desember 2012 terdapat 2 (dua) kasus
yang masih dalam penyelesaian.

There were no internal deviations that were done by the
Bank’s employees, which affected the financial conditions
of the Bank throughout the year 2012.
Bank has made maximum efforts to minimizing the
occurance of internal fraud, by conducting:

- Transparency of Prime Lending Rate

Benturan Kepentingan
Terdapat pemberian kredit oleh Bank kepada anak
perusahaan yaitu PT Resona Indonesia Finance. Mengenai
kondisi dan persyaratannya (terms & conditions) telah
diungkapkan dalam keputusan pemberian kredit dan telah
terdokumentasi dengan baik.
Buy Back Shares and Buy Back Obligasi Bank
Bank tidak pernah mengupayakan pengurangan jumlah
saham atau obligasi yang diterbitkan Bank dengan cara
buy back shares dan buy back obligasi, yaitu membeli
kembali saham atau obligasi yang sudah diterbitkan.
Pemberian Dana untuk Kepentingan Politik
Bank tidak pernah memberikan dana dalam bentuk
apapun untuk kepentingan politik.
Conflict of Interest
There was a loan disbursement by Bank to its subsidiary,
namely PT Resona Indonesia Finance, on which terms &
conditions have been disclosed in lending decisions and
have been well documented.
Buy Back Shares and Buy Back Bonds of the Bank
The Bank has never sought a reduction in the number of
shares or bonds issued by the Bank by way of buy back
shares and buy back bonds, which is the buying back of
shares or bonds that have been issued.
Giving Funds for Political Interests
The Bank has never given any form of funds for
political purposes.

XI. Kesimpulan Umum Pelaksanaan Good Corporate Governance General Conclusions of Good Corporate Governance Implementation
Berdasarkan hasil Self Assessment Pelaksanaan Good
Corporate Governance (GCG) tahun 2012 disimpulkan
bahwa Bank telah menerapkan GCG sesuai dengan
ketentuan yang berlaku, walaupun dalam operasional
dan pelaporan masih terdapat kelemahan yang bersifat
kesalahan manusia (human error), namun sejauh ini hal
tersebut tidak menimbulkan dampak yang signifikan
terhadap operasional Bank.
Nilai Komposit dan Predikat
Bank telah melakukan penilaian dengan menggunakan
Kertas Kerja Self Assessment Pelaksanaan GCG yang telah
ditetapkan oleh Bank Indonesia, yang meliputi 11 (sebelas)
faktor penilaian sesuai dengan ketentuan yang berlaku.
Nilai komposit atas 11 (sebelas) faktor penilaian kertas
kerja adalah 1.875 dan termasuk dalam Predikat
Komposit “Baik”.
According to a Self Assessment on the Implementation
of Good Corporate Governance (GCG) in 2012, it was
concluded that Bank’s has practiced the GCG principles
in accordance with applicable regulations, although
there were still minor operational and reporting errors
which were classified as human errors, thus they did not
significantly impact the Bank’s operations.
Composite Value and Rating
The Bank has conducted an assessment using the GCG
Self Assessment Working Paper set by Bank Indonesia,
which includes 11 (eleven) rating factors.
A composite value of above 11 (eleven) factors means that
the working paper is 1.875 and in the criteria of “Good”.
