The logistics guideline of MAHLE Filtersysteme GmbH (hereinafter referred to as “MAHLE”) include the principle re-quirements,whichtheMAHLEsupliersmustfullfill.Adherencetotheguidelinesisrequiredduringthedevelopment,design and planning of logistics concepts.
Adherence to the following items is especially required: Appropriate protection of components to minimize damages Guarantee of process safety and guarantee of production supply Simplificationwhenthehandlinggoods/containers Minimizing the logistics cost for the supply chain Automated data exchange Organized communication to guarantee a continued improvement process
The MAHLE logistics guideline will be sent to potential suppliers of MAHLE with the request documents. The logistics guidelinecomplementstheMAHLEpurchasingconditions-lateststandard.Withthedispatchoftheorderconfirma-tionthesuppliercommitstomeetthegeneralandspecificMAHLElogisticsrequirements.
This agreement is binding part of the order. In the case of contradictions the individual regulations of the framework supply contract or the general purchasing terms have priority.

Deliveries to all MAHLE plants outside the opening times must be approved in advance and must be reported to the incoming goods department. Deliveries on Sundays and on holidays must also be approved.

Business data can be exchanged between the information systems by using Electronic Data Interchange (EDI). For this purpose, the worldwide valid standard formats VDA (association of the Automotive Industry) and GALIA are used depending on the location.These standard formats are part of the European guideline for the improvement of logistics ODETTE.

The disposition responsibility is transferred to the supplier when using the VMI concept. Min/max limits will be agreed towiththesupplierandthestockcanfluctuatebetweenthoselimits.Thedemandsforadefinedperiodwillbedis-played on the Internet portal so that the supplier can adjust his production and his delivery cycle accordingly.

The consignment stock concept will be used for certain materials/suppliers. In this case, the supplier maintains a con-signment stock at a logistical service provider (LSP) assigned by MAHLE or directly at an appropriate MAHLE plant in accordance with a single stage delivery processing. The supplier is responsible to deliver the appropriate demands.
The consignment stock will be agreed to individually in advance by the procurement department in cooperation with the logistics department.
The supplier is responsible for the stock levels at the external or MAHLE internal consignment stock.By using the EDI, the LSP or the appropriate MAHLE plant make information available on each workday about stock levels and consumption .

Individual KANBAN agreements can be arranged in consultation with the supplier (depending on the product and general conditions).
3.6Shippingnotification
Theshippingnotificationmustonlybesentonrequestbythereceivingplant.ThesuppliersendsanotificationaspreliminaryinformationinparalleltothedeliverybyusingtheEDIinaccordancewith VDA 4913 or via WebEDI (please refer to item 3.1 = EDI delivery note).Theshippingnotificationmustgenerallybecompletedinaccordancewiththespecificationoftheappropriatestan-dard formats and must be transmitted after the goods have been transferred to the freight carrier.
3.7 Delivery dates
It must be noted that the due dates listed in the delivery call-offs are receipt of goods dates by the affected plants of MAHLE.

The supplier is responsible for the orderly establishment of the delivery documents in accordance with the respective standards. The supplier ensures that all required data and information for the transport logistics are completely do-cumented and free of errors on the shipping papers as well as on the EDI transmissions.The freight forwarder must receive a freight forwarding order and if required the export documents. The delivery note must be attached to the package in accordance with section 4.2.

Theidentificationofproductsandtransportunitsmustbepossiblebyclearandsystematicmarkings.Thepackagingunits must always be marked with standardized and barcode ready material tags in accordance with VDA 4902 ver-sion 4. For deliveries to MAHLE France, they can also be marked in accordance with GALIA. Deviations must be coordinated with MAHLE.
The design of the material tags must be selected in such a way that it can always be read visually or by a machine at the receiving location independent of environmental impacts and transport strains.The material tags for small load carrier packings must have a paper quality of >= 140 gr./m².
For missing, unreadable or incompletely marked material tags, MAHLE reserves the right to charge the supplier for additional expenditures and to make additional claims.

Three copies of the delivery note in accordance with DIN 4991/DIN 4994 must accompany the goods. The delivery note must be attached on the front end by using a delivery note pocket. A dedicated delivery note must be established for each order.
One delivery note set must be established for each unloading location.
Suppliers with EDI- or WebEDI-connection must print the delivery note number and the supplier number encoded on the delivery note as a barcode (PDF 417).Theentirefieldlengthofthebarcodeconsistsof18digits.

It is the objective of MAHLE to minimize the number of transports either by avoidance or by optimization or by com-bining of transports.
Expenditures generated by non-observance of the following transport guidelines will be charged to the supplier.
5.1 Delivery frequency
In consultation with the supplier, MAHLE reserves the right to specify and change the selected delivery frequency. DeviationsfromthespecifieddeliveryfrequencybythesupplierareonlypossibleafterapprovalbytheresponsibleMAHLE logistics functions.

ThetypeofdeliverywillbespecifiedbythereceivingMAHLEplantandtherespectivesupplierandwillberecordedon the form “Delivery Conditions”.If required, the form will be made available to the supplier by the receiving plant.

5.3 Routing order
The routing order will be established by the respective MAHLE plant and it describes the transport processings, transportdurationsandidentifiesthefreightforwardersapprovedbyMAHLE.

The transport assignment for “freight collect” delivery conditions must be made by the supplier at the freight forwarder approved by MAHLE. Possible additional cost due to the assignment of unapproved freight forwarders must be paid by the supplier.
The supplier is responsible for the orderly determination of the gross weight and the average load weight of the ship-ment. Additional cost due to erroneous weight information must be paid by the supplier.
5.4.1 Packet shipments
All “EXW supplier” or “FCA supplier” shipments up to 31.5 kg must be handed over to packet service providers spe-cifiedandassignedbyMAHLE.
A shipment is the sum of all goods of a sender on each loading day for one recipient, which will be loaded onto one collection vehicle.
5.4.2 Truck shipments
All “EXW supplier” or “FCA supplier” shipments with more than 31.6 kg must be handed over to forwarding companies specifiedbyMAHLE.
5.4.3 Express shipments
Short notice, unplanned shipments are normally organized by the supplier and will be processed by the logistics department of the freight forwarder selected by MAHLE. The respective MAHLE plant has always the authority to give the approval. The cost of express shipments, which are the responsibility of the supplier, will be invoiced to the supplier. Express shipments, which are not approved by MAHLE, must always be paid by the supplier.

For “EXW supplier” or “FCA supplier” shipments, the provision of the goods must always be made on the shipping day starting at 8:00 a.m. The supplier must pay the cost for possibly required special activities, downtimes of the freight forwarder or unnecessary trips by the freight forwarder if the provision is not made in time. The supplier and the freight forwarder have the right to amicably establish provision periods during normal business hours, however, at the latest until 4:00 p.m.
5.4.5 Loading
The loading must be done immediately after the vehicle is available. The following processing windows (loading of full loads, unloading of empties and administrative processing) are applicable assumed the trucks are available within the agreed upon loading time window: Shipments up to 2.5 to max. 60 minutes Partial and total loads max. 90 minutes
The additional expenditures will be invoiced to the originator if the supplier causes inadequately long processing times. The fault of third parties (e.g. customs processing) is excluded from this regulation.
The supplier must guarantee the on-time delivery of the goods based on his own initiative if an orderly pick-up by the freight forwarder is not possible due to faults of the supplier (e.g. goods are not available at the forecasted time, unreasonable waiting times, etc.).
Thesuppliermustorganizethetransportonhisownexpensetoguaranteeanon-timedeliveryifthedefinedpick-uptime window for freight forwarders, e.g. as part of milk runs, are not met due to a fault of the supplier.

5.4 Delivery processing 5.4.6 Shipments of dangerous goods
The supplier is obligated to transfer a shipment for transport in accordance with the dangerous goods regulation. The supplier is liable for all damages caused by the non-observance of the legal regulations.
5.4.7 Return shipments
Return shipments, which are generated based on a fault of the supplier, will be organized by MAHLE, assumed no other agreements were made in writing. The supplier is responsible for the cost.
5.5 Customs planning
The supplier is responsible for the orderly establishment of the customs papers in accordance with the respective currentlegalsituationaswellasfortheorderlycustomsplanning(customsclassifications)fortheimportofthegoodsinto the receiving country. MAHLE reserves the right to invoice the supplier for possible additional expenditures and disadvantages due to customs papers, which were not established correctly or which were missing.
5.6Certificateoforigin
ThesupplierisobligatedtoprovideMAHLEwiththerequireddeclarations(=supplierdeclaration,certificateoforigin)about the custom related origin of the goods delivered by him. If required, the supplier must proof his information abouttheoriginofthegoodsbyprovidinganinformationsheetconfirmedbyhiscustomsoffice.ThesupplierisliableforalldisadvantagesthatMAHLEexperiencesduetoaninadequateorlatedeliveryofthecertificateoforigin.

Thespecificationsforthepackagingarebasedonthefollowingrequirements: packaging suitable for transport and handling damage free delivery compatibility to transport and storage systems of the individual MAHLE plants increased use of reusable packagings, otherwise use of recyclable nonreturnable packagings optimal utilization of the containers stackability protection against dirt
Special attention must be paid to the fact that: old product labels are removed the load carriers are clean and undamaged in accordance with the component requirements the requirements of the technical delivery terms and conditions are adhered to.
The supplier has the responsibility for a packaging suitable for transport and handling, which guarantees a damage freedelivery.Contaminatedreusablepackagingsmustbecleanedbythesupplierbeforefilling.
MAHLE mainly uses the following as reusable packaging or exchange packaging:
VDA small load carriers 4314, 4328, 6280, 6414, 6421, 6428 Euro barred boxes in accordance with UIC 435-3 EuroflatpalletsinaccordancewithUIC435-3
In coordination with the MAHLE plant there can also be used other small load carriers.
DetailedexchangecapabilitycriteriahavebeenspecifiedforEuroflatpalletsandEurobarredboxes–pleasereferto recommendation EPAL: www.gpal.de.Required repairs for reusable packagings must be performed in accordance with the EPAL recommendation.
For wood packaging materials, adherence to the regulations of the receiving country is required in accordance with the IPPC standard ISPM No. 15.
Load carriers and packaging pieces with a weight above 40 kg must be fork lift accessible (min. 100 mm fork lift height). The weight of transport packagings (small load carrier, cardboard) with bulk cargo must not exceed 15 kg. The transport packagings can weigh up to 50 kg (tare) if the parts are also packaged (for example in PE bags or small card board boxes).

SpecificrequirementsbytheMAHLEplantregardingthepackageandthedeliveryconceptneedtobedefinedbet-ween the supplier and the MAHLE plant in the packaging datasheet.The supplier must request the packaging datasheet from the central purchasing department.
ThepackagingdatasheetprovidedbyMAHLEtothesuppliermustbesentbacktoMAHLEbeforethefirstdelivery.If required, a packaging test must be executed in cooperation with the receiving plant. In addition to the standard packaging, an alternative packaging should be agreed with the receiving plant.Packaging changes must be coordinated in advance with the respective MAHLE plant.

Nonreturnablepackagingsmustbeusedifnopackagingwasdefined.Thedimensionsofthepackagemustnotex-ceed 1,200 x 800 x 1,000 mm and must be at least stackable twice.

Each packaging unit or each container must be clearly marked. The markings of the load carriers by using VDA material tags must be attached in such a way that they are clearly readable and they must not exceed the outside dimensions of the load carrier. In addition, the label must not be covered by packaging materials. It must be decided in cooperation with the receiving plant whether the markings will be attached at the site or at the front. This may depend on the unloading process.
6.3.1 Barred box
The marking will be attached to the broad side at the upper right of the barred box or it will be attached with the help ofabagatthefront.Theexactspecificationoftheattachedpositionwillbedefinedinthepackagingdata-sheetorincoordination with the receiving plant.

6.3 Markings of the packaging 6.3.2 Small load carrier
The markings for small load carriers must be attached at the slots designated for this purpose and must be fastened with glue dots that can be removed completely. The small load carriers must be arranged on the pallet in such a way that all labels of the small load carriers placed on the pallet can be read.
The marking for the entire pallet must be placed at the same position as for the barred box, i.e. on a small load carrier or on the encasement.

6.3.3 Cardboard box
The marking for individual cardboard boxes must be glued horizontally at the front. The cardboard boxes must be arranged on the pallet in such a way that all labels of the cardboard boxes placed on the pallet can be read. The marking for the entire pallet must be placed at the same position as for the barred box, i.e. on a cardboard boxes or on the encasement.

The supplier must ensure the availability of the transport containers for his scopes of delivery. For this purpose the supplier will contact the receiving plant on time and order the required quantity of reusable containers. The transport containers must only be used for the transport of the materials ordered and not for storage purposes. He must ensure that the supply of the MAHLE plants is guaranteed even if the transport containers are missing. Required alternative packagings must be coordinated in advance with the MAHLE plants (please refer to section 6.2 Packaging regulati-on).
6.5 Accounting for empties
Together with the responsible MAHLE container management, the supplier must execute a monthly balance of the emptiesaccounts.Packagingaccountstatementswillbeestablishedatthefirstofeachmonthandmadeavailabletothe supplier for balancing, assumed no other provisions have been made. The review of the account statement must be completed within 14 days. The documented accounting stocks will be viewed as accepted and legally binding in accordance with the inventory processing if no objections are raised during this period at the plant responsible for theaccounting.DifferencenotificationsmustbemadeinwritingtotheresponsibleMAHLEcontainermanagement.
6.6 In-circulation calculation for reusable packaging
The form to be completed by the receiving plant for the calculation of the in-circulation of reusable packagings will be made available by the procurement department to the supplier if required.The form will be completed by the respective receiving plant based on the quantities to be delivered, transport times, delivery cycles, etc.It will show the quantity that the supplier must have available for a functioning circulation if the supplier must acquire the reusable packaging directly. In this case, MAHLE must not advance anything. The MAHLE container manage-ment at the receiving plant is the contact point for questions regarding the process, etc.

The supplier must inform the affected MAHLE plant/supplier management proactively and immediately if the supplier findsoutthatadeliverydateoradeliveryquantityagreedwithMAHLEcannotbemet(e.g.duetotechnicaldeficien-cies, capacity bottle necks, quality problems, etc.). The information must include the reasons, the expected duration of the delay and the impact of the measures taken to resolve the issue.
Express deliveries and special transports require always consultations with the MAHLE material planning. The cost must be covered by the party, which initiated the special transport.
MAHLE has the right to specify lump sum cost for deviations from the logistics processes caused by suppliers (such as early delivery, over-delivery and other deviations of delivery and packaging procedures). For this purpose, MAHLE will use the typical industry average damage including internal cost.

MAHLE evaluates the supplier capabilities.
The delivery reliability and the quality of the supplier will be measured and analyzed continuously. With respect to the supplier evaluation, it must be the objective of the supplier to achieve a delivery reliability of 100%, a quality index (QI) of 100% and 0 ppm.
The requirements listed in the following will be used for the analysis of the logistics supplier evaluation:

A physical inventory will be executed annually for the in-stock assets (subcontracting parts, transport containers, tools, etc.). This requires an annual balance of the book inventory balance with the actually available stocks. The supplier is obligated to provide the counting for the execution of the inventory tracking.The inventory lists of parts, transport containers and tools has to be send after the inventory unrequested to MAHLE.
Quantity differences or shrinkage must be paid immediately in accordance with the causer-pays principle based on the repurchasing value.
