SPEAKERS

Francis J. Vassallo, B.A. (Hons) Econ, FCIB, KM, MOM President FRANCIS J. VASSALLO & ASSOCIATES LTD., Malta Graduated in B.A.(Hons.) Econ. from the Royal University of Malta in 1970. He occupied several senior positions with Chase Manhattan Bank worldwide in his 25 year career with Chase. In September 1993 he was appointed Governor of the Central Bank of Malta - a position that he held until September 1997. During that period Mr. Vassallo played an extremely important role in the restructuring of the Malta’s banking and financial system and also contributed in establishing Malta as a world-class Financial Centre. During these years, Mr Vassallo spearheaded various legislative changes in preparation for Malta’s entry into the EU, including the new Banking Act and the amended Central Bank Act as well as assisting on the preparation of the legislation on the Investment Services Act and Capital Markets and the enactment of Anti-Money Laundering Legislation in Malta. During his tenure as Governor, Mr Vassallo was a founding member of the Malta Financial Services Authority (MFSA). Mr Vassallo is presently Chairman of Mediterranean Bank plc. He is a director of Celsius SICAV (Barclays Bank), a director of ALTMA and NBCG (National Bank of Canada) and a director of White Rock Insurance (Europe) PCC Limited. Mr Vassallo is also a Director on various other companies. Until recently Mr. Vassallo was a member of the board of FIMBANK plc. and a member of the board of United Group and the public listed United Finance plc. Mr. Vassallo was Chairman of the Malta Development Corporation until October 2000 and Chairman of BAWAG Malta Bank Limited until July 2009. He is a Fellow of the Chartered Institute of Bankers, member of the International Tax Planning Association (ITPA), the Institute of Financial Services Practitioners (IFSP). Mr. Vassallo was elected a Knight of the Sovereign Military Order of the Knights of St. John of Jerusalem. He was awarded the Honour by King Juan Carlos 1 of Spain of the Order of Isabel La Catolica as well as being awarded the National Order of Merit by the President of Malta. Between March 2009 until recently, Mr Vassallo was appointed by the Malta Government as Special Envoy to initiate and negotiate, on behalf of the Malta Government, agreements on the Avoidance of Double Taxation and the Protection of Investments in the Latin American Region. Mr. Vassallo has been a speaker at many international conferences on a variety of topics including Commodity Financing, Islamic Banking, Investment Management, Monetary Policy, Banking Supervision & Risk Management, Corporate Governance, and Money Laundering over the years. He is the President of the financial and tax consultancy firm Francis J. Vassallo & Associates Limited, Malta. Mr Vassallo is fluent in English, Maltese, Italian, Spanish and French.

Dr. Michelle Mizzi Buontempo Deputy Director, Securities and Markets Supervision Unit MALTA FINANCIAL SERVICES AUTHORITY Dr. Michelle Mizzi Buontempo, is currently the Deputy Director within the Securities and Markets Supervision Unit, her main responsibilities being the supervision of trustees and other fiduciaries. Since December 2013, she has also been entrusted with the responsibility of setting up of the regulatory framework and the supervision of Company Service Providers. Dr. Mizzi Buontempo joined the MFSA in 1999 as legal officer within the Registry of Companies and since then she has gained professional experience in different areas of financial supervision including the on-site monitoring of investment services licence holders and the investigation of a number of financial product mis-selling cases. Dr. Mizzi Buontempo was extensively involved in drafting of numerous pieces of legislation including the Trusts and Trustees Act and recent amendments to the same Act, the Company Service Providers Act and transposition of a number of EU Directives. Dr. Mizzi Buontempo was responsible for co-ordinating the development and implementation of sound corporate governance principles to be followed by listed companies as well as other public interest entities in Malta Dr. Mizzi Buontempo graduated as a lawyer from the University of Malta. She was also awarded an M.A. in Financial Services from the same University. Prior to joining the Malta Financial Services Authority, Dr. Mizzi Buontempo was responsible for the corporate division of one of Malta’s main auditing firms. She regularly lectures on corporate governance at training programs organised by the Malta International Trading Centre and the Malta Financial Services Authority as well as on the regulation and supervision of trustees and company service providers

Dr. Max Ganado Partner, GANADO ADVOCATES, Malta Dr.Ganado has practised law for the last 29 years. Starting as a maritime lawyer, dealing with all aspects of shipping including ship finance. He became a partner of the firm in 1986 and moved on to develop the financial services practices of the firm. He has been heavily involved in the drafting of new legislation required for the development of Malta as a financial centre, including the revision of the law relating to Trusts and the law on legal persons and foundations as well as securitisation and aviation. Max has lectured in investment funds and trusts for the last few years, being involved in disseminating education on trusts to the Maltese legal professions and Maltese law students. He has represented applicants in Court on trusts issues and has been appointed by the Court in its voluntary jurisdiction as an expert reporter on trust applications. He has published various articles and a legal text on Maltese Trusts and has acted as editor of various publications including collections of Maltese Court judgements on trusts, fiduciary obligations and foundations.

Claire Gauci, Compliance Specialist, Malta Claire Gauci is a Compliance Specialist in Financial Services and serves as a Director and Compliance Officer for various financial entities in Malta. Claire started her career within the Banking Regulation and Compliance Section at the Central Bank of Malta, which at the time was the Authority for the Maltese Banking Sector. Following the change to a single regulatory body, Claire moved to the Malta Financial Services Authority and was involved in the on-site supervision for banks, in the drafting of banking and financial services legislation and in the due diligence process of prospective bank applications. Claire worked with major financial services operators in Malta namely GlobalCapital plc, a publically listed company in Malta, and FXDD Malta where she occupied the role of compliance officer, money laundering reporting officer and company secretary. Claire was also the Compliance Director at Active Services (Malta) Limited which is part of the Active Group in Guernsey and was pivotal in the launching the Group’s compliance services in Malta. At Active, Claire provided high level compliance consultancy to major financial institutions on the implementation of European Union Directives such as EU Money Laundering Directive, MIFID II, AIFMD, EMIR and Solvency 2. Claire is a member of the Institute of Financial Services Practitioners in Malta. In addition to a Masters in Business Administration (E-business) from the Grenoble Graduate School of Business and Diploma in Operations and Compliance from the London School of Economics, Claire has completed the Diploma from the UK Chartered Institute of Insurance. She is also in the final stages of completing the Advanced Diploma in Insurance from the same institute.

Dr. Annalise Micallef , Public Notary, MICALLEF & ASSOCIATES, Malta Dr Annalise Micallef is a partner at Micallef & Associates – an office of notaries and estate planners. After having pursued the Bachelor of Laws and the Doctorate of Laws, and specialised with a Masters in Financial Services at the University of Malta, Dr Micallef is now actively involved in the regulation of the notarial profession, being Vice-President of the Maltese Notarial Council. She is a member of the Society of Trust and Estate Practioners (STEP) Malta Executive Committee, as well as a member of the STEP EU Committee which deals with issues concerning, in particular, civil law countries. In this context, she has followed closely different European Union iniatives in the area of justice and home affairs, most notably concerning succession matters. She has participated in representation of the Maltese notariat in several Council of the Notariats ofthe European Union (CNUE) meetings on an international level.

Nadine Sant, Legal Adviser & Chair of the Family Business Act Committee MINISTRY FOR THE ECONOMY, INVESTMENT AND SMALL BUSINESS, Malta Nadine Sant read law at the University of Malta at the University of Western Ontario, Canada at The University of Canterbury at Kent. She has read for a Bachelor of Laws, Diploma of Notary Public, IFSP Certificate in Trust Law and Administration, Doctor of Laws and after being awarded a British Council Chevening Scholarship, Masters in Public International Law.

Nadine is recognised as a European lawyer at the English Bar and is called to the Bar of England & Wales as a barrister as a member of Honourable Society of The Middle Temple Inn and is presently a door tenant in Chambers in London.

Nadine started work as a legal researcher at both the University of Western Ontario, Canada and at the University of Kent at Canterbury. Nadine subsequently pursued a career as a diplomat at the Ministry of Foreign Affairs in Malta. After being called to the English bar Nadine practised as a barrister in chambers in the Middle Temple Inn, London.

After returning to Malta, Nadine joined the Attorney General’s Office. Subsequently Nadine became a partner in Maltese law firm and last year took up the role as legal advisor to the Ministry for the Economy, Investment and Small Business and is Chair of the Family Business Act Committee which is responsible for overseeing the introduction of the legislation targeted specifically for family businesses.

Nadine is also a visiting lecturer and examiner at the University of Malta in the Faculty of Law and the Faculty of Economics, Management and Accountancy.

As a business owner, advisor and educator, Mario specialises in creating and delivering practical solutions to help families determine the right ownership structures, policies and strategies to meet their goals. He brings deep experience and specialised expertise to help families determine effective ways to develop good leadership, enhance communication, resolve conflicts, and work together as a team. He also assists families in business with the developing of succession planning, Family and Business Governance Structures and Family Constitutions. Mario is a member of the Malta Mentoring Society, the Malta Chamber of Commerce Enterprise and Industry and is one of the founding members and President of the Malta Association of Family Enterprises. He also holds a number of Directorships on both local and overseas companies. Mario earned his masters degree in Business Management at Anglia Polytechnic University and graduated in 1998 with a specialisation in Joint Venture Formation.

Dr. Simon Xuereb is a Manager within KPMG’s Tax Services Team, in which capacity he furnishes advice leading to the implementation of international tax solutions for a broad range of international clients across various industries on a daily basis with a specific emphasis on the provision of international tax advice to High-Net Worth individuals, both in respect of their personal tax affairs and in respect of the structuring of the acquisition and management of various high-value personal assets such as art, yachts and private jets. He holds a Doctor of Laws (LL.D.) degree from the University of Malta and a Masters of Advanced Studies in International Tax Law from the International Tax Centre, Leiden University. Dr Xuereb is a lecturer of tax modules leading to the Advanced Diploma in Taxation conferred by the UK Chartered Institute of Taxation, has also lectured on the Advanced Taxation module for the Association of Chartered Certified Accountants and his work has been published in the international tax journal, European Taxation.

With 14 years’ experience in the corporate and financial services field, he heads the firm’s Corporate & Financial Services practice, working primarily in corporate structuring, mergers and acquisition transactions, regulatory matters, hedge fund registration, and finance. After reading law at the University of Malta at undergraduate level and obtaining a Doctor of Laws degree in 1999, Andrew furthered his studies at the London School of Economics and Political Sciences, where he was conferred with a Masters of Law degree in company law, financial services law and international trade law. He was called to the bar in Malta in 2001 and has since been engaged in private legal practice in Malta. Andrew is a member of the Chamber of Advocates, the International Bar Association, the Institute for Financial Services Practitioners, FinanceMalta, the International Tax Planning Association, and International Masters of Gaming Law. Andrew lectures Corporate and Business Law and regularly contributes academic articles to various publications and online information resources.

Eileen Muscat, Chief Executive Officer, MALTA STOCK EXCHANGE Eileen Muscat moved in 1991 to the newly-set up Malta Stock Exchange after having been involved in the setting up of the new organization for a number of years. Ms Muscat has held various posts within the Exchange during her career with this organization and has been involved in all the major developments that have taken place, including infrastructural and technological projects. She also held the post of Secretary to the Board and Company Secretary for a number of years. Ms Muscat was also General Manager for a period of 9 years prior to her appointment as Chief Executive last September. Eileen Muscat stated her career at the Central Bank of Malta where she held various positions throughout her 12-year career there. Ms Muscat represents the Malta Stock Exchange on a number of Committees both locally and overseas including the Management Committee of the Federation of European Stock Exchanges, the Working Committee of the World Federation of Exchanges, is Alternate Director on the Board of Directors of the European Central Securities Depositories Association and also represents the Exchange on the Advisory Group of the Target-2 Securities Project.

Kenneth currently holds the post of Chief Officer Fund Services and sits on the Executive Committee of the Group. He is responsible for the bank’s two subsidiaries: Valetta Fund Services Limited, the Bank’s fund servicing arm and Valetta Fund Management Limited, a joint venture between Bank of Valletta plc and Insight Investment Management, a full owned subsidiary of Bank of New York Mellon.
