Commerce is scheduled for theevening of Thursday, March 25,in the Gateway Center at theUniversity of North Texas. Thismeeting symbolizes the transi-tion to the new program yearthat officially begins April 1.

The volunteer leadershipteam, headed by HankDickenson, also will take officeApril 1. Dickenson is the deputyathletic director at UNT.

Dickenson is serving a secondterm on the chamber board ofdirectors; he is in his fourth yearas a division officer on the exec-

utive committee, currently car-rying the title of board chair-man-elect. Hank succeeds StanMorton, president of TexasHealth Presbyterian HospitalDenton.

The meeting’s featured pro-gram will focus on the economicimpact of Super Bowl XLV,which is scheduled for Feb. 6 atCowboys Stadium in Arlington.

Volunteers and staff from thechamber, the DentonConvention and Visitor Bureauand the Greater Denton Sports

Commission have been repre-sented and involved in severalactivities and initiatives relatedto the North Texas Super BowlXLV Host Committee, aimed attaking advantage of the regionalapproach that has been appliedto hosting the game.

In keeping with the vernacu-lar of the university he repre-sents, Dickenson’s theme will be“Chamber 101” — getting backto the basics of what theChamber of Commerce does forthe benefit of not only the localbusiness community, but theentire Denton area.

tions will include volunteer ofthe year for 2009-10, ambassa-dor of the year and the Otis L.Fowler Award, the DentonChamber’s highest and mostprestigious honor.

Chamber to kick off program year

City still working on2002 downtown plan

City leaders are looking tofinally push to implement a2002 downtown master plan, acity consultant said.

City staff members are work-ing with a consultant, JacobsEngineering Group Inc., to fin-ish the study and draft the relat-ed codes ahead of an expectedcouncil vote in mid-April.

The study focuses on a broadrange of topics affecting aroughly 160-acre area borderedby Carroll Boulevard to the west,Parkway and McKinney streetsto the north, Bell Avenue to theeast and Sycamore Street to thesouth. Some of the same codeswould also apply farther east toExposition Street and a planneddowntown bus and rail center at604 E. Hickory St.

Jacobs Engineering has beenstudying the downtown area torecommend new standards forland use, architectural design,bicycle and pedestrian mobility,parking, trash bins, parks andopen space, and related issues.

Work begins on Sam’s,second Wal-Mart store

Developers for the RayzorRanch mixed-use development

are starting construction on aSam’s Club and Denton’s secondWal-Mart. The long-awaitedstores will add more than321,000 square feet of retailspace to the anticipated develop-ment expected to open this fall.

Three other retail buildingsare finished and are available forlease, with other buildings antic-ipated to be built in the future.

Sally reports increase in quarterly profit

Denton’s Sally BeautyHoldings Inc. reported a 63 per-cent increase in profit for thefirst quarter of fiscal 2010.

In a news release, the compa-ny reported net earnings for thefirst quarter increased to $26.13million from $16.06 million theprevious year. Adjusted netearnings for the quarter were$24.69 million, compared with$17.97 million a year ago.

Gary Winterhalter, the com-pany’s president and chief exec-utive officer, said the strongfinancial results allowed Sally tosurpass $700 million in quarter-ly revenue for the first time.

Denton shop mergeswith Houston company

The owner of Denton’sFlooring America store

announced that his companymerged with My FlooringAmerica of the Houston areaand took on the latter company’sname Jan. 1.

Kelby Frederick, owner of twoFlooring America operations innorthern Texas, merged thefamily-owned-and-operatedstores with Scott Steel’s threestores, according to a newsrelease.

A total of five stores, includingthe Denton and Texarkana loca-tions, are now called MyFlooring America. Steel andFrederick said they plan to opena My Flooring America store inFlower Mound.

Plans for Argyle-areadisposal well scrapped

ARGYLE — WilliamsProduction Co. announced itwas abandoning plans for acommercial disposal well on a 7-acre property it owns in a ruralneighborhood near Argyle.

The Tulsa-based companyalso is considering alternativesites for four natural gas com-pressors it had planned to buildon the same site, although itmade no promises to move orabandon that project.

Both projects, planned nearthe corner of Frenchtown andJeter roads, had drawn heavy

opposition from neighbors andsome government officials whoworried about potential air andgroundwater pollution. Thecompany said the oppositionwas a factor in its decision tochange direction on the disposalwell, which would have acceptedwastewater from oil and gasproduction. The company isevaluating other ways to managethe produced water it may col-lect on the Argyle-area site,including removal of water viatruck and/or pipeline.

Cafe Garibaldi reopensat Denton location

Restaurant owner Ada W.Fort has reopened her CafeGaribaldi.

Now located at its previousspot at 1813 N. Elm St., therestaurant was brought backfrom Justin by popular request,Fort said.

The Mexican and Peruvianrestaurant with its head cook,Lucio Cruz, still features its mostpopular plates, including old-fashioned chimichangas, enchi-ladas rebozadas and Mexican-style mole.

New Fry plans unveiledOfficials with The Dinerstein

Cos., a Houston-based realestate and development firm,discussed their plans to unveilrevised plans for a new FryStreet project that would bringretail shops along with apart-ments to a mostly vacant blockbordering the University ofNorth Texas.

During a two-hour publicmeeting held at Denton CityHall, Brian Dinerstein, a princi-pal with the firm, said the planschanged significantly based onfeedback from the company’sfirst meeting with residents Jan.27.

City planners and some resi-dents criticized the company’sinitial plans, filed with the city inDecember, which showed afour-story apartment complexand multistory parking garagebut no retail shops, despite thearea’s history as a hub for inde-pendent shops and restaurants.

Revised plans presented dur-ing the meeting included 9,700square feet of ground-level retailspace, an outdoor patio andsome wider sidewalks alongwith the apartments and park-ing garage.

Company officials also prom-ised to work with Denton realestate experts in hopes ofattracting local retailers to theproject.

Many people thinkcash is a safe asset.But that is an illu-

sion. The silent thief of inflationsteals the purchasing power ofcash over time. Goods worth$100 in 1900 would cost morethan $2,000 today. In otherwords, the U.S. dollar lost about95 percent of its real value in thelast century.

Most countries fared much

worse. The currencies of Brazil,Russia, Germany and China lostmore than 99 percent of theirvalue over the course of the tur-bulent 20th century.

Historically, periods of highinflation are caused by rapidgrowth in the supply of papermoney. These occur when themonetary and fiscal authoritiesof a country regularly issue largequantities of money to pay forstreams of high governmentspending.

For example, after losingWorld War I, Germany was pun-ished with sky-high debts. The

embattled German governmentembarked on a destructive cycleof massive money printing tofinance its budget, which resultedin prices quadrupling eachmonth for a period of 16 months.

The seemingly endless bailoutstied to the 2008-09 financial cri-sis and ever-increasing stimuluspackages targeted at the ensuingrecession have burdened theUnited States. Trillions of dollarshave flooded into the economy,financed by a potent cocktail ofborrowing and money printing.

The government is likely tocontinue to rack up trillion-dol-lar deficits in coming years, as itcopes with diminished tax rev-enues and soaring costs for thewar against terrorism and pro-grams like Social Security andMedicare. These factors sub-stantially increase the likelihoodof higher inflation over time.

As an investment manager, Iam very focused on growing mypartners’ wealth and protecting

against the ravages of inflation.In last month’s column, I dis-cussed how an inflationary envi-ronment would not bode wellfor U.S. Treasury bonds.

But the question remains:How can we prevent inflationfrom stealing our hard-earnedmoney? My strategy is to findstocks of companies whose oper-ations should perform well, evenin an inflationary environment. Ilook for a trifecta of characteris-tics: hard assets, enduring fran-chises and international opera-tions.

Hard assets — such as naturalresource commodities or realestate — tend to fare well in infla-tionary periods. For example, asoil prices go up, the value of anoil company’s existing oil reserveswould increase. Furthermore, asinflation makes finding anddeveloping new reserves evenmore expensive and increases thecost of borrowing money for proj-ects, existing reserves becomeeven more sought-after.

Companies with franchisequalities — enduring consumer

brands, for example — are ableto raise their prices to enabletheir profits to keep pace withinflation. Intensely loyal con-sumers shell out extra bucks fortheir preferred brand of candy,cola or ketchup, even in a tougheconomy.

Importantly, franchise compa-nies do not require continuous,expensive capital investment tomaintain their operations, andcan direct more of their earningsto benefit shareholders. Forexample, a chocolate maker thathas been making the same prod-uct for decades does not need tocontinuously upgrade its facto-ries with increasingly expensivemachinery.

With inflation, the dollar like-ly would decline relative to for-eign currencies. As a result,investing in companies that havesignificant operations outsidethe U.S. can provide further pro-tection. The profits generated bya company operating in foreigncountries would translate into

Remember black moldand the rash of lawsuits

that were filed against insurancecompanies?

What follows are the sevenmost popular legal trends. � Contracting around your

own fraud. This is the Forest Oilcase, a 2008 Texas SupremeCourt decision. The key was a“waiver of reliance” clause — inwhich a party agrees that he didnot rely on any statements by theother side. The court decided thatsince it was a negotiated contract— in which the parties wereknowledgeable and representedby attorneys — and the provisionwasn’t boilerplate language, thewaiver was enforceable.

Because fraud requires thatthe plaintiff prove that he reliedon the fraudulent act, his “waiv-er of reliance” made it impossi-ble to win on a fraud claim. � “Proximate Cause” isn’t what

it used to be. Judges and attor-neys use the “pattern jurycharges” (created by a panel ofattorneys) to prepare the ques-tions that juries are asked toanswer. Proximate cause — basi-cally whether the damages werecaused by the action — is definedin the pattern jury charge.Problem is, the Texas SupremeCourt criticized some of the lan-guage in a similar pattern jurycharge. If the definition of “proxi-mate cause” is tossed out, then allof the cases that used that defini-tion are suspect.� Recovering your attorney

fees. This is usually a key com-ponent to a party’s claim. It costsmoney to go to court; some-times by the time a case gets totrial, the attorneys’ fees dwarfthe amount of original claim.The ball keeps moving on thisone — thanks to intertwiningfees between causes of action,the amount charged for in-house counsel, the relationshipbetween the actual damage andthe attorneys’ fees, etc. There isnever a guarantee that all, oreven part, of the attorney feeswill be recovered.

� Forum selection clauses.This is when the contract con-tains a paragraph stating wherethe case will be litigated. TheTexas Supreme Court has beenenforcing them, except whereyou can prove fraud, over-reach-ing, a strong public policyagainst it, or that the forumwould be seriously inconvenient. � Arbitration over death.

Arbitration clauses are given alot of leeway — even when theperson who signed the contracthas died and his lawsuit is beingprosecuted by his heirs. � Insurance cases of every

kind. Insurance companies wantto recover their out-of-pocketcosts. These are known as subro-gation cases — where the insur-ance company steps into theshoes of the insured and seeksmoney. For example, you get intoa car wreck and are injured; theinsurance company has a subro-gation claim for the money itpays for your hospital bills.

The courts have been preserv-ing these subrogation rights,even to the point of refusing toallow a party to nonsuit (dis-miss) parties from a lawsuit. � Fiduciary litigation. Suing

partners, trustees, investmentadvisers, guardians, attorneys-in-fact: All of these are hot litigationissues. The law continues toexpand the duties of a fiduciary.

For instance, Village Pointe inOmaha, Neb., is a 600,000-square-foot “prairie-style” con-cept with a nostalgic “MainStreet” shopping district withvehicle access as well as pedes-trian traffic. The array of shopsincludes national, regional andlocal merchants similar to whatwould be found in a Main Streetsetting. The architectural designof Village Pointe likely will besimilar to what REDDevelopment officials are con-sidering for Denton.

Another example is TheLegends at Village West inKansas City, Kan., which offersretail and entertainment optionsand sits in a highly visibleregion, attracting more than 10million people each year.

The entertainment offeringswill be a strong point in Dentonas well, with the city’s large col-legiate crowd and the significant

number of people in NorthTexas who could travel to thecity to shop, dine or watch amovie.

“This is a great piece of realestate,” Ebert said of the RayzorRanch property, which he hasbeen studying for at least a year.

RED Development officials saythey want to work with Paine andAllegiance Hillview for a while tolook at all facets of the projectbefore stepping out to discussspecifics. The company plans tounveil a sketch and conceptualplans for the town center withinthe next few months.

“This is what we always envi-sioned to have on this portion ofthe property,” Paine said of open-air town center developments.“What they [RED Development]do fits us perfectly.”

The project in Denton isalready attracting interest, Ebertsays, with some 50 to 100 ten-ants showing interest.

“A very large amount of ten-ants who are interested in com-ing to Rayzor Ranch are not inDenton today,” he said. “A signif-icant portion of the tenants weput in the town center will beunique to Denton.”

Both men believe the poten-tial for Denton is strong, despitethe global economic downturn.

“In today’s world … this [proj-ect] is phenomenal,” Paine said.

But building a major shop-ping and entertainment destina-tion in a market that’s stillrecovering is exactly the plan.

“Not a lot of projects are beingbuilt during the same timeframe we are in,” Ebert said.“We’re gaining a fair amount ofattention.”

First, a little about REDDevelopment: The companywas formed in 1995 when tworeal estate brokers in KansasCity, Mo., partnered with two inScottsdale, Ariz., to develop asite in Kansas City. The compa-ny, which is headquartered inboth Kansas City and Scottsdale,has built 20 shopping centerstotaling more than 9 millionsquare feet.

Their niche, Ebert says, isopen-air lifestyle centers thatcombine entertainment, retailshopping and other elements tobecome destination points. Theyhave centers in 12 states in theMidwest and Southwest.

Ebert, one of the originalpartners at RED Development,and Paine, who has knownEbert since 1995, say they envi-sion the Rayzor Ranch towncenter becoming a destinationpoint complete with a majortheater, restaurants, retail shopsand amenities ranging frompark space to a water feature.The idea, they say, is to make thecenter a part of the communitywith events, concert series, pub-lic art, etc.

Each of the company’s proj-ects is unique, Ebert says, and“very much developed as part ofthe community.”

McDowell is a strong advocate for

children, in part because of her par-

ents’ divorce. “People just want it to

be over so they can move on,” she

McDowell works hard to keep rela-

ating a foundation that will sustain

the children after a divorce.

Though she practices mostly tradi-

tional family law, McDowell also is

February, which traditionallyhas been a poor sales month,was one of the strongest monthsin a while for several Dentondealerships.

For Eckert Hyundai, it was “arecord month,” as the dealershipsold 127 new or used vehicles,said co-owner Mark Eckert.

“It was a very, very goodmonth. … In the car business,it’s not one of the strongestmonths, but it was one of ourbest months ever,” he said.

Eckert’s sentiment wasechoed by several area dealerswho said, despite cold weatherand snow, people got out and

bought cars. Since 2007, new vehicle sales

in Texas have declined 30 per-cent, meaning hundreds ofthousands fewer sales, said BillWolters, president of the TexasAutomobile Dealers Associationin Austin.

While the association expects

new vehicle sales to increase 15to 20 percent this year, Wolterssaid, it will likely take four yearsof steady sales increases beforenew vehicle sales reach fullrecovery.

“Dealers know how to main-tain their viability in differenteconomic times,” Wolters said.“In the state of Texas, there’s notbeen a single dealer closebecause of the economy. Texas isvery well-positioned comparedwith the rest of the country.”

With a full recovery, dealer-

ships that have held off onexpansion plans likely will beginto pick those plans back up, hesaid, which could put moneyback into local economies.

“If dealers do well, it will helpspring the economy,” Wolterssaid. “When a car dealer is suc-cessful, more people benefitthan the dealership. They are ahuge economic engine for thestate.”

in 294 Texas cities and towns.Denton County’s new vehicle

sales were flat in January with1,480 vehicles sold, which is onemore than January 2009’s totalvehicle sales of 1,479, accordingto The Freeman Auto Report.

However, area dealers are cau-tiously optimistic that February’ssales boost will get the industryon the road to recovery.

Bill Utter Ford’s sales were up57 percent in February, com-pared with the same period lastyear, said Carl Anderson, generalsales manager.

“We had a good February,” hesaid. “The last Saturday of themonth, it was decent weatherand the traffic was good. Wehave a lot of positive thingsgoing for us.”

A JUMP-STARTThe federal “Cash for

Clunkers” program gave Dentondealerships the jump-start need-ed to boost sales, dealers say.

The program, which gaveconsumers $3,500 to $4,500incentives to trade in vehicles fornew, more-efficient vehicles,produced a big spike for DentonCounty vehicle sales.

The two months of the pro-gram set records for Eckert, withthe dealership selling 120 to 130vehicles each month, MarkEckert said.

The program boosted vehiclesales for a mere 45-day periodbut pulled in buyers who other-wise wouldn’t be in the market,said Gene Cole, general managerat Jim McNatt Toyota and

Honda. But the program did hurt por-

tions of the automotive market,he said, such as used cars.

“It removed some of thelower-dollar vehicles from themarket — the $2,000 to $5,000cars — which people rely on forwork, as a second car, or stu-dents rely on,” Cole said. “Theynow have to pay more for thesame car. It has temporarilydriven the price range up.”

Over the next few years, themarket likely will level out again,Cole said, offering a greater selec-tion of used vehicles.

Regardless of its negativeeffects, the “Cash for Clunkers”program helped boost the state’seconomy and “was a major suc-cess,” Wolters said.

“It helped stimulate the econ-omy, and it helped the industrystart to get back on its feet,”Wolters said. “It was an absolutegodsend at the time.”

Dealerships are positioned tocome back and be better off thanbefore the global economicdownturn, with Texas leadingthe nation, Wolters said.

Consumers have been holdingoff on vehicle purchases and sav-ing their money until they feel

more secure about the economyand their employment, Wolterssaid.

“There’s a lot of pent-updemand,” he said.

THE RECALL CHALLENGEMassive safety recalls of

Toyota vehicles have been in thenational media’s headlightsrecently, causing some “recallpanic” on the part of consumers.

Toyota has recalled 5.6 mil-lion vehicles in the U.S. becauseof problems caused by what itsays are accelerator pedals thatbecome sticky or get trappedunder floor mats. Another437,000 Prius models have beenrecalled for a braking problem,and the U.S. government sentinvestigators to examine a Priusthat sped out of control on aCalifornia freeway this month.

With Toyota dealerships con-ducting 50,000 repairs each dayon the accelerator problem, offi-cials say the problem will befixed, said Brian Lyons, safetyand quality communicationspokesman for Toyota MotorCorp.

However, at least 15 Toyotadrivers have complained to U.S.safety officials that their cars spedup by themselves even after beingfixed under the recalls, accordingto an Associated Press analysis.

The damage to the Toyotaname alone is disheartening,said Wolters, of the dealers asso-ciation.

“Our dealers are doing every-

thing possible to retrofit thevehicles,” Wolters said. “They arestaying open late, and manydealerships don’t have anythingto do with the manufacturingproblem, but they are the face ofthe organization — whether theycreated a problem or not.”

Jim McNatt Toyota standsbehind its products, Cole said.

“They’ve [Toyota customers]still got the best product … andToyota customers are not con-cerned about the product theybought,” he said. “There’s nomad rush [to return Toyotavehicles]. The same reason theybought the product in the firstplace still exists.”

Other dealers around townhave seen customers bringing intheir new Toyotas and swappingthem for other brands.

And the value of those Toyotatrade-ins is affected, said RobertGoodwin, general manager ofHuffines Kia Denton.

“It’s been bad for them[Toyota customers] to try andtrade right now,” Goodwin said.

Toyota owners claiming thatthe recalls are causing the valueof their vehicles to plummet havefiled at least 89 class-action law-suits that could cost the Japaneseautomaker $3 billion or more,according to an Associated Pressreview of cases, legal precedentand interviews with experts.

Eckert Hyundai has receivedquite a few Toyota trade-insrecently, including a Camry thathad only 1,000 miles on it,

Eckert said. While Bill Utter Ford also has

seen an uptick in trade-ins, deal-erships survive and thrivetogether and often are indirectlyaffected by recall notices,Anderson said.

“The manufacturers, through-out the years, have had differentproblems, and everyone tries tostick together,” Anderson said. “Iwant us all to do well. I feel ter-rible for them. I’ve known theMcNatt family, and they’ve beenaround forever. He didn’t doanything wrong.”

IDLE WRENCHESIt’s also been a trying time for

Denton-area repair shops, whichhave scrambled for work in thelast year as consumers put offroutine maintenance and indi-viduals with expensive repairstrade-in their vehicles for newones with extended warranties.

Some auto repair shops, suchas Pedersen Repair &Fabrication, have had to close,according to area mechanics.

There’s been a slowdown inbusiness over the last year, butrecently it’s begun to pick upagain, said Dian Calvert-Miller ofCalvert Automotive, the oldestfamily-operated shop in Denton.

Alan Calvert, co-owner of theshop, said he’s cautiously opti-mistic about the upcoming year.

“It’s a little spooky. That’s neverhappened before,” Calvert said.

While there have been no lay-offs at Calvert, the family left aposition empty for a year andonly recently filled it to accom-modate demand.

“It’s just really, really slow …and it’s a more competitive envi-ronment,” Pursur said.

Calvert compares routinemaintenance with routinehealth checkups, he said, withthe car problems seen in a reces-sion similar to individuals goingto the emergency room becauseof too many missed checkups.

“When the economy is bad,you don’t maintain your car,” hesaid. “If you see a car brought inon a tow truck, it’s harder tohave a happy ending.”

Calvert Automotive has beenhelped by classic car businessthat has continued to thrivedespite the recession, Calvertsaid.

“It’s their baby. People aremore emotionally attached toold cars than those used to driveto work,” he said.

THE ROAD AHEADDealers and mechanics are

hoping that the worst is behindthem and that business willaccelerate throughout 2010.

In the past, every crisis hasaffected the automotive industry,

Cole said, such as the Sept. 11 ter-rorist attacks, the Gulf War andthe lending crisis of the 1980s.

“People identify who they areby their cars,” Cole, of McNatt,said. “When their moodchanges, their values shift — towhat people need, not what theywant. You don’t have peoplecoming in wanting a car; theycome in needing a car.”

If gasoline prices continue toescalate — with the price up 68cents a gallon this month com-pared with last year — con-sumers could shift to more fuel-

efficient vehicles, Cole said. With two universities in

Denton and an environmentallyconscious community, the gas-electric hybrids at Bill UtterFord are proving to be popular,Anderson said.

And trucks will always bepopular in Texas, he said.

With Ford celebrating 100years of business in Denton this

year, and Bill Utter Ford havingbeen here for 54 years, Andersonsaid, the company is hoping formany more anniversaries.

Only time will tell if this yearis kind to car and truck dealers,said Rick Wick, general salesmanager for Classic ChryslerJeep Dodge Mazda in Denton.

“It’s definitely been challeng-ing in the last few months, butI’m very positive for March,which is a better month for vehi-cles,” Wick said. “It kicks off ourspring selling season. … Our bigmonths are March and April,and we expect to have a gain.”

Every 10 years, we gothrough the process offilling out our census

forms so that we can be counted.Did you know that informationderived from the census deter-mines the annual distribution ofmore than $400 billion in gov-ernment funding for criticalcommunity services? That’smore than $4 trillion over a 10-year period. Since we’re payingtaxes anyway, let’s ensure thatour community receives its fairshare.

The most efficient way torespond to the 2010 census is tocomplete the form as soon as itarrives and return it in thepostage-paid envelope. Censusworkers will visit those house-

holds that do not return theforms by April 15, and that’s acostly process. In 2000, the mailparticipation rate was 72 per-cent. About $85 million is savedfor every 1 percent increase inmail participation.

The Constitution requires thatelectoral districts be periodicallyadjusted or redrawn to account

for population shifts. It’s possi-ble that Denton could gain aseat in the House ofRepresentatives — that’s onemore voice in Washington thatcould speak up for Denton’seducation, hospital, job training,highway and bridge needs.

Business leaders in criticaldecision making roles use cen-sus information to decide onproduct placement and where toopen new stores.

I tend to resist providing thegovernment — or anyone else —with personal informationthrough the mail. However, youshould know that, by law, theU.S. Census Bureau cannotshare your personal answerswith anyone, including other

federal agencies and lawenforcement entities.

I also do not like to provideinformation to strangers whoarrive at my door. Just so you’llknow, the census takers willnever ask — repeat: will neverask — for financial information,legal citizenship or residencystatus, or Social Security num-bers. If someone comes to yourdoor posing as a census workerand asks for your Social Securitynumber or bank information,tell them no and let them knowthat you plan to report them tothe police.

And remember, if you returnthe form (just 10 questions), noone will show up at your door.
