The items described in this document and other documents or descriptions provided by Parker Hannifin Corporation, its subsidiaries and its authorizeddistributors are hereby offered for sale at prices to be established by Parker Hannifin Corporation, its subsidiaries and its authorized distributors. Thisoffer and its acceptance by any customer ("Buyer") shall be governed by all of the following Terms and Conditions. Buyer’s order for any such items,when communicated to Parker Hannifin Corporation, its subsidiary or an authorized distributor ("Seller") verbally or in writing, shall constitute acceptanceof this offer.

paid by Buyer. Unless otherwise agreed, Seller shall have the right to alter,discard or otherwise dispose of any special tooling or other property in itssole discretion at any time.8. Buyer’s Property: Any designs, tools, patterns, materials, drawings,confidential information or equipment furnished by Buyer or any otheritems which become Buyer’s property, may be considered obsolete andmay be destroyed by Seller after two (2) consecutive years have elapsedwithout Buyer placing an order for the items which are manufactured usingsuch property, Seller shall not be responsible for any loss or damage tosuch property while it is in Seller’s possession or control.9. Taxes: Unless otherwise indicated on the face hereof, all prices andcharges are exclusive of excise, sales, use, property, occupational or liketaxes which may be imposed by any taxing authority upon the manufac-ture, sale or delivery of the items sold hereunder. If any such taxes mustbe paid by Seller or if Seller is liable for the collection of such tax, theamount thereof shall be in addition to the amounts for the items sold. Buyeragrees to pay all such taxes or to reimburse Seller therefore upon receiptof its invoice. If Buyer claims exemption from any sales, use or other taximposed by any taxing authority, Buyer shall save Seller harmless fromand against any such tax, together with any interest or penalties thereonwhich may be assessed if the items are held to be taxable.10. Indemnity For Infringement of Intellectual Property Rights: Sellershall have no liability for infringement of any patents, trademarks, copy-rights, trade dress, trade secrets or similar rights except as provided in thisPart 10. Seller will defend and indemnify Buyer against allegations ofinfringement of U.S. Patents, U.S. Trademarks, copyrights, trade dressand trade secrets (hereinafter ‘Intellectual Property Rights’). Seller willdefend at its expense and will pay the cost of any settlement or damagesawarded in an action brought against Buyer based on an allegation that anitem sold pursuant to this contract infringes the Intellectual Property Rightsof a third party. Seller’s obligation to defend and indemnify Buyer iscontingent on Buyer notifying Seller within ten (10) days after Buyerbecomes aware of such allegations of infringement, and Seller having solecontrol over the defense of any allegations or actions including allnegotiations for settlement or compromise. If an item sold hereunder issubject to a claim that it infringes the Intellectual Property Rights of a thirdparty, Seller may, at its sole expense and option, procure for Buyer the rightto continue using said item, replace or modify said item so as to make itnoninfringing, or offer to accept return of said item and return the purchaseprice less a reasonable allowance for depreciation. Notwithstanding theforegoing, Seller shall have no liability for claims of infringement based oninformation provided by Buyer, or directed to items delivered hereunder forwhich the designs are specified in whole or part by Buyer, or infringementsresulting from the modification, combination or use in a system of any itemsold hereunder. The foregoing provisions of this Part 10 shall constituteSeller’s sole and exclusive liability and Buyer’s sole and exclusive remedyfor infringement of Intellectual Property Rights.If a claim is based on information provided by Buyer or if the design for anitem delivered hereunder is specified in whole or in part by Buyer, Buyershall defend and indemnify Seller for all costs, expenses or judgmentsresulting from any claim that such item infringes any patent, trademark,copyright, trade dress, trade secret or any similar right.11. Force Majeure: Seller does not assume the risk of and shall not beliable for delay or failure to perform any of Seller’s obligations by reasonof circumstances beyond the reasonable control of Seller (hereinafter‘Events of Force Majeure’). Events of Force Majeure shall include withoutlimitation, accidents, acts of God, strikes or labor disputes, acts, laws, rulesor regulations of any government or government agency, fires, floods,delays or failures in delivery of carriers or suppliers, shortages of materialsand any other cause beyond Seller’s control.12. Entire Agreement/Governing Law: The terms and conditions setforth herein, together with any amendments, modifications and anydifferent terms or conditions expressly accepted by Seller in writing, shallconstitute the entire Agreement concerning the items sold, and there areno oral or other representations or agreements which pertain thereto. ThisAgreement shall be governed in all respects by the law of the State of Ohio.No actions arising out of the sale of the items sold hereunder or thisAgreement may be brought by either party more than two (2) years afterthe cause of action accrues.

1. Terms and Conditions of Sale: All descriptions, quotations, propos-als, offers, acknowledgments, acceptances and sales of Seller’s productsare subject to and shall be governed exclusively by the terms andconditions stated herein. Buyer’s acceptance of any offer to sell is limitedto these terms and conditions. Any terms or conditions in addition to, orinconsistent with those stated herein, proposed by Buyer in any accep-tance of an offer by Seller, are hereby objected to. No such additional,different or inconsistent terms and conditions shall become part of thecontract between Buyer and Seller unless expressly accepted in writingby Seller. Seller’s acceptance of any offer to purchase by Buyer isexpressly conditional upon Buyer’s assent to all the terms and conditionsstated herein, including any terms in addition to, or inconsistent with thosecontained in Buyer’s offer, Acceptance of Seller’s products shall in allevents constitute such assent.2. Payment: Payment shall be made by Buyer net 30 days from the dateof delivery of the items purchased hereunder. Amounts not timely paidshall bear interest at the maximum rate permitted by law for each monthor portion thereof that the Buyer is late in making payment. Any claims byBuyer for omissions or shortages in a shipment shall be waived unlessSeller receives notice thereof within 30 days after Buyer’s receipt of theshipment.3. Delivery: Unless otherwise provided on the face hereof, delivery shallbe made F.O.B. Seller’s plant. Regardless of the method of delivery,however, risk of loss shall pass to Buyer upon Seller’s delivery to a carrier.Any delivery dates shown are approximate only and Seller shall have noliability for any delays in delivery.4. Warranty: Seller warrants that the items sold hereunder shall be freefrom defects in material or workmanship for a period of 18 months fromdate of shipment from Parker Hannifin Corporation. THIS WARRANTYCOMPRISES THE SOLE AND ENTIRE WARRANTY PERTAINING TOITEMS PROVIDED HEREUNDER. SELLER MAKES NO OTHER WAR-RANTY, GUARANTEE, OR REPRESENTATION OF ANY KIND WHAT-SOEVER. ALL OTHER WARRANTIES, INCLUDING BUT NOT LIM-ITED TO, MERCHANTABILITY AND FITNESS FOR PURPOSE,WHETHER EXPRESS, IMPLIED, OR ARISING BY OPERATION OFLAW, TRADE USAGE, OR COURSE OF DEALING ARE HEREBYDISCLAIMED. NOTWITHSTANDING THE FOREGOING, THEREARE NO WARRANTIES WHATSOEVER ON ITEMS BUILT OR AC-QUIRED WHOLLY OR PARTIALLY, TO BUYER’S DESIGNS ORSPECIFICATIONS.5. Limitation Of Remedy: SELLER’S LIABILITY ARISING FROM ORIN ANY WAY CONNECTED WITH THE ITEMS SOLD OR THIS CON-TRACT SHALL BE LIMITED EXCLUSIVELY TO REPAIR OR RE-PLACEMENT OF THE ITEMS SOLD OR REFUND OF THE PURCHASEPRICE PAID BY BUYER, AT SELLER’S SOLE OPTION. IN NO EVENTSHALL SELLER BE LIABLE FOR ANY INCIDENTAL, CONSEQUEN-TIAL OR SPECIAL DAMAGES OF ANY KIND OR NATURE WHATSO-EVER, INCLUDING BUT NOT LIMITED TO LOST PROFITS ARISINGFROM OR IN ANY WAY CONNECTED WITH THIS AGREEMENT ORITEMS SOLD HEREUNDER, WHETHER ALLEGED TO ARISE FROMBREACH OF CONTRACT, EXPRESS OR IMPLIED WARRANTY, ORIN TORT, INCLUDING WITHOUT LIMITATION, NEGLIGENCE, FAIL-URE TO WARN OR STRICT LIABILITY.6. Changes, Reschedules and Cancellations: Buyer may request tomodify the designs or specifications for the items sold hereunder as wellas the quantities and delivery dates thereof, or may request to cancel allor part of this order, however, no such requested modification or cancel-lation shall become part of the contract between Buyer and Seller unlessaccepted by Seller in a written amendment to this Agreement. Acceptanceof any such requested modification or cancellation shall be at Seller’sdiscretion, and shall be upon such terms and conditions as Seller mayrequire.7. Special Tooling: A tooling charge may be imposed for any specialtooling, including without limitation, dies, fixtures, molds and patterns,acquired to manufacture items sold pursuant to this contract. Such specialtooling shall be and remain Seller’s property notwithstanding payment ofany charges by Buyer. In no event will Buyer acquire any interest inapparatus belonging to Seller which is utilized in the manufacture of theitems sold hereunder, even if such apparatus has been specially con-verted or adapted for such manufacture and notwithstanding any charges

General Description

The V20 has been a strong and reliable player in the 75-100 LPM (20-26 GPM) open-center, directional control valve market for many years. Now it has a new, electrohydraulic package designed for open-center systems and for those customers wanting to take ma-chine control to the next level.

The offering consists of the following:

• A global solenoid (pwm) that can be used for proportional or on/off control. The coils have a molded on Amp Jr. or Deutsch connector.

• Work sections rated to 240 Bar (3500 PSI): 4-way, 3-position; and 3-way, 3-position.

• A pilot generating/regulating section that is referred to as a “utility section”. The purpose of this section is to generate and regulate pilot pressure in an open-center circuit. This section is to be placed adjacent to the outlet cover.

Operation

Open-center valves that are operated by either hydraulic-remotes or electrohydraulics require a way to generate and regulate the pilot pressure. For hydraulic-remote operation, the regulated pilot pres-sure is needed for the pilot controllers. For electro-hydraulic operation, the regulated pilot pressure is required for the work section solenoids. Generation and regulation of the pilot signal can be accomplished externally with an in-line solution, however, this ap-proach requires extra plumbing.

The V20 has an integrated section that selectively generates and regulates the pilot pressure to be sent to the hydraulic-remote controllers, or the solenoids installed in the work section.

When an operator selects a spool, a signal is sent to a normally open solenoid in the “utility” section. Pressure will then build until it reaches the setting of the buildup cartridge. This is sufficient pressure to move the main spool, so that it can be connected to the load pres-sure. At that point, the inlet of the valve will see system pressure, and the pressure-reducing valve in the “utility section” will regulate the pilot pressure to the hydraulic-remote controllers or the work section solenoids.

For electrohydraulic operation, optimizing machine control is achieved by having a dedicated drain for the work section solenoids. Therefore, the V20EH package isolates the solenoid within the control valve, and the solenoid drain port is located in the inlet.

Benefits• The pressure required to move the spools is generated

and regulated internal to the V20 valve. This eliminates the need for any in-line devices and the associated plumbing which saves installation cost.

• Minimal impact on open-center pressure drops when the main spools are in neutral. This is because pressure generation is “triggered” to on, only when a spool is selected. The benefit is less heat generation and reduced fuel consumption.

• Minimal impact on loop pressure drops: P-A/B and A/B-T which maximizes horsepower utilization.

• There is an option to have the mechanical buildup for full on-time operation, useful in many applications where the PTO is engaged only when work is to be done.

• A dedicated solenoid drain to the reservoir optimizes solenoid performance. This translates into consistent metering and machine controllability.

• An extended bonnet for screw-adjustable work port relief valves in an option available for those applicatons requiring this type of adjustable pressure control (consult factory).

• Handle with manual override.

General Description

The VO40 Build Program is designed to help a stock-ing distributor increase the value and services offered to their customers. This is accomplished by having the in-house capability of being responsive to your customer’s needs. Its stackable design and modular-ity enables the distributor to build an almost unlimited number of assemblies with a limited level of inventory. A wide variety of sections and kits facilitate conversion and customization of valve stack assemblies for your customers.

Valve assemblies are comprised of an inlet cover plus main relief options, work sections plus relief and posi-tioner options, an outlet cover plus conversion options, and a stacking kit. All of these components are avail-able in the Build Program, giving you the flexibility to build just about any arrangement imaginable.

The basic kits for the program are:

• Inlet covers

• Inlet cover relief valve options

• Work sections

• Work section relief valve options

• Work section positioner options

Operation

The VO40 valve incorporates traditional open-center technology. It is usually interfaced with a constant flow pump, whose flow is routed directly to tank when the spools are in neutral. When one or more spools are selected, flow is directed to the actuators. The throt-tling of that flow depends upon the spool position and the design of the metering notches. Spool notches can be designed to accommodate resistive loads (meter-in) and negative loads (meter-out). To accommodate multiple pump circuits, split flow and combined flow mid-inlets are available.

Technical Information

Benefits• Enhanced metering – especially during simultaneous

operation, this is accomplished by having notches in the three critical areas of the spool: open center, parallel path and tank.

• Improved simultaneous metering – having a transition check in each work section ensures that a load does not “dip” downward when metering two or more work-sections.

• Repeatability – consistent metering from valve to valve is achieved by flycutting all of the critical cast lands. This means that the notch position relative to the spool stroke is controlled and predictable. The result is consistent machine control.

• Reduced operator fatigue – the open-center core is a split wing or “Y” core design, which provides for a consistent lever force when selecting the spool from neutral to both power positions.

• Reduced function drift – low internal leakage accomplished thru the use of contemporary honing technology. Also, for those functions requiring near zero drift, pilot-operated checks are available.

• Small footprint – port accessories are installed vertical to the spool, allowing the handle to be positioned closer to the valve body.

• Ease of service – the bottom two stud assemblies are slotted, enabling a work section to be replaced without completely disassembling the valve assembly. This is accomplished by loosening the top tie bolt and then lifting the section out of the assembly. Downtime is minimized.

• Easy conversion from a left-handed to a right-handed section – the work section housing and spool are symmetrical, which enables the spool to be inserted in either end of the housing.

• Improved spool seal life – the enclosed handle assembly protects the spool and spool seal area from contamination and the potential corrosion.

Seller may immediately terminate this agreement, in writing, if Buyer: (a) commits a breach of any provision of this agreement (b) appointments a trustee, receiver or custodian for all or any part of Buyer’s property (c) files a petition for relief in bankruptcy on its own behalf, or by a third party (d) makes an assignment for the benefit of creditors, or (e) dissolves or liquidates all or a majority of its assets.17. Governing Law. This agreement and the sale and delivery of all Products here-under shall be deemed to have taken place in and shall be governed and construed in accordance with the laws of the State of Ohio, as applicable to contracts executed and wholly performed therein and without regard to conflicts of laws principles. Buyer irrevocably agrees and consents to the exclusive jurisdiction and venue of the courts of Cuyahoga County, Ohio with respect to any dispute, controversy or claim arising out of or relating to this agreement. 18. Indemnity for Infringement of Intellectual Property Rights. Seller shall have no liability for infringement of any patents, trademarks, copyrights, trade dress, trade secrets or similar rights except as provided in this Section. Seller will defend and indemnify Buyer against allegations of infringement of U.S. patents, U.S. trademarks, copyrights, trade dress and trade secrets (“Intellectual Property Rights”). Seller will defend at its expense and will pay the cost of any settlement or damages awarded in an action brought against Buyer based on an allegation that a Product sold pursuant to this Agreement infringes the Intellectual Property Rights of a third party. Seller’s obligation to defend and indemnify Buyer is contingent on Buyer notifying Seller within ten (10) days after Buyer becomes aware of such allegations of infringement, and Seller having sole control over the defense of any allegations or actions including all negotiations for settlement or compromise. If a Product is subject to a claim that it infringes the Intellectual Property Rights of a third party, Seller may, at its sole expense and option, procure for Buyer the right to continue using the Product, replace or modify the Product so as to make it noninfringing, or offer to accept return of the Product and return the purchase price less a reasonable allowance for depreciation. Notwithstanding the foregoing, Seller shall have no liability for claims of infringement based on information provided by Buyer, or directed to Products delivered hereunder for which the designs are specified in whole or part by Buyer, or infringements resulting from the modification, combination or use in a system of any Product sold hereunder. The foregoing provisions of this Section shall constitute Seller’s sole and exclusive liability and Buyer’s sole and exclusive remedy for infringement of Intellectual Property Rights.19. Entire Agreement. This agreement contains the entire agreement between the Buyer and Seller and constitutes the final, complete and exclusive expression of the terms of sale. All prior or contemporaneous written or oral agreements or negotiations with respect to the subject matter are herein merged.20. Compliance with Law, U. K. Bribery Act and U.S. Foreign Corrupt Practices Act. Buyer agrees to comply with all applicable laws and regulations, including both those of the United Kingdom and the United States of America, and of the country or countries of the Territory in which Buyer may operate, including without limitation the U. K. Bribery Act, the U.S. Foreign Corrupt Practices Act (“FCPA”) and the U.S. Anti-Kickback Act (the “Anti-Kickback Act”), and agrees to indemnify and hold harmless Seller from the consequences of any violation of such provisions by Buyer, its employees or agents. Buyer acknowledges that they are familiar with the provisions of the U. K. Bribery Act, the FCPA and the Anti-Kickback Act, and certifies that Buyer will adhere to the requirements thereof. In particular, Buyer represents and agrees that Buyer shall not make any payment or give anything of value, directly or indirectly to any governmental official, any foreign political party or official thereof, any candidate for foreign political office, or any commercial entity or person, for the purpose of influencing such person to purchase products or otherwise benefit the business of Seller.

1. Terms and Conditions. Seller’s willingness to offer Products, or accept an order for Products, to or from Buyer is subject to these Terms and Conditions or any newer version of the terms and conditions found on-line at www.parker.com/saleterms/. Seller objects to any contrary or additional terms or conditions of Buyer’s order or any other document issued by Buyer.2. Price Adjustments; Payments. Prices stated on Seller’s quote or other documenta-tion offered by Seller are valid for 30 days, and do not include any sales, use, or other taxes unless specifically stated. Unless otherwise specified by Seller, all prices are F.C.A. Seller’s facility (INCOTERMS 2010). Payment is subject to credit approval and is due 30 days from the date of invoice or such other term as required by Seller’s Credit Department, after which Buyer shall pay interest on any unpaid invoices at the rate of 1.5% per month or the maximum allowable rate under applicable law.3. Delivery Dates; Title and Risk; Shipment. All delivery dates are approximate and Seller shall not be responsible for any damages resulting from any delay. Regardless of the manner of shipment, title to any products and risk of loss or damage shall pass to Buyer upon placement of the products with the shipment carrier at Seller’s facility. Unless otherwise stated, Seller may exercise its judgment in choosing the carrier and means of delivery. No deferment of shipment at Buyers’ request beyond the respec-tive dates indicated will be made except on terms that will indemnify, defend and hold Seller harmless against all loss and additional expense. Buyer shall be responsible for any additional shipping charges incurred by Seller due to Buyer’s acts or omissions.4. Warranty. Seller warrants that the Products sold hereunder shall be free from defects in material or workmanship for a period of eighteen months from the date of delivery to Buyer. The prices charged for Seller’s products are based upon the exclusive limited warranty stated above, and upon the following disclaimer: DISCLAIMER OF WARRANTY: THIS WARRANTY COMPRISES THE SOLE AND EN-TIRE WARRANTY PERTAINING TO PRODUCTS PROVIDED HEREUNDER. SELLER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS AND IMPLIED, INCLUDING DESIGN, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.5. Claims; Commencement of Actions. Buyer shall promptly inspect all Products upon delivery. No claims for shortages will be allowed unless reported to the Seller within 10 days of delivery. No other claims against Seller will be allowed unless asserted in writing within 30 days after delivery. Buyer shall notify Seller of any alleged breach of warranty within 30 days after the date the defect is or should have been discovered by Buyer. Any action based upon breach of this agreement or upon any other claim aris-ing out of this sale (other than an action by Seller for an amount due on any invoice) must be commenced within 12 months from the date of the breach without regard to the date breach is discovered.6. LIMITATION OF LIABILITY. UPON NOTIFICATION, SELLER WILL, AT ITS OPTION, REPAIR OR REPLACE A DEFECTIVE PRODUCT, OR REFUND THE PURCHASE PRICE. IN NO EVENT SHALL SELLER BE LIABLE TO BUYER FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR AS THE RESULT OF, THE SALE, DELIVERY, NON-DELIVERY, SERVICING, USE OR LOSS OF USE OF THE PRODUCTS OR ANY PART THEREOF, OR FOR ANY CHARGES OR EXPENSES OF ANY NATURE INCURRED WITHOUT SELLER’S WRITTEN CONSENT, EVEN IF SELLER HAS BEEN NEGLIGENT, WHETHER IN CONTRACT, TORT OR OTHER LEGAL THEORY. IN NO EVENT SHALL SELLER’S LIABILITY UNDER ANY CLAIM MADE BY BUYER EXCEED THE PURCHASE PRICE OF THE PRODUCTS.7. User Responsibility. The user, through its own analysis and testing, is solely re-sponsible for making the final selection of the system and Product and assuring that all performance, endurance, maintenance, safety and warning requirements of the application are met. The user must analyze all aspects of the application and follow applicable industry standards and Product information. If Seller provides Product or system options, the user is responsible for determining that such data and specifica-tions are suitable and sufficient for all applications and reasonably foreseeable uses of the Products or systems.8. Loss to Buyer’s Property. Any designs, tools, patterns, materials, drawings, confi-dential information or equipment furnished by Buyer or any other items which become Buyer’s property, will be considered obsolete and may be destroyed by Seller after two consecutive years have elapsed without Buyer ordering the items manufactured using such property. Seller shall not be responsible for any loss or damage to such property while it is in Seller’s possession or control.9. Special Tooling. A tooling charge may be imposed for any special tooling, including without limitation, dies, fixtures, molds and patterns, acquired to manufacture Products. Such special tooling shall be and remain Seller’s property notwithstanding payment of any charges by Buyer. In no event will Buyer acquire any interest in apparatus belonging to Seller which is utilized in the manufacture of the Products, even if such apparatus has been specially converted or adapted for such manufacture and notwithstanding any charges paid by Buyer. Unless otherwise agreed, Seller shall have the right to alter, discard or otherwise dispose of any special tooling or other property in its sole discretion at any time.10. Buyer’s Obligation; Rights of Seller. To secure payment of all sums due or oth-erwise, Seller shall retain a security interest in the goods delivered and this agreement shall be deemed a Security Agreement under the Uniform Commercial Code. Buyer authorizes Seller as its attorney to execute and file on Buyer’s behalf all documents Seller deems necessary to perfect its security interest. 11. Improper Use and Indemnity. Buyer shall indemnify, defend, and hold Seller harmless from any claim, liability, damages, lawsuits, and costs (including attorney fees), whether for personal injury, property damage, patent, trademark or copyright
