Thisagreementisenteredintobyandbetween 2C2P (Thailand) Co. Ltd. a company permitted to engage in the business ofelectronicpayment service,LicenseNo.C (3)001/2554,havingits office atNo. 33/4TheNinthTowerGrandRama9. TNB01-02, Tower B 26th floor, Rama 9 Road, Huaykwang, Bangkok10310,hereinafterreferredtoas“theCompany”)onepart;andtheapplicantlistedin“MerchantInformation”

THE PARTIES AGREE ON TERMS AND CONDITIONS AS FOLLOWS:

1. TERMS AND CONDITIONS FOR SERVICE

TheApplicanthasthoroughlyreadandcomprehendedtheTermsofUseoftheServiceinthisagreementandagreestosuchTermsofUse,includinganyfurtheramendmentstobeannouncedbytheCompanyinallrespects.ThisTermsofUseshallformpartofthisAgreement.

2. COMMENCEMENT OF SERVICE

The Applicant agrees to submit an application form correctlyand completely filled in together with supporting documentsrequiredby theCompanyon thedatehereof for theCompany’sconsideration.TheApplicantshallbeentitledtousetheServiceforreceivingthepaymentsforgoodsand/orservicesoftheApplicantonlyuponobtainingtheCompany’spermission.

3. ACKNOWLEDGEMENT OF RISKS IN ELECTRONIC TRANSACTIONS

TheApplicanthascarefullyconsideredandrealizesthatelectronictransactions are of risk and accepts any consequent damagesincurredfromsuchelectronictransactions.TheApplicantagreestostrictlycomplywiththefollowing:

3.1 Incaseofreceiptofthepaymentsforgoodsand/orservices,theApplicantmustkeep,notlessthan18months,salesrecordorproofoftrade,deliveryofgoods/servicesandreceiptofpaymentssuch as tax invoice, shipping slip, receipt, etc. as proof in anydisputeshappen thereafter. If theCompanydesires toverify theApplicant’s transactions, the Applicant agrees to provide theCompanywithallrelevantinformationanddocumentsimmediatelyorwithina specifiedperiod.TheApplicantalsoagrees toassisttheCompanyinordertoacquiresuchinformationanddocumentsand shall not, in any circumstances, obstruct, weaken, destroyor hinder the Company from acquiring such information anddocuments.

In case of refusal and/or non-receivable payment, cardcancellation or hold, or having a reasonable suspicion causeregarding thedishonestuseofcredit cardoranyother reasonscausingtheCompany’smoneytobedeductedorcompensatedorclaimedasdamagesbyanybanks,financialinstitutesorother

persons,theApplicantagreestoreimbursetotheCompanyinfullamount which and that the Company is entitled to immediatelyset-offsuchamountwiththeamountofpaymentforgoodsand/orservicespayabletotheApplicantwithoutanyobjectionorattempttodeclinethesaidresponsibilityinallrespects.

4. SERVICE FEE

4.1 TheCompanyisentitledtotheservicefeeforperformanceofobligationshereunderaccordingtotherateandpaymentmethodspecifiedintheattachment.

4.2 The Applicant agrees that the Company is entitled toimmediately set-off the amount of payments for goods and/orservicestobetransferredtotheApplicantbytheCompanywiththeamountof service fee includingexpensesoranyother feesthattheApplicantisrequiredtopayorreimbursetotheCompanyhereunderpriortotransferringsuchamounttotheApplicant.

4.3 DuringtheperiodofthisAgreement,ifthereareanyfactorsorchangesresultinginincrementofservicefeeforperformanceoftheCompanyhereunder,theApplicantagreesthattheCompanyisentitledtoamendtherateofservicefeebygivingatleastthirty(30)daysadvancenoticetotheApplicant.

5. DUTIES OF RESPONSIBILITIES OF THE COMPANY

ApartfromprovisionsstipulatedintheTermsofUseaccordingtoClause1.,theCompanyshallhavedutiesand responsibilitiesasfollows:

5.1 TheCompanyshallhaveadutyonlytocollecttheamountofpayments for goodsand/or servicesonbehalf of theApplicant.TheCompanyisnotinvolvedinanycontractsmadebetweentheApplicant’scustomersand/orclientsandtheApplicantor inanyrightanddutyamongthoseparties. Incaseanydisputesoccurfrom when the Applicant does not comply with the terms andconditionsofcontractsmadewithitscustomersand/orclients,theCompanyshallinnoeventbeliableorjointlyliable.TheApplicantshallbesolelyresponsibleforsuchdisputetoitscustomersand/orclients.

5.2 TheCompanyshallgatherall thepayments forgoodsand/orservicesonbehalfoftheApplicantand,afterdeductingoftheservicefeeaccordingtoClause4.andanyexpenses(ifany)suchascreditcardfees,etc.,remitittotheApplicant’saccountwithinthespecifiedperiodandaccordingtothepaymentmethodaspertheattachment.TheApplicantagreestoberesponsibleforallfeesincurredbysuchremittance.

5.3 For receipt of the payments for goods and/or serviceshereunder,theCompanyagreestoreceivethepaymentnotlessthan300.-(ThreeHundredBahtOnly)butnotexceeding500,000Baht(FiveHundredThousandBahtOnly)perpaymentreceipt.

5.4 InnoeventshalltheCompanyberesponsibleforintentionallyornegligentlyrevealingtoanyotherpersonsbytheApplicantofitsand/oritscustomers’bankaccount,creditcard,usernameandpasswordinformation,orforcarelesslykeepingofpassword,orincasethatanyotherpersoncausestobeknownsuchinformationorincaseofdishonestyoftheApplicantand/orotherperson.

5.5 TheCompanymayadvertiseandpublicizeinconnectionwiththeServiceprovidedtotheApplicantasitthinksfit.

6. DUTIES OF RESPONSIBILITIES OF THE APPLICANT

ApartfromprovisionsstipulatedintheTermsofUseaccordingtoClause1., theApplicantshallhavedutiesandresponsibilitiesasfollows:

6.1 TheApplicant agrees to pay the service fee and any otherexpenses for the Service hereunder according to the period,paymentmethodandrateasfixedbytheCompany.

6.2 TheApplicantagreestoadvertiseandpublicizeitsgoodsorservicesaswellasitsuseoftheCompany’sServiceforreceiptofpaymentsforgoodsand/orservicesoftheApplicant.

6.3 TheApplicant has a duty to issue receipts/tax invoices or anyevidenceofreceipttocustomersand/orclientsasprescribedbylaw.

6.4 InthecasethattheApplicantusesanyotherservice,methodor channel for receiving of payments for goods and/or servicesfromcustomersor clients,providedbyother serviceprovider(s)other than the Company, the Applicant agrees to not act suchaspublicizing,advertising,supportingorgivinganyrighttosuchservice,methodorchannelofotherserviceprovider(s)significantlyorinadditiontodoingtotheServiceoftheCompanyhereunder.

6.5 If the Applicant intends to modify its payment type and/oramend themethodor conditions for sellingof goods, engagingof services or performing of works, affecting to theCompany’sperformanceofServicehereunder,theApplicantagreestonotifytheCompanyofsuchinwritingsixty(60)daysinadvance.Inthiscase,theCompanyreservestherighttochargeanadditionalfeeasproper.

6.6 The Applicant represents andwarrants that all goods and/or services It agrees for theCompany to receive the paymentshereunder are not the goods and/or services prohibited by lawand good morals or exposure to risk against the Company’simage. Failure of the above representations andwarranties, theApplicant agrees that the Company isentitled to terminate thisAgreementimmediatelyandtheApplicantshallberesponsibleforalldamagesincurredtotheCompany,includinganylossincurredbytheApplicantastheresultofitsnon-performanceofthisclause.

6.7 The Applicant acknowledges and agrees that in case theServicehereunderhasanyerrorordelayorhasbeentemporallysuspended,arisingfromserviceconnectionsystemorcomputersystem or any relevant system or virus attack or electronicequipmentproblemsand/orforcemajeureoranycausesbeyondtheCompany’scontrol,theApplicantshallnotdefinitelyraisesucherrortoclaimanydamagesagainsttheCompanyandshallnotifytheCompanyimmediatelyofsucherror.TheCompanywilluseitsbesteffortstosolvetheproblemhastily,andtheApplicantagreesto fully assist and cooperate with the Company for solve suchproblem.

6.8 The Applicant represents andwarrants that it shall complywith all Cardholder Information Security Program (CISP), SiteData Protection (SDP), and Payment Card Industry Standard(PCI)requirements,asamendedfromtimetotime.TheApplicantmust comply with the Rules, including without limitation, thoserelatingtoCardholderinformationsecurityissues,non-disclosureofCardholder informationandTransactiondocuments,retentionandstorageofCardholderandTransactioninformationandothersecurityproceduresadoptedbytheCardOrganizations.

7. TERM AND TERMINATION OF AGREEMENT

7.1 ThisAgreementshallbeeffectivefromthedatehereof.AnypartywhointendstoterminatetheAgreementshallgiveadvancewrittennoticetotheotherpartynotlessthanninety(90)dayspriortotheterminationofthisAgreement.

7.2 This Agreement shall be terminated and the Company isentitledtoceasetheServiceforthwithbyclosingtheApplicant’suseraccountinanyoneofthefollowingcircumstances:

a.theApplicantusesand/ordeclaresfalseinformation;or

b. theApplicant is in breach of any provision of theAgree ment,requirementsorconditions;or

c. the Applicant commits an offence or participates in an offencebyusingtheServiceaccordingtothisAgreement.

UponterminationofthisAgreementinanycase,theApplicantshallannouncetheterminationinaconspicuousplacethatcanbeseenobviouslybyitscustomersand/orclients.TheannouncementshallcommencefromthedatetheServiceisceasedandshalldescribethe contents that are harmless to and promote both parties’image. This clause will not deprive the Company’s right of anycompensationanddamagesduetotheterminationhereofbytheApplicant’sacts.

INWITNESSWHEREOFthisAgreementismadeintwo(2)copies.ThePartieshavethoroughlyreadandcomprehendedthecontentshereofandfoundthatthesecorrectlymeettheirintention.Thepartieshaveconsequentlyexecutedandaffixedtheircompanysealinthepresenceofwitnessandkeptoncopyeach.

8. MISCELLANEOUS

8.1 IncasethattheApplicant’suseraccountunderthisAgreementhas no movement for a six (6) month-period continuously, theApplicantagreestopaytheCompanyamonthlyfeeof200Baht(TwoHundredBahtOnly),exclusiveofVAT,tomaintaintheuseraccount from the firstmonth of non-movement.TheCompanyalsoreservestherighttoterminatethisAgreementIftherearenotsufficientfundsintheApplicant’suseraccountorasitthinksfit.

8.2 Toprovide theServiceof theCompany incompliancewiththesecuritypolicyandthisAgreement,iftheCompanyfindsanytransactionthatisnotcorrectoriswithinthescopeofdishonestactsinanymeans,theApplicantagreesthattheamountofsuchtransactionwill be confiscated and seized in the systemuntilanypersonexpressestoclaimit.IftheCompanyexaminesproofandhasreasonablebeliefthatsuchpersonisthegenuineowner,theCompanywill,afterdeductingtheservicefeeandexpensesbe entitled to return the net amount to that genuine ownerimmediately. The applicant agrees that agrees to coordinatewith theCompany indocumentand informationexaminationasrequestedandagreesthattheCompanymaytemporallysuspendtheApplicant’suseraccount.

8.3 The Company reserves the right to open only one useraccount for theApplicant. If itappearsthat theApplicanthasorobtainsmore thanoneuseraccount theCompany isentitled tocancelotheruseraccount(s)andretainonlyoneofthemfortheApplicant.

8.4 The parties understand that all documents, information ormaterials produced or acquired under this Agreement and the

TermsofUseareconfidential informationand tradesecrets.Neitherpartyareentitledtodisclosenorcausetobeknownbyanywayofsuchconfidentialinformationandtradesecretstoanythirdpartyandagreestoproperlykeepthematanytimeeitherduringandaftertheperiodhereof,exceptforthedisclosurerequiredbyacourtorderorprovisionsoflaw.

8.5 The Company is an owner of all intellectual property right,whether in contents or wording, pictures, signs, logo, trade/service marks, trade name as well as all design works, in alldocumentsandwebsitesoftheCompany.TheApplicantmustnotconductordoanyactsorconsenttoanythirdpartytodoanyactstodamageorviolate,directlyorindirectly,theintellectualpropertyrighthereunderbelongtotheApplicant.

8.6 TheApplicantmust not assignor transfer its rights, duties,benefitsorclaims,inwholeorinpart,accordingtothisAgreementtoanythirdpartywithoutthewrittenconsentfromtheCompany.IneventtheApplicantreceivessuchconsent,theApplicantisstillliabletotheCompanyunderthisAgreement inall respects.TheCompanyisentitledtotransferitsrights,duties,benefitsorclaims,inwholeorinpart,accordingtothisAgreementtoanythirdpartywithoutconsentfromtheApplicant.

8.7 ThisAgreementisgovernedbylawsofKingdomofThailand

8.8 Shouldanyprovision,condition,termorpartofthisagreementbenullorinvalid,thepartiesagreethatanyofthevalidremainingportionshereofshallbedeemedseparatefromsuchnullorinvalidpartsandshallremaininfullforceandeffect.
