PROVISION OF SERVICES – UNIT PRICE

MANDATORY REQUIREMENTS

The following are the mandatory requirements of a formal bid and failure to meet one or more shall result in the bid being disqualified:

.1 the Bid document shall be signed;

.2 when the bidders have been requested to provide bid security, the bidders shall provide security in the form or amount required;

.3 all unit prices shall be included in unit price contracts;

.4 the Bid package shall be on Metropolitan Regional Housing Authority documents;

.5 any Bid based on modifying, qualifying or re-writing any of the terms or conditions of the Tender, the General Conditions or the Supplementary Conditions documents shall be disqualified; and,

.6 the Tender Submission shall contain all pages of the Bid and Agreement Form.

INSTRUCTIONS TO BIDDERS

1. Bid Closing Address

The Bid Closing Address is 3770 Kempt Rd Halifax Nova Scotia, Suite 3. Bids delivered to the Bid Closing Address must be in a sealed envelope marked “Bid” and bear the name of the bidder and the Service “Tender Title”. Bids are to be placed in the Metropolitan Regional Housing Authority Tender Submission Drop Box, located in the Housing Nova Scotia front entrance at 3770 Kempt Road Suite 3, Halifax (by Subway sandwich shop). Bids will be received up to 2:00 PM local time and opened at 2:00 PM local time Tuesday, July 30, 2019.

2. Bid and Agreement Form

Bids shall be submitted on the original Bid and Agreement Form as. provided herein by theMetropolitan Regional Housing Authority. These forms must be completely filled out in ink orby typewriter. Signatures are to be those of authorized signing officers and are to bewitnessed.

The Bid submitted shall not contain any form of qualification or, unless the Bid documentsotherwise provide, any unsolicited alternative to the Bid.

The completed form shall be without interlineations, alterations, or erasures.

3. Right to Reject

The right to reject any or all Bids or to accept any Bid deemed most satisfactory is reservedby the Metropolitan Regional Housing Authority. The Metropolitan Regional Housing Authorityreserves the right to waive any informality in any or all Bids.

The Metropolitan Regional Housing Authority reserves the right to consider the following inthe evaluation of tenders:

.1 past experience with the bidder and / or its management, including, but not limited tothe following:

.1 compliance with the terms and conditions of past contracts between theMetropolitan Regional Housing Authority or the Government of Nova Scotia andthe bidder; and,

.2 timely completion of past tenders awarded to the bidder.

.2 information received in response to enquiries of credit, customer and industryreferences; and,

.3 the experience and qualifications of the bidders’ senior management and projectmanagement.

4. Modifications to Bids

Modifications may be made to bids by facsimile (fax) message to 902.420.7586 or by emailto [email protected]. Note: Messages received by telephone shall not beconsidered.

The following requirements must be met:

.1 modifications must be received at the address indicated in Paragraph 1 of Instructionsto Bidder, prior to Bid Closing Time;

.2 modifications made by fax or email shall immediately be followed up by the originaldocument being delivered to the Metropolitan Regional Housing Authority and signedas outlined in Paragraph 2 of Instructions to Bidder; and,

.3 modifications should not include the total original or revised bid amount.

INSTRUCTIONS TO BIDDERS

5. Existing Conditions

Bidders shall familiarize themselves with all locations where the Work is to be carried out and

will be deemed to have informed themselves of all existing conditions and limitations.

6. Safety Certification

Prior to contract award, the successful bidder must provide a Certificate of Recognition issued jointly by the Workers’ Compensation Board of Nova Scotia and an occupational health and safety organization approved by the Workers’ Compensation Board of Nova Scotia or a valid Letter of Good Standing or Certificate of Recognition Pending from an occupational health and safety organization approved by the Metropolitan Regional Housing Authority.

7. Capability

Metropolitan Regional Housing Authority shall require of any Bidder proof of financial and technical capability to undertake the Work for which its Bid is submitted.

8. Interpretation of Approximate Estimate of Quantities

The estimate of the quantities of Work to be performed and materials to be furnished as shown on Schedules “A” of the Bid and Agreement is approximate and is given only as a basis of calculation upon which the award of the contract is to be made. Metropolitan Regional Housing Authority shall not assume any responsibility that the estimated quantities called for in the Bid shall be the same as the actual quantities required in the Work. Metropolitan Regional Housing Authority reserves the right to increase, decrease or omit all or any of the quantities of Work shown in the Bid and Agreement Form.

Metropolitan Regional Housing Authority reserves the right to make mathematical corrections to the extensions with may change the Estimated Bid Price.

• WCB proof of coverage (see details in the General Conditions section of this tender)

• Proof of General Liability Insurance. (See details in the General Conditions section of this tender)

1. OFFER

The undersigned Bidder (hereinafter called the "Contractor") hereby offers to Metropolitan Regional Housing Authority to furnish all necessary tools, plant, materials, and labour to execute and complete the service(s) set out in the "Description of Services" for the Total Estimated Bid Price set out in Clause 3, Total Estimated Bid Price, of this Bid and Agreement.

2. GENERAL AGREEMENT

.1 This agreement shall be in effect for a period of thirty (30) days commencing with the effective date of award and ending thirty (30) days later. The work must be completed within this thirty (30) day period.

.2 This Bid and Agreement, Instructions to Bidders, Specifications and the General Conditions

included herewith shall be and are the complete Bid and this offer is made subject to the provisions contained therein.

.3 This Bid supersedes and/or cancels all communications, negotiations, and agreements

relating to the work other than that contained in the complete Contract.

.4 This Bid may not be withdrawn for a period of thirty (30) days following Bid Closing.

.5 The acceptance letter shall be issued by:

.1 forwarding by Registered Mail a letter to the Contractor at the address set out in the Bid document, in which case acceptance shall be deemed to be on the day this letter is deposited in the mail, or;

.2 delivering a letter by hand to the Contractor at either: the address set out in the Bid document, the Head Office of the Contractor, or to any officer of the Contractor, in which

case acceptance shall be deemed to be the day the letter is delivered.

.6 The complete Bid together with, and subject to, all the provisions contained therein shall, when accepted and executed on behalf of the Metropolitan Regional Housing Authority, constitute a binding Contract between the Contractor and the Metropolitan Regional Housing Authority.

.7 This Bid is made without connections with any other person or persons submitting Bids to

perform the work(s) described herein.

GENERAL CONDITIONS OF THE CONTRACT

1. DEFINITIONS

.1 The contract documents consist of the Bid and Agreement, Instructions to Bidders, General Conditions of the Contract, Schedules “A-B” and any Appendices including all modifications thereof plus any Addendums incorporated in the documents before their execution. These constitute the Contract when signed by the Metropolitan Regional Housing Authority and Contractor.

.2 The term "Project Manager" is the person designated to represent Metropolitan Regional Housing Authority under the contract.

.3 The term "Work" includes the whole of the work, materials, matters and actions required to be done, furnished and performed by the Contractor under the Contract.

2. AUTHORIZATION AND PURCHASE / WORK ORDERS

.1 A portion of the work covered by this Contract may be of an emergent nature. In such cases the Contractor will be notified by phone by the Project Manager of the nature of the call. The Contractor is expected to respond within sixty ( 60 ) minutes. A Purchase Order and/or a Work Order number will be provided verbally at this time and the written document shall follow as soon as practical.

.2 In non-emergent situations, the Contractor will be provided with a written Purchase Order and/or a Work Order and the Work shall be completed within a reasonable period of time which will not exceed two (2) weeks.

.3 The Contractor shall provide Metropolitan Regional Housing Authority with a written quotation detailing the cost of labour and materials prior to the issuance of a Purchase Order.

3. ASSIGNMENT AND SUB-CONTRACTING

.1 The Contractor shall not assign the contract or any monies due or accruing under the contract, under any circumstances, without the written consent of Metropolitan Regional Housing Authority. Every subcontract shall incorporate all terms and conditions of this contract which can be reasonably applied.

.2 Metropolitan Regional Housing Authority reserves the right to approve all sub-contractors.

4. INDEMNIFICATION

.1 The Contractor shall maintain such insurance or pay such assessments as will protect him and Metropolitan Regional Housing Authority from claims under Workers’ Compensation Acts.

.2 The Contractor shall indemnify and save harmless Metropolitan Regional Housing Authority from, and against, all claims, losses, costs, damages, suits, proceedings or actions arising out of, or related to, improper acts in executing the Work.

.3 The Contactor shall pay for, and maintain, liability insurance during the term of the Agreement in an amount of not less than two million Canadian dollars ($2,000,000.00) in

GENERAL CONDITIONS OF THE CONTRACT

respect to any one accident or occurrence against claims for personal injury, death or property damage or loss arising from any act, fault or omission of the Contractor.

.4 Certificates of such insurance showing “HOUSING NOVA SCOTIA and

METROPOLITAN REGIONAL HOUSING AUTHORITY” as named insured shall be filed with the Metropolitan Regional Housing Authority and shall be subject to approval as to adequacy of protection. Such insurance shall be maintained until the Work is complete.

5. WORKERS’ COMPENSATION

.1 The Contractor shall carry Workers’ Compensation coverage on all employees engaged under this contract. The Contactor shall supply the Metropolitan Regional Housing Authority with a Letter of Good Standing from the Workers’ Compensation Board and their Revenue Canada Business Number prior to the Work commencing.

6. QUALIFICATIONS AND CONDUCT OF WORKERS

.1 All employees engaged in the performance of the Work shall, in the opinion of Metropolitan Regional Housing Authority, be qualified in the work carried out and shall hold current Journeyman or other appropriate certificates or licenses.

.2 The Contractor shall submit to Metropolitan Regional Housing Authority, upon request, a roster of employees (including copies of documents confirming their qualifications) engaged in providing service under this Agreement. Other persons shall be permitted to perform services only with the written approval of Metropolitan Regional Housing Authority.

.3 Workmanship shall be of the highest standards and quality performed by workers that are experienced and skilled in the respective duties for which they are employed. Metropolitan Regional Housing Authority reserves the right to require the dismissal from the work site of workers deemed incompetent, careless, insubordinate, objectionable or unskilled in the respective duties for which they are employed.

.4 The Contractor and workers are expected to conduct themselves in a polite and professional manner at all times. Discussions with residents regarding the Work shall be limited to only aspects of the Work that bears directly on the residents.

7. PERMITS, LICENSES, FEES, TAXES AND BYLAWS

.1 The Contractor shall comply with all Federal, Provincial and Municipal laws and regulations relating to the Work and shall pay for all permits, licenses, fees and certificates required for the execution of the Work.

.2 The Contractor shall EXCLUDE in the Bid all Federal, Provincial and Municipal taxes which are applicable to this Contract and the Contractor shall pay these taxes. No return of, or credit for, taxes paid will be made to the Contractor.

8. SAFETY MEASURES

.1 The Contractor shall take precautions to prevent accidents and injury to persons or

property about or adjacent to the premises where the Work is performed.

.2 The Contractor will be held responsible for the enforcement of all applicable provisions of the Nova Scotia Occupational Health and Safety Act and its Regulations and all other safety measures as required by authorities having jurisdiction.

.3 Vehicular and pedestrian traffic shall be protected by the use of barriers supplied by the Contractor.

9. SAFETY CERTIFICATION .1 Prior to contract award, the successful bidder must provide a Certificate of

Recognition or Letter of Good Standing issued by an occupational health and safety organization approved by the Workers’ Compensation Board of Nova Scotia.

10. PROJECT MANAGER AND CONTRACTOR

.1 The Project Manager, as named in the Instructions to Bidders, shall represent Metropolitan Regional Housing Authority in all matters dealing with this Contract and he/she shall decide all questions arising from the Contract documents. Where the Contractor disagrees with these decisions, the Contractor shall provide notice in writing to Metropolitan Regional Housing Authority.

.2 The Project Manger may, from time to time, designate other representatives of Metropolitan Regional Housing Authority to communicate with the Contractor. Significant instructions / directives are to be in writing.

.3 Should the Contractor be absent, a competent foreperson, satisfactory to the Project Manager, shall be appointed to have supervision over the Work.

11. CONTRACTOR SUPPLIED MATERIALS AND EQUIPMENT

.1 Unless otherwise stipulated, the Contractor shall provide and pay for all materials, water, tools, equipment, light, power, transportation and other facilities necessary for the execution of Work.

.2 Unless otherwise specified, all materials incorporated into the permanent Work shall be new and of good quality. The Contractor shall, if required, furnish satisfactory evidence as to the quality of materials.

.3 The Contractor shall apply, install or use material according to the manufacturer’s directions.

.4 The Contractor shall provide the products which are specifically named within the Contract. Alternatives shall only be used if approved in writing by Metropolitan Regional Housing Authority.

.5 Upon receiving a Purchase Order, the Contractor shall order material in ample time to ensure prompt installation. Any delivery delays shall be reported to the Project Manager immediately. All packaged material shall be delivered in the original containers, having manufacturer’s label.

GENERAL CONDITIONS OF THE CONTRACT

.6 The Contractor shall store the materials in such a way as to prevent deterioration, contamination or loss or impairment of essential properties.

.7 The Contractor shall be responsible for the loss of materials through theft, breakage or damage prior to acceptance of the Work by Metropolitan Regional Housing Authority.

.8 Materials and replacement parts shall be supplied at invoice cost plus a mark-up of (fifteen) 15% excluding all taxes which shall be shown as a separate item. The Housing Authority reserves the right to request a copy of the Supplier’s invoice.

12. INSPECTION OF WORK

.1 The Metropolitan Regional Housing Authority or the Project Manager or his/her representative shall at all times have access to the Work. If the Work is found not to be in accordance with the Contract, it shall be corrected at the Contractor’s expense.

13. WARRANTY

.1 The Contractor shall make good any defects due to poor workmanship and shall replace any defective materials supplied if such defect(s) becomes apparent within one (1) year from the date of acceptance of the Work by Metropolitan Regional Housing Authority.

14. PROTECTION OF WORK AND PROPERTY

.1 The Contractor shall provide and maintain, at Contractor’s expense, adequate protection to any Work in progress.

.2 The Contractor shall protect from damage all real property, goods, household effects and personal property of residents, adjacent property owners or Metropolitan Regional Housing Authority in the course of performing the Work or as a direct result of it.

15. CONTRACTOR’S ACCESS TO BUILDINGS / UNITS

.1 The Contractor shall make arrangements with tenants to gain access to occupied units. Metropolitan Regional Housing Authority will supply the tenant’s name and address and, where possible and required, the tenant’s telephone number.

.2 Keys for access to buildings, service rooms, vacant units, etc., are to be obtained from Metropolitan Regional Housing Authority’s office or as otherwise directed. The Contractor is to promptly return the keys to the location designated by Metropolitan Regional Housing Authority upon completion of the Work.

.3 Metropolitan Regional Housing Authority may, at its sole discretion and without rationalization, request the return of any keys issued to the Contractor. Notification of this request shall be either via email or verbally with a written letter following as soon as practical. Notification shall be deemed to have been received as of the date and time the email is sent or as of the date and time of the verbal request. Contractor will have forty-eight ( 48 ) hours to comply with the request.

.4 Failure to promptly return keys may result in Metropolitan Regional Housing Authority’s replacing the keys and lockset(s) and, at its sole discretion and without notice, deduct the cost of same from any monies owing to the Contractor.

16. TERMS OF PAYMENT

.1 Metropolitan Regional Housing Authority agrees to make payment in accordance with the terms of the Bid and Agreement subject to the following:

.1 where it can be proven by the Contractor that suitable arrangements were made with the tenant for access to the unit and the Contractor was unable to gain entry, Metropolitan Regional Housing Authority will pay a charge of one (1) hour at the applicable hourly labour rate contained in Schedules “A-B” of the Bid and Agreement;

.2 the Project Manager’s verification that all the Work has been satisfactorily performed;

.3 invoices shall include a detailed description of the Work performed, total number of hours at the applicable rate, suppliers’ material cost invoice, fifteen percent (15%) mark-up, and applicable taxes identified separately. The Purchase Order number must appear on each invoice;

.4 upon completion of each service call, the applicable site office shall be informed either by phone call or by email that the job has been completed. A signed Service Report Form shall be faxed within (twenty-four) 24 hours after the completion of Work to the applicable site office. See Appendix “A” for the Service Report Form to be used, and,

.5 the Service Report Form detailing the date and time of the call, a description of the Work performed and, where applicable, a signature from the tenant shall be submitted with each invoice.

17. METROPOLITAN REGIONAL HOUSING AUTHORITY SUPPLIED MATERIALS

18. The Contractor shall install material supplied by Metropolitan Regional Housing Authority when, in the opinion of Metropolitan Regional Housing Authority, it is expedient to do so.

19. RUBBISH AND WASTE REMOVAL

.1 Rubbish and waste material is to be kept to a minimum. At completion of the Work, the Contractor shall, at Contractor’s expense, ensure the maximum cleanliness of any Metropolitan Regional Housing Authority or other property and shall remove and properly dispose of all rubbish or waste materials.

.2 The Contractor, upon written request from Metropolitan Regional Housing Authority, shall deliver to Metropolitan Regional Housing Authority any part, etc., that has been replaced.

20. EXCLUSIONS

.1 Metropolitan Regional Housing Authority reserves the right to:

.1 exclude repair or maintenance Work which, in the opinion of the Project Manager, will exceed one thousand dollars ($1,000.00);

.2 exclude repair or maintenance Work which, in the opinion of the Project Manager, the Contractor is unable to fulfil within a reasonable time period; and,

.3 carry out repair and maintenance Work by its own forces from time to time.

21. TERMINATION OF CONTRACT

.1 Metropolitan Regional Housing Authority reserves the right, at any time during the term of the Contract, to terminate the Contract within ten (10) days’ notice to the Contractor, for breach or non-performance of any of the terms and conditions or specifications in whole or in part.

Asbestos Disclosure Material Letter – January 2014

To Whom It May Concern,

This is to advise that certain building materials used in the construction of apartment buildings, office

buildings and homes between the years 1946-1986 may contain asbestos fibres. Asbestos may typically

be found in drywall filler, texture coats (stucco), floor tiles, tile adhesive, gaskets, hard board, plaster,

ceiling tiles, caulking and seamless flooring. Asbestos can be a hazard if the fibres in the building material

are released or separated from the material or become air borne. In order for asbestos fibres to be

released from this material, it must be sanded or crumbled into small pieces. Asbestos is not otherwise poisonous and it does not off-gas any toxic chemicals. Under normal conditions

of day-to-day usage, these materials do not pose a risk to occupants, as they are not releasing dust. As many of the Metropolitan Regional Housing Authority (MRHA) buildings were constructed prior to 1986,

we are advising that asbestos may be present in the building materials. When properly managed these

materials are not a cause for concern. Typically, if asbestos is found in MRHA buildings it is in the drywall filler (the material used to cover the

seams where two (2) pieces of gyproc meet or the corners of a room or where the ceiling and walls meet),

stucco or plaster. Gyproc itself does not contain asbestos. The following responsibilities fall upon any contractor whose work may results in the disturbance of any

asbestos-containing or contaminated materials or surfaces:

1. Before commencing work, ensure all contractors, employees and supervisory staff have been informed

as to the presence and approximate location of all asbestos-containing materials that may become

subject to disturbance (whether intentional or not); 2. Only workers trained and authorized in Type 1, 2, or 3 asbestos work procedures are assigned to work

involving exposure to material containing asbestos;

3. File with the Metropolitan Regional Housing Authority a signed and executed copy of a Contractor's Notification & Acknowledgement form as provided at the end of this document;

4. Perform work in such a manner as to avoid the disturbance of any asbestos-containing or contaminated surfaces or materials other than those materials intentionally contracted to remove, repair, encapsulate or enclose;

5. Upon discovery of any unidentified asbestos-containing or suspect asbestos-containing materials, secure

the area, suspend all activities that may disturb such materials and do not proceed with work in the area

until it has been determined if the material in question contains asbestos and written authorization to

proceed is obtained from the Metropolitan Regional Housing Authority;

6. Prior to proceeding with any asbestos disturbance for Type 2 and Type 3 work (i.e. removal, clean-up or

repair) ensure a signed and duly executed Asbestos Work Permit is obtained from the Metropolitan

Regional Housing Authority;

7. Ensure all work that may disturb any asbestos-containing or contaminated surfaces is completed in

accordance with current regulatory requirements; and, 8. As required, provide the Metropolitan Regional Housing Authority with a copy of all executed Asbestos

Waste Transportation Manifests, verifying the safe and proper disposal of asbestos waste generated.

SERVICE REQUIREMENT

Service Requirements:

1. This work is for a visual inspection only.

2. The vendor will provide roof anchor inspections in accordance with the Nova Scotia Environment and Labour Fall Protection and Scaffolding Regulations, made under Section 82 of the Occupational Health and Safety Act S.N.S. 1996, c. 7 O.I.C. 96-14 (January 3, 1996), N.S. Reg. 2/96, and the applicable CSA Standards.

3. Engineer stamp licenced in Nova Scotia on each visual inspection report.

4. The suitable vendor will be required to maintain a minimum of $2,000,000 in liability insurance coverage to protect itself and the MRHA from anydamages that may arise from these services.

5. Please submit your response based on a THIRTY (30) DAY contractual agreement to commence on DATE OF AWARD.

6. It is mandatory that the following information and documentation is provided with your bid

• Pricing

• Proof of WCB Clearance Certificates• Proof of Liability Insurance for a minimum of $2,000,000

• Provide a contact name from your organization as a liaison, include a telephone number and e-mail address
