4. Clause 2 (9C) of IFB (Scope of Work) & Clause 1.2.9 C of TS

Two sets of slide gate suitable for a clear vent opening of size 5500mm x 7500mm (wxh) with skin plate, main horizontal girders, end vertical girders, stiffeners, Aluminium Bronze slide/thrust pads with base, rubber seals with seal bases for top, side and bottom, ferrules, seal clamp plates with stainless steel fixing nuts and bolts, guide shoes, lifting arrangement, latching arrangement, ballast (if required), 2nos.

Please clarify and elaborate as to the details of "Grating with Wire Mesh etc" for Surge Shaft Gate.

In addition to steel grating, the wire mesh is provided at the bottom of grating to avoid the falling of tools, nut & bolts etc. during maintenance.

5. Clause 2 (10C) of IFB (Scope of Work) & Clause 1.2.10 C of TS

Four sets of vertical lift wheeled gate suitable for a clear vent opening of size 5000mm x 5500mm (wxh) with skin plate, main horizontal girders, vertical stiffeners, end vertical girders, wheel assemblies with self aligned stainless steel spherical roller bearings, wheel cut-out arrangement, wheel axle/pins, rubber seals with base for sides, top and bottom, ferrules, seal clamp plates with stainless steel fixing nuts and bolts, side guide shoes, lifting arrangement, 2 nos. filling valves, latching arrangement, strike bracket for MIV interlock switch, ballast (if required), grating with wire mesh etc., complete in all respects.

Please clarify and elaborate as to the details of "Grating with Wire Mesh etc" for Draft Tube Gate.

Also please clarify and elaborate what is meant by 'Wheel cut-out arrangement' for wheeled gates.

In addition to steel grating, the wire mesh is provided at the bottom of grating to avoid the falling of tools, nut & bolts etc. during maintenance.

The wheel cut out arrangement, is clearly shown in the specification drawings.

6. Clause 8.0 - Construction Power

In case the Contractor fails to avail electricity connection from NEA/Employer due to invalid reasons within 3 months from date of intimation of completion of transmission line then the recovery of charges @ 11 NPR/ KWH shall commence from the end of 3 months of such notification of Employer.

Para 1 & Para 2 are conflicting in nature. If availing power from grid becomes mandatory, then how adjustment will be made when grid power is not available and contractor is required to make good the deficit by running its DG Sets. Further, if the contractor does not avail of the electricity connection facility from NEA/Employer in three months from the date of intimation of grid power availability, on what basis recovery of charges shall be effected since there is NIL units consumed by the contractor. Please also confirm that grid power made available to the contractor shall

be 415V AC. The above clause should be re-visited by the Employer and discretion of power utilization shall be left with the contractor as per its economy.

7. Clause 9.0 iii - Availability Of Land To The Contractor:

Land for Infrastructure shall be arranged by the Contractor himself at his own cost.

It would not be practicable for the contractor to arrange land by himself. Hence Employer's direct involvement and assistance is necessary. Alternatively, Employer can arrange the land and provide to the contractor during the pendency of the contract.

8. Clause 9.0 iii - Availability Of Land To The Contractor:

Land for Infrastructure shall be arranged by the Contractor himself at his own cost.

The land will be provided to the Contractor for the construction of the project.

9. Clause 5.5.1.2 – Technical Experience Criteria

e) Pressure shaft Steel liner Fabrication/manufacturing, erection, testing and commissioning of one no. pressure shaft steel liner having a value of D x H not less than 1000 m2 Where, D= Internal diameter expressed in m and H= maximum Design Head in (m).

Earlier the Penstocks/Pressure Shaft Steel liners constituted part of civil package.

We therefore request that Qualifying Requirements be amended and DxH≥ 675 m2 for completed work and DxH≥ 1000 m2 for work in hand be made admissible to meet the Qualifying Requirements.

10. Clause 5.5.1.2, Clause 6.1 – Nature of Bidders

The Bidder should either be a single entity or a JV/ consortium formed for participating in the tendering for this Project. Subject to sub-clause 6.2, the bidder (single entity)

Both clause 6.1 and 6.2 do not allow induction of JV Partner or Manufacturer or Subcontractor to meet specific experience criteria 5.5.1.2 (e) of Pressure Shaft Steel

shall be allowed to associate Manufacturer(s) for certain components in which he does not have the requisite experience.

The Bidder himself or lead Partner to fully meet the following:

Specific experience criteria specified in para 5.5.1.2 (a) and 5.5.1.2 (e).

Liner. Letter of Comfort or authorization for Hydraulic Hoists, Rope Drum Hoist/Gantry Crane and TRCM are always available from multiple manufacturers to all intending bidders. However, as per said clause, there is no avenue open to meet shortfall if any in meeting the specific criteria for Pressure Shaft Steel Liners. The provisions may please be suitably amended to allow a JV Partner / Manufacturer / Subcontractor satisfying specific experience criteria 5.5.1.2 (e) for Pressure Shaft Steel Liners for participation WITH ONE/SINGLE BIDDER ONLY.

11. Clause 5.5.1.2 – Technical Experience Criteria

Applicant either itself or proposed Manufacturer(s), who have given authorization to the Applicant, should have experience in the design, procurement fabrication, shop assembly, painting, shop testing, supply, transportation, erection, testing and commissioning of the following Hydro-Mechanical works and pressure shaft steel liner works in a completed project during the preceding twenty (20) years to be reckoned from the last day of month previous to the month in which applications are invited.

e) Pressure shaft Steel liner

Fabrication/manufacturing, erection, testing and commissioning of one no. pressure shaft steel liner having a value of D x H not less than 1000 m2 Where, D= Internal diameter expressed in m

The first para of Clause 9.2 and 5.5.1.2 clearly specify the inclusion of various activities from “design to commissioning” for meeting the technical criteria for each of the items given vide sub clauses a) to e). Additionally, a clear and explicit mention of the same is given vide sub clauses b), c) d).

However, the same is missing in entirety for sub-Clause a) i) Radial Gate, a) ii) Vertical Lift Fixed wheel /Slide Gate/ Stoplog and missing for “desing” for Sub-Clause e i.e. Pressure Shaft Steel Liner.

While by virtue of the mention vide first para of Clauses mentioned vide Sr. No. a), it

5.5.1.2 Technical Criteria (Specific Experience) is self explanatory, however, the same is again clarified below:

For Clause No. 5.5.1.2, a) and b) the requirement is for "design, procurement, fabrication, shop assembly, painting, shop testing, supply transportation, erection, testing and commissioning".

For Clause No. 5.5.1.2 c), the requirement is for "fabrication/ manufacturing, erection, testing and commissioning".

and H= maximum Design Head in (m). stands implied for the sub-clause mentioned vide Sr. No. b) above, we request the clarification for requirement of “design to commissioning for Radial Gates & Vertical Lift Fixed wheel/Slide Gate / Stoplog” and “design” for Pressure Shaft Steel Liner and in case required, the same to be made explicit for the sake of clarity and consistency in line with as mentioned elsewhere.

12. Clause 6.2 : Bids with Manufacturer(s)

(ii) The number of Manufacturer(s) not to exceed two (2) for meeting the specific experience criteria. (iii) The Bidders can propose the subcontractor(s)/ Manufacturer(s) for 'Specific Experience', under para 5.5.1.2 (b) or 5.5.1.2 (c) or 5.5.1.2 (d). (vii) Manufacturer(s) shall submit Performance Bank Guarantee equivalent to 5% of value of Work sublet in addition to the Performance Bank Guarantee for whole contract submitted by the Bidders on award of Work.

Hydraulic cylinders / TRCM manufacturers are proposed vendors / Suppliers / Sub-Vendors only and they will enter JDU with bidder at the time of submission of tender. Hence the proposed vendors/ Supplier/Sub-Vendors need not submit performance bank guarantee equivalent to 5% of sublet work. In view of the above, it is requested to delete CL. No. 6.2 (vii).

13. Clause 8.1(a) & (b) : Site visit

The bidders in their own interest, should inspect and examine the site and its surroundings and satisfy themselves, before submitting their bid, in respect of the site conditions including but not restricted to the following which may influence or affect the Works or cost thereof under the Contract:

Availability of Land Contract being executed within Nepal , arranging required land for project purpose will be much difficult, thus request same may please be arranged by Project Authority which will be handed over on completion of project.

a) Site conditions including access to the Site, existing and required roads and other means of transport/ communication for use by them in connection with the Works;

b) Requirement and availability of land and other facilities, for their enabling works, colonies, stores and workshops etc. Such land shall be arranged by the Contractor at his own cost,

14. Clause 16 : Currency of Bid

16: 1 The unit rates and prices can be quoted by the bidders separately in the following currencies: a) In Nepalese Rupees for those inputs to the Works which the bidder expects to supply from within the Employer's country, and

b) In Indian Rupees for those inputs to the Works which the bidder expects to supply from outside the Employer's country. (referred to as "the foreign currency requirements").

The supply of pressure shaft liner &. -Hydraulic Cylinders to be procured from 3rd countries (other than India and Nepal). In such case we request you to clarify whether the 3rd country currency can be quoted in Price Schedules.

15. Clause 21.2 (b): Online Submission

Envelope –I Bid (Qualification Particulars and Techno-commercial Bid) shall contain the following :

b) AIL Data Sheets, duly completed except Data Sheet 5& 6.

As per the Cl. No. 21.2 (b), you have indicated Data Sheet-5 & 6 are not to be uploaded in the Envelope-I: Techno-Commercial Bid. Where as in Vol - 7: Data Sheets, Data Sheet 6 is not available in the tender document.

16. Clause 21:3(b) – Online

Envelope-II (Price Bid) shall contain the following :

17. Clause 29 : Conversion to Single Currency for evaluation of Bids

29.1 For evaluating the price bids, the Employer will convert the amount quoted in various currencies in which the Bid Price is payable to the currency of the Employer's country using the exchange rate stated in the Bid data.

As per the-CL- No. 29, you have indicated that the conversion to single currency will be based on the exchange rate stated in the Bid data. Where as in the Bid data, the details are not available.

18. Application Form 2: General Experience Record

1. Average Annual Turnover

Financial Year 2016 2017 is under preparation and Audit there upon. We request you to confirm, whether we can consider the average annual turnover of 3 years (i.e., 2013-14 to 2015-16) from audited financials.

19. Clause 14 Taxes and Duties

If any tax exemptions, reductions, allowances or privileges may be available to the Contractor in the country where the Site is located, the Employer shall use its best endeavours to enable the Contractor to benefit from any such tax savings to the maximum allowable extent

20. Clause 14 Taxes and Duties

the Facilities in and outside of the country where the Site is located.

The quoted bid price (both Supply and Service portion) shall include all duties, taxes etc. The details of loading of Taxes in the bid shall be provided under Data Sheet-6to adjust the Change in Laws and regulations regarding taxes if required in future.

21. Clause 18.1 (Contractors Organization) & 18.2 (Program of Performance)

18.1 Contractor’s Organization

The Contractor shall supply to the Employer and the EIC a chart showing the proposed organization to be established by the Contractor for carrying out work on the Facilities within twenty-one (21) days of the Effective Date.

18.2 Program of Performance Within twenty-eight (28) days after the Effective Date, the Contractor shall submit to the EIC a detailed program of performance of the Contract.

As per clause 18.1 & 18.2 Contractor’s Organisation Chart to be submitted within 21 days of effective date and Programme of Performance to be submitted within 28 days after effecting date.

Whereas in Data sheet 2, Site organisation chart, and in Data Sheet 3 Erection programme has been asked to be submitted along with Bid. Please confirm your actual requirement to be submitted along with bid documents.

Existing provision shall prevail. The Bidder is required to submit Data Sheets as stipulated in the bid document.

22. Clause 19.1 Subcontracting

The Appendix to the Contract Agreement titled List of suppliers for Major Items of Plant Installation Services specifies major items of supply or services along with list of Subcontractors/ manufacturers.

The required capacity & stroke for radial gate cylinder is substantially high and very critical for operation of Radial Gates for the project. Kindly amend the technical specification at various clauses in the document specific to details on Hydraulic Hoist Systems to be supplied for the project specific to Hydro mechanical package.

23. Clause 21.4 Customs Clearance

The Contractor shall, at its own expense, handle all imported materials and Contractor’s Equipment at the point(s) of import and shall handle any formalities for customs clearance, subject to the Employer’s obligations under GC Sub-Clause 14.2, provided that if applicable laws or regulations require any application or act to be made by or in the name of the Employer, the Employer shall take all necessary steps to comply with such laws or regulations.

Employer's Obligations as per Clause 14.2 of GC has been referred in 21.4 of GCC- Custom Clearance, but there clause 14.2 has been mentioned deleted. Please clarify

The provisions of bid document are clear and shall prevail.

24. Clause 26.2 Completion Time Guarantee

If the Contractor fails to attain Completion of the Facilities or any part thereof within the Time for Completion or any extension thereof under GC Clause 40, the Contractor shall pay to the Employer liquidated damages in the amount computed @ 0.05% of the Contract Price per day of delay per milestone.

Request liquidated damage per day of delay of Mile stone to be of contract price of the item remains incomplete and limited to 5% of Contract value of item remained incomplete as accepted normally in such tender.

25. Clause 37 Force Majeure

Force Majeure” shall mean any event beyond the reasonable control of the Employer or of the Contractor, as the case may be, and which is unavoidable notwithstanding the reasonable care of the Party affected.

Due to project location in remote place and near to border area of Nepal and India, Force Majeure should also include frequent local disturbances, unrest etc, and affecting work progress.

from a Bank acceptable to the Employer. The advance shall bear a simple interest at the rate:-For NPR & Foreign Currency (INR); 11.30% based on SBI India, MCLR published on 01/07/2016 which includes 200 points on MCLR.

RBI Guidelines. Hence 11.30% interest on 10% Advance is too high considering present market rate of scheduled bank interest rate. Therefore, the same should be re-visited and reduced to a reasonable level.

27. clause(ii),Appendix 1 (Terms and Procedures of Payment)

ii) On despatch of Plant from Manufacturer's works:

Up to ninety percent 80% of the contract price of Ex-works component of Plant for each identified equipment upon dispatch of equipment from manufacture's works on pro-rata basis shall be paid as progressive payment within thirty (30) days on production of the following in bound folders:

Payment Towards progressive supply on despatch of plant form manufacturer’s work in Sl.(ii) payment to be up to 90% as stated but in figure same shown as 80% which appears to be typographical error - please confirm.

Towards erection service payment in Sl. 10(iii) payment to be 90% as stated but in 4th line of the para same stated 80% in monthly instalment appears to be confusing – kindly clarify. Advance payment security in Bank Guarantee may please be allowed to reduce in every 3 months , thus suggest submission of Bank Guarantee to be of divisible value so that the same could be released when recovery of payment of said value is made

Insofar as erection and commissioning are concerned 80% of the corresponding contract price shall be paid in monthly installment against pro-rata contract price of the work completed and certified by the EIC.

Please clarify whether the payment is ninety percent as indicated in words or 80% as indicated in numerical.

For erection and commissioning you should release 90% of the contract price on pro-rata basis and balance payment (i.e., 10%) of contract price shall be paid after successful erection, testing and commissioning and within 60 days after the issue of operational acceptance certificate by the EIC.

We would suggest the same may please to be mutually decided after award of order on receipt of respective erection fronts of complete Pressure Shaft Liner from Civil work Agency.

The milestone of handing over of Civil fronts to HM contractor has been kept in the scope of Civil Contractor. Civil fronts shall be provided at deck level for erection of 2nd stage embedment & gate erection.

47. Clause 2.2.1 (a), Chapter-2

A position indicator shall be provided in the gate. It has to be of sturdy design and manufactured to be installed outdoors under severe weather and operation conditions. The signal from the position indicator must be continuous, from fully closed to fully open as 0-100%. The signal shall be sent to the control panels.

As per the last para position indicator to be supplied. kindly specify which type of sensor to be used to achieve proper gate position indication, also note that this clause does not have details of feedback to be given to a remote panel at dam control room for display of gate position, the same to be added in the technical specification description of gate position indicator.

The gate position indicator shall be of digital type. The gate position shall also be displayed at dam control room.

48. Clause 2.2.1 (f), Chapter-2

The trunnion pin shall normally be supported at both ends on the trunnion bracket. The trunnion pins shall be designed for bending for the total load transferred through the trunnion hubs. What kind of synchronization is required, do you require closed loop PIV valve controlled synchronization, kindly specify in detail so that the system to be supplied can be accordingly designed. The same to be given at tender stage as the technology to be used to achieve synchronization system will have impact on price.

The synchronization of hydraulic cylinders shall be with servo valves. However, the detail shall be finalized during detailed design.

The erection procedure/ pressure shaft drawing does not indicate any erection gallery at the top of vertical shaft. It will be very difficult to erect and monitor the 5.5 m dia ferrule alignment without proper approach.

Hence we request you to provide the parallel adit to butterfly valve chamber and vertical shaft erection gallery.
