General Information: 1. Eligibility criteria for bidding shall be as per the bid document. 2. Interested company/firm may obtain bid document personally or by mail from the
office of the MD, MP State Livestock Development Corporation, Bhopal- 462003(MP), INDIA. Telephone No. 0755-2776086 by paying non-refundable fee of Rs 1000.00 (Rs One Thousand only) in the form of cash/ crossed Demand Draft, in favor of the MP State Livestock Development Corporation, Bhopal, payable at Bhopal. The bid document can also be collected by courier/ registered post at an extra cost of Rs 250.00. Under no circumstances the MP State Livestock Development Corporation, Bhopal, will be responsible for postal delay, late delivery or loss in transit of documents so mailed.
3. Bids shall be valid for a period of not less than 180 days from the date of opening of bid (envelope number one). Bids submitted without bid security shall be rejected.
4. Bids will be opened in the presence of bidder’s representatives, who choose to attend on the specified date and time.
5. Sealed bid can be sent either by post or by messenger.

Eligibility Criterion for Prospective Bidder
The call for bid is open to all qualified bidders who fulfil the following requirements: 1. The Bidder should be a Registered Firm or Partnership Firm or a Company registered under the Companies Act and should be in the IT Consultancy, Software Solutions & Services Business in the e-governance domain for 5 years. 2. The bidder should have a well-established network in Madhya Pradesh and should necessarily have an office/development centre in Madhya Pradesh with minimum 50 seat capacity. 3. The bidder should have minimum 50 professionals on their rolls. 4. The Bidder should have proven experience in the field of IT Consultancy, Development, Implementation & maintenance of software applications preferably for Public/Government Sector. The bidder should have successfully executed at least three similar projects of Development, commissioning & maintenance of comprehensive Web Based MIS for Public/Government Sector. 5. The bidder should have successfully executed at least one similar project of Development & Deployment of comprehensive Web Based MIS for Public/Government Sector; the value of such project must be more than Rs. 50 Lakh in last five years. 6. The bidder should have successfully executed maintenance and support contract including web hosting for Web-based MIS for any Government organization for at least 3 years of value not less than Rs 25 Lakhs. 6. Turn over for IT Consultancy/ Software Solutions & Services should be at-least Rs. 1 Crore for each of last 3 consecutive years. 7. The Bidder should be registered with Shops and Establishments, Service Tax and Provident Fund. The Bidder shall enclose the certificates. 8. The Bidder should have valid CMMI 3 and above or ISO 9001:2008 certifications Note: - The Bidders should submit the documentary proof and information in support of each of the criteria listed above. If desired M.P. State Livestock and Poultry Development Corporation Ltd would carry out inspection of the development centre to assess the capacity. Bidders not meeting the above criterion shall out rightly be rejected and their financial bid shall not be opened. Consortiums are not allowed.

SECTION II: INSTRUCTIONS TO BIDDERS (ITB)

INSTRUCTIONS TO BIDDERS (ITB)
MPLPDC will select an Agency among those who respond to our public notice on Request for Proposal, in accordance with the method of selection specified in the Data sheet.
1. The Agencies are invited to submit a Technical bid and a Commercial bid as specified in two separate sealed envelopes marked ‘Technical Bid” and ‘Commercial Bid’ and all these put in a cover addressed to MPLPDC.
2. The inner and outer envelopes shall be addressed to the competent authority at the following address

Envelope should bear the Bid Name and Reference No.
3. The completed proposal must reach the address of MPLPDC on or before the
due date and time stated in bid document. MPLPDC shall summarily reject the proposals received after the due date of submission. The Pre-Qualification bid shall be accompanied by a Bank Draft of Rs Fifty Thousands only (Rs 50,000/-) as Earnest Money Deposit (EMD). The EMD of the Agency contracting for the project Earnest Money Deposit may be converted into security deposit for due performance of the work/contract and will be returned after the successful completion of the work/contract/expiry of warranty period.
4. The Technical bid shall be opened in presence of representatives of the parties submitting the bid document on a date and time specified in the bid document. Preliminary Examination of bids will be carried out to determine they are complete, whether required sureties have been furnished, whether the documents have been properly signed and whether the bids are generally in order.
5. Those Agencies that pass the preliminary criteria, their technical proposals may be evaluated by a Committee set up by MPLPDC.
6. The cost of preparing the proposal and of negotiating the contract, including visit to MPLPDC are not reimbursable as a direct cost of assignment.
7. At any time before the submission of the proposal, MPLPDC may, for any
reason, whether on its own initiative or in response to a clarification requested by an invited agency, amend the bid document. Any amendment shall be issued in writing through addenda and sent by mail, fax etc. MPLPDC may at his discretion extend the deadline for submission of the proposals.
8. The Agencies are expected to examine the document constituting this bid document in detail while preparing their Technical and Financial proposal. Material deficiencies in providing the information may result in rejection of the proposal.
Technical Bid 9. The Technical Bid will consists of the following
• Letter of submission of Tender

• Copies of valid Income Tax clearance Certificate
• Details of Technical Personnel on the Pay Rolls of the Tenderer (Form I)
• A description of the methodology and work plan for performing the assignment.(Form II)
• Relevant Projects/Assignments carried out ( Form III)
• Detail of Web-based State wide MIS for any Government organization functional for at least 3 years which has been Designed and Implemented by bidder with Documentary evidence
• Technical deviations, if any, from the terms, conditions and specifications as specified in the bid document.
Commercial Bid The commercial bid will consists of the followings

Evaluation of Technical Proposals
10. The Evaluation committee appointed by MPLPDC shall evaluate the Technical proposals that clear the preliminary qualification criteria. A proposal shall be rejected at this stage if it does not respond to important aspects of conditions described in the bid document
11. As a part of evaluation process MPLPDC may invite short-listed parties for making presentation to the evaluation committee, if that is considered necessary by MPLPDC. The date and time for such presentation shall be decided by MPLPDC and informed to the concerned parties.
Evaluation of pre-qualification bids
a) The documentation furnished by the bidder will be examined prima-facie to see if the technical skill base and financial capacity and other bidder attributes claimed therein are consistent with the requirements of this project and meet the eligibility criteria as specified in the tender document.
b) The evaluation committee may ask bidder(s) for additional information, visit to bidders site and/or arrange discussions with their professional, technical faculties to verify the claims made in bid documentation.
c) Any proposal not complying with the requirements of the eligibility criteria will not be processed further.
Evaluation of Technical bids
The technical proposals of only those bidders, who qualify in the evaluation of the
prequalification proposals, shall be evaluated. The Technical Bid will be examined by
the evaluation committee for the adequacy of the proposed methodology and work
plan. The adequacy of the proposed methodology and work plan would be evaluated
on the basis of the following:

• Understanding of the Objectives of the Assignment: The extent to which the
bidder’s approach and work plan respond to the objectives indicated in the
Statement of Work.
• Completeness and Responsiveness: The extent to which the proposal
responds exhaustively to all the requirements of the RFP.
Evaluation of Financial Proposals
12. After the evaluation of Technical proposals is completed, MPLPDC shall notify those Agencies whose proposals did not meet the minimum qualifying criteria or were considered non-responsive to the conditions described in the bid document. The EMD of such parties shall be returned in due course after completing the selection process by MPLPDC.
13. Those who pass the minimum qualifying criteria and technical evaluation as decided by the committee Their Financial Proposals shall be opened in the presence of Agency’s(ies) representative(s) who choose to attend.
14. The evaluation committee shall determine whether the financial proposals are complete and correct in all respect. The Agencies are requested to quote their prices only in Indian Rupees.
15. The Committee will follow the criteria of Cost Based Selection (CBS). 16. Agency with the lowest financial proposal will be invited for the contract
negotiations 17. The contract negotiations will conclude with a review of the draft form of the
contract. To complete negotiations MPLPDC and the Agency will initiate the agreed contract. If negotiations fail, MPLPDC will invite the Agency whose proposal received the second highest score to negotiate the contract.
18. The contract shall be awarded following negotiations. After negotiations are completed, MPLPDC will promptly notify other Agencies on the short list that they were unsuccessful and return their Financial proposals and EMDs.
19. The Agency is expected to carry out the assignment on the date and at the location specified in the bid document.
20. The proposals should be submitted in English. 21. The estimated time for completion of the project is three months. This may,
however be negotiated.

SCOPE OF WORK AND TECHNICAL SPECIFICATIONS
Background The objective of M.P. Livestock and Poultry development Corporation is to provide necessary assistance to schedule tribe / schedule caste/ Agricultural labour of the weaker section in order to improve their socioeconomic status for this purpose corporation is implementing different schemes, to improve livestock and poultry breeds and to arrange for marketing of eggs and table birds and to help the poultry breeders for getting proper cost of the production. For implementing ‘National Project for Cattle and Buffalo Breeding’ at the State level Govt. of India has appointed MPLPDC as the State Implementing Agency (SIA). National Project for Cattle and Buffalo Breeding (NPCBB) aims at thorough re-organization and reorientation of the cattle and buffalo breeding operations in the country. The Govt. of India for the monitoring of ‘National Project for Cattle and Buffalo Breeding’ has formed a high level review committee at the state level to review progress of technical, physical and financial parameters quarterly, and remove bottlenecks quickly, particularly with respect to sperm-stations, farms and AI centers. For proper monitoring NPCBB, MPLPDC as per GOI guidelines have successfully deployed a completely Web Based State wide MIS System across all stake holders of NPCBB. The application currently runs in all 50 Districts offices of Directorate of Animal Husbandry & Veterinary Services,GoMP;Units of MPCDF and BAIF This we based MIS modules includes following key modules
• Performance & Activity Management of AI workers
• Micro Level monitoring of Bulls breeding track for AI & Natural Services
• Supply Chain management of LN2 and Frozen Semen
• Quality control of sperm production centers and semen banks
• Inventory Management for Cryo Containers MPLPDC is now looking for functionality enhancement of this software to address its extended monitoring and evaluation requirements of various aspects of NPCBB Development of the enhanced web based application would include the followings
1. Conversion of existing standalone software application of managing the production, Quality control and distribution activities of Central Semen Station(CSS) into web based application and its seamless integration with the existing web based MIS application of NPCBB.( UI screen shots of the CSS application are attached as annexure –I)
2. Enhancing the functionality and features of the existing web based MIS application of NPCBB. This includes i) Provisioning of beneficiary wise record capture of AI and Natural services ii) Creation of new reports for breed wise and sectoral analysis of AI and
Natural services iii) Enhancement of graphic interface of AI performance to include
generation of s-curves for better performance analysis and benchmarking iv) Provisioning of Action alerts for Private AI workers and achievement
comparison report

v) Add features to capture the frozen semen and liquid nitrogen supplier’s details in Supply Chain management of LN2 and Frozen Semen module
vi) Add feature for order & supply date of frozen semen or liquid nitrogen. vii) Provision of new reports for date wise demand and supply of frozen
semen or liquid nitrogen viii) Provision of system alerts and SMS for late supply of frozen semen or
liquid nitrogen
3. Development of new module for regular animal health checkup system and its seamless integration with the existing web based MIS application of NPCBB
4. Creation of web and SMS based Public Grievance and redressal Module with rich functionalities and Complaint/ Feed Back window for the department employees at district level
5. Creation of Module for SMS based reporting of AI services and logging of support requirements including logistics and inventory

SCOPE OF WORK 1. Solution Analysis & Development (A) Solution Analysis & Design :.Consultant would be required to study the existing application. MPLPDC would make available all relevant technical documents including source code, database and technical manual. Deliverables: System Requirement Specifications, System Design Document (B)Development of the enhanced web based application (based on the specifications frozen through the System Requirement Specifications and Solution design) Development of the enhanced web based application would include the followings
1. Deliverables: Delivery of Solution Software developed including Source Code, Operational/Technical manuals, library files, setup programs etc. 2. Solution Deployment The entire modified application is required to be hosted at secure servers located in a Data Center located in India which complies with ALL the requirements of a Tier 3 Data Center, as defined by TIA-942 with necessary database backup procedures and disaster recovery plans. Consultant would also required to migrate data from existing application. M.P. State Livestock and Poultry Development Corporation, Ltd. is also has a website www.mplivestock.com. Consultant is required to host and manage this web site including domain renewals along with the web based application. 3. Comprehensive Training and Change Management Consultant shall impart training to relevant stakeholders and shall undertake Change Management interventions as identified during the previous stages and improvements thereupon. Consultant is required to train the designated Department technical and end-user staff to enable them to effectively operate the system. Deliverables:
• Training Plan & training strategy
• Training manuals
• Undertake Change Management and training interventions as per training plan approved by PMC
All deliverables in this module will require sign-off 4. Solution Warrantee The consultant warrants that the modified systems and overall solution supplied to MPLPDC shall have no defects arising from the design or workmanship or any act or omission. This warranty should also cover adapting the software for any additional requirement that might come to the notice of MPLPDC at the time of actual use of the software The warranty shall remain valid for a period of 1 (five) years from the “Go-Live” date of enhanced software application.

5. Managed IT Services The consultant shall provide managed IT services for the duration of warranty period and, in addition, for 3 (three) years from the date of expiry of Warranty. This should include maintenance for overall system stabilization, solution maintenance, system administration, security administration, database administration, and end-user problem resolution. The operational support will have to ensure that the solution is functioning as intended and attending to all problems associated in operation of the application system.

TECHNICAL SPECIFICATIONS:
The following Tools and Technologies have been used for developing the existing Web Based Application Software. The technology specifications will also apply for the proposed enhancement in the system.

� N-tier Architecture: The n-tier architecture will help to scale the application software without affecting the application’s performance.
� The application has been built primarily using .NET Technology
� Database Server: MS SQL 2008
� Web Application Server: IIS
� Client Operating System: Windows XP/Vista
� Server Operating System: MS Windows Server 2008
� Internet Browser Supported: Internet Explorer version 7.0 or above/Netscape/Mozilla/Firefox.
Security Standards
1. The Solution should be able to support SSL using AES for encryption using 128 bit encryption keys 2. The Solution should have ability to provide access level security for reports. 3. The Solution should have ability to provide automatic time out for entry transactions 4. The Solution should have ability to provide time restriction on transactions 5. The Solution should have ability to provide user login with time restriction 6. The Solution should have ability to provide automatic time out (log out) for user.
Data Security and Backup
1. Data files, including access rules, should be regularly/automatically backed up and tested to ensure their integrity
2. Data backup at Client Location: The application Should have a Monthly Export Service, whereby a copy of their data for archival purposes should be sent to MPLPDC HQ
3. Disaster Recovery: The system should perform remote data vaulting of all production data from the main production facility to the backup facility. Should there be a catastrophic failure of the main facility or another type of disaster affecting that facility, system should initiate its disaster recovery process. Accepted recovery time delay is 36 hours

Definitions In this document, unless otherwise mentioned or expressed clearly, the terms ‘Competent Authority’ and Consultant would have meaning as given below: i. Competent Authority: Managing Director of M.P. State Livestock and Poultry
Development Corporation, Ltd. Bhopal ii. Consultant: The Party/firm which is awarded the Contract to implement the
software Project for MPLPDC
General Conditions 1. Performance Security The application software will carry a performance guarantee for ONE year. Guarantee may be invoked on violation of any condition(s) given below
1. Any of the modules of the application software do not perform satisfactorily as required after the finalization of SRS.
2. The observed output/deliverables of some or all the modules are not in accordance with the approved SRS.
3. The modules are developing frequent faults. 4. The security system is not foolproof, with unauthorized person being able to
access/infiltrate into the system. 5. The corporation suffers losses by some of the module generating incorrect
reports/output.
In order to take care of the concerns outlined above, Earnest Money Deposit will be converted into security deposit, deposit for due performance of the software and will be returned after one year from the date of completion of the project
.
2. Intellectual Property Rights 2.1 No software or services covered by the contract shall be developed or done by
the consultant in violation of any right whatsoever of third party, and in particular, but without prejudice to the generality of the foregoing of any patent right, trademark or similar right, or of any charge, mortgage or lien.
2.2 The consultant shall indemnify the State Government/Competent Authority from all actions, costs, claims, demands, expenses & liabilities, whatsoever, resulting from any actual or alleged infringement as aforesaid and at the expenses of the consultant, the State Government/Competent Authority shall be defended in the defense of any proceedings which may be brought in that connection.
3. Applicable Law
3.1 The contract shall be interpreted in accordance with the laws of the Union of India and the Government of M.P.

4. Inspections and Tests. The Corporation shall have the right to inspect the work or get it inspected by his agent or any authorized officer at any stage.
5. Governing Language
5.1 The contract shall be written in English language, English version of the Contract shall govern its interpretation. All correspondences and other documents pertaining to the contract, which are exchanged between the parties, shall be written in the English language.
6. Copyright
6.1 The MPLPDC will have exclusive rights to use the application software and no body can make its copies and use them for any purpose with out the written consent of the Corporation.
6.2 The application software with all its copyrights shall be the sole property of the MPLPDC, Bhopal. The consultant shall have no right to copy, sale or the use of the software in any other way, except for the purpose of this project.
6.3 If the Consultant wishes to use any part/module of the application software for any purpose except for the fulfillment of its obligations under the project, it shall have to pay royalty to the Government of MP at the rate and other terms and conditions mutually agreed upon between the parties for the purpose.
7. Transportation 7.1 Where the consultant, under the contract is required to transport the
Software and other products / services to a specified place or destination defined as Project site, (including 45 District Head Quarters) transport to such a place or destination shall be arranged by the consultant, and the related costs shall form a part of the contract Price.
8. Completion of the Work 8.1. The Enhancement in the web based MIS for NPCBB Project will be declared complete
only after completion of all the following activities
a) Satisfactory pilot testing of the system. b) Training of all the concerned staff (category wise) as per the agreed
program. c) Installation of the application software. d) Successful commissioning (the connectivity of the system included), of all
the modules of application software for a continuous period of 60 days. e) Supply of process manuals, user manuals, and system administration
manuals. f) Supply of the source code. g) Furnishing of the Software Performance Guarantee as envisaged in GCC
9. Payment 9.1 The method and conditions of payment to be made to the consultant under the
contract shall be specified in the terms of payment.

9.2 The consultant’s request(s) for payment shall be made to the Competent Authority in writing accompanied by the details of work executed, supported with evidence of accomplishment of the item wise work for which payment is being claimed.
9.3 Payments shall be made promptly by the Competent Authority and in no case later than 72 hours of submission of the claim, complete in all respects, by the consultant.
9.4 Payment shall be made in Indian Rupees. 9.5 All the payments to the consultant shall be subject to the report of satisfactory
accomplishment of the concerned task, to be submitted by the Project Coordinator, as appointed by the Corporation.
10. Terms of Payment
The payments would be made as per the following schedule:

Note: 1.Hosting charges towards application hosting will be paid annually. These charges will be paid at the time of beginning of hosting period
2. Charges for Managed IT services will be paid annually. These Charges will be paid at the completion of each year.
11. Penalty Clause
11.1 If any of the stages specified in GCC , either not completed or not completed satisfactorily as per the approved time schedule, forming part of the contract agreement, a penalty @ 1% of the bid value of the stage of the item pursuant to GCC , per week (subjected to maximum 10%) may be imposed and accordingly the time for the next stage be reduced by the Competent Authority, to account for the delay. If the delay is beyond 10 weeks then the Competent Authority may rescind this part of the contract

and shall be free to get it done from any other agency at the risk and cost of the consultant.
12. Prices
12.1 Prices charged by the consultant for MIS Project under the Contract shall not vary from the prices quoted by the consultant in its bid. The prices quoted for the items/services shall under no condition change during the period of agreement.
13. Claims for Compensation for Submission of Bid
13.1 The consultant whose bid is not accepted shall not be entitled to any claim whether of costs / charges / expenses etc. incidental to or incurred by him through or in connection with his submission of the bid or its consideration by the Technical Committee or in the event of the Corporation opting to modify/withdraw the Invitation to Bid or not to accept any of the bid(s).
14. Change Orders 14.1 The Competent Authority may at any time, by way of a written order or notice
to the consultant, pursuant to GCC make changes within the general scope of the Contract in any one or more of the following:
a. Designs, or specifications, wherein the software to be developed under the Contract need to be specifically designed for certain additional activities, other than those mentioned in the scope of work and technical specifications.
b. The additional services to be provided by the consultant. c. The change in place and schedule of delivery
14.2 If the Competent Authority requires that any activity/activities, which is not provided for under the ‘‘scope of work and technical specifications’’ in the bid document, need be developed, then the Competent Authority may ask the consultant to work out the requirement of ''software personnel hours'' for the same. The Competent Authority after assessing the quantum of work will determine the requirement of software personnel hours. If the consultant agrees with the decision of the Competent Authority, he will proceed to execute the work. The payment will be made for such deployment on the basis of rates quoted in the Price Schedule of the bid document. The total value of such additional work will be limited to the 20% of total value of the accepted Bid.
15. Contract Amendments 15.1 Subject to GCC Clause14, no variation in or modification of the terms of the
Contract shall be made except by written amendment signed by the parties.
16. Assignment
16.1 The Consultant shall not assign to any other agency, in whole or in part, its obligations to perform under the Contract, except with the Competent authority's prior written consent.
17. Subcontracts

17.1 The Consultant shall not without written consent of the Competent Authority subcontract the awarded contract or part thereof.
18. Delays In The Consultant's Performance
18.1 Delivery of the Software and performance of the Services shall be made by the Consultant in accordance with the approved time schedule forming part of the Contract Agreement.
18.2 This is a time bound project and it is expected that no extension of time for performance of any activity/ activities will either be sought or given in this project. However, if at any time during the course of the contract, the Consultant encounters conditions impeding the timely delivery of the items and the performance of the service, the Consultant shall promptly notify to the Competent Authority in writing the fact of the delay, its likely duration and its cause(s). The Competent Authority shall himself evaluate the situation and in the exceptional circumstances and in the interest of work may extend the Consultant’s time for performance in which case the extension shall have to be ratified by the parties by an amendment of the Contract.
18.3 Delay on part of the Consultant in the performance of its delivery
obligations shall render the consultant liable to the imposition of penalty pursuant to GCC Clause 11 unless an extension of time is agreed upon pursuant to GCC.
19. Liquidated Damages 19.1 If the application software developed / delivered by the Consultant fails to
perform according to the specifications of this project and the Competent Authority decides to abort the contract because of such failure then a some equal to Rs 5 lacs will be recoverable as liquidated damages from the Consultant. This will be without prejudice to other remedies available under this contract to the Competent Authority.
20. Termination For Default 20.1 The Competent Authority after consultation with the State Government may,
without prejudice to any other course of action for breach of contract, by written notice of 30 days to the Consultant, terminate the agreement in whole or in part, if:
(a) The Consultant fails to perform any or all of the obligations within the time period(s) specified in the agreement or any extension thereof granted, by the Competent Authority.
(b) The quality of the delivery of various tasks is not up to the satisfaction of the Competent Authority.
(c) The Consultant fails to perform any other obligation under the agreement.
20.2 In the event of the Competent Authority terminating the contract in whole or in part, pursuant to GCC clause 24.1, the Competent Authority may procure, upon such terms and in such a manner as it deems appropriate, items or services similar to those undelivered, and the consultant shall be liable to the

Competent Authority for any excess costs for such similar items or services. However, the Consultant shall continue with the performance of the contract to the extent not terminated.
20.3 The Consultant shall stop the performance of the contract from the effective date of termination and hand over all the documents, hardware, equipment etc. to MPLPDC for which payment has been made. The Consultant may withdraw items, for which payment has not been made. No consequential damages shall be payable to the Consultant in the event of termination.
20.4 In case of termination of contract as mentioned in Clause 24.1, all Bank Drafts/ FDR's furnished by the Consultant by way of Bid Security / Performance Security shall stand forfeited.
20.5 In case of suspension under Clause 27.2, the Consultant shall be liable to pay compensation for any loss or additional liability, if incurred due to completion of work by another agency.
21. Confidentiality 21.1 The Consultant and their personnel shall not, either during implementation
or after completion of the project, disclose any proprietary or confidential information relating to the services, agreement or the Competent Authority’s business or operations without the prior consent of the Competent Authority.
22. Other Conditions 22.1 The Competent Authority will be free to use the system at any number of
locations. The Consultant will provide implementation support on agreed terms and conditions on all locations, as per the requirement of the Competent Authority.
22.2 When the Consultant introduces some updating on these systems, the same will have to be offered to the Competent Authority on agreed terms & conditions.
23. Resolution Of Disputes
23.1 The Competent Authority and the Consultant shall make every effort to resolve amicably by direct informal negotiation, any disagreement or dispute that may arise between them under or in connection with the Contract.
23.2 In all matters and disputes arising there under, the Chairperson, M.P. Livestock and Poultry Development Corporation shall be the sole arbitrator to decide the claim and its decision shall be final and binding on both the parties. However, during the period of doubt, disagreement or dispute, both the Consultant and the Competent Authority shall ensure that the Computerized Project works in a normal way. Such doubts, disputes and disagreement shall not give any reason or freedom to either the Competent Authority or the Consultant to interfere in or prevent normal functioning of the Computerized Project.
24. Legal Jurisdiction
24.1 All legal disputes between the parties shall be subject to the jurisdiction of the courts situated in MP only.

25. Taxes And Duties 25.1 The Consultant shall furnish the Income Tax Clearance certificate for the previous year, issued by the concerned Income Tax Authority. The responsibility of taking all the necessary statutory clearances lies with the consultant. The Consultant shall be entirely responsible for all taxes, duties, license fees, octroi etc. regarding all the items needed for completion of work assigned to him.
