English is considered one of the most difficult languages to learn. Why? Sometimes the words don’t make sense. There is no ham in hamburger. Nor is there an apple or a pine in a pineapple. I’m being partly facetious, but it is true that many words are problematic. Non­English speakers struggle with the difference between homework and housework, moral and morale, and collage and college. But one word that makes a lot of sense, especially as used by Lions, is “foundation.” The foundation of a home is the concrete or masonry that supports it. Fellow Lions, Happy New Year!

Time is moving so quickly; it doesn’t seem possible that we are in the 3rd quarter of this Lionistic year with our incoming officer’s trainings and annual conven­ tions rapidly approaching. There are some pretty good prices for travel right now if people want to book to take advantage especially Porter Air. . How many are following the Centennial videos? Growth and Expansion is the latest in the series. They are very well done and informative.

The winning Peace Poster has been sent to LCI. The entries were all very good. The judging was done by an independent group of Non­ Lions from affiliated or part of the College of Art and Design here in Frederic­ ton. The posters were judged using only number 1,2,3,4 and they were not the same as the District numbers. The points were all very close with only the tiniest of margin between them but congratulations to N­4 for their winning submission. We had an issue with timing of the Peace Poster submissions which will be dealt with later in the agenda.

We have been give many great tools to help us help ourselves grow and prosper. We just need to use them. As we see in the latest video, women members were, are and still remain our most untapped re­ source. Please encourage your members to tap into resource available to help turn the “tide out to tide in”

We have had 2 successful Fall Rally’s, October in N­ 3 and November in N­1. Attendance was good and fun was had by all. PDG Eldon will be releasing the

survey results for us to consider the future of the |Rally concept.

The training of our incoming officers is well under way and the convention is St. John’s is in place with the correct telephone number. I am working on a new website which hopefully I will have up shortly. Com­ puter issues have severely hampered my progress and the existing site is unusable. I had planned to have this done much sooner but it was just not to be.

I am looking forward to the convention in St. Johns and Robert Libens from New York will be our guest speaker.

District Governor’s Reports

Council Chair Susan, District Governors George, Penny and Paul and CST Brenda,

Since our last meeting we have held a successful Fall Rally hosted by the Kensington, Summerside and St Eleanors Lions Clubs. There was a lot of positive feedback provided to the MD LRP and I am looking forward to the final analysis of all of the data.

The Rally was followed by a successful Cabinet meeting in Summerside. Again well attended and well hosted.

Our annual Christmas visit to Portage at Cassidy Lake NB was another success. It was well attended by Lions and the resident seemed to appreciate all of our efforts to bring them some joy at Christmas time.

My visitations have reached almost 40% and I am back at it in January.

During my visits I have been promoting LCI and the Centennial program, LCIF and Quest (the new com­ munity program), LFC, and the annual convention in Fredericton. Everyone is still anxious to get updates on the eye glasses collection program in PEI. With the help of ID Rod, we have been able to snag PIP Bill Biggs as our international guests for our convention.

I have also been promoting my goals as District Governor. Membership growth through new Club extension and es­ tablishment of several Club branches. My emphasis on the growth in women members seems to be falling on deaf ears as my % has fallen from a start point of 22.4% to 22.1%. As for total membership growth, it looks like time to bring out the big membership drums and put more emphasis on growth and retention.

Part of my goals is to increase the usage, by the Clubs, of electronic reporting. This is very hard to track but I am pleased with the attitude toward increasing the use of MyLCI and the reduction in “paperwork” being sent to the DG executive through email and snail mail. I also have been emphasizing the need to report every month.

I expect to see the delinquent account “dragon” rear its ugly head again in the first quarter but I plan to push positive information out to the Clubs in January to re­ mind them of the situation.

I am looking forward to beating my growth forecasts and having a terrific year.

DG Doug District Governor 2015­2016

Greetings all;

The fall months have been really busy. I have visited some 34 clubs and two Charter Night. These have been very great experiences.

During these visits I promoted Dr Yamada's 3 headings of Dignity, Harmony and Humanity.

I also spoke of the great need of continual and active recruitment of new and younger members in order to prevent clubs with mostly aging membership from dis­ appearing.

I also spoke of the need for Leo Clubs.

I reminded clubs that the District and the clubs are a Mutual admiration organization and without either the other can not exist. Therefore, the support and assis­ tance of the clubs is vital to the operation of the district

and the Multiple District.

I provided clubs with a true story explaining how provid­ ing assistance and kindness to others can provide un­ expected benefits to ourselves.

Unfortunately the first half of the year has not been great regarding membership. As of the middle of Janu­ ary we are down 35 members.

However we have great hopes of recouping these losses and gaining even more by years end.

Our GMT team under the direction of GMT Coordinator, PDG Frank Hartman, have been working hard to char­ ter two new Campus clubs, a branch club and a new traditional club. These new clubs will be looked after and guided by our 10 new Certified Guiding Lions. As I stated at the start, it has been a busy fall.

Good luck to all our MD N Districts in the last half of our Lions year.

Currently to date I have visited 28 clubs leaving me with a total of 11 remaining.

The first part of the term I found myself trying my best to complete as many visits as my work schedule would al­ low for. I also found myself realizing while on my visits how much our district is really in need of proper training.

Therefore, my second half of the year is being focused on training the members of our district. In a few weeks we are having an all­day session with a club to make sure all stays on the right track.

In April month the district will be putting off a weekend training session at the Lion Max Simms Memorial Camp and we are asking 2 members from each club to attend.

and we are asking 2 members from each club to at­ tend. Training will be consisting of President, Secre­ tary, Treasurer, Zone Chair, Leadership and Member­ ship training sessions. We are hoping that people will participate in this weekend session.

In my first half of the year I have also noticed that zone chairs in the district have not been properly trained. Therefore, my 1 st Vice and I have been working closely with a few to help guide them on track. Hopefully, this will get them on the right road. Still one zone that has yet to hold a meeting and if not done soon, then when the weather improves I will be going down to put a new one in place. Currently 5 out of 6 reporting.

In my last report I stated I was concerned about 3 clubs in my district. However, since that time I feel that they are improving and I expect great things from their rebuilding stages.

Currently preparing for my convention on April 15­17 in Corner Brook. PIP Al Brandel will be in attendance. All are welcome to attend. Registration forms will be available soon.

Looking forward to seeing everyone in May in St. John’s in May.

Most clubs are very busy

Our membership is down by 20 members. This is due mainly to loss of the Green's Harbour Lions Club. They had 11 members on the books. They have been hav­ ing trouble for over a year and decided that they had enough. They were dropped by LCI due to non pay­ ment on their account. We have 3 ­ 5 clubs that we may lose within the next 12 ­ 18 months due to low membership and low fund raising. We have asked these clubs if they wanted the District to come to their club and see if there was anything that we could do. None have taken us up on the offer as of yet.

For the most part all District committees are very busy. The main one now is the Speak­off. Our next

convention ( DGO ) will be February 5 ­ 6,2016 in St. John's. Our guest speaker for this convention will be our own Lion Bradley Moss. He will be doing a presen­ tation from the trip to Haiti (Lion Bradley and Lion Micheal Foote spent a week doing eye screening) , this was done in conjunction with Team Broken Earth. This should be very interesting.

We are planning another Multiple District Leo Conven­ tion in late April or early May. We will keep you in­ formed as this rolls out.

The GLT and GMT committees are very busy. GLT are planning several training sessions and GMT are planning on visiting some clubs and zone meetings.

This is a note for new business ­­ in the future , I be­ lieve that we should invite the 1st and 2nd Vice District Governors to attend these tele conferences. The more they know what is happening in Multiple/Districts , the better job they can do in the future. They will also get to know how the Multiple District operates.

CC Susan asked each DG when they were holding their Spring Conventions. District N1 – April 15­17, District N2 – April 29 ­ May 1, District N3 – April 15­17 and District N4 – April 8­10.

Since I last reported to you , our Centennial Service Chal­ lenge has now reached 63% of the total objective to aid 100 million people by 2018. In other words, Lions around the world have now helped 63 million disadvantaged per­ sons in the four Centennial areas of Youth, Sight, Hunger and the Environment. We have been informed by LCI that a Centennial dashboard has been put in place so that we can have access to the Centennial Challenge numbers for

our Multiple and our Districts but it is not functioning quite yet so I am unable to give you those figures at this meeting.

I have been informed by CST Brenda that the Multiple District Coordinator funding of $ 600 and the District Coordinator funding of $ 250 per District has been re­ ceived for all Districts, even though no applications were forwarded from Districts N3 and N4 and while I am pleased to hear this, i wonder on the necessity of the Application process. I ask that CST Brenda hold these amounts until after our next Centennial Coordinators Conference call in early February so that I can have answers to this situation from our training sessions end January. This funding should assist all District Coordi­ nators to attend their District Conventions in the Spring and so I ask all Governors to ensure that they are given time to report at your Conventions.

There are many tools available on the LIONS100.org website to assist Clubs to promote the Centennial and its objectives in both Service and Membership. Centen­ nial Posters and Ads are available on this site and are readily adaptable to each Clubs individual needs. As you know, each Member recruited during the Centen­ nial Years receives a special lapel pin designating Cen­ tennial Member .

Over the next months in advance of our Spring Con­ ventions, your District Coordinators will ask Clubs to name a Club Centennial Chairperson to move forward Centennial goals; in particular, Club plans for a Centen­ nial Community Legacy Project. These Projects are de­ signed to help Clubs connect with their Communities and create a visible and lasting Lions Legacy.

There are three Levels of Legacy Project, with increas­ ing Levels of size and impact as follows:

Clubs have until June 2018 to complete these Projects. I hope that all Governors will promote Legacy Projects to their Clubs in assistance to your District Coordinators.

In November I was pleased to be allowed to make a presentation to the N1­N2 Fall Rally on Eyeglass Recy­ cling . It seemed to be well received and interest seemed high. We were happy to have Rev .MacIsaac of the Island Chaplaincy speak briefly on their role as our Recycling partner. He indicated to us that a January start up was possible and I am awaiting word from him regarding this. As a result of this presentation I am pleased that the Host Clubs of the Rally, St.Eleanors, Summerside and Kensington have made the first dona­ tion to our Eyeglass Recycling Fund of 50.00 dollars.

As to our satellite in N3­N Four in Bishop`s Falls, things are running well and just yesterday I received a note that they were in need of plastic bags for the graded eyeglasses . My records indicate that I sent them 2000 bags originally, so this gives us some indication of their production.

Collection boxes have been sent to your Committee Chairs in N1 and N4 and will go out this week to N2 and N3, so Clubs can access new boxes from your District Chairs and we ask that Clubs give an amount of 4.00 Dollars per box so that we may repay the CLERC.

I am now working on a Club Questionnaire and Fund Raising Letter and will likely have this to your District Chairs in about two weeks for their comments.

Membership N1:

Current membership is down to 1767. Added 54 addi­ tional lions (48 new lions and 6 reinstated or transferred). 23 clubs or 42 sponsors contributed to the 48 Lions added. Unfortunately 37 clubs dropped a total of 70 Li­ ons plus; another 13 Lions passed away. As of Jan 9th we are currently at ­29 net growth. Some clubs have dropped as many as 4 to 5 members so far this Lions year. There are 22 clubs that do not have female Lions.

There has been no new Clubs chartered however N1 is going to be working on the development of several Branch Clubs and have them expand into full Clubs. Membership N2: Our membership is down to 1759. So far this year we added 73 additional lions (64 new lions and 9 reinstated or transferred). 34 clubs or 56 sponsors contributed to the 64 Lions added. Unfortu­ nately 33 clubs dropped a total of 84 Lions plus; another 18 Lions passed away. As of Jan 9 th we are currently at ­30 net growth. It is so frustrating to see how easily clubs can continue to drop mem­ bers and fall below 15 or less members. Some clubs have dropped as many as 6 to 9 members so far this Lions year. There are still 8 clubs without females Lions.

Campus Clubs: Lion Jeanetta submitted her Campus Club Specialist’s Annual Goals and Action Plans. Working together with GMT and the Guiding Lions, goals for Jan 2017 are focused on increasing mem­ bership on both Campuses, chartering them and getting the stu­ dents involved in projects. By November 2018 have chartered a third campus club.

For St. Mary’s University the plan is to complete recruitment of members/electing officers and chartering the new club. Currently 26 students have signed membership cards and 15 have paid the membership fee of $27. This leaves 11 who have signed but have not paid. St Margaret’s Bay Lions Club goal is to have the club formed before the district N­2 cabinet meeting on Feb. 12th.

New Club Development: Milford Lions Club will be looking at starting a branch club in Kennetcook. Their club has done some activities there and made some financial contributions in their community and feel this can be accomplished. They will be pursuing this immediately.

GMT will be looking into starting a branch club in a community, Advocate Harbour, which is about 50 kilometers west of Parrs­ boro. Parrsboro Lions have provided bursaries and other financial support in this community so they may be interested in having a club of their own there.

GMT will be attempting to again rebuild Glace Bay and start a branch club in North Sydney. A meeting is set for Jan 16 in Antigonish to get this underway again. Membership Committee Chairs: There are still 7 of the 8 identified clubs 2 months ago that do not have a membership committee. We will continue to work with them to get the committees formed.

While setting up an email list for Club Membership Committee Chairs I found that there are 15 chairs that do not have email addresses. Communications for these will be made through their club secretaries.

5 of the twelve zone chairs have held successful meetings with their club membership chairs. GMT recommended these meetings so there could be a sharing of ideas and in­ formation. GMT will encourage the participation of the other zone chairs.

As part of our Best Club Contest, club membership commit­ tees are supposed to submit twice a year the Club Global Membership Committee Report. This was due December 31 st . Among other requested information this report covers their Growth and Retention plans for the current period. GMT will be reviewing and monitoring their goals and plans and assisting wherever we can. The form will be revised to obtain potential areas to start a branch or standard club and the will­ ingness of the clubs to sponsoring them.

At our Winter Cabinet Meeting GMT will be putting on a short skit “A Peacock in the Land of Penguins” A Story of New Ideas and Successful Organizations. We saw it at the Fall Rally and thought our district could benefit from seeing it as well.

PDG Lion Frank MD N GMT Coordinator for N1 and N2

We are now half way through our Lions year, as the MDN coordinator for N3 and N4 I have just a few things to report.

N3 does not have a GMT chair DG Penny has being trying very hard to get one however it does not not look like we will have one for this year. The good news is that it looks like we will have a GMT chair for next year. The district is unlike any other of our 4 districts they started the year with 907 members added 31 members but dropped 54, giving a net loss of 23 members.

part, they also have one planned on new member orientation for our Feb. Convention, they are along with the Zone chairs and our VDGs are actively looking for areas that would be suitable for a new Lions Club. The year started with 1257 members added 34 new mem­ bers but dropped 55 giving the district a net loss of 21. As you can see from these statistics we are certainly able to recruit new members but we are, like most districts in North America, unable to keep the ones we have. We are promot­ ing the ASK ONE campaign which seems to work I encour­ age all to ASK ONE till you get one. We need to also encourage Lion Presidents to attempt to do exit interviews where possible with the members who are leaving so that we can get a better incite into why they leave, I realize too that in a lot of cases the reasons are already known, but for the unknown we have to know why. With that information just maybe we can come up with a way to limit our drops.

In North America membership has been dropping for many years now and although it is still dropping the numbers are a lot less so hopefully that trend will continue and in the coming years the membership numbers will start to head upward.

No official report except that he was talking to PID Carl Young recently and he stated that the Fall Rally that he attended in PEI was the biggest bang for the buck that he ever saw. Excellent training, fun, fellowship and he would even come down in heartbeat to do it again. Lion Peter stated he was getting ready to go up to Ontario to do the District Governor elect training.

Council Chair Susan, ID Rod, Past IDs, Lions In my November 9 th report I covered the activities and goals for N­3 & N­4 for this Lions’ year. Some updates are: District N­4: District N­4 had Zone Chair training in Conception Bay South on September 20 th , 2015 and also in Clarenville on September 27 th , 2015.

During the fall convention held in Marystown on Octo­ ber 16 th to 17 th , 2015 two session were held on MyLCI Training. Lions were given individual instructions.

Unfortunately, MyLCI Training for Zone 2 on November 29th and Secretary Training for Zones 6 and 7 on No­ vember 21 st were both cancelled by the Zone Chairs due to low projected attendance.

The District will continue with its scheduled training for the remainder of the year. District N­3: The Club in Triton that was chartered in 2015 is having some start up problems, so a full day of training is scheduled for February 13 th 2016. The training will be open to all members of the Club and will cover the his­ tory of Lions, as well as President, Secretary, Treas­ urer, and Membership training.

N­3 is also planning a weekend training session at the Lion Max Simms Memorial Camp on April 1 st to 3 rd 2016. This training will include, President, Secretary, Treasurer, Membership Chair, Zone Chair, Leadership, and Social Media. The plan is to have two members from each Club in the District to attend.

Both Districts will be available to help support and guide any Club if the need arises.

Dear Lions of MD N

Hundreds of hours have been spent working on upgrading the MD N Committee Structure since our MD Convention and we remain on time with our completion forecast.

Reports to Council on the project were submitted in Oc­ tober and December and comments and suggestions were asked for and received. Those received were ex­ cellent and we continue to incorporate them into the text.

No response has been received on any LRP submis­ sions from N 4 to date.

We hope to forward another report to Council on the remaining Committees in February. When all the feed­ back is received and adjustments made, we will make final revisions.

Once the whole structure is finalized it will be circulated again to Council for any last suggestions and then to Constitution & By Laws for final preparation.

We wish to thank all who have responded.

It is our hope that once complete the document will be a giant step forward for our Multiple.

Lion Gerard moves for adoption of this report. DG Doug moved for the adoption of this report to move it forward to the MD Spring Convention and seconded by DG Paul.

PCC Peter had a question on the motion of the budget. He stated according to our structure there is to be .20 cents per member allocated to the Promotion Fund and there is nothing there for this coming year. Lion Gerard thanked Lion Peter for pointing this out and he will ad­ just the budget to include this.

DG Doug moved the budget with the amended changes and DG Paul seconded. MC

CC Susan asked the status of the audit document. Lion Gerard asked when the next meeting was. Lion Gerard will have the audit documents ready by the end of Jan. and will send them out at that time so everyone will have time to review.

CC Susan said it would be in March as there will be No­ tice of Motions to be put forward and to finish up with the audit documents asked that all reports at that time be forwarded as due to timing the Notice of Motions will need to be dealt with.

Nothing more to report, noticed thatL i o n Gerard has put for the Canadian Caucus $855 when in fact this years will be $919.36. CC Susan noted that this was for this year, but the document is for 2016­17. CC Susan noted she has not heard from anyone on the documents that we asked for on the Canadian Caucus funds and has now passed it off to ID Rod whom she told we will not pay this bill until we get an accounting of funds that has been requested. We are not out of line in asking for this information.

CST noted she had no Fall Rally report from N3/4. Has received the report from N1/2 Fall Rally and will forward on to Lion Gerard for auditing so the clubs can receive their half of the profit.

CST will be sending out invoices for the second half of dues and for extra MD Pins to the DG’s and CST’s in a week or so.

CST received notice from LCI that they deposited $804 CDN and $1340 CDN into the MD N bank for the MD Centennial Coordinator and the 4 District Centennial Coordinators and will wait to hear from PCC Scott on this matter.

CST asked who to make out the cheque out to for the Nov Tele Conference call. It is noted on the email.

Business Arising from the minutes:

Parade Dress for 100 th Parade in Chicago Each District will ask for the submissions from their Lions and they will vote on these submissions at their District Conventions and have their District submission in to CST by April 30, 2016. From here the CST will prepare a document with all 4 District winners and this will go out to the Multiple to be voted on at the MD Convention. Applications – CST and Communications Chair CC Susan asked if any applications had come in for the CST or Communications positions. CST stated she has not received any. CC Susan asked if the deadline dates were posted for these. CST stated they were on the applications when they were sent out. CST stated she could resend them to the DG’s and CST’s and ask that they please forward to all Lions in their District as they have a week for the CST and till March 27 for the Communications Chair. CC Susan agreed to this. Constitutional changes – all districts Each district has to go through the Constitutional changes and that is between you and your Constitution chair. These have to be voted on and put into place in April for your Conventions.

PDG Frank Antle gave a brief review of the MD docu­ ments. He didn’t go through in detail as Notice of Mo­ tions will be sent out and will be dealt with at our March meeting. DG Penny asked that when he sends his documents out to the Constitution & By Laws reps that he include the DG’s as well.

Special Olympics CC Susan that this was something we looked at as a project for the MD. She noted that when looking into it, it seems to be more something that each district work at with the encouragement of the Multiple District. Every district is doing something different with it or do­ ing nothing with it. DG Penny noted that the Special Olympics in Corner Brook know nothing of having a partnership with Lions. DG Doug asked how Provin­ cially based they were. CC Susan stated that each dis­ trict has their own Chapter. New Business Peace Poster Winner Congratulations to District N 4 for having the winning poster Peace Poster Timing In our Policy Manual it is now written that the Youth Services Chair handles all the judging and the submis­ sions of the Peace Poster. With the timings set up by LCI this is virtually impossible. District judging has to be done by Nov 15, has to be at the MD for 1 Dec and then on its way to LCI for 15 Dec. This is only 15 days between each date and this is also a high volume mail­ ing. CC suggested DG put forth a motion that part of the manual be reverted back. The last signature needs to be CC and there is not enough time to get this out.

DG Doug moved that the Peace Poster portion of the Policy Manual be reverted back that the CC will be the final stop it will not have to go back to the Youth Ser­ vices Chair.. DG Paul seconded this motion. MC

CC Susan asked that PDG Frank make the changes to the MD Policy Manual MDN GMT Coordinator MD GMT Coordinator right now is PDG Sam for N3/4 and he can no longer hold that position any longer be­ cause he is moving into another position.

It has been suggested that we go back to 1 coordinator for GMT, primarily because it is administrative. If the coordinators were doing travel between the districts then that would be a different story. Communication is done by email and telephone. There is no funding to travel from district to district.

The GMT is an appointment position. PDG Sam will finish this year and then he has one year left of his term that he will need a replacement for. This will probably be dealt with at the meetings in Toronto at the end of the month. GLT has the same time line. 1 st VDG Sam commented

that the coordinator position should alternate between Districts, whereas CC Susan commented that it was more important that the best and most qualified candi­ date be selected above which District they come from.

Communicate your feelings with Area Leader Chris Lewis so they have a full view of your ideas. Copy CC Susan so she knows come the end of May.

GLT renews next year so we need to be looking for new coordinators for both N1/2 and N3/4 as both Lions Pe­ ter and Frank are repeats and cannot reoffer. Need new candidates for end of 2016­17 to hold the position for 2017­20.

CC Susan stated that the bill for the last conference call was $98.79.

DG Paul asked for the 1 st and 2 nd VDG to be included on these tele conferences as they are very informative and we get a lot of bang for our buck. CC stated that the more people on the call the higher the cost.

CC stated that right now we are using ID Rod’s work system, but if Multiple has their own Conference Call outlet each District & Multiple would share the cost at about $250 a year. DG Paul mentioned that there is room for thought here and CC asked that maybe this is something that each DG take back to their districts.

Once you have this set up there is no limit as to what you can do with it, you pay the fee and it is about $1000 plus taxes to get set up to have your call in numbers and moderator numbers. Question was asked if this included web plus voice.

CC Susan asked that DG’s take this back to their Dis­ tricts and we will revisit it at our next meeting.

CC asked the DG’s for dates from Feb 28 till end of March. Question was asked if it had to be a Sunday. CC Susan asked that the DG’s send their calendars for the month of March that they are available for a confer­ ence call. Mandatory participants for this are the 4 DG’s, Constitution & By Laws, Budget & Audit and CST.

Add New Article V and renumber remaining articles: SUPREMACY: The Standard Form Multiple District Constitution and By­Laws shall govern the multiple district unless otherwise amended so as not to conflict with the International Constitution & By­Laws and policies of Lions Clubs International. Whenever there may exist a conflict or a contradiction be­ tween the provisions set out in the multiple district constitution and by­laws and the International Con­ stitution and By­Laws, then the International Con­ stitution and By­Laws shall

Existing Article V (new Article VI) add Section 6 REMOVAL. At the request of the majority of the Council of Governors, A Special Meeting of the Council may be called for the purpose of removal of the Council Chairperson. Regardless of the manner in which the Council Chairperson is se­ lected or elected, the Council Chairperson may be removed from the Council for cause by an affirma­ tive vote of 2/3 of the entire number of the Council of Governors.

Add new Article after Sub­District Organization Multiple District Dispute Resolution Procedure A. Disputes Subject to Procedure All disputes relative to membership, club bounda­ ries, or interpretation, breach of, or application of the multiple district constitution and by­laws, or any policy or procedure adopted from time to time by the multiple district council of governors, or any other internal Lions multiple district matter that can­ not be satisfactorily resolved through other means, arising between any clubs or sub­districts in the multiple district, or any club (s) or sub­district (s) and the multiple district administration, shall be set­ tled by the following dispute resolution procedure.

Except as otherwise provided herein, any time lim­ its specified in this procedure may be shortened or extended by the multiple district council chairper­ son or, in the event the complaint is directed against the council chairperson, the council secre­ tary or council treasurer, conciliators or the Interna­ tional Board of Directors (or its designee) upon a showing of good cause. All parties to any dispute subject to this procedure shall not pursue adminis­ trative or judicial actions during this dispute resolu­ tion process. B. Complaints and Filing Fee Any Lions club in good standing or sub­district within the association (the “complainant”) may file a written request with the council chairperson or, in the event the complaint is directed against the council chairperson, the council secretary or coun­ cil treasurer (a “complaint”), with a copy to the Le­ gal Division, asking that dispute resolution take place under this procedure. The complaint must be filed within thirty (30) days after the complainant (s) knew or should have known of the occurrence of the event upon which the complaint is based. The complainant (s) must submit minutes signed by the club or cabinet secretary certifying that a resolution in support of filing the complaint has been adopted by a majority of the entire membership of the club or district cabinet. A copy of the complaint shall be sent to the respondent (s).

A complaint filed under this procedure must be ac­ companied by a US$750.00 filing fee, or its equiva­ lent in the respective national currency, payable by each complainant to the multiple district which shall be submitted to the council chairperson or, in the event the complaint is directed against the council chairperson, the council secretary or council treas­ urer at the time the complaint is filed. In the event the complaint is settled or withdrawn prior to a final decision by the conciliators, US$100.00 shall be retained by the multiple district as an administrative fee and US$325.00 shall be refunded to the

complainant and US$325.00 shall be paid to the respondent (which shall be shared on an equal ba­ sis if there is more than one respondent). In the event the selected conciliators find the complaint to have merit and the complaint is upheld, US$100.00 shall be retained by the multiple district as an administrative fee and US$650.00 shall be refunded to the complainant. In the event the se­ lected conciliators deny the complaint for any rea­ son, US$100.00 shall be retained by the multiple district as an administrative fee and US$650.00 shall be paid to the respondent (which shall be shared on an equal basis if there is more than one respondent). In the event the complaint is not set­ tled, withdrawn, upheld or denied within the time frames established by this procedure (unless an extension has been granted for good cause), then the entire fee will be automatically retained by the multiple district as an administrative fee and shall not be refunded to any party. All expenses in­ curred relative to this dispute resolution procedure are the responsibility of the multiple district, unless established multiple district policy provides that all expenses incurred relative to this dispute resolu­ tion procedure shall be paid on an equal basis by the parties to the dispute. C. Response to Complaint The respondent (s) to the complaint may file a writ­ ten response to the complaint with the council chairperson or, in the event the complaint is di­ rected against the council chairperson, the council secretary or council treasurer, with a copy to the Legal Division, within ten (10) days of receiving notice of the complaint. A copy of the response shall be sent to the complainant (s). D. Confidentiality Once a complaint has been filed, communications between the complainant (s), respondent (s), coun­ cil chairperson or, in the event the complaint is di­ rected against the council chairperson, the council secretary or council treasurer, and conciliators should be kept confidential to the extent possible. E. Selection of Conciliators Within fifteen (15) days of filing the complaint, each party to the dispute shall select one (1) neutral conciliator, who shall be a past district

preferably a past council chairperson, who is cur­ rently a member in good standing of a club in good standing, other than a club which is a party to the dispute, in the multiple district in which the dispute arises, and shall be impartial on the matter in dis­ pute and without loyalties to any party to the dis­ pute. The selected conciliators shall select one (1) neutral conciliator who will serve as chairperson, and who shall be a past international director and is currently a member in good standing of a club in good standing in the multiple district in which the dispute arises, other than a club which is a party to the dispute, and shall be impartial on the matter in dispute and without loyalties to any party to the dis­ pute. In the event there is no neutral past interna­ tional director who may be selected from within the multiple district in which the dispute arises, the se­ lected conciliators may select one (1) neutral con­ ciliator/chairperson who shall be a past interna­ tional director and is a member of a club in good standing outside the respective multiple district. The selected conciliators’ decision relative to the selection of the conciliator/chairperson shall be fi­ nal and binding. Upon completion of the selection process, the conciliators shall be deemed ap­ pointed with all authority appropriate and neces­ sary to resolve or decide the dispute in accordance with this procedure.

In the event the selected conciliators cannot agree on the selection of the conciliator/chairperson within the time frame noted above days, then the selected conciliators shall be automatically deemed to have resigned for administrative rea­ sons and the parties must select new conciliators (“the second team of selected conciliators”) who shall then select one (1) neutral conciliator/ chairperson in accordance with the selection pro­ cedures and requirements described above. In the event the second team of selected conciliators cannot agree on the selection of the conciliator/ chairperson from within the multiple district in which the dispute arises, the selected conciliators may select one (1) neutral conciliator/chairperson who shall be a past international director and is a member of a club in good standing outside the re­ spective multiple district. In the event the second

team of selected conciliators cannot agree on the selection of the conciliator/chairperson from within or outside the multiple district in which the dispute arises, then the past international director who most recently served on the International Board of Directors from within the multiple district in which the dispute arises or from an adjacent multiple dis­ trict, whichever is closest in proximity, shall be ap­ pointed as conciliator/chairperson. The time limits in this Section E may not be shortened or ex­ tended by the multiple district council chairperson or, in the event the complaint is directed against the council chairperson, the council secretary or council treasurer or the conciliators. F. Conciliation Meeting & Decision of Conciliators Upon being appointed, the conciliators shall ar­ range a meeting of the parties for the purpose of conciliating the dispute. The meeting shall be scheduled within thirty (30) days of the appointment of the conciliators. The objective of the conciliators shall be to find a prompt and amicable resolution to the dispute. If such conciliation efforts are unsuc­ cessful, the conciliators shall have the authority to issue their decision relative to the dispute. The con­ ciliators shall issue their decision in writing no later than thirty (30) days after the date on which the ini­ tial meeting of the parties was held, and the deci­ sion shall be final and binding on all parties.

The written decision shall be signed by all the con­ ciliators, with the dissent of any conciliator properly noted, and a copy of the written decision shall be provided to all parties, the multiple district council chairperson or, in the event the complaint is di­ rected against the council chairperson, the council secretary or council treasurer, the multiple district council of governors and to the Legal Division of Lions Clubs International. The decision of the con­ ciliators must be consistent with any applicable provisions of the International, Multiple District and District Constitutions and By­Laws and policies of the International Board of Directors, and is subject to the authority of and further review by the Inter­ national Board of Directors at the sole discretion of the International Board of Directors or its designee.

Failure to comply with the final and binding deci­ sion of the conciliators constitutes conduct

unbecoming a Lion and is subject to loss of mem­ bership privileges and/or charter cancellation.

BYLAWS ARTICLE 2 SECTION 4 REPLACE All candidates must be nominated, in writing, by their Lions Club and such nominations shall be received by the Cabinet Secretary at least five (5) days prior to the Sub­District Convention except nominations for the office of District Governor, first and second Vice­ District Governor which shall be received at least thirty (30) days prior to the Sub­District Convention and shall include a written confirmation from the nominee that they will serve if elected.

WITH Any qualified member of a club in the district seek­ ing the office of district governor, First or Second Vice District Governor shall file his/her intention to so run in writing with the Nominating Committee prior to the day of its report to the convention, and furnish evidence of his/her compliance with the qualifications for said office set out in the Interna­ tional Constitution and By­Laws. The Nominating Committee shall place in nomination at the district convention the name(s) of all candidate(s) so quali­ fied. A candidate shall be allowed one nominating speech of no more than five (5) minutes duration, and one seconding speech of no more than three (3) minutes duration.

ARTICLE 2 SECTION 4 REPLACE 1. All elections shall be by select ballot unless there is only one nominee in which event the Chair shall declare the nominee elected, except that the election of District Governor, First Vice District Governor and Second Vice­District Gover­ nor shall be pursuant to the International Constitu­ tion and By­Laws. Election of a candidate for any office shall be by a clear majority of the votes cast. In the event a candidate does not receive a clear majority of the votes cast, a second and suc­ ceeding ballot as required shall be held and the candidate receiving the least number of votes in each preceding ballot shall be dropped.

Balloting shall continue until one candidate has re­ ceived a clear majority of votes cast.

WITH

BALLOT. The election shall be by secret written ballot, with the candidate or candidates required to secure a majority of the votes cast by the dele­ gates present and voting in order to be declared elected; for purpose of such election, a majority is defined as a number more than one­half of the to­ tal valid votes cast excluding blanks and absten­ tions. If, on the first ballot, and subsequent ballots, no candidate receives a majority, the candidate or tied candidates receiving the lowest number of votes shall be eliminated and balloting shall con­ tinue until one candidate receives a majority. In case of a tie on any ballot, balloting shall continue on the tied candidates until one is elected REMOVE ARTICLE 2 SECTION 4

In the event of a tie vote for candidates with the least number of votes, the three Past District Gov­ ernors present with the most recent service in the post, shall each cast one ballot and the nominee receiving a majority of the votes shall proceed to the next ballot.

In the event of a tie vote between the final two remaining candidates, the three Past District Governors present with the most recent service in the post, shall each cast one ballot and the nominee receiving a majority of the votes shall be declared elected.

Council Chair Susan, District Governors George, Penny and Paul and CST Brenda, Since our last meeting we have held a successful Cabi­ net meeting hosted by the Moncton Lions Club. Several of our 13 Zones are organizing Zone Project for many of the Clubs to work together on. My visitations have reached 60% and I am out on the road every week. The weather this year has been very cooperative and I haven’t been storm delayed once. I noticed that if I had the same amount of Clubs as DG Penny, I would have finished my visits by mid­ February.

During my visits I have been promoting LCI and the Centennial program, LCIF and Quest (the new commu­ nity program), LFC, our annual convention in Frederic­ ton and the MDN convention in St. Johns. Everyone is still anxious to get updates on the eye glasses collection program in PEI beyond the current status quo.

I have also been promoting my goals as District Gover­ nor, Membership growth through new Club extension and establishment of several Club branches. I have been placing emphasis on Club growth through the “Just Ask” program as I continue my official visits. It must be working for Fort Kent because they have been our best performer with 16 new members added and only 3 drops (now sitting at 114 members).

Part of my goals is to increase the usage, by the Clubs, of electronic reporting. This is very hard to track but I am pleased with the attitude toward increasing the use of MyLCI and the reduction in “paperwork” being sent to the DG executive through email and snail mail. I also have been emphasizing the need to report every month. I am looking forward to meeting my growth forecasts and having a terrific year.

First off, I am sorry I can't be joining the confer­ ence call this evening. I am in the middle of a 3 day run to visit my French Shore clubs.

After a delay of one week, due to a snow storm, we held a very successful Winter Cabinet Meeting. We now are looking forward to our Convention, at the Inverary Resort in Baddeck, at the end of April. Our speaker will be PID Ed Luscious from New Hampshire. It is looking to be a great convention. I extend an invitation to all DG's, that would like to see a great convention, to join us.

And of course it would be great if CC Susan could also join us.

Since our last meeting things have been very busy. I held a great cabinet meeting in Norris Point. This was the first time this club held a cabinet meeting and they really enjoyed it. A great turnout was received. Club visits are continuing, still a few more left to be done.

Due to special events and prior commitments is the rea­ son why these clubs have not yet been visited.

The month of February was a very busy month, we re­ ceived an email from a club stating that they wanted to fold. Cabinet was called in and my CST and I are working with club members to try and keep this club a float however, it appears this club has gotten rid of all of their property before even informing anyone in the district of their intentions. This has taking a lot of our time this month so everything else has been put on hold. Currently trying to schedule a time with the town coun­ cil so that Frank and I can go in a speak with them and see if they can help us keep this club alive.

February also saw myself and Frank changing our hats from DG and CST to district trainers. We are experi­ encing difficulty with getting people to step up to the plate and take on training positions. Therefore, Frank and I head out on the road and we met with the newest

I tell of the importance of maintaining club membership and the need for clubs to sup port the District. I tell them that there are dozens of communities in the district that don't have the benefits a Lions club can provide them, and maybe they can help one of them to obtain a Lions club.

Status on possibly developing a new club in our area is still a work in progress. I have made contact with the town council and the mayor. I am currently waiting to hear back on what their plan is and if they are still inter­ ested in us forming in their town.

My 1 st VDG has been working very closely with clubs that have not been reporting online. We have gotten this somewhat on track we have come from 17 clubs to 6 clubs.

Also, I am happy to report our district now has in place a district plan with the Alert program. Training for this will be starting in April month. We are really excited about getting this up and running in our district.

Convention, for April is moving along smoothly. We are looking forward to a nice convention on April 15­17 in Corner Brook. Everyone is welcome to attend.

PCC Scott was not in attendance. CST Brenda reported that the MD Chair received a grant from LCI of $804 and the District Chairs each received $335 from LCI to use on Centennial awareness building, Lion education, and organizing activities.

GMT (PDG Frank H was not in attendance put filed this report)

Meeting in Toronto: I appreciated being invited to attend the training ses­ sions however, I must admit I don’t feel I contributed anything helpful to the DG elects. There was mention of District N2’s GMT 3 year goals and actions plans but that was it. I thought my trip to Toronto would have been an opportunity for me to spend some time during the GMT session with each DG elect in Multiple Dis­ trict N to go over goals and action plans but I suppose due to time restraints that could not happen. I have re­ cently signed off on DG Elect Claire’s membership goals and action plans.

Current membership is down to 1778. Added 89 addi­ tional lions (82 new lions and 7 reinstated or trans­ ferred). 33 clubs or 67 sponsors (or 4% of the member­ ship) contributed to the added new Lions. Unfortu­ nately, Clubs dropped a total of 85 Lions plus; another 22 Lions passed away. As of March 3rd we are cur­ rently at ­18 net growth. Fort Kent Lions Club has added 13 new Lions so far this year and Lincoln and Saint John South End have each added 6 members this year. Some clubs have dropped as many as 4 to 6 mem­ bers so far this Lions year. There are still many clubs without female Lions.

There has been no new Clubs chartered however N1 is working on the development of several Branch Clubs and expanding them into full Standard Lions Clubs.

Our membership is down to 1767. So far this year we added 122 additional lions (111 new lions and 11 rein­ stated or transferred). 39 clubs or 92 sponsors (5% of membership) contributed to the 111 Lions added. A couple clubs have sponsored 6 new Lions. Clubs dropped a total of 117 Lions plus; another 23 Lions

passed away. As of March 3 rd we are currently at ­19 net growth. Some clubs have dropped as many as 7 to 13 members so far this Lions year. There are still 8 clubs without females Lions.

Campus Clubs: N2 is still working on establishing campus clubs at St Mary’s and Dalhousie Universities. We will be looking at St FX and Acadia University in September.

Milford Lions Club is looking into starting a branch club in Kennetcook. A meeting was held with residents in Advocate Harbour and we are waiting for their Com­ munity Association directors to hold their meeting to discuss our proposal.

GMT along with Sydney Lions Club are working to re­ build Glace Bay and are planning on starting a branch club in North Sydney in the new Lions year.

I recently heard that Springhill 2011 Lions Leo Club is down to one member. I am suggesting that the District Leo Advisor be added to the GMT so together we can help in maintaining and supporting our Leo Clubs.

GMT have set goals and actions plans for the next 3 years. Goals include encouraging clubs to hold mem­ bership drives twice a year, develop, maintain and sup­ port campus clubs, have all clubs adopt the LCI Men­ toring program, increase female and family member­ ship, continue to sponsor branch clubs and standard clubs, upgrade the membership kits and support and rebuild clubs with 15 or less members.

At our Winter Cabinet Meeting GMT and other Lions put on a short skit “A Peacock in the Land of Penguins” A Story of New Ideas and Successful Organizations. It was pleasantly received by all. The skit was videotaped and is on YouTube and District N2’s facebook page.

The MD GLT report is short for this month. The only thing to report on is the training in Markham Ont. The training is very beneficial to the incoming DG's. I feel that there should be more interaction between MDN and MDA. MDN should not be sitting together at all darn­ ing the weekend. This way you get to meet new Lions.

My personal opinion is that it is not financially fusible to bring the east coast GLT and GMT and they have to pay $200.00 out of their pocket. Overall it was a fabu­ lous weekend with excellent training and trainers to help the incoming DG's off to a great start to their won­ derful year as a DG.

Our recommendation to Lion Frank will probably be that we ask acceptance of the Multiple District N Committee Resource Handbook as the official document for our Committee structure and that we delete all duplicate com­ mittee structures from the Const. & By­Laws an policy Manual. Moreover, we ask that the Committees review document be made an Appendix to the Policy Manual.

CC Susan commended Lion Eldon for excellent, excel­ lent job on the work done. A lot of time and effort has gone into this document. Now when someone is asked to hold a position everything is outlined and in writing.

Lion Eldon would like to hear feedback both positive and negative.

Copies of the Budget and Financial statements were circu­ lated prior to the conference call to CC, CST and DG’s. Lion Gerard made a motion to move the Budget for­ ward to be voted on and approved at the Convention in May. Seconded by DG Penny. MC

CC Susan stated that this can now be published in the NFormer.

All these reports can now be sent to DG’s and CST’s of each District to be forwarded to all Lions of MD N.

We have made the following payments to this fund 19 March 2013 $332.28 (2012­13) 10 March 2013 $339.66 (2013­14) 31 July 2014 $345.72 (2014­15)

These were paid out at .06 cents per member. In Ha­ waii it was voted to increase to .15 cents per member. We have not paid this fee for this year as we were wait­ ing to see how much money was being spent, where and why. The long and short of this is, they are bringing in approx. $2,000 each year and spending out approx.

$2,700 each year. There are only two expense events for the Canadian Caucus and they are the USA/Canada Forum and the International Convention. They have to rent a room, provide drinks or some such thing, nothing extravagant at all but due to locations it is costly.

DG Paul moved that we pay the .15 cents per member as of July 1 st for the Canadian Caucus fund. Seconded by DG Doug. MC

CC Susan wanted a confirmation of the upcoming 2016 MD Pin, Lady Slipper. Order as of the Nov.

Conference call was N1 – 250 pins, N2 – 200 pins, N3 – 300 pins, N4 – 150 for a total of 900 pins .

DG’s were asking what the difference in price was be­ tween ordering 900 and 1000. CST Brenda will put in a request to Lion Sonny for this info.

Publication dates

Had wanted to discuss publication dates for notices of motion and official convention call but without Constitu­ tion & ByLaws chair Lion Frank A. in attendance it is hard to do. CC Susan stated she thought about the end of March was the cut off to have all this information out.

Wanted to have a date for everyone to work with, but will have to do that by email and get it out to everyone.

CC Susan asked DG’s to ensure that all your Lions are aware that this position is coming available.

CC Susan asked DG’s how they were coming along with interest on the Parade Dress. DG Penny stated there was nothing in N3 – they even have prizes avail­ able. N2 has one. N1 has nothing in hand as of yet. New Business Centennial MD Pin CC Susan asked what the interest would be for a Multi­ ple District Centennial Pin, something special outside of our regular series of pins. Comments were 1) LCI will be having one don’t think we need another, 2) little weary but if we had a nicely designed pin for Centen­ nial with a limited quantity that we know we will sell it might go. Would be interested in hearing more and see­ ing a design. 3) Suggestion was made to dress up the first in the Lighthouse series and make that our Centen­ nial pin, or would that ruin the series. 4) Add an extra Lighthouse to the series , 5) Make it so it incorporates all 4 Districts CC Susan asked the DG’s to take back to their Districts and she would present this to Lion Sonny to investigate. Reinvent Your District and Regain District Strength This document that PID Len sent around for all the Dis­ tricts to take a look at, read it and take back to your peo­ ple and open up some discussions, N3 & 4 have sent up committees. MD N has got to set up a committee, now what the committee is going to look like is hard to say. We need to the get a move on this and see where we are going and what we are going to do and this could have a dramatic effect on District 3 & 4, but regardless of what takes place it will have an effect on all Districts. CC Susan has reached out to LCI, but has not received any definite communications. What she is trying to find out is this something that has to be done & done now, is it something they are going to encourage. CC Susan suggest we all sit back take a good hard look at what we need, what we can do and what is going to be best for all our Lions in the whole area. Regardless of what we do it is not going to be a popular thing. With the document that they sent out, they have given 3 years to look at all the possibilities of what we can d0 and how we can restructure and they are willing to put money into the pot to encourage the transitional district

There is a time limit on this money and it can’t even be applies for until after plan of restructure is approved. They (LCI) only meet in Octo­ ber once a year, so the earliest to have a plan put into place and ready to go would be 2017. Each District needs to have its own committee put into place and we need a MD committee put into place. N3&4 already have a 3 person committee each put into place and hope to have some kind of report for the May Convention. Recommendation for the MD Committee was to have 1 representative per District plus a chair. This committee must be made up of Lions who have a real serious ex­ perience with regards to putting together documents, who can communicate and will communicate and to work with the committees at the District level. District level committees will tell us what they want, then the MD Committee to put all this info together and bring it back. Under the new rules and regulations it has to be voted on at an Annual Convention and it does not need all the Districts approval. CC Susan asked that PCC Peter and VDG pass this info along to DG George and get a committee up and running. Have one Lion appointed as a MD committee member. Choose one member from your District committee to sit on the MD level. Options Newfoundland goes together as one District and a single district They join together and stay part of the Multiple District of 3 N1 and N2 stay together as a Multiple – either as a Mul­ tiple of 3 or 2 Or all of us go as single Districts Or maybe as a stay as we are. This is where the Multiple Committee would come into play to weigh the options and present what is going to be the best option for the Multiple and line it up with the wishes of the Districts.
