CHAIRMAN’S MESSAGE

Dear Respected Seniors/ Professional Colleagues/ Students,

Greetings from Noida Chapter !!!

At the outset, I congratulate all Members and Students of Noida Chapter as our Chapter is now graded as A+.

While I am writing the message for second volume of Newsletter of Noida Chapter of NIRC of ICSI, there are lots

of thoughts in mind, which I wish to share with all of you.

In Past three and half months we had tried to do some analytical research on some major problems of Members

and Students and also tried to prepare an action plan to sort out these problems.

I believe that “Growth is never by mere chance; it is the result of forces working together”, thus with this

believe I wish to connect you with these problems that we could identify and also sharing our action plans to

curve these problems together as a Team.

Few of the problems that we can sort out together are as followings:

1. To re-connect those members who are out from main stream of Profession.

2. To find a way to bridge gap of less number of trainees in market

3. To connect Job Seekers and Employers

4. To arrange Practical Training for Members and Students

5. To organise Career Awareness Programmes in Schools and Colleges of Noida

6. To increase Involvement of Members and Students in day to day activities of Noida Chapter

Action Plan(s):

Point 1 & 2: We are planning to organise some value addition course in the coming months which

shall also include basic practical knowledge of Secretarial Compliance, GST Compliance and other

registrations, which may help to them to re-start their career and We shall also recommend those

Members, after basic training at chapter, to PCS(s) and Companies of Noida to help them re-start their

career easily.

When you are moving on right path and you keep moving on it, Eventually it makes

We had also felt that many of the members (especially female members) who had left the profession

due to any reason wish to learn work preferentially and ready to work in low rates also.

This way we shall not only help those members to learn work with recognition and handsome pay but

also we shall bridge the gap of Trainees in Market.

I request to PCS(s) and Companies of Noida to please come forward and provide them Placement at

your organization. We assure you that we shall organise quality basic training programme to these

Members so that they can easily handle work at your Organisation.

Point 3: Noida Chapter is continuously organizing training programmes like EDP, PDP & MSOP for

students and we are connected with Job Seekers. I request to PCS(s) and Companies of Noida Chapter

to please inform us if any vacancy arise at your organization, we shall provide you the suitable

candidates profile as per the requirements of your esteemed organization. With this way, we shall be

able to connect Job Seekers with Employers.

Point 4: Noida Chapter have taken some Initiatives to arrange quality programmes for our Members

and Students by some re-engineering processes:

I request all Members and Students to provide us continuously your valuable suggestion to improve

our programmes and accordingly we shall provide you the best experience at Noida.

Point 5: Noida Chapter is trying it’s best efforts to organise maximum career awareness programme

in schools and colleges of Noida. We need your support also to organise CAPs in Noida. If you have any

contacts in any school or colleges or you wish to organise CAPs in your own school or college, please

connect us with the concerned person of the school or college.

Point 6: Team Noida Chapter wish to involve each and every member and student of Noida Chapter in

day to day activities of Noida Chapter. If you can help us either in above suggested ways or any other

UPDATES FROM MINISTRY OF CORPORATE AFFAIRS

1. The Ministry of Corporate Affairs vide its Notification dated March 29, 2019 has amended the Companies (Incorporation) Rules, 2014. Pursuant to the said amendment, an application for the incorporation of a compa-ny shall be supported with application (in E-Form INC 35 - AGILE) for registration of Goods and Service Tax Identification Number (GSTIN), Employees’ State Insur-ance Corporation (ESIC) and Employees’ Provident Fund Organization Registra-tion. Objective of the said amendment: To create a wholesome registration process at the time of incorporation of a company and ensure easy of doing business. 2. The Ministry of Corporate Affairs has issued a General Circular clarifying the applicability of E-Form DPT – 3. Pursuant to the said circular, the Ministry has made changes in the notification is-sued earlier wherein every company other than government company was re-quired to file a onetime return of outstanding receipt of money or loan by a compa-ny but not considered as deposits from April 1, 2014 till January 22, 2019. After the said circular, the companies are required to submit the information from April 1, 2014 till March 31, 2019 in E-Form DPT-3.

3. The Ministry of Corporate Affairs has issued an advisory clarifying the ap-plicability of DIR – 3 KYC to the directors of the Company

Pursuant to the said advisory, all directors are required to file E-Form DIR - 3KYC

every year. The new form will be uploaded shortly on the MCA Portal, after which 30 days will be given to complete the aforesaid compliance.

UPDATES FROM SECURITIES AND EXCHANGE BOARD OF INDIA

1. The Securities and Exchange Board of India has issued a circular dated March 29, 2019 specifying the procedures and formats for limited review/audit re-port of the listed entity whose accounts are to be consolidated with the listed company. The said circular is applicable on listed companies whose equity shares and con-vertible securities are listed on recognized stock exchange.

2. The Securities and Exchange Board of India dated March 27, 2019 has issued a clarification regarding the “Transfer of securities in physical mode”. The Securities and Exchange Board of India has decided in 2018 that except in case of transmission or transposition of securities, the securities to be transferred shall not be processed unless the securities are held in dematerialized form with a de-pository which shall be effective from April 1, 2019. As per the clarification issued by SEBI dated March 27, 2019: Investors can hold the shares in physical form on or after April 1, 2019 but trans-ferred shall be allowed only if the shares are in the dematerialized form. All pending cases lodged before the deadline due to deficiency in the document may be re-lodged.

3. The Board Meeting of Securities and Exchange Board of India has concluded on March 27, 2019.

In the said Board Meeting, the following things were discussed: Solicited public comments on consultation paper titled “Self-Regulatory Organiza-tion in Securities Market” latest by April 21, 2019. Concept of Self-Regulatory Organization: The Self-Regulatory Organization acts as an intermediaries and perform the devel-opment, regulatory, grievance redressal & dispute resolution and disciplinary role in the securities market. As on date, the SRO Regulations are in force in relation to distributors engaged by Asset Management Companies of Mutual Funds and distributor engaged by Portfo-lio Managers. The Board has deferred the implementation of SEBI (Listing Obligations and Dis-closure Requirements) Regulations, 2015 which deals with payment relating to royalty and brand usage for three months till June 30, 2019. 4. The Securities and Exchange Board of India has amended the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Reg-ulations, 2015.

Pursuant to the said amendment in the SEBI (ICDR) Regulations, the word “Institutional Trading Platform” to be substituted with the word “Innovators Growth Platform”.

Innovator Growth Platform means the trading platform for listing and trading of

specified securities of issuers that comply with requirements mentioned SEBI (ICDR) (Second Amendments) Regulations, 2019.

Updates from GST

1. EXAMINATION FOR CONFIRMATION OF ENROLLMENT OF GST PRACTITION-

ERS

The National Academy of Customs, Indirect Taxes and Narcotics (NACIN) has been au-

thorized to conduct an examination for confirmation of enrollment of Goods and Ser-

vices Tax Practitioners (GSTPs) in terms of the sub-rule (3) of Rule 83 of the Central

Goods and Services Tax Rules, 2017, vide Notification No. 24/2018-Central Tax dated

28.5.2018.

The GSTPs enrolled on the GST Network under sub-rule (2) of Rule 83 and covered by

clause (b) of sub-rule (1) of Rule 83, i.e. those meeting the eligibility criteria of having

enrolled as sales tax practitioners or tax return preparer under the existing law for a

period not less than five years, are required to pass the said examination before

31.12.2019 in terms of Notification no. 03/2019-Central Tax dated 29.01.2019.

The next examination for them shall be conducted on 14.06.2019 from 11:00 hrs

to 13:30 hrs at designated examination centers across India.

2. Advisory to GST Taxpayers on Invoice Series to be used wef 1st April, 2019

Attention of all taxpayers is invited to Rule 46 (b) of the CGST Rules 2017, which specifies

that the tax invoice issued by a registered person should have a consecutive serial number,

not exceeding sixteen characters, in one or multiple series, containing alphabets or numer-

als or special characters - hyphen or dash and slash symbolized as “-” and “/” respectively,

and any combination thereof, unique for a financial year.

General Updates

1. The Reserve Bank of India vide its Notification dated April 1, 2019 relating to the

Large Exposure Framework.

Pursuant to said notification, a bank is required to abide by the Large Exposure Frame-

work in order to align the exposure of the banks with the BCBS Standards.

Accordingly, banks’ exposure to a single borrower and a borrower group is currently

restricted to 15% and 40% of capital funds respectively.

2. The Reserve Bank of India vide its Notification dated April 1, 2019 has amended

the Foreign Exchange Management (Establishment in India of a Branch Office or a

Liaison Office or a Project Office or any Other Place of Business) Regulations,

2016.

Existing Provisions:

For opening of a Branch Office (BO)/Liaison Office (LO)/Project Office (PO) or any other

place of business in India, where the principal business of the applicant falls in the De-

fense, Telecom, Private Security and Information and Broadcasting sector requires prior

approval of Reserve Bank of India.

New Provision:

For opening of a Branch Office (BO)/Liaison Office (LO)/Project Office (PO) or any other

place of business in India, where the principal business of the applicant falls in the De-

fense, Telecom, Private Security and Information and Broadcasting sector, no prior ap-

proval of the Reserve Bank of India shall be required, if Government approval or li-

cense/permission by the concerned Ministry/ Regulator has already been granted. Fur-

ther, in the case of proposal for opening a PO relating to defense sector, no separate ref-

erence or approval of Government of India shall be required if the said non-resident ap-

plicant has been awarded a contract by/entered into an agreement with the Ministry of

Defense or Service Headquarters or Defense Public Sector Undertakings.

3. The Reserve Bank of India has solicited comments from stakeholders on the draft

Enabling Framework for Regulatory Sandbox by May 8, 2019.

As per the draft released by the Reserve Bank of India:

Regulatory Sandbox: It refers to live testing of new products or services in a controlled/

test regulatory environment for which regulators may (or may not) permit regulatory

relaxations for the limited purpose of the testing.

Objectives:

To encourage innovation.

To allow testing of new products, services or business models with customers in a live

environment, subject to certain safeguards like retail payments, money transfer ser-

vices, marketplace lending, Digital KYC, Financial advisory services, mobile technology

applications, artificial intelligence and machine learning language, etc.

To allow learning by doing.

4. The Central Board of Direct Taxes has solicited comments from stakeholders on

Advisory for Members of ICSI

Members would henceforth be required to declare their PAN (mandatory) and Aadhaar / UID

Number (optional) at the time of making online payment of annual membership fees and

while applying for Fellow membership of the Institute in Form-B.

Further, offline Membership fee / Certificate of Practice fee would not be accepted in any

office of the Institute from 1st June, 2019. Only online fees shall be accepted from 1st June,

2019 onwards.

Members may also note that as per Regulation 3 of the Company Secretaries Regulations,

1982, they are required to communicate to the Institute any change in their Professional Ad-

dress within one month of such change.
