IPEGlobalLimitedIndia(IPEGlobal)onbehalfoftheUnitedStatesAgencyforInternationalDevelopment(USAID) forproject“ScalingUp Interventions inReproductive,Maternal,Neonatal,ChildandAdolescentHealth(RMNCH+A)”ispleasedtoinviteyoutosubmitaproposalfortheabove-mentionedassignmentinaccordancewiththisRequestforProposal(RFP)package.
2. All information contained in this package should be treated as commercially confidential and you arerequiredtolimitdisseminationonaneed-to-knowbasis.
3. ThisRFPpackageconsistsofthefollowingdocuments:
i. NoticeinvitingProposal;
ii. RequestforProposalInstructions;
iii. StatementofWorkfortheassignment;
iv. RFP Instructions including Annexure 1-8, Proforma 1: Pre-Qualification Criteria and Proforma 2:CommercialProposal;
v. DraftContract.
4. If you intend to submit a proposal you must send an acknowledgement, by e-mail([email protected])quotingtheproposaltitleandnumber.
5. IPE Global will endeavour to make available all relevant information in the RFP. Should you need anyfurtherinformationorclarificationduringtheproposalperiodyoumustcontactonlytheundersigned.
6. OnnoaccountshouldthebidderscommunicatedirectlywithanyotherpersonnelorofficialsofIPEGlobalorUSAID.Failuretocomplywiththisrequirementmayresult inthedisqualificationofyourorganisationfromthiscompetition.
7. No queries will be accepted by the undersigned after September 18, 2017, 1300 Hrs. Therefore anyrequestsshouldbesubmittedattheearliestopportunitybyemail.Toensureequity,whereappropriate,IPEGlobal’sresponsewillbenotifiedtoallBidderswithoutdisclosureoftheinitiator.
8. The Commercial Proposal should specify the total amount in Indian Rupees (INR), giving details ofexpenses(asperRFPInstructions).Thefinancialproposalshouldbevalidforacceptanceforat least180days(OneHundredandEightyDays)fromthedateofsubmissionoftheProposal.

Proposalreceivedinanyformaftertheexpiryofthedateandtimeprescribedshallnotbeconsidered.
10. Proposals for this assignment will be assessed in accordance withQuality Cost Based Selection (QCBS)methodandwillinvolvePre-Qualification,TechnicalEvaluationandCommercialEvaluation.
11. The Technical Proposal of only those firms fulfilling the criteria prescribed in the Pre-QualificationEvaluationwillbeopened.
12. ThebidderswhomeetthePre-QualificationCriteriaasmentionedbelowwouldbeconsideredforthenextstageofevaluations.ThebiddermustsubmittheRegistrationCertificate,extractsfromtheauditedBalanceSheetandProfit&LossAccount,CertificatefromtheCharteredAccountantandotherrelevantsupportingdocumentsasanevidenceforthePre-QualificationCriteria.

TheBidder(LeadBidderincaseofaConsortium/JointVenture) must have prior experience of design,developmentanddocumentationofminimumtwo(2)similar content development for healthcommunication in the last three years. Each projectmustbeworthatleastRs.50(fifty)Lakhs.

Iftheinformationcontained in the Self-Declaration is found false, then IPE Global has the option of blacklisting the Bidder(s). 13. Decision as to any qualification to the above Pre-Qualification Criteria, arithmetical error, manifest orotherwise in the response to the RFP shall be decided at the sole discretion of IPEGlobal and shall bebindingontheBidder.AnydecisionofIPEGlobalinthisregardshallbefinal,conclusiveandbindingontheBidder.

INTRODUCTION
1. GENERAL:
1.1. ThisRequestforProposal(RfP)isdesignedtohelpyouproduceaproposalthatisacceptabletoIPEGlobal, in accordance with the requirements of contracting and procurement. It is essential,therefore,thatyouprovidetheinformationrequestedinthespecificformat.
1.2. Theinstructionsshouldbereadinconjunctionwithinformationspecifictotheprojectcontainedinthecoveringletterandintheaccompanyingdocuments.
1.3. IPEGlobalisnotboundtoacceptthelowestbidder,orany,proposal.Wealsoreservetherighttorequestany,orall,ofthebidderstomeetwithusand/oremailustoclarifytheirproposal.
1.4. EachbidderhavingrespondedtothisRFPacknowledgestohaveread,understoodandacceptstheselectionandevaluationprocessmentioned in thisRFPdocument.Thebidderceases tohaveanyoption to object against any of these processes at any stage subsequent to submission of itsresponsestothisRFP.

2.2 PartA(Pre-Qualification),PartB (TechnicalProposal)andPartC (CommercialProposal)mustbedocumented and saved separately and submitted in a single email to enable evaluation of Pre-Qualification, Technical and Commercial independently. Part B (Technical Proposal) and Part C(Commercial Proposal) must be protected with separate passwords. Please do not include anyprice information/password to access the Commercial Proposal in Part A (Pre-Qualification)and/orPartB(TechnicalProposal)and/orinanycommunication(untilandunlessrequestedbyIPEGlobal).

5. PARTC–COMMERCIALPROPOSAL:
5.1. TheProforma2:CommercialProposalprovidedshouldbefullycompletedintheformatrequestedandshouldbeeasilycrossreferencedtotheabovedetails.
5.2. All quoted prices should remain valid for a period of at least 180 days from the date of thesubmissionofthebidandshouldbeonlyinIndianRupees(INR).
5.3. PricespayabletotheSupplierasstatedinthesubsequentContractshallbefirmandnotsubjecttoadjustment during performance of the subsequent Contract, irrespective of reasons whatsoever,includingexchangeratefluctuations,changesintaxes,duties,levies,charges,etc.
5.4. PleasenotethatIPEGlobalPolicyplacestheburdenofexchangeratefluctuationsonthesupplier,whowillbeexpectedtoabsorbtheimpactofthesewithinandacrosstheircontracts.

6. EVALUATION:
6.1. Part A – Pre-Qualification Criteria: This covers circumstances where IPE Global must exclude aRespondent from participating further in the procurement. The Procurement Expert thereforeappliesapass/failassessmentofthepre-qualificationresponseonthespecificquestion.Nofurtherevaluation is carried out for the bidder who’s Pre-Qualification Criteria does not meet theprerequisite criteria. Password toopen the “PartB–TechnicalProposal”will be requested frombidderssatisfyingthePre-QualificationCriteria.
6.1.1 The documentsmentioned in the below compliance sheet needs to be a part of the Pre-Qualificationchecklist.(EnclosedasProforma1:Pre-QualificationCriteria)
6.2. Part B – Technical Evaluation: The technical evaluation places emphasis on the degree ofconfidencetheevaluationteamhaveintheproposalcontentandthebidder’scapabilitytodelivertheoutputseffectively.Commercialproposalofonlythosefirmsreceivingminimumof50marksinTechnicalEvaluationwillbeopened.
6.2.1 ThetechnicalevaluationplacesemphasisonthedegreeofconfidencetheEvaluationTeamhaveintheProposalcontentandtheBidder’scapabilitytodelivertheoutputseffectively.Ahigherdegreeofconfidenceisgainedwhere:
• Adeepunderstandingofassignment is clearlydemonstrated.Merelyprovidinggeneralstatementsofinformationandacan-doattitudewillnotgeneratehighscores.
• Aconvincingmethodology isprovided toachieve results,whilstensuringoptimalvalueformoneyoverthelifetimeofthecontract.Themethodologyshouldincludeclearlinksbetweenperformanceoutputsandpricingmechanisms(suchasmilestonesforpaymentlinkedtocleardeliverables).
• The methodology includes monitoring and performance management tools whereappropriate, such as: critical path analysis, risk strategies/mitigation plans,communicationsplans,etc.
• A detailed Work Plan is provided that breaks down activities and outputs, which areclearly cross referenced (where appropriate) to payment mechanisms andgovernance/quality assurance mechanisms to ensure effective delivery on time andwithinbudget.
• StrongexamplesdemonstratetheproposedmethodologyhasbeenappliedsuccessfullyinenvironmentsrelevanttothisRFP.
• Awell balanced team is proposed that provides the rightmix and level of skills, withassured availability at the right time and with the right number of days. The biddersshould explain their recruitment methodology and how the selection of local and/orinternationalteammembershasbeentailoredtoensurebestvalue.
• GreaterefforthasbeenmadetoprovidecertaintyintheProposaldetailsothatitcanbereliedonfromacontractualperspective(forexample,poormanagementprocesses,lackof performance measures and vague terminology represent a potential performancerisk).
6.2.2 EvaluationCriteria

6.3. PartC–Commercial Evaluation:Commercialproposalsofonly those firms clearing theTechnicalEvaluationstageunderPartBwillbeopened;thetechnicallyqualifiedbidderwillbeaskedforthepasswordtoaccessthecommercialproposal,postwhichtheevaluationwillbedoneinaccordancewiththeQualityandCost-basedSelection(QCBS)method.
6.3.1 The Commercial Proposals of technically qualified Bidders will be opened, post which theevaluation will be done in accordance with the Quality and Cost-based Selection (QCBS)method.
6.3.2 BiddersshouldaimtodemonstratewithinthecommercialproposalthattheiroverallProposaloffersthebestmixofqualityandeffectiveness for the leastoutlayovertheperiodofusingthegoodsorservicesrequired.TheCommercialProposalshouldthereforebeclearonwholelifecostsoverthedurationofthecontract,including(butnotlimitedto)costelementssuchas:capital,maintenance,management,operatinganddisposalcosts.Whereappropriate,theProposalshouldhighlightwhereitcontinuestoaddvaluebeyondthelifeofthecontract(e.g.lower maintenance costs for the recipient Government after the IPE Global contract hasended).
6.3.3 The Proforma 2: Commercial Proposal provided at end of this section should be fullycompleted in the format requested. The detail provided in this Proforma should be easilycrossreferencedtotheFinancialPlan.
6.3.4 Allproposalpricesshouldbe in IndianRupees (INR).Pleasenote that IPEGlobalpoliciesdonotallowadvancepaymenttoConsultants/Contractors/Suppliers.
7. NOMINATEDPERSONNEL
7.1. Youmust:
a) confirmthatallpersonnelwillbeavailabletoprovidetherequiredservicesforthedurationofthecontract;

b) give the name of their employer or state if self-employed if any of the personnel is not amemberoftheBidder’sstaff;
c) obtain priorwritten agreement from IPEGlobal, and/orUSAID via the Vice President – CRC,beforenominatingamemberofIPEGlobal,and/orUSAIDstaffwhoisinservice,oronleaveofabsence,orhasbeenastaffmemberofIPEGlobal,and/orUSAIDwithinthepast2years;
d) ifnominatinganex-staffofIPEGlobal,and/orUSAIDwhohaslefttheservicewithinthepast2years,includealetterfromIPEGlobal,and/orUSAIDgrantingpermissionforthemtoundertaketheservices.
8. GOVERNMENTTAX:
8.1 Proposals are responsible for establishing the status of the Services for the purpose of anygovernment tax applicable in India. Any applicable taxes should be included in Proforma 2:CommercialProposalseparately.
9. ALTERATIONSTOPROPOSALS:
9.1 Anymanuscriptorotheralterationtotheproposalmustbecountersignedanddatedbythepersonsubmittingtheproposal.TheBiddermustnotaltertheRFPdocuments.
10. SELECTIONOFPROPOSALSANDREJECTIONOFNON-COMPLIANTPROPOSALS:
10.1 TheinstructionscontainedintheRFPPackconstitutetheConditionsofProposal.ParticipationintheproposalprocessconfirmsthattheBidderacceptstheseConditionsofProposal.
10.2 TheBiddermustensurethateachandeveryemployee,sub-contractor,consortiummemberandany
otherperson/organisationtheBidderinvolvesintheirresponsetothisRFP,abidesbytheConditionsofProposal.TheBiddershallberesponsibleforanybreachoftheConditionsofProposalbyanyonetheyhaveinvolvedintheirresponsetothisRFP.
10.3 Priortocommencingtheevaluationprocess,IPEGlobalwillcheckProposalsreceivedtoensuretheyarefullycompliantwiththeConditionsofProposal.Non-compliantProposalsmayberejectedbyIPEGlobal.
11. LETTERSANDDECLARATIONTOACCOMPANYPROPOSALS:
11.1 Your Proposalmust be accompanied by a letter on the organization’s letterhead showing the fullregisteredandtradingname(s),tradingandregisteredofficeaddressoftheBidderand,inthecaseofa Company, the place of incorporation. It should be signed by a person of suitable authority tocommittheBidderstoabindingcontract.Biddersarerequiredtosignthedeclarationsasmentionedin Point 11 asAnnexure 1. Youmust quote the Proposal Title, Proposal Number and include thefollowingdeclarations:1. Wehaveexamined the informationprovided in yourRequest for Proposal (RfP) andoffer to
undertake the work described in accordance with requirements as set out in the RFP. Thisproposalisvalidforacceptancefor180daysfromthedateoftheofferandweconfirmthatthisproposal will remain binding upon us and may be accepted by you at any time before thisexpirydate.

19. JOINTVENTURE(OROTHERFORMOFASSOCIATION)PROPOSALS:
19.1 WheretheProposalissubmittedbytheBiddersinconjunctionwithoneormoreassociatesthen,intheabsenceofaJointventureagreementthe‘Associate’shallbedeemedtobeasub-contractortotheBiddersandshallnotbeapartytothecontract.
19.2 Proposals submitted by potential Joint Venture partnerships must include in the Proposaldocumentsa“LetterofIntenttoformaJointVenture”intheeventofbeingsuccessfuland:

20. IPEGLOBAL’STREATMENTOFYOURPROPOSAL:
20.1 IPEGlobal iscommittedtoensuringValue forMoney2incomplexprocurements.Therefore,whenyousubmitaproposal,wewill
a) ensure proposals are registered upon receipt and held securely until after the deadline forreceiptofproposals;
b) witness theopeningofallproposalsafter the timeanddeadline for receiptofproposalsandseparatelyregisterthecommercialdetailsofeachproposal;
c) return,unopened,anyproposalsreceivedafterthedeadlineofreceiptofproposals;
d) disqualify any non-compliant proposals (i.e. proposals failing to meet the terms of theseinstructions)received.Thecommercialdetailsofsuchproposalswillberecordedandmarkedasdisqualified;
e) ensurethatallproposalsareevaluatedobjectively,inlinewiththeevaluationcriteriaspecified;
f) followingevaluation,informtheBidderswithin15workingdaysofthedecisionbeingmade;
g) following evaluation, provide feedback to each Bidder within 15 calendar days of writtenrequestandwithintheboundsofconfidentiality;
21. DISCLAIMERS&ARBITRATION:
21.1 WhilsttheinformationandsupportingdocumentsprovidedinthisRFPPackhavebeenpreparedingood faith, it does not purport to be comprehensive. Neither IPE Global, nor their advisors,respectivedirectors,officers,members,partners,employees,otherstafforagents:
a) makesanyrepresentationorwarranty(expressorimplied)astotheaccuracy,reasonablenessorcompletenessoftheRFP;or
b) acceptsanyresponsibilityfortheinformationcontainedintheRFPorforthefairness,accuracyor completeness of that information, nor shall any of thembe liable for any loss or damage(otherthaninrespectofdeceitorfraudulentmisrepresentation)arisingasaresultofrelianceonsuchinformationoranysubsequentcommunication.

22.2 By taking part in this competitive exercise, Bidders accept that IPE Global shall not be bound toacceptanyProposalandreservestherightnottoconcludeaContractforsomeoralloftheservicesforwhichProposalsareinvited.
22.3 IPEGlobalreservestheright toamend,addtoorwithdrawalloranypartof thisRFPatanytime

23. COSTSOFTHERFP:
23.1. Bidderswill remain responsible for all costs andexpenses incurredby them, their staff, and theiradvisorsorbyanythirdpartyactingundertheirinstructionsinconnectionwiththisRFP.ThiswillberegardlessofwhethersuchcostsariseasaresultofanydirectorindirectamendmentsmadetothisRFP by IPE Global at any time. 1. BACKGROUND:
IPE Global Limited (hereinafter referred as “IPE Global” or “Company”) is a leading development sectorconsultingfirmwithofficesinsixcountriesacrossAsia,AfricaandEuropeIndiaprovidingend-to-endservicesinthe areas of Health Systems, Education and Skill Development, Urban and Infrastructure Development,DemocraticGovernanceandClimateChange,amongothers. Ithas implementedover700+projects inmorethan100 countries. IPEGlobal has strong relationshipswithmultilateral, bilateral, governments, corporatesandnot-for-profitentitiesinanchoringdevelopmentagendaforsustainedandequitablegrowth.
The Reproductive, Maternal, Newborn, Child and Adolescent Health (RMNCH+A) program of the NationalHealthMission (NHM) embodies theGovernment of India’s vision for comprehensive and integrated healthservicesformothers,children,andadolescents.USAID,throughitsprojectVRIDDHI:ScalingUpInterventionsinRMNCH+A,providestechno-managerialsupporttotheGovernmentof India(GoI)atthenational levelandinstates for planning, implementing, and monitoring RMNCH+A interventions. VRIDDHI is a four-year project(2014-2018),throughacooperativeagreementbetweenUSAIDandIPEGlobal.Theoverarchingpurposeoftheprojectistoscaleupkeyhigh-impactinterventionsoftheRMNCH+Aprogramtoaccelerateprogresstowardsthegoalofreducingpreventablematernalandchildmortalityandmorbidity.
Project VRIDDHI has four focus areas, namely, Technical Interventions,Health Systems Strengthening, PolicySupportandPartnerships.ThetechnicalinterventionsarespreadoverReproductive,Maternal,Newborn,ChildandAdolescentHealth.TheHealthSystemsStrengtheningfocusareasincludecapacitybuilding,generatingandsharingevidenceadvocatingandsupportingreorganizationofinstitutionalprocessesleadingtobetterservicedelivery, improvedaccessandutilizationofRMNCH+Aservicesandsupport to improve thehealthsystemtoensure health equity in a responsivemanner. Under the Policy Support focus area, VRIDDHI hasworked toimproveadvocacy to increasegovernment transparencyandaccountability throughsharingassessmentsandexperiencesof incubatingprovengoodpractices toenable informeddecisionmaking.Under thePartnershipfocus, VRIDDHI has formedpartnershipswithdevelopmentpartners andother projects to achieve synergiesandconsensusoncommoncauses.
ThekeyProjectinterventionsincludeCarearoundBirth,SupportiveSupervision,StrengtheningAntenatalCare,ImprovingNewbornHealth,andSupport forAdolescentHealth.At theNational level, theNationalTechnicalSupportUnit (NTSU)and theNationalRMNCH+Aunit (NRU)provideassistance to theGoI for theRMNCH+Aprogrammeacross the country.At the state level, StateRMNCH+AUnits (SRUs) support state governments’efforts to implement and scale up the RMNCH+A strategy. SRUs are placed in six states: Delhi, Haryana,HimachalPradesh,Jharkhand,PunjabandUttarakhand.Atthedistrict level,DistrictTechnicalOfficers(DTOs)areplacedineachoftheHighPriorityDistricts(HPDs)ofthesestates.
RATIONALEOFTHEACTIVITY
Theprojecthascompletedthreeandahalfyearsofoperationsandhasgatheredrichandrobustexperiencesinthefieldovertheyears.TheseinsightsfromthenationallevelaswellasfromthestatesanddistrictshavegreatpromiseandpotentialtofurtherimprovethedesignandimplementationoftheRMNCH+Ainterventionacrossstates and at the national level. The project is seeking services of an agency to document activities andachievements of the project and provide support in content development of various knowledge and

2. OBJECTIVESOFTHEASSIGNMENT:

3. SCOPEOFTHEWORK:
Theagencyisexpectedtoundertakethefollowingtasksaspartoftheassignment:
• Conductadeskreviewofexistingmaterials(projectreports,casestories,A/Vmaterials,trainingmaterials,jobaids, IECmaterials,quantitativereports/data,andanyotherrelevantmaterial) sharedbytheVRIDDHInational team for a clear understanding of the interventions, activities, processes, achievements, lessonsandchallenges.Thetaskwouldrequireextensivemeetingswiththenationalteamtogetadeeper insightintotheprocessesandplanninginvolvedindesignofinterventionsandguidancetothestateteams.
• The initial desk review will also include a consultation with the project state teams to gather theirexperiencesandleadsforstoriesfromthedistricts.Thedeskreviewexerciseandtheconsultationwiththeprojectteamareexpectedtohighlightthe informationgaps,help identifysuccessstoriesandexperiencesfromdifferentstakeholdergroupsfortheagencytoplanthefielddocumentationexercise.
• AgencytoplanthefielddocumentationworkandsubmitafielddatacollectionplanincludingadetailedlistofIDIsandFGDstobeconductedwithvariousstakeholdersatdifferentlevels.
• Thefielddocumentationwillrequirevisitstothesixprojectstates(Approx15daysperstatecoveringselectdistrictsoutofthe26projectdistricts(roughly2daysperHPD).However,thiscanvaryacrossstates.).
• The documentation exercise is expected gather at least 40-45 case stories covering all the componentsbesidesmajor outputs, outcomes in terms of improvements in service delivery and skill enhancement ofhealthserviceproviders.
• Photographyshouldbetakenupaspartofthedocumentationexercisetosupportthestories.Highqualityphotographs capturing processes, activities and case stories should be taken. At least one hundred highquality pictures covering various components across six states with appropriate captions should besubmittedindigitalform.

WHEREAStheSub-Consultantagreedtoprovideserviceonthetermsandconditionssetforthhereinandtheannexuresattachedhereto;hereinafterreferredtoas“SERVICES”.
NOWTHISAGREEMENTWITNESSETHANDITISHEREBYAGREEDBYANDBETWEENTHEPARTIESASFOLLOWS:
1. COMMENCEMENTANDTENUREOFCONTRACT
1.1. TheContractshallbedeemedtohavecommencedfromXXXXXXX,201XandshallbevaliduptoXXXXX XX, 201Xunless this Agreement is terminated earlier in accordancewith the terms andconditionsofthisAgreement.
2. DUTIESASSUB-CONSULTANT
2.1 TheSub-ConsultantshallprovidesuchservicesandasdefinedintheStatementofWork(SoW)oftheProject.ServicesperformedbytheSub-ConsultantunderthisAgreement,ismoreparticularlydescribedintheSoWsetforthinAnnexure-I.
2.2 The Sub-Consultant shall provide services for such period as given in Schedule of Price andPaymentinAnnexure-II.
2.3 It isexpectedthat theSub-Consultantwill carryout theservicesunder thisAgreementwithduediligenceandefficiency, inapracticalmannerdesignedtopromotetheobjectivesoftheproject,and toconfirmandenhance theprofessional reputationof IPEGlobal, its clientsandassociates.The inputs of Sub-Consultantmay be increased or decreased,within reason andwith adequatenoticeand/orasperdecision/approvalofclient,atdiscretionoftheprojectmanagementandIPEGlobal.

2.4 It isexpectedthattheSub-Consultantwillprovide its inputaspertheworkschedulefinalised inconsultation with the Project Manager or any other professional nominated by him/her;hereinafterreferredtoas“PROJECTMANAGER”.
3. PLACEOFPROVIDINGSERVICES
3.1 HomeofficeofSub-ConsultantshallbeXXXXXXXX;India.AllServicesunderthisAgreementshallbeprovided from and final output is delivered at all Project Sites under the Contract for properperformanceoftheirduty.
4. REMUNERATION
4.1 IPE Global shall make payments to the Sub – Consultant in accordance with the schedule asmentioned in (Annexure-II). In any event, payments under this Agreement will not exceed amaximumlimitofINRXXXXXXXX/-(IndianRupeesXXXXXXXXXXXXXOnly)hereinafterreferredasthe“FinancialLimit”.TheFinancialLimit is inclusiveofall taxes,whatevernamecalled.HoweverServiceTaxifandasapplicablewillbepaidinadditiontothisprice.
4.2 Noexpenditure shallbe incurred inexcessof theFinancial Limitandother than thoseexpresslyprovided inAnnexure-IIwithout priorwritten approval of the LineManager and amendment tothiseffectisexecutedbetweentheParties.AnybankchargesleviedbySub-Consultant’sbankshallbebornebytheSub-Consultant.
4.3 ThefeespayablebyIPEGlobalfortheServicesunderthisContractaredeemedtocoverthecostofsalary, overseas inducements, leave allowances, bonuses, profit, taxes, insurances,superannuation, non-working days and all other costs including, but not limited to, clothing,passports, visas and vaccinations, overheads and expenses of whatsoever nature that may beincurredbytheSub-ConsultantinthedeliveryoftheServicesexceptwhereotherwisespecificallyprovidedforinthisContract.
4.4 TheConsultant shall submit Invoice indesired format and the same is attachedasAnnexure-III.Thescanned&signedcopyofInvoicealongwithitsnecessarysupportingdocumentationistobeemailedtoMr.XXXXXXXXXXXatXXXXXXXXXXXXX@ipeglobal.com
5. TERMSOFPAYMENT
5.1 TransferoffundsrelatedtothisAgreementfromIPEGlobalshallbemadetotheSub-Consultant’sbank account via Cheque / Account Transfer, the Details of Sub – Consultant’s Bank account isenclosedasbelow.

5.2 All payment under this agreement shall be made against the receipt of a Valid Invoice3, uponapprovaloftheReports/Deliverable/MilestonebytheProjectManagerand/orClientanduponthereceipt of confirming payment from the Client as elucidated in Annexure II of this Agreement.Totalpayabledays/month/deliverablesbasedshallbesameaspaidbytheClient.Thepaymentwillbemadegenerallywithin30daysfromthedateofreceiptofvalidinvoice.AllpaymentsunderthiscontractshallbemadeinINR(IndianRupees).
5.3 Statutory IncomeTaxdeductionwillbemadefromthe invoicedfeefor theservicesrenderedtoIPEGlobaleachmonthasperprevailinglaws(IndiantaxationLawsonIncome).TDSCertificateforanydeductionsmadeunder theagreementwillbe furnishedtoSub–Consultantasperexistinglaws.TheresponsibilityofpayingtaxontotalincomeandfilingtheIncomeTaxreturnsshallbeoftheSub-Consultant.
5.4 IncasetheClientwithholdspartorfullpaymentrelatingtoSub-Consultant’sinputsforreasonsofqualityofoutputsnotmeeting requiredstandards, IPEGlobalwillwithhold thesameamountofpaymentstotheSub-Consultant.TheSub-ConsultantwillbeexpectedtoimprovetheoutputsandonapprovalofthesamebyClient,balancepaymentswillbereleasedtotheSub-Consultant.Anydisallowances by the Client directly attributable to the Sub-Consultant will be deducted frompaymenttotheSub-Consultant.TheSub-Consultantwillassistinappealingandre-invoicingforanysuchdisallowance.
5.5 If for any reason, the CLIENT is dissatisfied with the performance of the Sub-Consultant anappropriate summay be withheld from any payment otherwise due. Payments of outstandingduesshallbemadeontheremedyofunsatisfactoryworkorresolutionofoutstandingqueries.
6. REPORTING
6.1 Sub-ConsultantshallreporttotheprojectManageroranyotherpersonnominatedbythemandalways act, in respect of any matter relating to this agreement or to the services, as faithfuladviserstoIPEGlobalandtheClient,andshallatalltimessupportandsafeguardIPEGlobal’sandtheClient’slegitimateinterestsinanydealingswiththirdparty.
7. TIMEANDATTENTION
7.1 DuringthecontinuanceofthisAgreement:
• TheSub-ConsultantwillnotconcludeanycontractsorincuranyobligationorliabilityonbehalfoforbindingupontheCompany,orsignanydocumentsonbehalfoftheCompany;
• TheSub-ConsultantwillnotbeconcernedorinterestedinanyotherbusinessofasimilarnaturetoorcompetitivewiththatcarriedonbytheCompanyoranyof itsAssociatedCompaniesorwhichisasupplierorcustomeroftheCompanyorofitsAssociatedCompaniesinrelationtoitsservice.
8. PERSONNEL
3 An invoice is termed ‘Valid Invoice’ when it is submitted in a prescribed format along with approved conformingDeliverables/Milestones/Reports/Time Sheets and supportedby relevant information, supportingdocuments, vouchers,etc.aslaiddownintheContract.

8.1 No changes or substitutions may be made to members of the Sub-Consultant's Personnel asidentifiedinAnnexureIIofthisContractwithoutIPEGlobal'spriorwrittenconsent;
8.2 The Sub-Consultant shall be responsible for timely payment of remuneration to its Personnelincluding out-of-pocket expenses. Any delay or non-performance by the Sub–Consultant’spersonnelduetosuchnon-paymentwouldbeentireresponsibilityoftheSub-Consultant.
8.3 TheinputdaysisbudgetedaspertheeffortrequiredtodelivertheoutputsunderthisAgreement.However, the financial limitsasmentioned inAnnexure II is firmand fixedand shallnotexceedevenifthenumberofactualinputdaysexceedsthebudgeteddays.
8.4 TheSub-ConsultantisresponsibleforallactsandomissionsoftheSub-Consultant’sPersonnelandforthehealth,safetyandsecurityofsuchpersonsandtheirproperty.Theprovisionofinformationby IPE Global shall not in any respect relieve the Sub-Consultant from responsibility for itsobligationsunderthisContract.
9. CONFIDENTIALITYANDDATAPROTECTION
9.1 TheSub-Consultantshallnot (except in theordinarycourseofduties),duringorafter theperiodunder this Agreement, divulge to any personwhatever or otherwisemake use of (and shall usehis/her best endeavours to prevent the publication or disclosure of) any trade secret or anyconfidentialinformationconcerningthisbusinessorfinancesoftheCompanyoranyofitsdealings,transactionsoraffairsoranytradesecretoranysuchconfidential informationconcerninganyoftheAssociatedCompanyoranyoftheirsuppliers,agents,distributorsorcustomers.
9.2 AllnotesandmemorandaofanytradesecretsorconfidentialinformationconcerningthebusinessoftheCompanyandtheAssociatedCompanyoranyofitsortheirsuppliers,agents,distributorsorcustomerswhichshallbeacquired,receivedormadebytheSub-Consultantduringthecourseofthis Agreement shall be the property of the IPE Global and shall be surrendered by the Sub-Consultant only to someone duly authorized in that behalf at the termination of his/hercontract/agreement.
9.3 DuringthetenureofthisagreementSub-consultantshallnotacceptanyassignmentorparticipateinanybidwhichisinconflictwiththeinterestofIPEGlobaloritsassociates.
9.4 Anyfollow-uporrelatedactivitieswhichmayariseoutofthecurrentproject,Sub-Consultantwillwork through IPEGlobal or takenecessary consent of themanagement to avoid any conflict ofinterestornon-complianceofCLIENT’sregulations.
10. TERMINATIONOFCONTRACT
10.1 IPEGlobalhasarighttoterminatethisContractwithoutassigninganyreasonbyservinga30daynoticetotheSub-Consultant.
10.2 HowevernonoticeisrequiredincaseofIPEGlobalinoccurrenceoffollowingevents.
a. An authorised representative of the Client requests removal of the Sub-Consultant from theProject;
b. In case of the Client terminating their Contract with IPE Global as a consequence of ForceMajeureoranyotherreason;

c. TheSub-Consultantinabilitytocarryoutdutiesassignedforhealthoranyotherreasonleadingtoincapacitytoparticipate;
d. On the expiry (including earlier expiry as a result of any other terms of this Agreement) ofvalidity of this Agreement unless renewed or extended further by way amendment to thisAgreement;
e. On the judgement of the Client / Team Leader/ Project Manager that the activities andbehaviouroftheSub-ConsultantisinappropriatetoProjectpersonnel,endangerthesuccessoftheProject,orcontravenelocallawsandcustoms;
f. ThisAgreementshallliabletobeterminatedwithimmediateeffectifIPEGlobal,ortheClientfindsthattheSub-Consultanthas:
(i) committed seriousmisconduct or have been chargedwith having committed a criminalaction,or
(ii) havereasonablecausetobedissatisfiedwiththeperformanceoftheSub-Consultant,
(iii) violatesanytermsandconditionsofthisagreement.
10.3 TheSub-ConsultantshallhavenoclaimforadditionalcostsarisingoutoforincidentaltoanysuchremovaloftheSub-ConsultantasperClauseetof(i),(ii)and(iii)underClause10.2.
10.4 Uponclosure/terminationof thisAgreement, theSub-Consultantshall immediately return to IPEGlobal, all documents (hard and/ or soft version, as applicable) and/ or items of any naturewhatsoever either supplied to the Sub-Consultant by IPE Global or developed by the Sub-ConsultantunderthisAgreement/Project.
11. CHANGESTOTHETERMSANDCONDITIONSOFCONTRACT
11.1 This Agreement shall constitute the entire Agreement between the parties, and may not bealteredoramendedexceptbythewrittenagreementofbothparties.Nootherduties,obligationsandliabilitiesorwarrantiesthanthoseexpresslyprovidedinthisAgreementanditsattachmentsshallbeapplied.
12. INTELLECTUALPROPERTYRIGHT
12.1 TheConsultantagreestoassignthecopyrightunderthisAgreementtoIPEGlobalandUSAIDofanyoutput such as but not limited to plans, drawings, database, images, specifications, designs,reports, other documents, etc. hereinafter collectively referred to as “MATERIALS”. MaterialsproducedasaresultoftheworkcoveredunderthisAgreementtogetherwithallrelevantdataandsupporting materials compiled in performing the Services must not be used for any purposeunrelatedtothisAgreement.TheConsultantagreesnottocauseortopermitanything,whichmaydamageorendanger the intellectualpropertyof IPEGlobal,or IPEGlobal’s title to it toassistorallowothers todo so.TheConsultant shallhandoverallMaterials to IPEGlobaland shalldesistfrom use, reproduce, publish, telecast, sub-license through any media the informationgathered/producedfromthisservice.
12.2 AllMaterialsshallbetheexclusivepropertyofIPEGlobalandUSAIDwhoshallretainandownallcopyright, patent, trade secret, trademark and any other intellectual property right on theMaterials. The Service Provider hereby assigns IPE Global and USAID all moral rights in theMaterials.

12.3 The Consultant shall procure any third-party rights in respect to Materials that it requires toexecutethisAgreement.
12.4 TheConsultant furtheracknowledges that, in thecourseofperformanceof theAgreement, theConsultantmayusepre-existingproducts,materialsandmethodologiesproprietarytoConsultant,hereinafter collectively referred to as “PRE-EXISTING WORKS”. To the extent the Consultantprovides any Pre-existing Works hereunder, the Consultant hereby grants to IPE Global, anonexclusive,worldwide,perpetual,irrevocablepaid-uplicensetousesuchPre-existingWorksinanymediumandtograntotherstherightsgrantedtherein.
12.5 The Consultant warrants that none of the Services, Including the Materials, will infringe theintellectualpropertyrightofanythirdparty.
12.6 TheConsultantshouldnotatanytimeduringorafterthecontractdivulgeorallowtobedivulgedtoanypersonconfidential informationrelatedtothebusinessof IPEGlobalotherthantothosepersonswhohavesignedasecrecyagreementundertakinginaformapprovedbyIPEGlobal.TheyshallnotpermitanypersontoassistintheprovisionoftheservicesofthisAgreementunlessthatpersonhassignedsuchanundertaking.
12.7 The Consultant or the Consultant’s Personnel shall not publish, disclose or divulge any of theMaterialsproducedunderthisAgreementtoanythirdpartyunlessdirectedinwritingtodosobyIPEGlobal.
12.8 IfIPEGlobalapprovesforsuchdisclosureasmentionedunderClause12.7ofthisAgreement,theConsultant shall ensure that anyMaterials producedbyor onbehalf of theConsultant shall bemarked with the following copyright notice " © IPE Global Limited Copyright ***year ofpublication***".
12.9 The USAID Standard Provision entitled “MARKING AND PUBLIC COMMUNICATIONS UNDERUSAID-FUNDED ASSISTANCE (DECEMBER 2014)” applies to this Contract. The Consultant shallcomplywiththatclausebyobtainingallapprovalsandinstructionsfromIPEGlobal.
12.10 UndernocircumstancesshouldtheConsultantorConsultant'spersonnelinteractwithordiscloseanyinformationaboutthisContracttoorthroughanymedia,withoutpriorapprovalofIPEGlobal.AnyviolationofthisconditionshallamounttobreachofthisContract.However,ifpermitted,theConsultantshallgiveduecredittoIPEGlobalinsuchdisclosures.
13. PREVENTIONOFCORRUPTION
13.1 TheSub-ConsultantwillcomplywithIPEGlobalAnti-FraudandCorruptionpolicyStatement.
13.2 The Sub-consultant will not offer, give or agree to give, directly or indirectly, to IPE Global, itsemployees, agents, contractors, associates, partners or vendors anything of value to influenceimproperly theactionsof IPEGlobaloranyotherparty.TheSub-Consultantshallensure that itssub-contractors, ifany,areawareof,andwillcomplywith, IPEGlobalAnti-FraudandCorruptionpolicy. 14. CONFLICTOFINTEREST
14.1 TheSub-ConsultantwarrantsthatatthetimeofenteringintothisAgreement,theSub-ConsultantisnotawareofanypresentorfuturematterthatmaygiverisetoanyrealorperceivedconflictofinterestwiththisAgreementand/ortheProject.

14.2 TheSub-ConsultantshalluseitsreasonableendeavourstoensurethatnoconflictsofinterestariseinconnectionwiththisAgreementand/ortheProjectandshallmakeavailableto IPEGlobalanyinformationofwhichit isawareconcerninganymatterorassignmentundertakenbyanypersonconnectedwith the Sub-Consultant thatmay give rise to a real or perceived conflict of interestwiththisAgreementand/ortheProject.
14.3 TheSub-Consultantshallbeentitledtodetermine in itsabsolutediscretionwhetheraconflictofinterest real or perceived has or is likely to arise in connection with the Sub-Consultant’sappointmentunderthisAgreement. Accordinglywithoutprejudicetoanyotherrightorremedyavailable to IPE Global, IPE Globalmay terminate the Agreement in accordancewith Clause 10forthwithandwithoutaperiodofnotice.

15. INSURANCES
15.1 The Sub-Consultant shall take their ownpersonal insurance likeMedi-Claim Insurance, PersonalAccidental Insurance or any other insurance for all personnel deployed on this Project; TheInsurance of Consultants as deployed for this assignment shall be the responsibility of Sub –Consultant.
15.2 At the request of IPE Global, or its representatives, the Sub-Consultant is required to provideevidence showing that such insurance has been taken out and maintained and that currentpremiumshavebeenpaid.
16. INDEMINITY
16.1 Except where arising from the negligence of IPE Global or IPE Global's employees, the Sub-ConsultantshallindemnifyIPEGlobalinrespectofanycostsordamageshowsoeverarisingoutoforrelatedtobreachofwarrantyorrepresentation,contractorstatutoryduty,ortortiousactsoromissionsbytheSub-ConsultantortheSub-Consultant'sPersonneloranyclaimsmadeagainstIPEGlobalbythirdpartiesinrespectthereof.
17. CERTIFICATEREGARDINGTERRORISM
17.1 Consultant hereby certifies that it has not provided and will not provide material support orresourcestoanyindividualororganizationthatitknows,orhasreasontoknow,isanindividualororganizationthatadvocates,plans,sponsors,engagesin,orhasengagedinanactofterrorism.
18. FLOWDOWNOFCLIENTSPECIFIEDTERMSANDCONDITIONS
18.1 Thisagreementisenteredintoinconnectionwithanagreement(hereinafterreferredtoas“HeadContract”) between IPEGlobal and the Client. TheHead Contract requires that certain StandardProvisionsforNon-U.S.,NongovernmentalRecipientsflowdowntotheConsultant.Thefulltextoftheseclauses,copiesofwhichareavailableatUSAID’sInternetWebsite,orwhichcanbeprovidedto the Consultant by IPE Global upon request, are hereby incorporated in the Agreement, asindicated in the Table below (“MSP” = Mandatory Standard Provision; “RAA” = Required asApplicableStandardProvision):

18.2 TheConsultantconfirmsthatitshallberesponsibletotheClientand/ortoIPEGlobal(asthecasemaybe)onunqualifiedback-to-backbasisforcomplyingwithalltermsoftheHeadContractforthepart, which relates to the Consultant’s obligation for performance of Services under thisAgreement.
18.3 IPE Global, USAID/India, the U.S. Comptroller General or any of their duly authorizedrepresentativesshallhaveaccesstoanybooks,documents,papersandrecordsoftheConsultantwhich are directly related to this agreement for the purpose of making audits, examinations,excerptsandtranscriptions.TotheextentUSAIDregulationsareincorporatedhereinpursuanttothis section, tomake such clausesmeaningful Consultant shall be considered tobe "Contractor"andIPEGlobalshallbeconsidered"Government"or"USAID."Consultantshall,uponIPEGlobal’srequest, execute and deliver to IPE Global all representations, certificates and other documentsandtakeallsuchotheractionsthatmayberequiredbyprovisionsoftheapplicableUSAIDorotherU.S.procurementregulations.
19. DUTYOFCARE
19.1 TheSub-Consultantowesadutyofcare to theSub-Consultant’sPersonneland is responsible forthehealth, safety, securityof lifeandpropertyandgeneralwell-beingof suchpersonsand theirpropertyandthisincludeswheretheSub-Consultant’sPersonnelcarryouttheServices.
19.2 TheSub-ConsultantwarrantsthatithasandwillthroughoutthedurationoftheContract:-
(a) carryouttheappropriateriskassessmentwithregardtoitsdeliveryoftheServices;-
(b) providetheSub-Consultant’sPersonnelwithadequate information, instruction, trainingandsupervision;
(c) haveappropriateemergencyproceduresinplace
to enable their provision of the Services so as to prevent damage to the Sub-Consultant’sPersonnel’shealth,safety,securityoflifeandpropertyandgeneralwell-being.
19.3 Theprovisionof informationof anykindwhatsoeverby IPEGlobal and/or theClient to theSub-ConsultantshallnotinanyrespectrelievetheSub-ConsultantfromresponsibilityforitsobligationsunderthisClause19.ThepositiveevaluationoftheSub-Consultant’sproposalfortheprovisionofthe Services and the award of this Contract is not an endorsement by IPE Global of anyarrangements which the Sub-Consultant has made for the health, safety, security of life andproperty and well-being of the Sub-Consultant’s Personnel in relation to the provision of theServices.

19.4 TheSub-Consultantacknowledgesthat the IPEGlobalandtheClientacceptsnoresponsibility forthe health, safety, security of life and property and general well-being of the Sub-Consultant’sPersonnel with regard to the Sub-Consultant’s Personnel carrying out the Services under thisContract.
19.5 TheSub-ConsultantshallindemnifyandkeepindemnifiedIPEGlobalandtheClientinrespectof:
(a) any loss, damage or claim, howsoever arising out of, or relating to any act, omission ornegligence by the Sub-Consultant, the Sub-Consultant’s Personnel in connection with theperformanceoftheContract;
(b) anyclaim,howsoeverarising,bytheSub-Consultant’sPersonneloranypersonemployedorotherwise engaged by the Sub-Consultant’s, in connection with the performance of theContract.
19.6 TheSub-Consultantwillensure that such insurancearrangementsasaremade tocover theSub-Consultant’sPersonnel,oranypersonemployedorotherwiseengagedbytheSub-Consultant,andpursuanttotheSub-Consultant’sdutyofcareasreferredtointhisClause17,arereasonableandprudent inallcircumstances, including inrespectofdeath, injuryordisablement,andemergencymedicalexpenses.
20. OTHERCONDITIONS
20.1 Invoicemustcontainnameandaddressandsuchotherparticularsasgivenintheformat.
20.2 Sub-Consultantwhere the context requireswould alsomean Sub-Consultant’s Personnel as perAnnexureII.
20.3 Words importingonegender includetheothergenderandwords importingthesingular includethepluralandviceversa.
20.4 Notwithstandingthis,intheeventoftheProjectforwhichtheSub-Consultantisbeingemployed,comestoanendbeforetheaforementionedperiod,thisAgreementshallbeco-terminuswiththeaforementionedProject.
20.5 The Sub-Consultant will be responsible for compliance with all laws and regulations of theGovernmentofIndia.IPEGlobaldoesnotassumeanyliabilityforthirdpartyclaimsarisingoutoftheagreementorforanytaxeslikeIncomeTax,ServiceTax,VAT,etc.orbywhatevernamecalledinthecountryoftheSub-Consultantorelsewhere.
20.6 IPEGlobalmayvaryorrescindanypoliciesand/orproceduresfromtimetotime, in itsabsolutediscretion. Not complying with IPE Global policies and/or procedures can lead to disciplinaryaction.
20.7 Withholdingtaxes,ifapplicableshallbedeductedfromfeespayableunderthisagreement.
20.8 NothingcontainedhereinshallbeconstruedasestablishingarelationofmasterandservantorofprincipalandagentasbetweenIPEGlobalandtheSub-consultant.

20.9 ThisAgreementbeingbetweenIPEGlobalandSub-Consultant,Sub-Consultantwillnotdirectlyorindirectly deal or interact with Client or any agency/party associated with this Project in anymanner. Sub-Consultant may interact on technical matters with Client/user as per the projectprotocolwithpriorapprovalof theProjectManager.ThisAgreement isbetween IPEGlobalandtheSub-ConsultantandshouldnotbedeemedtohaveanycontractualorotherwiserelationshipwiththeClient.
20.10 ItisclarifiedthatSub-Consultantwouldnotbeentitledtoanyindirect,special,punitive,incidentalorconsequentialdamagesofwhatsoevernature.
20.11 This Agreement constitutes the entire agreement between the Parties in respect of the Sub-Consultant’s obligations and supersedes all previous communications (whether written or oral)betweentheParties.
20.12 Bothpartiestothiscontractwillmakeeveryattempttoresolveinanamicablewayalldifferenceconcerning the interpretation of this contract and the execution of the work. Any dispute ordisagreement which cannot be resolved by both parties and any controversy claim or disputeotherwise arising in connection with this contract or breach thereof, shall be referred to anArbitratortobeappointedinaccordancewithandsubjecttotheprovisionsoftheArbitrationandConciliationAct,1996ofIndiaandrulesmadethereunderasamendedfromtimetotimeandthedecisionoftheArbitratorshallbefinalandbindinguponbothparties.PlaceofarbitrationshallbeNewDelhi,India.ThecourtsofIndiashallhavejurisdictiononthisAgreement.
20.13 TheSub-ConsultantwillconfirmacceptanceofthetermsandConditionsofthiscontractbysigningandreturningacopytoIPEwithinaperiodof07workingdays.
