2. Bespreking en goedkeuring van de jaarrekening afgesloten op 31 december 2010.
Voorstel tot besluit: Goedkeuring van de jaarrekening afgesloten op 31 december 2010.
3. Bestemming van het resultaat van het boekjaar afgesloten op 31 december 2010.
Voorstel tot besluit: Goedkeuring van de resultaatverwerking zoals opgenomen in de jaarrekening inclusief een brutodividend van 0,44 euro per aandeel.
4. Mededeling van de geconsolideerde jaarrekening en de geconsolideerde verslagen.

6. Kennisname inzake de bezoldiging van niet-uitvoerende bestuurders.
De aandeelhouders nemen kennis dat de jaarlijkse vergoedingen voor de niet uitvoerende bestuurders, zoals deze in de algemene vergaderingen van 4 oktober 2007 en 10 mei 2010 door de aandeelhouders werden goedgekeurd, voor het jaar 2011 ongewijzigd blijven.

Op advies van het benoemings- en remuneratiecomité stelt de raad van bestuur voor om de heer Gerardus VAN JEVEREN, wonende te 3062 CE Rotterdam (Nederland), Kralingseweg 181, te herbenoemen tot uitvoerende bestuurder voor een periode van 4 jaar.
Voorstel tot besluit: De algemene vergadering herbenoemt voor een periode van 4 jaar de heer Gerardus VAN JEVEREN, wonende te 3062 CE Rotterdam (Nederland), Kralingseweg 181 tot uitvoerend bestuurder. De opdracht van de heer Gerardus VAN JEVEREN zal eindigen onmiddellijk na de jaarvergadering van het jaar 2015.

Corporate Governance Charter
Op 4 oktober 2007 heeft de Raad van Bestuur van Arseus het Corporate Governance Charter goedgekeurd. Bijgewerkte versies zijn op 24 april 2008, 23 maart 2010 en 27 oktober 2010 door de Raad van Bestuur goedgekeurd.
Arseus is van mening dat ze voldoet aan alle principes en bepalingen uit de Belgische Corporate Governance Code 2009, behalve voor twee uitzonderingen:
1. Er werd geen onafhankelijke interne auditfunctie opgericht.
2. Aandeelhouders die, individueel of gezamenlijk, minstens 20% van het kapitaal vertegenwoordigen, kunnen onderwerpen voorstellen voor de agenda van de Algemene Vergadering. De Belgische Corporate Governance Code 2009 huldigt het principe dat dit met minstens 5% van het kapitaal mogelijk moet zijn.

11. Bespreking en goedkeuring om van de toepassing van de gespreide variabele remuneratie, zoals voorzien in artikel 520 ter van het Wetboek van Vennootschappen, af te zien en het huidige, op jaarlijkse targets gebaseerde bonussysteem van Arseus te behouden.
Op advies van het benoemings- en remuneratiecomité stelt de raad van bestuur voor van de toepassing van de gespreide variabele remuneratie, zoals voorzien in artikel 520 ter van het Wetboek van Vennootschappen, af te zien en het huidige, op jaarlijkse targets gebaseerde bonussysteem van Arseus te behouden.

12. Goedkeuring van bepalingen inzake controlewijziging in de financieringsdocumentatie van Arseus NV
Voorstel tot besluit: Overeenkomstig artikel 556 van het Wetboek van vennootschappen besluit de algemene vergadering om alle bepalingen goed te keuren dewelke rechten toekennen aan derden die een invloed hebben op het vermogen van Arseus NV, dan wel een schuld of een verplichting ten haren laste doen ontstaan, wanneer de uitoefening van deze rechten afhankelijk is van een openbaar bod op de aandelen van Arseus NV of van een wijziging van de controle die op haar wordt uitgeoefend, die voorzien zijn in de wijzigingsovereenkomst van 7 december 2010 met betrekking tot de wijziging en herformulering van de EURO 200,000,000 MulticurrencyRevolving Facility Agreement van 30 augustus 2007 (de "Kredietovereenkomst"), afgesloten tussen, onder meer, Arseus CapitalNV als Borrower en Guarantor, Arseus NV als Company, Borrower enGuarantor en ING Bank N.V. als Agent (de "Wijzigingsovereenkomst" en de Kredietovereenkomst, zoals gewijzigd, de "Gewijzigde Kredietovereenkomst"), met inbegrip van, maar niet beperkt tot clausule 2 van de Wijzigingsovereenkomst, samen met clausule 8.2 en paragraaf (c) van clausule 21.2 van de Gewijzigde Kredietovereenkomst.
