NOTICE OF MOTION

OF EMMANUEL VILLAGE RESIDENCE INC.

Emmanuel Village Residence Inc. (“EVR”) will make a Motion to the court on Monday,

September 26, 2016 at 10:00 a.m. or as soon after that time as the Motion can be heard at the court

house, 330 University Avenue, 8th Floor, Toronto, Ontario, M5G 1R7.

PROPOSED METHOD OF HEARING: The Motion is to be heard orally.

THE MOTION IS FOR:

1. An order approving the professional fees and disbursements of DLA Piper (Canada) LLP

and Madorin, Snyder LLP; and

2. Such further and other relief as to this Honourable Court may seem just.

THE GROUNDS FOR THE MOTION ARE:

Background

(a) EVR is the owner and operator of Emmanuel Village in Kitchener, Ontario.

Emmanuel Village is a retirement community that houses between 110 and 130

residents and employs approximately 50 individuals.

(b) On or about June 10, 2016, EVR commenced an application to appoint a receiver

for the limited purpose of completing a going concern sale of EVR’s business and

the assets, undertaking and property used in relation to the business, including all

proceeds thereof (collectively, the “Business”) to a purchaser who is licensed to

carry on the Business as a retirement home at the Commercial List in Toronto under

Court File No.: CV-16-11424-00CL (the “Toronto Application”).

(c) On or about June 10, 2016, the Attorney General of Ontario (the “AGO”)

commenced a civil forfeiture application in Kitchener, Ontario under Court File

No.: C-636-16 (the “Kitchener Application”) in respect of the property

municipally known as 1250 Weber Street East, Kitchener, Ontario, a portion of

which is owned by EVR (the “EVR Property”). Pursuant to the Kitchener

Application, the AGO sought and obtained a temporary preservation order under

the Civil Remedies Act that placed a “No Dealings” notation on title to the EVR

Property on an ex parte basis (the “Preservation Order”).

(d) The Preservation Order was subsequently amended by the Order of Justice Broad,

dated June 23, 2016, and extended to August 8, 2016 by the Order of Mr. Justice

Hainey on July 15, 2016.

(e) On June 24, 2016, EVR obtained an order appointing the Receiver in the Toronto

Application (the “Appointment Order”).

(f) On June 22, 2016, the Kitchener Application was transferred to Toronto by the

Order of Justice Newbould, and subsequently consolidated with the Toronto

Application by the Orders of Justice Conway in each of the Kitchener Application

and the Toronto Application to proceed as a single application on the Commercial

List.

(g) Pursuant to the Order of Justice Pattillo dated July 27, 2016, the parties obtained a

permanent preservation order under the Civil Remedies Act that continued the “No

Dealings” notation on title to the EVR Property.

(h) On or about Friday, August 12, 2016, EVR entered into the Sale Agreement with

the Purchaser. The Transaction was approved by the Order of Justice Hainey, dated

August 26, 2016.

(i) On or about September 6, 2016, Justice Newbould ordered that the Appointment

Order be amended to require the passing of accounts of EVR’s counsel, being DLA

Piper (Canada) LLP and Madorin, Snyder LLP, among other things.

(j) The fees and disbursements of DLA Piper (Canada) LLP and Madorin, Snyder LLP

are reasonable in the circumstances.

(k) Such further and other grounds as the lawyers may advise.

3. The following documentary evidence will be used at the hearing of the application:

(a) The affidavit of Bruce E. Darlington, sworn September 20, 2016;

(b) The affidavit of Tim McGowan, sworn September 19, 2016; and

(c) such further and other evidence as the lawyers may advise and this Honourable

Court may permit.

AFFIDAVIT OF BRUCE E. DARLINGTON (Sworn September , 2016)

I, BRUCE E. DARLINGTON, of the City of Toronto, in the Province of Ontario, MAKE

OATH AND SAY:

1. I am a partner of the law firm of DLA Piper (Canada) LLP, lawyers for Emmanuel Village

Residences Inc. Accordingly, I have personal knowledge of the matters to which I hereinafter

depose, save and except where I have been provided with information by others. In the latter

case, I have indicated the source of the information and I believe it to be true, unless I state

otherwise herein.

2. I was called to the bar of the Province of Ontario in 1985, and specialize in the practice of

insolvency law and banking law. My standard hourly rate is $650.00. I am identified on the

invoices as BYD.

3. Susan E. Friedman (SEF), litigation counsel for the Receiver in these proceedings, was

also called to the bar of the Province of Ontario in 1985, and specializes in the practice of

commercial litigation. Her standard hourly rate is $625.00.

4. Jennifer A. Whincup (JQW) was called to the bar of the Province of Ontario in 2011 and

practices in the area of commercial litigation. Her standard hourly rate is $400.00.

5. Rose Meffe (RXM) is a paralegal employed by DLA Piper (Canada) LLP who practices in

the area of insolvency and restructuring. Her standard hourly rate is $250.00.

6. Jacqueline Rotondi (JOR) is a student-at-law at DLA Piper (Canada) LLP. Her standard

hourly rate is $250.00.

7. Grace Latimer (GUL) is a student-at-law at DLA Piper (Canada) LLP. Her standard hourly

rate is $250.00.

8. Kelly Chapman (KZC) is a law clerk employed by DLA Piper (Canada) LLP who practices

in the area of real estate. Her standard hourly rate is $200.00.

9. Stephen Jaggers (SUJ) was a law clerk previously employed by DLA Piper (Canada) LLP

who practiced in the area of corporate and commercial law. His standard hourly rate was

$265.00.

10. Mackenzie Irwin (MQI) is a student-at-law at DLA Piper (Canada) LLP. Her standard

was issued on May 31, 2016 and covers fees and disbursements from May 17, 2016 to May 30,

2016. The fees itemized on the invoice total $13,095.00 (exclusive of taxes and disbursements).

The total amount of the invoice, including disbursements and HST, is $14,797.35

14. Attached as Exhibit “B” to my affidavit is a copy of invoice number 1637463. The invoice

was issued on June 30, 2016 and covers fees and disbursements from May 31, 2016 to June 29,


The total amount of the invoice, including disbursements and HST, is $68,464.67.

15. Attached as Exhibit “C” to my affidavit is a copy of invoice number 1644282. The invoice

was issued on July 29, 2016 and covers fees and disbursements from June 30, 2016 to July 28,


The total amount of the invoice, including disbursements and HST, is $78,086.81.

16. Attached as Exhibit “D” to my affidavit is a copy of invoice number 1650610. The invoice

was issued on August 31, 2016 and covers fees and disbursements from July 28, 2016 to August

30, 2016. The fees itemized on the invoice total $101,759.00 (exclusive of taxes and

disbursements). The total amount of the invoice, including disbursements and HST, is

$116,581.51.

17. The total of the fees of the attached invoices is $241,736.50 exclusive of taxes and

disbursements, and $277,930.34 inclusive of taxes and disbursements.

18. The average hourly rate of DLA Piper (Canada) LLP timekeepers on these invoices is

$460.36.

19. All of the time recorded on the Invoice and all of the disbursements were in fact incurred. I

believe that the Invoices are fair and reasonable in all of the circumstances.

20. To the best of my knowledge, the rates charged by DLA Piper (Canada) LLP throughout

the course of these proceedings are comparable to the rates charged by other law firms in the

Toronto market for the provision of similar services, and the rates charged by DLA Piper (Canada)

LLP for services rendered in similar proceedings.

21. I swear this affidavit in support of a motion for an order approving the fees and

disbursements of the Applicant’s counsel and for no other or improper purpose.

I, Tim McGowan, of the City of Waterloo, in the Province of Ontario, MAKE OATH AND

SAY:

1. I am a partner of the law firm of Madorin Snyder LLP, lawyers for the Applicant, Emmanuel

Village Residence Inc.. Accordingly, I have personal knowledge of the matters to which I

hereinafter depose, save and except where I have been provided with information by others. In

the latter case, I have indicated the source of the information and I believe it to be true, unless I

state otherwise herein.

2. I was called to the bar of the Province of Ontario in 1991, and specialize in the practice of

commercial and residential real estate, corporate law, wills and estate administration. My current

standard hourly rate is $325.00. My previous standard hourly rate was $320.00. I am identified

on the invoice as TJM.

3. Elizabeth Jeans is a law clerk who retired from Madorin Snyder LLP in August of 2016

who practiced in the area of real estate law. Her standard hourly rate was $130.00. She is

identified on the invoice as EJ.

4. Dawn Philips Brown is an associate who was called to the bar of the Province of Ontario

in 2009, and specializes in the practice of municipal and professional insurance litigation as well

as commercial litigation. Her current standard hourly rate is $230.00. Her previous hourly rate

was $220.00. She is identified on the invoice as DPB.

5. Ross Weber is an associate who was called to the bar of the Province of Ontario in 2015,

and practices in the area of corporate and commercial law and real estate. His current standard

hourly rate is $200.00. His previous hourly rate was $175.00. He is identified on the invoices as

REW.

6. Mary Anne Baldwin is a law clerk employed by Madorin Snyder LLP who practices in the

area of real estate law. Her standard hourly rate is $100.00. She is identified on the invoice as

MAB.

7. Kayla Schmitz is an assistant employed by Madorin Snyder LLP who practices in the area

of corporate law. Her standard hourly rate is $100.00. She is identified on the invoice as KS.

8. Michael Houle is a student-at-law employed by Madorin Snyder LLP. His standard hourly

rate is $150.00. He is identified on the invoice as MGH.

9. Attached as Exhibit “A” to my affidavit is a copy of invoice number 110896. The invoice

was issued on September 19, 2016 and covers fees and disbursements from February 12, 2016

to September 16, 2016. The fees itemized on the invoice total $99,740.00 (exclusive of taxes

and disbursements). The total amount of the invoice, including disbursements and HST, is

$115,757.84.

10. The average hourly rate of Madorin, Snyder LLP timekeepers on this invoice is $268.91.

11. All of the time recorded on the Invoice and all of the disbursements were in fact incurred.

I believe that the Invoices are fair and reasonable in all of the circumstances.

12. To the best of my knowledge, the rates charged by Madorin, Snyder LLP throughout the

course of these proceedings are comparable to the rates charged by other law firms in the

Kitchener market for the provision of similar services, and the rates charged by Madorin, Snyder

LLP for services rendered in similar proceedings.

13. I swear this affidavit in support of a motion for an order approving the fees and

disbursements of the Applicant’s counsel and for no other or improper purpose.

THIS MOTION made by Emmanuel Village Residence Inc. (“EVR”) for an order

approving the fees of counsel to EVR, being DLA Piper (Canada) LLP and Madorin,

Snyder LLP was heard this day at 330 University Avenue, Toronto, Ontario.

ON READING the Motion Record of Emmanuel Village Residence Inc. (“EVR”),

including the fee affidavits of Bruce Darlington and Tim McGowan, each sworn

September 19, 2016, and on hearing the submissions of counsel for the Company, the

Receiver, Plaintiffs in Court File No. CV-10-8597-00CL, and the Attorney General of

Ontario (“AGO”), no one appearing for any other person on the service list, although

properly served as appears from the affidavit of Jennifer Whincup sworn September 21,

2016 filed,

1. THIS COURT ORDERS that the time for service of the Notice of Motion and the

Motion is hereby abridged and validated so that this motion is properly returnable today

and hereby dispenses with further service thereof.

APPROVAL OF FEES

2. THIS COURT ORDERS that the fees and disbursements of DLA Piper (Canada)

LLP, in the amount of $241,736.50 exclusive of taxes and disbursements, and

$277,930.34 inclusive of taxes and disbursements for the period of May 17, 2016 to

August 30, 2016 as set out in the Affidavit of Bruce Darlington, sworn September 20,

2016, are hereby approved.

3. THIS COURT ORDERS that the fees and disbursements of Madorin, Snyder,

LLP, in the amount of $99,740.00 exclusive of taxes and disbursements and

$115,757.84 inclusive of taxes and disbursement for the period of February 12, 2016 to

September 16, 2016 as set out in the Affidavit of Tim McGowan, sworn September 20,

2016, are hereby approved.
