Subject: Installation and Commissioning of Secondary MPLS Links Dear Sir / Madam,

1. BPCL invites bids for Installation and Commissioning of Secondary MPLS Links for a period five

years. 2. You are invited to submit your offer in a three-part bid for the subject job as per the technical

specifications and on the terms & conditions contained in this tender document.

3. Please visit the website https://bpcleproc.in for participating in the tender and submitting

your bid online.

4. Bidders are required to submit their bids in three part bids consisting of the following, through this E-Tender.

a) Bid -Qualification Criteria (BQC) document (Part – I)

This should contain required Bid Qualification documents /details/relevant proof against each of the given Criteria.

b) Techno-Commercial Bid (Part – II) This should contain all technical details, Literature, Leaflets etc. confirmation of Commercial terms and conditions of the tender.

c) Price Bids (Part – III) This should contain Prices / Taxes against the bill of materials

5. First BQC bid document of bidders will be evaluated. Techno-commercial bids of only those bidders, who qualify the BQC criteria, will be evaluated further.

6. Commercial bids of only those bidders, who qualify the techno-commercial criterion, will be

opened and evaluated further.

7. It is necessary, for all the bidders to submit an EMD of Rs. 1 lakh by DD drawn on any scheduled Bank payable at Mumbai, in physical form in our office at the following address before due date and time failing which bids will not be considered for evaluation. EMD is exempted for MSE vendors and NSIC vendors subject to submission of the details of MSE Registration with Directorate of Industries or any other competent authorities and NSIC registration as applicable along with the technical bid. EMD of the successful bidder will be returned only after successful execution of job against the Outline agreement / Purchase Order and submission of PBG (if applicable)”

9. BPCL does not take any responsibility for any delay in submission of online bid due to connectivity

problem or non-availability of site and/or receipt of instrument i.e. DD and Integrity Pact to be submitted in physical form due to postal delay. No claims on this account shall be entertained.

General Instructions to Bidders for E-Tendering

a) Interested bidders may download the tender from BPCL website http://www.bharatpetroleum.in) or the CPP portal (http://eprocure.gov.in) or from the e‐tendering website (https://bpcleproc.in) and participate in the tender as per the instructions given therein, on or before the due date of the tender. The tender available on the BPCL website and the CPP portal can be downloaded for reading purpose only. For participation in the tender, please fill up the tender online on the e‐tender system. You can submit the bid only on https://bpcleproc.in. Prior to submission of bid, you need to register in the portal.

b) For registration on the e‐tender site https://bpcleproc.in, you can be guided by the

“Instructions to Bidders” available under the download section of the homepage of the website. As the first step, bidder shall have to click the “Register” link and fill in the requisite information in the “Bidder Registration Form”. Kindly remember your e‐mail id (which will also act as the login ID) and the password entered therein. Once you complete this process correctly, you shall get a system generated mail. Login in to the portal using your credentials. When you log in for the first time, system will ask you to add your Digital Signature. Once you have added the Digital Signature, please inform by mail to the bidder administrator [email protected] with a copy to [email protected] for approval. Once approved, bidders can login in to the system as and when required.

c) As a pre‐requisite for participation in the tender, bidders are required to obtain a valid Digital

Certificate of Class IIB and above (having both signing and encryption certificates) as per Indian IT Act from the licensed Certifying Authorities operating under the Root Certifying Authority of India (RCIA), Controller of Certifying Authorities (CCA). The cost of obtaining the digital certificate shall be borne by the bidder. In case any bidder so desires, he may contact our e‐procurement service provider M/s. EProcurement Technologies Ltd., Ahmedabad (Contact no. Tel: +91 79-40270573 | 6848 | 6844 | 6868 & Tel: +91 22 24176419 | 65354113 | 65595111) for obtaining the digital signature certificate.

d) Corrigendum/amendment, if any, shall be notified on the site https://bpcleproc.in. In case

any corrigendum/amendment is issued after the submission of the bid, then such bidders, who have submitted their bids, shall be intimated about the corrigendum/amendment by a system‐generated email. It shall be assumed that the information contained therein has been taken into account by the bidder. They have the choice of making changes if needed in their bid before the due date and time. Bidders are required to complete the following process online on or before the due date/time of closing of the tender:

e) Directions for submitting online offers, electronically, against e‐procurement tenders directly through internet:

• Bidders are advised to log on to the website (https://bpcleproc.in) and arrange to register

themselves at the earliest, if not done earlier. • The system time (IST) that will be displayed on e‐Procurement web page shall be the time

considered for determining the expiry of due date and time of the tender and no other time shall be taken into cognizance.

• Bidders are advised in their own interest to ensure that their bids are submitted in e‐

Procurement system well before the closing date and time of bid. If the bidder intends to change/revise the bid already submitted, they shall have to withdraw their bid already submitted, change / revise the bid and submit once again. In case bidder is not able to complete the submission of the changed/revised bid within due date & time, the system would consider it as no bid has been received from the bidder against the tender and consequently the bidder will be out from tendering process. The process of change / revise could be done any number of times till the due date and time of submission deadline. However, no bid can be modified after the bids submission deadline.

• Once the entire process of submission of online bid is complete, they will get an auto mail

from the system stating you have successfully submitted your bid in the following tender with tender details.

• Bids / Offers shall not be permitted in e‐procurement system after the due date / time of

tender. Hence, no bid can be submitted after the due date and time of submission has elapsed.

• No manual bids/offers along with electronic bids/offers shall be permitted.

f) For tenders whose estimated procurement value is more than Rs. 10 lakhs, bidders can see

the rates quoted by all the participating bidders once the price bids are opened. For this purpose, bidders shall have to log in to the portal under their user ID and password, click on the “dash board” link against that tender and choose the “Results” tab.

g) No responsibility will be taken by BPCL and/or the e-procurement service provider for any

delay due to connectivity and availability of website. They shall not have any liability to bidders for any interruption or delay in access to the site irrespective of the cause. It is advisable that bidders who are not well conversant with E-tendering procedures, start filling up the tenders much before the due date /time so that there is sufficient time available with him/her to acquaint with all the steps and seek help if they so require. Even for those who are conversant with this type of e‐tendering, it is suggested to complete all the activities ahead of time. It should be noted that the individual bid becomes viewable only after the opening of the bid on/after the due date and time. Please be reassured that your bid will be

viewable only to you and nobody else till the due date/ time of the tender opening. The non-availability of viewing before due date and time is true for e‐tendering service provider as well as BPCL officials.

Completeness of Response

a) Bidders are advised to study this RFP document carefully before submitting their proposals in response to this RFP. Submission of a proposal in response to this RFP shall be deemed to have been done after careful study and examination of this document with full understanding of its terms, conditions and implications.

b) A bid shall be considered Responsive only when the bidder’s response to this RFP is full

and complete in all respects including the compliance sheet.

c) Failure to furnish all the information required in this RFP or submission of a proposal not responsive to the RFP in all aspects will be at the Bidder's risk and may result in rejection of the bidder’s Proposal.

Modification and Withdrawal of Proposal

No proposal may be withdrawn in between the deadline for submission of proposals and the expiration of the validity period specified by the bidder on the proposal form. Entire EMD may be forfeited if any of the bidders withdraw their bid during the validity period.

Non-Conforming Proposals

A proposal may be construed as a non-conforming proposal and ineligible for consideration if it does not comply with the requirements of this RFP. Failure to comply with the technical requirements, and non-acknowledgment of receipt of amendments, are common causes for holding proposals non-conforming.

Right to Modify Submission Deadline

BPCL may, at its discretion, extend the deadline for submission of proposals by issuing a corrigendum or by intimating all bidders who have been provided the proposal documents, in writing or by facsimile, in which case all rights and obligations of this RFP and the bidders previously subject to the original deadline will thereafter be subject to the deadline as extended.

Right to Terminate the Process

BPCL may terminate the RFP process at any time and without assigning any reason. BPCL makes no commitments, express or implied, that this process will result in a business transaction with anyone.

This RFP does not constitute an offer by BPCL. The bidder's participation in this process may result in BPCL selecting the bidder to engage in further discussions and negotiations toward execution of agreement. The commencement of such negotiations does not, however, signify a commitment by BPCL to execute agreement or to continue negotiations. BPCL may terminate negotiations at any time without assigning any reason.

Disqualification

The bid is liable to be disqualified in the following cases or in case bidder fails to meet the bidding requirements as indicated in this RFP:

a) Proposal not submitted in accordance with the procedure and formats prescribed in this document or treated as non-conforming proposal.

b) The bidder qualifies the bid with his own conditions

c) Bid is received in incomplete form

d) Bid is not accompanied by all the requisite documents like EMD, Integrity Pact etc. before due date and time. In case EMD exemption MSE/NSIC certificate to be submitted.

e) Information submitted in technical bid is found to be misrepresented, incorrect or false, accidentally, unwittingly or otherwise, at any time during the processing of the agreement (no matter at what stage) or during the tenure of the agreement including the extension period if any

f) Commercial proposal is uploaded as part of technical proposal. Bidder tries to influence the proposal evaluation process by unlawful/corrupt/fraudulent means at any point of time during the bid process.

Integrity Pact (IP)

• Pro forma of Integrity Pact as per attached Annexure-1 shall be uploaded by the Bidder/s along with the technical bid documents, duly signed and stamped by the authorized signatory. All the pages of the Integrity Pact shall be duly signed and witnessed. Bidder's failure to upload the IP duly signed along with the bid documents shall result in the bid not being considered for further evaluation. • If the Bidder has been disqualified from the tender process prior to the award of the contract in accordance with the provisions of the Integrity Pact, BPCL shall be entitled to demand and recover from Bidder Liquidated Damages amount by forfeiting the EMD/Bid Security as per provisions of the Integrity Pact. • If the contract has been terminated according to the provisions of the Integrity Pact, or if BPCL is entitled to terminate the contract according to the provisions of the Integrity Pact, BPCL shall be entitled to demand and recover from Contractor Liquidated Damages amount by forfeiting the Security Deposit/ Performance Bank Guarantee as per provisions of the Integrity Pact. • Bidders may raise disputes/complaints if any, with the nominated Independent External Monitor.

Background

Bharat Petroleum Corporation Limited implemented MPLS links from M/s. BSNL to provide network connectivity at 181 locations to carryout business operations during the year 2008-09 with last mile on OFC / Copper. To ensure the availability of robust Network connectivity with improved performance and manageability, Secondary MPLS connectivity was commissioned during the year 2013 through M/s. Tata Communications Limited (TCL) at 151 locations on competitive basis with last mile on Wireless (RF) at locations and OFC at IDC Data Center. The bandwidth at locations varied from 128 Kbps onwards. The existing contract of Secondary MPLS link with M/s. TCL is available up to March 2018.

In order to continue to meet the growing need of digital transaction on 24 X 7 basis, Secondary MPLS Link at Location is necessary even beyond March 2018. Keeping current dependency of business transactions on Network, 2 Mbps of minimum bandwidth capacity shall be provided at locations. However, based on locations’ need and bandwidth availability with Internet Service Provider (ISP), higher capacity of Bandwidth will be taken on need basis. It is also estimated that bandwidth requirements will grow at 10% per annum due to additional applications / business requirements / new Locations etc. during the contract period. In view of the above, a separate contract for 5 years period is required to be finalized for “Installation and Commissioning of Secondary MPLS Links at BPCL Locations”

Scope of Work (SOW)

I. Technical Specifications

The Bidder, hereby referred as Internet Service Provider (ISP), should ensure to comply the following:

I.A Commissioning of Links at Locations and Data Centers

1. Location Links: In MPLS solution, all the Locations get connected to Data Centers (CDC at Sewree - Mumbai and IDC at Greater Noida – Uttar Pradesh). Accordingly, additional Bandwidth has to be provided by ISP at each Data Center for accommodating all the traffic from the Locations. Therefore, ISP has to ensure that they are in a position to provide Link of required Bandwidth at each Data Center as follows: a. For each successful ISP, the Data Center Bandwidth (backhaul link)

should be minimum 30% of total Bandwidth of awarded Locations

together or 20 Mbps, whichever is higher at each Data Center.

b. The cost of providing MPLS Links at Data Centers (DCs) has to be

factored in along with MPLS Links at Locations. Hence, BPCL will not

pay any ARC or OTC for backhaul Links at DCs till the end of the

contract period.

c. The Backhaul as well as the last mile should not be taken from BSNL /

MTNL as BPCL requires redundancy at ISP level. BSNL / MTNL are

primary Service Provider for BPCL.

2. DC Links: BPCL will take separate Link at CDC and IDC for replication purpose with additional cost. This Bandwidth will not be the part of Locations aggregated Bandwidth (20 MB or 30% of total Locations bandwidth). These Links should not be taken from MTNL / BSNL / Sify as BPCL requires total redundancy of Link at DCs (CDC and IDC).

3. Connectivity has to be Layer 3 MPLS solution on dedicated ports with a 1:1 Committed Information Rate (CIR) with endpoint Ethernet Hand out.

4. The link should be available in full duplex mode with sending and receiving available on same Link. For example, on a 2 Mbps link, 2 Mbps sending and 2 Mbps receiving should be possible simultaneously.

5. ISP will have to enable multicast on its network and show it working during commissioning of the Link. Further details of Multicast criteria will be given to the successful ISP at the time of implementation of Links.

6. ISP should provide last mile on OFC (for both DC Links & backhaul for Location Links) with self-healing ring based architecture with MUX termination in Telecom room at BPCL Data Centers (CDC - Sewree and IDC - Greater Noida). BPCL will provide the space and UPS power supply to the MUX. BPCL will make arrangement for extending the last mile connectivity for the Link from the Telecom Room of the Data Centers (DCs) to the network racks of BPCL.

7. ISP should provide the last mile connectivity at the Location (other than DC Links) on Copper / Fiber. In case last mile on Copper / Fiber is not feasible / available, ISP may provide the Link on RF on approval from BPCL.

8. Building permission will be provided by BPCL. In case of RF, acceptance of RF may depend on landlord’s permission at some Locations. ISP has to ensure the following:

1.1 RF Tower should be as per Annexure–IV (Scope of the RF Tower)

1.2 The ISP will ascertain that there is no interference in the RF channel provided to BPCL by other Radio devices in the neighborhood. In case the channel provided has interference or permission is not available at the Location to use un-licensed RF channel, then the ISP will apply and make available a licensed channel and compatible Radio modems at its own cost. BPCL will not bear any extra cost towards the same.

9. ISP will provide the drawings and design of all MAST and Tower foundation before starting the erection of MAST / Tower at the Location. RF Tower installation should be as per standard given in Annexure-IVA.

10. In case of termination of Link at Location, ISP should dismantle and remove the RF Tower (without any cost to BPCL) within 4 weeks from the date of receiving of termination letter. If ISP fails to remove Tower within 4 weeks, it will become BPCL’s property.

11. At the end of the contract period, the RF Tower shall become BPCL’s property.

12. ISP shall demonstrate the ping response (with an ICMP protocol) packet size of 1024 Bytes at the time of commissioning. The packet drop should not be more than 2 in 1000 (Thousand). In case drop is more than 2 (out of 1000), respective Link of the Location shall be treated as Incomplete commissioning.

13. ISP should support at least three class of QoS on MPLS backbone with following parameters:

ISP should provide Bandwidth Quality of Service (QoS) at each Location as required by BPCL in Annexure-I.

14. ISP shall do complete site survey for feasibility and positioning of terminating equipment before submitting the quote for any Location. ISP shall confirm that they have quoted only for confirmed feasible Links at Locations.

15. At all Locations, entire equipment, required for providing the MPLS connectivity (till the router), will have to be Supplied, Installed and maintained (throughout the entire contract period) by ISP and shall remain their property during the contract period.

16. All Network devices and their internal components provided at BPCL Locations should be new and original.

17. External cabling should be routed through flexi pipe and underground within BPCL premises.

18. BPCL being a company, handling inflammable product, vendor must ensure that it will use product that are intrinsically safe and are approved for use in these Locations. It must adhere to BPCL safety / earthing standards, which will be provided at the time of commissioning of the Link at Location.

19. Before installation of any equipment, ISP should verify that the power connections, provided by BPCL, are as per standard required for equipment. BPCL will not pay any equipment damage charges in case equipment fails during installation of equipment.

20. In case of any delay in commissioning of Link due to reasons attributable to BPCL, ISP should bring such cases to the notice of BPCL and submit the reasons for the cause of delay to BPCL along with Link commissioning report. If reason for delay is found be to be satisfactory, grace period may be granted for calculation of penalty.

21. ISP should have capability to run IPV6 on MPLS VPN links. Upgrade to IPV6, if required, will have to be done by the ISP without any additional cost to BPCL.

22. ISP should ensure that MPLS network is fully isolated from Internet traffic, even if it is running on the same core / backbone. It is desired that same Provider’s Equipment (PE) Router does not run both customer MPLS traffic and Internet traffic. The MPLS network offered to BPCL should not carry any internet routes.

23. ISP should ensure to create separate VPN for BPCL network exclusively and in no way the VPN should be shared with other customers sharing

the MPLS backbone. BPCL MPLS Network must be accessible to BPCL networks only.

24. The MPLS network should be capable of running Voice, Video and Data.

25. The LAN IP addresses currently being used in BPCL, where MPLS connectivity is proposed, shall continue and retained by BPCL. ISP should ensure that they configure MPLS Links in such a way that there is no change in the LAN IP schema being used by BPCL.

26. ISP should ensure that the MPLS Link is configured properly as per BPCL’s requirement, which will be provided during the Link configuration, in co-ordination with BPCL’s Network team.

27. The ISP should ensure that major security features against attacks as mentioned below are implemented in their network:

Protection against all kinds of attacks including DDOS attacks, SYN

attacks etc.

Protection against all kinds of spoofing like VPN spoofing / IP

spoofing etc.

28. BPCL is using IPSEC VPN in its existing network. There should not be any dependency from ISP on this implementation while integrating their MPLS network. Further, there should not be any dependency on the ISP if BPCL decides to implement other VPN variants like GETVPN, DMVPN or any such technology.

29. There should not be any dependency on running open standard routing protocols like BGP, OSPF & Static Routes etc. between BPCL’s Locations and PE Routers of the ISP.

30. ISP should provide the MPLS Links to BPCL that must be on any to any route topology i.e., All of BPCL’s Locations should be reachable to each other through MPLS network of the ISP and without touching to BPCL’s Data Centers.

31. ISP shall confirm in writing that all the POPs from where the MPLS bandwidth is provided to BPCL shall have redundancy of equipment, Links, power, backhaul connectivity etc.

32. ISP shall have independent Network Operation Centre with 24x7 support to take care of the complete MPLS Network management requirements.

33. The Core MPLS backbone of ISP covering at least all the Metros in India should be fully meshed. In addition to the Core, the other part of MPLS backbone of the ISP covering all their PoPs, should have minimum mesh for full redundancy. The ISP should have minimum of 10Gbps Core MPLS bandwidth. Backend Network Diagram / Architecture shall be provided by ISP along with the Bid.

34. ISP should support / provide inter-Autonomous System override feature in their network.

35. ISP shall be responsible to liaison with government agencies or other departments for obtaining any licenses, approvals etc., which may be required during the contract period at their own cost.

36. ISP should terminate Link up to BPCL router (on Ethernet port of Router). ISP should provide required Ethernet cable from modem to router. All cables should be factory crimped.

I.B Link Upgrade / Link Surrender / New Links in Future

1. Upgrade: Based on BPCL’s requirement, Bandwidth capacity at Locations / Data Centers shall be upgraded with equivalent to the existing capacity as per the rate given in Annexure-VIA. The delivery time for Bandwidth upgrade should be as per the “Upgrade of the Bandwidth” under “Delivery Schedule”.

2. Surrendering of Links: BPCL reserves the right to surrender the links due to below administrative reasons by giving notice period of 30 days in advance:

Closing of operation at site,

Shifting of Location operation.

3. Non-functioning of Links: After commissioning of Link, in case the Link becomes non-functional due to LOS (Line of Sight) issues, Infrastructure issues etc., ISP has to make all the necessary arrangements immediately to restore the Link. In case it is not possible to restore the link within 4 weeks, the Links should be provided on an alternate media in consultation with BPCL without any additional cost to BPCL. In case ISP is not able to provide the Link at that Location, then the Link will be treated as defunct. Payment will not be made for the balance period of contract for that Link.

4. Commissioning of Links at New Locations: BPCL may setup its operations at new Locations in future. The addresses of such Locations are not known at this time. The delivery time for new Link commissioning should be as per the “Commissioning of new Links” under “Delivery Schedule”. It is required that the cost of providing different bandwidths for new Link should be quoted as part of the RFP. The prices quoted for the same shall be valid for entire contract period.

5. Reallocation of Links: BPCL will inform ISP to shift RF tower from existing place to another place at the same location based on business requirement. In this case, OTC shall be paid to ISP on account of shifting the RF Infrastructure and commissioning at new place. SLA for this job shall be in line with the “Commissioning of new Links” under “Delivery Schedule” and appropriate penalty shall be charged in case of any delay in completion of shifting and commissioning of the Link.

I.C MPLS Network Integration support

1. ISP shall provide technical help to BPCL in integrating the MPLS to BPCL's existing Network. Configuration of the Customer End (CE) router will be done by BPCL.

2. ISP shall provide qualified and experienced network Engineer (5+ years of experience), well versed in similar projects / MPLS Technology during working hours on all working days, who shall manage and coordinate the project implementation and monitoring thereof till the complete rollout of the project.

3. The proposed connectivity will be used for load balancing / sharing / Unified Communications traffic depending upon the convenience of BPCL.

4. ISP shall help BPCL team to design and architect IP addressing schema of BPCL.

I.D Network Monitoring

1. ISP should provide portal to BPCL, which can be used to monitor the SLA parameters. BPCL should also be able to obtain standard reports on the MPLS links like Bandwidth usage, availability of Links etc. through the portal or through any network monitoring tool provided by ISP for all the Links provided.

2. ISP shall keep technically competent resources (from 8.00am to 8.00pm on all days other than Sunday) at BPCL premises (Sewree, Mumbai) to monitor and maintain MPLS Links availability during the entire contract period. ISP should ensure to comply with labor laws during the contract period.

3. ISP must ensure the monitoring of Links from its own NOC for prompt resolution of Link problems.

4. The downtime report generated in BPCL provided software will be final. ISP can look at the processes and the reports on a regular basis. However, BPCL may, in exceptional cases, use the downtime report of ISP, if it meets BPCL requirement.

I.E Security Consideration and auditing

1. The ISP shall treat the network information provided in this document as confidential.

2. The ISP shall take precautions to ensure that sensitive details of the network are protected and not disclosed to anybody without prior approval of BPCL.

3. ISP shall ensure that Networking Equipment’s used in their backbone do comply with the policies laid down by Government of India, Department of Telecommunications and should not have any spyware or malware built into it.

4. BPCL shall have the right to visit ISP’s Network Operations Center, with prior appointment to review / discuss issues related to services rendered to BPCL.

I.F Support and Reporting

1. ISP should have Service support centers in at least 100 major cities / Locations in India. The list of support centers containing Office Address, telephone nos., contact person’s name etc. should be submitted to BPCL. ISP shall also provide the escalation matrix.

2. ISP shall provide 24x7 support for all links for maintaining and integrating the network.

3. ISP should furnish details of Toll Free number (reachable from BSNL / MTNL Landline phones) / Portal access for logging complaints.

4. ISP network should be backed by availability of Service Centers / Service personnel across India to attend and resolve faults at the Locations / Data Centers as per SLA.

5. ISP shall setup remote management and generate reports from NOC. Online report portal access needs to be provided to BPCL to check the network utilization latency any time for any link

6. ISP shall ensure the availability of the required hardware, software, manpower and other facilities required to manage and monitor the agreed SLA terms. BPCL will provide SNMP access of the router on which Link is terminated.

7. ISP shall monitor and manage all links for strict compliance with SLA, QoS and security requirements. BPCL will provide IP SLA on routers wherever possible. Wherever IP SLA is not possible, latency monitoring will be done from the DCs router for such Locations. SNMP read only access will be provided for bandwidth monitoring. ISP shall submit these reports.

8. ISP shall ensure to submit following reports: i) Interface Availability: It should show interface availability report

for daily, weekly, monthly or custom period basis to measure device level and network level availability and ensure that SLA specifications are being met.

ii) Interface Traffic statistics: It should show Graphs & reports of interface traffic and utilization statistics to analyse network usage and plan for additional capacity.

iii) Interface Response time monitoring: It should measure network latency and alert when thresholds are violated by identifying degradations early to ensure optimal VPN performance for end-users.

iv) Interface errors: It should monitor errors and discards on each interface to quickly identify faulty interface and take corrective action.

v) NMS-MIS reports on bandwidth and link utilization, response times of link application, uptime, downtime reports and configuration updates if any, number of connectivity in the cloud, addition and deletion of the connections should be submitted on monthly basis or whenever required by BPCL without any errors.

vi) Real time and Historical web based reports and web based monitoring through portal should be provided to BPCL.

vii) Provide access to BPCL for online problem ticketing. Also provide report to give details of time taken to resolve issue with the link.

viii) Any other, please specify.

I.G Delivery Schedule ISP shall ensure to obtain entire approval / permits, which are necessary to commission the Link at the Location. The entire duration to carry out Delivery, Installation and Commissioning of MPLS Links should be as per time line mentioned below from the data of Purchase Order:

PM of existing RF Tower infrastructure shall be carried out by ISP before the acceptance of the Links. Also, PM should be carried out in subsequent years within one month from the starting of each year. The cost of PM for subsequent year has to be factored in the ARC and BPCL shall not pay separately. PM Report should be submitted to BPCL within a month after performing PM. Failure to complete (submission of report on PM) the PM will attract penalty as per Penalty terms.

5. ISP has to sign SLA before the release of 1st Payment.

6. Technical document shall be submitted by ISP within 2 months from the commissioning of the Links. Failing which further processing of invoices shall be stopped.

Pre-Qualification Criteria Instructions to the Bidder The bidder must ensure that copies of documentary proofs are uploaded under “other Document” for all the qualification criteria mentioned below. The originals must be produced on request. Submission of authentic documents is the prime responsibility of the bidder. Wherever we have concern or apprehension regarding the authenticity/correctness of any document, we reserve the rights of getting the document cross verified from the document issuing authority. Bid Qualification Criteria The following Bid Qualification Criteria (BQC) has been proposed for short listing the Bidder through Press Tender. The Bidder needs to qualify each of these BQC to get considered for next stage of evaluation (e.g. Technical and Commercial Evaluation). Criteria: 1 (Establishment details of Bidder) a. Bidder should be registered as a company in India as per Company Act 1956. b. Bidder should have a registered office in India with a valid Service Tax Registration / GST

Registration. c. Bidder should be in operation for a period of at least 5 years as on date of RFP. Documents Required from the Bidder a. Certificate of Incorporation and Memorandum & Articles of Association, b. Services Tax / GST Registration Certification. c. Declaration (self-attested) on business operations or references from client(s) for whom

services were rendered during last 5 years. Explanatory Note This is to ensure that the bidder has at least 5 years of presence in Network Industry in India as on the RFP date. Criteria: 2 (Presence / Experience in Required Domain / Past Performance) a. Bidder should have experience of having successfully carried out and completed similar

MPLS project with at least 200 MPLS Sites spread across India for a single customer during

b. Bidder should have at least 10,000 Kilometer of its own underground OFC laid across the country. The MPLS backbone should be on Fiber.

c. Bidder should have at least 100 PoPs spread across India of their own and connected to their own backbone (owned by them or on a long lease with Service Provider having NLD licenses).

d. Bidder should have at least two PoPs with Tier3 level infrastructure in at least 4 major cities like Mumbai, Bangalore, Delhi, Kolkata & Chennai.

e. All Service provider PoPs should be of carrier grade and built with carrier grade routers. f. Bidder should ensure that the circuits provided to BPCL ride preferably on their own

network. The provision for the last mile should be from other than through BSNL / MTNL lines, since BPCL is already using BSNL / MTNL MPLS as primary network and BPCL requires total redundancy at Service Provider level for its secondary MPLS network and a declaration should be furnished by the provider.

g. Bidder should be capable of providing Layer 3 MPLS VPN through wired or wireless (last mile on VSAT, 3G / 4G is not acceptable) links.

h. Bidder should be capable of providing high bandwidth (at least double the capacity of initial establishment) on demand at BPCL’s Data Centers (i.e. Corporate Data Center, Sewree and Integrated Data Center, Greater Noida) and other locations as required by BPCL.

i. Bidder should ensure to submit certificate certifying the Security of Network Infrastructure in case link is delivered through Wireless.

j. Bidder should have provided at least 5000 MPLS VPN circuits / Leased lines to customer like Public Sector Banks / Private Sector Banks / Financial institutes etc.

k. Bidder should provide three references (including referee names & contact details) in respect of major projects which includes MPLS project with at least 100 locations of similar type, as requested by BPCL, completed in the last 3 years by the bidder.

l. Satisfactory Services Certificate from at least 3 clients (should be current and valid). m. The MPLS architecture should be able to support IPv6. n. Bidder should have Service support centers managed by own staff / contracted staff in at

least 100 major cities / locations in India. The list of support centers containing Office Address, Telephone nos., contact person etc. should be submitted

o. The Service provider should be an End-to-End Integrated telecom player for voice, data, video capability.

p. The Network Operating Center should be in existence for minimum 3 years with 24x7 support. It should be managed by a minimum of 50 Certified Network Engineers.

q. Bidder should have redundant Network Operating Center. r. Bidder should have :

professional services support certification for all the network equipment provided by the service provider from the respective equipment vendor

Explanatory Note This is to ensure that the bidder has capacity to execute the contract of this size and meet our peak resource requirements. Criteria: 3 (Blacklist / Holiday list) Bidder should not be currently (or during last five years) blacklisted or put into a Holiday List by any State/Central Government/Public Sector Undertakings (PSU) as on the bid submission date. Documents Required from the Bidder A certificate from the authorized signatory/company secretary of the bidder that the bidder has not been blacklisted or Put on Holiday List by any Central/State Government/ PSUs during last 5 years from RFP date. Explanatory Note This is to ensure that the bidders have good track record to deliver and meet the contractual obligations. Criteria: 4 (Financial Standing) a. Bidder should have had an average annual turnover of Rs. 3.0 Crores or more during the

last three financial years as evidenced by the audited accounts of the company / division b. Bidder should have positive net worth (measured as paid up capital plus free reserves) as

per last audited balance sheet not older than (current – 1) Financial Year) c. Bidder shall not be under liquidation, court receivership or similar processing.

Undertaking to this effect to be submitted by the Bidder.

Documents Required from the Bidder a. Certificate from Chartered Accountant that the Bidder has average annual financial

turnover of minimum Rs 3.0 Crore in immediate last three consecutive financial years as per their audited accounts as on bid submission date.

Explanatory Note This is to establish the financial capability of the bidder. Criteria: 5 (Minimum Certification Levels) a. Bidder should be minimum TL 9000, ISO 9001:2000 or above certified for the required

services in the last three years and the certificate should be currently valid as of bid submission date.

b. Bidder should be National Long Distance service provider under the licenses of Government of India (GOI) having own MPLS VPN network business for minimum of Five years.

Documents Required from the Bidder a. Bidder should submit the copy of the certificates for TL 9000, ISO 9001:2000 or above. b. Bidder should submit the copy of license as National Long Distance service provider

approved by Government of India, which should be valid during the contract period. Explanatory Note This certification has been considered to ensure that the bidder has established set of defined and documented standard processes and the bidder organization is mature in handling similar type of contracts.

II. TECHNO‐COMMERCIAL QUALIFICATIONS ISP should confirm the compliance of the following techno commercial criteria:

(total of all Links) shall be limited to 5% of the total Purchase

Order value ARC for a year.

2. Penalty for Non-Delivery of Feasible Link (*):

If the commissioning of the Link is not completed within 18 weeks or ISP informs in writing their inability to commission the Link at any Location then it will attract penalty. Penalty amount will be 100% of OTC + 25 % of ARC for the entire contract period. The penalty charges shall be recovered from their running bill.

BPCL will have the right to get the said Link commissioned by any other 3rd party.

* In case ISP quoted and become L1 for a Location but backs out from taking up the job at that Location.

3. Penalty for Downtime: Link availability is calculated as accessibility to the BPCL’s router at each Location. Problem in the hardware (other than ISP’s supplied equipment’s) at BPCL’s Locations would be excluded while calculating availability. The downtime due to hardware (supplied by the ISP including spare parts as a part of contract) and downtime due to backhaul link commissioned by the ISP would not be excluded. The availability shall be based on report submitted by ISP and as verified by BPCL. Decision of BPCL shall be final. 1. In case of Data Centers (IDC and CDC) and backhaul Link,

maximum acceptable down time in half-year shall be 22 hours (up time of 99.5%). In addition, each incident of down time shall not exceed 4 hours. If the down time exceeds either of the above limits a penalty of Rs. 10,000 per hour shall be charged.

2. In case of Locations Links, maximum acceptable down time in half-year shall be 66 hours (up time of 98.5%) for each Link. In addition, each incident of down time shall not exceed 6 hours. If the down time exceeds either of the above limits a penalty of Rs. 500 per hour shall be charged.

3. The maximum penalty shall be restricted to 5% of total annual recurring charges of the relevant year (as per PO value). The penalty amount shall be adjusted against the half-yearly bill.

4. Penalty for Preventive Maintenance (PM) of RF Tower: Penalty for not doing PM of RF Tower Infrastructure shall be calculated @ Rs. 2000/- per week of delay per Location. The penalty amount shall not be having any upper limit.

Note: BPCL reserves its right to recover these penalty amounts by adjusting from any payment to be made to BPCL by the ISP. However, in certain scenario, BPCL may reduce / drop the Penalty, which are due to situations beyond the control of ISP, on exceptional basis.

II.B Payment Terms

1. Payment for Links commissioning will be paid after successful commissioning and handing over of Links as per BPCL’s standard payment terms. In case of delay in commissioning of Links beyond the stipulated time frame as per “Delivery Schedule”, appropriate amount as per “Penalty Terms”, shall be deducted from the running bills.

2. The payments for the commissioning charges will be made only after the completion of minimum 80% of Links. However, the date of acceptance of each Link shall be considered as date of the commissioning of the Link.

3. The payment of ARC for the Links shall be paid on half yearly basis after submission of duly signed invoice in the prescribed format given in Annexure-II, along with Penalty calculations in the format given in Annexure-III with necessary supporting documents at the end of the half-year. The amount on account of Penalty shall be deducted from the bill before making the payment.

4. Installation charges will be applicable only for the installation & commissioning of new Links.

5. ISP shall be paid applicable Preventive Maintenance (PM) cost, in case of the existing infrastructure, on one time basis for the first time. ISP shall ensure to conduct PM as per the scope mentioned in Annexure-IV point No: 9 “House Keeping” for existing RF Tower infrastructure.

6. BPCL will make payment (after deducting applicable penalty, if any) for the commissioning, maintenance and tariff and for support services. During the contract period BPCL will not make any payment to the ISP other than for those items / services that are covered under the commercial quote given by the ISP.

7. Based on BPCL’s requirement, Bandwidth capacity at Locations / Data Centers shall be upgraded with equivalent to the existing capacity. The cost of upgraded Bandwidth shall be paid on pro-rata basis. However, the rate for doubling of capacity should not be more than 1.7 times of the original cost of the respective Link.

8. ISP has to sign SLA before the release of 1st Payment.

II.C Commercial Evaluation / Contract Award Criteria

1. There is chance that single ISP is unable to provide MPLS Link at all Locations mentioned in Annexure–I.

2. The MPLS Link offer for Locations (other than CDC and IDC) shall be evaluated on Location wise lowest quote (L1) basis (cost of OTC + ARC). The commercial Bid format is given in Annexure-V.

3. The contract for both Data Centers (CDC and IDC) Links shall be awarded to single ISP based on lowest quote basis (total of CDC and IDC quotes including OTC).

4. BPCL may upgrade the Bandwidth at Locations / DCs on need basis during the contract period. The additional Bandwidth requirement per location is provided the Annexure-VIA. ISP shall have to quote rates for additional Bandwidth. a. The rate for upgrading the Bandwidth should not be more than 1.7 times of the

original cost of the respective Link. b. The cost of additional Bandwidth shall not be considered for commercial evaluation

and will be applied subject to feasibility of the additional Bandwidth. c. Rate quoted for additional bandwidth shall be valid for the entire contract period and

will be applied subject to feasibility of the additional bandwidth. d. In case, ISP does not quote for Additional Bandwidth for given Location, their primary

quote (as per Annexure-I) shall not be considered for further evaluation. 5. The rate for providing MPLS Links at New upcoming Locations (currently not covered in

Annexure-I) will be based on the rates quoted in Annexure-VIB. The contract for Link at New Upcoming Location shall be awarded to the ISP having lowest quote, amongst the feasible ISPs for that Location. The rate quoted for new Upcoming Location shall remain valid for entire the contract period.

6. The rate for Spare parts quoted by ISP shall not be considered for evaluation (for further details refer “III.H (Spare Parts”). The rate quoted shall be valid for entire contract period.

III. General Terms and Conditions

ISP should agree followings general Terms and Conditions: III.A Tax Clause

Basic price and rate of tax applicable on the material supplied should be separately mentioned in the Tender Form. ISP shall be required to indicate the SAC / HSN Code along with tax rates as applicable under GST law, at the time of quoting. The rates along with taxes, finalized for each location, shall remain valid for the entire period of contract. However BPCL shall have option to review the prices for downward / upward revision of cost due to reduction / increase in government levies, taxes, duties etc.

Any upward revision / imposition of new taxes, levies etc., during the contract, period shall be reimbursed on submission of documentary evidence by the ISP and acceptance of the same by BPCL.

Any downward revision in taxes or levies etc., during the contract, period shall be recovered from the ISP form the current running bills. Changes in the taxes structure as mentioned above shall be updated in the POs suitably

III.B Pricing

1. The quoted rates shall be valid for acceptance for the period of 120 days from the date of

opening technical bid. Thereafter, the successful ISP’s rates shall be valid for the entire period of the contract.

2. The costing at each Location shall include Annual Recurring Charges (ARC) and One Time Charge (OTC) on account of: a) Setting up infrastructure, installation and commissioning of new Link (note: ISPs who

do not have an existing Infrastructure for MPLS Link, owned by them at a Location will be required to setup up their own infrastructure).

b) Preventive Maintenance Charge as One Time Charge (OTC) for revamping, repair,

painting etc. and making the infrastructure worthy of Operations and Use (refer Annexure-IV) by ISP who own the infrastructure for the MPLS Link, at any given Location.

Hence, the cost of Link at any Location shall be ARC + OTC.

3. ARC shall including following minimum components. a. Cost of bandwidth (Port Charges + Last Mile Charges), b. Network Management Charges (including the resource placed at BPCL premises, i.e.

Sewree), c. Cost of backhaul Bandwidth provisioning at Data Center (CDC and IDC) with minimum

30% of total bandwidth of Locations together or 20 Mbps, whichever is higher, d. Any other expenses incurred for maintaining the Link including the cost of spare parts

required to replace / repair damaged equipment on ISP account. 4. In case of general downgrade of Bandwidth cost in future, BPCL has right to negotiate

with ISP to reduce the Bandwidth cost proportionally during the remaining contract period.

III.C Contract period

1. The duration of the contract shall be for a period of 5 years. 2. The contract start date for Location Links shall be considered the date on which the first

Link gets commissioned along with the backhaul Link at both the Data Centers (with

minimum 30% of total bandwidth of Locations together or 20 Mbps, whichever is higher). 3. In case of the DC Links, the contract start date will be the commissioning date of both the

Links. 4. Contract for all the Links which will be commissioned on later date shall be ending on co-

terminus basis. III.D Right to alter Quantities

i. BPCL reserves the right to issue Purchase Order in phases for additional new

Locations. ii. BPCL also reserves the right to delete one or more Location from the list of Locations

specified in the tender.

III.E Order Cancellation

1. BPCL reserves the right to cancel the order in case, any of the below mentioned conditions / requirements are not complied to or violated at any stage, during the execution of contract: a. Service Level Agreement (SLA) shall be executed by ISP within six months from the

date of Purchase Order. b. ISP shall ensure adherence to terms of the RFP, Contract, Secrecy and terms of SLA. c. Representation of facts & figures or particulars / documents furnished by ISP should

be original, genuine and legally correct. d. In event, ISP changes its constitution or amalgamates or merges with any other

entity, ISP shall intimate BPCL, in writing within 45 days of any such change. e. Promoter / Management should not have been engaged in activities which are

criminal in nature or any proceedings for declaring them as insolvent for winding up are pending or initiated.

2. Upon cancellation of contract or completion of contract period, ISP should obtain approval from BPCL and ensure to remove all the assets provided by them as per the scope of the contract. In case ISP does not remove the Assets within 4 weeks from date of approval (or 2 months from date of issuing cancellation order whichever is early), it will be BPCL’s property.

3. BPCL’s decision in order cancellation will be final and binding on the ISP.

III.F Termination of MPLS Link at Location

BPCL reserves the right to terminate MPLS Link connectivity at any Location by issuing 30 days notice in advance under following situations: 1. ISP fails to upgrade bandwidth at their respective Location under contract, as per BPCL

requirement mentioned in the contract. 2. Where the average service availability at the Location goes down below 80% over the

period of six months.

ISP should also provide the list of parts of each component & unit price (exclusive of taxes) of the same in the format as per Annexure-VII. If during the Link utilization period, component / any parts gets damaged for the reasons not attributable to the ISP then BPCL would procure the spare part at the rate quoted as per Annexure-VII. If ISP does not quote for a specific spare part then ISP has to provide that spare part on their own without any cost to BPCL.

III.I Integration of Hardware and Software

The ISP must integrate all the hardware components supplied by them to make the system integrated and fully functional with BPCL’s CPE. In event of any problem or fault during integration It will be ISP’s responsibility to locate the exact nature of the problem / fault(s) and rectify the same. Under no circumstances other entities can be blamed for the problem / fault without sufficient evidence or justification.

III.J Technical Documentation

The technical documentation involving implementation of the project including detailed instructions for operation and maintenance of MPLS network should be submitted on within 2 months from completion of all the Links. The language of the documentation should be English.

III.K Publicity

Any publicity by the ISP in which the name of BPCL is to be used should be done only with the explicit written permission of BPCL.

III.L Contract Agreement

At the completion of selection process, BPCL will enter into an agreement with the selected ISP for the agreed set of services and for period prescribed in tender document. In case the SLA is not executed within six months, BPCL will be at liberty to postpone payments till the signing of SLA.

III.M Preliminary Scrutiny BPCL may, at its discretion, waive any minor non-conformity or any minor irregularity in an offer. This shall be binding on all ISPs and BPCL reserves the right for such waivers.

III.N No Commitment to Accept Lowest or Any Offer

BPCL shall be under no obligation to accept the lowest or any other offer received in response to this offer notice and shall be entitled to reject any or all offers including those received late or incomplete offers without assigning any reason whatsoever. BPCL reserves the right to make any changes in the terms and conditions of purchase that will be informed to all ISPs. BPCL will not be obliged to meet and have discussions with any ISP, and / or to listen to any representations.

III.O Other Commercial Terms & Conditions

a) Payment will be done by Electronic Fund Transfer based on submission of bills / invoices duly certified by BPCL. Bidder needs to submit the Bank Mandate in prescribed format to BPCL along with PAN No details. While making payments, taxes as applicable will be deducted.

b) Please note BPCL has setup a Business Process Excellence Centre (BPEC) for Vendor

Invoice processing.

c) BPEC will function as a payments factory to receive, digitize and process vendor invoices in a timely and accurate manner. In addition, the centre will receive and account for Performance Bank Guarantees (PBGs) and Bank Guarantees (BGs). This includes release of retention money/release of PBGs.

Bank Guarantee

a) Within 30 days of the receipt of notification of award from the BPCL, the successful bidder shall furnish the performance security in form of a Bank Guarantee as given in Annexure – 3 for an amount of 10% of the annual PO value and valid for the PO / Contract period.

b) The BG shall be denominated in Indian rupees and shall be a bank guarantee in favour of Bharat Petroleum Corporation Ltd. from a scheduled bank in India.

c) The proceeds of the BG shall be payable to BPCL as compensation for not meeting the contractual obligations by the bidder under this bid. BPCL shall as soon as practicably possible notify the bidder in writing of its invocation of its right to receive such compensation, indicating the reasons for which the bidder is in default.

d) Unless invoked pursuant to above conditions the BG shall be discharged by BPCL and returned to the bidder at the end of the PO period.

e) At no time during the pendency of the resultant agreement shall the bidder allow the BG to expire. Expiry during the term of the resultant agreement shall be a ground for termination of the Contract.

Risk Purchase: If the vendor fails to supply the required number of resources or the performance of the resources is found to be unsatisfactory, BPCL will have the right to get the resources from elsewhere and extra cost incurred would be recovered from the successful bidder.

Other Contractual Stipulations

a) FORCE MAJEURE CLAUSE: The parties to this agreement cannot be responsible for any failure of performance or delay in performance of their obligations there under if such failure or delay shall be the result of any Government Directive relevant to this agreement or due to war, hostilities, act of public enemy, riots or civil commotion’s, strikes, lock out, fire, floods, epidemics or act of God, arrests and restraints or rulers and people political or administrative acts of recognized or defacto Government Import or Export restrictions, compliance with any Government or local authority or any other cause or cause beyond the control of the parties hereto.

b) NDA (Non Disclosure Agreement) : The successful bidder has to sign the 'Non Disclosure

Agreement(NDA)' on Rs. 100/- stamp paper (Non Judicial) from their competent authority as a compliance for the 'Non Disclosure Agreement' in line with BPCL's IS Security Policy as given in Annexure - 2. Purchase orders will not be placed without entering into above NDA. If NDA has already been submitted, please ignore this clause.

c) IP (Intellectual Property) Organization retains all rights to its pre-existing intellectual property and any intellectual property it creates in connection with the agreement; and

The vendor assigns to organization all rights in any work product developed pursuant to the agreement and acknowledges that all materials created by the vendor pursuant to the agreement shall be deemed to be owned by the organization. If the vendor will not agree to an assignment, then the vendor should, at a minimum, grant organization a perpetual, irrevocable, worldwide, royalty-free license to use the work product developed pursuant to the agreement.

d) Arbitration clause

In case of any disputes or differences between the Parties the same shall be mutually resolved first, however if the Parties fail to mutually resolve any dispute or difference the same shall be resolved by a Sole Arbitrator who shall be mutually appointed by both the parties within a period of 1 (one month). In case the parties have failed to appoint any arbitrator by mutual consent, then the aggrieved Party may take steps for appointment of arbitrator as per the Arbitration and Conciliation Act, 1996 and subsequent amendments thereof. The venue of Arbitration shall be Mumbai and conducted in English language. The arbitration proceedings shall be governed by Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under. The decision of the arbitrator shall be final & binding to both the Parties. Judgment or award from Arbitration proceedings any application or other proceedings in respect of anything arising under this Agreement shall be enforced exclusively in the Courts at Mumbai.

This Agreement shall be construed in accordance with the laws of India.

The parties hereby agree that the Courts in the city of Mumbai alone shall have jurisdiction to entertain any application or other proceedings in respect of anything arising under this agreement and any award or awards made by the Sole Arbitrator hereunder shall be filed (if so required) in the concerned Courts in the city of Mumbai.

Annexure-IV Scope for RF Towers:

1. Preventive Maintenance (PM) of the RF Tower infrastructure should be carried out by the

ISP once at the end of each year to ensure physical strength / stability of the tower. However, if the existing infrastructure / Link is being put into use by the ISP, PM has to be completed on or before commissioning of the Link. Necessary coating / painting of the RF tower should be carried out to prevent rusting / corrosion. As part of PM, ISP should check the general wear and tear of the Tower which also includes changing of rusted nut-bolts, damaged tower members / sections etc., to ensure the stability of the tower complying with all safety / standard norms. Necessary PM Report (as per the Annexure-IVC) jointly certified by BPCL Location staff & ISP along with Tower certification report (as per the Annexure-IVA) has to be submitted at the end of every year along with other half-yearly Bills. Failure to do the PM as mentioned above will attract Penalty as per “Penalty for Preventive Maintenance (PM) of RF Tower” under “Penalty Terms”.

2. The scope includes supply, fabrication, erection, testing and commissioning of tower structure and tower appurtenances / accessories including antenna apertures , platforms with railings, Horizontal & Vertical Cable Racks / trays as per actual site conditions between transmitter building up to providing protection against lightening, Aviation obstruction lights (AOL) including Beacon light and painting etc.

3. ISP has to provide Structural design of Tower and Structural Stability Certificate from certified Structural Engineer or from recognized institute (e.g. IITs, NITs, CBRI Roorkee, Faridabad or any of the recognized government institution) prior to Installation of Tower and post Installation / Dismantling of Tower. The Certificate has to be furnished as per the Annexure-IVA, along with Installation report as per the Annexure-IVB. However responsibility of compliance shall be with ISP.

4. Sign boards and warning signs (Danger RF Radiation, Restricted Area, Don’t enter) are to be provided at base station antenna sites which are clearly visible and identifiable.

5. Lightening protection: ISP has to arrange tower with suitably designed system of lightening protection in accordance with the provision of IS: 2309/1969. Braided copper wire will be provided for Lightening Arrestor from top of the tower to the nearest earth pit.

6. Painting: The tower shall be painted with anti-corrosive paints to have equal alternate bands of international orange and white colors with top and bottom painted in orange as per latest Civil Aviation Regulations.

7. RF Tower Standards : a. The design of the tower shall be based on recognized principles of structural

design Engineering, conforming to latest BIS codes and Standard Engineering

Practices. Tower loading details due to antenna and cables etc.: Tower structure

and foundation shall be designed based on loading due to antennas, RF cables,

MIW dishes, communication antennae, power supply cables, vertical cable racks,

ladders etc. and load due to tower body and in accordance with latest BIS design

codes. IS 4091: 1979 Code of Practice for design and construction of foundations

for transmission line towers and poles (first revision).

b. The wind loading on tower body, platform, ladder, cable rack and cable shall be

calculated as per wind loading code IS: 875 (with latest amendments). Special care

should be taken while calculating the wind load on tower and appurtenances,

considering proper probability factor (risk coefficient), terrain category, local

topography, wind zone (Basic wind zone) as may be applicable based on tower site

Location, Gust Factor and specified in the BIS code.

c. All the bolts and nuts shall be galvanized by high temperature hot-dip galvanizing

at temperature at 530°C in accordance with IS:1367 (with latest amendments).

The galvanizing coating should be uniform and its value should be between 80 to

115 micron, to be checked on random sample basis, on the threaded portion as

well. Thickness of galvanizing coating should also be in accordance with the

environmental condition at tower site considering life of tower as 100 years and

as per relevant BIS codes. The washers, spring washers shall be hot-dip galvanized

as per Grade 4 IS: 1573 (with latest amendments). The galvanized coating shall be

checked by metallographic method.

d. Foundation shall be constructed as per approved drawing and design of

foundation and in accordance with IS:456 (with latest amendments) and other

applicable provisions of BIS code and practices. IS 456-2000 Plain and Reinforced

Concrete - Code of Practice is an Indian Standard code of practice for general

structural use of plain and reinforced concrete.IS 800:2007 is the basic Code for

general construction in steel structures and is the prime document for any

structural design and has influence on many other codes governing the design of

other special steel structures for towers.

e. Bolts, Nuts and Washers Bolts, nuts and washers shall conform as appropriate to

IS 1363 (Parts 1 to 3), IS 1364 (Parts 1 to 5), IS 1367 (Parts 1 to 20), IS 3640, IS 3757,

IS 4000, IS 5369, IS 5370, IS 5372, IS 5374, IS 5624, IS 6610, IS 6623, IS 6639, and

IS 6649.

f. Steel Casting Steel casting shall conform to IS 1030 or IS 2708.

g. Wind loads on structures shall be taken as per the recommendations of IS 875

(Part 3).

h. Earthquake loads shall be assumed as per the recommendations of IS 1893 (Part

1).

However in addition to above, ISP has to ensure the RF Tower with the latest BIS

Standards during the contract period.

8. During Erection, Commissioning and dismantling of Tower, ISP should comply with the following safety norms:

a. If the Contract Worker / Sub Contractor is found doing work, which will be Unsafe

& tantamount to his Safety or Location Safety, work will be stopped, without any

notice.

b. Before Execution of Job, Head or Manager or Supervisor will be required to have AUTHORIZATION about his Credentials, Experience etc., which he has to be presented to Location In-charge.

c. For working at height follow the safety norms as defined in OISD Standards & Factories Act. No laxity on working at height shall be permitted.

d. Safety Related PPEs like Helmets, Double Harness Safety Belt etc. shall have Certificate of Quality as per pertaining Standard.

9. House Keeping : The ISP shall ensure that a high degree of House Keeping is maintained and shall ensure inter alia the followings wherever applicable:

a. All surplus earth and debris are removed / disposed-off from the working areas to identified Location(s).

b. Unused / Surplus cables, steel items and steel scrap lying scatted at different places within the working areas are removed from the Location(s).

c. All wooden scrap, empty wooden cable drums and other combustible packing materials, shall be removed from work places to identified Location(s).

d. Roads shall be kept clear and materials like: pipes, steel, sand boulders, concrete, chips and bricks etc. shall not be allowed on the roads to obstruct free movements of men & machineries.

e. Fabricated steel structural, pipes & piping materials shall be stacked properly for erection.

f. Water logging on roads shall not be allowed.

g. No parking of trucks/trolleys, cranes and trailers etc. shall be allowed on roads which may obstruct the traffic movement.

h. Utmost care shall be taken to ensure overall cleanliness and proper upkeep of the working areas.

i. Trucks carrying sand, earth and pulverized materials etc. shall be covered while moving within the premises.

j. Only properly designed steel scaffolding materials to be used for working at heights more than 3.0 M. Double scaffolding using wooden bellis may be allowed for working at height less than 3.0M.

10. ISP shall be liable to pay the compensation for any injury or damage to person(s)/

property / loss arising out of faulty design of tower or its foundation, faulty execution of jobs at site and improper maintenance of the tower etc., during the contract period.

Annexure - 1 INTEGRITY PACT

Between

Bharat Petroleum Corporation Limited (BPCL) hereinafter referred to as "The Principal",

Preamble

The Principal intends to award, under laid down organization procedures, contract/s for ………………..The Principal values full compliance with all relevant laws and regulations, and the principles of economic use of resources, and of fairness and transparency in its relations with its Bidder/s, Contractor/s and Supplier/s.

In order to achieve these goals, the Principal cooperates with the renowned international Non-Governmental Organisation "Transparency International" (TI). Following TI's national and international experience, the Principal will appoint an Independent External Monitor who will monitor the tender process and the execution of the contract for compliance with the principles mentioned above.

Section 1 -Commitments of the Principal

1. The Principal commits itself to take all measures necessary to prevent corruption and to observe the following principles:

a) No employee of the Principal, personally or through family members, will in connection with the tender, or the execution of the contract, demand, take a promise for or accept, for himself/herself or third person, any material or immaterial benefit which he/she is not legally entitled to.

b) The Principal will, during the tender process, treat all Bidders with equity and reason. The Principal will, in particular, before and during the tender process, provide to all Bidders the same information and will not provide to any Bidder confidential /

Section 2 -Commitments of the Bidder / Contractor/Supplier

1. The Bidder / Contractor/Supplier commits itself to take all measures necessary to prevent

corruption. He commits himself to observe the following principles during his participation in the tender process and during the contract execution.

a) The Bidder / Contractor/Supplier will not, directly or through any other person or firm, offer, promise or give to any of the Principal's employees involved in the tender process or the execution of the contract or to any third person, any material or immaterial benefit which he/she is not legally entitled to, in order to obtain in exchange, any advantage of any kind whatsoever during the tender process or during the execution of the contract.

b) The Bidder / Contractor/Supplier will not enter with other Bidders into any undisclosed agreement or understanding, whether formal or informal. This applies in particular to prices, specifications, certifications, subsidiary contracts, submission or non-submission of bids or any other actions to restrict competitiveness or to introduce cartelization in the bidding process.

c) The Bidder / Contractor/Supplier will not commit any offence under the relevant Anti-Corruption Laws of India; further the Bidder / Contractor/Supplier will not use improperly, for purposes of competition or personal gain, or pass on to others, any information or document provided by the Principal as part of the business relationship, regarding plans, technical proposals and business details, including information contained or transmitted electronically.

d) The Bidder / Contractor/Supplier will, when presenting his bid, disclose any and all payments he has made, is committed to, or intends to make to agents, brokers or any other intermediaries in connection with the award of the contract.

2. The Bidder / Contractor/Supplier will not instigate third persons to commit offences outlined above or be an accessory to such offences.

Section 3 - Disqualification from tender process and exclusion from future contracts

If the Bidder, before contract award, has committed a transgression through a violation of Section 2 or in any other form such as to put his reliability or credibility as Bidder into question, the Principal is entitled to disqualify the Bidder from the tender process or to terminate the contract, if already signed, for such reason. 1. If the Bidder/Contractor/Supplier has committed a transgression through a violation of

Section 2 such as to put his reliability or credibility into question, the Principal is also entitled to exclude the Bidder / Contractor/Supplier from future contract award processes. The imposition and duration of the exclusion will be determined by the severity of the transgression. The severity will be determined by the circumstances of the case, in particular the number of transgressions, the position of the transgressors within the company hierarchy of the Bidder and the amount of the damage. The exclusion will be imposed for a minimum of 6 months and maximum of 3 years.

2. A transgression is considered to have occurred if the Principal after due consideration of the available evidences, concludes that no reasonable doubt is possible.

3. The Bidder accepts and undertakes to respect and uphold the Principal's absolute right to

resort to and impose such exclusion and further accepts and undertakes not to challenge or question such exclusion on any ground, including the lack of any hearing before the decision to resort to such exclusion is taken. This undertaking is given freely and after obtaining independent legal advice.

4. If the Bidder / Contractor/Supplier can prove that he has restored / recouped the damage caused by him and has installed a suitable corruption prevention system, the Principal may revoke the exclusion prematurely.

Section 4 -Compensation for Damages

1. If the Principal has disqualified the Bidder from the tender process prior to the award according to Section 3, the Principal is entitled to demand and recover from the Bidder liquidated damages equivalent to Earnest Money Deposit/Bid Security.

2. If the Principal has terminated the contract according to Section 3, or if the Principal is entitled to terminate the contract according to Section 3, the Principal shall be entitled to demand and recover from the Contractor/Supplier liquidated damages equivalent to Security Deposit / Performance Bank Guarantee.

3. The Bidder agrees and undertakes to pay the said amounts without protest or demur subject only to condition that if the Bidder / Contractor/Supplier can prove and establish that the exclusion of the Bidder from the tender process or the termination of the contract after the

contract award has caused no damage or less damage than the amount of the liquidated damages, the Bidder / Contractor/Supplier shall compensate the Principal only to the extent of the damage in the amount proved.

Section 5 -Previous Transgression

1. The Bidder declares that no previous transgression occurred in the last 3 years with any

other Company in any country conforming to the TI approach or with any other Public Sector Enterprise in India that could justify his exclusion from the tender process.

2. If the Bidder makes incorrect statement on this subject, he can be disqualified from the tender process or the contract, if already awarded, can be terminated for such reason.

Section 6 -Equal treatment of all Bidders / Contractors /Suppliers/

Subcontractors 1. The Bidder/Contractor/Supplier undertakes to demand from all subcontractors a

commitment in conformity with this Integrity Pact, and to submit it to the Principal before contract signing.

2. The Principal will enter into agreements with identical conditions as this one with all Bidders, Contractors/Suppliers and Subcontractors.

3. The Principal will disqualify from the tender process all Bidders who do not sign this Pact or violate its provisions.

Section 7 – Punitive Action against violating Bidders / Contractors / Suppliers/Subcontractors

If the Principal obtains knowledge of conduct of a Bidder, Contractor, Supplier or Subcontractor, or of an employee or a representative or an associate of a Bidder, Contractor, Supplier or Subcontractor which constitutes corruption, or if the Principal has substantive suspicion in this regard, the Principal will inform the Vigilance Office.

Section 8 - Independent External Monitors

1. The Principal has appointed competent and credible Independent External Monitors for this Pact. The task of the Monitor is to review independently and objectively, whether and to what extent the parties comply with the obligations under this agreement.

2. The Monitor is not subject to instructions by the representatives of the parties and performs

his functions neutrally and independently. He reports to the Chairperson of the Board of the Principal.

3. The Bidder/Contractor/Supplier accepts that the Monitor has the right to access without

restriction to all Project documentation of the Principal including that provided by the Bidder/Contractor/Supplier. The Bidder/Contractor/Supplier will also grant the Monitor,

upon his request and demonstration of a valid interest, unrestricted and unconditional access to this project documentation. The same is applicable to Subcontractors. The Monitor is under contractual obligation to treat the information and documents of the Bidder/Contractor/Supplier/ Subcontractor with confidentially.

4. The Principal will provide to the Monitor sufficient information about all meetings among

the parties related to the Project provided such meetings could have an impact on the contractual relations between the Principal and the Bidder/Contractor/Supplier. The parties offer to the Monitor the option to participate in such meetings.

5. As soon as the Monitor notices, or believes to notice, a violation of this agreement, he will

so inform the Management of the Principal and request the Management to discontinue or heal the violation, or to take other relevant action. The Monitor can in this regard submit non-binding recommendation. Beyond this, the Monitor has no right to demand from the parties that they act in a specific manner, refrain from action or tolerate action. However, the Independent External Monitor shall give an opportunity to the Bidder/Contractor/Supplier to present its case before making its recommendations to the Principal.

6. The Monitor will submit a written report to the Chairperson of the Board of the Principal

within 8 to 10 weeks from the date of reference or intimation to him by the 'Principal' and, should the occasion arise, submit proposals for correcting problematic situations.

7. If the Monitor has reported to the Chairperson of the Board a substantiated suspicion of an

offence under relevant Anti-Corruption Laws of India, and the Chairperson has not, within reasonable time, taken visible action to proceed against such offence or reported it to the Vigilance Office, the Monitor may also transmit this information directly to the Central Vigilance Commissioner, Government of India.

8. The word 'Monitor' would include both singular and plural.

Section 9 - Pact Duration This Pact begins when both parties have legally signed it. It expires for the Contractor/Supplier 12 months after the last payment under the respective contract, and for all other Bidders 6 months after the contract has been awarded. If any claim is made / lodged during this time, the same shall be binding and continue to be valid despite the lapse of this pact as specified above, unless it is discharged / determined by Chairperson of the Principal.

Section 10 -Other provisions

1. This agreement is subject to Indian Law. Place of performance and jurisdiction is the Registered Office of the Principal, i.e. Mumbai. The Arbitration clause provided in the main tender document / contract shall not be applicable for any issue / dispute arising under Integrity Pact.

2. Changes and supplements as well as termination notices need to be made in writing. Side

agreements have not been made. 3. If the Bidder/Contractor/Supplier is a partnership or a consortium, this agreement must be

signed by all partners or consortium members. 4. Should one or several provisions of this agreement turn out to be invalid, the remainder of

this agreement remains valid. In this case, the parties will strive to come to an agreement to their original intentions.

Non Disclosure Agreement This Agreement is made as of the ------------- 2017 between BHARAT PETROLEUM CORPORATION LTD. (BPCL) a Government of India Enterprise, having its registered office and Corporate office at Bharat Bhavan , 4&6 , Currimbhoy Road , Ballard Estate , Mumbai -400001 hereinafter referred as First Part which expression shall unless repugnant to the subject or the context mean and included its successors, nominees or assigns and M/s ------------------ -------- --------------------------------------------------------- a company incorporated under the Indian Companies Act, 1956, and having its registered office at ------------------------------------ ------------------------------------------------------ herein after called “-Second Part ” which expression shall unless repugnant to the subject or the context mean and include its successors, nominees or assigns. Whereas in order to pursue the business purpose of this particular project as specified in Annexure A (the “Business Purpose”), M/s---------------------------------------------------------------------------------------------- recognize that there is a need to disclose certain information, as defined in para 1 below, to be used only for the Business Purpose and to protect such confidential information from unauthorized use and disclosure. In consideration of First Part’s disclosure of such information, Second Part agrees as follows:

1. This Agreement will apply to all confidential and proprietary information disclosed by First part to Second part, including information which the disclosing party identifies in writing or otherwise as Confidential before or within thirty days after disclosure to the receiving party (“Confidential Information”).

Confidential Information consists of certain specifications, designs, plans, drawings, software, prototypes and/or technical information, and all copies and derivatives containing such Information, that may be disclosed to other part by first part for and during the Purpose, which disclosing party considers proprietary or confidential (“Information”). Confidential Information may be in any form or medium, tangible or intangible, and may be communicated/disclosed in writing, orally, or through visual observation or by any other means by other part (hereinafter referred to as the receiving party) by the First Part (hereinafter referred to as one disclosing party). Information shall be subject to this Agreement, if it is in tangible form, only if clearly marked as proprietary or confidential as the case may be, when disclosed to the receiving party or, if not in tangible form, its proprietary nature must first be announced, and it must be reduced to writing and furnished to the receiving party within thirty (30) days of the initial disclosure.

2. M/s --------------------------- i.e. Second Part ----------------------------------hereby agreed that during the Confidentiality Period:

a) The receiving party shall use Information only for the Purpose, shall hold Information in confidence using the same degree of care as it normally exercises to protect its own proprietary information, but not less than reasonable care, taking into account the nature of the Information, and shall grant access to Information only to its employees who have a need to know, but only to the extent necessary to carry out the business purpose of this project as defined in exhibit A, shall cause its employees to comply with the provisions of this Agreement applicable to the receiving party, shall reproduce Information only to the extent essential to fulfilling the Purpose, and shall prevent disclosure of Information to third parties. The receiving party may, however, disclose the Information to its consultants and contractors with a need to know; provided that by doing so, the receiving party agrees to bind those consultants and contractors to terms at least as restrictive as those stated herein, advise them of their obligations, and indemnify the disclosing party for any breach of those obligations.

b) Upon the disclosing party's request, the receiving party shall either return to the disclosing party all Information or shall certify to the disclosing party that all media containing Information have been destroyed.

3. The foregoing restrictions on each party's use or disclosure of Information shall not apply

to Information that the receiving party can demonstrate:

a) Was independently developed by or for the receiving party without reference to the Information, or was received without restrictions; or

b) Has become generally available to the public without breach of confidentiality obligations of the receiving party. The information shall not be deemed to be available to the general public merely because it is embraced by more general information in the prior possession of Recipient or of others, or merely because it is expressed in public literature in general terms not specifically in accordance with the Confidential Information; or

c) Was in the receiving party's possession without restriction or was known by the receiving party without restriction at the time of disclosure and receiving party declare of possession of such confidential information within a day upon such disclosure by disclosing party ; or

d) Pursuant to a court order or is otherwise required by law to be disclosed', provided that Recipient has notified the disclosing party immediately upon learning of the possibility of any such court order or legal requirement and has given the disclosing party a reasonable opportunity and co-operate with disclosing party to contest or limit the scope of such required disclosure including application for a protective order.

e) Is disclosed with the prior consent of the disclosing party; or

f) The receiving party obtains or has available from a source other than the disclosing party without breach by the receiving party or such source of any obligation of confidentiality or non-use towards the disclosing party.

4. Receiving party agrees not to remove any of the other party’s Confidential Information

from the premises of the disclosing party without the disclosing party’s prior written approval and exercise extreme care in protecting the confidentiality of any Confidential Information which is removed, only with the disclosing party’s prior written approval, from the disclosing party’s premises. Receiving party agrees to comply with any and all terms and conditions the disclosing party may impose upon any such approved removal, such as conditions that the removed Confidential Information and all copies must be returned by a certain date, and that no copies are to be made off of the premises.

5. Upon the disclosing party’s request, the receiving party will promptly return to the

disclosing party all tangible items containing or consisting of the disclosing party’s Confidential Information all copies thereof.

6. Receiving party recognizes and agrees that all of the disclosing party’s Confidential

Information is owned solely by the disclosing party (or its licensors) and that the unauthorized disclosure or use of such Confidential Information would cause irreparable harm and significant injury, the degree of which may be difficult to ascertain. Accordingly, receiving party agrees that the disclosing party will have the right to obtain an immediate injunction enjoining any breach of this Agreement, as well as the right to pursue any and all other rights and remedies available at law or in equity for such a breach.

7. As between the parties, all Information shall remain the property of the disclosing party.

By disclosing Information or executing this Agreement, the disclosing party does not grant any license, explicitly or implicitly, under any trademark, patent, copyright, mask work protection right, trade secret or any other intellectual property right. The disclosing party disclaims all warranties regarding the information, including all warranties with respect to infringement of intellectual property rights and all warranties as to the accuracy or utility of such information. Execution of this Agreement and the disclosure of Information pursuant to this agreement does not constitute or imply any commitment, promise, or inducement by disclosing party to make any purchase or sale, or to enter into any additional agreement of any kind.

8. Disclosing party’s failure to enforce any provision, right or remedy under this agreement

shall not constitute a waiver of such provision, right or remedy.

This Agreement will be construed in, interpreted and applied in accordance with the laws of India.

9. This Agreement and Exhibit A attached hereto constitutes the entire agreement of the parties with respect to the parties' respective obligations in connection with Information disclosed hereunder and supersedes all prior oral and written agreements and discussions with respect thereto. The parties can amend or modify this Agreement only by a writing duly executed by their respective authorized representatives. Neither party shall assign this Agreement without first securing the other party's written consent.

10. This Agreement will remain in effect for three years from the date of the last disclosure

of Confidential Information, at which time it will terminate, unless extended by the disclosing party in writing.

11. With regard to the confidential information of M/s disclosed to BPCL, BPCL agrees

to comply with all the obligations of receiving party mentioned in this Agreement. In the event of the vendor being wound up the purchaser will be entitled to prove against the properties of the vendor in respect of the vendors whole indebtedness to the Purchaser without any right on the part of the bank to stand in the purchaser`s place in respect of or to claim the benefits of any compensation for payment or for any security held by the purchaser until the purchaser has received the full amount under this Bank Guarantee against the Vendor This guarantee shall be in addition to & not in substitution for any other guarantee or security by the Vendor given or to be given to Purchaser in respect of the said consignment. 4.Any notice / communication from the purchaser to the effect that there has been failure of the equipment to perform & satisfy the criterion as to the uptime performance of the said equipment laid down in the said agreement shall be conclusive ,final & binding on the bank.
