ORGANIZATION DETAILS – WHAT WE SEEK TO ACCOMPLISH, HOW WE PLAN TO DO IT

Performing artists have a new home in Oconomowoc …

Many talented performing artists reside in Oconomowoc and the surrounding Lake Country Area. One major goal

of “the network” is to organize as many of those individuals as possible, along with technicians, production

support artists and others in related fields, into a major touring performance group, the

with the objective of promoting the Lake Country Area, as Oconomowoc’s “Goodwill Ambassadors”, throughout

Wisconsin and bordering states primarily, and wherever else we may travel, as a destination for all it has to offer

as an outstanding place to live, visit, shop and recreate, as well as to do business with our many excellent area

companies, and as an area with much to offer for new business opportunities or expansion of an existing business.

Affiliated Member Groups shall also engage such promotional work for appropriate venues when performing

under the auspices of paNET. Furthermore, we shall disseminate the message of Oconomowoc as a “City for the

Arts” and a mecca not only for performing artists but for artists of all ilk.

All marketing activities shall be coordinated and conducted only with the advice and consent of city governments’

economic development departments, chambers of commerce, and business, art and charity organizations.

Beyond being in the entertainment business, as a non-profit organization, our main focus in all we do shall be on

achieving our broader Mission, the “Triad of Service” to community, education and charity, supporting as many

civic projects, area charities and other non-profits as possible with grants and in-kind contributions, and in the

education realm, public and private, with financial assistance and scholarships for students, in addition to the

educational programs and youth outreach services we provide directly.

We shall endeavor to build a large membership and to develop our Members’ skills and knowledge to minimize our

needs for out-sourced services, being both vertically and horizontally self-sufficient – a complete support network.

Details regardingpaNET‘s structure and operations, adding to the companion “OVERVIEW” document, follow.

• Membership is open to persons age 14 and older of any skill level above raw beginner, the only requirements

being 1) the desire to participate and contribute to the paNETMission, and 2) a commitment to abide by the

“Membership Principles & Conduct Agreement”. Applicants under 18 require parent/guardian approval;

applicants under 25 are required to sign the Principles & Conduct Agreement.

• There are no dues for individual Members. Participation in certain activities/events may require a nominal fee or

discounted admission price to defray costs. For example, a clinic by a guest presenter may require such.

• Members belong as individuals; when an established performing group joins, each of its members is also

considered an individual member. The group itself is an “Affiliate Group Member”.

• Member Status Levels are: Student, Apprentice, Intern, Peer, Master & Senior Master. Initial Member Status

shall be determined by policy and the Executive Director.

• A Personnel File shall be maintained for each Member including a Public Relations Kit; see “PRIVACY …” below.

• Member Status Levels

The following Status Level categories apply for performing artists, production support artists and technicians:

- A Student is a neophyte between ages 14 and 17; an Apprentice is a student age 18 and older.

- An Intern, or Senior Apprentice, is an advanced student working to gain practical experience.

This status is conferred by the Member’s Major CAT Leader.

- A Peer is an individual of sufficient professionalism to participate in The O’TOWNE REVUE,

nominated by the Member’s Major CAT Leader and confirmed by the Executive Director.

- A Master is a person of unquestionable skill, experience and contribution to paNET, nominated by

three (3) or more Masters and confirmed by a simple majority of the Member’s Congress.

- A Senior Master is an individual at the zenith of professionalism, recognized by public acclaim and

distinguished within paNET for contributions as a leader, teacher and mentor, nominated by

two (2) or more Senior Masters, confirmed by a two-thirds majority of the Member’s Congress.

• Associate and Affiliate Members:

- An Associate is an Administrative Staff employee, volunteer or other non-performing Member.

Senior Associate status is conferred by the Executive Director based on one’s contributions.

Associate Members have voting rights.

- An Affiliate Member is a performing arts group, its members all being individual paNETMembers.

Affiliate Members do not pay membership dues.

Affiliate Members have no voting rights; their members have voting rights as individuals.

- A Business Affiliate is a closely related business, a paBAmember, such as a private performing arts

school, an artist’s agency, etc.; owners and employees may be paNET individual Members as well.

Business Affiliates pay initial and annual renewal membership dues (see below).

Business Affiliates have no voting rights in paNET; their individual Members have voting rights.

Business Affiliates do have voting rights within paBA.

• Member Classifications

- Members joining in 2016 shall be classified: “Founding Member”.

- Members joining in 2017 through June 30th shall be classified: “Charter Member”.

• Each Member chooses a primary or Major CAT and, optionally, any number of secondary Minor CATs to join.

• Affiliate Groups belong to the O’TOWNE REVUE Master Project; their members choose to belong to other CATs.

• CAT Group Leaders are appointed by the Executive Director or may be chosen by Members of the CAT.



• Most CATS are self-explanatory by their names, two needing some explanation:

Executives, agents, producers, publicists, promoters, commercial graphic artists,

merchandisers, hospitality reps, bookkeepers, paralegals, government & public relations

liaisons, etc – any role in the management and operations of a performing arts business.

Stage managers, set, lighting and special effects designers, wardrobe and accessories

outfitters, hair & make-up artists, backstage coordinators – any performance-related

support role.

• Each CAT is responsible for developing at least one (1) SERVICE PROGRAM in the paNET Triad. Youth Outreach,

actually part of Community Service, is given separate emphasis due to its importance in the paNET Mission.

Service Programs may also be established by the Board, the Member’s Congress or the Executive Director.

• CATS are typically broken into specialty WORKSHOPS, for example, in the MUSICIANS CAT:

Members are encouraged to develop and propose new WORKSHOP concepts to the Executive Director,

for example inter-disciplinary workshops by multiple CATS, developing opportunities for forming new

performance groups, or workshops for specific musical genres.

• paNET is comprised of four (4) MASTER PROJECTS.

• mopa & paNS are long-range projects. Our most ambitious goal, we seek to have as soon as financially doable,

a downtown Oconomowoc facility to house the museum and studio, with a library, small theater, classrooms,

practice rooms, technician workrooms, a cafeteria/lounge and a retail store … most open to the public.

• A typical performance by the O’TOWNE REVUE will be opened by an AFFILIATE GROUP.

• paNET shall seek to attract Affiliate Groups to enhance the organization with top professional talent, necessary

for our youth mentoring programs, having interests in common with our Mission and for mutual benefits.

Interested performers should see “paNET For Professional Artists & Established Groups”.

• In addition to the REVUE and Affiliate groups, we will also develop and manage small genre and specialty groups

as new Affiliates, such as The BROWNE FAMILY Singers, to perform with the REVUE and/or independently.



• THE BROWNE FAMILY SINGERS is an in-house, currently-being-developed Affiliate which shall be six (6) women

and six (6) men who will perform with the REVUE as well as independently with a backup band comprised of

paNET musicians. They will rarely, if ever, perform with all twelve members, but will be flexible in their skills

and repertoire to adapt to the needs of any performance.

• Whether BROWNE FAMILY or another Affiliate performing with the REVUE or as the opening act, the playbill will

always prominently display where we are from, as for example:

• ZEPO (Zamora Entertainment Productions of Oconomowoc) is an Affiliate Business and currently paNET’s

in-house talent management resource which will handle all O’TOWNE REVUE and BROWNE FAMILY bookings,

site logistics, travel arrangements and production, bringing together all needed resources within paNET.

• Affiliate Groups may or may not use ZEPO’s services; if they do, then the playbill will prominently display such,

otherwise the playbill should less prominently display the group’s Affiliation with paNET, for example:


The paNETAssociate Ambassador Corps

�� The paNET strategy of up, down and sideways autonomy applies to event management from the booking to

packing up to go home, able to provide excellence not only in the performance but also in every logistical

detail for any venue, is based on having a membership that is large, diverse, talented, flexible, adaptable and

prepared in every way to achieve success … and, that includes not least of all, due and proper compensation

for every Member participating in an Event Contract, and having excess income to support our Mission.


• When the O’TOWNE REVUE goes on the road, it may involve up to 20 or more performers plus setup and

strike crew, technicians, backstage personnel, security and hospitality Associates of another 15-20 … and they

will very rarely be the same Members.

• Members shall participate in each performance event or tour of multiple events under an Event/Tour Contract.

There will be a nucleus of musicians, singers and crew Captains who will often be the same, always available

and committed to paNET, but the configuration of the entire troupe will vary according to the needs of each

event or tour and Members’ availability, as each commits to a contract at his/her convenience.

• With Affiliates and the REVUE combined, we will often have multiple performances under the paNET “banner”

occurring on the same day at any number of different venues.

• When the REVUE is scheduled to be in the same city or general area for more than one day, we will endeavor to

arrange “Meet ‘n Greet” events and/or other activities in our efforts to promote Oconomowoc and the Lake

Country Area. Such events would be pre-planned and coordinated with the advice and consent of appropriate

authorities at home, especially when involving government officials or business groups. When impromptu

events unavoidably happen, our “Associate Ambassador Corps” will be well-prepared and capable.

• Our “Hospitality Representatives”, Associate Members who are typically

men and women ages 18-25 (or older), shall be uniformly attired and

credentialed for identification, knowledgeable of the Lake Country Area,

and prepared and able to answer questions and provide assistance.

• Associates’ main responsibility at performances shall be to staff the

Hospitality Kiosk which is primarily for the purpose of distributing

brochures about all things Oconomowoc and Lake Country .

• Associates shall function as retail sales clerks as well.

• Associates will also have duties for ancillary events such as Meet ‘n Greet

parties and other marketing/public relations events.

• The Ambassador Corps Leader shall be an employee or volunteer on the

Administrative Staff, responsible for Associate training and scheduling.

GOVERNANCE & MANAGEMENTSalient items from the Bylaws and Articles of Incorporation

• paNET shall be organized as a Wisconsin corporation with IRC 501(c)(3) non-profit tax exempt status.

As a non-profit organization (NPO) there shall be no issued stock and no shareholders.

The Members shall be the owners/stakeholders with no monetary value attached to their interests.

• Directors shall be elected to limited terms by Members 18 years and older, Apprentices and higher status.

Ideally the Board shall be comprised of a diverse, experienced and balanced representation of persons

from all entities directly served by paNET: city government, the business community, public and private

performing arts education, charities, civic groups, donors, community arts patrons and performing artists.

Board members shall serve as volunteers but may be reimbursed for documented travel and other

duty-related expenses as well as a nominal honorarium for meetings and special assignments.

Candidates for election to the Board may be nominated by the Executive Director, the Member’s Congress

or any group of ten (10) or more voting Members.

• The Executive Director shall be appointed by the Board with a two-year contract.

The position is compensable as set by the Board.

The Executive Director may be impeached by a “No Confidence” vote of the Member’s Congress, but

may be removed only by a two-thirds majority vote of the Board.

• Administrative Staff, part and full time compensable positions, and volunteers shall be hired and managed

by the Executive Director.

• The Member’s Congress shall be comprised of CAT and Affiliate Leaders, and elected at-large Members

to function as the formal communication path between the membership and the Executive Director.

The Congress shall also be charged with making recommendations regarding policies, procedures and

general concerns of the membership to the Executive Director.

At-large Members elected by the membership must have a Member status of Peer or higher.

• The Council of Advisors, on-call experts in a variety of relevant fields, shall be developed as needed.



TRANSPARENCY

If the forgoing seems too structured, too formal, inappropriate and/or unnecessary, then please consider this:

• any organization, in order to function well, by definition must be “organized”, and

• an organization comprised of self-governing members must be aboveboard in all that it does.

As an organization of, by and for its Members sharing common and related objectives within the overall Mission,

paNET shall always operate by completely open and reviewable policies, procedures and communications.

All organizing documents shall be available to the Member’s Congress and may be viewed by any Member, 18 years

or older, with any Congress Representative at the Administration Office, but may not be duplicated by any means,

may not be removed from the office and the contents may not be revealed to non-members. These documents

include, but may not be limited to: the Articles of Incorporation, the Bylaws and all written communications with

the IRS and the Wisconsin Department of Financial Institutions regarding paNET’s formation and registration.

The same restrictions regarding duplication, removal from the office and dissemination outside the organization

apply to the following, available for review by any Member, 18 years or older, in the Administration Office:

• Minutes of the Board of Directors meetings,

• Communications with the IRS and WI Dept. of Financial Institutions, hard-copy and emails,

• Bookkeeping journals, financial statements and auditor’s reports,

• Communications, hard-copy and emails, of the Executive Director,

• Communications, hard-copy and emails, between paNET officers.

Any document may be redacted to conceal legally sensitive information at the discretion of the Board, the

Executive Director or advice of counsel, but may be revealed case by case on a need-to-know basis as determined

by the Executive Director.

PRIVACY

On the other side of transparency are privacy and security. Just as paNET may redact documents for legal

concerns, so also do Members always have the right to inspect their Personnel File and Public Relations Kit to

modify, delete or change the contents and/or privacy status of their PII, Personally Identifiable Information.



performing arts BUSINESS ALLIANCE

• Firstly, at the time of this writing, April 25, 2016, paBA is a concept with very few structural details.

• Its purpose is to bring closely allied businesses into the paNET organization for mutual benefits, to give them a

voice in the functioning of the network and to expand the horizontal autonomy of paNET.

• As individual Members of paNET, owners and employees shall have voting rights.

• Affiliate Business Members shall pay Initial and Annual Renewal dues, as follows:

• Dues shall accumulate in the Member’s Donor Account.

• Other businesses which are also Donors, may be paBA Members without paying the Initial dues.

• Government entities and charities pay no dues.

REVENUE STREAMS

• paNET will depend on three main sources of income: performances, retail sales and donations.

Excess revenues from performances, i.e. net income after ALL expenses (direct & allocated), from advance

ticket sales and door admissions plus net profits from sales of clothing and sundry other items, will not be

sufficient to support the organization and fulfill the Mission.

• The generosity of many donors, particularly Business Sponsors, and the support of the at-large community will

be necessary to sustain paNET.

• To maximize performance revenue, we shall seek venues for the REVUE in particular, and for Affiliates as well,

that have potential to draw large audiences, and negotiate contracts for a large percentage of the receipts.

• Another of our highly ambitious goals is to acquire a mobile stage for the capability of creating a large outdoor

venue anywhere sufficient space is available with ability to secure the area.

There’s no point to dreams if they aren’t BIG, but this stage w/ side screens would be VERY HIGH -END.


DONORS

• Every donor business and individual shall have a DONOR ACCOUNT to track the life-to-date accumulation of their

donations including the value of in-kind contributions.

• Methods for making donations online have not yet been established, but pledges may be made on our website,

tpanet.org. Anonymous donations will be accepted via drop boxes at all performances.

• All Business donors shall be considered “Sponsors”. The accumulated amount of their contributions shall

determine their Sponsor Classification, i.e. their prominence in promotional materials and exhibits.

• Donor Levels and commensurate benefits and premiums are not determined as of this writing, April 2016.
