Note: Water samples for dissolved metals and/or orthophosphorus should be filtered within 15 minutes of collection. Reports for samples received that were not field filtered will be narrated.

The analysis of matrix spike/matrix spike duplicate (MS/MSD) quality control samples for each of the aqueous extractable analyses requires the collection of additional sample volume. Please contact the lab.

Samples containing residual chlorine need to be dechlorinated with sodium thiosulfate for the analysis of pesticides by EPA 608.3, SVOC by EPA 625.1, and VOC by EPA 624.1 and EPA 504.1/8011. Prior to sampling, add 80 mg of sodium thiosulfate to each liter amber, 10 mg to each 40mL vial for EPA 624.1, and 3 mg to each 40mL vial for 504.1/8011.

Per method EPA 524.2 and 504.1, trip blanks are required. Please contact the lab before sampling to request bottles with trip blanks. Reports for samples received without trip blanks will be narrated. For chlorinated sources for analysis by 524.2, vials are provided with ascorbic acid to dechlorinate the samples. HCl is provided separately to be added during collection.

Sample Cancellation Charge

Due to our rapid standard turnaround time, analyses may be started shortly after samples arrive at the laboratory. In some cases, within a matter of hours. In the event that it is necessary to cancel the analysis of a sample, it is crucial to notify the laboratory as soon as possible to avoid being charged. If a sample is canceled after analysis has begun, you will be charged for the work completed at the time of cancellation.

Sampling Kits and Coolers

Sampling kits and coolers are provided and shipped (via non-priority status) to our clients at no additional charge. These kits include all containers, preservatives, chain of custody forms, labels, and coolers to collect your samples and have them shipped to the lab. Overnight and priority shipments can be accommodated with the difference in cost being conveyed to the client.

Please keep us abreast of pending projects with as much notice as possible so we may assemble your sample kit and have it delivered in time for sampling to begin. Sample kit and container requests can be made by phone, fax, or via our internet site at www.phaseonline.com. We do request that all coolers and any unused sample containers be returned to us within 30 days.

Sample Submission Requirements

All samples submitted for analysis must be accompanied by a completed chain of custody form or letter indicating the required analyses. For your convenience, chain of custody forms can be obtained from the lab or downloaded from our website at www.phaseonline.com. Below are instructions and an example on how to properly complete a chain of custody form.

1. PSS Client: Name of Company submitting samples.

Office Location: Please provide location of the office submitting the samples if your company has more than one location – either city or state.

Bill To (if different): Name of Company to bill if different from Client listed.

5. Relinquished By: This is one of the most important parts of this form. The person that has collected the

sample should sign, date, and time the form in the top most block labeled Relinquished By: (1). Each person that has accepted the sample should sign in the adjacent Received By: box. When the sample is relinquished again, it should be signed with date and time in the next Relinquished By: box. These signatures establish the "chain of custody" and show who has had possession of the samples prior to reaching the laboratory. Once at the laboratory, the sample custodian will sign on the last Received By: box.

The Client, by signing, or having the client’s agent sign the “Sample Chain of Custody/Agreement Form”, agrees to pay for the above requested services per the latest version of the Service Brochure or PSS provided quotation, including any or all attorney’s or other reasonable fees if collection becomes necessary.

Getting Samples to Phase Separation Science

Phase Separation Science offers a no cost “all day” courier service as a courtesy to clients within our service area. The Routine Courier Service Area map below indicates the normal area of operation for this service. This range can be expanded but may incur an additional cost. The no cost pickup service requires that samples be ready for pickup at your office or project site by 9 AM. The samples will be picked up sometime between 9AM and 5PM and delivered to the laboratory the day of the pickup. Sample pickups can be accommodated at other times or transported to the lab on an expedited basis, but these services normally incur an additional cost. Please contact the lab for the costs associated with rush pick-up service. Please note that if the samples are not ready upon the courier’s arrival, additional charges for wait time may also be incurred.

To schedule a no cost “all day” pickup, call our office at 410-747-8770 or send an email to [email protected]. For sample deliveries outside of our normal business hours, please call a client services representative to discuss special arrangements. Samples can be shipped to the lab from anywhere via UPS and FedEx.

All couriers are trained in proper chain-of-custody procedures for your convenience, but do not carry ice or coolers, so samples must be properly iced in a cooler for transport to the laboratory.

The PSS Web LIMs portal provides 24 hour a day access to your results and invoices. Access is provided through secure login privileges through our homepage. All you need for this access is to arrange for a secure account to be set up.

Invoicing

PSS routinely delivers invoices via email in a .pdf document to the client’s Accounts Payables department and/or Project Manager. Alternatively, invoices can be delivered via the client’s web portal and online payment system or if requested, via hardcopy by mail.

Disclaimer & Assumed Client Responsibility Limitations of Liability

THIS AGREEMENT SHALL CONSTITUTE A CONTRACT BETWEEN CLIENT IDENTIFIED HEREIN AND PHASE SEPARATION SCIENCE, INC. ("PSS") AND IS SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS:

1. Client agrees he has full knowledge of the conditions provided herein; and the same shall be binding if either the services referred to herein are

accepted by the Client or if the Client does not within a reasonable time not to exceed Thirty (30) calendar days from the date hereof deliver to PSS written objections to said conditions or any part thereof. No purchase order or other order for work shall be accepted by PSS which includes any conditions that vary from the above described terms, and PSS hereby objects to any conflicting terms contained in any acceptance or order submitted by the Client. PSS shall perform work for Client as an independent contractor.

2. Client's request for service shall outline the scope and preferred timing for the work to be performed, and Client will provide such additional

information as requested by PSS as may be necessary for the satisfactory performance of the work covered by the analysis request. A surcharge is usually assessed to the listed fee if rush analysis is requested and is offered subject to availability and prearrangement; the surcharge will depend upon the analysis to be performed. Client will notify PSS of any hazardous substances present at the site where samples were acquired or believed by Client to be present in the samples that may put PSS employees at risk. PSS may refuse or revoke acceptance of samples PSS determines presents s risk to health, safety or the environment of that PSS is not authorized to accept. Client shall promptly remove from PSS's facilities any sample for which PSS revokes its acceptance. PSS will dispose of most samples upon the Client's request, and reserves the right to assess a charge for disposal of samples PSS considers difficult to handle or at the option of PSS to return the samples to the Client in lieu of disposal. All such samples returned shall be accepted by the Client.

3. Unless otherwise agreed by PSS in writing, Client shall use reports prepared by PSS only for the purposes disclosed to PSS at the time of

contracting. PSS shall maintain record for work for a period of no more than three (3) years after completion of said work and shall be the owner of all such documents.

4. PSS reserves the right at any time to revoke any credit extended to Client because of Client's failure to pay for any services when due or for any

other reason deemed good and sufficient by PSS, and in such event all subsequent services shall be paid when services are requested by Client. In addition to any other rights and remedies provided by law, PSS reserves the right to suspend any further work for Client and to retain any and all of its work product not yet delivered to Client for nonpayment or other breach of these terms. In said event, the Client shall have no right to use the work of PSS for any purpose until the same has been paid for in full or the breach cured.

5. PSS shall not be liable for failure to deliver due to delays in delivery occasioned by strike, lockouts, fires, inability to obtain materials, breakdowns,

delays of carriers or suppliers, governmental acts and regulation, or other causes beyond PSS's control.

6. This Agreement is non-cancellable by the Client for any cause until Five (5) days prior written notice of such intentions shall have actually been received by PSS, and Client shall be obligated to accept any services provided by PSS during such period and pay for such services.

7. The Client shall comply with EPA protocol regarding sample volume, preservation, cooling, containers, sampling procedures, holding times and

the splitting of samples in the field. All samples shall be labeled, packaged, manifested, transported and delivered by Client in accordance with the most current state and federal regulations, including but not limited to the Occupational Safety and Health Administration (OSHA), Environmental Protection Agency (EPA), Toxic Substances Control Act (TSCA), Resource Conservation and Recovery Act (RCRA), the Department of Transportation (DOT), the Nuclear Regulatory Commission (NRC), the Food and Drug Administration (FDA), and any federal, state and local agencies.

8. PSS shall perform services with reasonable care and diligence normal to the analytical\environmental testing laboratory industry, reserving the right

to modify methods as necessary based upon experience and/or current scientific literature. It will perform its services consistent with its quality assurance procedures (available to the Client at his request) and it is the exclusive responsibility of the Client to confirm that PSS's standard procedures will meet the needs of the Client prior to placing an order for work. THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES. PSS's sole obligation hereunder shall be to re-perform at its own expense services which are materially deficient because of its failure to materially perform said services in accordance with this Agreement. EXCEPT AS EXPRESSLY STIPULATED HEREIN, PSS MAKES NO EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ON THE SERVICES AND/OR RELATED MATERIALS TO BE FURNISHED BY PSS. IN NO EVENT SHALL PSS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES IN ANY WAY RELATED TO THE USE OF INFORMATION, INTERPRETATION OR ANALYSIS PROVIDED BY PSS NOR SHALL PSS BE LIABLE IN ANY EVENT, INCLUDING BUT NOT LIMITED TO ITS OBLIGATION TO RE-PERFORM, FOR ANY LOSSES, DAMAGES OR CLAIMS IN EXCESS OF THE AMOUNT PAID TO PSS FOR THE SERVICES HEREUNDER [AND THE CLIENT AGREES TO INDEMNIFY PSS FROM ALL LIABILITIES TO OTHERS IN EXCESS OF ANY SUCH AMOUNT]. PSS accepts no legal responsibility for the purposes for which the Client ses the test results. If the Client directs a manner of making tests that varies from standard or recommended procedures, the Client shall hold PSS harmless from all claims, damages and expenses arising out of such direction. Without limiting the generality of the foregoing section, in no event shall PSS be liable for damages unless it has been notified by Client of the discovery of any claimed negligent act, error, omission or breach within thirty (30) days of the date of its discovery and unless Client has given PSS an opportunity to investigate and to recommend ways Client may mitigate the damages.

9. All warranties, if any, by any manufacturer or supplier other than PSS are theirs, not that of PSS, and only such manufacturers or suppliers shall be liable for performances under such warranties, unless PSS furnishes Client with a separate written warranty.

10. All claims for alleged defects in services shall be deemed waived unless made in writing and delivered to PSS within a reasonable time in no event

to exceed Thirty (30) calendar days after completion of the services by PSS.

11. Unless otherwise agreed in writing by PSS, Client shall be responsible for all freight and shipping charges in addition to the price of the services specified in the Agreement. The risk of loss or damage to the sample is during shipment remains with the Client.

12. The Client and PSS covenant and agree that regarding any dispute arising out of any of the terms and conditions of this Agreement, that in addition

to any other lawful jurisdiction, the Courts of the State of Maryland in the County of Baltimore shall have to the fullest extent permitted by law and this document jurisdiction over the subject matter of any such dispute and the persons of the parties, regardless of the residence, citizenship or domicile of said parties, provided, reasonable opportunity to appear before the Courts of the State of other service of process authorized under the Maryland Rules, actual notice shall be construed to mean a copy of the summons and complaint mailed certified, return receipt, to Client's last known business address or by delivering a copy of the summons and complaint to any person of suitable age and discretion employed by Client at Client's last known business address.

13. Any representation, understanding, proposal, agreement, warranty, course of dealing or trade usage not contained herein shall not be binding on PSS. 14. This Agreement may not be changed or terminated orally. Further, no change, termination or waiver of any of its provisions shall be valid unless

in writing and signed by the party against who such claim change, termination or waiver is sought to be enforced. 15. Any different or additional terms contained in any other document other than this instant Agreement herein is hereby expressly objected to and

rejected by the PSS. 16. Waiver by PSS of a breach or any of the terms and conditions of this Agreement shall not be construed as a waiver of any other breach. 17. Any taxes, duties, fees, charges and assessments of any nature levied by any governmental authority in connection with this transaction, whether the

levy is against the Client, against PSS or PSS's employees or against any of PSS's subcontractors or their employees, shall be the responsibility of the Client.

17. Payment in full is due on the date the services are completed by PSS, the results are made available to the Client or its agents by PSS and an invoice

is mailed to the Client. This date shall constitute the due date ("Due Date") for all payments owed under this Agreement. 18. Any monies owed under this Agreement not paid within Thirty (30) days of the Due Date shall be considered an overdue balance ("Overdue

Balance") and said Overdue Balance shall accrue interest at the rate of One and One Half Percent (1.5%) per month, compounded monthly. Further, Client shall pay PSS the sum of Fifty Dollars ($50.00) for each check proffered Buyer but not honored.

19. Client shall pay PSS's reasonable collection costs incurred in collecting any Overdue Balance under this Agreement. For purposes of this Agreement

it is agreed by the parties that reasonable collection costs shall include but not be limited to PSS's reasonable attorney's fees and court costs. It is further agreed that reasonable attorney's fees under this Agreement shall be defined as the sum of Five Hundred Dollars ($500.00) plus an additional Thirty- three and One-third Percent (33 1/3%) of that part of the Overdue Balance in excess of One Thousand Dollars ($1,000.00). Said Five Hundred Dollars ($500.00) plus Thirty-three and One-third Percent (33 1/3%) of that part of the Overdue Balance in excess of One Thousand Dollars ($1,000.00), is not a penalty of any type, but rather the reasonable and fair estimate of the parties of the attorney's fees that would be incurred by PSS initiating litigation against the Client for any Overdue Balance under this Agreement. Client agrees to indemnify and hold PSS harmless from and against demands, damages and expenses caused by Client's negligent acts and omissions and breach of contract and by the negligent acts and omissions and breach of contract of persons for whom Client is legally responsible. Client shall compensate PSS for its services and expenses if PSS is required to respond to legal process related to its services for Client; compensable services shall include, for example, hourly charges for all PSS personnel involved in the response, the preparation of the testifier and appearances related to the legal process.

20. PSS shall, while performing its work for Client, maintain in force worker’s compensation insurance in the amount require by law and general

liability insurance in the amount of not less than One Million Dollars ($1,000,000.00). 21. It is the policy of PSS not to discriminate against any employee or applicant for employment because of race, color, national origin, religion, sex, age

or any reason prohibited by law. 22. This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.
