PROGRAM DESCRIPTIONS Governance Essentials for Charitable Trustees INTRODUCTION Are you a Trustee or Responsible Person to a Charitable Trust, Private Ancillary Fund (PAF), Public Ancillary Fund (PuAF), Corporate Foundation, or Private Trust? Philanthropy Australia believe that everyone in these roles need support on how to do their role in the most efficient and effective way and to ensure compliance. OBJECTIVES Two of Australia’s leading professional associations (Philanthropy Australia and the Australian Institute of Company Directors (AICD) have collaborated to develop a powerful and insightful governance program for trustees and directors of charitable foundations who invest and distribute funds for social good in Australia and overseas. Being a trustee or a director/responsible person of a charitable foundation and/or a Private/Public Ancillary Fund (PAF/PuAF) is an intrinsically rewarding role. It also brings significant responsibilities. Trustees of each have the ultimate responsibility for its governance. They are responsible for directing the affairs of the foundation to ensure it is well run and compliant with the law, relevant Guidelines and the Trust Deed. The purpose of this intensive course is to ensure that all new trustees of philanthropic structures have a sound understanding of their responsibilities and duties through: 1. Gaining perspective and greater understanding of the governance duties of investment,

administration and granting of trustees 2. Compliance and reporting requirement – ACNC & ATO 3. An understanding of best practice All participants who complete the program will receive a Certificate WHO SHOULD ATTEND Participants will either be a Trustee or considering becoming a Trustee or Responsible Person in a philanthropic entity. Savvy Giving – Essentials for Contemporary Giving Programs INTRODUCTION Are you in a grants program role in a trust/foundation, corporation, corporate foundation, government or local government granting program? We believe that everyone in these positions need support on how to do their role in the most efficient and effective way. We can all improve how we give by understanding more about the individuals and not-for-profits that we aim to serve and the impact we want to make. This intensive workshop aims to provide participants with valuable resources to learn how to give in a way that can measurably impact and utilise best-practice. OBJECTIVES The purpose of this intensive workshop is to build expertise and confidence to undertake the grant-making role effectively through: 1. Gaining perspective and greater understanding of the current philanthropic and impact investing

landscape through case studies and first-hand experience 2. To be equipped with basic tools and core strategies of giving 3. Genevieve Timmons

Genevieve Timmons has been active in philanthropy and grant-making for more than three decades, pioneering approaches to contemporary giving programs and promoting thought leadership around generosity in Australia and New Zealand. She has worked with a wide range of clients and employers, including private donors, family offices, staff, boards and advisors. Her wide and deep experience includes design, establishment, regeneration and management of philanthropic grant-making programs. Responsibilities have to focus on strategic review, forward planning, engineering effective grantee relationships, assessment of thousands of funding requests, delivery of professional development for staff and boards engaged with philanthropy, preparation of confidential briefings and facilitation of numerous events. This contribution over many years has resulted in strong and respected networks, and appointment to key roles which have facilitated positive reputation and enduring legacies, plus optimal results from philanthropic giving. Genevieve was CEO of the Reichstein Foundation for 12 years, followed by 5 years as an international consultant in philanthropy and grant making. In 2004, she was appointed Philanthropic Executive for the Portland House Foundation, a private family foundation with a charter to assist people to move out of disadvantage. Genevieve worked with the Chair and family board for thirteen years. During that time she assessed the early giving patterns of the family, developed a charter to guide the next stage of funding activity, and built a portfolio of grantee relationships which reflected both family priorities and a contemporary understanding of effective philanthropic giving. Board responsibilities include sitting on the Council for Philanthropy Australia, board member of Australian Communities Philanthropy, founding director of the Mornington Peninsula Foundation, board member of the Fellowship for Indigenous Leadership, member of the Business School Advisory Board at Swinburne University, plus close working ties with the Merrin-Grenet Foundation. Past board appointments include director of the George Hicks Foundation, and a 9 year term as founding board member and Chair with the Inner North Community Foundation. Genevieve also served with the board of the Victorian Foundation for Survivors of Torture for thirteen years. Early career highlights include work with several not for profit organisations, including the CERES project in Brunswick where she was the founding staff member. In 2017 Genevieve was awarded an Honorary Doctorate from Swinburne University for her distinguished contribution to philanthropy over three decades. She is a Senior Fellow of the Johns Hopkins International Fellows in Philanthropy Program, a global civil society network which has taken her to more than twent different countries since 2000. She is also a graduate of the Australian Institute of Company Directors, was inducted into the Australian Communities Philanthropy Hall of

Fame, and is a Fellow of Leadership Victoria. In 2013, Genevieve published Savvy Giving, a book commissioned by the Australian Communities Foundation and designed to promote effective philanthropic giving in Australia. Savvy Giving brought together Genevieve’s earlier professional development resources, also featured in The Grant-maker’s Toolkit published with Philanthropy New Zealand in 2010. Throughout her career, Genevieve has been at the forefront of professionalisation of philanthropic giving, raising the profile of private giving, and advocating for efficient relationships with grant recipients, colleagues, peers and partners. Her approach is to build capability with donors, and accelerate their progress in technical or creative areas of operation. Understanding the significance of reputation, legacy and innovation for grant-makers is central to the work, together with the ability to recommend according to the readiness and positioning of each client. Assignments often require the capacity to work with diverse interests and multiple stakeholders, exchanging with peers and engaging effectively across business, government, community and academia.

Personal profile Genevieve was raised in Horsham, Victoria, and is part of a large extended family. Her work is

underpinned by first -hand experience of the challenges and opportunities for rural communities,

and also the pressures and triumphs of family life. She has travelled to more than twenty different

countries as a Fellow of the Johns Hopkins International Fellows in Philanthropy Program, and

appreciates the value of philanthropy at every level – personal, family, community, regional and

global.

Isaac Jeffries

Isaac Jeffries designs and builds social enterprises, in Australia and in the developing world. He works at Business For Development, an NGO that creates sustainable businesses that lift thousands of families out of extreme poverty. Isaac also works with The Difference Incubator, as an advisor to social enterprises and not for profits who are looking to become financially sustainable. Most of Isaac’s work centres around building strong business models – by making an enterprise resilient, it has the best possible chance of changing the world. He’s also passionate about young people getting involved in social enterprise, both to develop their skills and to find creative ways of addressing important problems.

Dan Madhavan

Daniel has spent the past 15 years working in finance and investment markets. He spent 12 years at one of Australia's leading investment houses, JB Were (and Goldman Sachs JBWere). He worked across a range of different roles including Investment Advisor, Head of New South Wales, Chief Operating Officer and Acting CEO. In 2014 he joined Impact Investing Australia as the inaugural CEO and led the organisation until March 2017. Impact Investing Australia is a non-profit organisation focussed on supporting the development of impact investing as a market, a field and an ecosystem. Dan is currently CEO, Impact Investment Group. He now spends his time working on a range of projects and businesses that use enterprise and finance as vehicles for social change. Daniel is the Chairman of YGAP (Y Generation Against Poverty) and a Non-Executive Director of Impact Investing Australia, Sanfilippo Children’s Foundation and Impact Capital Australia. He also sits on Advisory Boards at Melbourne Accelerator Program and Foundation for Young Australians. Tracy Matthews FAICD FCA Tracy Matthews is a fellow of the Institute of Chartered Accountants Australia and New Zealand with 26 years’ experience as a chartered accountant and 16 years’ experience as a non-executive director. Following an executive career as CFO and CEO in the radio broadcasting industry, Tracy is now a full time non-executive director and Australian Institute of Company Directors facilitator. Having joined her first board in 2000, Tracy brings corporate governance experience from across a variety of sectors and organisational structures including government-owned organisations, not-forprofits, industry superannuation, private companies, family companies and trusts. Her experience is also across industries including broadcast media, financial services, transport, printing, sporting clubs, community services, investments, port and airport operations, trustee services and building, and construction VET. Current directorships include the Tasmanian Ports Corporation, the Public Trustee, the Tasmanian Building and Construction Industry Training Board (chair), the Royal Yacht Club of Tasmania (vice commodore) and a private family group and philanthropic foundation. Tracy is also the external chair of the audit committees for the Office of the Auditor General Tasmania and NRM South Inc. With the guiding principle of purpose drives the choices we make, Tracy has a particular interest in the board’s role in moving an organisation towards a common vision through clarity of purpose and the relationship between ethics, shared values and risk management. Tracy is also particularly useful in demystifying financial statements for non-accountants.

Chris Wootton

Chris joined Philanthropy Australia in 2014 after working in philanthropy for over 10 years managing the

granting programs for some of the largest trusts including the Helen Macpherson Smith Trust; William

Buckland Foundation; L E W Carty Charitable Trust, The Felton Bequest; Sylvia & Charles Viertel

Charitable Trust, the JO & JR Wicking Trust and the RACV Community Foundation. In his previous role at

ANZ Trustees (now Equity Trustees), Chris was responsible for philanthropic advice and granting

programs for more than 250 trusts and foundations across Australia distributing over $85 million per

year.

He was the inaugural CEO of WaterAid Australia (2004 – 2007) an international aid and development

agency delivering water and sanitation community development programs in Africa, Asia and the

Pacific and established new programs in Timor-Leste and Papua New Guinea. Chris has also held

senior executive roles at Melbourne Water, the University of Melbourne as General Manager, Vice-

Chancellor’s Office and was the inaugural General Manager of Melbourne University Private. His

Board experience includes: Community Information and Support Victoria (2009 – 2015); Bushfire

Education Foundation (2013+); Burton Burns Trust (2015+); National Foundation for Medical

Research & Innovation (Engagement Committee – 2015+); The Trustees for the Strathewen Bushfire
