The quorum being present at the meeting, the CEO started the proceedings.

The President & Chief Executive Officer (CEO), informed the members that the Chairman of the Board

is unwell and was granted a leave of absence. In accordance with the Articles of Association, out of

the Directors, Mr. Riyaz T. Chinoy was requested to chair the meeting which was approved by the

members present.

The Chairman welcomed the members to the meeting and upon confirmation of the quorum from

the Company Secretary, the meeting was commenced. The notice was taken as read and the

following business was taken up:

S. No. 1 TO CONFIRM THE MINUTES OF THE 12th ANNUAL GENERAL MEETING OF THE

INSTITUTE HELD ON OCTOBER 24, 2016. Action

The Company Secretary placed the minutes of the 12th Annual General Meeting held on 24 October

2016 for approval. The Chairman invited comments, on the minutes. The House reviewed the minutes

and on the proposal of Mr. Wakil Ahmed Khan and as seconded by Mr. Mazhar Hussain and Mr.

Kalim-ur-Rahman, the minutes unanimously of the 12th Annual General Meeting of the Institute held

on 24th October 2016, were confirmed by adopting the following resolution:

“RESOLVED THAT the minutes of the 12th Annual General Meeting of the Pakistan Institute of

Corporate Governance held on 24 October 2016 be and are hereby taken as read and approved.”

S. No. 2 TO RECEIVE, CONSIDER AND ADOPT THE AUDITED FINANCIAL STATEMENTS OF THE INSTITUTE TOGETHER WITH DIRECTORS AND AUDITORS REPORTS

THEREON FOR THE YEAR ENDED JUNE 30, 2017 Action

The Chairman invited Mr. Feroz Rizvi, President & CEO to present an overview of the activities of the

Institute and the Financial Statements of the Institute for the year ended 30 June 2017 together with

the Directors’ Report and Auditors’ Report thereon. After the CEO’s performance review

presentation the floor was open for questions.

Mr. Khawaja Ehrar-ul-Hassan asked about Rs.3.5M paid to the out-going CEO as encashment of un-

availed earned leave, to which the CEO replied that this relates to encashment of his unutilized

annual leaves being accumulated over the years. He further enquired about decline in Directors

Training programs and was informed that this was due to the relaxation given by SECP, restricting the

training requirement to 50% of the directors. That in line with the practice in most jurisdiction PICG

should be the only organization authorized to conduct directors training. The CEO explained that the

lower participation in CGLS, was also due to the ballooning effect of a significantly higher number in

the period April-June 2016, resulting from the expiry deadline as earlier set by the SECP.

After a brief discussion on the proposal of Mr. Salah Uddin and as seconded by Mr. Kalim-ur-

Rahman, the House unanimously approved the Audited Financial Statements for the year ended June

30, 2017 together with the Directors’ Report and Auditors’ Report thereon and adopted the

following resolution:

“RESOLVED THAT the Audited Financial Statements of the Pakistan Institute of Corporate

Governance for the year ended 30th June 2017 together with the Directors’ Report and Auditors’

Report thereon be and are hereby approved.”

S.No. 3 TO APPOINT AUDITORS FOR THE FINANCIAL YEAR ENDING 30th JUNE, 2018

AND FIX THEIR REMUNERATION Action

CEO informed the House that M/s A. F. Ferguson & Co. are eligible and have consented to act as

auditors of the Institute for the year ending 30th June 2018, at a fee to be agreed by the management.

The House, on the proposal of Mr. Khawaja Ehrar-ul-Hassan and as seconded by Mr. Adi J. Cawasji

unanimously adopted the following resolution:

“RESOLVED THAT M/s. A. F. Ferguson & Co., Chartered Accountants be appointed as statutory

auditors of Pakistan Institute of Corporate Governance for the year ending 30th June 2018 at a fee

to be agreed with the Management.”

S.No. 4 OTHER MATTERS

Mr. Kalim-ur-Rahman enquired whether individual members are eligible to contest the elections for the BoD seats at PICG. The CEO responded that there is no provision in the current Articles of Association, providing for individual members to contest the elections for PICG Directorship.

Chairman’s review

On behalf of the Board of Directors, I am pleased to present to you my review of the Institute’s performance for

the financial year 2017-18.

Finance

The Institute’s financial performance improved significantly over last year. In contrast to a deficit of Rs.6.9m

we are reporting a surplus of Rs. 8.7m. The board has expressed its concern on the exceptionally large

amount of tax recoverable, reflected in the Balance Sheet. This has arisen because tax was deducted at

source by clients due to delays in receipt of tax exemption certificate from the tax authorities despite PICG

being a section 42 company which is tax exempt. The board has directed the management to continue its

vigorous efforts to recover all outstanding amount from the tax department

Board Changes

The previous board completed its term on November 18, 2017 and a new board was elected for a three year

term. Eight (8) directors who joined the board are nominees of our founding members while six (6) are

nominees of of full members.

On behalf of the board, I would like to place on record the services rendered by Mr Tawfiq Asghar Hussein

the outgoing Chairman and the outgoing board in particular Mr Zafar Abdullah, Mr Asad S Jafar, Mr Khalid

Rahman, Mr Moin Fudda, Mr Nauman Ansari and Mr Zia Ul Mustafa Awan in discharging their responsibilities

to the utmost and guiding the management of the Institute last year.

The composition of the newly elected Board of Directors is a good mix of sponsor and independent directors and the members collectively have the knowledge, skills and experience to make effective decisions on corporate strategy and good corporate governance practices.

The new board underwent a formal orientation session in which they were introduced to the CEO and his

direct reports and were given a briefing on the workings of the Institute. Together with the management team,

this Board seeks to imbue the Institute with a renewed sense of purpose and energy.

Board Performance

The Board normally meets at least once in every quarter to consider operational results, once a year to consider

the budget for the following year while one meeting is reserved to focus on corporate strategy.

To strengthen the working of the Board , four committees of the Board had been set up in prior years; namely

the Board Audit Committee, Human Resource Committee, Board Investment Committee and the Strategic

Planning Committee .However as the year progressed the board decided to dissolve the Strategic Planning

Committee as all Directors desired to be engaged in the important task of shaping the strategic direction of the

Institute.

The Board agreed that these sub- committees were essential for supporting the functioning of the Board,in line

with best practices of the Listed Companies (Corporate Governance) Regulations, 2017 and Companies Act,

2017. Both the audit and the HR and Remuneration committees are headed by independent directors. .The

Board approved a Board Charter and Terms of Reference for each of these sub committees

The Board Audit Committee was formed under the Chairman ship of Mr. Ashraf Bawany, an Independent

Director.This committee met four (4) times during the year.

The Human Resources & Compensation was established under the Chairmanship of Mr. Yousaf Hussain.The

Board Investment Committee is chaired by Ms. Maheen Rahman. This committee met once(1) during the year.

The Board of Directors met six(6) times during the year. Aside from dealing with normal routine fuctions and

providing oversight to the management the Board focused on the future strategy to grow the Institute, business

opportunities and risk management in light of the direction received from the regulator. During the meetings it

was agreed that a sharper focus was required on diversifying and reducing reliance on the Flagship Director

Training programme.

A full fledge review of the performance of the board as a whole and its sub committees and of all individual

directors was deferred until after completion of one year.

The Institute has outsourced its Internal Audit function to BDO an External firm.

During my tenure on the board of this Institute I have witnessed the retirement of Mr. Fuad Hashmi who

served as President and Chief Executive of ‘The Institute’ in its formative years and established the current

reputation of PICG.The sterling service rendered by him in the formative years of laying the foundation of this

institute are applauded. In my current term as Chairman of the Board I am pleased to report that your institute

has been able to build on the foundation placed by Mr Hashmi as we have had financial success in 2017-18

as described above. This success has been due mainly to the the endeavours of the Mr Feroz Rizvi, Chief

Executive and his team but also to the guidance and direction received from the Board. I have had the privilege

of serving with the highest quality professionals on the Board. My sincere thanks to my fellow board members

for there very constructive and professional participation at Board meetings.

On behalf of the Board, I especially thank the two apex regulators Securities and Exchnge Commission of

Pakistan for their unwaivering support and the State Bank of Pakistan for their guidance and , suppliers,

customers, bankers and business partners for their confidence and support.

The Board looks forward with confidence to the year ahead.

Directors Report to the members of Pakistan Institute of Corporate

Governance (PICG) for the year ended 30 June 2018

The Board of PICG is pleased to issue its report on the affairs of your Institute, for the year

ended 30 June 2018.

Boards Composition and Remuneration

Composition of the board and the names of the Members of the Board and its sub

committees maybe referred to at Page no. 23 – 25.

Operations

During the year ended 30 June 2018, the Institute conducted 16 Corporate Governance

Leadership Skills (CGLS) workshops and over 150 Directors went through the PICG’s flagship

Directors training program which is the only program in the country that certifies Individuals

after they have passed a formal online exam. In addition, we conducted 3 in company

programs making a total of 19 such trainings against 13 last year. These included 13 in

Karachi, 3 in Lahore and 2 in Islamabad and one in company training held in Abu Dhabi. The

average participation per session this year was slightly higher than last year. The increase in

the number of offerings and higher participation level resulted in revenue from CGLS at

Rs.32.64m in 2018 being 52% higher than last year.

Business Review

Your Institute developed additional training programs, commensurate with its main

objective of improving governance across the corporate world. These programs are

designed to enhance the board’s and other senior managers’ governance capabilities and

competence, leading to improved corporate performance and also enabling them to

discharge their stewardship responsibilities more effectively. Governance as a Board’s

agenda is co-extensive with growth and profitability of an organization. Any priority

extended to the latter without a concomitant improvement in the former will not be

conducive to the long-term sustainable growth of an organization. Companies should not

just seek to enhance short-term development at the expense of long-term sustainability.

During the year 11 such specialized workshops were conducted which led to further growth

in revenue and also curtailed the dependence on a single source of income from CGLS

Finance

After reporting a deficit last year, for the first time in our history, measures were taken by

the Institute to curtail expenses by restructuring staffing levels. CGLS programs were

increased and, as mentioned above, other training workshops, consistent with the aim of

improvement in governance, were introduced. These efforts were successful. Revenue at

Rs.58.1m increased by 28% compared to last year while expenses were substantially

curtailed. Despite increase in CGLS and other specialized workshops, professional services

increased only marginally by 13%. This was achieved through the use of in house faculty,

without any compromise on quality. The institute ended the year on a surplus of Rs.8.7m

compared with a loss of Rs.6.9m last year. One area of concern of your board is the

outstanding amount recoverable from the tax authorities. This amount has now grown to

Rs.10.5m and despite best efforts, we have not been able to claim it back from the tax

authorities. The board is hopeful that with the new administration in place, payments of

stuck up tax claims will be expedited

Membership

The Institute continues to encourage corporate bodies and individuals that would like to

benefit from and contribute to the improvement in governance and transparency in

businesses to become its members. This year five individual and three corporate members

were admitted to membership. In addition, OGDCL applied for and was admitted to Life

membership. Further, 12 members were converted to full members, becoming entitled to a

nomination to PICG’s board. The directors welcome all new corporate and individual

members.

Research and development

Technical release

The Research and Development team which started a bi-monthly technical release covering

important aspects of governance and other relevant technical matters, has, on demand,

converted it into a monthly release. Your board feels confident that the technical letter is

beneficial to the members

Code of Corporate Governance 2017

A taskforce constituted by your board aimed at improving the existing Code of Corporate

Governance, submitted its recommendations to SECP in February 2017. The Board is

pleased to inform you that most of the recommendations of the taskforce were accepted by

SECP and that has led to the revision in the Code of Corporate Governance 2012. The new

code, applicable from January 2018, incorporates the latest development in governance

that have taken place across various jurisdictions and it is hoped that the new code will go a

long way in improving corporate performance, transparency and accountability . Businesses

play a very vital role in the economy of the country, underpinning its growth, leading to

sustainable development. To succeed in the long-term, company’s culture should promote

integrity transparency and diversity to enable the board of directors to be more responsive

to shareholders and other stakeholders. The new Code incorporates a framework to take

into account the increased demands on directors now placed by the Companies Act 2017

and other enhanced reporting requirements.

Corporate Social Responsibilities

As part of its Corporate Social Responsibilities (CSR), the Institute is now giving substantial

discounts on its training programs to board members of Non Profit Organizations to enable

their boards to get certified and benefit from the Institute’s outstanding training programs.

Your Institute was instrumental in bringing gender diversity to the revised Code of

Corporate Governance. Accordingly in order to ensure an adequate complement of

potential female candidates on boards, a discount to female participants paying their own

fee, is also given.

Independent Directors Databank

The new company’s Act requires that independent directors can only be selected from a

databank maintained by an organization appointed by SECP. Your board is pleased to inform

you that your Institute was notified by SECP as the organization responsible for developing

and maintaining this databank. The databank was developed by end June and became live

from July and can be accessed on the PICG website www.picg.org.pk.

This databank allows Registered companies to sort the Individuals listed on the Databank by

their gender, profession, area of expertise etc. These filters enable companies to narrow

down their selection criteria to suit their requirements.

The subscription to the databank which is Rs.15,000 per year for a minimum period of 3

years. Advance subscription for 3 years can also be paid. To date more than 250 people

have registered on this Databank which is open to anyone suitable for board appointment

for a nominal onetime charge of Rs.7,500

The new code requires that every listed company has a female Director on its board after

one year from the effective date of the revised code or when the board is next reconstituted

whichever is later .It is therefore expected that over the next few months more females

would register their credentials on the databank to further the cause of diversity which your

institute has very vigorously championed.

Compliance with the Code of Corporate Governance

As required under the Code of Corporate Governance 2017 the Directors are pleased to

state as follows:

The financial statements of the Institute present fairly its state of affairs, the results

of its operations, cash flows and changes in equity.

Proper books of accounts of the Institute have been maintained.

Appropriate accounting policies have been consistently applied in preparation of

financial statements and accounting estimate are based on reasonable and prudent

judgment. Proper accounting records have been maintained by the Institute.

International Financial Reporting Standards, as applicable to the Institute, have been

followed in preparation of financial statements and deviation, if any, from these

have adequately disclosed and explained.

The Chief executive officer and the CFO have reviewed the financial statements and

Chairman’s and Board of Directors reports. They acknowledge their responsibility for

true and fair presentation of the financial statements, accuracy of reporting,

compliance with regulations and applicable accounting standards.

The system of internal control is sound in design and has been outsourced and

effectively implemented and monitored.

There are no significant doubts about the Institute’s ability to continue as a going

concern.

The Institute has issued a statement of compliance with the code of corporate

governance which has also been reviewed by the auditors of the Institute.

There has been no material departure from the best practices of Corporate

Governance as detailed in the listing regulations.

The Board of directors of the Institute is committed to good corporate governance

and appropriate steps are taken to comply with best practices.

Appointment of Auditors

The statutory auditors of the Institute A. F. Ferguson & Co. have completed their audit of

the financial statements and the Statement of Compliance with the code of corporate

governance for the financial year ending 30 June 2018 and shall retire on the conclusion of

the next Annual General Meeting.

The Audit firm has confirmed that it has been given a satisfactory rating under the Quality

Control Review Program of the Institute of Chartered Accountants ICAP and that the

partners are fully compliant with the International Federation of Accountants Guidelines on

Ethics .

The auditors have again given their consent to act as external auditors of the Institute for

the year ending June 30, 2019. Being eligible for reappointment they are being

recommended for reappointment for the financial year ending 30 June 2019.

Future Outlook

The first quarter of the current year has started on a positive note with an increase in the

participation level of CGLS and an inflow of Directors being registered in our Independent

Directors databank.

Statement of Compliance with the

Code of Corporate Governance Regulations, 2017

Pakistan Institute of Corporate Governance (PICG)

for the year ended June 30, 2018

This statement is being presented to voluntarily comply with the Code of Corporate Governance (CCG) 2017 and establishes that PICG is managed in compliance with the best practices of corporate governance. PICG is not required to comply with the provisions of the CCG which are applicable to listed companies. However, in order to ensure the implementation of best practices in its own operations, the Board of Directors of PICG decided to measure its governance against the requirements of the CCG issued by the Securities and Exchange Commission of Pakistan (SECP). Accordingly, it complies with such provisions of the CCG that specifically relate to its activities and operations.

The Institute has complied with the requirements of the Regulations applicable to the activities and operations of PICG in the following manner:

3. The directors have confirmed that none of them is serving as a director on more

than five listed companies (excluding the listed subsidiaries of listed holding companies where applicable).

4. The Institute has prepared a “Code of Conduct” for its Visiting Faculty, employees

and Board and has ensured that appropriate steps have been taken to disseminate it throughout the Institute along with its supporting policies and procedures.

5. The Board has developed a vision / mission statement, an overall corporate strategy of the Institute and significant policies of the Institute. A complete record of particulars of significant policies along with the dates on which they were approved or amended has been maintained.

6. All the powers of the Board have been duly exercised and decisions on relevant

matters have been taken by Board as empowered by the relevant provisions of the Act and these Regulations.

7. The meetings of the Board were presided over by the Chairman and, in his absence, by a director elected by the Board for this purpose. The Board has complied with the requirements of Act and the Regulations with respect to frequency, recording and circulating minutes of meeting of Board. The Chairman of the Board was elected 29 days after the elections of the Board of Directors, that is later than the prescribed period of 14 days. One casual vacancy occurred on the Board during the year on May 22, 2018 which was filled up on August 8, 2018 (within 90 days’ time period). An application has been sent to the SECP to determine the fit and proper criteria for the placement of the director.

8. No remuneration is paid to the directors except for the executive director whose

remuneration is approved in accordance with the Act and these Regulations.

9. The Board is in compliance with the requirement of Directors’ Training as six

Directors’ have obtained the Directors’ Training.

10. No new appointment of Manager Accounts and Company Secretary was made during the year. The internal audit function has been outsourced to BDO Ebrahim & Co. Chartered Accountants.

11. Manager Accounts and CEO duly endorsed the financial statements before approval of the Board. Directors’ review on the affairs of the Institute was not circulated along with the circulation of the quarterly unaudited financial statements of the Institute.

13. The terms of reference of the Audit Committee, Human Resource & Remuneration Committee and the Investment Committee have been formed,

documented and advised to the relevant committees for compliance.

14. The frequency of meetings of the committee were as per following: a. Audit Committee: Four quarterly meetings during the year ended June 30,

2018. b. Human Resource & Remuneration Committee: No meeting was held during

the year ended June 30, 2018. A meeting was planned prior to June but could not be held due to lack of quorum.

c. Investment Committee: One meeting was held during the year ended June 30, 2018.

15. The Board has out-sourced the internal audit function to BDO Ebrahim & Co.

Chartered Accountants who are considered suitably qualified and experienced for the purpose and are conversant with the policies and procedures of the Institute. A coordinator has been appointed for liaising with the internal auditors.

16. The statutory auditors of the Institute have confirmed that they have been given a satisfactory rating under the quality control review program of the ICAP and registered with Audit Oversight Board of Pakistan, and that the firm and all its partners are in compliance with International Federation of Accountants (IFAC) guidelines on code of ethics as adopted by the ICAP.

17. The statutory auditors or the persons associated with them have not been

appointed to provide other services except in accordance with the Act, these regulations or any other regulatory requirement and the auditors have confirmed that they have observed IFAC guidelines in this regard.

18. We confirm that all other requirements of the Regulations have been complied with.

The above statement was approved for issuance by the Board of Directors in its

meeting held on September 12, 2018.
