Eco-Niobium Niobium Resources Inc. (“Eco”) 2016

Eco: private company with 3 directors of the 6 directors from Sphinx and with a unique knowledge of the niobium space. Goal: advance mining projects of Eco including the social acceptability aspects of a niobium project of the Oka area, which is conceptually distinct from the niobium mine project for Oka which has been proposed to date by Niocan Inc. Strategic investment: up to $250,000 by way of unsecured convertible debentures of Eco; Sphinx will hold non-dilutable 5% working interest of Eco.

IPO: Eco to seek an initial public offering on the TSX-V no later 24 months following the signature of shareholders’ agreement.

Eco’s Project

Eco-Niobium’s new concept contemplates: Protection of the integrity of agricultural land; Treatment of water to a potable quality level; Supply of water to surrounding residences and agricultural producers; Disposal of tailings below surface preventing dust generation; Rehabilitation of the old St Lawrence Columbium mine site through the

establishment of greenhouse-supported agriculture using the geothermal potential of water from the mine;

Off-site export of the concentrate containing niobium and uranium; Procedures for the monitoring and control of radon generated by the rock;

Chemin Troilus Project Summary

Acquired from Les Ressources Tectonic, 32 km2 (100% owned). Located 110 km north-northeast of Chibougamau, good road access. Within corridor containing former gold-copper Troilus mine (produced 2 million ounces of gold and 70,000 tonnes of copper) . Summer 2016 program totalling $136,640 (till sampling, ground geophysical surveys to identify the bedrock source of mineralized boulders).

Somanike Project Summary

Acquisition from: Virginia/Royal Nickel/Globex, 47 km2

(100% owned). Includes former Marbridge mine: 0.7 Mt @ 2.3% Ni, 0.1% Cu. 2015 drilling: 1.41% Ni, 0.05% Cu, 0.30 g/t Pd, 0.04 g/t Pt @ 0.5 m. Untested priority drill targets identified 14 km of cumulative length over 10 distinct conductors. Cooperation agreement with Abitibiwinni first nation/Pikogan.

Somanike Project Exploration potential

2014 airborne survey identified abundant and previously unknown ultramafic rocks. Both feeder-dykes (Raglan type) and komatiite (Kambalda type). Ni-Cu potential demonstrated by the recent nickel discovery by Sphinx in 2015. Marbridge Mine: high-grade nickel with strong potential for discoveries.
