MELBOURNE SPRING FASHION WEEK (MSFW) TERMS AND CONDITIONS OF SALE AND ENTRY 2016

Tickets, packages and products to Melbourne Spring Fashion Week 2016 (“MSFW”) are issued by City of Melbourne (CoM), the organiser of MSFW, subject to the following terms and conditions:

1. General

I. Sales tickets, packages and products are subject to availability. The submission of this order form (manual or online), does not guarantee purchase of a specific ticket, package or product. MSFW, acting in good faith, reserves the right in its absolute discretion to determine the final allocation of seats.

II. Any disputes relating to these terms and conditions must be resolved in accordance with the laws of the State of Victoria, Australia and the parties submit to the jurisdiction of the courts of that state.

III. In addition to these terms and conditions, a purchaser of a ticket, package or product(“purchaser”) and their guests (“guests”) are bound by any terms and conditions contained in or published on their tickets as well as MSFW Terms and Conditions of Sale and Entry as published at www.ticketmaster.com.au, exhibited throughout Melbourne Town Hall, the Hub at City Square and provided by MSFW on request, as amended by MSFW from time to time as required.

IV. Purchasers are responsible for the actions of their guests at all times and agree to use their best endeavours to ensure all terms and conditions herein are complied with by their guests.

V. MSFW reserves the right to vary these terms and conditions at any time for operational, security or safety reasons without notification.

2. Dress Code

MSFW encourages smart casual attire for all purchasers and guests. e.g. collared shirt and tailored pants for males. No rubber thongs or singlet’s are permitted Failure to comply with the dress code may result in purchasers and guests being denied entry to an MSFW event or venue.

3. Code of Conduct

All purchasers and guests must comply with the following:

• Wear or hold on their persons their tickets/passes at all times

• Children under the age of 18 are not permitted within the licensed hospitality areas

• Refrain from leaving seats during the runways. Please wait for the runway to finish

• Explicit, abusive or inappropriate language is not permitted

• Ensure all mobile phone devices are on silent or turned off during the runways

• Be cognisant of other guests and not provoke irritable behaviour

Please note: CoM, Melbourne Town Hall and MSFW event staff have the discretion to remove any person displaying unacceptable conduct/behavior from the relevant area.

4. Photography

I. In attending a runway show, the purchaser and their guests grants CoM, MSFW and its partners and associates permission to film or photograph you and your guests, and to reproduce that film or photograph in any audio, video, or photographic display or other transmission, exhibition, publication or reproduction in any medium or context without further authorisation by, or compensation to any purchaser or guests.

II. Professional cameras are not permitted to be carried or used by purchasers or their guests. CoM defines a ‘professional camera’ to be one which has a lens length greater than 200mm. No cameras may have a lens longer than 200mm, so as not to interfere with fellow patrons. All camera equipment must fit in or under the guests’ defined seat area so other guests are not interrupted in their enjoyment of the runway. Guests are able to bring in still non-professional cameras for their own personal use, however no video footage or commercial photographic reproductions are allowed without express written consent from CoM.

5. Ticket On-Selling

I. The sale of a ticket, product or package creates a contract between CoM and the purchaser which gives the purchaser a transferrable but conditional licence for admission to the MSFW event and venue listed on the purchased ticket.

II. The licence granted to the purchaser will automatically terminate if the purchaser does any of the following without the express written consent of CoM:

• Resells part or all of the ticket, package or product;

• Sells the ticket, package or product at a premium or through a broker or agent;

• Advertises or offers the ticket, package or product for resale on the internet or any other medium; or

• Packages, advertises or uses the ticket, package or product for advertising, promotion or other commercial purposes (including competitions or trade promotions) or to enhance the demand for other goods or services.

III. If the ticket, package or product is sold, advertised or otherwise used in breach of these conditions, the purchaser’s licence terminates and CoM may deny the bearer of the relevant ticket, package or product admission to MSFW or take any other action as it sees fit in relation to such breach.

6. Assignment

I. A ticket, package or product must be assigned to a company or individual in its entirety.

II. In the event of any assignment, the purchaser of the ticket, package or product will remain responsible for the assignee of the ticket, package or product and the individual holder(s) of the allocated ticket, package or product), and will indemnify, defend and hold harmless CoM in relation to the sale and use of the ticket, package or product.

7. Payments

I. All prices are in AUD$ and payments must be made in AUD$.

II. All prices are inclusive of GST. CoM reserves the right to adjust prices due to any increase or decrease in GST.

III. All payments will be charged by MSFW’s official ticketing agent, Ticketmaster Australasia Pty Ltd (TM).

IV. Once booking and payment is confirmed TM will issue the purchaser with a tax receipt.

V. A payment processing fee of no more than 1.95% applies to purchases by credit card, debit card or gift card. The payment processing fee includes (but is not limited to) credit and debit card fees and expenses, administration and associated infrastructure costs.

VI. Online bookings will incur a one-off transaction fee of $4.95 (inc GST).

VII. Where any payment amount for a ticket, package or product exceeds the card holder’s daily limit, it is the responsibility of the card holder to contact their financial institution to gain pre-approval for the transaction prior to payment being made. In the

case of this occurring, the ticket, package or product will not be held and upon non-payment will be put back on sale.

8. Ticket Allocation

I. Ticket allocation for all tickets, packages or products will be issued from 30 May 2016 and upon receipt of full payment. Tickets will be issued to the purchaser’s nominated email address from TM.

II. Tickets purchased after 30 May 2016, will be issued within two business days to the purchaser’s nominated email address from TM.

III. Tickets that require delivery will only be delivered to the purchaser at a Melbourne address if purchased prior to Friday 19 August 2016. Purchasers who purchase after Friday 19 August 2016 will need to collect their tickets from the ticket collection office at the MSFW venue on the night of the runway show or via TM’s print-at-home facilities.

IV. Tickets for international purchasers will only be issued to the purchaser’s nominated email address. Delivery options are not available.

V. Ticket delivery timelines will be determined by CoM.

9. Signage, Advertising and Promotions

I. No advertising or promotion by a company will be permitted within the Melbourne Town Hall or any other MSFW venue without the prior written consent of CoM.

II. No promotional items coordinated by a company in direct conflict with any of MSFW’s sponsors or preferred suppliers will be permitted within Melbourne Town Hall or any other MSFW venue.

III. No product sampling will be permitted within Melbourne Town Hall.

IV. All promotional items provided to guests must be approved by CoM in writing prior to the event.

V. If purchasing a private event, the purchaser accepts that the proposed fit out for the venue space, including any furniture and theming items, is to be organised by the purchaser at its cost and is subject to CoM’s approval. To assist the purchaser with this process, the purchaser may contact CoM’s official suppliers to discuss their furniture and theming needs.

If the purchaser elects not to use CoM’s official suppliers, the purchaser must liaise with CoM regarding site access for their selected suppliers, including but not limited to risk assessments, liability and insurance requirements, and occupational health and safety. In order to manage the safety and security of Melbourne Town Hall and other MSFW venues, CoM will only arrange site access subject to the selected suppliers meeting certain requirements provided to the purchaser at their request.

10. Indemnity and Liability

I. Purchasers of tickets, packages or products are responsible for the acts and omissions of their employees, officers, invitees and guests whilst at an MSFW venue. The purchaser agrees to release and indemnify, defend and hold harmless CoM, its officers, directors, employees, representatives and agents from and against any and all losses, liabilities, expenses, claims, demands, suits and damages whatsoever and howsoever arising (including legal fees on an indemnity basis or, if deemed inappropriate, on a solicitor/client basis) resulting from or in connection with the acts or omissions of the purchaser’s employees, officers, invitees and guests or the purchaser’s breach of these terms and conditions.

II. To the maximum extent permitted by law, the purchaser agrees that CoM and its officers, directors, employees, representatives and agents are released and discharged from any and all claims, demands, suits, damages, losses, liabilities and injuries that the purchaser (and/or its employees, officers, invitees and guests) may suffer or sustain at or in connection with MSFW, by negligence or otherwise. To the extent that CoM cannot exclude liability then, to the maximum extent permitted by law, CoM’s liability is limited (at its election) to CoM repaying amounts paid by the purchaser or supplying or resupplying any tickets which have been reserved for and in accordance with these terms and conditions.

11. Refunds, Lost Tickets, Packages, Products and Transfers

I. Tickets, packages or products for a specific event are not transferable to another event.

II. No refund or exchange on any ticket, package or product is permitted except as required by law and as otherwise specified by CoM. If a refund is made, CoM may, to the extent permitted by law, retain any fee it has charged.

III. Lost or stolen tickets or packages can be reissued at the discretion of CoM for a fee of $25 per ticket or package. CoM will only consider requests for lost tickets and packages upon receipt of a written request specifying the number lost, event details and details of how the tickets or packages became lost, as well as row and seat number(s) (where applicable). Replacement tickets and packages cannot be issued prior to the date of the relevant event and will be available for collection from the ticket office at the MSFW venue at a time nominated by CoM.

12. Force Majeure

I. Neither party will be liable for any delay in performing or failure to perform its obligations under these terms and conditions if that delay or failure results from any event beyond the control of the parties, including but not limited to any act of God, fire, explosion, flood, war, acts of terrorism, travel restrictions, theft, malicious damage, strikes, lock-outs, or industrial action of any kind, government regulation or requirement and a restraint by a government or governmental body (‘Force Majeure Event’).

II. If a party is prevented from or hindered in performing its obligations by a Force Majeure Event, performance of those obligations is suspended to the extent that performance is prevented or hindered by the Force Majeure Event and such non-performance will not be deemed to be a breach of these terms and conditions.
