CA Services – Initial or Dual Listing on a European Exchange • Assistance with the initial listing process for private companies • Dual-listings for companies already listed in their home country. • We recommend the Deutsche Boerse and Luxembourg Stock Exchange, as those are among most credible

European exchanges, all while having a very efficient bureaucratic apparatus, making the listing a rapid, non-complicated and cost efficient process

• US companies are advised to apply for listing in Europe, as European investors have strong preference towards European listed Companies

• Companies get opportunity to offer free trading stock • Directing each company towards the best listing option, based on its current size, revenues and transparency

requirements • if a company is fully reporting at another stock exchange (e.g. OTC BB), it is less important to move to the Entry

Standard as from an investor’s perspective it is enough for the filings to be available in the United States. In this case we would suggest the open market level, in order to save extra costs for the listing and the reporting

• Over 3,000 U.S. and even more Asian and non-German European companies have chosen a FSE listing • The liquidity of stocks listed on the FSE is the highest in all of Europe • Market liquidity and trading volume on the FSE is third in the entire world • Naked short selling is completely banned in Germany • FSE has More than 250 international trading institutions and more than 4,500 traders worldwide • Investors directly connected to the FSE represent a full 35% of the world's investment capital • The options for applying for listing on the German exchange are the open market level and The “Entry Level” • The open market level is the less expensive option, but also the less regulated. Financial statements need to be

supplied through a signed attorney letter, and there are no audits • The “Entry Level”, is comparatively slightly more expensive, but also contributes to offer the company a higher

degree of transparency and credibility with investors, as it requires two audits per year

• Luxembourg is home to over 180 banks and over 2000 asset managers from over 60 countries. No other

country offers this variety of capital • Over 3000 Billion in funds managed directly out of Luxembourg • A well developed Debt market • The Equities market is just becoming more popular among international companies. This means that a

company would garner more attention in this exclusive market as a foreign company • Other European countries (i.e. UK, France, Italy, Norway, etc.) tend to favour their own domestic companies for

fund raising especially in small caps • Luxembourg is by nature international and with only 200,000 population has very few domestic companies

looking to become public • We already have strong shareholder and potential investor traction in Luxembourg • The legal business language is English • Once listed in Luxembourg, companies shares can trade through Euronext, which encompasses the following

countries: France, Belgium, The Netherlands and Portugal • The listing fees are a fraction of the cost of listing on any other major European Exchange
