QuOTaTiOn the quotation issued by the vendor shall be valid for 30 days and shall apply only for un-divided orders and delivery. the prices shall apply ex works forserum and include packaging costs excl. pallet. value added tax and other duties imposed by authorities will be added. the vendor may, against a separate payment, undertake unpacking, assembly and positioning of the goods at the place indicated by the purchaser and deal with packaging. the vendor will arrange insurance of the goods only upon applica-tion from the purchaser. the cost of this shall be charged to the purchaser. customer adjustments in the design, colour and choice of material are available on request.

DeLiVery the time of delivery shall be stated on the vendor’s order confirmation and refers to delivery from the factory. amendments to the original order ordered by the customer shall entitle the vendor to a reasonable extension of the delivery period. in the event of any delay in delivery outside the vendor’s control, the latter does not accept any financial liability towards the purchaser. if the purchaser is unable to take delivery of the goods at the agreed time and place of delivery, the purchaser shall be responsible for the costs that may arise in the form of rental of premises, extra transport, insurance, losses, etc.

insTaLLaTiOn if the vendor undertakes installation, the purchaser shall ensure

– that approach roads and any lifts are clear for the vendor

– that the storage premises and unpacking premises are at the disposal of the vendor on site

– that other work does not prevent or impede installation and that the premises have been tidied to the extent required before installation

– that the work can be performed by the vendor unimpeded in a continuous sequence and during normal working hours

– that the vendor has free access to electrical power and lighting during the entire installation period

– that the premises and storage areas are securely locked during installation and that keys are available to the vendor

after the work has been completed it shall be incumbent upon the vendor to attend to wrapping or packa-ging, but cleaning of the purchaser’s premises shall not be the vendor’s responsibility. if the purchaser fails to meet its aforementioned obligations, the vendor shall receive compensation for any costs arising.

PayMenT in accordance with agreement. the vendor reserves the right to demand advance payment or a payment guarantee. after the due date, delay interest will be charged at eight percentage points above the swedish riksbank’s minimum lending rate.

guaranTee two years, counting from the delivery date.

cOMPLainTs the purchaser shall inform the vendor of defects in writing within 7 days from the purchaser’s receipt of the goods. the vendor shall then be obliged, as soon as possible, either to repair the defect or replace the goods, at its own discretion. beyond this the vendor has no obligation to provide com-pensation or otherwise compensate the purchaser for costs which the latter may have incurred due to the fault. goods supplied may not be returned without this having been approved by the vendor beforehand.

TransPOrT buyer shall before unpacking is made inspect received delivery to ensure that no damage is found on received goods. any remarks must be recorded on the freight document and then be docu-mented with picture evidence, thereafter immediately notify the seller. if damage is detected under un-damaged wrapping, the buyer shall immediately document this with photo evidence and notify the seller.

if the buyer fails to notify in accordance with the instructions above, buyers have lost their right to pursue remedies because of the error.

cOPyrigHT proposals, sketches, designs, drawings and similar documents are the property of the ven-dor and the recipient may not use or communicate such documents to third parties without the consent of the vendor.

fOrce Majeure should the delivery be prevented, delayed or hindered as a result of war, import ban, decision by authorities, strike, lockout, blockade, other labour dispute, fire, natural disaster or as a result of other similar circumstances outside the vendor’s control, the latter shall have the right, without any liability to compensate, to either postpone the delivery time for all or part of the delivery or to retire from the agreement in full or in part.

aLTeraTiOn PrODucT the vendor reserves the right to make alterations in the execution of the design and model.

VenDOr’s rigHT Of reserVaTiOn all goods remain the property of the vendor until full cash payment has been made. in the event of cancellation to decide which parts of the delivery remain unpaid.

DisPuTes any dispute shall be settled in accordance with the law on arbitration. the vendor may however secure payment of clear and due claims at general courts.

fOreign excHange reservation for currency rate changes.

reservation for printing errors, errors in information and specification on the vendor’s complete range of products and services. all image information shall be considered as illustrations, and cannot ensure to project the product’s exact appearance and character.

all prices exclusive value added tax.
