    Primes Collections Strategy

    Once we have received your file we will apply an agreed commission to all monies recovered(or compromise, contra arrangement, return of goods or in the event your debt is defendedand then paid) against the original debt (including contract interest where applicable). We willalso share 50/50 in any Court awarded interest.

    We will then issue our Letter of Demand for payment within 7 days or letter of arrangement if a suitable instalment arrangement has been made with you debtor.

    If your instructions were to issue a statement of claim, your instructions will be carried out

    accordingly. If your debtor has failed to pay or make any suitable arrangement we will eitherconduct a field call to demand payment face to face or initiate legal proceedings in the Local orDistrict Court. After service is affected by one of our agents or by the Court we will demandpayment of the debt or again attempt to have the debtor make an instalment arrangementwith us in writing.

    In the absence of any response within the statutory 28 days after service of a statement of claim on your debtor, we will then file for default judgment, including any accrued interestallowed at the UCCPR rate, currently at 10%p.a and issue the appropriate Enforcement action.

    Costs payable by you during the course of recovery are limited to those disbursements as setout in the attached schedule of fees. However, the majority of these may be added to thedebtors debt and because Prime Collections prepare, draft and file all our documents within24-48 hours you can rest assured our agents will use this time frame to maximise recovery of your debt prior to litigation.

    Where the debtor makes a payment direct to you after the account is provided for collection,you should immediately advise us in order for us to maintain accurate records and not to

    jeopardise your relationship with your customer.

    Should your matter be formally defended Prime Collections will then seek your instructionsregarding any further costs. Once a verdict or default judgment is filed we will then continuewith collection of your debt. Commission may be charged if you fail to provide furtherinstructions for prosecution of the debt within 30 days of our written request for you to do so.Commission is also chargeable if the account is withdrawn, Credit passed, or goods returned.

    Statements are forwarded to you at the first day of each calendar month for the activity of thepreceding month; any payments received after this statement date will be carried forward tothe following month the statement will include an account of all monies collected afterdeducting all charges for commission and incidental expenses. Any debit statement rendered ispayable on receipt.

    Prime Collections will disburse all recovered amounts in the following order:

    Firstly Original amount of debtSecondly Interest paid on the debtThirdly Disbursements paid by you and recoverable from your debtor

    How we work

    Unless otherwise instructed by you, upon receipt of your account for collection, we will appointa Collection Officer who will immediately make contact with your debtor by telephone to obtainpayment or an acceptable payment arrangement by instalments.

    1. Primes Collections Demand Letter - We will then issue our Letter of Demand forpayment within seven days or letter of arrangement after discussion with your debtor. We willalso follow up with telephone calls to the debtor to arrange collection of the debt in full ormake a firm arrangement for the repayment of the debt.

    Of course, should you wish us to immediately issue a payment claim or statement of claim andwaive the letter of demand, or alternatively not take any legal action at all these instructionswill be efficiently carried out on your behalf.

    2. Solicitors or Second Letter of Demand Letter - At the expiry of the first letter of demand, we will firstly attempt to contact your debtor again further demanding payment onyour behalf then we will issue a solicitors letter of demand advising your debtor further action,will be taken, if the matter is not resolved. If you have elected the Standard Recovery of yourdebt a second letter of demand will be sent to your debtor advising the urgency of the matterand the repercussions if the demand is not met.

    3. Field Call (optional) where we think it viable in some cases we will make face-to-face contact with your debtor, to emphasise the urgency of the matter. We find this personaltouch often produces positive results, which, would not normally be obtained, in the earlystages of collection.

    4. Legal Action Conversation If the debtor fails to respond we will contact the debtoragain demanding payment advising the debtor we will initiate legal action if a suitable paymentarrangement is not made. Failure to obtain any arrangement will result in us commencingLitigation on you behalf.

    Statement of Liquidated Claim The Statement of Liquidated Claim is the first stepin initiating legal action on your behalf. Once we have served your debtor they will have 28days to respond.

    5. Judgment - In the absence of any response within the statutory 28 days after serviceof a summons on your debtor, we will then file for judgment, including any accrued interestallowed at the Supreme Court rate and issue the appropriate proceedings to maximise therecovery of your debt via the court system.

    6. Enforcement Action

    Writ - for Levy of Goods or Property. The Sheriff will attend the debtors premises and attemptto seize any assets the debtor may own. If the debt is not then satisfied within 14 days theSheriff can direct to have these goods sold at auction at a later date.

    We may also issue a Writ against Title . If the Writ of Execution is unsuccessful this will stopyour debtor selling or refinance any property unless they pay you in full.7. Examination Summons - The debtor is ordered to appear before the Court to supplyany documents and evidence of there finances and income including assets, shares, propertyand tax assessments. This enables us to ascertain the best avenue for recovery of your debt.

    8. Garnishee of Wages or Bank Account A Court Order is served upon the debtorsBank or employer whereby the recipient is ordered by law to deduct payments from thedebtors account or salary.

    9. Statutory Demand (Companies Only) This is also called 459E Notice. It is the firststep to winding up a company. It is a formal demand for payment which must be made byyour debtor within 21 days otherwise we can proceed to wind up.

    10. Bankruptcy Notice (Individuals Only) An application is made to the Insolvencyand Trustee Services of Australia for the issue of a Bankruptcy Notice. This is the initial step inthe Bankruptcy proceedings and is the same as a formal demand for payment on a company.

    OR

    Creditors Petition (Companies Only) An application is made to the Federal Court to havethe debtor declared Bankrupt and their finances placed in the hands of the Trustee.

    The above is a general outline of our services and steps involved for recovery, we will take aproactive approach and are prepared to meet with you so we may get to know you and yourbusiness in order to advise you the best solution for your needs.

    Remember that should we be able to add sufficient interest to your claim, this can oftenrecover more than the amount of commission charged by our agency. This means your debtwill be collected for free. No Commission is payable on collection of court costs and solicitorprofessional fees.

    SERVICE AGREEMENT page 1/4

    I/We the Client (hereafter referred to as You or the authorised officer) hereby appoint Prime Collections as our SoleCollection Agent and any other affiliated agent from the date of this agreement. I/we authorise Prime Collections toinstitute on our behalf any action, including legal necessary to collect accounts placed for collection. These fees andcharges are payable in accordance with this agreement.

    I/We acknowledge and agree with the following:

    TERMS & CONDITIONS

    1. Definitions In this Agreement, unless the context otherwise requires: Agreed Commission means: The amount which

    represents the percentage of each and every Recovered Debt. Recovered Debt means all payments or partpayments of a Referred Debt, including payments or part payments made directly to You, or Referred Debtsdeemed settled or otherwise compromised by the Client in accordance with this Agreement. Referred Debtmeans a debt owned by the Client and which the Client refers to Prime Collections.

    2. Acceptance of OfferIf you accept this offer you will be bound by the terms and conditions set out in this document, including beingbilled in accordance with the terms herein. Acceptance may be by any one of the following ways:

    a. Signing and returning a copy of this document;b. Giving us instructions after receiving this document;c. Oral acceptance.

    Failure to accept this offer within 7 days of dispatch of this document can result in the immediate withdrawal of ouroffer to act on your behalf.

    3. All payments made by a debtor from the date Prime Collections is instructed to collect, are subject to the AgreedCommission.

    4. CommissionThe Agreed Commission is also payable if the account is withdrawn. Please note: Any of the following will requirepayment of the Agreed Commission: credit passed (cancelling some or all of the debt), goods returned, caveatregistered with consent, or the debt settled by way of contra. Prime Collections will only acknowledgewithdrawal of an account once we have received notice in writing by the authorised officer. If you fail to provideyour instructions for further prosecution of the debt within 30 days of our written request to do so, this will also bedeemed as termination or withdrawal of your account, and the Agreed Commission becomes payable in the next

    billing cycle. Prime Collections reserves the right to enforce STOP WORK policies on accounts which remainunpaid for 60 days from due date. No claims recognised after 7 days from invoice date.

    5. Once an account has been placed for collection, no arrangements or negotiations should be made with a debtorwithout Prime Collections being notified, Please send us a DIRECT PAYMENT MEMO if any payments arereceived from a debtor immediately.

    6. We further agree to allow Prime Collections to still pursue the account even if your debtor has promised to payyou, and Prime Collections will continue to pursue the debt unless you terminate this agreement or withdraw anaccount in writing.

    7. Prime Collections will remit monthly statements of accounts (statements are issued at the last day of eachcalendar month), any payments received after this date will be carried forward to the following month, afterdeducting all charges for commission and incidental expenses. Any debit statement rendered is payable on

    receipt.8. Prime Collections is authorised to collect, bank and receive monies paid by the debtors and to deduct from these

    monies all agreed costs and reasonable disbursements. Prime Collections is hereby authorised to provide receiptand grant a sufficient discharge to the debtor in request of monies received on behalf of the client.

    9. Termination Termination may be affected in writing by either party by giving 30 days Notice. We reserve the right to suspend,terminate or cancel our agreement with you due to non-payment of account, insufficient documentation to pursueyour account and/or your failure to provide instructions upon request.

    10. We authorise Prime Collections to negotiate and accept any reasonable settlement from my/our debtors with myauthorisation within the terms and conditions of this agreement with my approval whether written or verbally.

    11. We the client authorise Prime Collections to initiate any legal representative namely, Mercantile Legal, Lou Baker& Associates or Snelgroves Solicitors to represent matters which require legal representation. You agree to payall legal related expenses when charged and acknowledge Prime collections is authorised to provide instructionsto our legal representatives on your behalf. All major expenses are strictly on approval basis and are charged atthe scale rates, please refer to the current fee schedule for more information.

    12. Exclusion of Liability is extended to Prime Collections, employees and or agents instructed on behalf of or by theclient. The client agrees to indemnify Prime Collections against any claims or proceedings, including for non-economic loss, loss of profit or loss of savings for any indirect or consequential losses or damages under thisagreement.

    13. The client agrees to release Prime Collections from any liability for failure to perform or comply with any of the

    conditions contained in the agreement if such failure results from any cause beyond its reasonable control.Payment Terms:-

    a. All statements/tax invoices are strictly payable on receipt.b. Five percent per month (5%) interest accruing on the monthly balance and any recovery costs

    incurred by Prime Collections will be added to all outstanding accounts that remain unpaid for30 days.

    c. Legal action may be taken if accounts remain unpaid after 60 days of due date. All costs,including legal costs incurred by Prime Collections will be charged to the client.

    14. The client agrees that Prime Collections will Direct Debit (via Ezi Debit DDR) the clients nominate account for anydebit tax invoices issued for services rendered. The client further agrees to allow Prime Collections to Direct

    Debit the clients account on the 5th business day after presentation of the tax invoice. You may be entitled to 5%discount on fees if you pay by Direct Debit.

    liquidation at any time or times hereafter of any sum or sums of money for the time being due to Prime Collections asaforesaid or by any settlement of an account or by any other matters or thing whatsoever including a change in the termson which Prime Collections sells goods or provides services or extends credit to the Company but shall extend to coverand be security for all sums of money at any time due to Prime Collections as aforesaid notwithstanding any suchpayment, liquidation settlement or an account or other matter or thing whatsoever and that in the event of any paymentbeing made to Prime Collections by or on behalf of the Company and avoided by any statutory provision that paymentshould of deemed not to have discharged the liability of any of us and in the event of such payment being so avoided theparties hereto are restored to the rights which each respectively would have had if the payment had not been made andthat this guarantee shall not be determined by the death of us or by any of us or by notice of such death or deaths thatPrime Collections may grant any time or other indulgence to the Company at any time without affecting the liability of us orany of us under this instrument or any compounding release waiver or variation of this Instrument and that a certificatesigned by any person is for the time being a secretary or director of any of your companies which relies on this agreementstating the amount due to such company by the Company shall be prima facie evidence of the fact and each of us agrees
