The Company

PUK-Werke KG Berlin is an independent private enterprise run in the best tradition of German medium-sized businesses and can look back on 75 years of successful company history Over the past decades PUK has gathered experience in the development production and assembly of cable support systems and underfloor systems for German and international construction projects Throughout our history we have been constantly working on enhancing and expanding our product portfolio

PUK has enjoyed equal success with its newest product group an underframe mounting system for photovoltaic panels called PUK-Solarline After an intensive development phase the system was ready for market at the end of 2009 and has since been installed in many PV plants in Germany and Europe

PUK-Solarline is a statically optimised and tested mounting system that is simply designed good value and easy to install The system including all the fittings is manufactured exclusively by PUK in Germany and can be used for all types of solar modules

A decisive advantage of PUK-Solarline is our ability to take care of all project responsibilities from planning to completion PUKrsquos wide range of services includes foundation work delivery base frame construction and mounting of the solar modules

The requirements of every PV installation are taken into account and an individual offer is prepared First all relevant project details are recorded in a construction planning data sheet Based on this information the

dimensioning programme PUK-SolarWare can determine the optimal base frame configuration for every PV installation

PUK-SolarWare structurally analyses the project requirements and then based on British Standards DIN 1055 and Eurocode regulations verifies the optimal mounting structure

All parts are manufactured in our own production facilities either in Berlin or in our Schoumlnecken factory in Rhineland-Palatinate The supporting profiles cross beams longitudinal beams diagonal strutting and connector parts are all made of steel The next step is hot-dip galvanizing which ensures a minimum durability of 25 years

PUK-Software

PUK-SolarWare SW 108 dimensioning software enables us to design the most suitable base construction for every PV system Only four steps are necessary to determine the minimum amount of material and erection work required

This software establishes each PV systemrsquos individualised structural configuration based on our own wind-load tests as well as on DIN 1055 the Euro codes and DIN 18800 As PUK-SolarWare has incorporated wind- and snow-load data for all European countries its structural analysis is accurate for construction projects throughout the EU

1 Pile driving the supporting rods

Hydraulic pile drivers insert the profiles into the ground Depending on the soil the profiles are driven approximately 15 to 20 metres into the ground

3 Mounting the longitudinal beams

The longitudinal beams fulfil the constructionrsquos stability requirements as determined by our earlier static calculations The longitudinal beams are connected to the cross beams with special brackets

2 Assembly of the diagonal and cross beams

During assembly the cross beams are bolted into the profilesrsquo slotted holes thus securing the required module inclination The supporting frame is reinforced with diagonal beams

4 Mounting the modules

The solar modules are mounted directly onto the longitudinal beams with safety-certified module clamps The anchorage points on the longitudinal beams are pre-punched according to the width of the module

PUKrsquos own hydraulic pile driver rams the supporting profiles into the ground with millimetre precision thus securing the base structure

The pile-driving depth is generally between 15 and 20 metres To determine the exact depth we perform pile driving and extraction tests The tensile forces measured in these tests are then compared to the statically dimensioned load values and any discrepancies are accounted for

A geological survey is helpful for determining the pile-driving depth but not absolutely necessary

Soil class 3 to 4 is suitable for pile driving Small stones or minor building debris with a particle size of less than 60 mm will not impede pile driving

If the ground is not firm enough and the extraction values are too low the values can be increased threefold by slanted pile driving and by attaching profiles at an oblique angle to the back support profile Structural safety is thus easily and economically ensured

Ground Mounted InstallationsConcrete Anchoring

If the stones are too large or the ground too rocky drilling becomes necessary

On smooth high-quality concrete surfaces the supporting profiles are secured with anchor bolts

After the hole is drilled the pile is set in concrete

If the concrete is of poor quality the surface is cracked andor porous or the concrete is less than 30 cm a hole is bored into the ground with heavy construction equipment The support is then driven through the hole into the earth below

If ground penetration is not possible (because of landfills or other obstacles such as concrete blocks bricks etc) PUK-Solar can provide concrete foundation elements First the supports are provisionally secured in the ground inside individually designed moulds

Then concrete is poured into the mould and the columns are precisely aligned After the element is partially cured the assembly can continue

After the concrete is completely cured the mould is easily removed and can be used for other concrete elements

Corrosion Protection

Because solar support systems are exclusively used outside PUK-Werke KG uses only hot-dip galvanised steel parts (dipping method DIN EN ISO 1461)

Hot-dip Galvanising Method (DIN EN ISO 1461)

According to DIN EN ISO 1461 the galvanised layerrsquos average thickness must be at least 45 μm for material less than 15 mm thick 55 μm for material between 15 and 30 mm thick 70 μm for material between 35 and 60 mm thick

The mounting hardware can be produced of high-grade stainless steel or aluminium as appropriate

Contact Corrosion

Insulation measures are only required if the parts in contact are approximately the same size

Therefore the following combinations are acceptable- stainless steel fastening fixtures (eg screws)

galvanised construction parts- stainless steel fastening fixtures aluminium module

clamps- galvanised construction components (ie the support

system) aluminium module clamps

Problematic component combinations will be examined by our engineers and noted on the final assembly drawings

Bolted Connections

Outdoor bolted and screwed connections are subject to dynamic stress (eg wind)

Therefore the connections must be tightened as described in Table 1

Ground mounted PV installations are secured by lightning protection systems

Building Site

The foundation can be prepared by pile driving the supporting structure using ground anchors or laying concrete foundations Geological surveys as well as pile driving and extraction tests are necessary to determine the type of foundation and ramming depth

General conditions of delivery and paymentof PUK-Solar GmbH amp Co KG

Prevalence

The following conditions of delivery and payment are contractual component of all delivery and service contracts (assembly excluded) of the seller with companies corporate bodies and Federal Special Funds subject to public law This applies to follow-up business also in case the follow-up business contains no explicit inclusion For contracts that include assembly as well as delivery only the ldquospecified delivery and payment conditions for contracts for the construction of support structures for solar systemsrdquo are valid Possibly existing purchasing conditions on the part of the buyer are not an integral part of the contract unless the seller agreed to them in writing on an individual basis No ancillary verbal agreements have been made

Quotations and documents

Quotations and catalogue offers by the seller are non-binding with reference to price amount delivery time and delivery possibilities Orders of the buyer become valid by means of the sellerrsquos confirmation in writing or in print (including invoice or delivery order) Drawings sketches samples and other presentations subject to copyright as well as quotations may not be made accessible to third parties The seller reserves copy and proprietary rightsThe illustrations weights and dimensions specified in the sales lists catalogues are approximate Such specifications are not guaranteed conditions unless the guaranty has been confirmed formally in writing Subject to modifications and amendments

Prices

The order confirmation is definitive for the price In the absence of a special agreement the list prices valid at the time the contract is concluded will be charged Prices do not include value-added tax and are ex works or warehouse (at sellerrsquos option)Should the agreed delivery period be more than four months then the seller is entitled to appropriately raise agreed prices in the event of changes in material prices for metals and alloys by their suppliers between the signing of the contract and delivery Claims arising from the so-called disturbance of the contractual basis remain unaffectedStandard packaging by the seller for national truck forwarding services is included in the prices Any additional packaging eg for the carriage of goods by sea will be invoiced at cost price It is however non-returnable

Delivery

Place of fulfilment is the factory or the warehouse of the seller The risk passes to the buyer in the case of collection by the buyer at the time of notification of the availability of the goods in the case of shipment at the hand over to a forwarding agent or freight carrier at the latest however upon leaving the factory or warehouse Should the shipping be delayed for reasons for which the seller cannot be held responsible then the risk transfers to the buyer as soon as he has been notified of the readiness for shipmentThere are no fixed delivery deadlines Only when the seller guarantees deadlines in writing is this not the case In case of doubt the delivery times commence with the date of order confirmation They are valid subject to proper and timely self-delivery The date of delivery is the date on which the goods leave the factory or warehouse of the seller Should a delivery be made impossible or unreasonable by a circumstance in the risk area of the buyer then the delivery period is to be extended by the length of the interruption plus a reasonable start-up time The same applies so far as the seller has a legal right of retention

Force majeure

Every form of force majeure unforeseeable operational traffic or shipping disturbances war acts of terror fire damage unforeseeable lack of staff energy raw or auxiliary materials strikes lockouts as well as hindrances caused by official directives or other impediments for which the seller is not responsible that prevent or render production or delivery unreasonable free the seller from the obligation to deliver for the duration and extent of the disturbance Should the delivery be delayed in the wake of the disturbance then the delivery time is to be extended by the length of the interruption plus a reasonable start-up time

Return shipments

The buyer has no right of return for unneeded goods to the seller Current catalogue material which is in a sellable condition and without defects can be returned within 3 months of delivery if previously agreed and delivered free of charge to the factory or branch Compensation takes place after the deduction of administrative and distribution costs Any costs necessary for improvements or repackaging will be invoiced as per expense Cable clamps and other small parts will only be taken back in unopened packaging units Custom materials may not be returned

Payment conditions

In the absence of special agreements the payments are due as follows- one third at conclusion of the contract- one third at readiness for shipment- one third on deliveryDiscounts shall only be granted if no accounts are outstanding and legitimate claims are settled in full and on time If not agreed otherwise discount periods are based on a payment as of the date of invoiceThe timeliness of payments is determined by the sellerrsquos receipt of payment In case of a payment default on the part of the buyer for one payment all other claims of the seller become due immediately including those not yet due or deferred claims The seller is entitled to claim interest on account of delay according to the statutory rules

In case of default the seller is entitled to demand immediate cash payment of all services renderedSetoff against counter demands is only permitted in as much as these have been recognised by us as existent and due or have been established legally bindingThe presentation of bills of exchange requires the sellerrsquos approval

Complaints

The buyer must immediately determine the contractual conformity of the goods particularly regarding discrepancies in sorts quantities and weight as well as noticeable defects Noticeable defects must be reported in writing to the seller within one week after receipt of the product or ndash if the defect only comes to light later ndash within one week after detection with immediate suspension of any work done on the goods The goods shall be regarded as approved if the notice is not given immediately If goods are defective the seller fulfils the implied warranty by primarily improving or replacing them free of charge as per the sellerlsquos choice (supplementary performance) The buyer may only claim failure of subsequent delivery if two further replacement deliveries were defective or if an appropriate time period has passed since the deficiency claim without a subsequent delivery attempt In case of doubt a reasonable period of time is equivalent to the contractual delivery period Liability claims by the customer ndash with the exception of the claims stated in section 478 of the German Civil Code (BGB) ndash are subject to a limitation period of one year from the legal beginning of the statute of limitations This shall not apply to goods that have been used for a building construction in line with normal usage

Liability

Claims for damages made by the buyer ndash including extra-contractual damage compensation claims ndash are excluded in cases of slightly negligent violation of non-essential duties for the fulfilment of the contract In cases of slightly negligent violation of essential obligations as well as of deliberate or serious negligent breach of contractual obligations by non-managerial employees the level of liability of PUK-Solar GmbH amp Co KG is limited to the predictable typical average amount of damage All liability limitations contained in these delivery conditions are not valid in the event of damage to persons damage that is caused by the absence of a guaranteed quality and claims pursuant to the Product Liability Act

Retention of proprietary rights

The seller retains the property right to the product until the sales price has been paid in full and all claims from the business relationship against the buyer have been fulfilled This also applies if individual or all claims are placed in a running invoice and the balance has been struck and accepted The buyer is only authorised and entitled to process or resell reserved goods over the course of a proper business transaction and under the condition that the subsequent stipulations are observed The buyer is not authorised to other dispositions of reserved goods or claims which he had ceded or will cede to the seller according to these regulations in any other way If the delivered goods are processed to a new product by the buyer the processing is done for the sellerAn acquisition of property by the buyer according to sections 946-950 of the German Civil Code (BGB) is excludedIn the case of processing with other products not property of the seller the seller acquires joint ownership of the new products as per the value ratio The new product is considered a reserved good The buyer already cedes his claims to a reselling of the reserved goods to the seller to the amount that corresponds with the value of the reserved goods The seller accepts this cession The value of the reserved goods according to these conditions is the invoice value of the seller plus a safety fee of 10The seller authorises the buyer under reserve of revocation to collect claims from reselling The seller will not make use of his own collection authorisation as long as the buyer fulfils his part of the payment obligationsUpon request the buyer must name the debtors of the ceded claims to the seller and display this cession Thereby the seller will be authorised to show the debtor the cession in the name of the buyerShould the value of the security provided to the seller exceed the claims by more than 10 at the buyerrsquos request the seller is obligated to retransfer or release the securities the selection of securities to be released shall be made by the seller In case of foreclosure or other measures of third parties which could legally or actually affect the rights of the seller to the reserved goods or ceded claims the buyer must immediately inform the seller and provide the documents necessary for an intervention In case of an impoundment or other seizures the buyer is obligated to notify the foreclosure officials of the property of the seller and to report this to the seller within three days by sending a copy of the impoundment report The buyer bears the costs of protecting the proprietary rights of the seller

Place of jurisdiction Choice of law

The place of jurisdiction dealing with traders is 12057 Berlin The seller is entitled however to sue where the buyer has his office or delivery address German law under exclusion of the UN Sales Convention is exclusively valid

Miscellaneous

Should individual regulations of these general business terms and conditions of payment be or become fully or partially ineffective the effectiveness of the remaining conditions will not be affected The parties are to replace an ineffective provision by one that is effective and most closely approximates the commercial purpose of the original provision

Specified delivery and payment conditions of PUK-Solar GmbH amp Co KG for contracts for the construction of support structures for solar systems

1 Scope

The following specified delivery and payment conditions are a contractual component of all delivery and service contracts between PUK-Solar GmbH amp Co KG and companies legal entities of public law as well as public-law special assets for the construction of support structures (delivery and assembly services)These delivery and payment conditions do not apply to contracts for delivery only without assembly services rendered by PUK-Solar GmbH amp Co KG In such cases the general delivery and payment conditions of PUK-Solar GmbH amp Co KG are valid Eventual general terms and conditions on the part of the buyer are not an integral part of the contract except in individual cases where PUK-Solar GmbH amp Co KG has agreed explicitly and in writing No informal arrangements have been made

2 Offers and documents

PUK-Solar GmbH amp Co KG offers are non-binding Drawings sketches patterns and other presentations subject to copyright as well as quotations may not be made accessible to third parties PUK-Solar GmbH amp Co KG reserves copy and proprietary rights Illustrations weights and dimensions indicated are approximate Such details of products are not warranted conditions unless such warranties are explicit and in writing

3 Prices

The signed order is definitive for the price Prices do not include the VAT statutory at the time of billing Should the agreed period between the conclusion of the contract and the agreed date for the beginning of the implementation on site be more than four months PUK-Solar GmbH amp Co KG is entitled to appropriately raise agreed prices in the event of changes in material prices for metals and alloys by its suppliers

4 Billing according to time required

PUK-Solar GmbH amp Co KG is entitled to charge for the following services according to time required- Additional work due to deviance of the actual conditions on the construction site from the

basics of the offer- Waiting periods on the part of the construction- Times of travel for departure and repeated arrival of assemblers due to interruptions in

assembly not caused by PUK-Solar

5 Validity of German Construction Contract Procedures (VOBB)

and German Civil Code (BGB)

The contractual relationship is governed by the edition of the German Construction Contract Procedures VOBB valid at the time of conclusion of contract and subordinately the work and services contract law sections 631ndash650 BGB

6 Force majeure

Every form of force majeure unforeseeable operational traffic or shipping disturbances war acts of terror fire damage unforeseeable lack of staff energy raw or auxiliary materials strikes lockouts as well as hindrances caused by official directives or other impediments for which PUK-Solar GmbH amp Co KG is not responsible that prevent or render production or delivery unreasonable free the seller from the obligation to deliver for the duration and extent of the disturbance Should the delivery be delayed in the wake of the disturbance then the delivery time is to be extended by the length of the interruption plus a reasonable start-up time

7 Payment

In the absence of special agreements the payments are due in of total amount of the order as follows- 05 at conclusion of the contract- 25 upon beginning of assembly on site- 10 upon each delivery of respectively 25 of structure material- 20 at completion of module assembly- 10 at acceptance (final payment)

Discounts shall only be granted if no accounts are outstanding and legitimate claims are settled in full and on time Unless agreed otherwise discount periods are based on a payment as of the date of invoiceThe punctuality of a payment is determined by the receipt of payment by PUK-Solar GmbH amp Co KG In the case of payment default of one payment on the part of the buyer all other claims of PUK-Solar GmbH amp Co KG become due immediately including deferred claims PUK-Solar GmbH amp Co KG is entitled to demand a payment security from the ordering party in the form of an unlimited guarantee including a waiver of the defence of set-off and of avoidance (article 770 BGB) the defence of preliminary proceedings against a principal debtor (article 771 BGB) The waiver of set-off does not apply to uncontested or legally established counterclaims of the ordering partyFurthermore it is to be ensured that in case of a dispute deriving from such a guarantee solely the laws of the Federal Republic of Germany applies and that the dispute deriving from the guarantee are to be carried out in Berlin Setting off with counterclaims is only permissible in the case of undisputed and legally established counterclaims

8 Construction site equipment of the ordering party

The ordering party must provide construction site equipment consisting of portable toilet construction fence lighting (as far as necessary) site water construction site power and surveillance Furthermore the ordering party is responsible for providing access routes and completing ground work ndash as far as necessary

9 Provisions by the ordering party

If the ordering party provides solar modules or other elements needed for the implementation the ordering party is responsible for their suitability If PUK-Solar GmbH amp Co KG receives solar modules from third parties on behalf of the ordering party a visual inspection for obvious damage will take place PUK-Solar GmbH amp Co KG will not take over possibly existing obligations on the part of the ordering party towards his deliverer to examine all goods or products according to article 377 German Commercial Code (HGB)

10 Technical alterations change of manufacturers

PUK-Solar GmbH amp Co KG reserves the right to make technically necessary or expedient alterations as long as these alternations do not minimise the functionality of the support structure provided the ordering party is notified of such changes in advance and as long as the alterations are in his best interestPUK-Solar GmbH amp Co KG reserves the right to change the manufacturer and brand provided they are of equal quality and unless opposed by justified interests of the ordering party

11 Acceptance

Upon request self-contained parts of the service (module row) can be accepted separately In case of a suspension of construction of more than 12 days for which the seller is not responsible PUK-Solar GmbH amp Co KG is entitled to demand partial acceptance and partial payment for rendered services (eg material minus mounting mounting of support systems minus module cover single tables)

12 Employment of subcontractors

PUK-Solar GmbH amp Co KG is entitled to render its services through qualified subcontractors Article 4 section 8 VOBB does not apply

13 Defects liability

In case of unsatisfactory performance PUK-Solar GmbH amp Co KG fulfils the warranty primarily by remediation The buyer may only claim failure of subsequent delivery if two further replacement attempts failed or if an appropriate time period has passed since the failure claim without any replacement attempt

The period of limitation for guarantee claims is 5 years from acceptance Minor corrosion phenomena without impact on structure stability do not qualify as a deficiency

14 Liability
