along with the EOI.
5. The proposal complete with all the required information, EMD of Rs 1.00 Lac

6. All pre-qualification bids will be opened at 1100 Hrs. on 30.04.2010 in the

7. The successful bidder will deposit 5% of the project value as performance
security, to be appropriate against breach of agreement or for recovery of liquidated
damages. The performance security may be in the shape of amount deposited or Bank
Guarantee issued by a Nationalised Bank.

DEFINITIONS
“Applicant” means a reputed Indian firm having the requisite experience of five years as
on 31.3.2010 and who has downloaded the EOI document from the website of Tilam
Sangh and applied for the same.
“Application” means the EOI submitted by an Applicant interested in the Project in the
prescribed format.
“Sangh” means Rajasthan State Co-operative Oilseed Growers’ Federation which is
popularly known as Tilam Sangh.
“EOI” means Expression of Interest.
“EMD” means an amount of Rs. 1.00 Lac to be deposited with Technical Bid.
“SD” means security deposit of Rs. 5% of the project value as performance security.
“BOT” means Build, Operate and transfer the project after a certain period.

SECTION – I
TERMS OF REFERENCE (TOR)
1.1 Background & Purpose
The Rajasthan State Co-operative Oilseed Growers’ Federation Ltd which is
popularly known as “Tilam Sangh” is a co-operative institution constituted under
The Rajasthan State Co-operative Act, 2005 having its office at II Floor, Nehru
Sahakar Bhawan, Bhawani Singh Road, Jaipur-302001, hereinafter referred to as
the “Sangh” It has objective to help the farmers to grow more oilseeds in
Rajasthan .
The Sangh believes in innovations and various projects have been taken up.
Among other innovations one of the innovations is “Tilam Fry Pan”. A chain of
fry pan has already been started in Jaipur. And with a view to utilize 12 hectares
surplus land available at Kota Project Tilam Sangh proposes to set up an
integrated amusement park, hotel/recreational centre namely “Tilam Paradise”.
At the site a Guest House building and residential quarters are already available
which can be utilized after due renovation. It is proposed to start the new venture
on the basis of Build, Operate and Transfer (BOT) basis by competent and
renowned developers and operators from hospitality, leisure and entertainment
sectors having proven experience.
1.2 Expression of Interest
Sangh invites Expression of Interest from eligible bidders to Build, Operate and
transfer the project facility on BOT basis. The proposal should cover
comprehensive detailed planning, design, execution, commissioning, operation,
maintenance, promotion, marketing and management of the activities related to
the proposed project facility for a fixed period and transfer of the project facility
assets to the Sangh upon the expiry thereof.
The Sangh intends to select the bidder through an open competitive bidding
process in accordance with the procedure set out herein.
1.3 Condition of Eligibility of Bidders:
1.3.1. The EOI is open to all those bidders who have expertise and experience in
the execution or commissioning or operation of projects of similar nature
in the leisure, entertainment and hospitality industry and who have the
financial capabilities to deliver the project on a BOT basis as mentioned at
clause 1.5 Step 1.

1.3.2. Bidders should possess the necessary expertise and the financial capacity
to carry out the project in support of which they should clearly fill out the
form Tech-1 to Tech – 7.
1.3.3.A bidder should have during the last three years, neither failed to perform
on any agreement as evidenced by imposition of penalty by an arbitrator/
judicial authority or a judicial pronouncement or arbitration award against
the bidder, nor been expelled from any project or agreement nor have had
any agreement terminated for breach by such bidder.
1.4 Disqualification of Bidders:
Even if a bidder meets the eligibility criteria as per qualifying requirements, the
Sangh may disqualify the bidder if the bidder has
1.4.1. not submitted the cost of the EOI document Rs 2,000/-.
1.4.2. not submitted the Earnest Money Deposit of Rs 1.00 Lac with Technical
bid.
1.4.3. made any misleading or false representations in the forms, statements or
annexure submitted.
1.4.4. Any entity which has been barred by the Central/State Government in
India or any entity controlled by them, from participating in any project
and the bar subsists as on the date of the Proposal would not be eligible to
submit a proposal.
1.4.5. been blacklisted by any government agency after submitting the Bid
1.4.6. submitted more than one bid for the project.
1.4.7. a conflict of interest in terms of clause 1.8 below
1.4.8. Bidders who have been convicted are debarred from submitting a proposal.
1.5. Selection Process
The Sangh has adopted a selection process for evaluating the proposals
comprising a Technical Bid and a Commercial Bid as three-stage process which
will be carried out as follows:
TECHNICAL BID:
Step 1:
a) Expression of Interest is invited in prescribed format for understanding the
response from the competent and renowned developers and operators from
hospitality, leisure and entertainment sectors which may be
consortium/Partnership Firms/Individual/ Indian companies/MNCs.
b) Scrutiny of the EOI by screening committee to check following Technical
and Financial parameters:

i) if the EOIs are complete and Form T1 to T9 and
Commercial/Financial Bid form are duly filled in and
supporting documents are enclosed.
ii) If EOIs fulfills the following minimum essential Technical
qualifications:
1.1. The Applicant should have at least 5 years experience
in commissioning or operating in hospitality, leisure
and entertainment sector.
1.2 The Applicant should have minimum total annual
turnover of the Consortium/ Partnership Firms
/Individual/ Indian companies/MNCs of Rs. 20 Crore
during last three years (as evidenced in the past three
year audited financial statements).
1.3 The Net worth of the Applicant should be minimum
10 Crore during last three years (as evidenced in the
certificate issued by the Chartered Accountants)
1.4 The applicant should be consortium/ Partnership
Firms/Individual/ Indian companies/MNCs and
society non-political and secular in nature.
1.5 The applicant should not be black listed by any
government department (as evidenced in the
affidavit).
1.6 The applicant should have enclosed DD of Rs 2,000/-
towards cost of EOI document and DD of Rs 1.00 Lac
as EMD in favour of Tilam Sangh, Jaipur.
The applicants fulfilling above minimum qualifications and if their EOIs are
found complete will be short listed and called for presentation before the selection
committee.
Step 2:
The short listed applicants will be called to make a presentation to the selection
committee. The committee will make the judgment on the capacity of the
applicant on the above; average marks given by the committee members will be
the final score on these parameters:

Note: Documentary evidences are required for each parameter.
Based in the above score card of the applicants, those scoring more than
60% in step 2 will be short listed for next step i.e. field visit by expert
committee.
The Short listed applicants will be referred to the expert committee for
grading. The detailed check list and instruction manual for grading the
applicants is given below.
The expert committee may have detailed discussions with the applicants
board member, its staff and others to check the reputation, its experience,,
its impact of past experience, its understanding of local context, its work
culture and so on. Committee would also visit its prominent successful
venture to know more/check its credentials.

As per the recommendation from “Expert Evaluation Committee” through
step 2 the FSC (Final Selection Committee) will sit together and ensure the
selection process is as per the EOI proposal and if so, forward the
recommendations of the Expert Evaluation Committee to get the approval from
the competent authority to open the financial bid.
STEP 3: COMMERCIAL/FINANCIAL BID:
The short listed applicants would be invited to be present in the meeting to open
the Commercial/Financial Bid. The highest bidder with minimum period of lease will be
selected and the project may be awarded to the successful applicant.
1.6. Cost of EOI document:
1.6.1. The EOI document can be downloaded from the Sangh website
www.tilamsangh.com.
1.6.2. The applicants shall pay a non-refundable amount of Rs. 2,000/- (Rs.
Two Thousand) only towards cost of EOI document. This amount

shall be paid through a demand draft in favour of Tilam Sangh payable
at Jaipur and shall be enclosed with the BID at the time of submission
failing which the Bid shall be rejected.
1.6.3. The Bidder shall bear all cost associated with the preparation and
submission of the Bid. Sangh will in no case be responsible or liable
for those costs, regardless of the conduct or outcome of the pre-
qualification process.
1.6.4. The bidder shall deposit Rs. 1.00 Lac (Rupees One Lac) only as
Earnest Money which will be returned to the unsuccessful bidders after
signing the agreement by the successful applicant.
1.7. Amendment of EOI document:
1.7.1. At any time prior to the deadline for submission of Applications, the
Sangh either on its own or on request of the Applicant may amend the
EOI documents by issuing addenda.
1.7.2. An addendum issued under this sub-clause shall be part of the EOI
documents and shall be posted at the website of Sangh
www.tilamsangh.com.
1.7.3. To give bidders reasonable time to take an addendum into account in
preparing their bids, Sangh may at its discretion, extend the deadline
for the submission of applications.
1.8. Conflict of Interest :
Bidder shall not have a conflict of interest. All bidders found to have a conflict of
interest as mentioned below will be disqualified:
1.8.1. The Bidders shall not engage in activities that conflict with the interest of
the Sangh under the contract and shall be excluded from down stream
supply of goods or construction of works or purchase of any asset or
provision of any other service related to the assignment other than a
continuation of the services under the contract.
1.8.2. The bidders shall not engage in any assignment that would be in conflict of
interest with their current obligations to the same or other clients. 1.8.3. The Bidders (including their personnel, agents and/or partners) that have a
business or family relationship with such member of the Sangh staff who
is directly or indirectly involved in the project will not be awarded the
contract.
1.9. Language of the Bid:
The language of the Bid as well as the supporting documents shall be in English.
1.10. Cost of Preparation of Bids:
Bidders shall be fully responsible for all the costs associated with the preparation
of their bids, presentation and their participation in the selection process including

subsequent negotiations, visits to the Sangh or the project site etc. The Sangh will
not be responsible or in any way liable for such costs regardless of the conduct or
the outcome of the selection process.
1.11 Pre bid clarifications:
The bidders are requested to go through the whole EOI documents and any
discrepancy or mistake or clarification required, should be brought to the notice of
the Sangh immediately.
Pre –bid queries may be raised on or before 26.04.2010 on e-mail, fax or written
to the Managing Director,Tilam Sangh, II Floor, Nehru Sahakar Bhawan,
Bhawani Singh Road,, Jaipur-302020.
The site may be inspected on any working day up to 26.04.2010 at Tilam
Sangh, Kota-Rawatbhata Highway, Near Engineering College, at the
Back of Chambal River, Kota (Raj)-India.
The bid submitted by the bidder shall be based on the clarifications and any
additional clarifications, collectively referred to as common set of deviations
issued by Sangh. The bids submitted for this tender shall be unconditional and
conditional tenders will be summarily rejected.
The Sangh reserves the right to/ not to respond to any query or provide any
clarification, in its sole discretion and nothing in the clause shall be taken as
compelling or requiring the Sangh to any query or provide any clarification.
1.12 Filling of Bid Forms:
1.12.1 All information called for in the enclosed forms should be furnished
against the relevant columns in the forms. If for any reason, information is
furnished on a separate sheet, this fact should be mentioned against the
relevant column.
1.12.2 Even if no information is to be provided in a column, a “nil” or “no such
case” entry should be made in that column. If any particular or query is
not applicable in case of the bidder, it should be stated as “not applicable”.
General responses such as “included in brochure” without specific item
reference may be avoided.
1.12.3 All the pages of the EOI document and annexure and additional
information if any submitted shall be numbered sequentially and signed.
1.12.4 Applicants are cautioned that not giving complete information called for in
the application forms or not giving it in clear terms or making any change
in the prescribed forms or deliberately suppressing the information may
result in the EOI being summarily disqualified.
1.12.5 The EOI should be type-written on computer.
1.12.6 Applicants may furnish any additional information, which is deemed
necessary to establish their capability to successfully complete the
envisaged project. Superfluous information need not be furnished and no

information shall be entertained after submission of EOI document unless
specifically called for.
1.12.7 Any information furnished by the Applicant found to be incorrect either
immediately or at a later date, would render the applicant liable to be
debarred from taking up the project.
1.12.8 The Applicant should submit a check list as per the form provided along
with the application.
1.13 Signing of the EOI and number of copies :
1.13.1. The Applicant shall prepare one original set of the EOI document and
clearly mark it “ORIGINAL” . The original of the EOI shall be signed on
all the pages by the person duly authorized to sign on behalf of the
applicant.
1.13.2. The Applicant shall also submit one signed hard copy of the original set of
the EOI documents and clearly mark them “COPY”. In the event of any
discrepancy between the original and the copy, the original shall prevail.
1.13.3. The Power of Attorney duly notarized and on a stamp paper, authorizing a
person to sign and act on behalf of the firm/consortia should be submitted.
Such person shall have the authority to conduct all business and incur
liabilities related thereto for and on behalf of the applicant, during the EOI
process and thereafter.
1.13.4. The ORIGINAL and the COPY of the EOI enclosed in separate envelopes
shall be sealed in a single large envelope and submitted on or before the
last date and time for submission of the EOI as specified.
1.14. Deadline and address for submission of EOI
1.14.1. EOI shall be submitted to the address mentioned below by hand or through
registered post or courier service and not later than 15.00 Hrs on
28.04.2010. In respect of applications received by post or courier, Sangh
shall not assume any responsibility for any delayed delivery.
1.14.2. The EOI should be addressed to:

1.14.3. The EOI is divided into two parts viz. Technical Bid and Financial Bid.
Technical and Financial Bid should be kept in separate envelope titled
“Technical Bid for Tilam Paradise, Kota” and “Financial Bid for Tilam
Paradise, Kota” and clearly marked in English with name of the Applicant.
The Sangh may at its discretion, extend the deadline for the submission of
EOI, in which case all rights and obligations of Sangh and the applicants

subject to the previous deadline shall thereafter be subject to the deadline
as extended. Tilam Sangh reserves the right to reject any or all EOI
without assigning any reason at any stage.
1.15. Late submission of EOI.
EOI received after the dead line of submission of EOI will not be considered or
opened under any circumstances.
1.16 Right to Accept/ Reject any or all EOI.
Tilam Sangh, Jaipur reserves the right to accept or reject any or all EOI and to
annul the EOI process at any time without any liability or any obligation for such
acceptance, rejection or annulment without assigning any reasons.
1.17 Validity of EOI
1.17.1 EOI shall be valid for a period of 180 days from the date of opening of
Commercial Bid.
1.17.2 Tilam Sangh retains the right that in exceptional circumstances, at its own
discretion, it may ask the applicants to extend the validity of their
applications for a specified period. The applicant not submitting the letter
of extension of the validity period at that time shall not be further
considered.
1.18 Withdrawal of EOI
1.18.1 No modification or substitution of the submitted EOI shall be allowed.
1.18.2 An applicant may withdraw its EOI after submission, provided that written
notice of the withdrawal is received by Sangh before the due date for
submission of EOI. In case an applicant wants to re-submit the EOI, a
fresh EOI may be submitted following all the applicable conditions.
1.18.3 The withdrawal notice shall be prepared in Original only and each page of
the notice shall be signed and stamped by authorized signatories. The copy
of the notice shall be duly marked “ WITHDRAWAL”.
1.19 Number of EOI
An applicant is eligible to submit only one EOI for the proposal. An applicant
applying individually or as a member of a consortium is not entitled to submit
another application either individually or as a member of a consortium, as the case
may be.
1.20 Technical Proposal
Apart from the Technical information required in the prescribed format in the
Forms and annexure, the applicants shall submit written resume not exceeding
1000 words, which should highlight the value additions that applicant intends to

bring to the project facility thereby giving the justification as to why they should
be awarded the project. The complete Technical proposal shall comprise of the
following:
1.20.1 Applicant’s understanding and comprehension of the project with EMD of
Rs. 1.00 Lac only.
1.20.2 Applicant’s approach and methodology for carrying out the project tasks
1.20.3 Proposed Technological standards to be adapted and equipments to be
installed with their specifications.
1.20.4 Proposed manpower deployment during construction and operation phases
1.20.5 Proposed quality management plan
1.20.6 Proposed project schedule
1.20.7 Proposed project cost break-up
1.20.8 Proposed revenue models, photographs or computer-generated imagery
considered appropriate to explain and support the propositions.
1.21 Commercial Proposal
After making their own assessment of the costs of construction and operation of
the project facility and the revenues generated there from, the applicant is
required to propose a Concession Period for the project on BOT basis.
The Applicant may propose to pay the Sangh a license which may be fixed for the
duration of the Concession Period. The applicant may also propose to share
certain percentage of revenue generated with the Sangh, in addition to fixed
royalty or lease charges. The same shall be quoted in separate envelope Marked as
Commercial Bid. The highest bidder with minimum period of lease will be
selected and the project may be awarded to the successful applicant. In case
of difference in amount of figures and words is found, the amount of words will
be treated as final.
1.22 Enclosures
1.22.1 Applicants are required to enclose substantiating documents as required in
the EOI document.
1.22.2 Applicants should attach clearly marked and referenced continuation
sheets in the event that the space provided in the EOI document.
Questionnaire of Annexure is insufficient.
1.22.3 All enclosures shall be numbered in sequence and signed.
1.23 Clarification
1.23.1 Applicants shall be evaluated on the basis of EOI and the supporting
documents submitted by them. The Sangh shall not be under any
obligation to seek any further information or clarifications.
1.23.2 Without prejudice, in order to assist in the evaluation of EOIs the Sangh
may, at its sole discretion ask any Applicant for any clarification on its
EOI which shall be submitted within a stated reasonable period of time.

1.23.3 Any request for clarification and all clarifications in response thereof shall
be in writing.
1.23.4 If an applicant does not provide clarifications requested by the date and
time set in Sangh’s request for clarifications, its EOI is liable to be
rejected.
1.23.5 It is clarified that Applicants shall not submit on their own, additional
information or material subsequent to the date of submission and such
material if submitted shall be disregarded. It is therefore essential to
ensure that all questions are answered fully on the pro-forma or otherwise.
1.24 Responsiveness of EOI
1.24.1 An applicant, which does not meet all the requirements of the EOI
document, shall be rejected forthwith.
1.24.2 Applicants should note that this EOI is intended to provide preliminary
information to assist in preparation of the EOI. The information contained
herein shall not in anyway be construed as binding on the Sangh, its
agents, successors or assigns.
1.24.3 Applicants are advised that selection of Concessionaire for this Project
shall be entirely at the discretion of Sangh. Bidders shall be deemed to
have understood and agreed that no explanation or justification of any
aspect of the EOI process shall be given by Sangh and that the result of the
EOI process shall be without any right of appeal to the applicants
whatsoever.
1.24.4 All documents and other information submitted by an Applicant to the
Sangh shall become the property of Sangh. Applicants are required to treat
all information as strictly confidential. Sangh will not return any EOI
document submitted to it by the Applicants.
1.25 Notification of the successful bidder
Sangh shall notify successful Applicant (Preferred Applicant) after evaluation of
EOI as per the criteria laid out at 1.5 (Step 1 to 3). It will not entertain any query
or clarification from Applicant(s) who are not successful.
1.26 The successful bidder shall be responsible for obtaining all the required necessary
permission from the concerned Government Departments, local authorities/local
bodies etc. However, the Sangh will extend its help/cooperation to him in this
regard. Successful bidder will be responsible to pay any levies, charges fees etc.
1.27 In case of happening of any unforeseen incident/obstacle etc. force majeure clause
will be applicable, for which clinching evidence will be made available for
claiming relief under this clause. However, it shall be at the sole discretion of the
Sangh to grant relief as may be deemed fit and appropriate in the facts and
circumstances of the case.
1.28. The successful bidder will be responsible for any mishap at site during
construction or operation of the “Tilam Paradise”. The Sangh shall not be held

responsible for any such incident and if for any reason the liability is fixed on the
Sangh, the same shall be recovered from the bidder.
1.29. The successful bidder will get the requisite insurance for the site, workers and
third parties.
1.30. The successful bidder will enter into an agreement with Tilam Sangh and will
deposit 5% of the project value as performance security, to be appropriate against
breach of agreement or for recovery of liquidated damages. The performance
security may be in the shape of amount deposited or Bank Guarantee issued by a
Nationalised Bank.
1.31 The successful bidder will be solely responsible for development and
operationisation of “Tilam Paradise” within the stipulated time without any time
overrun. In no case the date of Transfer of the project to the Sangh after stipulated
period will be extended, on the plea of time overrun. If for any reason and at the
request of bidder any extension is granted by the Sangh, the same shall be at the
risk and cost of the bidder and also on payment of any interest, levy, fee or fine as
may be fixed or determined by the Tilam Sangh.
1.32 Arbitration
In case of any dispute between the successful bidder implementing the project
and Sangh, the dispute will be settled through Arbitration and the Administrator
of the Sangh will be the Sole Arbitrator. The bidder shall not raise any dispute
with regard to appointment of arbitrator at a later date. The provision of
Arbitration and Conciliation Act, 1996 shall be followed for conducting
Arbitration proceedings.
1.33 Jurisdiction
All disputes arising shall be subject to the jurisdiction of the appropriate court at
Jaipur and will be governed by the laws of India.

SECTION – III
SALIENT FEATURES.
1. All visitors to the “Tilam Paradise” from all socio-economic backgrounds should
be able to avail of the project facility.
2. The architectural design of the project is to be developed by the applicant and the
construction standard should be maintained as per PWD/CPWD norms.
3. Applicants are required to make estimates not below the PWD/CPWD
specifications for the basic civil, sanitation & plumbing and partial Electrical
Work, Air Conditioning, Fire Protection, Interiors, Furniture, Equipment,
Signage, Safety and Security. Landscaping or any other system or item that may
be deemed necessary for the successful operation of the facility and describe the
same in the technical proposal.
4. Applicants may also propose variations from the specifications of PWD/CPWD if
they are considered necessary for the successful operation of the facility and
describe the same in the technical proposal.
5. Applicants will take into account all aspects of the operation of the facility
including Promotion and Marketing, Personnel, Upkeep and Repairs etc. and
incorporate the same in their proposal.
