RAW MILL TABLE AND ROLLERS REWELDING

Lafarge Cement Hungary (LCH) is launching an RFQ process for rewelding works of the table and rollers of the raw mill.

The purpose of this RFQ is to select the best and the most reliable company for this kind of work. This RFQ is part of a major cost reduction initiative and therefore LCH is seeking for a partner that will provide reliable qualitative services at the best cost level.

The LCH’s intention is to optimize the cost and conditions sustaining and motivating the clear market competition so we kindly ask you to use our RFQ templates to give us the best offer. In case of any absence of information please ask additional information from us.

1. SUBJECT AND QUANTITY OF THE PURCHASING PROCESS

1.1. SUBJECT Requester’s first goal is to rewelding of the raw mill’s table and rollers. Subject and quantity of the purchasing: Manufacturer: LOESCHE Supplier: LOESCHE

1.2. CIRCUMSTANCES OF THE PERFORMANCE During the performance the plant will continue to operate, so the performance and the related logistical activities must be organized in such a way as to meet all of the Requester’s helath and safety rules. The Performer could not interfere with other maintenance activities, including any improvements, as well as the provision of related logistics. Bidders must place and take off their tools on their own risk and responsibility. Requester could not provide any tools or personnel to serve the Performer. The performance should be executed between 16th September and 07th October. Requester attaches the vertical mill’s abrasion’s measurement report, which contains the original size of the table and roller, so the Performer could calculate the needed welding material. Please take in consideration that the mill is currently operating so more abrasion is forecasted. Requester and Performer assess together the measure of the abrasion of the table and the rollers. Requester and Performer measure together the needed welding material before the rewelding. After the performance Requester and Performer measure again the left welding material. Based on this process the used material can be countable, which will be the bidding basis. After the execution Requester and Performer will do an inspection together to check that the table and rollers are welded to the correct size. The welding can be executed in 0 – 24 hrs. The rotation of the table can be executed by the mill’s own assistant drive. The movement of the rollers need an external tool, which the Requester does not own, so the Performer must provide it. For this procedure specific work instructions can meet. The containers which contain the welding equipments can be only transported by road tractor without bodywork. We cannot take off the container from a closed body road tractor. Requester wants to have guarantee for the executed job, which duration can’t be shorter than 4000 operating hours after execution, during regular cement industry usage. Please see the attached contractual proposal for the other conditions of the execution.


2. CONDITION OF BIDDING

The language of the tendering and the contract is English and/or Hungarian. Please make each document in English and/or Hungarian. The cost and risk of bidding is due to the offer regardless to the result of the tender.

3. DOCUMENTATION AND ADDITIONAL INFORMATION

The purchase procedure is coordinated by the Purchasing Group. During the process we answer your question in writing until 2 hours before the deadline of offering. During the procedure any question or additional information should be sent to the granted e-mail address. Answer to these will be sent 2 hours before the deadline. Questions will not be answered after this time. If you need more information or a visit to be able to send us a better bidding please do not hesitate to contact us.

4. SUBMISSION OF OFFER

Enclosed Performer find a pricing template to make easier the effective bidding. The offers should contain the process of the execution, the needed tools, and the quality of the materials. Requester ensures rectification if it judges in case of needed more information. The offers should be send to the given e-mail address in PDF format, please also indicate the budget in excel. DUE DATE: ALL PROPOSALS MUST BE SUBMITTED PRIOR TO 05 th. of August in 2016, 10 AM.

5. TENDER VALIDITY

The offerer is bound by its proposal for thirty (30) days after the due date.

6. EVALUATION OF OFFERS

Requester will not do open demolition process. Requester will make a contract with a Performer who’s offer is complies with the tender and is the most appropriate for the Requester. During the assessment each parameters will be taken in consideration. Requester reserves the right to proclaim the tender resultless. Criteria of evaluation:

- Offered price 80%

- Warranty 19%

- Payment deadline 1%


7. REWARD

The offered price must be in euro (EUR). Hungarian based company can make the invoice by multiple the MNB’s currency rate on the execution day. The offered price must contain all cost, but not exclusively tax, duty, fee,contributions. The payment due date could not be less than 30 days after the receipt of invoice, but the Performer can offer longer payment due. The Performer can advise sconto, if the Requester pays the invoice before due date.

8. NEGOTIATION

The Requester has the right that after the offers, to negotiate with the performers together or separately. The Requester will inform the Performers about the negotiation date by e-mail.

I. SZERZŐDÉS TÁRGYA I. SUBJECT OF THE CONTRACT

1.1 According to the present business contract, the Principal orders from the Contractor the fulfillment of the welding works of the grinding roller and grinding table of the Loesche raw mill in the cement plant in Királyegyháza. The purchase order number ……… is part of the contract as appendix no. 1.

II. TELJESÍTÉSI HATÁRIDŐ II. SETTLEMENT DEADLINE

2.1 Vállalkozó a szerződés aláírásával elvállalja a fenti munkálatok I. osztályú minőségben való teljesítését 2016. október 07. napjáig, a szerződés 2. pontjában meghatározott vállalkozói díj ellenében.

2.1 The Contractor undertakes to fulfil the services of first class quality Oct. 07, 2016. and for the contract price defined in the article 2.


III. VÁLLALKOZÓI DÍJ III. CONTRACT PRICE

3.1 Felek a vállalkozói díjat a hegesztés során felhasznált elektróda mennyiségére vetítve határozzák meg:

Felek a hegesztéshez felhasznált anyagokat a jelen pontban hozzávetőlegesen állapítják meg, a tényleges felhasználás mértéke és így az ár a 6.3 pont szerinti mérlegelés alapján kerül megállapításra.

3.2 Fentieken túlmenően a vállalkozói díj magában foglalja a munkálatok elvégzéséhez szükséges valamennyi igazolt munka-, anyag- és egyéb költséget; annak összege csak a teljesítéskor hatályos jogszabályok szerint fizetendő általános forgalmi adóval növelhető.

3.1 Parties define the contract price based on the utilized quantity of electrode according to the following scheme:

1. Welding buffer material, approx. ~ kg at €/kg deposited

Accommodation costs has to be paid on separate receipt Estimated total cost: In the present article the parties define the utilized materials approximately, the actual quantity of the utilized materials and the final price shall be defined according to the measurement stipulated in point 6.3. 3.2 Beyond the above the contract price includes all the necessary and verified work, material and other costs of the fulfillment of the works, this amount should be paid at the date of performance – according to the valid regulation – and could be increased with VAT.

IV. MUNKATERÜLET IV. WORKING SITE

4.1 Felek a munkaterület átadás-átvételéről jegyzőkönyvet vesznek fel. A Megrendelő köteles a kivitelezéshez a munkahelyet alkalmas állapotban a vállalkozó rendelkezésére bocsátani. A vállalkozó díjmentesen használhatja a munkavégzéséhez szükséges közmű szolgáltatásokat.

4.2 Vállalkozó a teljesítést követően köteles a munkaterületet tiszta és rendezett állapotban átadni.

4.1 Parties draw up minutes of the conveyance of the working site. The Principal is obliged to turn over the place of work in a serviceable stage for the works. The Contractor is entitled to use free of charge the public utilities necessary for the work.

4.2 At the end of the performance the Contractor is obliged to hand over the


working site in clean and ordered status. V. JOGOK ÉS KÖTELEZETTSÉGEK

V. RIGHTS AND OBLIGATIONS

5.1 Vállalkozó köteles tájékoztatni a Megrendelőt minden olyan körülményről, mely a munkák határidőn belüli teljesítését veszélyezteti, vagy gátolja. A tájékoztatás megtörténte a Vállalkozó jelen szerződésből eredő kötelezettségeit, valamint mellékkötelezettségeit nem érinti.

5.2 Megrendelő jogosult a munkát illetve a beépítésre, felhasználásra kerülő anyagokat, alkatrészeket ellenőrizni, a beépítés előtt Vállalkozó köteles Megrendelőt értesíteni. 5.3 Vállalkozó kötelezettséget vállal arra, hogy részéről a jelen szerződésben foglalt kötelezettségei teljesítése során igénybe vett munkavállalók alkalmazása kapcsán a foglalkoztatásukra irányadó hatályos - munkajogi, munkavédelmi, társadalombiztosítási - jogszabályok rendelkezéseit betartja, a munkavégzés során saját munkavállalói illetve jogszerűen igénybe vett alvállalkozói, teljesítési segédei számára a higiéniai feltételeket biztosítja. 5.4 Továbbá Vállalkozó a jelen szerződés aláírásával kijelenti, hogy teljes mértékben megismerte, elfogadja és kötelezi magát a Megrendelő „Vállalkozói Munkavédelmi Előírásai”-ban foglaltak betartására az alábbiak szerint:

1.) Megrendelőnél jelenleg hatályban lévő Vállalkozói Munkavédelmi Előírások, 2.) Eljárási Szabályok (Sárga Kártya eljárási szabályai)

5.1 The Contractor is obliged to notify the Principal about all circumstances, which could endanger or obstruct the performance within the given deadline. The notification has no effect on the obligations and collateral obligations of the Contractor deriving from this contract. 5.2 Principal is entitled to control the work and the materials which are intent to build in or utilized, the Contractor is obliged to notify the Principal before building in. 5.3 The Contractor undertakes to comply with all law – labor, safety, social regulations – related to the employment, during the performance of the services defined in this contract, also undertakes to provide the hygienic conditions for it’s employees, subcontractors, accessories during the performance of the services. 5.4 Furthermore with signing this present contract the Contractor declares, that fully acknowledged, accepted and undertakes the obligation to comply with the valid subcontractor’s safety rules of the Principal as follows:

2.) Procedural rules (Subcontractor’s Yellow Card Rules)

(3.számú melléklet) Vállalkozó kötelezettséget vállal arra, hogy a jelen szerződés alapján történő teljesítésének ideje alatt maradéktalanul betartja, munkavállalóival, valamint igénybe vett harmadik személyekkel betartatja a fenti szabályokat. A Megrendelő munkavédelmi megbízottja jogosult az említett szabályok betartásának ellenőrzésére a szerződés tartama alatt, azzal, hogy az ellenőrzés kiterjed a szabályok esetleges megsértésének dokumentálására (így különösen jelentés készítése, jegyzőkönyv felvétele, stb…). 5.5 Amennyiben a Megrendelő kétséget kizáró módon bizonyosságot szerez a fenti szabályok megsértéséről, figyelmen kívül hagyásáról, úgy Megrendelő jogosult a Vállalkozói Munkavédelmi Előírásokhoz kapcsolódó eljárási szabályokban meghatározott szankciókat érvényesíteni Vállalkozóval szemben, pénzügyi szankciók esetén Megrendelő jogosult a vállalkozói díjat csökkenteni azok összegével. Ennek megfelelően a vállalkozói munkavédelmi előírások megsértése esetén Megrendelő jogosult a Vállalkozóval szemben a Sárga kártya szabályzat szerinti pontrendszer alapján pontonként a szerződéses érték 1 %-nak megfelelő összeget, minimum 20.000 Ft, maximum 100.000 Ft kötbérrel a vállalkozó díjat csökkenteni. Továbbá Megrendelő jogosult eltiltani a cementgyár területére történő belépéstől, munkavégzéstől a Vállalkozó alkalmazottját, vagy általa igénybe vett harmadik személyt 6 pont elérése esetén.

The Contractor undertakes to fully comply with the above mentioned rules during the contractual term of fulfillment, and compel its employee(s) and the appointed third parties to comply with these rules. During the contractual term, the safety officer of the Principal is entitled to control the observation of the safety rules, the control covers to document the actual infringement of the rules (especially draw up reports, minutes, etc…). 5.5 In case the Principal prove the infringement of such rules without doubt or in case the rules are ignored, than the Principal is entitled to use the sanctions defined in the Procedural regulation of the Subcontractor’s safety rules. In case of financial sanctions, the Principal is entitled to decrease the contract price with the amount of the sanction. According to the above, in case of breach of “Subcontractor’s safety rules”, the Principal is entitled to decrease the contractual prices with the amount of 1 %, but minimum HUF 20.000, maximum HUF 100.000 per points according to the yellow card point system. Furthermore the Principal is entitled to ban the employee, or third party applied by the Contractor, from entering and working in the cement plant after reaching 6 points.


5.6 Vállalkozó köteles gondoskodni arról, hogy az általa elvállalt feladat teljesítése során a feladatot ellátó személyek a jogszabályoknak megfelelő balesetvédelmi, tűzvédelmi egyéb oktatásban részesülnek, köteles gondoskodni továbbá a munkavégzéshez szükséges egyéni védőeszközök biztosításáról. 5.7 Vállalkozó, illetve jogszerűen igénybevett alvállalkozója a munkavégzés során csak olyan eszközt, gépjárművet, munkagépet, stb… használhat, mely rendelkezik az összes jogszabályban előírt okirattal és megfelel a jogszabályi követelményeknek. Továbbá a vállalkozó és jogszerűen igénybe vett alvállalkozója csak és kizárólag olyan személyt alkalmazhat, aki az adott munkafolyamat vonatkozásában a szükséges alkalmassági, képesítési feltételeknek maradéktalanul megfelel, rendelkezik a szükséges érvényes okiratokkal. 5.8 Vállalkozó a jelen szerződésben vállalt feladat elvégzése során köteles gondoskodni a vonatkozó környezetvédelmi szabályok maradéktalan betartásáról. 5.9 Vállalkozó szavatol azért, hogy az esetlegesen beépítésre, felhasználásra kerülő anyagok, eszközök, berendezések vonatkozásában harmadik személy joga nem áll fenn és azok felhasználását más joga korlátozza, nem zárja ki. Továbbá Vállalkozó szavatol azért is, hogy jelen szerződés teljesítésével nem sért szabadalmi jogot, vagy harmadik személyt megillető más szellemi tulajdont védő jogot, Vállalkozó által licensz megállapodás alapján harmadik személynek biztosított jogot, mely hátrányos lehet a megrendelőre.

5.6 The Contractor is obliged to ensure that during the fulfillment of the contractual services, the workers are trained (safety, fire protection, other trainings) according to the valid regulation, the Contractor is also obliged to provide the personnel protective equipments necessary for the work. 5.7 The Contractor and the legally applied subcontractor are entitled to use only such equipments, devices, vehicles, machines, which have the necessary documents defined in the valid regulations and meet with the legal requirements. The Contractor and the legally applied subcontractor are entitled to employ only and exclusively such employee, who meets all the necessary competency and qualification requirements for the defined work, and has all the necessary and valid licenses. 5.8 The Contractor is obliged to arrange the fulfillment of the environmental legal requirements during the performance of the services. 5.9 The Contractor warrants that all the materials, tools, equipments built in or used eventually are not encumbered with third parties’ right and not limited or excluded by third party’s right. Furthermore the Contractor warrants that fulfillment of this contract will not infringe any patent or any other intellectual property right of any third party or any licensing agreement granted by the Contractor to any third party in a manner which may be detrimental to the Principal.


VI. ÁTADÁS-ÁTVÉTEL VI. ACCEPTANCE 6.1 Felek rögzítik, hogy a jelen szerződésben meghatározott szolgáltatás nem osztható. Vállalkozó köteles a teljesítést követően a lehető legrövidebb időn belül tájékoztatni Megrendelőt a szolgáltatás elvégzéséről, valamint egyeztetést kezdeményez a Megrendelővel az átadás-átvétel kezdő időpontjának meghatározására, mely legkésőbb teljesítési határidő utolsó napja. 6.2 Felek a közösen kiválasztott időpontot megelőzően 2 napon belül kijelölik az átadás-átvétel során képviselőikként eljáró személyeket. 6.3 Felek megállapodnak, hogy a munka megkezdése előtt és az átadás/átvétel során együtt megmérik az őrlőgörgők és az őrlőasztal kopásának mértékét. A munkaterület átadással egyidőben a hegesztéshez használni kívánt anyagok mennyiségét is megmérik közösen, majd a munka befejeztével a megmaradó mennyiség szintén mérésre kerül, a két érték közötti eltérés képezi a számlázás alapját. Vállalkozó tudomásul veszi, hogy a mérést követően a hegesztéshez szükséges anyagot csak a Megrendelő előzetes engedélyével és tudomásával szállíthat be és ki a munkaterületről. 6.4 Az átadás-átvételt követően Megrendelő teljesítési igazolást állít ki (A teljesítési igazolás minta a jelen szerződés 4. számú mellékletét képezi). Amennyiben az átadás-átvétel során Megrendelő a teljesítés kapcsán kifogást emel, úgy azt a teljesítési igazoláson

6.1 Parties agreed that the service defined in this present agreement is not divisible. The Contractor is obliged to notify the Principal as soon as possible that the service is completed and initiate negotiations about the starting date of conveyance which is the last day of the settlement deadline at the latest. 6.2 Parties - 2 days before the defined date - appoint their representatives during the conveyance. 6.3 Parties agree that they mutually measure the abrasion of the grinding rollers and grinding table before starting the works and during the acceptance procedure. In the same time of the conveyance of the construction site, the parties measure the quantity of the materials planned to be utilized for the welding works, then after the fulfiment of the works the remaining materials shall be measured, the difference between the two measurements shall construe the basis of invoicing. The Contractor acknowledges that after the measurement he may supply materials necessary for the welding works only with the prior permission and knowledge into and out from the working site. 6.4 After conveyance the Principal issues certification of performance (The certification of performance sample is attached to the contract as Appendix No 4). In case the Principal files complaints regarding to the performance during the conveyance, the Principal defines the


Megrendelő rögzíti, a hibás teljesítés esetén a leigazolt teljesítés ellenértékéről állíthat ki számlát a Vállalkozó. A szavatossági igényekről felek külön állapodnak meg. Amennyiben a hiba az átadás átvétel idején nem volt észlelhető és arról a Megrendelő későbbi időpontban szerzett tudomást, úgy a szavatossági időn belül a tudomásszerzéstől számított 15 munkanapon belül köteles a hibát Vállalkozó felé jelezni.

6.5 A vállalkozó a terhére felróható késedelem esetén a napi 1 százalékának megfelelő késedelmi kötbért köteles fizetni, mely nem lehet több a teljes díjazás 10 %-nál.

complaints on the certification of performance, in case of defective performance the Contractor can issue the invoice of the price of the verified performance. About the warranty claims the parties shall make a separate agreement. In case the defect can not be detected during the conveyance, and the Principal became aware of the defect further on within the warranty period, the Principal must inform the Contractor within 15 working days from this date. 6.5 In case of the actionable delay conducted by the Contractor, the Contractor is obliged to pay default penalty stipulated for delay. The amount of default penalty is 1 % per day of the contract price, but not more than 10 % of the total price.

VII. FIZETÉSI FELTÉTELEK VII. PAYMENT

7.1 A Vállalkozó az átvétel igazolása alapján jogosult a vállalkozói díjnak megfelelő összegről számláját kiállítani, melyet Megrendelő a teljesítést követően, a számlán megjelölt időpontig a Vállalkozó bankszámlájára való átutalással fizet meg. 7.2 Felek kölcsönösen kijelentik, hogy a fenti pont szerinti fizetési határidőben közös megegyezéssel állapodtak meg a jóhiszeműség és tisztesség követelményének eleget téve, így azt nem tekintik tisztességtelen szerződéses feltételnek. 7.3 Megrendelő abban az esetben köteles a Vállalkozó számláját befogadni, amennyiben Vállalkozó azt a számviteli szabályoknak megfelelően állítja ki, valamint feltünteti Megrendelő OP megrendelési számát, továbbá csatolja a

VIII. JÓTÁLLÁS

VIII. WARRANTY

8.1 Vállalkozó a gyártási és beszerelési munkálatok I. osztályú minőségben történő ellátásáért szavatol. Vállalkozó a végleges átadást-átvétel időpontjától számított 4000 üzemórán belül élettartam-garanciát vállal az általa, vagy jogszerűen igénybe vett alvállalkozó által elvégzett fenti munkákért. Felek megállapodnak abban, hogy az élettartam-garancia azt jelenti, hogy a munka elvégzését követően átlagos cementipari nyersanyagok felhasználása mellett a nyersmalom fentiek szerint meghatározott mennyiségű nyersanyag feldolgozására képes, mielőtt elemei a munka megkezdése előtt rögzített fizikai állapotba kerülnek.

8.1 Contractor undertakes lifetime guarantee for 4000 operating hours within the date of the final handover. Parties agree that the lifetime warranty means that after carrying out the work under average use of cement industrial raw materials,the cement mill can process the defined quantities of rawmill, before it elements become the fixed physical condition before starting the work.

IX. SZERZŐDÉS MEGSZÜNTETÉSE IX. EARLY TERMINATION

9.1 Bármelyik fél jogosult bármely időpontban írásban azonnali hatállyal felmondani a szerződést az alábbi esetekben:

a) A szerződésben foglalt lényeges

szerződési feltétel megsértése esetén, amennyiben a szerződésszegő fél a szerződésszegést nem szünteti meg a felhívást követő 30 napon belül, vagy

b) felszámolási eljárás elrendelése,

9.1 Each party shall have the right at any time by giving a written notice to the other party to terminate the contract immediately forthwith if: a) the defaulting party commits a material breach of any of the terms and conditions of this contract and fails to cure such default within thirty (30) days of notice of the default; or b) the defaulting party has a bankruptcy composition with his creditors approved

X. FELELŐSSÉG X. LIABILITY

10.1 Vállalkozó köteles megtéríteni minden – neki felróható módon - közvetlenül felmerült dologi vagy személyi sérülésből eredő kárt, költséget, és kapcsolódó díjat, mely a megrendelőnek nyújtott szolgáltatás teljesítése kapcsán merült fel. A vállalkozó, az általa jogszerűen igénybevett alvállalkozóért úgy felel, mintha maga látta volna el a feladatot. 10.2 Jogszerűtlenül igényevett alvállalkozó esetén a vállalkozó minden olyan kárért felel, amely e nélkül nem következett volna be.

10.1 The Contractor shall indemnify all direct losses, damages, costs and related legal fees arising from damage to or loss of property and /or personal injury, attributable to the actionable conduct of the Contractor and resulted by the fulfillment of the services. The Contractor is liable for the legally appointed subcontractors such as the Contractor would perform the service itself. 10.2 In case the Contractor appoints the subcontractor illegally, the contractor is liable for all losses, which would not be happened without the application.

XI. ÉRTESÍTÉSEK XI. NOTICES 11.1 A jelen szerződéssel kapcsolatban a felek az értesítéseiket írásban kötelesek egymással közölni. Írásban közöltnek minősül -az e-mail üzenet, -a telefax, illetve -postai úton közölt küldemény igazolt átvétel esetén. 11.2 Kapcsolattartók:

XII. TITOKTARTÁS XII. CONFIDENTALITY

12.1 Felek megállapodnak abban, hogy a másik fél üzleti tevékenységével kapcsolatos információt bizalmasan kezelnek, különösen de nem kizárólagosan az alábbiak szerint: bármely információ, adatok, számadatok, beruházások, árak, működési módszerek, becslések, vevő listák, adók, személyi információk, könyvelési eljárások, szabadalom, üzleti titok, marketing tervek, stb… (“Bizalmas információ”). Felek nem használják fel és nem fedik fel a bizalmas információkat, kivéve kizárólag az egyedi megrendelések teljesítése céljából. Mindkét fél kijelenti, hogy az ilyen információkkal a másik fél rendelkezik és nem fedi fel más személy, társaság, szervezet előtt. 12.2 Felek biztosítják, hogy alkalmazottaik, teljesítési segédeik, alvállalkozóik tudatában vannak és tiszteletben tartják a jelen szakaszban meghatározott kötelezettséget.

12.1 The Parties agree to maintain the confidentiality of the other Party’s information related to the business of the other Party including, but not limited to, any and all information, data, figures, projections, prices, methods of operation, estimates, customer lists, tax records, personnel history, accounting procedures, patents, trade secrets, marketing plans, etc. (“Confidential Information”). The Parties will not use or disclose the Confidential Information except for the sole purpose of performing the service described in the Purchase Order. Each Party agrees that this information is the property of the other Party and shall not release any such information to any person, firm or institution. 12.2 Parties shall ensure that their employees, accessories, and subcontractors are made aware and comply with the provisions of this article.

XIII. VIS MAJOR XIII. FORCE MAJEURE


13.1 Nem minősül szerződésszegésnek amennyiben a felek bármelyike, előre nem látható, elháríthatatlan külső körülmény, egyik félnek sem felróható ok miatt nem tudja szerződéses kötelezettségét teljesíteni. 13.2 A Vis major által akadályozott fél haladéktalanul köteles másik felet írásban tájékoztatni. Amennyiben a vis major tartama a 60 napot meghaladja, úgy felek kötelezettséget vállalnak a szerződés újra tárgyalására, amennyiben ez további 30 napon belül nem vezet eredményre, úgy felek a szerződést közös megegyezéssel megszüntetik.

13.1 If any of the parties is not able to fulfil its obligation because of unforeseen, unavoidable external circumstances, which are not caused by the actionable conduct of either party, it does not deemed as breach of contract. 13.2 The party disabled to fulfil its obligations by the vis major must notify the other party in written. If the term of vis major exceeds 60 days, parties oblige themselves to renegotiate the contract, if it does not lead to result within 30 days, parties terminate the contract mutually.

XIV. SZERZŐDÉS HATÁLYA XIV. TERM OF THE AGREEMENT

14.1 A jelen szerződés az aláírás napján lép hatályba és a felek szerződésszerű teljesítésével szűnik meg.

14.1 This present contract enters into force on the date of signing and shall expire after the performance by both parties is completed in conformity with the contract.

XV. ENGEDMÉNYEZÉS XV. ASSIGNMENT

15.1. Vállalkozó kijelenti, hogy Megrendelő jogosult a jelen megállapodást a vállalkozó előzetes hozzájárulása nélkül engedményezni. 15.2 Felek megállapodnak abban, hogy Vállalkozó – Megrendelő írásbeli hozzájárulása nélkül - követelését nem terhelheti meg, nem engedményezheti sem részben, sem egészben. Vállalkozó a Megrendelő előzetes hozzájárulásával vehet igénybe alvállalkozót.

15.1 The Contractor states, that the Principal is entitled to assign this contract without the prior consent of the Contractor.

15.2 Parties agreed upon, that – without prior consent of the Principal – the Contractor could not encumber or assign this contract in whole or in part. The Contractor could appoint subcontractor only with the prior consent of the Principal.

XVI. VEGYES RENDELKEZÉSEK XVI. MISCELLANEOUS

16.1 Felek kölcsönösen kijelentik, hogy a jelen szerződés és a hivatkozot mellékletei képezik a felek közötti

Bármely korábban szóban vagy írásban kötött megállapodás, tárgyalás, kialakult gyakorlat, szokás nem tekinthető a felek közötti szerződéses iratnak illetve szerződés részének. 16.2 Amennyiben a szerződés egyes rendelkezései érvénytelenekké válnak, az a fennmaradó többi rendelkezést nem érinti. Az ilyen rendelkezéseket olyan rendelkezéssel kell helyettesíteni - amennyiben ez jogilag lehetséges -, hogy a legjobban tükrözze a felek akaratát összhangban a szerződés céljával. 16.3 Bármely jogról való lemondás, módosítás mindkét fél, a Megrendelő és a Vállalkozó aláírásával válik kötelezővé, feltéve kifejezetten tartalmazza a szerződés módosításának szándékát.

16.4 Vállalkozó tudomásul veszi, hogy a Lafarge csoport elfogadta az ENSZ Global Compact megállapodását, így magára nézve kötelezőnek tekinti a 10 alapelvet az emberi jogok, a környezetvédelem és a korrupció terén. 16.2 Should individual provisions of the contract be or become invalid, this will not affect the validity of the remaining provisions. There shall be substituted for any such provision a suitable provision which, as far as is legally possible, comes nearest to what the Parties hereto desired or would have desired according to the sense and purpose of the contract.

16.3 Any waiver, modification or amendment to the contract shall be binding on the Principal and Contractor only if signed by both parties and shall expressly state the intention to amend the contract.

XVII. ALKALMAZANDÓ JOG ÉS JOGVITÁK

XVII. GOVERNING LAW AND DISPUTES

17.1 A jelen szerződésre a magyar jog irányadó. 17.2 Bármely jogvita a Vállalkozó és a Megrendelő között, mely a teljesítéssel kapcsolatban merül fel – kivéve ha közös megállapodás nem születik – felek a Pécsi Járásbíróság, illetve a Pécsi Törvényszék kizárólagos illetékességét kötik ki értékhatártól függően.

17.1 This contract shall be governed by and construed and enforced in accordance with the laws of Hungary. 17.2 Any dispute between the Contractor and Principal, arising out of or in connection with such performance shall, unless solved by mutual agreement, be submitted to the exclusive jurisdiction of the District Court of Pécs, or the General Court of Pécs depending on the value limit.

17.3 A jelen szerződés magyar és angol nyelven készült, vita esetén a magyar nyelvű változat az irányadó.

17.3 Present contract has been prepared in Hungarian and English language. In case of discrepancy or interpretation dispute the Hungarian language version shall prevail.

17.4 A jelen szerződésben nem szabályozott kérdésekben a Ptk., valamint a mindenkori hatályos vonatkozó magyar jogszabályok alkalmazandóak.

17.4 For any issues not regulated in the present contract, the rules of the Hungarian Civil Code and other relevant regulations of the Hungarian law shall be applicable.
