The first full day of the symposium began with our keynote speaker, Kevin McCarthy, who presented “Welcome to the BlindSpot Zone,” which was an innovative, interactive, and fun-filled program that kept the audience engaged throughout and provided them with new tools to mitigate the effects of blind spots at work and home� Later there were sessions pertaining to professional services and insurance risks, PPEA/PPTA, evolution of the modern procurement function, contract management and total cost of ownership� The symposium closed with Dr� Mary Ann Wangemann’s presentation, “War Dogs,” which was based on the movie of the same name� As we do at every event, the VAGP selected a local charity to support� The host committee selected Treasure House, which is a student-centered program that supports students and families by helping meet basic needs and establishing connections between home and school� Thanks to the innovative fundraising games and silent auction, VAGP members raised $1,580 for the Treasure House� In addition, many basic supplies were donated by our members� Great job again, VAGP! The VAGP Fall Symposium was held October 13–14, 2016 at the Fredericksburg Hospitality House in Fredericksburg, Virginia� This year’s theme, “Timeless

Impact of Procurement”, was well received by the 115 members in attendance� The host and the Conference Advisory Committee provided attendees with a program full of high level topics and speakers�

The symposium kicked off Wednesday with a board meeting followed by a meet-and-greet in the hospitality suite that evening. What a great year it’s been! As I reflect on our achievements over the year, and the long list of dedicated volunteers who worked to implement the 2016 Action Plan and achieve VAGP’s five strategic goals, I wanted to share a brief snap shot of a few of these achievements� We still have two months to go!

Advocate best practices in public procurement�• The Legislative Committee, with the support of our lobbyists at Hefty Wiley & Gore, has positioned

itself to be proactive and involved in discussions on the front end of legislation� This has enhanced VAGP’s effectiveness as stronger relationships have been formed with other associations, policy makers, legislators, and fellow lobbyists to find common ground. VAGP held its second Legislative Webinar and published an article in the VACo newsletter�

• Won NIGP’s Excellence in Advocacy for Members and the Profession.

Build a robust technology framework in order to enhance member services and deliver them more effectively�• Engaged young professionals to assist with maintaining VAGP’s social media platforms� This has

increased traffic on these sites, and enhanced outreach to not only VAGP members, but also public procurement professionals across the country�

• Partnered with TripBuilder Media to offer an event app for the Spring Conference� This provided the technology for members to track conference schedules, keep notes, and download presentations all on the convenience of their mobile devices� It also provided added value to Vendor Expo attendees and allowed a means to further promote to the business community�

Increase and retain an engaged membership�• The Membership Committee undertook a non-member entity recruitment in an effort to reach those

in public procurement across the state and promote the value of VAGP� This was a great success! • Worked to grow the Student Membership category by further developing those programs, building

relationships with Higher Education institutions, and developing an internship listing for both students and agencies�

• Worked on implementation of the Regional Champions initiative to have leaders across the state reaching out to members in their areas� Enhance member services by region to provide training, outreach events, and coordination as needed� There are still opportunities to volunteer for this initiative, so contact Brad Quann or Gwen Terreforte if you are interested�

Enhance productivity and professionalism through leadership�• Continued growth in the Mentor-Protégé program with new Protégés joining this year�• Enhanced relationships with NIGP and other Chapters by participating in programs, collaborative

teleconferences, and hosting fellow NIGP Chapter members from Delaware, Pennsylvania, and Washington D�C� at the Spring Conference and Fall Symposium�

• Raised over $4,000 for Fear2Freedom (Spring Conference) and over $1,500 for the Treasure House (Fall Symposium)�

Develop and deliver professional development opportunities to reach members in all regions at all levels of experience and expertise�• New professional development classes were created and added to the schedule. • Held educational sessions during the Vendor Expo to provide an opportunity to earn contact hours

and learn market trends from vendor attendees�

This year’s Board and the VAGP membership has been incredibly supportive and engaged, so the above doesn’t seem to begin to tell the story� What an honor and privilege it has been to serve as VAGP President for two years� To be able to give back to an association and its members who have been so supportive is a time I will look back on with great fondness� I pass the gavel on to Etta Henry, and know VAGP will continue to grow and thrive under her leadership�

Over the past 30 years, procurement has evolved from being transactional

driven to a more strategy focused process� In days gone by, procurement professionals were mostly responsible for keying purchase orders and completing other routine tasks� In contrast, today’s procurement professional plays a much more strategic role in providing the goods and services required by their entity and have many more tools they can use to ensure they are making the most cost effective procurement�

Today’s procurement professional has many tools in their tool box that were not previously available� For example, with technological advancements we now have the ability to use data analysis techniques and software to evaluate how e-purchasing impacts the organization, more accurately evaluate our purchase history, or quickly compare prices on desired products all with a few keystrokes�

Much like the RFP, BID, and RFQ we should consider cooperative contracts as another tool in the toolbox� Cooperative contracts provide procurement professionals with the ability to save time and effort in negotiating our own contracts by utilizing approved contracts to the extent permitted by Section 2�2-4304 of the Virginia Public Procurement Act� If there are multiple cooperative contracts with the same vendor/same products, procurement professionals can do contract comparisons and gather data

that can be used to build cost-models� Cost models can evaluate other cost factors other than just the cost of goods, for example: services, delivery, installation and removal of trash� While a cooperative contract might be the best choice for a lower dollar volume purchase it might not be best for higher dollar purchases where it is necessary to consider the value of customized needs that could be addressed through an RFP or bid process�

This past year the Virginia Beach City Public Schools planned to purchase 2�2 million dollars in Furniture and Equipment for a new school being built� Since all the items being requested were covered under one of the various cooperatives typically used for lower dollar purchases we initially priced these items from various cooperative contracts� However, since we had the luxury of time, we put the items out to bid to see how the pricing compared� The bid pricing for some of the items were comparable between the bid prices and the cooperative pricing; however, many of the items were significantly lower in price, rendering an 25% savings for the division, resulting in a cost savings of over $600,000

Use the sharpest tool in your toolbox and be confident in the procurement method you have chosen� Whichever method you use, BID, RFP, or cooperative contract, it should be one that renders the best value for your organization and the one you are prepared to defend�

Given where we are today, our environment, our society and economic factors play a more important role in current procurement practices� Public purchasers can establish requirements other than price as part of the specification, such as a supplier’s manufacturing process, ethical practices, environmental and risk management practices, as long as such factors are related to the procurement�

Toxicity in a product or an ingredient, or a vendor that has a reputation of using child labor seems to appear in the news on a regular basis� It seems more than ever, these facts impact specifications and criteria used in current procurement practices to provide goods and services�

Examples of specifications that reflect sustainable procurement practices are:

EnvironmEntal• Environmentally preferable goods and services reduced

impact on human health and the environment over the life cycle of the good or service, when compared with competing goods or services serving the same purpose

• Reduced energy use or water and soil conservation

Social• Contracts with suppliers that provide employment and

training focused on disadvantaged groups• The impact/effect of occupational health and safety concerns

Economic• Local preferences• Equipment that is more efficient to operate (energy, water

and labor)• Capital procurements achieving savings through reduced

life-cycle costs (annual operating and maintenance costs) In consideration of the need for the government to protect the environment as well as support the market for sustainable goods and services, Governor McAuliffe issued an executive order to convene a workgroup and recommend concrete steps to reduce carbon pollution from Virginia’s power plants� The group’s recommendations will build upon existing efforts to improve energy efficiency and transition the Commonwealth to carbon-neutral energy sources� Additionally, the Governor set new procurement standards for state agencies, requiring eight percent of the energy they consume to be generated by renewables within the next three years�

The Division of Engineering and Buildings awarded an Energy Performance-Based Contract (ref� contract number DEB20110611) that is available to any Virginia state agency or public body to reduce energy costs of a facility through one or more energy conservation or operational efficiency measures (expires 3/31/2017)�

A recipient of VAGP’s Distinguished Service award, he leads by example and is a kind soul� As he rolls off the VAGP Board in December, we will all miss his wise insight and tall tales, but know he will continue to be involved and attend events, so he won’t be far� Thank you for everything, Bill!

The Member Connect is an email service provided to all VAGP members through the VAGP website� This is a valuable

tool and is used among most members� Currently, there are over 1,000 members participating in the Member Connect� Listed below are a few important Member Connect etiquette points to keep in mind when using this service:

• If and when a member replies to a Member Connect message, do not use Reply All; instead, use REPLY� Using Reply All sends another message about the same topic to over 1,000 members when only 1 member was inquiring�

• Each Member can subscribe or unsubscribe to the Member Connect� Go to www.vagp.org, scroll to the middle of the home page, and click MemberConnect under Member Services� Enter the member user name and password and click submit� Type the email address, click subscribe or unsubscribe, then click submit� After this task has been completed, an email will be sent to the email address provided, confirming the action taken on the member account.

• The Technology Committee Chair can also assist with subscribing and unsubscribing members� Go to the VAGP website, scroll to the middle of the home page and click Committees/Volunteers� Scroll to the bottom of that page and the Technology Committee Chair will be listed� Click more information and that person’s email address and telephone number will appear along with other members of the committee� Send the Technology Committee Chair an email or call for assistance�

The new VAGP website was designed with self-service functionality� Each member has the ability to log into their individual account and update passwords, employer information, home information, email preferences, etc� This can be done from the VAGP home page by clicking Review/Update Your Profile.

Any competent Purchase Officer knows that there should always be six elements to any contract� These essential

elements listed below must exist in order to form a contract�

• Offer and Acceptance• Definiteness• Consideration• Mutuality of Obligation• Capacity of the Parties, and• Legality of Purpose

Most of these are routinely applied through nothing more than rote memory, but the one that I see that can always use some help is in the element defined as ‘definiteness.’ Also, most bid protests generally work their way back to this element in challenging the basic subject matter of the Agreement�

As identified in NIGP’s Developing and Managing RFP’s in the Public Sector by Khi V� Thai, Ph�D�, he offers a really good description of “definiteness” as follows:

“Under common law, an offer must include the important, or material terms of the proposed agreement so that, when a person accepts the offer, the resulting agreement is enforceable� Important terms include subject matter, price, payment terms, quantity, quality, duration, and the work to be done� If the parties purport to agree on a material term but do so in a vague manner in contrast to omitting the term altogether, there is no agreement because it is too indefinite.”

After reading this, I trust you can see that any limitations that may occur at this element of the contract probably originated at the solicitation stage� In other words, if you didn’t include these basis terms in your bid or proposal, it is probable that your resulting contract may not be adequate to secure the goods and services desired�

For example, have you ever seen a purchase order that purports to identify the subject matter of what you are buying by referencing a vendor quote by number and date� Information Technology procurements are notorious for this and I can’t tell you how many times that I have seen requisitions show up in the procurement department and I

have no idea what is being requested, no less than what we will be buying and hopefully receiving� Please make sure that if you develop your purchase order or contract by referencing the vendors quote, you clearly identify that the offer contains the variables needed to meet the “definiteness” standard.

Other challenges associated with this term may involve a full and concise description of the quality desired in the goods and services� Although this may be subjective in nature, it is so important to clearly communicate the level of quality you desire in your contract� By simply stating the word “new” or “current year model” may not be an adequate description of the quality you are expecting� Rather, describe the performance that is expected in your contract and do not accept such a description from the vendor�

Finally, I continue to see contracts that may describe the number of days allocated for delivery of project completion, but the beginning date for performance may be unknown� Inasmuch, when and where does the contract start? Believe it or not, this can be just as puzzling for the vendor because their ultimate goal is to get finished and get paid as quickly as possible� As an example, I have seen service contracts include provisions where it states that the contactor shall begin performance within ten days of receipt of the order and be completed within 30 days� Although this may appear an adequate description of the “duration” of the contract, it leaves a lot to be desired� First, what’s the description of a day? Is it calendar days or business days? Second, how do you determine when the receipt of order occurs? I’ve seen situations where a purchase order is not generated because the transaction is conducted using a P-card� Finally, what happens if your contract is for some sort of construction services and after you issue the purchase order, your Engineering group issues a Notice to Proceed with a different date than your order� Try to explain that one when you are considering liquidated damages�

So, I trust that you can see where it is vital that the professional purchaser take the adequate time and use their best judgment in describing the ‘definiteness’ term of the contract. Thank you to all VAGPers and vendors who contributed and made a difference in one of our local communities by

participating and donating to the 2016 VAGP Fall Symposium charitable fundraiser—the Treasure House!

Treasure House is a 501(c)3 charity, non-profit, that services the Spotsylvania County Community in a transparent and honest way� It helps students and their families who are struggling with homelessness�

The Spotsylvania County Schools Social Work Team operates Treasure House in support of the families who are displaced from housing or at high risk to become displaced� Treasure House is a place where families can come to “shop” for various items that are needed for daily life and to encourage school attendance� Everything is free to the families utilizing the service and all items are community donated� The wish list items include: soap, shampoo, conditioner, laundry detergent, dish soap, toilet paper, deodorant, feminine hygiene products, diapers, food, and school supplies�

Symposium attendees joined in for some fun and games by participating in the 50/50 raffle, took a spin at the Wheel of Fortune, others were put behind bars, while others were bailed out, but all in a day’s work� Thank you for your generosity and donations to further the mission of Treasure House and the VAGP commitment to bringing the spirit of positive change into our neighborhoods� As the holidays approach, it is a time when people are thinking about giving even more� Open your wallet or give of your time to those in need� You will feel the reward! Together we can, we did, and continue to make a difference�

the monetary contribution to treasure house was $1,580, and two vans full of donated items that were on

the “wish list.”
