EXHIBIT SPACEThe cost of each regular exhibit booth includes space measuring approximately 10-feet deep by 10-feet wide. The cost of a Silver or Gold Sponsorship includes a space measuring 10-feet deep by 20-feet wide. A space of 20-feet deep by 20-feet wide is included with the cost of a Platinum Sponsorship. All spaces come with a skirted 8 ft table, two chairs and a back-drop. Exhibit booths will be located in the Exhibit/Conference Room. All Exhibitors will have the ability to display additional signage and displays within their assigned area. Larger signage or displays larger must be approved by Alternative Energy Store, Inc.

Breakfast, Lunch (both days) and the Reception will be held in the Exhibit area in order to promote networking opportunities.

EXHIBITOR REGULATIONS• All exhibits shall be adequately staffed during exhibit hours.• No food or drink may be dispensed or served in the exhibit area or break out sessions/rooms.• Direct sales during the conference is prohibited. Goods or merchandise cannot be sold anytime during the conference.

Orders only may be taken for future delivery of goods or services.• Dispensingalcoholisprohibitedontheexhibitfloororinthebreakoutsessions/rooms.• Exhibitors may install their booths on Monday, February 23rd from 4:00 PM - 8:00 PM.• Booths may not be dismantled before 5:00 PM on Wednesday, February 25th.

CANCELLATION POLICYPrior to February 14, 2015 an exhibitor may cancel and receive a refund of the exhibit or sponsorship fees, minus $250.00 to cover administrative and processing costs. After February 14, 2015, all exhibit and sponsorship fees are non-refundable.

SECURITY & LIABILITYAlternative Energy Store, Inc and the Holiday Inn, Boxborough, will take special precautions to safeguard each exhibitor’s propertyduringtheshow;however,AlternativeEnergyStore,Inc.specificallydisclaimsanyandallliability.Specifically,neitherAlternative Energy Store, Inc. nor the Holiday Inn, Boxborough will be liable for damage or loss to an exhibitor’s property throughtheft,fire,accident,oranyothercause.Further,AlternativeEnergyStore,Inc,willnotassumeanyliabilityforanyinjurythat may occur to visitors, exhibitors, or other agents or employees of exhibitors. Exhibitors assume all responsibility and liability for their property, personnel, agents, employees, invitees, and guests. Exhibitors should insure their own exhibits and display materials.

CONTRACT FOR EXHIBIT SPACEThesubmissionbyonlineform,fax,mailorothermethodofadulysignedexhibitorcontractconstitutesanunqualifiedoffertoaccept exhibit space assigned pursuant to the provisions hereof. Upon acceptance by Alternative Energy Store, Inc, as provided herein, this Agreement shall constitute a binding contract for exhibit space at the 2015 Alternative Energy Dealer Conference, (“TheShow”).ThetermAlternativeEnergyStore,IncshallmeantheAlternativeEnergyStore,Incoritsofficers,directors,agentsor employees authorized to act for it in the management of the Show.

USE OF EXHIBIT SPACEA: Parties Entitled to Use: Exhibitors shall not assign or share, in whole or in part, its exhibit space without prior written permission by Alternative Energy Store, Inc.B: Unauthorized Activities: Activities in any exhibit space that are contrary to law or to the rules of the Show, and which disturb exhibitors in the immediate area or any other conference participants, are prohibited and constitute grounds for termination and immediate removal of an exhibit without the right of refund. Only duly registered Exhibitors and their duly registered employees shall be permitted to display or demonstrate any products, processes or services, solicit orders or distribute materials at the Show. The aisles of the exhibit area may not be used for distributing literature, product samples, or other materials or conducting any promotional or other activities.C: Construction of Booths: Booths shall be constructed so that they do not exceed 8 feet in height. No part of the booth may extend outside the 10’ by 10’, 10’ by 20’ or 20’ by 20’ space provided to the exhibitor without prior written permission from Alternative Energy Store, Inc.

SPACE ASSIGNMENT AND FLOOR PLANAlternative Energy Store, Inc will attempt to satisfy any and all requests for space assignment. Alternative Energy Store, Inc reservestherighttochangeitsspaceallocationatanytimebaseduponspaceavailabilityorthenecessityoffloorplanchangesduetofiremarshalrequirementsorotherreasons.

MAINTENANCE OF EXHIBITSAll exhibits shall be adequately staffed during Show hours. Exhibits shall not be removed until the conclusion of the Show. Upon conclusion of the Show, all exhibits and related materials must be removed promptly, in no event later than the time specifiedbyAlternativeEnergyStore,Inc.

SAFETY PRECAUTIONSAllexhibitmaterialsmustconformtoapplicablefire,HolidayInnConferenceandsafetycodes,rulesandpractices.DisplaysaresubjecttoinspectionforsafetybyAlternativeEnergyStore,IncandbythelocalFireDepartment.Anymaterialsdeterminedby Alternative Energy Store, Inc, the local Fire Department, or the Convention Center to be a safety hazard must be promptly removed. Determination of a safety hazard is the sole discretion of Alternative Energy Store, Inc, the local Fire Department, or the Convention Center.

ATTENDANCEAlternative Energy Store, Inc shall have sole control over admission of visitors to the exhibit hall according to the rules and regulations of the Show.

SECURITYSecurity may be furnished during the hours the show is closed. However, the furnishing of security shall not result in any liability of Alternative Energy Store, Inc to Exhibitor or any other party.

MEETINGSNoExhibitorshallholdanymeetings,eventsorhospitalitysuitesthatconflictwiththeShoworconferencehoursunlessapproved in advance in writing by Alternative Energy Store, Inc.

EXISTING REGULATIONSExhibitor must abide by existing regulations concerning the use of services and labor in the exhibit facility.

DEFAULTIn the event of any violation by an Exhibitor of the provisions of this Agreement or the applicable Rules and Regulations, an Exhibitorwillnotbepermittedtoinstallitsexhibitandmaybesubjecttoterminationofcontractandevictionwithoutrefund.

AMENDMENTSAnyandallmattersnotspecificallycoveredbytheprecedingrulesandregulationsshallbesubjecttothedeterminationofAlternative Energy Store, Inc. Alternative Energy Store, Inc shall have full power to interpret, amend and enforce these rules and regulations, provided reasonable notice of any amendment is provided to the Exhibitor.

FORCE MAJEUREIn the event that the exhibit facility or any part of the exhibit area is unavailable, whether for the entire Show, or a portion of theShow,asaresultoffire,flood,actofnatureoranyothersuchcause,orasaresultofgovernmentalintervention,maliciousdamage, acts of war or terrorism, strike, lock-out, labor dispute, riot or any other cause or agency over which Alternative Energy Store, Inc has no control, or should Alternative Energy Store, Inc decide that because of any such cause it is necessary to cancel, postpone, or alter the location of the Show, or reduce the time for installation of exhibits, conduct of the Show, or removal of exhibits, Alternative Energy Store, Inc shall not be liable to indemnify or reimburse the Exhibitor with respect to any alleged damage or loss, direct or indirect, arising as a result thereof.

INDEMNIFICATIONExhibitor hereby agrees to indemnify, and hold harmless, Alternative Energy Store, Inc and the exhibit facility, their managers, officers,directors,sponsors,employees,agents,successors,andassignsfromanysuit,actionorclaimwhatsoever,includingforpersonalinjuryorpropertydamage,lostprofitsorforlossofuseofpropertybywhomsoeversustained,relatingtoorarisingout of the Exhibitor’s participation in the Show.

INSURANCEAll property of the Exhibitor is understood to remain under its custody and control in transit to and from and within the confinesoftheexhibitarea.AlternativeEnergyStore,IncandtheexhibitfacilitydonotmaintaininsurancecoveringExhibitor’sproperty. Exhibitor shall carry comprehensive general liability, and statutory Workmen’s Compensation with Employer’s Liability.
