GENERAL TERMS AND CONDITIONS

1. DEFINITION OF TERMS:

a) Appraisal - is the process of computing the value of the property to be

disposed of, in order to be able to set the governments‟ minimum selling price. [DBM Manual II, E (1.0)]

(Issuances mentioned: P.D. 1445 dated June 11, 1978, COA Circular No. 89-296 dated January 27, 1989, and Executive Order No. 888 dated March 18, 1983).

3. INSPECTION:

Proponents are required to inspect the assorted metallic scraps anytime between 9:00 A.M. – 3:00 P.M. at the GA, Camp General Antonio Luna, Limay, Bataan from July 24 – 31, 2019 (except weekend). A Certification issued by the GA Supply Accountable Officer (GA, SAO), shall form part of the pre-qualification requirements (herein referred to as “FORM –A”).

4. WHO MAY PARTICIPATE IN THE BARTER: Any person, Sole Proprietorship, Partnership, Corporation, Cooperative

or Joint Venture having been declared pre-qualified, may participate in the barter of assorted metallic scraps.

5. PRE-BID CONFERENCE: a) A pre-bid conference shall be conducted on July 24, 2019 at 10:00 A.M.

to discuss, among other things, the general terms and conditions of the contract to be bartered and the pre-qualification and other requirements.

b) Any statement made in the pre-bid conference shall not modify the terms

of this contract, unless such statement is specifically identified as an amendment thereto and issued as Supplemental Bulletin.

6. SUPPLEMENTAL BULLETIN: Supplemental Bulletins may be issued upon by the GA-DC for purposes

of clarifying or modifying any provisions of this contract not later than seven (7) calendar days before the deadline for the submission and receipt of Proposals. It is the responsibility of the GA-DC to post in the GA Website, GA Bulletin Boards (Bataan and GAMMLO) the said documents. Any modification to this contract shall be identified as an amendment. Proponents who have submitted Proposals before issuance of the Supplemental Bulletin must be informed and allowed to modify and withdraw their Proposals. It is the responsibility of all Proponents to secure any Supplemental Bulletins that may be issued.

7. PRE-QUALIFICATION:

a) Proponents should ensure that all pre-qualification requirements, in four (4) certified true copies, have been accomplished, completed and/or complied on or before July 31, 2019. Upon completion of the pre-qualification requirements, the GA-DC shall validate, verify and ascertain all documents made and documents submitted by the proponents. After that, the GA-DC shall issue a certification stating among others that the documents were validated/verified/ascertained and that the proponent is “pre-qualified” to participate in the submission and opening of proposal.

b) Proponents who will submit incomplete pre-qualification requirements will

not be issued the necessary “Certificate of Pre-Qualification”. 8. PREPARATION OF PROPOSAL:

a) Any qualified proponent shall accomplish its proposal, clearly indicating the following, among others:

- Quotation clearly indicated in figures and in words;

- The name and signature of the proponent or its duly authorized

representative/s;

- Business or residence address of the proponent;

- Tax Identification Number for individual;

- Business License Number for corporation, sole proprietorship and/or partnership; and

- Bond.

b) Pre-qualified proponents or their duly authorized representative/s shall

submit their proposals in the official form provided by the GA, including its annexes, as specified in the contract/documents, on August 7, 2019 in a sealed envelope, in four (4) copies, one (1) certified true copy and three (3) machine copies containing the following:

b.1 Bond; b.2 IAPSP #GA-DC-2019-04 (Instructions) duly signed by the proponent

or its duly authorized representative/s, herein referred to as Form – B;

b.3 Proposal duly signed by the proponent or its duly authorized

representative/s, herein referred to as Form – C (Part I); and b.4 Quotation duly signed by the proponent or its duly authorized

representative/s, herein referred to as Form – C (Part II); and the financial component;

b.5 Certificate of Site Inspection; b.6 Certificate of Pre-Qualification; and b.7 Secretary‟s Certificate or Special Power of Attorney.

(1) certified true copy and three (3) machine copies and preferably typewritten.

c) The signature of the proponent or his duly authorized representative/s

constitute full acceptance of all terms and conditions provided in this contract/documents.

d) Proposals shall be prepared without the assistance of any person in the

GA or in any branch of the Government. It shall be prepared using the official forms provided in this document. All entries shall be filled-up with appropriate information. Avoid any erasures or interlineations; if not, proponent or his duly authorized representative/s shall make an initial on such erasure. All pages must be signed on the space provided. Any unsigned page shall be a ground for disqualification of the proposal.

e) Proponents are required to indicate in the Quotation [herein referred to as

“FORM- C” (Part II)] the unit price and the total price of the items. Quotation shall be in Philippine Peso (PHP) only. In case of discrepancies between: (a) quotations in figures and in words, the latter shall prevail; and (b) total prices and unit prices, the latter will prevail.

9. BOND:

a) Bond should be ten percent (10%) of the floor price set by the GA in the amount of TWELVE MILLION SEVEN HUNDRED TWENTY SEVEN THOUSAND FOUR HUNDRED THIRTY PESOS and 40/100 (Php12,727,430.40);

b) Bond should be in the form of cashier‟s / manager‟s check only payable

to National Treasury for the account of Government Arsenal; and; c) After evaluation and upon declaration of the highest complying

proponent, the bond of the same shall be retained which will form part as partial payment.

10. DEFECTIVE QUOTATIONS: Quotations that are: (a) not in the prescribed or official form; (b) and/or

quotations that are unsigned or incomplete; (c) and/or those not accompanied or guaranteed by the bonds at the time of opening, are considered defective quotations. Defective quotations are automatically rejected.

11. WITHDRAWAL OF PROPOSALS: After opening, no proponent shall be allowed to withdraw his offer unless

the following conditions are met:

- There is a mistake in the offer;

- The mistake refers to the object or principal conditions of the proposal; and

- The reason for the mistake must be conclusive and convincing.

12. SUBMISSION AND OPENING OF PROPOSALS: a) All proposals shall be submitted on August 7, 2019 starting at 9:00 AM

and to be opened on August 7, 2019 at 10:00 A.M. at Government Arsenal, Camp General Antonio Luna, Limay, Bataan as set in the IAPSP under the direction of the GA-DC. Proponents or their duly authorized representative/s may witness the proceedings.

b) To qualify, the proponents or their duly authorized representative/s shall

submit a copy of the prequalification certificate. The proponent/s who submit complete financial requirements (listed in item 8b, 1-7, page 5) and tender/s equal or higher than the minimum price set by the GA shall be declared passed and will be evaluated further to determine the highest complying quotation.

c) The tender shall be signed by the Chairman and members of the GA-DC

immediately after it is opened. The tenders are filed for safekeeping by the GA-DC Secretariat.

d) The GA-DC thru the GA-DC Secretariat shall prepare the minutes of the

proceedings of the submission and opening of proposals.

e) The proponent declared as disqualified, shall be given a written notice of such disqualification together with the grounds thereof. He shall be given three (3) calendar days from receipt of notice of disqualification to request to the GA-DC a reconsideration of this decision, if he wishes. It can also be made verbally during the proceedings which shall be noted in the minutes. The GA-DC shall evaluate the request for reconsideration, if any, and shall issue its decision on the said request within three (3) calendar days from receipt thereof. The decision of the GA-DC is final.

13. ABSTRACT OF QUOTATIONS: a) An abstract of quotations in four (4) copies shall be prepared showing the

name of the owning agency, the date, time and place of submission and opening of proposals, names of proponents with their corresponding amount of quotations and bonds including reason for disqualification where applicable. The Abstract of Quotations shall be signed by the Chairman and members of the GA-DC.

b) The purpose of the Abstract of Quotations is to show in matrix-summary

form the individual proponents, their quotations and bonds, and the confirmation of the GA-DC. The Chairman and each member of the GA-DC shall be provided with a copy of the Abstract of Quotations.

14. UNSUCCESSFUL BARTER: a) If the barter is unsuccessful, another barter shall be scheduled. Barter

may be declared unsuccessful in any of the following cases:

- There is no participant;

- All proposals failed to comply with the terms and conditions prescribed in this documents; or

- Complying proponents failed to meet the minimum floor price set by

the GA. b) In case of failure of the second (2nd) barter, the GA-DC may dispose the

scraps at any manner deemed advantageous to the government, including negotiation (refer to para 27) at not less than the Committee appraised value (pursuant to Section 6.2 of Executive Order No. 888 dated March 18, 1983).

15. GROUNDS FOR REJECTION OF PROPOSALS; Proposals not in conformity with the terms and conditions provided in this

contract/document, such as quotations lower than the minimum set by the GA shall be rejected.

16. CONSIDERATION OF PROPOSALS: The GA reserves the right, as the interest of the government may require,

to reject any offer or to waive any minor defects, discrepancies or to accept such proposal as may be considered advantageous to the government.

17. PRICE VALIDITY: Price offer is valid for ninety (90) calendar days from the opening.

18. AWARD AND PAYMENT: a) Award shall be given to the highest complying proponent and shall be

based on the total amount of quotation. b) When two (2) or more complying proponents made identical offers, public

auction viva voce between those who made identical quotations shall be resorted to at a price not less than the offered quotations.

c) In case of deferment of award, a temporary receipt shall be issued by the

GA to acknowledge receipt of bonds. Deferment of award shall not exceed five (5) working days from date of opening.

d) A contract shall be prepared to be signed or entered into between the GA

and the highest complying proponent. Along with the contract is a written notice of award that shall be delivered personally, by registered mail or fax and shall be accepted by the successful proponent in writing. Both the Contract and Notice of Award shall be submitted to the DND for approval.

e) Payment shall be in the form of equipment as listed in pages 14-16 and

shall be delivered within sixty (60) working days from the date of receipt of confirmed Notice of Award and approved Contract. However, for hard-to-procure equipment, the equivalent amount, together with the bond which is considered as partial payment and the remaining balance of the contract cost shall be deposited in the form of an escrow account in the authorized depository bank within or near the area where submission and opening was held or location of property. For purposes of after sales services and warranties, the items to be delivered shall be in the name of or consigned to the GA.

e) In case of failure of full payment within the prescribed period, the contract

shall be rescinded and the bond shall be forfeited in favor of the government.

19. REFUND OF THE BOND DEPOSIT: If in case the items which the proponent has won will not be awarded to

him for reason/s not attributable to him, the bond of said proponent will be refunded/returned to him or his duly authorized representative upon presentation of the original receipt evidencing such deposit within thirty (30) days from notice thereof; otherwise, the ten percent (10%) bond shall be forfeited in favor of the government.

20 CLAIMING OF AWARD (HAULING OF ASSORTED METALLIC SCRAPS):

a) Hauling of assorted metallic scraps shall be made within thirty (30) calendar days after complete delivery of easy-to-procure and opening of Escrow Account. Failure on the part of the awardee to claim the items within the said period shall be liable for storage fees per para 22 except on extraordinary circumstances as maybe determined and allowed by the GA-DC, such as but not limited to fortuitous events or causes dependent on the will of the proponent. The awardee shall also be charged

incidental fees/costs or damages. If the items remain unclaimed over a prolonged period of time, ownership of the contracted/awarded items shall be automatically reverted to the government. The government shall then have the right to dispose the items in a manner the GA-DC deems most advantageous to the government.

b) The awardee shall forward a notice of hauling to the S, PLD requesting

the hauling of the items based on the quantity and classification as stipulated on the IAPSP, found in the documents and approved Contract.

c) The awardee shall submit to S, PLD the name of the workers with

documents showing employee and employer relationship that will be authorized and allowed to enter the premises to haul the items.

d) The awardee must arrange for the weighing of the item and shall be

responsible for all its expenses. Likewise, he shall exclusively shoulder all the expenses for the hauling of the awarded items from the GA to include its bagging/packing and necessary equipment.

e) In the event that the awardee is allowed to utilize any equipment of the

GA such as forklift or other heavy equipment, he/she shall be billed accordingly.

f) Claims shall be made during official government working hours, 8:00 AM

to 5:00 PM from Mondays to Fridays. g) The awardee is prohibited to contract (or subcontract), directly or

indirectly GA personnel for any job related to the hauling, including but not limited to participation in the tying, bagging, weighing and loading of the items, otherwise, the contract shall be void and the GA personnel caught violating this provision shall be charged administratively for violation of office rules without prejudice to the filing of other remedy/ies available under the law.

h) The GA shall not be held liable for any injury to awardee or his

employee/s or damages to awardee‟s equipment during the hauling of said awarded items.

i) The awardee shall accept all items on an „AS-IS-WHERE-IS” condition

without rejecting any portion thereof. j) Any act of pilferage found against the awardee or any of his employees

shall compel the GA to withhold his Bond. k) Person/s under contract with the awardee to haul awarded items for him

shall be subject to camp regulations. The awardee shall be responsible to discipline said person/s while performing his/her/their duties in the hauling area and shall be held responsible for any criminal or civil act committed by them.

l) The awardee shall notify the S, PLD at least twenty-four (24) hours prior

to hauling of awarded items.

m) Any question regarding the hauling of the awarded property not provided

herein shall be clarified with the DA thru S, PLD in writing. n) Hauling activity shall at all times be witnessed by the representatives

from the COA, GASSO, FMD, ICO and PLD. 21. DEFAULT: If after the award, the awardee violates the contract through failure to

make full payment within 30 days as required in para 18 (f), the GA shall declare him in default after being notified thereto within five (5) working days from the date of receipt. Thereafter, the awardee shall lose all his rights, title and interest on the property that he has otherwise acquired by reason of the barter. The proponent‟s bond shall likewise be forfeited so as to liquidate damages, and whatever the proponent may have advanced by reason of the barter shall be forfeited in favor of the GA.

22. STORAGE FEE: The GA reserves the right to charge and collect storage fee from the

awardee in the amount equivalent to one-tenth of one percent (1/10 of 1%) per day of delay of the items not hauled after the expiration of the thirty (30) days hauling period unless extended by the GA upon request of the awardee.

23. TAX DUTIES: The awardee shall pay, in addition to the quotation, any taxes, customs

duties, cost or charges of any kind or nature whatsoever levied, or to be levied in connection with the barter of metallic scraps, including all expenses incidental to the withdrawal of the scraps.

24. REVOCATION OF CONTRACT: The Government reserves the right to rescind the Contract should it be

found during the lifetime thereof that the same was obtained through fraud, deceit or undue influence, intimidation, by any members of GA-DC and/or by the awardee, without prejudice to the right of the GA to prosecute in court the parties responsible thereof.

25. ORAL STATEMENT AND MODIFICATION: Any oral statement or representation made by any representative of the

GA changing or supplementing this Contract or any condition thereof is not authorized and is considered null and void.

26. THE ENTRY OF A THIRD PARTY: The government shall not entertain or transact with any person other than

the proponents or his duly authorized representative.

27. OTHER CONDITION/S: Limitation of Government Liability - In any case where the liability of

the Government to the awardee has been established, such liability shall not, in any event exceed except to refund to the awardee the quoted amount of such portion thereof as the Government may have received.

INSTRUCTIONS

1. The items indicated in this IAPSP were inspected and appraised by the Arsenal Appraisal Committee.

2. Disposal of the items offered herein shall be on an “AS-IS-WHERE-IS‟ basis

subject to the General Terms and Conditions covering disposal of assorted metallic scraps. The awarded items shall not be withdrawn/remove from the GA premises until and after FULL PAYMENT shall have been made.

3. Interested proponents are required to personally inspect the items before the

date of the opening of quotation at the Arsenal Plant site in Lamao, Limay, Bataan. Certificate of Inspection shall be issued by GA in this regard.

The Chairman, GA Disposal Committee Government Arsenal Camp General Antonio Luna Limay, Bataan S i r : In connection with your Invitation to Apply for Pre-Qualification and to Submit Proposals (IAPSP No. GADC-2019-04), inviting proposal for barter of 641,556.58 kilograms assorted metallic scraps, I/We offer to barter the items in the amount of ___________________________________________________________________ (PhP________________) as described in the IAPSP # GADC – 2019-04. I/We do hereby bind myself/ourselves to accept the award of the said items subject to the terms and conditions specified in the document and in the IAPSP. I/We have read and fully understood and am/are willing to comply with the IAPSP and General Terms and Conditions found in the document furnished me/us with particular attention to the condition that the GA reserves the right to rescind the Contract should the interest of the Government so demand in which case the GA may resort to a new barter. I/We further accept and bind myself/ourselves to said terms and conditions which I/we have duly authenticated and attached as an integral part of my/our tender for which I/we are liable for any breach thereof. In this connection, I/we submit a Proponent‟s Bond. PROPONENT’S QUOTATION

The Chairman, GA Disposal Committee Government Arsenal Camp General Antonio Luna Limay, Bataan Subject to the provisions of the Invitation to Apply for Pre-Qualification and to Submit Proposals (IAPSP No. GADC-2019-04), the undersigned agrees, binds and accepts if awarded, to barter the items designated below at the price indicated. Do agree to deposit ten percent (10%) of the floor price set by the GA (as bond and partial payment). Do hereby certify that I/we have complied with the General Terms and Conditions of the Disposal. I/We further fully agree that partial payment for items sold in lot is not allowed and that delivery of the equipment identified for barter should be accepted first before hauling the metallic scraps except for equipment that are hard to procure, in such case, an escrow account agreement shall be made to that effect.
