Manner of Submission

Your proposal should be prepared in English. Your proposal shall comprise the following documents: a) Technical component and b) Price component. Your proposal - original and 5 copies - should be sealed in an outer and two inner envelopes, as detailed below: The outer envelope should be sent by express mail and addressed as follows:

Proposal for the UNHCR Turnkey VSAT Network Secretary of the Contracts Committee UNHCR 94, rue de Montbrillant CH-1202 Geneva Switzerland Both inside envelopes shall indicate your firm’s name and address. The first inner envelope shall be marked “Technical Proposal” and contain the technical component of your proposal. The second inner envelope shall be marked “Price Proposal” and include your price component. Proposals must be received by UNHCR at the above address on or before the 21 December 2005 at 17h: 00 Geneva time. Any proposal received after this date/time OR sent to another address may be rejected. UNHCR may, at its discretion, extend the deadline for the submission of proposals, by notifying all prospective contractors in writing. The extension of the deadline may accompany a modification of the solicitation documents prepared by UNHCR at its own initiative or in response to a clarification requested by a prospective contractor. You are requested to hold your proposal valid for 180 days from the deadline for submission. UNHCR will make its best effort to select a firm within this period. Please note that the cost of preparing a proposal and of negotiating a contract, including any related travel, is not reimbursable nor can it be included as a direct cost of the assignment. Content of Proposal

Technical Component: The technical component of your proposal should be concisely presented and structured in accordance with the criteria set out in paragraph 5 of the TOR (Annex I). It should also include the following information: a) Description of the Firm and the Firms’ qualifications A brief description of your firm and an outline of recent projects of a

similar nature. You must also provide references and any information that will facilitate our evaluation of your firm’s substantive reliability and financial and managerial capacity to provide the services.

b) Understanding of the Requirements for Services, including

Assumptions Include any assumptions as well as comments on the data as indicated in

the TOR, or as you may otherwise believe to be necessary. An example of any similar work is requested.

Please note you are also required to complete the technical questionnaire (Annex IV)

Price Component

Please complete the Financial Questionnaire set out at Annex V. In addition please note your separate price component must contain an overall offer in a single currency, either in US Dollars or in the currency of your home country. If you opt for the latter and for evaluation purposes only, your proposal will be converted into US Dollars using the United Nations rate of exchange in effect on the date submissions are due. The price component must cover all the services to be provided and itemise the following: a) An all-inclusive rate per person-day, where applicable. b) An all-inclusive amount for travel and related expenses, if any.1 c) Other costs, indicating nature and breakdown. d) A proposed schedule of payments, all of which must be expressed and will be effected, in the currency of the proposal. Note: UNHCR’s payment terms are within 30 days after satisfactory implementation and receipt of documents in order.

1 Any travel required will be subject to UN travel rules. All air transport to/from any destination will be at the cheapest economy fare available as determined by UNHCR travel unit. UNHCR’s policy is to provide a Daily Subsistence Allowance (DSA) to travellers at the UN monthly rate and not to reimburse for itemised expenses.

Evaluation of Proposals

For the award of this project, UNHCR has established evaluation criteria which govern the selection of proposals received. Evaluation is made on a technical and financial basis. The percentage assigned to each component will be determined in advance as follows: The technical component will be evaluated using the following criteria and percentage distribution: 70%. 1) Description of the Company (10%) 1.1 Experience of the company in the field of the assignment 1.2 Personnel proposed 1.3 Number of similar installations 2) Proposed Solution (60%) 2.1 Technology proposed for the network 2.2 Equipment 2.3 Project timing 2.4 Level of Support 2.5 Maintenance 2.6 Training 2.7 Utilization of efficient FEC and modulation techniques The financial component will use the following percentage distribution: 30% The maximum number of points will be allotted to the lowest price

proposal that is opened and compared among those invited firms. All other price proposals will receive points in inverse proportion to the lowest price; e.g., [total Price Component] x [US$ lowest] \ [US$ other] = points for other supplier’s Price Component.

Please note that UNHCR is not bound to select any of the firms submitting proposals and does not bind itself in any way to select the firm offering the lowest price. Furthermore, the contract will be awarded to the proposal considered most responsive to the professional project needs, as well as conforming to UNHCR’s general principles, including economy and efficiency. This will be a fixed price contract. Satisfactory completion is based on defined and agreed deliverables.

1. Introduction - The UN Refugee Agency

The United Nations High Commissioner for Refugees (UNHCR) is mandated by the international community to safeguard the rights and well-being of refugees. Over the past five decades, the UN refugee agency has helped an estimated 50 million people.

Today, staff of around 6,540 people in 116 countries continues to help 19.2 million persons.

UNHCR is on the frontline of refugee emergencies, mandated to lead and co-ordinate international action to help protect refugees and resolve refugee problems worldwide. Four in every five staff of UNHCR work in the field directly with refugees. They negotiate safe routes out of dangerous areas for refugees. They distribute blankets, food and other lifesaving assistance to people who are fleeing violence and conflict. On arrival at camps, they ensure that refugees receive clean water, food, shelter materials, medical care, cooking sets and fuel, sleeping mats and help with finding children or parents lost in the panic of fleeing home. They also help refugees return to their homes when peace has returned.

Over 97% of UNHCR’s funds come from entirely voluntary contributions. UNHCR raises funds through governments, foundations and private donors so that refugees can be assisted immediately with food, shelter and other essentials.

2. Project Summary

UNHCR has a requirement for a private satellite network to provide connectivity to a number of offices in the world, where there is no reliable means of broadband connectivity. These current sites are listed below, however due to the global nature of UNHCR’s business the requirement changes. There is also a requirement to add a number of offices to provide the new corporate software (MSRP) which is being rolled out over the next few months. This annex covers the requirement for the installation and management of a turnkey global satellite (VSAT) network with a centrally managed quality of service (QOS). The network must meet the technical requirements for Latency, Jitter required for the running of the following applications. Applications running on WAN system:

a. Voice – VOIP using Cisco technology with PRI E1 ETSI interfaces. b. People Soft ERP (MSRP) c. GroupWise Email Live remote and GroupWise MTA to MTA traffic d. Access to UNHCR’s Intranet and other services hosted in Geneva e. Access to Internet

3. Existing UNHCR WAN Infrastructure

The UNHCR Headquarters occupies 4 buildings, identified with the initials MBT (main HQ building), VNG, VRT and NLC.

3.1. Introduction UNHCR currently operates a teleport with four 2.4M Ku-Band hub’s from its NLC building in Geneva, Switzerland. The use of the premises at NLC should not be considered as part of the network proposed under this RFP.

UNHCR has a teleport facility in Vernier, (Geneva) Switzerland, which is approximately 20x20M and has two equipment shelters, complete with electrical supply. UNHCR had intended to install two 4.8M Ku-Band Vertex antennas on the PAS1R and PAS10 and two 3.8M Ku-Band Vertex antennas on the Intelsat 902 and 905 satellites for migration of its current network. There is also a 7.6M Ku-Band NEC antenna installed at the site (1992), which is not operational anymore. The current arrangement only allows the facility to be used by UNHCR for its private network.

3.2. Field VSAT Network Current Deployment

a. The hub’s on Panamsat PAS 10 and 1R operate on Ku/Ku Band with Europe/Africa beams and the remote locations have a 2.4M 4P/C prodelin antenna with 4W Anacom Ku-Band transceiver operating with 70Mhz IF and 50Ω impedance. All sites at 64K/64K symmetric SCPC have 4 voice channels and 128K/128K symmetric SCPC have 6 voice channels. The indoor equipment used at each remote site is a Comtech EFdata Modem (models listed below) and Cisco 2621/2651XM routers.

b. The hubs on Intelsat 902/905 operate on Ku/C Band (cross-strapped) with the HQ Geneva end in the Ku-Band and the remote sites on C-Band. The remotes on the 902 have 3.8M Prodelin with 40W Anacom C-Band transceivers with 70MHz IF and 50Ω impedance. On the 905 have 3.7M Andrew Antennas with 40W Anacom C-Band transceivers with 70MHz IF and 50Ω impedance. All sites at 64K/64K symmetric SCPC 4 voice channels and 128K/128K symmetric SCPC have 6 voice channels. The indoor equipment consists of Comtech EFdata Modem (models listed below) and Cisco 2621/2651XM routers.

c. The PBX utilised in the majority of locations is the Telrad S400 running the version 7.xx software. The interface to the Cisco router is listed in the table below. Direct Inward Dialling (DID) facilities are available between all sites. Many of the systems have a locally supplied telephone billing system for the local PTT and mobile lines. A few locations have a telrad voice mail system installed. The 5 locations that do not use the Telrad PBX are listed in d.

d. The B.O. in Nairobi runs a Nortel Meridian PBX, Option 11C, Version 2111, Release 25, and Issue 40B. The RSH in Nairobi, Kenya and Peshawar, Quetta, Islamabad in Pakistan operate a Panasonic KX-TD500 PBX running version 2.4 software.

e. The power backup system consists of four 12V/200Ah maintenance free batteries, Victron Titan 48V/50A battery charger and 48V/2KVA sinewave inverter.

4. Bandwidth Requirements

4.1. Site Categories

a. Category A sites are main country or regional offices with a staff of 60 – 90. The

bandwidth for these sites will be 256/512Kbps. These sites are to be equipped with eight voice channels. The voice channels will only be allocated bandwidth as required. The rest of the bandwidth will be available for data traffic with QOS established by UNHCR requirements.

b. Category B sites are sub offices with a staff of 40 – 60. The bandwidth for these sites

will be 192/384Kbps. These sites are to be equipped with six voice channels. The voice channels will only be allocated bandwidth as required. The rest of the bandwidth will be available for data traffic with QOS established by UNHCR requirements.

c. Category C sites are field offices with a staff of 20 - 40. The bandwidth for these sites

will be 128/194Kbps. These sites are to be equipped with four voice channels. The voice channels will only be allocated bandwidth as required. The rest of the bandwidth will be available for data traffic with QOS established by UNHCR requirements.

d. Category D sites are sites that require voice only. The bandwidth for these sites will

be 64/64Kbps. These sites are to be equipped with four voice channels.

e. Based on the above tables there is a requirement for 39,360Kbps of data speed. Of

this total 25,664Kbps is on the outbound link from the hub and 13,696Kbps is on the inbound link to the hub.

f. Assuming the ability to use QPSK 3/4T Turbo coding, the total bandwidth

requirements would be 39.75 MHz of Bandwidth. Of this total 26 MHz will be on the outbound channel of the hub and 13.75 MHz will be incoming to the hub.

5. Scope of Work

5.1. Offer for Turnkey VSAT Network The VSAT equipment proposed must be proven to function on a global basis, bearing in mind the extreme temperatures and difficult locations that UNHCR operates in around the world. The proposal must include the following criteria.

a. An offer to supply all the hardware and software required to establish TCP/IP network connections between remote locations and HQ in a star configuration.

b. The installation and configuration of the equipment in HQ (if required) and the site

survey, civil works, installation and configuration of equipment in each remote office locations. It should be noted that UNHCR often works and has offices in hostile and insecure environments.

c. Provision of all leased services, including space segment, backhaul leased lines and

based on a three year lease period.

d. In the event of a failure of the normal remote site electrical power supply, the autonomy of your proposed back up power supply must be at least 6 hrs. In addition it must be an on-line, not switched, power back up as it is anticipated that the mains supplied power will be of low quality and it will not be advisable to use it to power electronic equipment directly.

e. The hardware proposed should be based on industry wide standards and all

interfaces conform to widely recognised standards institute norms, this applies to both electrical and physical characteristics. All indoor units must be rack mountable (19 in. rack). The proposer will provide a 19” rack for all the indoor equipment.

f. Testing of the complete solution to verify its proper working.

g. A secure gateway to the Internet of 4Mbps at a fixed monthly cost. The gateway

should be upgradeable to 10Mbps without additional changes to the hardware. This gateway can be located at any convenient point on the network, other than at a remote site. UNHCR will be provided with access to this port to be able to monitor its usage.

h. This network will rely solely on the technical support of the supplier for all aspects of

its operation between the HQ and remote router LAN interfaces for data and the HQ PRI interface and remote desk extension telephone for voice. The technical support for these services must be highly responsive to avoid disruption of the operational work of each office in the network.

i. At each site it will be necessary to provide training to onsite personnel, so that they

can carry out the day to day monitoring of the equipment and reporting.

j. There will be certain locations where UNHCR determines that the remote site installation will be carried out by UNHCR VSAT technicians. In order to have this installation capacity it is necessary to provide appropriate training to the UNHCR VSAT technicians.

k. On-going maintenance of the network including on-site intervention at remote sites

within an agreed response time.

l. Antenna size no greater than 2.4M 4PC in C or Ku-Band and Intelsat/Panamsat/Eutelsat or other operator compliant.

m. A range of penetrating and NPM mounts for the antennas that is easy to deploy and

transport.

n. For offices where it is not possible to install VSAT equipment, Line of Sight (LOS) microwave equipment will be required from the VSAT to the office.

o. There may be a requirement to extend the network to UNHCR residential compounds

via terrestrial or LOS microwave systems. 5.2. Details of offer

a. The network should have an availability of greater than 99.5%.

b. If IP acceleration is used on the network it should be transparent to the applications and no modifications should be required by UNHCR.

c. The proposal will include all elements to provide a links from each remote site to

the HQs as per the attached table in section 6.1. The proposal will include the terminal equipment, including patch panels, at both the HQ and remote sites. The PBX cabling for the remote sites should conform to the structured cabling standards of ANSI/TIA /EIA-568B and use cat. 5e cables or higher.

d. The initial requirement is for 128 – 256 Kbps bandwidth per remote site.

However, your proposed equipment configuration must be expandable to at least 512Kbps/site without the need to add or change any hardware components.

e. The modem should be capable of handling all modulation and FEC’s currently

used and provide an IP interface to the routing equipment and basic routing functionality.

f. The equipment proposed must use standard protocols to assure full compatibility

with the existing hardware infrastructure, VLAN (Cisco Catalyst 6509 and 3548) and PABX (Nortel Meridian and Telrad). The equipment proposed under this RFP will be connected to the LAN through Fast Ethernet switches with RJ-45 connectors. In remote sites there will be at least one Ethernet port, connecting with the office LAN and the voice traffic connection between the terminal equipment (router) and PABX will be a PRI using ETSI signalling. The proposing company will be responsible for any incompatibility issues that might arise, and any additional actions required rectifying these incompatibility issues will be at the expenses of the proposing company.

g. All of the PBX locations will require telephone billing systems and some locations

have or may require voice mail systems.

h. An option for VOIP PBX and phones based on the Cisco platform for the remote sites with Survivable Remote Site Telephony (SRST) should also be included for future sites. The gateway and call manager would be hosted at HQ. UNHCR may opt to convert some of the existing sites to the VOIP solution.

i. Each remote site will require 8 routed static public addresses with no NAT and no

filtering. NOTE: For compatibility with existing network components, UNHCR prefers Cisco equipment. 5.3. Facility Management Services and Operations

a. The proposal should ensure that hub services and support functions are available on a 24/7 basis in English and French.

b. The network monitoring system (NMS) proposed should be comprehensive in nature

and be capable of monitoring and managing all the remote components in the system from a central location. This includes the outdoor RF equipment, modem, router and PBX. This facility to monitor should be available to UNHCR for its private network.

c. Monthly statistics on the use of the network at the hub and the remote sites should be

available in order to optimise the network.

d. The proposal should indicate clear trouble ticketing procedures and escalation procedures.

e. The timeframe to rectify the various levels of faults and, when replacement parts are

required, the time required to ship the necessary parts to the site.

5.4. Costs

a. In order to minimize the capital costs, every effort should be made to utilise existing equipment where possible.

b. The list of costs and prices specified in the proposal includes all the costs that

UNHCR will have to bear to put the new service in to production. Any costs that the proposer intends to pass on to UNHCR at the cost incurred must be clearly specified. The correctness and completeness of the cost evaluation is the responsibility of the proposing company.

c. The warranty period for each piece of equipment should be clearly stated. Once the

warranty period has expired, the cost of repair/replacement of each piece of equipment should be stated. The costs should clearly indicate future cost of software and hardware upgrades.

d. It should include clearly stated provision for the reasonable cost of any civil works that

are likely to be required in each remote site, works internal to the buildings, connectors, patch panels, extension cords etc. It is also essential that all equipment is properly grounded and adequate lightening protection is provided for all the equipment.

e. The one time cost of adding additional sites should be included as a standard

package. f. The monthly cost of operating each site by category of site.

g. A list of the minimum recommended spare parts to be located at the Hub and all

remote locations should be included in the proposal including the cost implications.

h. The proposer will be responsible for the procurement of all component parts and ancillary materials required to establish the network and their shipment to each installation site. UNHCR will facilitate the importation of the equipment into each country.

i. UNHCR is responsible for the correctness of the information and requirements

provided to the proposing company. j. UNHCR will obtain the necessary permission to operate in each installed location and

will be responsible for any licensing fees. k. UNHCR will be responsible for the provision of suitable electric power in each

location. Any service outage periods due to the lack of electrical power to the UPS will not be considered when assessing the service availability specified by the proposer.

l. The proposal should take care of all operations related to the installation of equipment and lines in UNHCR premises. The proposer may choose to sub-contract portions of this work but, as the prime contractor, will remain fully responsible for the works so carried out. If the proposing company cannot take responsibility for any part of the required work, this should be clearly mentioned in the proposal.

m. UNHCR will sign off the project in stages, for payment of equipment and installation

costs, when the communication between the hub and each new site on the network has been working satisfactorily for a period of one month. Satisfactorily, in this case, means that all UNHCR’s TCP/IP and telephone based communications are working normally and the proposer’s specified up-time has been meet, or exceeded, over a consecutive 30-day period.

5.5. Technical Architecture

a. The network shall operate in a star configuration.

b. All remote uplink carriers carriers must be SCPC, the outbound from the hub may be a MCPC carrier.

c. The bandwidth is for the use of UNHCR sites in this private network and not shared.

5.6. Deliverables

a. A comprehensive plan of the migration of all existing sites to the new network during 2006 with minimum disruption of services to the offices during the migration period.

b. The capacity to install new sites without affecting the migration plan.

c. Availability of Ku-Band space segment with pricing information per site.

d. Availability of C-Band space segment with pricing information per site.

e. Modulation, Coding and FEC to be used per site on Ku-Band. A minimum rain fade

margin of 6dB is required.

f. Modulation, Coding and FEC to be used per site on C-Band.

g. The proposal will include a network schematic diagram, link budgets and manuals for all the equipment.

h. Each site commissioned will carry a report and pictures of the installation. All the

settings on the modem, routers, RF equipment will also be recorded on the site report. A UNHCR International telecommunications professional will be required to sign off on the work performed at the site.

5.7. Time Schedule

a. The proposal will clearly specify the length of time required to be ready for the installation of the first site commencing from the point when the contract is signed and at what minimum interval subsequent sites can be installed.

b. The proposal should also indicate the number of teams available to carry out

installations simultaneously.

c. All of the administrative and logistics support involved with the installation and maintenance of this network will be the responsibility of the service provider.

ANNEX II 1. LEGAL STATUS The Contractor shall be considered as having the legal status of an independent contractor vis-à-vis UNHCR. The Contractor, its personnel and sub-contractors shall not be considered in any respect as being employees of UNHCR. The Contractor shall be fully responsible for all work and services performed by its employees, and for all acts and omissions of such employees. 2. OBSERVANCE OF THE LAW The Contractor shall comply with all laws, ordinances, rules, and regulations bearing upon the performance of its obligations under the terms of this Contract. 3. SOURCE OF INSTRUCTIONS The Contractor shall neither seek nor accept instructions from any authority external to UNHCR in connection with the performance of its services under this Contract. The Contractor shall refrain from any action which may adversely affect UNHCR and shall fulfill its commitments with the fullest regard to the interests of UNHCR. 4. CONTRACTOR’S RESPONSIBILITY FOR ITS EMPLOYEES The Contractor shall be responsible for the professional and technical competence of its personnel and will select, for work under this Contract, reliable persons who will perform effectively in the implementation of this Contract, respect the local customs, and conform to a high standard of moral and ethical conduct. 5. EXPLOITATION AND ABUSE OF REFUGEES AND OTHER PERSONS OF CONCERN TO UNHCR The Contractor warrants that it has instructed its personnel to refrain from any conduct that would adversely reflect on UNHCR and the United Nations and from any activity which is incompatible with the aims and objectives of the United Nations and/or the mandate of UNHCR to ensure the protection of refugees and other persons of concern to UNHCR. The Contractor hereby undertakes all possible measures to prevent its personnel from exploiting and abusing refugees and other persons of concern to UNHCR. The failure of the Contractor to investigate allegations of exploitation and abuse against its personnel or related to its activities or to take corrective action when exploitation or abuse has occurred, shall entitle UNHCR to terminate this Contract immediately upon notice to the Contractor, at no cost to UNHCR. 6. ANTI-PERSONNEL MINES The Contractor guarantees that it is not engaged in the sale or manufacture, either directly or indirectly, of anti-personnel mines or any components produced primarily for the operation thereof. Any breach of this representation and warranty shall entitle UNHCR to terminate this Contract immediately upon notice to the Contractor, at no cost to UNHCR. 7. CHILD LABOUR The Contractor represents and warrants that neither it, nor any of its suppliers is engaged in any practice inconsistent with the rights set forth in the Convention on the Rights of the Child, including Article 32 thereof, which, inter alia, requires that a child shall be protected from performing any work that is likely to be hazardous or to interfere with the child’s education, or to be harmful to the child’s health and physical, mental, spiritual, moral or social development. Any breach of this representation and warranty shall entitle UNHCR to terminate this Contract immediately upon notice to the Contractor, at no cost to UNHCR. 8. SUB-CONTRACTING In the event that the Contractor requires the services of one or more sub-contractors, the Contractor shall obtain the prior written approval of UNHCR for all sub-contractors. The Contractor shall be fully responsible for all work and services performed by its sub-contractors and suppliers, and for all acts and/or omissions of such sub-contractors and suppliers and their personnel. The approval of UNHCR of a sub-contractor shall not relieve the Contractor of any of its obligations under this Contract. The terms of any sub-contract shall be subject to and conform with the provisions of this contract. 9. ASSIGNMENTS The Contractor shall not assign, transfer, pledge or make other disposition of this Contract or any part thereof or of any of the Contractor’s rights, claims or obligations under this Contract except with the prior written consent of UNHCR. 10. OFFICIALS NOT TO BENEFIT The Contractor represents and warrants that no official of UNHCR has been, or shall be, offered by the Contractor any direct or indirect benefit arising from this Contract or the award thereof. The Contractor agrees that breach of this provision is breach of an essential term of this Contract. 11. ENCUMBRANCES/LIENS The Contractor shall not cause or permit any lien, attachment or other encumbrance by any person or entity to be placed or to remain in any public office or with UNHCR against any monies due or to become due for any work done or materials furnished under this Contract, or by reason of any other claim or demand against the Contractor. 12. EXPORT LICENCE If the services to be furnished under this Contract require the obtaining of any export licence or other governmental authorisation, it shall be the responsibility of the Contractor to obtain such licence or authorisation. Should the Contractor encounter difficulties in obtaining the required export licence or governmental authorisation, it shall immediately bring this to the attention of UNHCR. UNHCR will, at its discretion, use its best endeavours to assist.

13. WARRANTY The Contractor warrants that the services furnished under this Contract comply with the applicable professional standards. If works have to be carried out through the services furnished under this Contract, the Contractor warrants that the works conform to the specifications and are free from damage and defects in workmanship or materials. This warranty is without prejudice to any further guarantees that the Contractor provides under this Contract. 14. INSURANCE AND LIABILITIES TO THIRD PARTIES The Contractor shall provide and thereafter maintain insurance against all risks in respect of its property and any equipment used for the execution of this Contract. The Contractor shall provide and thereafter maintain all appropriate workmen's compensation insurance, or its equivalent, with respect to its employees to cover claims for personal injury or death in connection with this Contract. The Contractor shall also provide and thereafter maintain liability insurance in an adequate amount to cover third party claims for death or bodily injury, or loss of or damage to property, arising from or in connection with the provision of services under this Contract or the operation of any vehicles, boats, airplanes or other equipment owned or leased by the Contractor or its agents, servants, employees or sub-contractors performing work or services in connection with this Contract. Except for the worker’s compensation insurance, the insurance policies under this Article shall: (a) Name UNHCR as additional insured; (b) Include a waiver of subrogation of the Contractor's rights to the insurance carrier against UNHCR; (c) Provide that UNHCR shall receive thirty (30) days’ written notice from the insurers prior to any cancellation or change of coverage. The Contractor shall, upon request, provide UNHCR with satisfactory evidence of the insurance required under this provision. 15. INDEMNIFICATION The Contractor shall indemnify, hold and save harmless, and defend, at its own expense, UNHCR, its officials, agents and other persons performing services on its behalf, from and against all suits, claims, demands, and liability of any nature or kind, including their costs and expenses, arising out of acts or omissions of the Contractor, or the Contractor’s employees, officers, agents or sub-contractors, in the performance of this Contract. This provision shall extend, inter alia, to claims and liability in the nature of workmen's compensation, products liability and liability arising out of the use of patented inventions or devices, copyrighted material or other intellectual property by the Contractor, its employees, officers, agents, servants or sub-contractors. The obligations under this provision do not lapse upon termination of this Contract. UNHCR will promptly notify the Contractor of any such suit, claim, proceeding, demand or liability within a reasonable period of time after having received written notice thereof, and will reasonably co-operate with the Contractor, at the Contractor’s expense, in the investigation, defence or settlement thereof, subject to the privileges and immunities of UNHCR. 16. LIQUIDATED DAMAGES Late delivery, or dispatch outside the agreed schedule, shall be subject, without notice, to an assessment of liquidated damages equivalent to 0.1 percent of the Contract value per day or part thereof. The assessment will not exceed 10 percent of the Contract value. UNHCR has the right to deduct this amount from the Contractor’s outstanding invoices, if any. This remedy is without prejudice to any others that may be available to UNHCR, including cancellation, for the Contractor’s non-performance, breach or violation of any term and/or condition of the Contract. Acceptance of services or works delivered late, shall not be deemed a waiver of UNHCR’s rights to hold the Contractor liable for any loss and/or damage resulting therefrom, nor shall it act as a modification of the Contractor’s obligation to make future deliveries in accordance with the delivery schedule. 17. REJECTION In the case of services performed on scope of works, UNHCR shall have the right to reject the services or any part thereof if they do not conform to the scope of works. 18. COPYRIGHT, PATENTS AND OTHER PROPRIETARY RIGHTS UNHCR shall be entitled to all intellectual property and other proprietary rights including but not limited to patents, copyrights, and trademarks, with regard to products, or documents and other materials which bear a direct relation to or are produced or prepared or collected in consequence of or in the course of the execution of this Contract. At UNHCR’s request, the Contractor shall take all necessary steps, execute all necessary documents and generally assist in securing such proprietary rights and transferring them to UNHCR in compliance with the requirements of the applicable law. 19. INTELLECTUAL PROPERTY INFRINGEMENT The Contractor warrants that the use or supply by UNHCR of the services furnished under this Contract does not infringe on any patent, design, trade-name or trade-mark. In addition, the Contractor shall, pursuant to this warranty, indemnify, defend and/or hold UNHCR and the United Nations harmless from any actions or claims brought against UNHCR or the United Nations pertaining to the alleged infringement of a patent, design, trade-name or trade-mark arising in connection with the services furnished under this Contract. 20. TITLE TO EQUIPMENT Title to any equipment and supplies that may be furnished by UNHCR under this Contract to the Contractor shall rest with UNHCR and any such equipment shall be returned to the United Nations at the conclusion of this Contract or when no longer needed by the Contractor. Such equipment, when returned to UNHCR, shall be in the same condition

as when delivered to the Contractor, subject to normal wear and tear. The Contractor shall be liable to compensate UNHCR for equipment determined to be damaged or degraded beyond normal wear and tear. 21. CONFIDENTIAL NATURE OF DOCUMENTS AND INFORMATION All maps, drawings, photographs, mosaics, plans, reports, recommendations, estimates, documents and all other data compiled by or received by the Contractor under this Contract shall be the property of UNHCR, shall be treated as confidential and shall be delivered only to the authorized officials of UNHCR on completion of work under this Contract. The Contractor may not communicate at any time to any other person, Government or authority external to UNHCR, any information known to it by reason of its association with UNHCR which has not been made public except with the authorization of UNHCR; nor shall the Contractor at any time use such information to private advantage. These obligations do not lapse upon termination of this Contract. 22. USE OF NAME, EMBLEM OR OFFICIAL SEAL OF UNHCR OR TE UNITED NATIONS Unless authorised in writing by UNHCR, the Contractor shall not advertise or otherwise make public the fact that it has provided services to UNHCR and/or the United Nations, or use in any manner whatsoever the name, emblem and/or official seal of UNHCR and/or the United Nations or any abbreviation of the name of UNHCR and/or the United Nations in connection with its business or otherwise. 23. PRIVILEGES AND IMMUNITIES Nothing contained in this Contract shall be deemed a waiver, express or implied, of any privilege or immunity which UNHCR may enjoy, whether pursuant to the Convention on the Privileges and Immunities of the United Nations, or any other convention or agreement. 24. TAX EXEMPTION Section 7 of the Convention on the Privileges and Immunities of the United Nations provides, inter alia, that the United Nations, of which UNHCR is an integral part, is exempt from all direct taxes, except charges for public utility services, and is exempt from customs duties and charges of a similar nature in respect of articles imported or exported for its official use. In the event that any governmental authority refuses to recognize UNHCR exemption from such taxes, duties or charges, the Contractor shall immediately consult with UNHCR to determine a mutually acceptable procedure. Accordingly, the Contractor authorises UNHCR to deduct from the Contractor's invoice any amount representing such taxes, duties or charges, unless the Contractor has consulted with UNHCR before the payment thereof and UNHCR has, in each instance, specifically authorised the Contractor to pay such taxes, duties or charges under protest. In that event, the Contractor shall provide UNHCR with written evidence that payment of such taxes, duties or charges has been made and appropriately authorised. 25. PRIOR NEGOTIATIONS SUPERSEDED BY CONTRACT This Contract supersedes all communications, representations, arrangements, negotiations, requests for proposals and proposals related to the subject matter of this Contract. 26. OVERRIDING CLAUSE In the event of any conflict or inconsistencies between these General Conditions for Provision of Services or any other document which forms part of this Contract, these Conditions shall prevail except where they have been amended (by specific reference to the relevant clause and paragraph of these Conditions) as provided for herein. 27. AUTHORITY TO MODIFY Pursuant to the Financial Regulations and Rules of the United Nations, only the Head of the Supply Management Service possesses the authority to agree on behalf of UNHCR to any modification of or change in this Contract, to a waiver of any of its provisions or to any additional contractual relationship of any kind with the Contractor. Accordingly, no modification or change in this Contract shall be valid and enforceable against UNHCR unless provided by an amendment to this Contract signed by the Contractor and the Head of the Supply Management Service. 28. FORCE MAJEURE In the event of and as soon as possible after the occurrence of any cause constituting force majeure, the Contractor shall give notice and full particulars in writing to UNHCR, of such occurrence or change if the Contractor is thereby rendered unable, wholly or in part, to perform its obligations and meet its responsibilities under this Contract. The Contractor shall also notify UNHCR of any other changes in conditions or the occurrence of any event which interferes or threatens to interfere with its performance of this Contract. On receipt of the notice required under this Article, UNHCR shall take such action as, at its sole discretion, it considers to be appropriate or necessary in the circumstances, including the granting to the Contractor of a reasonable extension of time in which to perform its obligations under this Contract. If the Contractor is rendered permanently unable, wholly or in part, by reason of force majeure to perform its obligations and meet its responsibilities under this Contract, UNHCR shall have the right to suspend or terminate this Contract on the same terms and conditions as are provided for in Article 29 “Termination of Contract”, except that the period of notice shall be seven (7) days instead of thirty (30) days. Force majeure as used in this provision means acts of God, war (whether declared or not), invasion, revolution, insurrection, or other acts of a similar nature or force. Notwithstanding anything to the contrary in this Contract, the Contractor recognises that the works and services will be performed under harsh or hostile conditions caused by civil unrest. Consequently, delays or failure to perform caused by events arising out of, or in connection with, such civil unrest shall not, in and of itself, constitute force majeure under this Contract.

29. DISPUTES – ARBITRATION Amicable Settlement The Parties shall use their best efforts to settle amicably any dispute, controversy or claim arising out of this Contract or the breach, termination or invalidity thereof. Where the parties wish to seek such an amicable settlement through conciliation, the conciliation shall take place in accordance with the UNCITRAL Conciliation Rules then obtaining, or according to such other procedure as may be agreed between the parties. Arbitration Any dispute, controversy or claim between the Parties arising out of this Contract or the breach, termination or invalidity thereof, unless settled amicably under the preceding paragraph of this Article within sixty (60) days after receipt by one Party of the other Party's request for such amicable settlement, shall be referred by either Party to arbitration in accordance with the UNCITRAL Arbitration Rules then obtaining. The place of arbitration shall be Geneva. The arbitral tribunal shall have no authority to award punitive damages. In addition, unless otherwise expressly provided in this Contract, the arbitral tribunal shall have no authority to award interest. The parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. 30. TERMINATION OF CONTRACT Either party may terminate this Contract for cause, in whole or in part, upon thirty (30) days’ notice, in writing, to the other party. The initiation of arbitral proceedings in accordance with Article 28 “Disputes - Arbitration” below shall not be deemed a termination of this Contract. UNHCR may terminate forthwith this Contract at any time should the mandate or the funding of the Mission/Agency be curtailed or terminated, in which case the Contractor shall be reimbursed by UNHCR for all reasonable costs incurred by the Contractor prior to receipt of the notice of termination. In the event of any termination by UNHCR under this Article, no payment shall be due from UNHCR to the Contractor except for work and services satisfactorily performed in conformity with the express terms of this Contract. 31. INSOLVENCY AND BANKRUPTCY Should the Contractor become insolvent or should control of the Contractor change by virtue of insolvency, UNHCR may, without prejudice to any other rights and remedies, terminate this Contract by giving the Contractor written notice of termination. Should the Contractor be adjudged bankrupt, or should the Contractor make a general assignment for the benefit of its creditors, or should a receiver be appointed on account of the Contractor’s insolvency, UNHCR may under the terms of this Contract, terminate this Contract forthwith by giving the Contractor written notice of termination. 32. NOTICE Service of any notice shall be deemed to be good if sent by registered mail or fax to the addresses of both parties, set out in the heading of this Contract. 33. PAYMENT INSTRUCTIONS UNHCR’s normal terms are payment by bank transfer within thirty days of receipt of invoice in order. Invoices are to be sent to the address indicated in the purchase order.
