INVITATION TO BID - Demolition

Project Name: WestEd

Scope: Approx. 25,000 SF Interior Office Refresh & Tenant Improvements

Specific Scopes of Work

A. General Requirements – ALL BIDDERS:

1. Subcontractor to comply with bid instructions and Building Rules & Regulations attachment

2. Subcontractor to comply with Prevailing Wages governed by DIR.CA.GOV website.

3. Subcontractor to bid on multiple scopes as licensed to perform.

4. Bids to be broken out per scope

5. Following scopes are general descriptions. It is the responsibility of the Subcontractor to bid on all items

per bid plans, specs and site conditions.

6. All storage, delivery, and hoisting to be included in your bid proposal.

7. Protection of adjacent and your work during your operations

8. Mobilizations as necessary to complete your work

9. Work to be performed during normal business hours.

10. Comply with Insurance & Bond Requirements in Section C Herein.

B. Specific Trade Scope of Work

Demolition:

Includes demolition and removal of interior partitions, drywall ceilings, acoustic grid & tile ceilings, light fixtures

(safe off by others prior to demo), light bulbs, tele/ data wiring, abandoned conduits throughout entire space, and

HVAC ductwork & VAV boxes. Includes path of travel protection, mobilization, removal of material, and

dumpster/s as required. Must have allowance to remove all demo material through second floor window and with

safe practices under CAL OSHA Requirements. Salvage existing millwork, doors and frames as per drawing or

field direction for reuse. Remove and dispose of floor coverings at areas where new floor coverings are to be

installed. Phase 2 will be performed at a later date when the MEP Engineered Drawings are complete. Figure

to return on-site at a separate date after all MEP items had been tagged to remove existing MEP materials as

necessary.

Add alternate #1: Machine hard scrape adhesive at floor ready for new flooring finish install.

Glass/Glazing:

Safe Removal of 4 exterior glass panels. Storage of panels for 3 months and re-installation of panels.

Plumbing:

All plumbing safe off. Tagging of Plumbing items. Removal of Plumbing to be performed by others.

HVAC:

All HVAC safe off. Tagging of HVAC items. Removal of HVAC to be performed by others.

Electrical:

All electrical safe off prior to start of work. Lock out and tag out procedures for safe operations during construction. Includes clean up of existing redundant wiring for code compliancy. Tagging of all electrical items to be removed.

Fire Alarm System

All Fire Alarm System Safe-off. Tagging of Fire Alarm System materials. Removal of Fire Alarm System materials to be performed by others.

C. Insurance and Bond Requirements

All bidders and subcontractors to Unispace must be prepared to comply with the contractual requirements

applicable to Unispace under its contract with WestEd for insurance and bonding. This means ensuring that

the bidder provides insurance that meets all of the minimum requirements set forth below and names

WestEd and WestEd parties as additional insureds. Payment and Peformance Bonds must be provided in

the full amount of the subcontract price. Bidders are to include the cost of compliance with all of these pass

through insurance and bonding requirements within their bid.

1 CONTRACTOR'S INSURANCE

1.1.1 CM/Contractor shall, at its expense, purchase and maintain in full force and effect such insurance as will protect itself

and WestEd from claims, such as for bodily injury, wrongful death, and property damage, which may arise out of or result from

the Work required by the Contract Documents, whether such Work is done by CM/Contractor, by any Subcontractor, by anyone

directly or indirectly employed by any of them, or by anyone for whose acts any of them may be liable. See Exibit A: Independent

Contractor/Service Provider Agreement Insurance Requirements for information on the requested insurance policies and

coverages.

1.1.2 The following policies and coverages shall be furnished by CM/Contractor:

.1 COMMERCIAL FORM GENERAL LIABILITY INSURANCE covering all Work done by or on behalf of

CM/Contractor and providing insurance for bodily injury, wrongful death, personal injury, property damage, and

contractual liability. Except with respect to bodily injury and property damage included within the products and

completed operations hazards, the aggregate limit shall apply separately to Work required of CM/Contractor by

these Contract Documents. If the insurance under this Article 11.1.2.1 is written on a claims-made form,

coverage shall continue for a period of not less than 3 years following termination of this Contract. Coverage

shall provide for a retroactive date of placement prior to or coinciding with the effective date of this Contract.

.2 BUSINESS AUTOMOBILE LIABILITY INSURANCE on an “Occurrence” form covering owned, hired, leased, and

non-owned automobiles used by or on behalf of CM/Contractor and providing insurance for bodily injury and

property damage.

.3 WORKERS' COMPENSATION AND EMPLOYER'S LIABILITY INSURANCE as required by Federal and State of

California law. CM/Contractor shall also require all of its Subcontractors to maintain this insurance coverage.

.4 PROFESSIONAL LIABILITY INSURANCE. If the insurance under this Article 11.1.2.4 is written on a claims-

made form, coverage shall continue for a period of not less than 3 years following termination of this Contract.

Coverage shall provide for a retroactive date of placement prior to or coinciding with the effective date of this

Contract.

1.1.3 The coverages required under this Article 11 shall not in any way limit the liability of CM/Contractor.

1.1.4 Certificates of Insurance, as evidence of the insurance required by these Contract Documents and on the form contained in the Exhibits, shall be submitted by CM/Contractor to WestEd. The Certificates of Insurance shall provide for no cancellation or modification of coverage without prior written notice to WestEd, in accordance with policy provisions.

1.1.5 In the event CM/Contractor does not comply with these insurance requirements, WestEd may, at its option, provide

insurance coverage to protect WestEd; and the cost of such insurance shall be paid by CM/Contractor and may be deducted

from the Contract Sum.

1.1.6 CM/Contractor's insurance as required by Article 11.1.2, shall, by endorsement to the policies, include the following:

.1 WestEd, and its representatives, consultants, officers, agents, employees, and each of their Representative's

consultants, regardless of whether or not identified in the Contract Documents or to the CM/Contractor in writing,

will be included as additional insureds on the CM/Contractor’s General Liability insurance for and relating to the

Work to be performed by the CM/Contractor and Subcontractors. Additional Insured provision or endorsement

shall be at least as broad as the CG 20 10 04 13 in combination with the CG 20 37 04 13 (or earlier versions of

CG 20 10 and CG 20 37 or Form B - CG 20 10 11 85 by itself), as published by Insurance Services Offices (ISO)

and shall be included with Certificates of Insurance. The additional insured requirement shall not apply to

Worker’s Compensation and Employer’s Liability insurance.

Further, the amount of insurance available to WestEd shall be for the full amount of the loss up to the available

policy limits and shall not be limited to any minimum requirements stated in the Contract Documents.

.2 A Severability of Interest Clause that shall be primary insurance as respects WestEd, its officers, agents and

employees. Any insurance or self-insurance maintained by WestEd shall be excess of and non-contributory with

this insurance. The provision shall state that, “The term 'insured' is hereby used severally and not collectively,

but the inclusion herein of more than one insured shall not operate to increase the limits of the insurers' liability.”

.3 A Cross Liability Clause stating that, “In the event of claims being made under any of the coverages of the

policies referred to herein by one or more insureds hereunder for which another insured hereunder may be liable,

then the policies shall cover such insureds against whom a claim is made or may be made in the same manner

as if separate policies had been issued to each insured hereunder. Nothing contained herein, however, shall

operate to increase the insurers' limits of liability as set forth in the insuring agreements.”

.4 WestEd, WestEd's consultants, WestEd's Representative, and WestEd's Representative's consultants will not

by reason of their inclusion as insureds incur liability to the insurance carriers for payment of premiums for such

insurance.

.5 Coverage provided is primary and is not in excess of or contributing with any insurance or self-insurance

maintained by WestEd, WestEd's consultants, WestEd's Representative, and WestEd's Representative's

consultants. This provision, however, shall only apply as per the stipulations of Article 11.1.6.1.

.6 The Professional Liability insurance policy shall include Contractual Liability Coverage or endorsements to the

insurance policies for Contractual Liability Coverage for liability that would exist in the absence of the contract.

1.1.7 The form and substance of all insurance policies required to be obtained by CM/Contractor shall be subject to approval by WestEd. All policies required by Articles 11.1.2.1, 11.1.2.2, and 11.1.2.3 above shall be issued by companies with ratings and financial classifications as specified in the Supplementary Conditions.

1.1.8 CM/Contractor shall, by mutual agreement with WestEd, furnish any additional insurance as may be required by WestEd. CM/Contractor shall provide Certificates of Insurance evidencing such additional insurance.

1.1.9 The Certificate of Insurance Exhibit shall show (1) all companies affording coverage and (2) the name of the insured exactly in the manner as shown on the Bid Form. The name of the insured must be the name under which the entity is licensed by the Contractors State License Board.

1.1.10 If insurance company refuses to use the Certificate of Insurance Exhibit, it must attach a Certificate of Insurance evidencing compliance with this Article 11 and Special Provisions 1 and 2 on Certificate of Insurance Exhibit.

1.1.11 At the request of WestEd, CM/Contractor shall submit to WestEd copies of the policies obtained by CM/Contractor.

1.3 PERFORMANCE BOND AND PAYMENT BOND

1.3.1 CM/Contractor shall furnish bonds covering the faithful performance of the Contract (Performance Bond) and payment

of obligations arising thereunder (Payment Bond) on the forms contained in the Exhibits.

1.3.2 The Payment Bond and Performance Bond shall each be in the amount of the Anticipated Contract Value less the

Phase 1 Contract Sum. If thereafter the Contract Sum exceeds the Anticipated Contract Value less the Phase 1 Contract Sum,

CM/Contractor shall furnish supplemental Payment and Performance Bonds in an amount equal to any increase in the Contract

Sum above the Anticipated Contract Value.

1.3.3 The Payment Bond and Performance Bond shall be in effect prior to the date the Contract Amendment for Phase 2 is

signed by WestEd. The CM/Contractor shall provide Payment Bond and Performance Bond within ten (10) days of Notice of

Intent.

1.3.4 CM/Contractor shall promptly furnish such additional security as may be required by WestEd to protect its interests

and those interests of persons or firms supplying labor or materials to the Construction Work.

1.3.5 Surety companies used by CM/Contractor shall be, on the date the Contract is signed by WestEd, an admitted surety insurer (as defined in the California Code of Civil Procedure Section 995.120).

1.3.6 The premiums for the Payment Bond and Performance Bond shall be paid by CM/Contractor.

Workers' Compensation & Employer’s Liability: 1. Policy to be amended to state THIRTY (30) days prior written notice of cancellation to

be given to the Employer’s Liability for not less than $1,000,000 per Person/Accident 2. Waiver of Subrogation in favor of WestEd and its affiliates, subsidiaries, successors,

directors, officers, employees, agents and representatives; Alameda Center Owner, LLC, a Delaware limited liability company and its affiliates, subsidiaries, successors, directors, officers, employees, agents and representatives; and Steelwave L.P. and its affiliates, subsidiaries, successors, directors, officers, employees, agents.

Commercial General and Automobile Liability & Umbrella (Excess) Liability Insurance; Professional Liability & Pollution Liability, if applicable to operations:

1. General Liability with Bodily Injury and Property Damage Liability limits of not less than $1,000,000 each occurrence/$2,000,000 aggregate. Your policy must include Premises/Operations, Products & Completed Operations, Personal & Advertising Injury and Contractual Liability coverage.

2. Automobile Liability limits of not less than $1,000,000 per occurrence.

3. Umbrella (Excess Liability) with limits not less than $1,000,000 per occurrence, $2,000,000 Aggregate above General Liability, Auto and Employer’s Liability.

4. WestEd and its affiliates, subsidiaries, successors, directors, officers, employees, agents and representatives; and Alameda Center Owner, LLC, a Delaware limited liability company and its affiliates, subsidiaries, successors, directors, officers, employees, agents and representatives shall be named as Additional Insureds including premises/operations (CG2010 -1185 or equivalent form) and products/completed operations (CG2037-1185) with the proper endorsements attached.

CLEANING SERVICES Janitorial service is provided Sunday through Thursday after normal business hours. Routine office cleaning includes vacuuming, dusting, and emptying wastebaskets. Do not place any object near or against trash receptacles if it is not meant to be thrown away. Should you require any special cleaning or other services of this nature, please notify the Management Office at least one day in advance. Special services provided other than normal cleaning will be at the expense of the tenant. Any problems concerning the nightly janitorial service should be directed to the Management Office. A day porter for your building is on duty Monday through Friday. If you observe a janitorial problem in the surrounding grounds, lobby, corridors or restrooms, please call the Management Office so that we may immediately dispatch the day porter.

ELEVATORS

The elevator at 2490 Mariner Square Loop contains an emergency telephone directly connected to our elevator maintenance company. For major problems, just press the phone button and it will automatically dial for you. DO NOT use the red emergency button to hold the elevator. If the elevator should stop between floors, check that this has not been accidentally depressed. If the elevator is stalled between floors STAY CALM, use the phone, and a technician will be dispatched immediately to assist you. Please remember to report minor elevator problems to the Management Office so we may address them in a timely manner.

ENERGY CONSERVATION SteelWave appreciates your contribution to energy conservation and asks that lights be turned off when your suite or office is unoccupied for any length of time. Please make sure your lights and appliances are turned off at the end of the workday. With your continuing cooperation, a great deal can be done to conserve energy here at Alameda Center.

HEATING, VENTILATING AND AIR CONDITIONING Air conditioning is provided during normal business hours, Monday through Friday, 8:00 a.m. to 6:00 p.m. The air conditioning has been adjusted for your comfort. Thermostats are set and calibrated to maintain a reasonable comfort level in all areas of your suite. Tenant adjustment of individual thermostats will result in inconsistent temperature control in the adjusted area as well as the adjoining areas. If an engineer responds to an air conditioning call as a result of such adjustments, a service charge may be assessed to the tenant. After hours air-conditioning can be provided for an additional charge as outlined in your lease. Every tenant will be issued an access code upon occupancy. Please call the Management Office to obtain further information. Vertical blinds have been installed as a building standard item for your convenience. These window coverings should remain closed during periods of direct sun to allow adequate temperature control and reduce energy usage.

OVERNIGHT PARKING IS NOT PERMITTED. VIOLATING VEHICLES WILL BE TOWED AT VEHICLE OWNER’S EXPENSE, UNLESS PROPERTY MANAGEMENT HAS BEEN NOTIFIED.

All parking violations are enforced and violators will be ticketed. Vehicles parked in restricted zones without authorization will be towed away at the vehicle owner’s expense.

Please remit the bottom REMITTANCE portion to ensure proper credit to your account. Late fees will be assessed for payments received after the due date. If you have any questions about the balance due on your account, please contact the Management Office.

SIGNAGE All signage must conform to building standards and the Alameda Center sign criteria. The Management Office can provide necessary forms for ordering signage. Remember to add all commas, periods, etc. to ensure accuracy.

The above information should be submitted to the Management Office in the order you wish the listings to appear.

Information received will be approved by the Management Office, and a price confirmation will be forwarded for review.

Signage orders take approximately four to six weeks for delivery; once the order has been placed.

TENANT IMPROVEMENT/CONSTRUCTION Any tenant improvement/construction, remodeling or electrical work performed after occupancy must be coordinated through the Management Office to ensure that all work meets building, safety and fire code requirements and maintains architectural quality control. Consent to alterations will need to be issued for all work performed after occupancy. Please submit drawings, pricing, contractor information and insurance for approval and management will provide a consent form as outlined in your lease. All work must be permitted and inspected by applicable municipal inspectors.

SECURITY Nightly patrol is provided seven days a week. During NORMAL business hours, all security assistance calls should be directed to the Management Office for immediate response.

KEYS & LOCKS Prior to move-in, you will be provided with two keys and after-hours access to the building. Additional keys may be obtained by contacting the Management Office. Additional keys will be made at the expense of the tenant. Should you require changes in the locks for your suite in the future, the Management Office must be notified and the work performed by Building Management’s approved locksmith. This will ensure proper access to janitorial staff and provide a uniform master keying system. This procedure must be followed to assure Fire Department access to all areas of the building. All changes will be made at the expense of the tenant. Telephone and Electrical room keys are not distributed to tenants. Due to the nature of these rooms, the Management Office will need to be contacted 24 hours in advance in order to gain access.

BUILDING ACCESS All buildings are open weekdays from 8:00 a.m. to 6:00 p.m. Access during these hours is unrestricted. Access to the buildings, after hours Sundays and legal holidays is limited to entry by using after hours keys which are available through the Management Office.

TENANT VISITORS Please be advised that Monday through Friday between the hours of 6:00 p.m. and 8:00 a.m. and any time on Saturdays and Sundays, tenants will have to give visitors access into the building. This procedure has been established to ensure proper security for all tenants at Alameda Center. Dispose of all obsolete or unused flammable materials, fixtures and displays.

Keep exits clean and unobstructed at all times.

Maintain a minimum 18-inch clearance below all sprinkler heads.

Keep all flammable cleaning materials, waxes, etc., in closed metal containers at all times.

Check for frayed fixture wiring and for proper grounding.

POWER FAILURE Alameda Center can experience a power failure as a result of a mechanical failure within the building or because of a power company breakdown. Such an interruption in power will result in the following: Emergency lights will remain on in the corridors, offices and stairwells for up to 60 – 90 minutes to guide tenants safely out of the building. The power of the Life/Safety system will remain operational. For your own safety:

Keep at least one flashlight in use.

Turn off electrical office machines and appliances.

Take care when moving in dimly lit areas.

Remain at ease.

EMERGENCY PROCEDURES

EVACUATION Evacuation will be via stairwell from the floor on which the emergency situation has occurred. All tenants are urged to become familiar with the location of the stairwells and their exits. Unnecessary evacuations crowd corridors and stairwells and could prevent emergency crewmen from reaching the site of the emergency. However, if you are instructed to evacuate by Fire Department personnel or the Management Office: DO

The Management Office requests notification of all handicapped employees and your plan for their safe evacuation. One person should be designated to aid all handicapped people in the immediate area during an emergency, and one person should be designated to notify Emergency Personnel of their location during an emergency.

BUILDING RULES AND REGULATIONS

Tenant shall faithfully observe and comply with the following Rules and Regulations. Landlord shall not be responsible to Tenant for the nonperformance of any of said Rules and Regulations by or otherwise with respect to the acts or omissions of any other tenants or occupants of the Building Complex.

1. Tenant shall not alter any lock or install any new or additional locks or bolts on any doors or windows of the Premises without obtaining Landlord's prior written consent. Tenant shall bear the cost of any lock changes or repairs required by Tenant. Five keys will be furnished by Landlord for the Premises, and any additional keys required by Tenant must be obtained from Landlord at a reasonable cost to be established by Landlord.

2. All doors opening to public corridors shall be kept closed at all times except for normal ingress and egress to the Premises, unless electrical hold backs have been installed.

3. Landlord reserves the right to close and keep locked all entrance and exit doors of the Building and to exclude from the Building between the hours of 6:00 p.m. and 8:00 a.m. Monday through Friday and at all hours on Saturday, Sunday and Holidays (as defined in the Lease) all persons who do not present a pass or card key to the Building approved by Landlord. Tenant, its employees and agents must be sure that the doors to the Building are securely closed and locked when leaving the Premises if it is after the normal hours of business for the Building. Any tenant, its employees, agents or any other persons entering or leaving the Building at any time when it is so locked, or any time when it is considered to be after normal business hours for the Building or Building Complex may be required to sign the Building register when so doing. Access to the Building may be refused unless the person seeking access has proper identification or has a previously arranged pass for access. Landlord and his agents shall in no case be liable for damages for any error with regard to the admission to or exclusion from the Building or Building Complex of any person. In case of invasion, mob, riot, public excitement, or other commotion, Landlord reserves the right to prevent access to the Building and/or Building Complex during the continuance of same by any means it deems appropriate for the safety and protection of life and property.

4. Landlord shall have the right to prescribe the weight, size and position of all safes and other heavy property brought into the Building. Safes and other heavy objects shall, if considered necessary by Landlord, stand on supports of such thickness as is necessary to properly distribute the weight. Landlord will not be responsible for loss of or damage to any such safe or property in any case. All damage done to any part of the Building and/or Building Complex, its contents, occupants or visitors by moving or maintaining any such safe or other property shall be the sole responsibility of Tenant and any expense of said damage or injury shall be borne by Tenant.

5. No furniture, freight, packages, supplies, equipment or merchandise will

be brought into or removed from the Building or carried up or down in the elevators, except upon prior notice to Landlord, and in such manner, in such specific elevator, and between such hours as shall be designated by Landlord. Tenant shall provide Landlord with not less than 24 hours prior notice of the need to utilize an elevator for any such purpose, so as to provide Landlord with a reasonable period to schedule such use and to install such padding or take such other actions or prescribe such procedures as are appropriate to protect against damage to the elevators or other parts of the Building.

6. Landlord shall have the right to control and operate the public portions of the Building and Building Complex, the public facilities, the heating and air conditioning, and any other facilities furnished for the common use of tenants, in such manner as is customary for comparable building projects in the vicinity of the Building Complex.

7. The requirements of Tenant will be attended to only upon application at the Management Office Complex or at such office location designated by Landlord. Employees of Landlord shall not perform any work or do anything outside their regular duties unless under special instructions from Landlord.

8. Tenant shall not disturb, solicit, or canvass any occupant of the Building Complex and shall cooperate with Landlord or Landlord's agents to prevent same.

9. The toilet rooms, urinals, wash bowls and other apparatus shall not be used for any purpose other than that for which they were constructed, and no foreign substance of any kind whatsoever shall be thrown therein. The expense of any breakage, stoppage or damage resulting from the violation of this rule shall be borne by the tenant who, or whose employees or agents, shall have caused it.

10. Tenant shall not overload the floor of the Premises, nor mark, drive nails or screws, or drill into the partitions, woodwork or plaster or in any way deface the Premises or any part thereof without Landlord's consent first had and obtained.

11. Except for vending machines intended for the sole use of Tenant's employees and invitees, no vending machine or machines of any description other than fractional horsepower office machines shall be installed, maintained or operated upon the Premises without the written consent of Landlord.

12. Tenant shall not use any method of heating or air conditioning other than that which may be supplied by Landlord, without the prior written consent of Landlord.

13. Tenant shall not use or keep in or on the Premises or the Building Complex any kerosene, gasoline or other inflammable or combustible fluid or material. Tenant shall not use, keep or permit to be used or kept, any foul or noxious gas or substance in or on the Premises, or permit or allow the Premises to be occupied or used in a manner offensive or objectionable to Landlord or other occupants of the Building Complex by reason of noise, odors, or vibrations, or interfere in any way with other Tenants or those having business therein.

14. Tenant shall not bring into or keep within the Building Complex or the Premises any animals, birds, bicycles or other vehicles.

15. No cooking shall be done or permitted by any tenant on the Premises, nor

shall the Premises be used for the storage of merchandise, for lodging or for any improper, objectionable or immoral purposes. Notwithstanding the foregoing, Underwriters' laboratory-approved equipment and microwave ovens may be used in the Premises for heating food and brewing coffee, tea, hot chocolate and similar beverages, provided that such use is in accordance with all applicable federal, state and city laws, codes, ordinances, rules and regulations, and does not cause odors which are objectionable to Landlord and other Tenants.

16. Landlord will approve where and how telephone and telegraph wires are to be introduced to the Premises. No boring or cutting for wires shall be allowed without the consent of Landlord. The location of telephone, call boxes and other office equipment affixed to the Premises shall be subject to the approval of Landlord.

17. Landlord reserves the right to exclude or expel from the Building and/or Building Complex any person who, in the judgment of Landlord, is

intoxicated or under the influence of liquor or drugs, or who shall in any manner do any act in violation of any of these Rules and Regulations.

18. Tenant, its employees and agents shall not loiter in the entrances or corridors, nor in any way obstruct the sidewalks, lobby, halls, stairways or elevators, and shall use the same only as a means of ingress and egress for the Premises.

19. Tenant shall not waste electricity, water or air conditioning and agrees to cooperate fully with Landlord to ensure the most effective operation of the Building's heating and air conditioning system, and shall refrain from attempting to adjust any controls.

20. Tenant shall store all its trash and garbage within the interior of the Premises. No material shall be placed in the trash boxes or receptacles if such material is of such nature that it may not be disposed of in the ordinary and customary manner of removing and disposing of trash and garbage in the city in which the Building is located without violation of any law or ordinance governing such disposal. All trash, garbage and refuse disposal shall be made only through entry-ways and elevators provided for such purposes at such times as Landlord shall designate.

21. Tenant shall comply with all safety, fire protection and evacuation procedures and regulations established by Landlord or any governmental agency.

22. Tenant shall assume any and all responsibility for protecting the Premises from theft, robbery and pilferage, which includes keeping doors locked and other means of entry to the Premises closed, when the Premises are not occupied.

23. No awnings or other projection shall be attached to the outside walls of the Building without the prior written consent of Landlord. No curtains, blinds, shades or screens shall be attached to or hung in, or used in connection with, any window or door of the Premises without the prior written consent of Landlord. The sashes, sash doors, skylights, windows, and doors that reflect or admit light and air into the halls, passageways or other public places in the Building shall not be covered or obstructed by Tenant, nor shall any bottles, parcels or other articles be placed on the windowsills. All electrical ceiling fixtures hung in offices or spaces along the perimeter of the Building must be fluorescent and/or of a quality, type, design and bulb color approved by Landlord.

24. The washing and/or detailing of or, the installation of windshields, radios, telephones in or general work on, automobiles shall not be allowed on the Real Property.

25. The term "personal goods or services vendors" as used herein means persons who periodically enter the Building of which the Premises are a part for the purpose of selling goods or services to a tenant, other than goods or services which are used by the Tenant only for the purpose of conducting its business in the Premises. "Personal goods or services" include, but are not limited to, drinking water and other beverages, food, barbering services and shoe shining services. Landlord reserves the right to prohibit personal goods and services vendors from access to the Building except upon Landlord's prior written consent and upon such reasonable terms and conditions, including, but not limited to, the payment of a reasonable fee and provision for insurance coverage, as are related to the safety, care and cleanliness of the Building, the preservation of good order thereon, and the relief of any financial or other burden on Landlord or other tenants occasioned by the presence of such vendors or the sale by them of personal goods or services to Tenant or its employees. Under no circumstance shall the personal goods or services vendors display their products in a public or common area, including corridors and elevator lobbies. If necessary for the accomplishment of these purposes, Landlord may exclude a particular vendor entirely or limit the number of vendors who may be present at any one time in the Building.

26. Tenant must comply with requests by the Landlord concerning the informing of their employees of items of importance to the Landlord.

27. Tenant shall comply with any non-smoking ordinance adopted by any applicable governmental authority.

28. Landlord may waive any one or more of these Rules and Regulations for the benefit of any particular tenant or tenants, but no such waiver by Landlord shall be construed as a waiver of such Rules and Regulations in favor of any other tenant or tenants, nor prevent Landlord from thereafter enforcing any such Rules or Regulations against any or all tenants of the Building Complex. Landlord reserves the right at any time to change or rescind any one or more of these Rules and Regulations, or to make such other and further reasonable Rules and Regulations as in Landlord's judgment may from time to time be necessary for the management, safety, care and cleanliness of the Premises and Building Complex, and for the preservation of good order therein, as well as for the convenience of other occupants and tenants therein. Landlord shall not be responsible to Tenant or to any other person for the nonobservance of the Rules and Regulations by another tenant or other person. Tenant shall be deemed to have read these Rules and Regulations and to have agreed to abide by them as a condition of its occupancy of the Premises.

BUILDING RULES AND REGULATIONS

SMOKING Smoking is not permitted in any portion of the interior common area. This includes, but is not limited to, restrooms, hallways, elevators and stairwells.

Smoking is not permitted in front of Main Lobby entries. The designated smoking area is the side courtyard.

MOVE-IN/OUT FURNITURE AND EQUIPMENT Please notify the Management Office at least forty-eight (48) hours in advance prior to moving any furnishings in or out of the building. Upon notification, arrangements will be made to pad the elevators and provide any other assistance that may be necessary. Your moving company will be required to provide a Certificate of Insurance showing $1 million dollar General Liability coverage as well as Worker’s Compensation and Auto Liability coverage. SteelWave Commercial, Inc., and Alameda Center Owner, LLC are to be named as Additional Insured and Certificate Holders. The Additional Insured requirement must be included and supported by an attached endorsement page in order for the certificate to be accepted. For trash removal, please clearly label TRASH on all packing materials and place in a conspicuous place for night pick up. Any additional charges for the janitorial service for trash removal will be charged to the tenant. If you need any additional janitorial services, please notify the Management Office. FURNITURE MOVING GUIDELINES Elevator Protection

In all passenger elevators, corner boards must be provided on all doorjambs.

Damaged Elevators

Broken safety edges, broken doors, scratched cab interiors, damaged controls or any other damages to elevators caused by a tenant move will be repaired by the building designated contractor at the tenant’s expense.

Lobby Level

Marble flooring and carpeting must be covered with masonite or plywood if dollies are to be used. Walk-off plates must be provided to protect door thresholds. Doors must be padded and corner boards provided. Lobby level glass doors must be propped open during the move - props to be supplied by the building.

Tenant Floors

Carpet protection from elevator to tenant space must be provided either with plywood or masonite. Walls and doors must be covered as needed. Corner boards must be provided in elevator lobbies and corridors. Walk-off plates must be provided to protect door thresholds.

Clean-up

Removal of plywood, masonite, tape, pads, corner boards, empty containers, boxes and carts from public areas (corridors, elevators, lobby, etc.) must be accomplished prior to the following business day.

Safety

It shall be the responsibility of the mover/tenant to perform the move in the safest manner possible, avoiding blocking of building corridors, blocking entrances and exits, and avoiding the accumulation of large amounts of combustible materials. Additional building security personnel are available upon request, at tenant’s expense.

Damages

Prior to the commencement of moving activities, a representative of tenant and building management will prepare a punch list of building areas involved in the move. Later, a follow-up punch list may be completed to determine any damage caused by movers.

Prior Arrangements

All deliveries of furniture or equipment must be arranged in advance with the Management Office. Should any tenant schedule to have a delivery without prior consent of the Management Office, delivery person shall not be granted access to the building and/or the tenant’s suite.

STEELWAVE MOVING POLICY AGREEMENT

In order to prevent potential problems or confusion, please review the following policies

and procedures which must be followed when moving furniture or equipment in and out

of the buildings. The Tenant shall be responsible for obtaining the signature of an

authorized representative of the company as an acknowledgement of this policy. This

agreement must be returned to the Management Office prior to the move.

All movers must provide a Certificate of Insurance according to the specifications shown

on the attached sheet. Proof of insurance must be returned to the Management Office

prior to the move. The tenant will not be authorized to commence moving until evidence

of proper insurance coverage has been presented to the Management Office.

ANY MOVERS WHO DO NOT ADHERE TO THE FOLLOWING RULES WILL NOT BE

ALLOWED TO ENTER THE PREMISES AND/OR WILL BE REQUIRED TO

DISCONTINUE THE MOVE:

1. Move-ins/outs of large quantities of furniture, equipment or supplies must occur

after 6:00 p.m. or before 8:00 a. m. on weekdays and/or all day Saturdays,

Sundays, and Holidays.

2. The Management Office will reserve one of the passenger elevators for the

movement of furniture and equipment after having received advance written

request from the Tenant.

3. The mover must provide and install clean masonite sections to be used as

runners on all floor areas where heavy furniture or equipment is being moved

with dollies. Marble flooring must be covered with masonite at all times dollies

are in use.

BUILDING RULES AND REGULATIONS

The masonite must be at least one-fourth inch thick, 4' x 8' wide sheets in

elevator lobbies and corridors, and 32'" wide sheets through doors and in Tenant

space. All sections of masonite must be taped to prevent sliding.

4. The mover must provide and install protective coverings on all walls, door

facings, elevator cabs and other areas along the route to be followed during the

move. These areas will be inspected for damage with the Tenant before and

after the move.

5. The movement of materials, furniture and all other items is limited only to those

corridors, stairwells, elevators and service areas designated by the Management

Office.

6. Any damage to the building or fixtures caused by the move will be repaired by

the Building Management and the cost of such repairs shall be billed to the

Tenant.

7. The moving company will be required to remove from the property all boxes,

trash, and protection materials when leaving the building. Any materials left

behind will be disposed of and charges of such disposal will be billed to the

Tenant.

8. The moving company shall be responsible for all damages and losses sustained

by them or their tools and equipment utilized in the performance of all work

thereunder.

STANDARD SIZE AND LOCATION OF OFFICE IMPROVEMENTS

GENERAL REQUIREMENT: The following guideline is for office size and lay out of space for all tenant improvements. Please be advised that should tenant require the size and location of improvements to be specific to a tenant’s program requirement which is different than noted, the landlord may require the removal and restoration of the improvement to “landlord building standards” upon termination of lease.

The ratio of enclosed office to open area shall not exceed 50% Perimeter office size along the exterior glass of the building for: Standard offices (+/-130 rsf) shall consist of 80% of the overall office count. Walls shall line up with window mullions, and the office wall shall be a minimum of 13’-0” out from the window mullion. Large offices (+/-195 rsf) shall consist of 20%of the overall office count. Office walls shall line up with window mullions, and the office wall shall be a minimum of 13’-0” out from the window mullion. Interior offices (not on exterior glass) are considered a non-standard improvement. As such, landlord may require that all or some of the interior non-standard improvements be restored to the original condition, or to building standard improvements upon termination of lease. All break rooms, coffee rooms / areas, mail rooms, copy rooms, work rooms, server rooms and any other tenant common rooms shall not be designed on the perimeter glass. All such rooms shall be built on the interior of the space.

MISCELLANEOUS

1. FIRE CAULKING General Contractor is responsible for all fire caulking required by any and all work done during the process of construction.

2. PLUMBING (if provided)

a) Shall comply with all local codes and handicapped code requirements. b) Fixture shall be: Manufacturer Elkay, ‘Hospitality sink” #BPSR-2317 – stainless steel, two

faucet holes, or equivalent. Faucet: single lever post mount bar faucet by ‘Elkay’ #LK-3000 or equivalent.

c) Plumbing bid shall include 5 gallon minimum hot water heater, or insta-hot with mixer valve including all connections, located within tenant’s suite.
