SECTION 1: OVERVIEW NOTICE IS HEREBY GIVEN that the Anaheim Union High School District (“District”) is issuing this Request for Proposals (“RFP”) for Solar Photovoltaic (“PV”) Projects. Responses from interested, independent established and experienced “Design-Builder” firms (“Respondents”) must be received no later than 3:00 pm on October 9, 2019.

1.1 Background The District covers 46 square miles and serves portions of the Orange County cities of Anaheim, Buena Park, Cypress, La Palma, and Stanton. The District currently operates eight (8) Junior High Schools, eight (8) comprehensive High Schools, one (1) academy (7th – 12th grades), one (1) dedicated special program school, one (1) alternative education school, and a District Office campus. The mission of the District’s Facilities Department is to secure funding, design and build sustainable new schools, and modernize facilities in a timely manner according to all legal and compliance standards while accommodating the District’s student enrollment. The District’s commitment to reduce its overall environmental footprint includes providing sustainable design and reducing its overall energy usage and costs through the implementation of energy efficiency measures and renewable energy solutions. In accordance with the State of California’s desire to develop alternative energy sources to maximize energy savings and efficiency and Government Code Section 4217.10, the District is requesting Proposals from qualified Respondents to provide full turnkey, finance, design, construction operation, and maintenance services for the implementation of Solar Photovoltaic Design and Construction (“Services”) for solar PV systems at the twenty (20) District sites listed herein as (“Projects”). The combined approximated size of the solar PV system is approximately 9.3 MW-DC. Projects will be implemented in phases as shown in the Table 1 – Project Sites to limit interference of school operations and the current and future modernization projects.

Current Modernization Construction Conflicts Modernization projects are being scheduled or underway at some schools and it is possible that multiple contractors will be working at a site simultaneously, therefore, coordination with the District to facilitate solar PV construction is imperative. In addition, there are sites where modernization projects will change the current parking lot layouts of the site, which may alter the projected solar PV system size estimates. Details of the parking layout changes can be found in Attachment A – Site Overview. Proposed Pricing Required The District is interested in entering into power purchase agreements ("PPAs") with the selected Respondent and would like to leverage any available local, state, or federal government rebate or financing options, other financing mechanisms, grants and/or other funding sources. The District would also like to see Proposals for the cash purchase of the systems. Therefore, Respondents shall provide costing for both PPA and cash purchase for each of the twenty (20) sites as listed in Table 1 – Project Sites. EV Stations Required The District would like to install Level 2 Electric Vehicle (EV) Charging Stations for all sites listed in Table 1 – Project Sites. Each site must have minimum one (1) two-port EV Charging station capable of charging two (2) vehicles simultaneously. Details for EV charging station installation are found in Section 4. Interconnection Application Status Utility interconnection applications have been initiated for all six (6) Southern California Edison (SCE) sites to secure grandfathered legacy Time of Use (TOU) electricity rates. The awarded Respondent will work with the District to complete the interconnection process for SCE sites and ensure legacy rates are utilized. Respondent is also responsible for submitting all new interconnection applications for Anaheim Public Utility (APU) sites that do not have initiated applications. Details of the interconnection application can be found in Section 4.3.1-G. Added Value Options As an added value option, respondents may include an evaluation of battery storage for all sites where the Respondent can demonstrate a benefit to the District. The interval data for each site is included in the Attachment “C” – Supporting Documents to help respondents determine battery storage options and net benefit. Additional added value options are listed within. Evaluation Overview The District prefers to enter into a single contract agreement for all sites but may, at its sole discretion, divide the work among multiple Respondents if it is deemed to be to the advantage of the District. The District may, at its sole discretion, also choose not to pursue systems at specific sites or to not proceed with the Project at all. There may be insufficient physical space to fully offset campus loads with on-site generation; therefore, the District’s primary goal for this Project is to maximize financial benefit while working within the allowable area at each site. The District has identified the following factors as critical to the success of this Project: • Respondents’ proven ability to apply their experience and technical expertise to complete this Project in an efficient

and skilled manner, in full compliance with District and Division of State Architect (DSA) requirements • Accommodation of school operations at the selected sites during construction and operation • Minimize lifecycle system costs to maximize return on investment over the life of the project • Provide general fund relief with the reduction of energy cost at the selected sites • Provide economic stimulus by providing work for local companies and their employees as much as possible • Provide educational opportunities via interactive kiosks, teaching stations and curriculum developed by the

selected Respondent • Address security issues such as vandalism and theft to protect the PV system installations

Submissions should be concise and responsive to the District's goals and formatted as outlined in Section 2 this RFP. Innovative and creative solutions are encouraged. All costs for Proposals and design are entirely the responsibility of the proposing firm and shall not be charged to the District.

SECTION 2: SUBMITTAL PROCESS

2.1 Submittal Format and Process Responses must be submitted in writing and signed by an authorized officer of the Respondent. Each Respondent must provide sufficient information to enable the District to understand the overall submission, materials, and services to be provided. The District reserves the right to reject a response and to give it no further consideration. The District also reserves the right to request clarification and/or additional information from any Respondent. The deadline for submission of RFP responses or Proposals is stated in Table 2 – Procurement Schedule. A response submitted after this date and time will not be accepted, and a response that is incomplete or does not conform to the requirements of this RFP may not be considered. Respondents must provide six (6) hard copies of their submission and one (1) digital copy on a flash drive. Responses should be brief and concise but provide sufficient clarity to meet the criteria in the evaluation process. Response shall not exceed fifty (50) pages, excluding exhibits in the appendix. Each hard copy of the response must be bound individually, tabbed and organized in order and include all sections and information as stated in this section. Responses must be clearly marked “Solar PV System RFP Submittal” and delivered to the following location: Anaheim Union High School District ATTN: Jennifer Keys Procurement Contract Specialist Facilities Department 501 N. Crescent Way Anaheim, CA 92801 All Requests for Information (RFI) regarding this RFP must be received in writing no later than stated in Table 2 – Procurement Schedule by Jennifer Keys, [email protected]. Any questions received after this date will be answered at the District’s discretion.

Mandatory site walks will be convened on the date(s) specified in Table 2 – Procurement Schedule. Respondents must attend the Site Walks in order to submit a Proposal. The District will provide a bus to transport Respondents to all the sites.

Respondents are required to express their intent to respond to this RFP in writing to Jennifer Keys at [email protected]. If necessary, supplemental information in addenda form will be provided via email to all Respondents that have indicated intent to respond to this RFP. The District shall not be responsible for failure of any Respondent to receive RFP addenda. All addenda so issued shall become part of this RFP. Each Respondent shall be responsible for ascertaining, prior to submitting a Proposal, that they have received all issued addenda.

The District reserves the right to: • Investigate the qualifications of all firms under consideration and to confirm any part of the information furnished

in a response submission • Require other evidence of managerial, financial, or technical capabilities that the District considers necessary for

the successful performance of the Project • Reject any or all submitted responses at its sole discretion • Cancel the RFP • Modify any requirements contained within the RFP

• Establish other evaluation criteria determined to be in the best interest of the District • Contract with any of the firms responding to this RFP based solely upon its own judgment The District will not be responsible for any expenses incurred by any firm in preparing and submitting a Proposal in response to this RFP. ATTEMPTS TO CONTACT DISTRICT STAFF OR BOARD MEMBERS REGARDING THIS RFP WILL BE GROUNDS FOR DISQUALIFICATION FROM THE SELECTION PROCESS.

2.2 Response Format Respondents are encouraged to be as brief and concise as possible, avoiding standardized or boilerplate information. To maintain uniformity, Respondents are highly encouraged to organize the content of their Response as follows:

Failure to address all requirements below could result in a Proposal being considered non-responsive and therefore disqualified from consideration.

A. Cover Letter and Executive Summary

1. Cover letter / Letter of Transmittal. Include a transmittal letter signed by a party authorized to sign binding agreements for the Project. Letter should clearly indicate that the Respondent has carefully read all the provisions in the RFP.

2. Executive Summary. The Executive Summary includes the following components:

a. Summarize main points of the Proposal, including proposed design, equipment, pricing and added value components

b. Highlight any omissions, additions, or alternates contained in the Proposal c. Verify that financing for the proposed PPA terms will be secured before contract execution d. Identify a team leader for the Proposal, including full contact information e. Provide full contact information for each business entity or firm involved in the Proposal

and their role in the project (i.e., design, installation, permitting, equipment supply by component, operations and maintenance, monitoring and verification)

f. Include a list of all sub-contractors that will be used on the Project including firm name, trade, and contractor license number

1. Firm Information. Section includes the following information: a. Size, number of employees b. Construction and professional engineering licenses held by your company or its full-time

employees c. Financial performance. If public, provide a website link to your audited annual investment

reports. If private, attach audited financial statements for the past two (2) years d. Respondent Experience Modification Rate (EMR) e. Legal. Has your firm or have any of the executive officers of your firm been a party to a

lawsuit involving the performance of any equipment it has installed? If so, please include a summary of the issues and the status of any lawsuit.

2. Project Team. Describe the specific relevant experience of all key personnel and where they are

based. 3. Insurance and Bonding. Submit a certificate of insurance with your firm’s Proposal. Additionally,

please provide the following information on the insurance your firm carries: a. Commercial General Liability Limits (per occurrence and aggregate) b. Commercial Automobile Liability Limits (per occurrence and aggregate) c. Professional Liability Limits (per occurrence and aggregate) d. Employer’s Liability Limits (per occurrence and aggregate) e. Employment Practices Liability Limits (per occurrence and aggregate) f. Product insured for damage during installation/Builders’ Risk Limits g. Statement of bonding capacity (District requires Performance and Payment bonds)

All of Respondent's insurance shall be with insurance companies with an A.M. Best rating of no less than A:X.

4. Certification of nondiscrimination. Each Respondent must certify that it does not discriminate in its employment with regard to race, color, religion, sex, or national origin; that it is in compliance with all Federal, State, and local directives and executive orders regarding nondiscrimination in employment; and that it agrees to demonstrate positively and aggressively the principle of equal opportunity in employment.

5. For Respondents teaming with subcontractors: Each responding firm shall select their proposed subcontractors based on their own criteria. Firms shall identify all major subcontractors or methods for identification and selection of proposed subcontractors as part of their Proposal submission. However, the District reserves the right to approve subcontractors proposed for any projects that may be awarded. Subcontractors do not need to complete all the Exhibits in this RFP.

6. Financing and Financing Partners (PPA and/or lease only)

a. Provide proof of funding b. For a PPA and/or lease plan of finance, describe the structure of your partnership with

the financial partners you anticipate using for these Projects. If self-financing, please describe the financing plan, the source of funding and number of projects that the prime firm has financed utilizing this methodology. In addition, if self-financing, then the prime firm must demonstrate proof of funding sufficient for all sites.

c. For a PPA plan of finance, identify any financing or funding mechanisms you are considering that are not found in typical PPAs (e.g. debt provided by the government entity, new market tax credits, etc. Please describe any additional sources of federal, state and local funding that may be available to the District. If additional sources are a loan or credit support, please provide indicative metrics (principal payments, interest rates, debt service schedules, final maturity, etc.).

d. Identify whether the prime firm has ever filed for bankruptcy or experienced a delayed renewable energy generation project that resulted from a lack of available funding and/or a loss of funding to a client due to the inability to secure a financial partner. If yes, please explain.

e. Provide representation that the prime firm and anticipated financial partners have not, nor has any of the members of its governing board or principal officers, been indicted or convicted of fraud, corruption, collusion, bribery, or money laundering. If Solar Provider is unable to so warrant, then describe the circumstances and provide evidence that whatever is the case will not prevent it from entering into the contemplated agreements and fulfilling all services required.

C. Relevant Project Experience & References

1. Project Experience. Provide a list of solar projects performed by the Respondent within the last five

(5) years. Include all the currently operating, nonresidential grid-connected PV systems that your company installed and operates in California within the past five (5) years. Indicate if the customer/owner was a California public school district or community college. If so, describe your experience with the DSA in gaining the necessary DSA approvals. Limit response to no more than twenty (20) most recent projects. Include the following information for each project:

a. Project Description and location b. Total kW installed/system size (kW-DC rating) c. Date operational d. District/owner name with contact person’s name, email, address, phone number (for a

minimum of five (5) projects) to be used as references e. Indicate the type of system (rooftop, ground mount, carport; fixed, tracking, etc.) f. Name of PPA Provider (if applicable)

g. Utility Company/Territory h. DSA application number and status of project with DSA

2. Required Past Projects. To be responsive, the twenty (20) projects listed above must include the following minimum requirements:

a. At least two (2) of the projects must have EACH totaled at least 1.0 MW and be in current commercial operation;

b. At least two (2) of the projects must have been for a California K-12 public school district and be solar PV installations of 1.0 MW or larger; and

c. At least two (2) of the projects must each have been carport PV installations.

D. Project Design

1. System a. Provide a detailed description of the solar PV system proposed for each Project Site,

including preliminary site plan b. Indicate the specific location, dimensions, and "footprint" of the proposed system c. Provide drawings, renderings, or pictures that clearly show how the structures will appear d. Indicate system size in both kW-DC and kW-AC terms, based on applicable California

Energy Commission conventions e. Indicate the key design and construction features of the system to optimize performance

and aesthetics on the site f. Indicate if there are any of the products or mounting strategies unique or proprietary to

the Respondent

g. Describe any identified issues or challenges and how you would address and/or resolve them. Attention should be paid to wind issues and water table issues common to the region within which each Project Site is located

h. Describe how your firm will protect the system from exposure to high winds and dust i. Describe how your firm will protect the system from damages due to vandalism or theft

2. PV Modules a. Indicate the number of PV modules b. Indicate the PV module brand and model number c. Provide manufacturing data sheets for the proposed PV modules (data sheets do not

count towards total RFP page limit) d. Indicate the PTC ratings for the proposed PV modules

3. Inverters a. Indicate the number and size b. Indicate the inverter brand(s) and model(s) c. Provide manufacturing data sheets for the proposed inverters (data sheets do not count

towards total RFP page limit) 4. Design

a. Provide an artist’s drawing, sample photo, or other visual material that will allow the District to discern the aesthetic features of the proposed design;

b. Indicate compliance with DSA requirements; c. Provide LED canopy lighting solution for carport/shade structures. Lighting shall be

connected to each site’s EMS, where applicable.

E. Project Schedule

1. Submit an implementation schedule for the proposed system for all sites, indicating expected milestones, tasks, durations, and logic ties

2. Schedule shall minimally indicate the following phases: a. Program Design b. DSA Submission c. DSA Approved Drawing d. Commencement of Construction e. Substantial Completion f. Project Close-out

g. DSA Certification (milestone)

3. Provide schedule narrative that addresses strategies to minimize site disruption during construction

F. Performance and Production Guarantee All Respondents must include in the PPA pricing a system performance and production guarantee. The District requires that each interconnected system be evaluated individually for the purpose of this guarantee. Since each project is metered individually, overproduction at one site will not be considered to make up a shortfall in production at any other site. Respondents are required to complete production target and degradation rate information in Attachment B – Pricing Form by specifying the following for each interconnected PV system:

1. Specify a year-1 target production in kWh; 2. Specify a degradation rate for the system production (not to exceed 0.8%/year)

Respondents must guarantee that the system will produce 95% of target production levels, evaluated for each interconnected system. The District requires that it be compensated at a rate of 50% of the PPA value for all kWh under 95% of the adjusted target production levels for each year (based on the utility relevant period) as a credit to be applied toward future payments of the PPA. See Table 3 - Production guarantee example for example.

Additionally, the District will not pay for any unneeded or unused production over 100% of the first-year target production level, evaluated over a similar relevant period. Financial evaluation of proposed PPA terms will use each Respondent’s system degradation rate to determine the lifetime system output when calculating the Project’s value to the District.

G. Educational Component

1. Please provide a narrative description of how your firm will work with the District to integrate the solar power project into the District’s educational program. This narrative should address learning opportunities for students in grades 7-12; describe strategies for integrating the solar power project into a new or existing education curriculum or classes; and outline how your firm has worked with other school districts to make a solar power project a meaningful learning experience.

our staff and students, or conflict with regulations related to public contracts and procurement will not be accepted by the District and may be cause for rejection of the Proposal.

J. Proposed Pricing and Terms

The terms, conditions, and pricing provided in submitted Proposals will be considered and a selected Respondent’s failure to honor proposal terms, conditions, or pricing in any forthcoming agreement with the District may result in cancellation of the selected Respondent’s selection.

1. Respondents are required to submit pricing on the Attachment B – Pricing Form. Pricing Form must

be filled out as part of the RFP. Respondents are requested to propose a PPA and/or lease and demonstrate the financial benefit to the District. A submission of a cash purchase option is also required. Pricing form must be provided in Excel format as well as PDF.

Pricing Inclusions:

a. Direct Purchase/System Pricing:

1) Equipment costs (PV modules, inverters, electrical switchgear and meters, data acquisition and monitoring system, and balance of system)

2) Installation and labor costs 3) Annual Operation and Maintenance: Respondents shall offer at least: (i) semi-

annual on-site inspection of all photovoltaic panels, inverters and other equipment/materials forming a part of the Photovoltaic Systems; (ii) routine and scheduled testing and maintenance; and (iii) web-accessible real-time monitoring or whatever is required to meet the Production Guarantee. Provide rate escalation if Respondent chooses.

4) Price for EV Charging Stations (includes equipment and labor) 5) Annual Operation and Maintenance of EV Charging Stations for 5 years.

b. Power Purchase Agreement (PPA) Specifications:

or whatever is required to meet the Production Guarantee. Provide rate escalation if Respondent chooses.

option. If so, provide the appropriate PPA rate adder inclusive of all battery maintenance and management fees.

2) Other added value options provide PPA or lease rate adder and associated fees as necessary.

2. Solar Production Data. Respondents must submit the 8760 interval production data for each system in a tabbed Excel spreadsheet in the format as shown in the Attachment B – Pricing Form.

h. California DSA pre-check design, where possible i. Projects will be interconnected as net energy metering (NEM) projects j. Energy’s fees, as described above, must be included in all proposed pricing.

s. Provide new wheel stops and reuse/relocate existing wheel stops as possible. t. Project must not impact power quality at any of the sites. All costs associated with system

upgrades necessary to avoid power quality issues are the responsibility of the Respondent and not the District.

u. All costs associated with required distribution or service upgrades are the responsibility of the Respondent and not the District.

v. The District requires security measures to be installed to limit the potential for theft and vandalism during construction of the systems. Costs associated with implementing and maintaining security measures will be borne by the Respondent.

w. Array areas shown in Attachment A – Site Overview are representative and not exact panel layouts.

x. Assume no capital incentives from Utilities. y. City/county closeouts and associated costs.

K. Required District Forms

Respondent shall review and fill out the District’s forms in Attachment D – District Forms. Forms included are: 1. Payment Bond 2. Performance Bond 3. Contractor Fingerprinting Requirements

a. The selected Respondent will be required to satisfy the District’s fingerprinting or Livescan requirements as set forth in Education Code section 45125.1 and 45125.2. Attachment D – District Forms contains Contractor Fingerprinting Requirements form. Form must be executed as part of the agreement documents. Respondent shall comply with the applicable provisions of Education Code sections 45125.1 in a method as determined by the District.

Respondents are required to fill out a checklist in Attachment E – Respondent Proposal Checklist. The Checklist is designed to assist the Respondents with preparing their Proposals. Please note that there are submittals that are mandatory. Respondents are subject to disqualification if the mandatory submittals are missing.

2.3 Confidential Information It is understood that Proposals made in response to the RFP may contain technical, financial, or other data where public disclosure would cause substantial injury to the Respondent’s competitive position or that would constitute a trade secret. To protect this data from disclosure, please clearly identify the pages that contain such information. The District assumes no responsibility for disclosure or use of unmarked data. All materials submitted (except those clearly designated as proprietary information) become the property of the District and will be returned only at the District’s discretion. RFPs submitted become the property of the District and may be reviewed and evaluated by any persons at the discretion of the District.

2.4 Department of Industrial Relations The selected Respondent and its subcontractors will be required to register with the Department of Industrial Relations (DIR) in accordance with the requirements of SB 854. All costs associated with SB 854 compliance will be borne by the selected Respondent and not the District. Strict compliance with all DIR registration requirements in accordance with Labor Code sections 1725.5 and 1771.1 is a material obligation of the Respondent and all of its subcontractors (of any tier) under the Contract Documents. The foregoing includes, without limitation, compliance with DIR registration requirements at all times during performance of the Work by the Respondent and all of its subcontractors of any tier. The failure of the Respondent and all subcontractors of any tier to be properly registered with DIR at all times during performance of the Work is a material breach of the Contract Documents and subject to termination for cause. SECTION 3: SELECTION CRITERIA

3.1 Proposal Evaluation Criteria The District will select a vendor under the auspices of California Government Code 4217.10 and has designated the following items as selection criteria for the successful Respondent to be reviewed by the Selection Committee. Table 4 - Evaluation Weights indicates evaluation criteria weights.

Essential Criteria. The Respondent must satisfy these requirements, or its Proposal will not be considered: A. License – Respondent must hold a Class B Contractors License, which is current, valid, and in good

standing with the California Contractor’s State License Board. Contractors or its subcontractor(s) must hold a C-10 and/or a C-46 Contractors License and be approved by the PV manufacturer to install the system.

B. Insurance – Respondent must be insured with the coverages and limits indicated under 2.2 B – Firm Information and Project Team.

C. Bonds – Respondent must have bonding ability and capacity to provide a 100% payment bond and a 100% performance bond for the construction value of the Contract, as agreed to by the District.

D. Required Past Projects – Respondent must have completed the “Required Past Projects” identified in the RFP under 2.2 C Relevant Project Experience & References.

Scored Criteria. The Respondent should satisfy these requirements as thoroughly and as highly as possible:

A. Proposal Completeness – The degree to which the Respondent has included all the information requested in this RFP in a clear and concise manner.

B. Respondents Financial Information, Background, References and Experience – Information indicating the Respondent’s financial strength in terms of capital and liquid assets sufficient to successfully complete the project described in this RFP, and the stability of the Respondent in terms of number of years in existence, professional capabilities and photovoltaic systems construction experience and references. Relevant solar PV project experience is listed herein above.

C. Approach (Recommended Technical Solution and Ability to Meet Project Schedule) – Information

provided by the Respondent detailing:

1. The ability of the Respondent to provide complete and quality technical documentation for the proposed systems including preliminary module layouts and electrical diagrams. Systems should account for available space and site deficiencies;

2. The Respondent’s ability to overcome these deficiencies. Submittals should include proposed orientation and tilt, site specific construction conditions, module and inverter types with proven track record;

3. The ability of the Respondent to complete the project in accordance with the District’s project schedule. Project plan and schedule should account for RFP submittal requirements, complexity of project and demonstrate methodology for management of multiple projects simultaneously. A monitoring system and plan should provide an interface to verify accurate billing and system performance; and

4. The ability of the Respondent to propose an aesthetically appealing solution. D. Production Model and Economic Evaluation – Information provided by the Respondent detailing the

estimated kWh generated by the proposed (solar production 8760 interval data to be submitted by Respondents in Attachment B – Pricing Form) PV systems in this RFP to include necessary assumptions (sun light availability, dark time, maintenance down time, mean time between failures, efficiency of the systems

proposed, efficiency losses, net metering, etc.). The Respondent shall provide the best possible PPA rate for each site. This information will be used by the District to determine the greatest financial net benefit, or general fund savings to the District for 25 years. The Respondents do not need to provide estimated financial benefits.

E. Proposed Education Plan – Respondent to provide general training to District staff and provide a live educational display monitor at each Site

F. Value Added Options – Options your firm may provide to the District to enhance or add value to the project.

A Selection Committee will evaluate all qualifying Responses. The evaluation of each response will be based on the best value to the District, technical criteria and qualifications listed in this RFP, reference checks of the past projects, and other information that will be independently gathered. Respondents may then be invited to appear for an interview, at the discretion of the District.

3.2 Interview Shortlisted Respondents will be interviewed and ranked. The District will interview no more than 4 teams as determined by the Proposal Evaluation process noted above. If selected, the Respondent team shall deliver a presentation up to 20 minutes with an additional 20 minutes allocated to questions. If selected for interview, key team personnel associated with the development, construction and maintenance of the project must attend. It is expected that team members attending the interview would be directly involved in the project

SECTION 4: PROJECT DESCRIPTION AND DESIGN

4.1 Project Description, Scope, and Standards The District intends to hire a Design-Builder to design and construct turnkey solar PV systems on the Project Sites to generate energy for purchase by the District. The District is seeking Proposals that include a PPA or lease agreement option for each of the Project Sites. The Respondent shall consider each sites’ available solar resources; campus and building electrical switchboard bus ampacity; shading impacts of nearby obstacles; geotechnical, structural and load constraints; available space; utility interconnection requirements; ADA accessibility compliance; applicable Federal, California state, and local ordinances and codes; budget constraints; environmental issues and other relevant factors. Respondent will be responsible for all activities related to interconnection and metering through Southern California Edison (SCE) and Anaheim Public Utility (APU). With all these taken into consideration, the Respondents should endeavor to provide the greatest net benefit to the District. Design documents shall be prepared and conform to applicable codes, design professional standards and standards of care. Awarded Respondent shall perform, diligently prosecute and complete the work in a good and workmanlike manner within contract time, and in strict conformity with all design documents. The design-builder shall produce required documentation in sufficient detail to obtain all regulatory approvals requested for design, construction and operation of the system, including but not limited to all federal, state, and local permits. Securing all approvals, all permits and paying all fees shall be the sole responsibility of design-builder. To that end, the Respondent shall provide a design acceptable to the state, county and local authorities having jurisdiction over this project. The proposed design shall be suitable for construction under the guidelines and regulations in effect at the time the agreement is executed. The District will not accept responsibility for cost increases or delays resulting from inaccurate interpretation of existing codes and standards. It is anticipated that the installation of the solar PV sites will be conducted in phases and no more than 50% of parking will be impacted at each site. See Table 5 – Project Site Details for anticipated phasing and order of installation. The District will purchase electricity produced by the PV system under the terms and conditions of the PPA agreement. For solar leases the District will pay a set fee for the equipment, its operation and required maintenance. The scope of this Project is all-inclusive and includes planning, engineering, labor, materials, delivery, installation, and operation, as well as maintenance as described below. Respondent shall apply for and obtain all necessary permits from applicable regulatory agencies including federal, state, and local jurisdictions and obtain Division of the State Architect (DSA) approval. The selected Respondent will be expected to secure financing for the Project. Finally, the selected Respondent will be responsible for the security of all project materials during the installation of the Project. If additional due diligence identifies deficiencies with a potential site, Respondent must address this issue in their Proposal and present potential solutions to the District. It is the responsibility of Respondent to perform sufficient due diligence to determine what will be required for proper implementation at each site.

4.2 Selected Solar PV Sites and Supporting Information Table 5 – Project Site Details contains the list of twenty (20) Project Sites, their phased PV installation schedules, and target system sizes. Attachment A – Site Overview provide the preferred solar array locations at each location for carport shade structures. The District does not wish to consider rooftop or ground-mount systems for any of the Project Sites. In addition to solar PV, the District wishes to install Level 2 Electric Vehicle (EV) Charging Stations at each Project Site. Each Project Site must have minimum one (1) two-port EV Charging station capable of charging two (2) vehicles

simultaneously. EV charging stations will serve patrons of the District and charger usage will be fee-based. The EV charging stations will include network capability to allow the District to collect fee and usage data. Patrons should be able to track charging progress through smart-phone applications and receive notifications when charging is complete. The Respondents must design, install, and provide maintenance for the EV charging stations. Pricing for the EV charging station installation and maintenance shall be included as part of the bid for the solar PV. Respondents shall identify EV charger locations in their Proposals. EV charging stations must comply with standard signage requirements, all applicable codes, and accessibility standards.

Table 5 – Project Site Details provides the approximate annual electricity usage and the approximate annual maximum demand for each electricity account. Respondents should use this information as a guide in developing proposed PV Project size. Please note that site loads do not include anticipated building energy efficiency measures that will be implemented in the next year. Approximate baseload reductions from the energy efficiency measures are listed in the tables.

The approximate solar PV system size is solely provided as guidance and any other configuration to maximize the financial net benefit to the District is encouraged. Respondent shall design systems to offset as much of each site’s load as possible without resulting in uncompensated (or minimally compensated) export to the grid. It is anticipated that the interconnection of the solar PV systems will be applicable for SCE’s (NEM 2.0) and APU’s Net Energy Metering (NEM) programs. In addition, for the SCE sites, it is anticipated that rate TOU R Grandfathered will be utilized.

Respondents must submit a schedule for design and installation phases based on the District’s requirements for installation periods listed in Table 5. The order of installation is informed by other modernization projects being completed at each site and based on the District’s master plan and modernization program. The schedule may change, when possible, for optimum scheduling and coordination with modernization projects. It is anticipated that construction of the Project will occur year-round and that the Respondent will prioritize work to minimize disturbance during the school year. Under no condition shall the Respondent disrupt more than 50% of a project site’s parking stalls.

4.3 General Design and Service Requirements of the Solar PV Systems

The successful Respondent will be responsible for completing “turnkey” PV Systems on the twenty (20) sites, including design/engineering, permitting, procurement, construction, installation and equipment commissioning/start-up, DSA certification, and ongoing operations and maintenance. Respondents shall possess a General Contractor License Class B. Contractors, or its subcontractor(s) must hold a C-10 and/or a C-46 Contractors License and be approved by the PV manufacturer to install the system Products, components, construction, and installations must comply with applicable codes, standards, and rating methodologies. Minimum requirements of a general nature are outlined below; the requirements described below are not intended to be complete or comprehensive. The following are intended to provide Respondents with an overview of the general requirements; the following do not modify, limit or waive requirements established by the Agreement or the District’s General Conditions as awarded.

4.3.1 Design and Code Standards The installations shall comply with at least, but not limited to, the latest approved versions of the International Building Code (IBC), California Building Code (CBC), National Electrical Code (NEC), Utility Interconnection Requirements, and all other federal, state (Title 24), and local jurisdictions having authority. In addition, installations must be in compliance with Occupational Health and Safety Administration (OSHA) directives.

A. Photovoltaic Modules 1. IEEE 1262 “Recommended Practice for Qualifications of Photovoltaic Modules”.

2. Modules shall be new, undamaged, fully warranted without defect. 3. Modules shall comply with the State of California SB1 Guidelines for Eligibility, listed at:

www.gosolarcalifornia.org/equipment/pv_modules.php 4. Modules shall have minimum maintenance requirements and high reliability, have a minimum 25-

year design life, and be designed for normal, unattended operation. 5. All PV modules for this project shall be classified by the solar finance industry as Tier 1. 6. Acceptable mounting methods for unframed modules shall be provided by the manufacturer. Bolted

and similar connections shall be non-corrosive and include locking devices designed to prevent twisting over the 25-year design life of the PV system.

7. If PV modules using hazardous materials are to be provided, then the environmental impact of the hazardous material usage must be disclosed, including any special maintenance requirements and proper disposal/recycling of the modules at the end of their useful life.

8. PV modules shall have a 25-year limited warranty that modules will generate no less than 80% of rated output under STC. PV modules that do not satisfy this warranty condition shall be replaced.

B. Inverters and Controls

1. IEEE 929-2000 – “Recommended Practice for Utility Interface of Photovoltaic Systems” 2. Inverters shall be UL 1741 and IEEE 1547 compliant, and shall be on the California Senate Bill 1

(SB1) compliant List of Eligible Inverters per SB1 guidelines: www.gosolarcalifornia.org/equipment/inverters.php

3. UL/ETL listed 4. Minimum peak efficiency of 97% or higher 5. Inverter shall have operational indicators of performance and have built-in data acquisition and

remote monitoring. 6. The inverter shall be capable of parallel operation with the existing AC power. Each inverter shall

automatically synchronize its output waveform with that of the utility upon restoration of utility power. 7. A minimum 10-year manufacturers’ warranty shall be provided. 8. Enclosures shall be rated NEMA 3R when the inverter is located outdoors. For outdoor installations

in corrosive environments, NEMA 4X series 300 stainless steel enclosures must be used. 9. Warning labels shall be posted on the control panels and junction boxes indicating that the circuits

are energized by an alternate power source independent of utility-provided power. 10. Provide detailed lock out /tag out instructions for all equipment

C. Structural Requirements

1. Structures and structural components must be designed: a. In accordance with all applicable State, Local or DSA requirements; b. Structural calculations incorporated into the Design Documents must be stamped by a

registered engineer under California law and reviewed/approved by DSA.

D. Monitoring and Metering. 1. The Photovoltaic Systems must incorporate equipment and connections for metering, monitoring and

data collection of solar power generated by the Photovoltaic Systems at a time interval of no less than 15 minutes. Meters with industry standard communication telemetry for Ethernet, cellular, or other similar common output must be incorporated into the Photovoltaic Systems. Meters must be situated in easily assessable locations. At each campus, ensure that data is available to the public on the Internet and provide at least one (1) public information monitor assessable to students, staff and the general public which displays the solar power generated by the Photovoltaic Systems and other related data at the campus where display is located. The location of the monitor(s) shall be subject to District direction.

1. In order to ensure compliance with provisions of the NEC, an inspection by a licensed electrical inspector is mandatory after construction is complete. Unless otherwise identified, manufacturer recommendations shall be followed for all inspection and test procedures. The NEC inspection shall be conducted by an independent third-party electrical inspector familiar with PV systems. Provide qualifications of the proposed third-party inspector for review and approval prior to conducting the NEC inspections.

2. Tests shall include a commissioning of the array. System commissioning shall be equivalent or superior to both the CEC (California Energy Commission) “Guide to Photovoltaic (PV) System Design and Installation”, Section 4 and ASTM International Standards E2848 and E2939. Commissioning shall be performed for the entire PV system. This data shall be used to confirm proper performance of the PV system.

F. Miscellaneous

Design should consider the following: 1. Corrosion control; 2. LED shade structure lighting with surge protection; 3. Spare conduits for cameras.

G. Utility Interconnection

1. Awarded Respondent is responsible for preparing and obtaining all necessary Utility interconnection approvals for each Solar PV system being installed.

2. Six (6) SCE Project Sites have existing interconnection applications, sites include: a. Cypress High School (submitted system CEC-AC Nameplate Rating 995,165 kW) b. Kennedy High School (submitted system CEC-AC Nameplate Rating 772.684 kW) c. Lexington J High School (submitted system CEC-AC Nameplate Rating 346.808 kW) d. Oxford Academy (submitted system CEC-AC Nameplate Rating 406.720 kW) e. Hope/Gilbert West High School (submitted system CEC-AC Nameplate Rating 368.893

kW) f. Walker J High School (submitted system CEC-AC Nameplate Rating 500.582 kW)

Please note, SCE interconnection applications were submitted for the sites listed above to be granted grandfathered status until December 31, 2027 to use “legacy TOU hours.” Sites with submitted applications will not be subject to the new TOU period hours adopted through CPUC Decision 17-01-006. While each Respondent may offer different sized systems than listed herein, it is the Respondent’s responsibility to assure that the grandfathered status is maintained through the interconnection process.

3. The fourteen (14) APU sites will still require submission of interconnection applications. Respondent will be responsible for the submission of the APU interconnection applications.

4. Awarded respondent will work with the District to complete the interconnection process for all sites

and must comply with all interconnection requirements, such as CPUC Rule 21 for the Utility service territory. Design-Builder is responsible for the proper planning and scheduling of interconnection approvals and any potential interconnection study. Systems installed as part of this project will take advantage of Net Energy Metering (NEM) and Net Energy Metering Aggregation (NEM-A) where possible. Awarded Respondent shall be responsible for ensuring the system design and interconnection qualifies for NEM and NEM-A.

Whenever Principal shall be, and is declared by the Obligee to be, in default under the Contract, the Surety shall promptly either remedy the default, or shall promptly take over and complete the Contract through its agents or independent contractors, subject to acceptance and approval of such agents or independent contractors by Obligee as hereinafter set forth, in accordance with its terms and conditions and to pay and perform all obligations of Principal under the Contract, including, without limitation, all obligations with respect to warranties, guarantees and the payment of liquidated damages; or, at Obligee’s sole discretion and election, Surety shall obtain a bid or bids for completing the Contract in accordance with its terms and conditions, and upon determination by Obligee of the lowest responsible bidder, arrange for a contract between such bidder and the Obligee and make available as Work progresses (even though there should be a default or succession of defaults under the contract or contracts of completion arranged under this paragraph) sufficient funds to pay the cost of completion less

The term “balance of the Contract price,” as used in this paragraph, shall mean the total amount payable to Principal by the Obligee under the Contract and any modifications thereto, less the amount previously paid by the Obligee to the Principal, less any withholdings by the Obligee allowed under the Contract. Obligee shall not be required or obligated to accept a tender of a completion contractor from the Surety.

Surety expressly agrees that the Obligee may reject any agent or contractor which may be proposed by Surety in fulfillment of its obligations in the event of default by the Principal. Unless otherwise agreed by Obligee, in its sole discretion, Surety shall not utilize Principal in completing the Contract nor shall Surety accept a bid from Principal for completion of the work in the event of default by the Principal.

No final settlement between the Obligee and the Contractor shall abridge the right of any beneficiary hereunder, whose claim may be unsatisfied.

The Surety shall remain responsible and liable for all patent and latent defects that arise out of or relate to the Contractor’s failure and/or inability to properly complete the Public Work as required by the Contract and the Contract Documents. The obligation of the Surety hereunder shall continue so long as any obligation of the Contractor remains.

Contractor and Surety agree that if the Obligee is required to engage the services of an attorney in connection with enforcement of the bond, Contractor and Surety shall pay Obligee’s reasonable attorneys’ fees incurred, with or without suit, in addition to the above sum.

In the event suit is brought upon this bond by the Obligee and judgment is recovered, the Surety shall pay all costs incurred by the Obligee in such suit, including reasonable attorneys’ fees to be fixed by the Court.

CONTRACTOR’S CERTIFICATE REGARDING WORKERS’ COMPENSATION

Labor Code section 3700 in relevant part provides:

Every employer except the State shall secure the payment of compensation in one or more of the following ways:

(a) By being insured against liability to pay compensation in one or more insurers duly authorized to write compensation insurance in this State.

(b) By securing from the Director of Industrial Relations a certificate of consent to self-insure, either as an individual employee or as one employer in a group of employers, which may be given upon furnishing proof satisfactory to the Director of Industrial Relations of ability to self-insure and to pay any compensation that may become due to his employees.

I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for workers’ compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this Construction Services Agreement.

DRUG-FREE WORKPLACE CERTIFICATION

This Drug-Free Workplace Certification form is required from all successful bidders pursuant to the requirements mandated by Government Code section 8350 et seq., the Drug-Free Workplace Act of 1990. The Drug-Free Workplace Act of 1990 requires that every person or organization awarded a contract or grant for the procurement of any property or service from any State agency must certify that it will provide a drug-free workplace by performing certain specified acts. In addition, the Act provides that each contract or grant awarded by a State agency may be subject to suspension of payments or termination of the contract or grant, and the Contractor or grantee may be subject to debarment from future contracting, if the contracting agency determines that specified acts have occurred.

Pursuant to Government Code section 8355, every person or organization awarded a contract or grant from a State agency shall certify that it will provide a drug-free workplace by doing all of the following:

1. Publishing a statement, notifying employees that the unlawful manufacture, distribution,

dispensation, possession, or use of a controlled substance is prohibited in the person’s or organization’s workplace,

and specifying actions which will be taken against employees for violations of the prohibition.

2. Establishing a drug-free awareness program to inform employees about all of the following:

a. The dangers of drug abuse in the workplace;

b. The person’s or organization’s policy of maintaining a drug-free workplace;

c. The availability of drug counseling, rehabilitation and employee-assistance programs; and

d. The penalties that may be imposed upon employees for drug abuse violations;

3. Requiring that each employee engaged in the performance of the contract or grant be given a copy

of the statement required by subdivision (a) and that, as a condition of employment on the contract or grant, the

employee agrees to abide by the terms of the statement.

I, the undersigned, agree to fulfill the terms and requirements of Government Code section 8355 listed above and will (a) publish a statement notifying employees concerning the prohibition of controlled substance at the workplace, (b) establish a drug-free awareness program, and (c) require each employee engaged in the performance of the contact be given a copy of the statement required by section 8355(a) and require such employee agree to abide by the terms of that statement.

I also understand that if the District determines that I have either (a) made a false certification herein, or (b) violated this certification by failing to carry out the requirements of Section 8355, that the contract awarded herein is subject to termination, suspension of payments, or both. I further understand that, should I violate the terms of the Drug-Free Workplace Act of 1990, I may be subject to debarment in accordance with the requirements of Section 8350 et seq.

I acknowledge that I am aware of the provisions of Government Code section 8350 et seq. and hereby certify that I will adhere to the requirements of the Drug-Free Workplace Act of 1990.

CONDUCT RULES FOR CONTRACTORS

Each contractor/subcontractor, when performing work on Anaheim Union High School District property, in addition

to complying with the provisions of the Construction Services Agreement, shall adhere to the following rules of

conduct:

1. Professional and courteous conduct is expected and will be displayed at all times.

2. Interaction with students, staff, and/or other visitors is prohibited with the exception of designated

administrators.

3. The use of profanity and/or disparaging language will not be tolerated.

4. All contractors/subcontractors shall wear a means of identification on site when school is in session which

must be approved by the District prior to commencement of work.

5. All contractors/subcontractors shall remain in the vicinity of his/her work and will not stray to other areas of

the property not involved in the Project, including student and staff toilet facilities.

6. Pursuant to Government Code section 8350 et seq., the Anaheim Union High School District is a drug-free

workplace. This policy shall be strictly enforced.

7. Alcoholic beverages are prohibited from being consumed or brought on any District property.

8. The use of any tobacco products on District property is strictly prohibited.

9. Any lewd, obscene or otherwise indecent acts, words, or behavior by any contractor/subcontractor shall not

be tolerated.

10. All contractors/subcontractors shall conform to a dress code whereby:

A. No clothing that contains violent, suggestive, derogatory, obscene, or racially-biased material may

be worn.

B. Garments, accessories or personal grooming artifacts with slogans, graphics, or pictures promoting

drugs, alcohol, tobacco, or any other controlled substances which are prohibited to minors will not

be allowed.

11. No firearms are allowed on campuses/District property.

12. All contractors/subcontractors shall comply with Education Code section 45125 et seq. with respect to all

fingerprinting requirements.

Non-compliance with any of the above-stated rules of conduct by any contractor/subcontractor may be sufficient

grounds for immediate removal from the job site and termination of the contract.

I acknowledge that I am aware of the above-stated rules of conduct and hereby certify that all of my Company’s

employees, consultants, suppliers, and/or any subcontractors will adhere to these provisions.
