INTRODUCTION
The Greater Toronto Airports Authority (the “GTAA”) requests proposals for the development,
management and operation of for hire peak period commercial vehicle passenger service
concessions picking up passengers at Terminal 1 and Terminal 3 at Toronto Pearson
International Airport.
This Request for Proposals (“RFP”) seeks proposals from enterprising companies who will
develop, implement, operate and manage highly professional and competent for hire passenger
service operations during peak periods established by the GTAA. The proponent’s front line
personnel must be well suited and personable individuals who enjoy working with the public and
who possess the essential knowledge regarding airport facilities and services to effectively and
efficiently deal with passengers. The successful proponent(s), if any, will have
uncompromising operating standards, particularly in ensuring the provision of high quality
passenger transportation services. Proponents must clearly demonstrate that they have the
necessary experience, organizational and motivational skills, as well as an existing fleet
capability to operate a first class Peak Period Vehicle passenger service concession at an
international Airport where first impressions are lasting impressions.
All vehicles operated by the successful proponent(s), if any, in providing the service must be
equipped with a GTAA automated vehicle identification transponder/device in accordance with
the Licence Agreement. Vehicle availability and operation at the Airport during required peak
time periods will be closely monitored and any attempt to operate vehicles during non-peak
periods may result in the termination of the Licence Agreement. The GTAA in its sole discretion
will establish the peak period times during which vehicles operated under Licence Agreements(s)
issued pursuant to this RFP must be operated to convey passengers picked up at the Airport.
GTAA may at any time, in its sole discretion, change the peak period times from time to time
during the term of the Licence Agreement.
This RFP describes the concession opportunity to provide the Peak Period Vehicle transportation
services at both Terminal One and Terminal Three at the Airport. Proponents must submit a
proposal which includes both Terminals. Any proponent(s) with common ownership with any
other proponent(s) will be considered one (1) proponent.
Through this RFP, the GTAA anticipates awarding up to a maximum of six (6) Licence
Agreements, for a total of up to one hundred and eighty (180) Peak Period Vehicles. Up to three
(3) License Agreements (40 vehicles each) may be issued for taxicabs and up to three License
Agreements (20 vehicles each) may be issued for limousines. No company will be awarded
more than one (1) Licence Agreement.

requested that no more than two (2) individuals represent each Company. All Proponents
must pre-register their representatives, giving no less than 2 days’ notice, to Tanya

Each proponent acknowledges and agrees that any briefings and/or site tours are conducted for
the purpose of providing the proponents with access to the various sites at the Airport relevant to
this concession opportunity and thereby permitting them to make their own observations and
evaluations.
GTAA is under no obligation to confirm any statement or representation made during the
briefing and site tour.
All information provided or statements made in the course of any proposal briefing and/or site
tour by the GTAA or its representatives shall not be binding on the GTAA and shall not form
part of this Request for Proposal unless formalized by the GTAA in an addendum. The GTAA
makes no representation or warranty as to the accuracy or completeness of any information
provided or statements made in the course of such proposal briefing and/or site tour, if
conducted.
The GTAA shall in no event be responsible to ensure the equal dissemination of information
provided (orally or otherwise) in the course of the proposal briefing and/or site tour, if
conducted.

I. AIRPORT DEVELOPMENT AND BACKGROUND INFORMATION
1. Greater Toronto Airports Authority
The Greater Toronto Airports Authority (the “GTAA”) is a not-for-profit organization
mandated to operate and develop Toronto Pearson International Airport (the “Airport” or
“Pearson Airport”).
A ground lease with the Federal Government, signed on December 2, 1996, transferred
the management, operation and maintenance of Pearson Airport to the GTAA for a term
of 60 years, with one (1) renewal term for a further 20 years.
2. Airport Development
The GTAA has made significant capital infrastructure investments at Toronto Pearson.
Major development projects have been delivered through the Cogeneration Facility
Project completed in 2005, the Automated People Mover Project (“Link Train”)
completed in 2006, the Airport Development Program (“ADP”) completed in 2007, and
the Terminal 3 Redevelopment Program completed in 2010.
The GTAA will be undertaking the following development projects: Terminal 1
Enhancement Program and the Terminal 3 Enhancement Program, both which will
increase the capacity and utility of the existing terminals and improve customer
experience. The GTAA has replaced its parking control and access system in the
Terminal 1 Parking Garage and Value Park Lot in 2011 and 2012 respectively and in
2013, the parking control and access system was completed in the Terminal 3 Parking
Garage.
3. The Union Pearson Express Train
In 2012, Metrolinx, the Province of Ontario’s regional transportation authority, began
construction on the Airport lands of the portion of the commuter rail service connecting
Union Station in downtown Toronto to Toronto Pearson via the GO Transit Georgetown
line (the “Union Pearson Express”). The GTAA has made all of the necessary
investments to accommodate the Union Pearson Express that were the responsibility of
the GTAA. Completion of the project and commencement of commercial operation of the
Union Pearson Express train is expected to occur in 2015, in time for the Pan/Parapan
American Games.
The GTAA has expanded the capacity of its LINK Train connecting Terminal 1 and
Terminal 3 by adding a seventh train car and expanding the train platform. This
expansion to the LINK Train is being made to accommodate the additional passenger
traffic when the Union Pearson Express Train commences serving the public in 2015.
4. Background Information
At present there are licensees providing a peak period for hire transportation service
using (80) taxicabs and (45) limousines comprising a total of (125) vehicles. The licence
agreements for these peak period vehicles will expire on June 30, 2014. Those peak

period vehicles supplement these operated by the GTAA’s full time taxicab and
limousine operators. In addition, during the peak periods at the Airport there are
numerous other modes of Ground Transportation available for the travelling public,
including but not limited to, downtown hotel buses, off-airport hotel and parking shuttle,
vans and buses, out-of-town vans and public transit (Go, TTC and Cities of Brampton
and Mississauga). In addition, the Union Pearson Express train is expected to begin
operating to and from the Airport in 2015.
5. AVI System | Vehicle Dispatch
All commercial vehicles operating at the Airport, including taxicabs and limousines
operated during peak periods must be equipped with an Automated Vehicle Identification
(“AVI”) device (including, for example a transponder or GPS unit). When commercial
vehicles enter the Airport they go to the combined Terminal 1/3 Commercial Vehicle
Holding Areas (“CVHA”). The vehicle’s identification device is scanned at the entry to
the CVHA and their vehicle is slotted automatically for dispatch. All taxis, limousines,
peak period and emergency and irregular operation vehicles must park in sequence of
entry to the compound. When vehicles are required at the Terminals, the vehicle numbers
appear on the AVI sign boards and those vehicles are then dispatched to the appropriate
terminal.
6. AVI Device
The initial AVI device will be provided free of charge to the Licensee(s) by the GTAA;
however, the cost of all replacements of a lost, stolen or damaged devices will be the
responsibility of the Licensee. At the present time taxicab and limousines operating at
the Airport have AVI transponders. The current transponder fee is outlined in the table
below. The GTAA may in the future require that transponders be replaced with a GPS or
other device.

7. Dispatch Service
The successful proponent(s), if any, will be required to provide and manage the vehicles
operated under the Licence Agreements for a pre-designated list of a maximum of four
authorized drivers for each Peak Period Vehicle approved by the GTAA and operated by
the successful proponent(s).
8. Peak Period Vehicle and Passenger Statistics
Historical data relating to taxicab, limousine, pre-arranged and peak period vehicle and
passenger statistics at the Airport are provided as Table 3. The forecast passenger
statistics are estimated and are provided for information only. The GTAA will not be
responsible in the event these figures are not attained. The GTAA does not make any
representation or warranty (express or implied) as to the completeness or accuracy of the
information. Companies must evaluate the business opportunity based on their own
expectations.

10. Airline Passenger Enplanement and Deplanement (Departing and Arriving)
Enplanement and Deplanement projections through 2018 for all terminal and airline
passenger sectors are shown on the Table 2 below.

Many events or factors may reduce the number of airline passengers at the Airport. These include, without limitation, changes in terminal configuration, economic conditions, global events, the number of passengers using other airports (such as Toronto’s Billy Bishop airport and the Niagara and Buffalo airports), construction activity or air carrier operations at the Airport or facilities. The GTAA, its employees, officers and directors and their respective successors and heirs shall not be liable to any concession operator for any damages (direct, indirect, consequential or otherwise), losses, liabilities, charges or costs whatsoever, arising out of or related to the passenger forecasts or the above events regardless of whether changes occur with our without the consent of the GTAA.

II. DESCRIPTION OF THE PEAK PERIOD VEHICLE LICENCE
OPPORTUNITY
The following summarizes the scope of the Peak Period Vehicle passenger service
concession opportunity including key terms and conditions of the Licence Agreement
(Attachment D). In the event of a discrepancy between this RFP and the Licence
Agreement, the latter shall prevail.
The Greater Toronto Airports Authority (“GTAA”) pursuant to this Request for
Proposals, (“RFP”) is inviting the submission of proposals (a “Proposal”) from interested
companies for the opportunity for companies to operate a Peak Period Vehicle passenger
service at Toronto Pearson International Airport (“Airport”).
As described in Part I, the GTAA anticipates entering into up three (3) Licence
Agreements (taxicabs) of forty (40) Peak Period Vehicles each and up to three (3)
License Agreements (limousines) of twenty (20) Peak Period Vehicles. Under each
License Agreement each Licensee will be awarded the right and privilege to operate a
Peak Period Vehicle passenger service concession at the Airport for a period of three (3)
years (at the GTAA’s discretion, the GTAA may extend the License Agreement for up to
two years).. The successful proponent(s), if any, shall sign the GTAA’s form of Licence
Agreement (the “Licence Agreement”) attached hereto.
The GTAA’s Peak Period Vehicle policy is to ensure a high level of passenger service
and to provide a safe and efficient operating environment for the travelling public.
1. Philosophy
The GTAA is committed to bringing a Peak Period Vehicle passenger service concession
to the Terminals that offers the best in customer service, convenience, concept and
quality. It is of primary importance that customers receive excellent customer service.
2. Term
The Licence Agreements will be for fixed terms of three (3) years and two (2) one (1)
year option years. The option years are exercisable by the GTAA in its sole discretion.
The GTAA retains to the right to cancel the License Agreements at any time. At the
present time it is anticipated that the Licence Agreement will commence on or about July
1, 2014 and end on June 30, 2017, subject to the GTAA’s option to extend.

3. Annual Peak Period Vehicle Concession Fee
The successful proponent(s), if any, will be required to pay to GTAA a fee for each trip,
per Peak Period Vehicle during the term of the License as set out therein (the “Per Trip
Fee”) in addition to applicable taxes The Per Trip Fee proposed by the proponent must
be set out in its proposal as per Schedule 7 (Attachment F). Per Trip Fees are payable to
the GTAA monthly as billed by the GTAA.
4. Existing Licence Holders
A company that currently operates peak period vehicles at the Airport may submit a
Proposal pursuant to this Request for Proposals. Where such companies are under
common ownership, the GTAA will accept only one (1) Proposal from one (1) such
owner regardless if there are two or more companies under that ownership.
5. Driver Proposals
Proposals from individuals and unincorporated groups (including associations and
partnerships) will not be accepted. Existing airport authorized drivers may incorporate a
legal entity, under any one of the statutes described below, which incorporated entity may
submit a Proposal to provide a peak period commercial vehicle passenger service:

6. Proof of Status
Proponents must provide, at the time they submit their Proposal, as part of its Proposal, a
certificate or articles of incorporation, or other incorporating documents and a certificate
of status or such other evidence of the Proponent’s (company) validity and existence as
the GTAA may require.
7. Age of Vehicle
Vehicles operated under the Licence Agreement cannot at any time during the term of the
License Agreement have been licensed for road use anywhere for longer than four (4)
years for a limousine or six (6) years for a taxicab.
8. Peak Period Vehicle Requirements
All Peak Period Vehicles operated pursuant to a Licence Agreement, including any
replacement Peak Period Vehicles, must have a GTAA supplied Authorized Peak Period
Vehicle decal applied permanently to the vehicle and the Licensee must adhere to all
other requirements as per the terms and conditions of the Licence Agreement.

The Licensee must be the registered owner under the Highway Traffic Act (Ontario) of
each Peak Period Vehicle it operates under the Licence Agreement.
9. Hours of Operation
The Licensee shall ensure that the Peak Period Vehicles are available to pick up
passengers at the Airport during the specific peak periods established by the GTAA from
time to time to serve the needs of the travelling public and to coincide with departing and
arriving flights during such peak periods.
Peak period passenger demand is seasonally affected and will vary month to month.
GTAA will endeavour to communicate the Peak Period Operating Hours for each month
fourteen (14) days in advance. However, such advance notice may not be possible and
notwithstanding this, the Licensee shall, within one (1) hour of receiving notice, adjust
its provision of the Peak Period transportation service to comply with any changes in the
Peak Period Operating Hours as instructed by the GTAA’s Commercial Vehicle
Dispatcher.
At any time, the GTAA may revise the hours of peak period operation to meet changing
airline schedules, including delayed and late flights and to ensure the operational
efficiency of the ground transportation system. The Licensee are required to provide
service to meet the needs of the traveling public in all weather conditions, including
winter storms.
10. Taxes
The Licensee will be responsible for the payment of all rates, taxes, assessments and any
other amounts lawfully imposed during the term of the Licence Agreement, in respect of
the Licensee’s business, including its operations under the Licence Agreement.
11. Insurance
The Licensee will be responsible for procuring and maintaining comprehensive general
liability insurance as described in the Licence Agreement in such amounts as specified by
the GTAA from time to time, per vehicle and other insurance as required under the
Licence Agreement. Proof of ability to obtain insurance must be provided with the
Proposal submission.
12. Peak Period Vehicle Drivers
Each individual driving Peak Period Vehicles under a Licence Agreement must first
obtain from the GTAA and maintain at all times a valid GTAA Approved Driver’s
Certificate and must be properly licensed by the municipality that licenses the taxicab or
limousine. Approved Driver certificate applications, including renewals, will require each
driver to comply with various conditions. Any driver operating a Peak Period Vehicle
under a Licence Agreement may be required to undergo an English language assessment
and training, if warranted, based on such assessment. This requirement applies to drivers

new to the Airport as well as existing drivers who are switching from driving an existing
Peak Period Vehicle, taxicab or limousine.
13. Peak Period Vehicle Drivers Operating at the Airport Outside of Peak Period
Conditions
The GTAA may revoke the Approved GTAA Driver‘s Certificate of any driver who
operates a Peak Period Vehicle at the Airport for the purpose of picking up passengers for
commercial hire outside of the peak period times established by the GTAA. Such
activity also constitutes a default by the Licensee under the Licence Agreement. .
14. Operation of Peak Period Vehicles
Peak Period Vehicles bearing GTAA identification (plates and/or decals) operating at the
Airport under the Licence Agreements must only be operated by individuals with a valid
GTAA Approved Driver’s Certificate and must be properly licensed by the municipality
in which the taxicab or limousine is registered. If a Peak Period Vehicle is operated
during the Peak Period Hours by an individual who is not in possession of a valid GTAA
Approved Driver Certificate, municipal license or driver’s license, the GTAA may, at its
discretion terminate the Licence Agreement.
15. Required Level of Service
The GTAA will monitor the performance of the Licensees to ensure that the Peak Period
Vehicles are meeting a minimum of 90% of the posted Peak Period Operating Hours
based on any two (2) consecutive week period. Licensees failing to meet this condition
may at the discretion of the GTAA have their Licence Agreement terminated. Where a
Licence Agreement has been revoked it may be awarded to the next successful applicant
of this RFP.
16. Government Approvals
The Licence(s) shall procure and maintain all licenses, permits, and approvals required by
federal, provincial, municipal or other government authorities (“Government Approvals”)
to enable them to operate a Peak Period Vehicle passenger service concession at the
Airport. In particular, the successful proponent(s) must ensure that a valid municipal
authority from the City of Toronto or the City of Mississauga or other municipality
located in the Greater Toronto Area (provided, however, that such other municipality’s
vehicle licensing, inspection and operating standards for the type of vehicle to be
operated under a Licence Agreement are, in the GTAA’s sole and absolute discretion,
equivalent or superior to those of the City of Toronto or City of Mississauga) exists for
each vehicle operated under the Licence Agreement.
The successful proponent(s), if any, within fifteen (15) days of being notified that its
Proposal has been selected must have obtained all necessary Government Approvals,
failing which, the GTAA may cancel the award of the Licence Agreement and proceed to
select another Proposal. The successful proponent(s) shall provide copies of such
approvals to the GTAA promptly upon request.

17. GTAA Licence Agreement
The successful proponent(s), if any, within fifteen (15) days of being notified that its
Proposal has been selected must sign and deliver to the GTAA the Licence Agreement
(attached to this RFP as Attachment D is the GTAA standard Licence Concession
Agreement), failing which, the GTAA may cancel the award of the Licence Agreement
and proceed to select another Proposal notwithstanding that the successful proponent
has obtained all Government Approvals, described above. No changes to the terms and
conditions of the Licence Agreement will be permitted.
18. Airport Tariffs
The Licensee(s) are required to charge customers for trips from the Airport according to
tariffs established by the GTAA. Attached is the GTAA most recent tariff schedule
(Attachments A, B, & C). The GTAA may, in its sole discretion, change the amounts of
the tariff schedule from time to time.
19. Presentation
Proponents may be requested to make a presentation of their Proposal to the Evaluation
Committee. The exact time, date and location of this presentation will be determined by
the GTAA after the Closing Date.
20. Request For Proposal | Concession Security Deposit
The Licensee(s) must maintain during the term of the Licence, a Concession Security
Deposit in the amount of Five Thousand Dollars ($5,000.00) in the form of a certified
cheque or irrevocable letter of credit (see Schedule 1 attached) which must be submitted
with the signed Proposal submission, failing which, the GTAA may cancel the award of
the Licence Agreement and proceed to select another proponent(s) notwithstanding that
the proponent has obtained all Government Approvals or signed the Licence Agreement,
or both. At the end of contract period the deposit will be refunded after GTAA receives
all transponders, GPS devices or other devices provided by the GTAA and a certificate
confirming the destruction of “GTAA authorized decals” affixed to the vehicles and that
all financial obligations to the GTAA have been met up to and including the Expiry Date
of the Licence Agreement.
21. Net Licence
The Licensee(s) will be responsible for any and all costs to develop and operate its
business. Licensee(s), are not expected or encouraged to purchase or lease new vehicles
operated pursuant to the Licence Agreement.

III. REQUEST FOR PROPOSALS CONDITIONS AND PROCEDURES
1. Schedule
The GTAA anticipates that the following schedule will apply with respect to this RFP
including for the submission of Proposals and the selection and award of the Licence
Agreement(s), if any, pursuant to this RFP:
April 17, 2014 Pre-proposal Briefing
April 25, 2014 Deadline for Questions
May 9, 2014 RFP Closing Date
May 30, 2014 Proposed Award by the GTAA
July 1, 2014 Proposed Commencement Date of Licence
The original proposal, one (1) copy and one (1) electronic copy (USB Flash Drive or
CD) and all other information required by the RFP must be delivered, in a sealed
envelope or package clearly marked with the name and address of the proponent, prior to
the time stated below to the following address:

Peak Period Taxicab and Limousine RFP
The deadline for the submission of proposals is 3:00 PM – Friday, May 9, 2014 (the
“Closing Time”). Proposals transmitted by facsimile or e-mail will not be accepted.
It is the responsibility of each Proponent to ensure that its proposal is received by the
GTAA at the above-noted location on or before the Closing Time. Proposals submitted
after the Closing Time will not be accepted.
Notwithstanding the above, the GTAA reserves the right to postpone the Closing Time by
issuing an addendum at which time all Proponents shall be advised of the revised Closing
Time.
2. Eligibility to Submit Proposal
Affiliate or Associate Status between Interested Proponents
A Proponent may submit, individually or as part of a group, only one (1) Proposal.
In these Specifications:
(a) “Affiliate” means an affiliated corporation within the meaning of paragraph (b);
(b) “Associate” when used to indicate a relationship with any person, means:

(i) a corporation that the person controls in any manner that results in control in
fact, whether directly through the ownership of shares or indirectly through
a trust, a contract, the ownership of shares of any other corporation, a right
to purchase shares or securities convertible into shares or otherwise;
(ii) a partner of the person acting on behalf of the partnership of which that
person is a partner;
(iii) a trust or estate in which the person or any other relative of the person is a
trustee or beneficiary;
(iv) a spouse or child or the person acting or any other relative of the person;
(v) where the person has a spouse or child or has another relative;
(vi) a corporation that the spouse, child or relative controls in any manner that
results in the control in fact, whether directly through the ownership of
shares or indirectly through a trust, a contract, the ownership of shares or
securities convertible into shares or otherwise;
(vii) a partner of the spouse, child or relative acting on behalf of the partnership
of which they are partners, or
(viii) a trust or estate in which the spouse, child or relative has a substantial
beneficial interest in respect of which he serves as a trustee or in a similar
capacity.
(c) For the purposes of this RFP:
(i) one corporation is affiliated with another if one of them is the subsidiary
of the other or both are subsidiaries of the same corporation or each of
them is controlled by the same person; and
(ii) if two or more corporations are affiliated with the same corporation at the
same time, they are deemed to be affiliated with one another.
3. Parties in Litigation or Arrears in Respect of Arrangements with the GTAA
Any person or corporation, or its management, board of directors, owners or related
parties which has commenced or maintains an action, suit or proceedings against, or is in
arrears of any payment with, the GTAA, is not eligible to submit a Proposal, unless
arrangements satisfactory to the GTAA are made in respect of such action, suit,
proceedings or arrears prior to the RFP closing date.

4. Addenda
At any time prior to the Closing Time the GTAA may issue addenda describing any
required additions to, deletions from, alterations or clarifications (collectively the
“Addenda”) to the Request for Proposals. All such Addenda shall become part of the
Request for Proposals.
5. Negotiations
It should be understood that while the GTAA will determine what it believes to be the best
overall acceptable Proposal(s), it is the nature of the RFP process that this will only form
the basis for negotiations and does not mean that such Proposal is necessarily totally
acceptable in its form as submitted. The GTAA reserves the right to negotiate with one or
more proponents in question and as part of that process to negotiate changes, amendments
or modifications to the Proposal as submitted, without offering any, or all, of the other
proponents the right to amend their Proposals.
6. Proponents Interview
Proponents may be required to attend one or more interviews with the GTAA and its
designees to discuss specific issues relative to their Proposal. The GTAA will determine
dates and times of such interviews and invited proponents will be given notice of such at
the appropriate time.
7. Acceptance and Authority to Cancel
Each proponent acknowledges and agrees that by submitting a Proposal that the GTAA:
a) shall not necessarily accept the highest revenue Proposal or any of the
Proposals submitted;
b)
shall have no liability or obligation to any proponent, except to the party (if
any) with whom the GTAA enters into a Licence Agreement in its sole
discretion and then only subject to the terms of such agreement; and
c) shall be fully and forever released and discharged of all liability and
obligation in connection with the Request for Proposals. The GTAA reserves
the right to cancel this Request for Proposals without any liability, obligation
or reimbursement to the proponents.

8. Completion
Proposals must be submitted in accordance with these instructions.
It is the proponents’ responsibility to ensure complete understanding of the Request for
Proposals and all requirements stated therein. If clarification is necessary, Proponents are
advised to contact the GTAA Concessions Office in writing prior to the Closing Time.
By responding to this Request for Proposals, each proponent acknowledges and agrees
that failing to comply with any of the requirements if this Request for Proposals may
result in the disqualification of its Proposal as provided for elsewhere in the Request for
Proposals.
9. Revisions
A Proposal previously submitted in accordance with these instructions may be withdrawn
or revised by letter, facsimile or e-mail provided that such withdrawal or revision is:
a) received at the GTAA office specified above by the Closing Time; and
b) signed by an individual who is an authorized signatory of the Proponent.
10. Proposal Opening
Proposals shall not be opened in public, nor is the GTAA obligated to disclose the
financial and other details of any of the Proposals.
11. Unacceptable Proposals
GTAA shall reject:
(i) proposals received at the office specified after the Closing Time;
(ii) Facsimile or e-mail Proposals;
(iii) Proposals not signed in accordance with the GTAA’s requirement for signature as
described in this Request for Proposals;
(iv) Proposals submitted by Proponents who failed to attend a mandatory Proposal
briefing or site tour (if applicable); and
(v) Proposals submitted by third parties who have not been pre-qualified for this
Request for Proposal (where such pre-qualification has taken place) or who have
not received the Request for Proposal from the GTAA or its authorized agent.
The GTAA may in its sole discretion, accept or reject any other Proposals, including
(without limitation):
(i) Proposals not submitted in the format specified by the GTAA (other than Proposals
not signed as stated above, which shall be rejected);
(ii) Proposals which contain qualifying conditions or otherwise fail to conform to the
Request for Proposals;
(iii) Incomplete Proposals; and

(iv) Proposals not otherwise responsive or not meeting the requirements of this
Request for Proposals.
12. Rights of the GTAA
The GTAA reserves the right in its sole discretion:
i) To consider, accept or reject conditional or alternate Proposals;
ii) To cancel this Request for Proposals;
iii) To reject any or all of the Proposals;
iv) To waive any irregularities in any Proposal; and
v) To elect not to continue with the Request for Proposals process.
13. Nature of Request for Proposals
This Request for Proposals does not constitute an offer of any nature or kind whatsoever
by the GTAA to any or all of the proponents. All costs and expenses incurred by the
Proponents relating to the Proposal process, including (without limitation) the receipt and
review of the Request for Proposals and any Addenda or supplementary information, the
preparation and submission of the Proposal, any post-Proposal submissions or meetings,
the awarding and execution of any Licence Agreement and all any other activities related
in any way to the Proposal process, shall be borne by the proponents. The GTAA is not
liable to pay for such costs and expenses, or to reimburse or to compensate proponents in
any manner whatsoever for such costs and expenses under any circumstances, including
(without limitation) those circumstances described under the heading in “Rights of
GTAA”, rejection of any or all Proposals and the cancellation of this Request for
Proposals at any time.
14. Negotiations
Proposals must be submitted as firm and irrevocable and open for acceptance by the
GTAA at any time during the sixty (60) day period following the Closing Time.
The GTAA reserves the right, at its sole discretion, to enter into discussions or to
negotiate with any proponent or with multiple proponents concurrently or otherwise. In
no event shall the GTAA be required to enter into discussions or negotiations on similar
or other terms with or offer any modified terms to any other proponent prior to entering
into a Licence Agreement. The GTAA shall incur no liability or obligations to any
proponent as a result of such discussions, negotiations or modifications, which and shall
not affect the irrevocability of the Proposal, which Proposal shall remain in full force and
effect until such time as the Proposal is accepted, the Proposal expires or the GTAA and
the proponent agree in writing to extend the validity period of the Proposal.

15. Proof of Insurance
The successful proponent(s), if any, shall, prior to commencement of operations under
the Licence Agreement, furnish to the GTAA certificates of insurance signed by an
authorized representative of the insurer evidencing proof of coverage.
16. Proponents Cost of Proposal Preparation
This RFP does not constitute an offer of any nature or kind whatsoever by the GTAA to
any or all of the proponents. All costs and expenses incurred by the proponents relating to
Proposals will be borne by the proponents. The GTAA is not liable to pay all, or any
portion, of such costs and expenses, or to reimburse or to compensate proponents in any
manner whatsoever for such costs and expenses under any circumstances including the
rejection of any or all Proposals and the cancellation of this RFP at any stage of this
process.
17. Ownership
All Proposals and supplementary material will become the property of the GTAA.
18. Canadian Dollars
All dollar values referenced in these specifications are Canadian Dollars.
19. Disclaimer
It is the responsibility of each proponent to investigate and to be satisfied as to the facts
and conditions prior to submitting a Proposal. All data or information provided herein is
for informational purposes only and the GTAA makes no representations or warranties
and accepts no responsibility for the accuracy or completeness of any information or data
supplied herein.
Proponents are responsible for obtaining their own independent statistical, financial, legal,
accounting, engineering and technical advice on all proposal matters.
20. Use of RFP Specifications
This RFP or any portion thereof shall not be used for any purpose other than the
submission of a Proposal for a Peak Period Vehicle passenger service concession at the
Airport, on the terms set out in this RFP.
21. Confidentiality of RFP
Any information pertaining to the GTAA obtained by proponents as a result of
participating in the RFP process is confidential and must not be disclosed to any person
without the prior written authorization of the GTAA.

22. Release of Information
After award of any Licence Agreement, upon written request to the GTAA, the only
information that will be released is the name of the successful proponent(s) with whom the
GTAA has entered into a Licence Agreement(s).
23. Other Proposal Conditions
Proponents are advised to pay special attention to statements contained in this
document using the obligatory terms “must”, “required” or “shall”. The statements
indicate compulsory elements, which must be addressed and complied with in your
proposal submission.
Should any discrepancy exist between both this RFP document and Attachment D,
the Concession Licence, the latter shall prevail.

GTAA will be sent to all recipients of the RFP specifications. The final date for questions
to be received from proponents is April 25, 2014. Oral questions will not be answered
other than at the Pre-proposal Briefing.

IV. PROPOSAL REQUIREMENTS AND SUBMISSION SCHEDULES
Proponents must submit one signed (1) original, one (1) copy and one (1) electronic
copy (USB Flash Drive or CD) of their Proposal including all of the following items and
documents organized and tabulated in the following order:
1) Executed Proposal Affidavit;
2) Business and Financial References;
3) Experience and Qualifications Statement;
4) Organizational Data (including proof of company incorporation and current
existence) and Financial Statements;
5) Methods of Management and Operation Plan;
6) Fleet Vehicles description;
7) Financial Proposal; and
8) Copies of criminal background checks/reports dated no earlier than 2013,
with respect to (i) the officers and directors of the Proponent, and (ii) the
proposed drivers and obtained from the police department in the community
in which such individuals reside.
It is understood that Proposals that are not accompanied by all of the above documents
will be considered incomplete and may be rejected.
1. Executed Proposal Affidavit
Proponents must include an executed Proposal Affidavit in the form of Schedule 1
(Attachment F). Alterations, additions and/or modifications to the form or affidavit will
not be accepted and will be cause for rejection of the Proposal.
2. Business and Financial References
The proponents should list the names of three business references and three financial
references related to their business operations during the past three years. Proponents
should use the format shown in Schedule 2 (Attachment F) for each reference.
The GTAA reserves the right to contact people other than those provided regarding
background and experience of the Proponents.
3. Experience and Qualifications Statement
Proponents should explain in detail the number of years and extent of Proponent’s Peak
Period Vehicle for hire service experience, with special emphasis upon prior experience
with the operation and management of facilities at airports or major transportation
centers. With respect to any proponent incorporated by drivers, the Proposal should
identify the experience of the proponent’s managers and drivers in providing a Peak
Period Vehicle for hire service proponents should also provide resumes and details on the
relevant experience of persons who will be directly involved in the management of this
type of opportunity including, specifically, on-site manager(s).

This section of the Proposal should include the following information about the
Proponent (and its drivers) and be presented in the form of Schedule 3 (Attachment F):
Names of taxicab or limousine services operated by the Proponent in the prior three
years;
Size of the proponent’s existing taxicab or limousine fleet;
Description of the services;
Sales volume of existing operations, listed by service category, for the past three
years;
History of taxicab or limousine experience including any Peak Period Vehicle for hire
services experience;
Number of employees in total;
Other information that supports Proponent’s experience as it pertains to the Proposal
In addition please provide detailed information on proponent’s resources i.e.
driver’s pool and how and why drivers are hired; and
The Proposal must include the name and title of the officers and directors of the
Proponent.
4. Organizational Data and Financial Statements
Proponents must submit to the GTAA the following information in the form of Schedule
4 (Attachment F):
Organizational Data
This section of the Proposal should include a legal description of the Proponent, and
other relevant information including any Articles of Incorporation and the latest Annual
Filing showing current Director and Officers.
Financial Statements
Include a Balance Sheet, Income Statement, Statement of Cash Flows and footnote
disclosure, prepared in accordance with generally accepted accounting principles, for the
current fiscal year-to-date, and the most recent three complete fiscal years. If available,
financial statements audited or certified by an independent certified public accountant
should be submitted; otherwise, a notarized statement certifying the accuracy of the
financial information and signed by duly authorized officer of the Proponent must
accompany the financial information. Include a pro forma Income Statement and
Statement of Cash Flow for the three (3) year Term of the Licence Agreement.
The GTAA reserves the right to obtain, at no cost to the proponent, a Dun and Bradstreet
financial report, or other credit report, on the proponent and its affiliates and related
entities, if any, to facilitate its financial evaluation of the Proposal.

5. Methods of Management and Operation Plan
The GTAA is committed to providing excellent service to our passengers through various
initiatives including, Passenger Surveys, Mystery Shopper Programs and regular audits.
Proponents should describe, in detail, their customer service plan including the following
in the form of Schedule 5 (Attachment F):
a) Staffing Plan
Staffing plan to include the number of management and non-management
employees (including drivers) and the shifts to cover the operating hours
b) Customer Service Philosophy and Programs
A description of proponent’s goals with regard to customer service including
examples of customer service surveys and the proposed customer service survey
program’s frequency of use, data analysis methodology, and sample summary
reports;
Employee training programs;
Employee Policy Manual, including drug and alcohol policies;
Policy regarding operating hours and flexibility of schedule for servicing travelers
on unscheduled or delayed flights;
Plans for service to persons with disabilities; and
Procedures for handling customer complaints.
c) Service
Describe the drivers proficiency in the English language including other
languages (see under the heading “Peak Period Vehicle Drivers” for more
information on English language proficiency assessment and training);
Outline any training or certification programs required by the proponent regarding
customer services such as sensitivity training or defensive driving and whether
drivers have completed such programs;
Describe the actions that the proponent and drivers will take to provide good
customer service; and
Describe the proponent’s Peak Period Vehicle dispatch services for the Airport in
detail.
d) Fuel
Describe the fuel source for the Peak Period Vehicles; including the use of
alternative fuels or hybrids.

e) Maintenance Plan
Policy for maintenance and repairs of Peak Period Vehicles
Frequency of cleaning and trash disposal

6. Fleet Vehicles
Describe the Peak Period Vehicles which will be used at commencement of the Licence
Agreement (age, fuel source, make, model etc.). Proponents must ensure that the
vehicles meet the requirements described in Schedule “A” of the Licence Agreement.
Please specify whether vehicles will be directly owned or leased by the Proponent. Outline the details requested above on Schedule 6 (Attachment F).
7. Financial Proposal
State the Per Trip Fee that the proponent proposes to pay to the GTAA during the Term
of the Licence Agreement on Schedule 7 (Attachment F).
8. Insurance Requirements
Insurance – Letter from Insurance Broker stating willingness to provide comprehensive
general liability insurance in accordance with the Licence Agreement.
9. Driver Agreements
Where the successful proponent(s), if any, will own or lease/licence the vehicles, describe
in detail the proposed agreement with the drivers who will drive under the Licence
Agreement; including, but not limited to, a list of the fees to be paid by the drivers.

V. EVALUATION GUIDELINES AND CRITERIA
The following Guidelines will be considered in the evaluation of Proposals. Selection
will be based upon the sole judgment of the GTAA using the following Guidelines:
1. Experience and Qualification of Proponents
Company organization;
Number of years experience of the Proponent as well as its managers and drivers in
the taxicab or limousine business, including Peak Period Vehicle for hire industry or
any airport related business; and
Professional references.
2. Past Performance to be Considered
The GTAA may refer to previous Peak Period service level performance where
information exists; and
Where Proponent has no previous Peak Period experience with the GTAA, the
Proponent(s) must provide detailed substantiation indicating their service levels under
similar conditions.
3. Management of Operation and Customer Service
Corporate operating and customer service philosophy and policy and programs;
Proposed management team and structure for set-up and ongoing operation of the
Peak Period Vehicle passenger service concession;
Proposed method of operation with respect to the handling of money and payments;
Drug and alcohol policy;
Other services offered beyond the GTAA’s mandatory requirements;
Maintenance and repairs of vehicles;
Internal audit and security system for revenue control and handling of cash and
payments by staff;
Acceptance of credit cards, debit cards and cash;
Plans for scheduled maintenance and cleaning of vehicles and uniforms;
Plans regarding garbage refuse disposal and recycling;
Policy regarding flexibility of schedule for servicing travelers on unscheduled or
delayed flights;
Staffing policy, hiring, training and motivational programs;
Ease of access-egress for customers and staff and plans for service to persons with
disabilities;
Procedures for handling customer complaints;
Staffing levels and schedules;
Staffing and customer services programs, philosophies and training;
Airport familiarization programs and other staff training related to airport operations;
Methods to monitor customer service;
Staff uniforms, dress code, corporate staff identifiers, if applicable;
Replacement of equipment;
Dispatch services;
Vehicle (age, fuel source, make, model etc.);

Fuel (fuel source for the vehicles including the use, if any, of alternative fuels or

5. Financial Proposal - Peak Period Vehicle Per Trip Fee payable to the GTAA
6. Completeness and Comprehensiveness of the Proposal
The GTAA will also consider the past performance of the Proponent, and their
constituent individuals and drivers or entities as applicable, on other contracts with the
GTAA or other entities in terms of quality of work and compliance with performance
schedules.
7. Other
In addition to the above Guidelines, the GTAA may consider any other criteria it deems
appropriate in evaluating the Proposals.

GENERAL TERMS AND CONDITIONS
1. INTERPRETATION
1.1. DEFINITIONS
In this Licence all capitalized terms shall have the meaning ascribed thereto in this Section 1.1:
“Airport” means Toronto Pearson International Airport (as the same may from time to time be altered,
diminished, reconstructed or expanded);
“Airport Operations Bulletins” means all directives and other notices issued from time to time by the
GTAA relating to the management, maintenance and operation of the Airport and that form part of the
Rules and Regulations;
“Approved Driver Certificate” (the “ADC”) means the document issued by the GTAA evidencing that the
individual named therein has satisfactorily passed the designated examination administered by the GTAA
and is thereby permitted to drive a Peak Period Vehicle;
“Automated Vehicle Identification System Transponder Reference Guide” means the document (as
may be amended, restated, or replaced from time to time) describing the use and operation at the Airport of
an AVI Transponder;
“AVI Transponder” shall have the meaning given that term in Section 2.1(2);
“Change of Control” means in the case of the Operator the transfer or issue by sale, assignment,
subscription, transmission on death, mortgage, charge, security interest, operation of law or otherwise, of
any shares, voting rights or interest which would result in any change in the shareholders, or members, or in
the effective control or the continuity of management and the business practices of the Operator unless such
change occurs as a result of trading in the shares of the Operator listed on a recognized stock exchange and
then only as long as the GTAA receives assurances reasonably satisfactory to it that there will be continuity
of management and of the business practices of the Operator notwithstanding such Change of Control;
“Concession Security Deposit” shall have the meaning given that term in Section 3.4;
“Commercial Vehicle Holding Area” means the area located at 6288 Terminal Three Road at the Airport
at which all taxicab and limousines including Peak Period Vehicles operated hereunder are staged before
being dispatched by the GTAA to the Terminal Buildings, or such other area as may be determined by the
GTAA from time to time, and which area includes the GTAA’s commercial vehicle administrative
processing offices;
“Driver” means an individual who holds a valid ADC and who drives a Peak Period Vehicle in accordance
with this Licence;
“Driver’s Licence” means a licence, to operate a motor vehicle, issued under the Highway Traffic Act
(Ontario);
“Fee” means the Per Trip Fees as described in Section 3.1;
“GTAA” means Greater Toronto Airports Authority;

“GTAA’s Option to Extend” means the GTAA’s option to extend the Term of the Licence for a maximum
of two (2) one (1) year periods on the same terms and conditions as contained herein, except that the GTAA
shall have the right to fix and determine the Fees and other charges for each such period of extension. The
GTAA may exercise this option by notice to the Operator, such notice to be given not less than six (6)
months before the end of the original Term or first such extension period, as applicable (the “GTAA’s
Notice”). The Operator shall have sixty (60) days from the date of the GTAA’s Notice to accept or reject
the extension of the Term. If the Operator accepts an extension, the Operator shall execute an amendment
to this Licence providing for the extension, and the Fees and other charges as then fixed and determined by
the GTAA. If the Operator rejects the extension, the Term shall end in accordance with the provisions set
out herein and the Operator shall comply with all provisions of this Licence dealing with the expiration or
sooner determination of this Licence as the case may be;
“GTAA Parties” shall have the meaning given that term in Section 7.1;
“Ground Lease” means the lease of the Airport between Her Majesty the Queen in Right of Canada as
represented by the Minister of Transport (the “Landlord”), and the GTAA, as tenant, made as of the 2nd
day
of December 1996, as may be restated, supplemented or amended from time to time;
“Licence” means this Licence and all schedules hereto, as may be amended, restated or supplemented from
time to time;
“Licence Year” means a period of twelve (12) months where the first such Licence Year commences on the
first day of the first full calendar month of the term of the Licence and ends on the last day of the calendar
month in which the anniversary date of the first day of the term of this Licence occurs and every twelve (12)
month period thereafter during the Term;
“Peak Period Operating Hours” means the hours, days and months determined by the GTAA as set forth
in Schedule “F” during which the Operator shall provide the Services in accordance with this Licence
attached hereto as amended from time to time;
“Peak Period Vehicle” means a taxicab or limousine owned or leased by the Operator that complies with
the requirements and specifications described in Schedule “C” attached hereto, that is used to provide the
Services during the Peak Period Operating Hours and that is registered with the GTAA as provided herein;
“Operator” means the Operator set out on the face page of this Licence and its permitted assigns. Any
reference to “Operator” includes, where the context allows, the directors, officers, servants, employees,
contractors, agents, invitees and licensees of the Operator and all other Persons over whom the Operator
may reasonably be expected to exercise control or is in law responsible;
“Person” includes any individual, company, corporation, partnership, limited partnership, firm, trust, sole
proprietorship, organization, association, government or government agency, authority or entity, however
designated or constituted;
“Plate” means a plate, card, sticker or other device provided by the GTAA to be affixed to each Peak
Period Vehicle as provided in this Licence;
“Proposal” means the proposal submitted by the Operator pursuant to the Request for Proposals with
respect to operating a for hire passenger transportation service using Peak Period Vehicles and incorporated
into this Licence as Schedule “E” attached hereto;
“Request for Proposals” means the request for proposals Peak Period Vehicles dated April 1, 2014 issued
by the GTAA and in accordance with which this Licence is awarded to the Operator;

“Rules and Regulations” means all rules, regulations, codes, policies and Airport Operations Bulletins
promulgated by the GTAA from time to time in respect of all aspects of the Airport’s operations as the same
may be amended, restated or supplemented from time to time;
“Services” means the provision by the Operator of a for hire motor vehicle transportation service using
Peak Period Vehicles during the Peak Period Operating Hours to transport passengers from the Terminal
Buildings in accordance with the provisions of this Licence;
“Term” means the period of time set out on the face page of this Licence;
“Terminal Buildings” means Terminal 1 and Terminal 3 at the Airport and any new terminal building (and
related structures, fixtures and improvements) as the same may be replaced, demolished, expanded or
renovated from time to time; and
“Transfer” means an assignment or transfer of this Licence in whole or in part, any transaction, including a
sub-licence, whereby any of the privileges of the Operator under this Licence are transferred to another, any
transaction or occurrence whatsoever (including, but not limited to, expropriation, receivership proceedings,
seizure by legal process and transfer by operation of law) which has changed or might change the identity of
the Operator described on the face page of this Licence upon whom the privileges granted pursuant to this
Licence have been conferred and includes a Change of Control.
2. OPERATOR COVENANTS
2.1 GENERAL COVENANTS
(1) In connection with providing the Services pursuant to this Licence, the Operator shall:
(a) operate INSERT NUMBER OF VEHICLES AS AWARDED Peak Period Vehicles in
providing the Services. The Operator shall be the registered owner under the Highway
Traffic Act (Ontario) of each such Peak Period Vehicle. Upon request of the GTAA, the
Operator shall provide the GTAA with documentation satisfactory to the GTAA
confirming that the Operator is the owner as described above. In addition, the Operator
shall register with the GTAA the Operator’s Peak Period Vehicles by providing the
information described in Schedule “A” hereto. The Operator shall ensure that at all times
during the Term not less than INSERT AMOUNT AS AWARDED Peak Period
Vehicles are in operation providing the Services only during the Peak Period Operating
Hours;
(b) comply with all of the provisions contained in the following schedules attached to this
Licence each of which shall form an integral part hereof:
Schedule “A” - Vehicle Registration;
Schedule “B” – Fees;
Schedule “C” – Vehicle Requirements;
Schedule “D” – Driver Obligations;
Schedule “E” – Proposal submitted by Operator;
Schedule “F” – Peak Period Operating Hours; and
Schedule “G” –GTAA approved Taxicab and Limousine tariffs.
(c) provide the Services in accordance with its Proposal, incorporated by reference herein,
and this Licence;
(d) ensure that its Drivers comply with the provisions contained in Schedule “D” – Driver
Obligations – attached to and forming an integral part of this Licence;

(e) with respect to every Peak Period Vehicle trip that commences at the Airport, ensure that
no passenger pays an amount greater than the fare described by the GTAA’s then
approved tariff attached hereto as Schedule “G” as amended from time to time;
(f) not commit, nor permit to be committed, any act that is contrary to, avoids, or has the
effect of circumventing the intent, purpose, and spirit of the AVI Transponder system;
(g) not commit, nor permit to be committed, any waste upon, or damage to, the Airport or any
nuisance or other act or thing which in the GTAA’s opinion disturbs the operations of the
Airport, the operation of any Airport tenants, other licensee or occupants or the traveling
public at the Airport and not perform any acts or carry on any practices which may
damage the Airport or any part thereof; and
(h) not do, nor permit to be done, any act in or about the Airport which, in the GTAA’s
opinion, (i) hinders or interrupts the flow of vehicle or pedestrian traffic to, in and from
the Airport, or (ii) in any way obstructs the free movement of Persons using or doing
business at the Airport.
(2) The Operator shall not operate any Peak Period Vehicle that does not have securely affixed to it a
Plate and/or an automated vehicle identification and/or tracking device (collectively an “AVI
Transponder”). The Plate and AVI Transponder are the property of the GTAA and shall be
returned, without delay, by the Operator to the GTAA on the expiration or termination of this
Licence.
(3) Immediately upon becoming aware that any Peak Period Vehicle has an inoperative or
malfunctioning AVI Transponder, the Operator shall cease to operate such Peak Period Vehicle
and shall immediately obtain a replacement transponder from the GTAA.
(4) Upon request of the GTAA, the Operator shall forthwith permit access to any Peak Period Vehicle
for the purposes of inspecting or replacing an AVI Transponder. Except as authorized by the
GTAA, the Operator shall not remove, modify, alter, tamper with, or attempt to repair an AVI
Transponder, and under no circumstances shall the Operator interfere with, disrupt or impede an
AVI Transponder’s electronic signal or operation.
(5) The Operator shall comply with any directive issued by the GTAA restricting the number of trips
per hour by Peak Period Vehicles to a Terminal Building.
(6) Upon request of the GTAA, the Operator shall forthwith provide in writing information describing
the type, and amount of, all fees, costs, expenses and charges that are required to be paid by each
Driver to the Operator. The GTAA will make this information available to other Peak Period
Vehicle licensees, their drivers and other taxicab and limousine operators and drivers at the
Airport.
2.2 COMPLIANCE WITH LAWS AND RULES AND REGULATIONS
In connection with its use of the Airport pursuant to this Licence, the Operator shall, at its sole cost and
expense, and in all respects, promptly abide by and comply with:
(a) all applicable laws, statutes , regulations, by-laws, directives and rules which pertain to, or in any
manner affect, the Airport and the business operations of the Operator at the Airport in providing
the Services; and
(b) all regulations and directives issued by the GTAA in connection with the management and
operation of the Airport including, without limitation, the Rules and Regulations, all Airport

Operations Bulletins issued from time to time and the Automated Vehicle Identification System
Transponder Reference Guide.

2.3 LICENSES, PERMITS, ETC.
The Operator shall procure and maintain, at its sole cost and expense, such licenses, permits, certificates or
approvals from all relevant governmental and other authorities and such private permits as may be
necessary to enable the Operator to provide the Services, and promptly pay or cause to be paid all rates,
taxes and assessments that may at any time during the Term be lawfully imposed in order to maintain in
good standing such licenses, permits, certificates or approvals. The Operator shall provide to the GTAA a
copy of any such licenses, permits, certificates or approvals upon request.
2.4 RECORDS
Pursuant to the Ground Lease, the GTAA must ensure that Persons deriving business from the Airport
maintain and submit records, as described in the Ground Lease, including monthly and yearly audited
statements and, if requested, a profit and loss statement relating to such Person’s business and operations at
the Airport (collectively, the “Record Provisions”). However, the Landlord has agreed that, provided an
AVI Transponder is installed in every Peak Period Vehicle, the GTAA will not be required to obtain from
the Operator the information described in the Record Provisions. Notwithstanding the above, if directed by
the GTAA, the Operator shall promptly do all things as are necessary to enable the GTAA to comply with
the Record Provisions or any part of the Record Provisions.
3. FEE AND SECURITY DEPOSIT
3.1. CONCESSION FEE
(1) The Operator hereby covenants with the GTAA that the Operator shall, during the Term, pay to the
GTAA the fees hereby reserved, in the manner herein provided, in lawful money of Canada,
without any prior demand therefore and without any deduction, abatement, set-off or compensation
whatsoever, such payment to be delivered to:

or at such other address as the GTAA may from time to time designate.
(2) In accordance with Section 3.1(1) herein, during the Term of this Licence the Operator shall pay to
the GTAA a fee in the amount described in Schedule “B” hereto whenever a Peak Period Vehicle
exits the Commercial Vehicle Holding Area (the “Per Trip Fees”), whether or not the Peak Period
Vehicle stops to pick up a passenger(s) at the Terminal Building. The information transmitted by
an AVI Transponder as recorded in the GTAA’s records shall be final and binding on the parties
hereto subject to any manifest error. Such Per Trip Fees shall be paid within thirty (30) days of the
date of an invoice sent to the Operator. If a Peak Period Vehicle is operated at any time without a
properly functioning AVI Transponder, the GTAA may estimate the number of trips operated by
such vehicle for purposes of calculating the Per Trip Fees payable by the Operator.

3.2 TAXES
The Operator shall pay to the GTAA any tax lawfully imposed on any payment receivable by the GTAA
hereunder by any government authority or taxing authority having jurisdiction.
3.3 INTEREST ON PAYMENT IN DEFAULT
Interest will be charged to the Operator on a monthly basis, commencing after the due date, on all overdue
amounts one and a half (1.5%) per cent per month.
3.4 SECURITY DEPOSIT
(1) Upon execution of this Licence, the Operator shall have deposited with the GTAA a security
deposit in the amount of Five Thousand Dollars ($5,000.00) (the “Concession Security Deposit”).
(2) The Concession Security Deposit shall be retained by the GTAA for the term of this Licence or
until the Licence otherwise comes to an end, whichever comes first, and subject to the remainder
of this Section 3.4, shall be returned to the Licensee or shall be credited to its account. If the
Licensee fails to pay all Fees and any other sums described in this Licence when due and/or
impairs or damages the Airport, or, the Terminal Buildings during the Term, the GTAA may apply
the Concession Security Deposit to the arrears of sums and/or damages and injuries. If the
Concession Security Deposit is so applied by the GTAA, then within fifteen (15) days of having
received written notification, the Licensee shall restore the Concession Security Deposit to the
original amount stipulated in Section 3.4(1). The application of the Concession Security Deposit
and interest by the GTAA shall not constitute a waiver nor in any way defeat or affect the rights
and remedies, which the GTAA has pursuant to this Licence or at law.
(3) The Licensee agrees that monies deposited herein as security are not subject to any existing
encumbrance, charge or security agreement.
(4) The Licensee covenants and agrees that it will not assign or encumber nor attempt to assign or
encumber the monies deposited herein as security and that the GTAA shall not be bound by any
such assignment, encumbrance, attempted assignment or attempted encumbrance.
4. INSURANCE
In connection with its operations pursuant to this Licence the Operator shall maintain, at its sole cost and
expense, and keep in full force and effect throughout the entire Term of this Licence Motor Vehicle
Liability Insurance and General Liability Insurance. The Motor Vehicle Liability Insurance shall include
non-ownership use and all like risks, in a combined amount of not less than two million ($2,000,000.00
CDN) dollars per accident for bodily injury (including death), and property damage on each Peak Period
Vehicle that the Operator, or any of its servant, contractors, drivers, agents or employees may use at any
time in connection with this Licence. The policy shall include passenger hazard liability. The General
Liability Insurance shall cover the operations of the Operator and shall not be less than $2,000,000 per
occurrence and shall include bodily injury (including death), property damage liability, personal injury,
contractor’s protective liability, employer’s liability and non-owned automobile. The General Liability
Insurance shall not contain exclusion for the insured to operate at an Airport and shall name the GTAA as
an additional insured. Each policy shall be endorsed to provide the GTAA with at least ten (10) days notice
in writing of any cancellation, expiration or variation in the amount of the policy. A certificate of insurance
setting out the terms and limits of coverages in a form satisfactory to the GTAA shall be filed with the
GTAA prior to the issuance of a Licence. The Operator shall not provide any of the Services until proof of
satisfactory insurance has been provided to the GTAA.

5. CONDUCT OF BUSINESS COVENANTS
5.1 GENERAL OPERATING COVENANTS
(a) The Operator shall ensure that INSERT AMOUNT AS AWARDED Peak Period Vehicles are in
operation providing the Services during the Peak Period Operating Hours.
(b) The Operator shall not, and shall ensure that its Drivers do not, provide the Services except during
the Peak Period Operating Hours.
(c) Passenger demand during the Peak Period Operating Hours is seasonally affected and will vary
month to month. The GTAA will use reasonable efforts to provide, if possible, advance notice to
the Operator of changes in the Peak Period Operating Hours. The Operator acknowledges that
unplanned, ad hoc or additional passenger demand in excess of any monthly forecast may occur at
any time requiring the GTAA to change the Peak Period Operating Hours. Within a maximum of
one (1) hour of receiving notice from the GTAA of any change in the Peak Period Operating
Hours, the Operator shall adjust its provision of the Services to comply with such changes.
(d) At any time, the GTAA may in its sole discretion change the Peak Period Operating Hours
including, without limitation, by changing the duration of such hours on any day, designating
portions of any day to be peak periods, eliminating peak periods on any day, designating any
month or months, or portions thereof, to be peak periods or eliminating such designation, to ensure
the operational efficiency of the Airport. The GTAA will use reasonable efforts to provide, if
possible, advance notice of any such changes, provided, however, the Operator shall promptly
comply with any such change regardless of whether any advance notice is provided.
(e) The Operator shall provide the Services to meet the needs of the traveling public regardless of
weather conditions, including without limitation winter storms.
5.2 DRIVERS AND PERSONNEL
(1) The Operator shall make available such of its employees, contractors and other personnel (who
shall not for any purpose be, or be deemed to be, the employees of the GTAA) as shall be
necessary or desirable for the performance by the Operator of its obligations under this Licence.
In that respect, the Operator shall:
(a) comply with all obligations to or in respect of its employees, contractors and personnel
referred to in this section including compliance with all employment standards, human
rights, health and safety, labour relations, workers compensation, pay equity and
employment equity legislation and all other legislation applicable to its employees,
contractors and other personnel;
(b) conduct all aspects of its labour relations so as to promote positive relations with its
employees, contractors and other personnel and make every effort to avoid any type of
labour disruption;
(c) promptly remit employment insurance, Canada Pension Plan, employer health tax and
workers compensation payments and provide satisfactory evidence thereof to the GTAA
as and when requested by the GTAA;
(d) make all other payments to or on behalf of its employees, contractors and other personnel
in a timely manner and in accordance with its contractual and statutory obligations;

(e) ensure that its employees, contractors and other personnel are competent and properly
trained and supervised to perform their duties in a safe and efficient manner and work in
compliance with all applicable laws, rules and regulations; and
(f) ensure that all contractors and their employees and sub-contractors carry out the above
described obligations.
(2) The Operator shall register with the GTAA not more than four (4) Drivers to operate each Peak
Period Vehicle by providing the information described in Section 5.2(5).
(3) In the event that a judicial, or quasi-judicial, tribunal rules, after all of appeals, if any, have been
exhausted, that the Operator has with respect to any Driver, or Drivers, engaged in or resorted to
economic duress, undue influence, coercion or intimidation, the GTAA may suspend or cancel this
Licence.
(4) The Operator shall not permit a person who does not hold a valid ADC and Driver’s Licence to
drive or operate at any time a Peak Period Vehicle. The Operator shall ensure that its Drivers
comply with the provisions set out in Schedule “D” hereto.
(5) The Operator shall provide to the GTAA the following information about its Drivers:
(a) his or her name;
(b) photocopy of his or her Driver’s Licence, including classification confirming that he or she is
qualified to operate the type of vehicle described in Schedule “C” attached hereto; and
(c) proof that he or she is covered by the Operator ’s insurance as described in Section 4.
(6) The Operator shall notify, in writing, the GTAA if any Driver has been forbidden to drive, is
terminated or changed, or if any change occurs in the information described in Section 5.2(5)
within seven (7) days of each such event. Prior to collecting, using and disclosing to the GTAA
the information described in Section 5.2(5), the Operator shall comply with applicable privacy
legislation including, without limitation, the Personal Information Protection and Electronic
Documents Act, as amended from time to time.
(7) The Operator shall not permit any of its employees, agents, contractors, Drivers or those for whom
it is in law responsible who is convicted of an offence relating to airport security or, in the
GTAA’s sole opinion, acts or has engaged in activities contrary to public safety or security to be
employed or retained by the Operator in connection with any of its operations at the Airport.
(8) The Operator shall ensure that its employees, agents, contractors, Drivers and those for whom it is
in law responsible while on Airport premises conduct themselves, in a safe and proper manner.
The Operator shall ensure that every Driver and any other person involved in providing the
Permitted Services complies with this Licence and the Rules and Regulations.
(9) The GTAA reserves the right to require that each Operator ensure that its Drivers demonstrate oral
proficiency in the English language and, if necessary to achieve such proficiency, to complete an
English language training course approved by either the GTAA or the City of Mississauga.
Drivers must successfully complete such course within one (1) year of the date specified by the
GTAA bringing this provision into effect. Failure to enroll in and successfully complete the course
as required will result in the suspension or cancellation of the Driver’s ADC in accordance with the
Rules and Regulations.

5.3 CURRENCY, CREDIT AND DEBIT CARDS
(1) The Operator shall accept U.S. currency in payment of the Permitted Services at an exchange rate
for cash transactions which will not vary by more than two (2) percentage points from the “buy”
rate set by the Canadian Imperial Bank of Commerce, or such other bank as determined by the
GTAA.
(2) The Operator shall accept VISA and Master Card and, if required by the GTAA, debit cards in
payment of the Permitted Services. Subject to Section 5.3(3), whenever a passenger uses a credit,
charge or debit card to pay a Peak Period Vehicle fare every Operator shall ensure that the receipt,
stub or voucher generated by such payment is not used in a manner, or for a purpose, that would
result in the passenger’s regular credit, charge or debit card billing statement identifying the name
of a business other than that of the Operator or its business or trade name.
(3) The Operator shall not, directly or indirectly, on Airport premises engage in nor permit and ensure
that Drivers do not engage in the purchase, sale, discount, exchange or transfer of any record or
document, including without limiting the generality of the foregoing, a receipt, stub or voucher,
related to a passenger’s use of a credit, charge or debit card in payment of any Services, except to
any concessionaire designated by the GTAA and who is authorized by the GTAA to engage in
currency transactions at the Airport.
5.4 VEHICLE INSPECTIONS AND REPORTS
(1) Within two (2) Business Days of any request from the GTAA, an Operator shall provide to the
GTAA a new motor vehicle inspection report as described in applicable provincial laws and
regulations with respect to its Peak Period Vehicles operated hereunder.
(2) Every Operator shall present its Peak Period Vehicle operated hereunder for inspection by the
GTAA when required by a GTAA Public Safety Inspector (Groundside) or such other person as
designated by the GTAA. No Operator shall at any time when a Peak Period Vehicle is located in
a Commercial Vehicle Holding Area prevent or hinder such Public Safety Inspector, or such other
person, from inspecting the Peak Period Vehicles .
(3) A GTAA Public Safety Inspector (Groundside), or other person designated by the GTAA, who
believes that a Peak Period Vehicle or its equipment is mechanically defective or not in
compliance with the provisions of this Licence shall give the Operator or Driver a notice in writing
requiring the Peak Period Vehicle to be submitted for inspection by a certified mechanic within
two (2) Business Days of the date of such notice and the Operator shall not permit the Peak Period
Vehicle to be operated in providing the Services until all necessary repairs or deficiencies
indicated by such inspection have been effected or rectified.
(4) If an Operator fails to comply with the requirements of Section 5.4(2) or (3), the GTAA may
immediately revoke the Plate and/or AVI transponder issued in respect of the Peak Period Vehicles
and may amend Schedule “B” hereto and de-register such vehicles until such time it has been
presented, inspected, tested and approved as provided herein.

6. DEFAULTS
6.1 DEFAULT AND REMEDIES
Upon the occurrence of any one or more of the following:
(a) the Operator defaults in the payment of any portion of any fees, charges or other sum imposed
pursuant to this Licence and such default continues for a period of five (5) days after written notice
by the GTAA to the Operator that such amount has become due and payable; or
(b) the Operator fails to maintain the currency and validity of any approval, certificate, permit, licence
or insurance required by this License or without which it is not legally entitled to perform the
Services at the Airport; or
(c) the Operator fails to observe or perform any of its covenants or agreements hereunder (other than
as described in (a) and (b) of this Section 6.1) and such default continues for a period of thirty (30)
days after written notice by the GTAA to the Operator specifying with reasonable particularity the
nature of such default and requiring the same to be remedied; or
(d) the Operator fails to observe or perform any of its covenants or agreements hereunder and such
failure is, in the reasonable opinion of the GTAA, not capable of being cured; or
(e) the Operator fails to comply with any obligation in the Rules and Regulations in accordance with
its terms; or
(f) the Operator fails to pay any amounts due under, or is otherwise in default under, any other
agreement or arrangement between the GTAA or an affiliate (as that term is defined in the Canada
Business Corporations Act) and the Operator and such failure continues beyond any notice and/or
cure period required to be and actually given by the GTAA or such affiliate to the Operator
pursuant to such other agreement or arrangement;
then without prejudice to any other rights which it has pursuant to this Licence or at law, the GTAA shall
have the following rights and remedies, which are cumulative and not alternative:
(a) to require the Operator to cease providing the Services until such time as the GTAA is satisfied
that the relevant default has been cured, if capable of being cured;
(b) to terminate this Licence by notice to the Operator;
(c) to remedy or attempt to remedy any default of the Operator under this Licence for the account of
the Operator; and
(d) to recover from the Operator all actual and documented damages and expenses whether direct,
indirect or consequential incurred by the GTAA as a result of any breach of this Licence by the
Operator.

7. INDEMNITY
7.1 CLAIM OR DEMAND
The Operator acknowledges and agrees that the GTAA, its directors, officers, servants, employees,
contractors and agents (the “GTAA Parties”) shall not be liable or responsible in any way to the Operator or
any other Person for any injury arising from or out of any occurrence in, upon, at or relating to the Airport
or any part thereof or any loss or damage to property (including loss of use thereof) of the Operator or any
other Person located in the Terminal Building or any part thereof from any cause whatsoever in connection
with the Operator’s operations pursuant to this Licence, except to the extent that such injury, loss or damage
results from the negligence of the GTAA or the GTAA Parties.
7.2 INDEMNITY
The Operator shall indemnify, defend and hold harmless the GTAA and the GTAA Parties from and against
any and all loss, damages, costs (including, without limitation, any professional, consultant and legal fees on
a solicitor and his own client basis that may be incurred or paid by or on behalf of the GTAA or the GTAA
Parties in connection with any litigation commenced by or against the Operator in connection with anything
contained in this Licence), claims, actions, proceedings, expenses, demands, suits, judgments and liability
whatsoever at any time, incurred or accrued by the GTAA or the GTAA Parties as a result of or arising out
of the operations of the Operator under this Licence, or acts, omissions, non-performance, use, occupancy
or operations of the Operator on, about or related to the Airport or any part thereof, provided that such
obligation to indemnify and hold harmless shall not extend to any such loss, damages, costs, claims, actions,
proceedings, expenses, suits, judgments or liability to the extent the same results from the negligence of the
GTAA or the GTAA Parties.
7.3 PAYMENT FOR DAMAGE CAUSED BY THE OPERATOR
Notwithstanding any other terms, covenants and conditions contained in this Licence, if at any time or times
hereafter any damage or injury should be occasioned to the Airport or the Terminal Building, or any part
thereof, or to any works of the GTAA on the Airport, by reason of or on account of the operations of the
Operator hereunder then, and in every such case, the Operator shall, upon receipt of an invoice therefore,
pay to the GTAA all amounts incurred in connection with repairing, rebuilding and restoring the damage or
injury caused by the Operator in good, sufficient and workmanlike manner.
8. TRANSFERS
The Operator shall not permit any Transfer without first obtaining the prior written consent of the GTAA,
which consent shall not be unreasonably withheld.
9. AMENDMENTS
The GTAA and Operator agree that the GTAA may from time to time, in its discretion, acting reasonably
and after having consulted with the Operator, amend the terms of this Licence, or impose additional terms
with respect to the subject matter of this Licence, and the Operator covenants and agrees that it shall abide
by all such amendments and additional terms, and all such alterations shall have the same force and effect as
if they had originally formed part of this Licence, on the condition that the GTAA provides sixty (60) days
written notice to the Operator of each such alteration.

9.1 TERMINATION
Notwithstanding any other provision of this License, the GTAA may at any time terminate this License for
convenience by providing the Licensee with not less than sixty (60) days prior written notice of such
termination. The Licensee shall not have or commence any action, application, claim, demand or other
proceeding of any kind for any damages (direct, indirect, consequential or otherwise), loses, liabilities,
costs, expenses, lost opportunity, lost profit, lost revenue or any other amounts as a result of the GTAA
terminating this License as provided herein.
10. GENERAL
10.1 ENTIRE AGREEMENT
This Licence and the Schedules attached hereto, together with the Rules and Regulations adopted and
promulgated by the GTAA, and the other documents and instruments referred to herein, shall be deemed to
constitute the entire agreement between the GTAA and the Operator with respect to the subject matter
hereof and shall supersede all previous negotiations, representations, communications and documents in
relation hereto made by any party to this Licence.
10.2 INTERPRETATION
This Licence shall be interpreted in accordance with the laws of the Province of Ontario and the laws of
Canada applicable therein and the Operator agrees to attorn to the jurisdiction of the courts of Ontario.
Time is of the essence of this Licence.
10.3 RELATIONSHIP
Nothing contained in this Licence nor any acts of the GTAA or the Operator shall be deemed to constitute
the GTAA and the Operator partners, joint venturers, landlord and tenant or principal and agent, and the
Operator shall not make any assertion to the contrary. This Licence is not a lease and does not give the
Operator any right to use or occupy any specific areas of the Airport for the conduct of its activities or the
storage of any motor vehicle or equipment. This Licence is a contract for the performance of the Services
and the Operator is engaged under the Licence as an independent contractor for the sole purpose of
providing the Services. Neither the Operator nor any of the Operator’s personnel is engaged by the Licence
as an employee, servant or agent of the GTAA nor has the Operator or any of its employees any authority to
bind the GTAA. The Operator agrees to be solely responsible for any and all payments and/or deductions
required to be made including those required for Canada or Quebec pension plans, employment insurance,
workers’ compensation or income tax.
10.4 WAIVER
No term, condition or obligation of this Licence is deemed to have been waived by the GTAA unless such
waiver is in writing signed by the GTAA. The waiver from time to time by the GTAA of any term,
condition or obligation herein, or breach thereof, is not deemed to be a waiver of such term, condition or
obligation or of any subsequent breach of the same or of any other term, condition or obligation herein.
The subsequent acceptance of fees hereunder by the GTAA is not deemed to be a waiver of any preceding
breach of any term, condition or obligation of this Licence, regardless of the GTAA’s knowledge of such
preceding breach at the time of acceptance of such fees.

10.5 ENUREMENT
This Licence enures to the benefit of and binds the parties hereto, the GTAA’s successors and assigns and
the Operator’s permitted successors and assigns.
10.6 ACCORD AND SATISFACTION
No payment by the Operator or receipt by the GTAA of a lesser amount than the required payment of fees
herein stipulated is deemed to be other than on account of the earliest stipulated fees, nor is any
endorsement or statement of any cheque or any letter accompanying any cheque or payment of fees deemed
an acknowledgement of full payment or an accord in satisfaction, and the GTAA may accept and cash such
cheque or payment without prejudice to the GTAA’s rights to recover the balance of such fees or other
remedy provided in this Licence.
10.7 NOTICE
Whenever in this Licence it is required or permitted that a notice, demand or request (a “Notice”) be given
or served by either party to or on the other, such Notice will be in writing and will be validly given or
sufficiently communicated if personally delivered, forwarded by registered mail (except during a postal
disruption or threatened postal disruption) or facsimile as follows:

Any Notice delivered personally shall be deemed to have been validly and effectively given on the day of
such delivering if delivered before 4 p.m. on a Business Day (for the purpose of this Section 9.7, “Business
Day” means any day of the week other than Saturday, Sunday or a statutory holiday in the Province of
Ontario) or on the next Business Day if delivered on a non Business Day or after 4 p.m. on the previous
Business Day. Any Notice sent by registered mail (except during a postal disruption or threatened postal
disruption) shall be deemed to have been validly and effectively given on the 3rd
Business Day following the

SCHEDULE “C”
VEHICLE REQUIREMENTS (TAXICAB)
Every Peak Period (Taxicab) Vehicle registered with the GTAA and operated pursuant to this Licence shall:
(a) Have issued in respect of it either (i) a valid City of Mississauga airport public transportation vehicle
licence or taxicab licence, (ii) a City of Toronto taxicab licence or (iii) a taxicab licence, or licence
from any other municipality in the Greater Toronto Area (“GTA”), provided that, with respect to the
type of vehicle licence described in clause (iii) of this paragraph, in the GTAA’s sole and absolute
discretion, the vehicle requirements, standards and conditions imposed by such other municipality are
equivalent to or exceed those of the City of Mississauga or the City of Toronto;
(b) Have a Plate securely affixed at all times to the front grill on the passenger side;
(c) Have installed therein an AVI Transponder provided by the GTAA. AVI Transponders lost, damaged
through negligence or stolen will be replaced at the at the Operator ’s expense;
(d) At the time of purchase be no older than six (6) model years or newer, measured from the date that the
vehicle was manufactured;
(e) The Operators operating Taxicabs older than three (3) years, measured from the date described above,
shall present all inspection and safety standard certificates, permits, approvals or reports as described in
applicable provincial and municipal laws, by-laws or regulations and make the Taxicab available for
inspection by an employee or agent of the GTAA. An Emergency and Irregular Operation Vehicle
deemed to be unfit by the GTAA shall not be operated on the Airport until such time as deficiencies are
rectified or a replacement vehicle is obtained. There shall be no extensions granted for vehicles beyond
the six (6) year age limitation;
(f) Have all equipment and markings that are required by the GTAA, applicable provincial or municipal
laws, by-laws and regulations to be maintained in or on the Taxicab;
(g) Comply with either of the following minimum measurements in accordance with the manufacturer’s
specifications:

(k) The municipal licence number shall be displayed on the front fenders of the vehicle, at the top rear not more
than three (3) inches below the top of the fender in a location and manner approved by the GTAA with the
numbers six (6) inches in height and in contrasting colours and materials as approved by the GTAA, except
where otherwise stated by the municipality; and
(l) Have a container in which at all times will be carried only such printed material and content as the GTAA
may from time to time designate. Such container shall be affixed to the rear of the Driver’s seat or such
other location as the GTAA shall designate so that it is in plain view and accessible to the passenger(s).

SCHEDULE “C”
VEHICLE REQUIREMENTS (LIMOUSINE)
Every Peak Period (Limousine) Vehicle registered with the GTAA and operated pursuant to this Licence shall:
(a) have issued in respect of it a valid City of Mississauga airport public transportation vehicle licence, or a
City of Toronto livery or other applicable licence, or a livery or other applicable licence from any other
municipality in the Greater Toronto Area provided that in the latter case, in the GTAA’s sole and absolute
discretion, the vehicle requirements, standards and conditions imposed by such other municipality are
equivalent to or exceed those of the City of Mississauga or the City of Toronto;
(b) have a Plate securely affixed at all times to the front grill on the passenger side;
(c) have installed therein an AVI Transponder provided by the GTAA. AVI Transponders lost, damaged
through negligence or stolen will be replaced at the Operator ’s expense;
(d) be current model year or newer, measured from the date that the vehicle was manufactured, to a maximum
of four (4) years with one (1) year extra with inspection and approval by the GTAA or its agent. Five (5)
years will be granted if the limousine is a Hybrid; provided that the limousine is inspected and approved by
the GTAA. Operator s operating Limousines, measured from the date described above, shall present all
inspection and safety standard certificates, permits, approvals or reports as described in applicable
provincial and municipal laws, by-laws or regulations and make the Limousine available for inspection by
an employee or agent of the GTAA. A Limousine deemed to be unfit by the GTAA shall not be operated
on the Airport until such time as deficiencies are rectified or a replacement vehicle is obtained. There shall
be no extensions granted for vehicles beyond the five (5) year age limitation as identified in the criteria
above;
(e) be a luxury motor vehicle of a kind recommended by the Toronto International Airport Limousine
Operation and approved by the GTAA;
(f) have all equipment and markings that are required by the GTAA, applicable provincial or municipal laws,
by-laws and regulations to be maintained in or on the Limousine;
(g) be a four door sedan with the following minimum measurements in accordance with the manufacturer’s
specifications:

three (3) inches high shall be affixed to the rear of the Driver’s seat so that they are in plain view of the
passenger(s) in the back seat;
(l) have the municipal licence number shall be displayed on the front fenders of the vehicle, at the top rear not
more than three (3) inches below the top of the fender in a location and manner approved by the GTAA
with the numbers six (6) inches in height and in contrasting colours and material as approved by the GTAA,
except where otherwise stated by the municipality; and
(m) have a container in which at all times will be carried only such printed material and content as the GTAA
may from time to time designate. Such container shall be affixed to the rear of the Driver’s seat or such
other location as the GTAA shall designate so that it is plain view and accessible to the passenger(s).

SCHEDULE “D”
DRIVER OBLIGATIONS
(1) Every Driver of a Peak Period Vehicle shall:
(a) maintain a record commencing at the start of his or her shift setting forth the following
information:
(i) the Plate and municipal licence number;
(ii) the Provincial licence plate number;
(iii) the Driver’s name, address and municipal driver’s licence number;
(iv) the date, time and odometer reading when the Driver commenced operations of the Peak
Period Vehicles;
(v) the date, time and location of the beginning and termination of each trip; and
(vi) the amount of fare collected for each trip;
(b) have in his or her possession:
(i) a valid Approved Driver’s Certificate (ADC);
(ii) a valid GTAA approved identification badge or card containing his or her photo;
(iii) a valid Ontario Driver’s Licence;
(iv) a valid provincial vehicle ownership certificate;
(v) a valid municipal driver’s licence; and
(vi) proof of insurance;
(c) produce his or her ADC when asked by a GTAA Public Safety Inspector (Groundside) or such
other person designated by the GTAA or any member of the Peel Regional Police Force, and
immediately return the Peak Period Vehicle to a commercial vehicle holding compound if he or
she fails to produce his or her valid ADC when requested to do so. Such Driver shall not drive the
Peak Period Vehicle until he or she presents to a GTAA Public Safety Inspector (Groundside) his
or her valid ADC;
(d) be neatly dressed in the approved company uniform, if any, clean in personal appearance and
hygiene and act in a civil and businesslike manner;
(e) upon discharging passengers at the Airport, or returning without passengers to the Airport, proceed
directly to one of the commercial vehicle holding compounds to be dispatched. The Driver shall
take a position at the rear of the designated line and move with the line until dispatched to the
Terminal Building;
(f) refrain from making repairs to his or her Peak Period Vehicles while on the Airport premises,
unless such repairs are immediately necessary to permit the removal of the Peak Period Vehicles
from the Airport premises;
(g) advise the GTAA in writing, within three (3) working days of any change in his or her personal
address, or telephone number;
(h) before commencing his or her shift:
(i) check the Peak Period Vehicle for mechanical defect(s) or any interior or exterior
damage;
(ii) repair such defect(s) or damage before offering the Peak Period Vehicle for hire; and
(iii) ensure that both the interior or exterior of the Peak Period Vehicle is clean and remains
so throughout his or her shift;

(i) immediately deliver to the GTAA all property left in the Peak Period Vehicle by passengers;
(j) present himself or herself to the GTAA on reasonable notice to respond to complaints from
customers and/or the public, and at all other times be sufficiently close to the Peak Period Vehicle
to have it under observation while on the Airport premises;
(k) remain with the Peak Period Vehicle while at the arrivals curb until passengers are assigned to his
or her Peak Period Vehicle by the dispatcher;
(l) conform to all instructions issued by the platform dispatcher, Peel Regional Police or GTAA
Public Safety Inspector (Groundside);
(m) accept VISA, Master Card and United States currency in payment of the Permitted Services. U.S.
currency shall be accepted at an exchange rate for cash transactions which will not vary by more
than (2) percentage points from the “buy” rate set by the Canadian Imperial Bank of Commerce;
(n) on request, give a passenger a receipt, showing the date, time of trip, distance, fare charged, Peak
Period Vehicle Driver’s name, Plate and Ontario licence number. The receipt shall be signed in
legible writing by the Driver. The GTAA shall have the right to designate the form and content of
such receipt;
(o) at all times comply with the by-laws of the municipality in which such vehicle is licensed to
operate providing such by-laws are not in conflict with and any federal laws or the Rules and
Regulations;
(p) display in the Peak Period Vehicle a chart, or charts, of the GTAA’s currently approved tariff;
(q) carry in the Peak Period Vehicle a street guide, and may be examined, when required by an agent
or employee of the GTAA, on his or her knowledge of the location of streets, public buildings and
points of interest in the municipalities surrounding the Airport and the laws and regulations
relating to highway traffic and motor vehicles; and
(r) cooperate fully with any survey conducted by the GTAA.
(2) No Driver shall, unless directly instructed to the contrary by a GTAA Public Safety Inspector (Groundside):
(a) accept a fare at the Airport without first proceeding through the designated line in one of the
commercial vehicle holding compounds;
(b) carry in the Peak Period Vehicle a greater number of occupants than the manufacturer’s rating of
seating capacity of such vehicle, inclusive of the Driver, or exceed the manufacturer’s
recommended weight limit;
(c) refuse a request from a person for the services of the Peak Period Vehicle for any reason
whatsoever, unless that person is, in the opinion of a GTAA Public Safety Inspector (Groundside)
or police officer, intoxicated or conducting himself or herself in a disorderly manner;
(d) drive a Peak Period Vehicle with luggage or other material piled or placed in such a manner as to
obstruct his or her front, side or rear views;
(e) operate a Peak Period Vehicle unless it is equipped with a spare wheel ready for use and tools and
equipment required to change a wheel; or
(f) operate a Peak Period Vehicle with non-essential materials stored in the trunk.

(3) No Driver shall obstruct or hinder the orderly and efficient operation of the ground transportation system at
the Airport;
(4) No Driver shall drive a Peak Period Vehicle while his or her Ontario driver’s licence is under suspension or
has been cancelled.
(5) In no event shall a Driver require or request that any passenger pay any amount on account of or in
reimbursement of any fee that an Operator is required to pay to the GTAA as provided in this Licence.
(6) No Driver shall induce any person to engage a Peak Period Vehicle by misleading or deceiving that person
about the location or distance to any destination, nor shall the Driver induce any person to engage a Peak
Period Vehicle by any other false representation.
(7) Whenever a passenger uses a credit, charge or debit card to pay a Peak Period Vehicle fare, no Driver shall
use the receipt, stub or voucher created by such payment in a manner or for a purpose that would result in
the passenger’s regular billing statement identifying the name of a business other than that of the Operator
or its business or trade name.
(8) Except as authorized by the GTAA, no Driver on Airport premises shall, whether directly or indirectly,
engage in the purchase, sale, discount or transfer of any record, or document, including without limiting the
generality of the foregoing, a receipt, stub or voucher, related to a passenger’s use of a credit, charge or
debit card to pay a fare.
(9) No Driver shall smoke while carrying passenger(s) except when expressly permitted to do so by all
passengers in the Peak Period Vehicle.
(10) The Licensee shall ensure that every person wishing to operate a Peak Period Vehicle to pick-up fares at
the Airport must attend in person at the Groundside Transportation Office to provide the following
documentation:
(a) a valid Ontario Driver’s Licence;
(b) a valid taxicab, livery or airport public transportation vehicle Driver’s licence issued by the
municipality which licensed the vehicle that the Driver intends to operate, as applicable;
(c) Social Insurance Number;
(d) a completed Driver Approval Application Form signed by the Operator; and
(e) a current police summary of the individual’s driving record.
(11) Prior to operating a Peak Period Vehicle a person must successfully complete an examination set by the
Licensor to obtain an ADC issued by the Licensor:
(i) the ADC is issued pursuant to this Licence. A Driver who breaches any provision in the
Regulations or Airport Traffic Regulations may, at the Licensor’s option, have his ADC revoked.
(ii) every Driver must produce his ADC when asked by an agent or employee of the Licensor or by
any member of the Peel Region Police Force; and
(iii) every Driver who fails to produce his valid ADC when requested to do so shall immediately return
the Peak Period Vehicle to the commercial vehicle holding compound and thereupon shall not
drive a Peak Period Vehicle until he presents to a GTAA Public Safety Inspector his valid ADC.

His Excellency the Governor General in Council, onthe recommendation of the Minister of Transport, pur-suant to paragraph 63.1(1)(b)* of the National Trans-portation Act, 1987**, is pleased hereby to approve theannexed Regulations respecting the training of person-nel employed in transportation-related facilities orpremises or by carriers, to assist persons with disabili-ties travelling within the transportation network, madeby the National Transportation Agency on October 28,1993, effective on the first anniversary of the date oftheir publication in the Canada Gazette Part II.

1. These Regulations may be cited as the PersonnelTraining for the Assistance of Persons with DisabilitiesRegulations.

INTERPRETATION DÉFINITIONS
2. In these Regulations,
“Act” means the Canada Transportation Act; (Loi)
“attendant” means a person who travels with a personwith a disability to provide a service related to a disabili-ty that is not usually provided by a carrier; (accompa-gnateur)
“carrier” means a Canadian citizen or a permanent resi-dent within the meaning of subsection 2(1) of the Immi-gration Act, a government in Canada or an agent thereof,or any other person or entity that is controlled in fact byCanadians and, where applicable, of which at least 75per cent of the voting interests are held and controlled byCanadians, that operates a passenger transportation ser-vice within or from Canada; (transporteur)
“commuter rail service” means a passenger-train servicethat accommodates principally persons who commutebetween points on the railway of the company that pro-vides the service; (service ferroviaire de banlieue)
“contractor” means any person, or employee of that per-son, who performs services pursuant to a contract or anarrangement with a carrier or a terminal operator, andwho is not an employee of the carrier or the terminal op-erator, but does not include a travel agency; (entrepre-neur)
“disability” means a physical, sensory, developmental,mental health or medical functional limitation or restric-tion that affects a person in such a manner that the per-son is a person with a disability; (déficience)

« entrepreneur » Personne, ou employé de celle-ci, quifournit des services aux termes d’un contrat ou d’une en-tente avec un transporteur ou un exploitant de terminal,et qui n’est pas un employé du transporteur ou de l’ex-ploitant de terminal. “lodge operation” means an operation that involves acommercial air service of a small aeroplane, as definedin section 2 of the Air Carriers Using Small AeroplanesOrder; (hôtel pavillonnaire)
“mobility aid” includes wheelchairs, scooters, transferchairs, walkers, canes, crutches and braces; (aide à lamobilité)
“person with a disability” means a person who is, hasbeen or will be a passenger on a service operated by acarrier and who, because of a disability, requires servicesthat are not usually extended to other passengers, includ-ing assistance
(a) when making travel arrangements,
(b) when embarking and disembarking,
(c) on board a vehicle, and
(d) during any movements between facilities inside oroutside the terminal buildings that involve transporta-tion-related services; (personne ayant une déficience)
“service animal” means an animal that is required by aperson with a disability for assistance and is certified, inwriting, as having been trained to assist a person with adisability by a professional service animal institution;(animal aidant)

APPLICATION APPLICATION
3. (1) These Regulations apply to every carrier ex-cept
(a) an air carrier
(i) that provides service only to air terminals wherethere were less than 10,000 enplaned and deplanedpassengers in each of the two preceding calendaryears,
(ii) whose gross annual revenue was less than$500,000 in either of the two preceding calendaryears, or
(iii) whose operations are limited to serving theneeds of a lodge operation;
(b) a rail carrier in respect of commuter rail servicesprovided by that carrier; and
(c) a carrier that operates an extra-provincial bus un-dertaking.
3. (1) Le présent règlement s’applique à tous lestransporteurs, sauf :

(2) These Regulations apply to every terminal opera-tor except
(a) an air terminal operator at whose terminal therewere less than 10,000 enplaned and deplaned passen-gers in each of the two preceding calendar years; and

ceive a level of training appropriate to the requirementsof their function in the following areas:
(a) the policies and procedures of the carrier or termi-nal operator with respect to persons with disabilities,including relevant regulatory requirements;
(b) the needs of those persons with disabilities mostlikely to require additional services, recognition ofthose needs, and the responsibilities of the carrier orterminal operator in relation to those persons, includ-ing the level of assistance, methods of communicationand aids or devices generally required by persons withdisabilities; and
(c) the necessary skills for providing assistance topersons with disabilities, including the role of the at-tendant, and the needs of persons with disabilitiestravelling with a service animal, including the role andthe needs of that animal.

5. Every carrier shall ensure that, consistent with itstype of operation, all employees and contractors of thecarrier who may be required to provide physical assis-tance to a person with a disability receive the trainingdescribed in section 4 and a level of training appropriateto the requirements of their function in the following ar-eas:
(a) assisting with mobility aids through doors and onirregular and multi-level surfaces, steps, curbs and ele-vators;
(b) transferring a person with a disability between theperson’s own mobility aid and a mobility aid providedby a carrier and between a mobility aid and the per-son’s passenger seat, including
(i) seeking information from a person with a dis-ability with respect to the person’s preferredmethod of transfer and information with respect toany other special measures required to ensure the

(B) avoid injury to the employee or contractormaking the transfer;
(c) guiding and orienting a person who is blind orwhose visual impairment affects that person’s mobili-ty; and
(d) assisting a person who has limitations in balance,agility or coordination that affect that person’s mobili-ty.

Every carrier shall ensure that, consistent with itstype of operation, all employees and contractors of thecarrier who may be required to handle mobility aids re-ceive the training described in section 4 and a level oftraining appropriate to the requirements of their functionin the following areas:
(a) different types of mobility aids;
(b) requirements, limitations and procedures for se-curing, carrying and stowing mobility aids in the pas-senger compartment of a vehicle; and
(c) proper methods of carrying and stowing mobilityaids in the baggage compartment of a vehicle, includ-ing the disassembling, packaging, unpackaging andassembling of the mobility aids.

(b) mechanical lifts, ramps and other level-change de-vices; and
(c) on-board oxygen, on-board electrical supply, con-nection of auxiliary respirator systems and installationof stretchers.

8. Every carrier and terminal operator shall ensurethat all employees and contractors of the carrier or termi-nal operator who are required by these Regulations to re-ceive training complete their initial training within 60days after the commencement of their duties.

PROPOSAL AFFIDAVIT

HEREBY SUBMITS a proposal for the right to operate a peak period for hire
passenger transportation service concession from Terminal 1 and Terminal 3
Taxi/Limousine Compound at Toronto Pearson International Airport herewith,
AND IN SUBMITTING THIS PROPOSAL, THE PROPONENT AGREES TO EACH
OF THE FOLLOWING TERMS AND CONDITIONS:
1. Proposal Closing Date and Extension Thereof
This Proposal shall remain open for acceptance by the GTAA for a period of sixty (60)
days (the “Acceptance Period” following the day of Friday, May 9, 2014, (the “Request
for Proposals Closing Date”). In the event the GTAA deems it necessary to extend the
Request for Proposals Closing Date after the submission of this Proposal by the
Proponent, the GTAA shall notify the Proponent of such extension by written notice,
whereupon the Proponent shall have fifteen (15) days from the date of receipt of such
written notice to, in writing, either accept such extension to the Request for Proposals
Closing Date or withdraw its Proposal. In the event the Proponent accepts such extension
of the Request for Proposals Closing Date, the Acceptance Period shall be extended for a
period equivalent to the period of extension of the Request for Proposals Closing Date
referred to in the GTAA notice. In the event the Proponent does not respond to the
GTAA notice herein above referred to, the Proponent shall be conclusively deemed to
have accepted the extension of the Request for Proposals Closing Date to the date
referred to in such notice and Acceptance Period shall be extended as above.
2. Extension of Acceptance Period
In the event the GTAA deems it necessary to extend the Acceptance Period or the
Acceptance Period is extended pursuant to paragraph 1 hereof, the GTAA shall, prior to
the expiration of such Acceptance Period or such Acceptance Period as extended
pursuant to paragraph 1 hereof, notify the Proponent by written notice to that effect,
whereupon the Proponent shall have fifteen (15) days from the date of receipt of such
written notice to, in writing, either accept the requested extension as referred to in the
GTAA notice or withdraw its Proposal. In the event the Proponent accepts the requested
extension, the Acceptance Period shall be extended as referred to in the GTAA notice. In
the event the Proponent does not respond in writing to the GTAA notice herein above
referred to, the Proponent shall be conclusively deemed to have accepted the extension of
the Acceptance Period to the date referred to in such notice.

3. Acceptance of Proposal
The delivery on behalf of the GTAA of a duly executed copy of the Peak Period Vehicle
Licence to the Proponent shall constitute formal acceptance of the Proposal.
4. Rejection of Proposal Cancellation
Where the proposal is rejected or the GTAA at its sole discretion decides to cancel its
RFP, the RFP Security Deposit shall be thereafter returned to the Proponent without
payment of interest and the Proponent hereby agrees to accept the Security Deposit.
5. Notices
(1) Any notice required to be given to the Proponent shall be sufficiently given:
if personally served, then on the Proponent at its head office or principal place of
business; or
if forwarded by registered mail or priority post mail, addressed to:

7. Rights of the GTAA
“Conditional” proposals will not be accepted. Submissions that contain alternate
proposals will not be accepted.
Notwithstanding anything contained in the RFP, or the RFP form, or in any statement
made at any proposal briefing or anywhere, the GTAA reserves the right to cancel the
RFP for any reason whatsoever or without having a reason. Without limiting the
generality of the foregoing the GTAA has the right:
(i) to reject any or all of the Proposals;
(ii) to accept any Proposal;
(iii) to elect not to proceed with the RFP; and
(iv) to select any entity, as a successful concession licensee who may or may
not be a Proponent.

This Irrevocable Letter of Credit shall be deemed to be automatically extended without
any formal amendment for one (1) year from the above stated expiration date or any
future expiration date unless, not less than sixty (60) days prior to any such expiration
date, the Financial Institution notifies the GTAA in writing that the Financial Institution
elects not to extend this Irrevocable Letter of Credit for any further such period, in which
event the Financial Institution shall pay the GTAA, with such written notice of election, a
Bill of Exchange in the amount of the Letter of Credit, less the amount of an previous
drawings by the GTAA on such Letter of Credit. In no event shall the Irrevocable Letter
of Credit or alternate payment obligation of the Financial Institution herein contemplated,
extend beyond the date which is ninety (90) days after the expiration date of the term of
the Licence.
5. Partial drawings are permitted under this Letter of Credit where a written demand for
payments is presented by the GTAA, signed by it authorized official, indicating that the
GTAA is entitled to receive partial payment under this Letter of Credit by virtue of the
terms and conditions of the Licence. The provisions of Article 3 herein above shall apply
mutatis mutandis to any demand for partial drawings. The amount so drawn under this
clause shall be subtracted from the face amount of the Irrevocable Letter of Credit and
shall be endorsed on the reverse side of this Irrevocable Letter of Credit.
6. This Irrevocable Letter of Credit bears the following reference number of the Financial
