The undersigned agree to a 10,000€ (plus relative IVA) Primary Deposit to reserve the above Villa Project and contract Project Management for integrated development and management services. The Project Manager will source all suppliers including, architects, engineers, technical studies, constructors, licenses etc., and will actively manage the planning, licensing and construction process on behalf of the buyers. When the initial price and plans are confirmed (usually within 21 days) the buyer agrees to pay a Secondary Deposit of 20,000€ (plus relative IVA) to confirm, formalize and secure the Villa Project.

Primary Deposit: The Reservation Deposit will be held in the Domus Venari Group’s client account until the Buyer confirms the project with the Secondary Deposit.The Advance to Technical Services Payment of 5,000€ (plus 21% IVA) covers the specific technical studies (Topographical and Geotechnical including 21% IVA) and any associated costs when revising the Villa Project plans and budget to the clients specification to meet or support the land characteristics following completion the technical studies. This payment will be deducted from the total Project, and is not refundable.

Secondary Deposit: The undersigned will confirm the plot and project with a €20,000 Secondary Deposit payment to confirm the Villa Project Reservation Agreement already signed by the parties on or before the date notated above. At this juncture the project team will begin the implementation process of the revised and agreed project plans. FOLLOWING THE RECEIPT OF THE CONFIRMATION DEPOSIT ALL PAYMENTS BECOME NON-REFUNDABLE.

Expenses: Legal expenses, purchase fees and taxes including IVA. Stamp Duty, Registration and Notary Fees are payable by the Buyer.

The undersigned agree to the project payment terms (attached in the Payment Chart) and to complete the Land Purchase as agreed in the Land Reservation form. All parties will endeavour to complete this process within 45 days of the date of this agreement.

1. Title & Possession: The Vendor expressly warrants that the property is free from charges and encumbrances with the actual volumes and dimensions of the property duly

registered and able to convey legal title. The Vendor also warrants that he is able to grant possession on the date of completion free from tenants.

2. Expenses: Each party is responsible for their own legal expenses. Purchase fees and taxes including I.V.A./Transfer Tax and Stamp Duty, registration fees and Notary

fee are payable by the Buyer. Capital Gains Tax, Plus Valia and the charges resulting from the cancellation of any debt, charge or mortgage, will be payable by the Vendor.

2. Gastos: Cada parte es responsable de sus propios gastos legales. Gastos de compra / venta y los impuestos incluyendo IVA / Impuesto sobre Transmisiones

Patrimoniales y Actos Jurídicos Documentados, Gastos de Inscripción y la Cuota de Notario son a cargo del comprador. Bienes Gananciales, Plusvalía y gastos generados

por cancelación de cualquier deuda, carga o hipoteca, serán abonados por el Vendedor.

3. Deposit refund: DOMUS VENARI GROUP SL, trading as DOMUS INVEST, acknowledges receipt of the above stated reservation deposit from the buyer, which

will be passed to the buyer’s lawyer on the signing the Private Purchase Contract (see above). Upon confirmation and signed acceptance of this formal offer by the

Vendor, the deposit will be non – refundable, unless any of the Special Conditions mentioned below are not met. In the event of non-completion by the Buyer, the

deposit will be forfeited and the Vendor will be free to return the property to the market. However, if the Vendor does not fulfil the terms and conditions detailed the

deposit paid will be refunded in full. Any special conditions, which may affect the above clauses, must be specified clearly below.

3. Reembolso del Depósito: DOMUS VENARI GROUP SL, operando como DOMUS INVEST, reconoce haber recibido el Depósito de Reserva por parte del Comprador

arriba detallado. Una vez confirmada y firmada la aceptación por parte del Vendedor, el depósito no será reembolsable. En caso de incumplimiento por el Comprador,

el depósito se perderá y el Vendedor tendrá la libertad de devolver la propiedad al mercado. Sin embargo, si el Vendedor no cumple con los términos y condiciones

de este acuerdo; el depósito será reembolsado en su totalidad al Comprador. Cualquier condición especial, que pueda afectar a los términos y condiciones de este

acuerdo, se debe especificar claramente abajo, en el apartado Condiciones Especiales.
