The Retrocommissioning (RCx) Program is a “service incentive” program. This means the retrocommissioning service is the incentive to the customer and is fully funded by AEP Ohio’s Energy Efficiency Program for sites which AEP Ohio approves to participate. RCx is available to qualifying customers within the AEP Ohio service area. The goal of this program is to help customers identify and implement projects that have a simple payback of 18 months or less to improve the efficiency of major energy-using systems and reduce energy costs without adversely affecting facility or system operations.

This RCx Program Application and Program Agreement by and between AEP Ohio and customer, whose signature is below, sets out the terms governing customer’s participation in the RCx Program. The program agreement is effective on the date that the customer signs the agreement.

TERMS AND CONDITIONSAEP Ohio makes available a Retrocommissioning Program (“Program”) that offers service incentives to eligible customers within the AEP Ohio service area approved to participate in the Program. The Program provides a fully funded retrocommissioning study to qualifying customers who agree to implement recommended electric retrocommissioning measures identified at the customer’s facility.

These Terms and Conditions set forth the terms governing a customer’s participation in the Program and together with the Program Application constitute the Retrocommissioning Program Agreement (“Agreement”). By signing below, the customer named in the Program Application (“Customer”) is agreeing to comply with and be bound by these terms.

DEFINITIONS The following terms used in these Terms and Conditions are defined as follows: 1. “Retrocommissioning Service Provider” (“RSP”) is a Program-

approved company contracted by the Program Administrator to perform the retrocommissioning study.

2. “Recommended Retrocommissioning Measures” (“RCMs”) are the individual RCMs that have been identified in the retrocommissioning study and are recommended for implementation at the Customer facility.

3. “Customer Selection Form” (“CSF”) is the document maintained by the RSP which summarizes the RCMs.

4. “RCM Bundle” is the selection of Recommended RCMs chosen by Customer for implementation and documented in the Customer Selection Form.

5. “Facility” is Customer’s commercial building designated to receive retrocommissioning services and located at the address set forth in this Program Application under “project information” on this application.

6. “Minimum Customer Implementation Commitment” is the minimum amount Customer agrees to spend on the implementation of mutually agreed upon RCMs at the Customer Facility as consideration for participation in the Program and the Retrocommissioning study service incentive. The Minimum Customer Implementation Commitment for RCx Lite is $5,000. The Minimum Customer Implementation Commitment for RCx Standard is $15,000. Customer is only required to implement Recommended RCMs with a combined simple payback of 1.5 years or less based upon electrical savings.

7. “Required Implementation Date” is the date by which the Customer must complete the Minimum Customer Implementation Commitment and is set forth below. RCx Standard: 120 days following the execution of this Agreement. RCx Lite: 60 days following the execution of this Agreement.

8. “Retrocommissioning Study” or “Study” is a systematic evaluation of a customer’s facility completed by a Program-approved RSP to assist customers in identifying opportunities to improve the efficiency of major energy-using systems and reduce energy costs without adversely affecting facility or system operations. The Study includes investigating, identifying and recommending RCMs at the Customer’s facility. Customer understands that in order to receive the Incentive (defined below), the Study must be completed by a Program-approved RSP. There are two types of studies: RCx Lite and RCx Standard. 8.1. “RCx Lite” is the Program participation track for customers with existing facilities that are between 50,000 and 150,000 square feet and have annual electrical loads between 150-500 kW. 8.2. “RCx Standard” is the Program participation track for customers with existing facilities that are greater than 150,000 square feet and have an annual electrical load greater than 500 kW.

9. “Study Cost” is the time and material costs for the RSP to complete the Study at the Facility. For the RCx Lite track, the Study Cost will not exceed $12,000. For the RCx Standard track, the Study Cost will not exceed $60,000.

10. “Measurement and Verification” (“M&V”) means the process of monitoring, measuring and/or verifying data related to equipment operation and electrical energy consumption. M&V may be performed with either temporarily or permanently installed data logging equipment.

PROGRAM EFFECTIVE DATESAEP Ohio RCx Program offers incentives until approved funds are exhausted or until October 28, 2016, whichever comes first. The effective dates of the current AEP Ohio Business Incentives Program and application submittal requirements are as follows:

• All 2016 AEP Ohio RCx program projects must be completed and final applications received no later than October 28, 2016 in order to qualify for Program incentives.

• Subsequent program year budgets and plans will be made available towards the end of the existing program year.

PROGRAM ADMINISTRATORAEP Ohio has contracted with and authorized Nexant, Inc. (“Program Administrator”) to administer the Program including, but not limited to, such activities as: review, processing, and approval of customer applications; inspections of customer facilities, obtaining project information from customers; contracting with RSPs to complete the retrocommissioning studies; measurement and verification activities; and for issuing incentive payments to RSPs.

CUSTOMER ELIGIBILITYCustomer represents and warrants that it is an existing delivery services customer of AEP Ohio at the Facility. As part of the Program requirements, Customer must agree to send one staff member to Building Operator Certification (“BOC”) training. Customer’s staff member must begin BOC Level I Certification within one year of project completion. AEP Ohio will pay 50% of BOC level I training and will reimburse the remaining 50% of the cost of BOC Level I training after Customer’s staff member has received BOC Level I Certification. Additional staff members may be eligible for BOC tuition reimbursement through the AEP Ohio training program.

SERVICE INCENTIVE The Program offers a service incentive to eligible customers applying for the Study who agree to the Minimum Customer Implementation Commitment. Customers who complete the Minimum Customer Implementation Commitment according to Program requirements qualify to receive the Study at no cost (“Incentive”). Customer understands that in order to receive the Incentive, Customer must meet all eligibility and Program requirements, and the Study must be completed by an RSP. Customer acknowledges that the RSPs and any of their employees, subcontractors and suppliers are independent contractors and are not employees of AEP Ohio or Program Administrator.The RSP will provide Customer with a CSF identifying the RCMs available for implementation at the Customer Facility. If the RSP is not able to identify a sufficient number of RCMs to satisfy the Minimum Customer Implementation Commitment, the Program Administrator may reduce or waive the Minimum Customer Implementation Commitment.

CUSTOMER APPLICATIONTo be considered for participation in the Program, Customer must submit a fully completed Program Application, incorporated herein by reference. Failure to provide or complete any of the requested information or Program requirements may result in the return of the Customer Application. Customer understands that submission of an application, even if correct and complete, does not guarantee payment of incentives.

TERMS AND CONDITIONS, CONTINUEDFACILITY INSPECTIONS To support identification, verification, and implementation of RCMs, Customer shall provide the Program Administrator and RSP: 1. All requested Customer information including, but not limited

to, account information, energy usage data, and other relevant information for the completion of services under these Terms and Conditions;

2. Assistance with the reporting and collection of information pertaining to the operation of the Facility;

3. Access to the Facility and time for Facility personnel to interface with the Program Administrator and RSP to assist with data collection from building systems;

4. Access to relevant building systems documentation, including the contact information for Customer’s existing service contractors whose knowledge or activities could support implementation;

5. Access to the Facility in order to inspect the existing conditions at the Facility prior to implementation of any RCMs;

6. Access to the Facility in order to inspect fully implemented RCMs to verify RCMs have been installed and are operational and to conduct M&V. Customer agrees to inspection and measurement activities by AEP Ohio or its designee of both project payment and equipment installation for up to five years from the date of equipment installation.

MINIMUM CUSTOMER IMPLEMENTATION COMMITMENTCustomer shall complete the Minimum Customer Implementation Commitment no later than the Required Implementation Date. Customer has discretion as to which RCMs are selected to meet the Minimum Customer Implementation Commitment. Costs related to Customer personnel assistance under the Program do not count toward the Minimum Customer Implementation Commitment.

Upon completion of the RCM Bundle, Customer shall provide the Program Administrator with written (email is sufficient) notification stating that the RCM Bundle is implemented and operational. Customer acknowledges that Customer is responsible for separately arranging and paying for the implementation of RCM Bundle.

To the extent that the Program Administrator determines (in its sole and reasonable discretion) that the Customer failed to fulfill the Minimum Customer Implementation Commitment, the Customer shall pay the Program Administrator the time and material costs accrued by the RSP for the approved Study, not to exceed “Study Cost,” within 60 days of written notice from the Program Administrator. The Customer may be required to refund some or all of the Incentive, not to exceed “Study Cost,” if the measures do not remain (or were not) installed for a period of five (5) years or the end of the product life, whichever is less.

CUSTOMER INFORMATIONBy signing the Program Application and Agreement, Customer authorizes and acknowledges that AEP Ohio may duplicate, disseminate, release and disclose Customer’s information relating to a Customer Application (including the entirety of its contents), and any other information related to the Customer’s participation in the Program, including but not limited to account information and billing data, energy usage, and tax identification numbers to Program Administrator and RSPs, as applicable, and any other third party utilized by AEP Ohio for the purposes of processing the Customer Application, to verify or audit Program records or system installation, operation and results, or as required to comply with state and/or federal law, fraud prevention, regulation, and other legal action; in those cases, AEP Ohio and its subcontractors shall comply with all legal requirements of the jurisdiction of the individual whose Customer data would be disclosed before making such disclosure.

AEP Ohio reserves the right to publicize Customer’s participation in this Program. Customer may opt out of such publication in writing provided to AEP Ohio.

PROJECT INSTALLATIONSCustomer acknowledges that, while the Program provides retrocommissioning studies and identification of energy efficiency opportunities available at the Customer’s facility, neither AEP Ohio, Program Administrator, nor RSP will install any equipment or implement any efficiency measures. Customer shall independently evaluate any information provided by AEP Ohio, Program Administrator, or RSP related to estimates of energy savings or costs and selection or implementation of projects. Customer is solely responsible for the selection of equipment or measures to be installed or implemented and for the selection of a third party vendor (“Customer Installer”) to complete the installation of any measures. Responsibility for delivery and workmanship related to any equipment or services Customer procures with a Customer Installer exclusively rests with the Customer Installer. AEP OHIO, PROGRAM ADMINISTRATOR, AND RSP ASSUME NO RESPONSIBILITY FOR OVERSIGHT OF CONTRACTOR SERVICES OR FOR ANY CLAIMS THE CUSTOMER MIGHT HAVE AGAINST THE MANUFACTURER, THE RETAILER OR THE CUSTOMER’S INSTALLER WITH REGARD TO THE ENERGY EFFICIENCY SERVICES OR MEASURES IMPLEMENTED. CUSTOMER IS ENCOURAGED TO NEGOTIATE PRODUCT WARRANTIES AND APPROPRIATE INSURANCE COVERAGE WITH THEIR CUSTOMER INSTALLER.

COMPLIANCE WITH LAW Customer, at its own expense, is responsible for meeting all requirements and complying with all local and state laws and codes concerning the Program, including without limitation, the installation and maintenance of eligible equipment. Customer shall, at its own expense, obtain and maintain licenses and permits needed to install eligible equipment. Failure to obtain and maintain necessary licenses and permits constitutes a material breach of Customer’s obligations under the Agreement.The Recommended RCMs will not be eligible for any AEP Ohio incentives, energy engineering services, or credits outside of this Program. Accordingly, the Customer shall not apply for any other AEP Ohio incentives or credits, or from any other utility, with respect to the Recommended RCMs at any time before or after the Required Implementation Date.

As consideration for the Incentives provided by AEP Ohio as part of the Program, the Customer agrees that, other than the energy cost savings realized by Customer. Any and all energy savings and coincident demand savings generated by participants’ projects described in this application are hereby committed to AEP Ohio to count against AEP Ohio’s Ohio benchmark requirements. Any retained demand savings provided to PJM auctions must be done so by AEP Ohio only.

FRAUDCustomer represents and warrants that it is eligible and authorized to participate in the Program, and that Customer’s participation in the Program will not result in the violation or breach by Customer of law, Customer’s contractual obligations, or other duties to or rights of any third party. Any person who knowingly files an application containing any materially false information or who purposely or misleadingly conceals information subjects such person to criminal and civil penalties. Any and all funds or incentives determined to have been acquired on the basis of inaccurate or fraudulent information must be returned to the payor. Any Customer found to be engaged in any fraudulent activity or misrepresentation of any kind will be removed from the Program and may be barred from participation in other AEP Ohio programs. This section will not limit other remedies that may be available in response to the filing of a false or fraudulent application, including, but not limited to, referral to law enforcement authorities.

TERMS AND CONDITIONS, CONTINUED DISCLAIMER OF WARRANTIES AEP Ohio, Program Administrator, and RSP make no warranties or representations of any kind with respect to the performance or effectiveness of any potential energy savings, equipment installed, measures implemented, and/or services rendered by any person or entity in connection with the Program. AEP OHIO, PROGRAM ADMINISTRATOR, AND RSP DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED UNDER LAW, WHETHER STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

LIMITATIONS OF LIABILITY To the fullest extent allowed by law, AEP Ohio, Program Administrator, and RSP’s total liability, regardless of the number of claims, will be limited to the costs associated with providing the Incentive in accordance with these Terms and Conditions, and AEP Ohio, Program Administrator, RSP and their respective directors, employees, agents, subcontractors, and service providers shall not be liable to the Customer or any other party for any other obligation.

Notwithstanding any other provision of these Terms and Conditions to the contrary, no party shall be liable to another party under this RCx Program Application for any type of damages, whether incidental, indirect, special, punitive, or consequential (even if advised of the possibility of such damages), including, without limitation, loss of use or loss of profits, whether in contract, indemnity, warranty, strict liability or tort, including negligence of any kind. Customer waives any claims it might have against AEP Ohio, Program Administrator, RSP and their agents, subcontractors, and service providers arising out of participation in the Program or the Agreement.

INDEMNIFICATION Customer shall defend, protect, indemnify and hold harmless AEP Ohio, Program Administrator, RSP and their respective board members, officers, employees, contractors, and agents (collectively, the “Indemnified Parties”) against all claims, losses, expenses, damages, demands, judgments, causes of action, suits, costs (including attorney’s fees and expenses) and liability of every kind and character whatsoever (“Claims”) arising out of or incident to, or related in any way to, directly or indirectly, participation in the Program or the Agreement; except for Claims adjudicated to have been caused by an Indemnified Party’s sole negligence or intentional misconduct.

TOXIC MATERIALSAEP Ohio, Program Administrator, RSP, and their respective agents, subcontractors, and service providers shall not have any responsibility for the discovery, presence, handling, removal, or disposal of or exposure of persons to hazardous materials of any kind in connection with Customer’s Facility, including without limitation, asbestos, asbestos products, PCBs, or other toxic substances.

TAX LIABILITY Customer acknowledges that receipt of any Incentive pursuant to these Terms and Conditions may result in taxable income to the Customer, even if Customer does not directly receive a payment, and that Customer is solely responsible for payment and reporting taxable income, if any, with respect to Customer’s taxes. Customer should consult his or her own tax advisor with respect to the tax treatment of Incentive provided pursuant to these Terms and Conditions. Nothing in these Terms and Conditions is intended to constitute tax advice and cannot be used for the purpose of avoiding penalties under the Internal Revenue Code.

ARBITRATIONCustomer expressly agrees that all controversies, disputes, or claims relating to or arising under any portion of these terms and conditions, including but not limited to any actual or potential claims regarding the access, disclosure, or use of Customer’s personal information (including but not limited to names, addresses, email addresses, taxpayer identification numbers, employer identification numbers, social security numbers, account numbers or any other information that is about or could be used to identify the Customer) shall be settled by binding arbitration. Customer, AEP Ohio, Program Administrator, and RSP expressly waive any right to pursue or defend claims in arbitration as part of a class. All disputes regarding the arbitrability of any claim shall be decided by a court of competent jurisdiction. Customer further agrees that any claims shall be limited to actual injury sustained by the individual as a direct result of any unauthorized access, use, or disclosure of personal information and that Customer may not seek punitive, consequential, or other statutory damages.

GOVERNING LAW These Terms and Conditions shall be exclusively governed by and interpreted in accordance with the laws of the state where the Facility is located, excluding choice of law rules. Any litigation between the parties shall be prosecuted only in the state or federal courts of the state where the Facility is located.

ENTIRE AGREEMENT These Terms and Conditions, including all attachments and incorporated references, constitutes the entire understanding between the parties with respect to the subject matter hereof, and supersedes all prior representations or understandings, whether written or oral. No amendment or waiver of any of the provisions of this Agreement will be effective unless it is in writing and signed by both parties.
