NASPO ValuePoint Master Agreement Statement of Compliance

CodeLynx has reviewed all terms and conditions with the NASPO ValuePoint Master Agreement

Statement of compliance (Attachment A) and information included in Section 4.2 of the Request

for Proposal Document, takes no exceptions and agrees to comply with all terms and conditions

stated herein.

Insurance

CodeLynx has reviewed all terms and conditions with Insurance requirements listed in Section

4.2.a of the Request for Proposal Document, takes no exceptions and agrees to comply with all

terms and conditions stated herein. CodeLynx holds insurance coverage that complies will all

requirements stated in this proposal. CodeLynx current certificate of insurance will be provided

upon award, per the terms in Attachment A, Master Agreement, clause 21 subheading e.

NASPO ValuePoint Administrative Fee and Reporting Requirements

CodeLynx has reviewed all terms and conditions with the NASPO ValuePoint Administrative Fee

and Reporting Requirements listed in Section 4.2.b of the Request for Proposal Document, takes

no exceptions and agrees to comply with all terms and conditions stated herein. Contract Officer

Drew Weston will be responsible for providing mandatory usage reports. Drew can be contacted

via email at [email protected] or via phone at 843-266-2330, extension. 301.

NASPO ValuePoint eMarket Center

CodeLynx has reviewed all terms and conditions for the NASPO ValuePoint eMarket Center as

listed in Section 4.2.c of the Request for Proposal Document, takes no exceptions and agrees to

comply with all terms and conditions stated herein. CodeLynx currently supports similar

applications for Statewide contract for several participating States and the Federal Government’s

GSA supply schedule with their GSA Advantage online marketplace. CodeLynx will work with

NASPO and the participating States to integrate our offerings into the NASPO ValuePoint eMarket

Center through an electronic method. Our software team has experience interfacing with similar

systems and has the skills to support that process.

Participating State Terms and Conditions

CodeLynx has reviewed all terms and conditions related to the Participating State Terms and

Conditions as listed in Section 4.3 of the Request for Proposal, takes no exceptions and agrees to

comply with all terms and conditions stated herein. CodeLynx understands that it may be required

to negotiate these additional terms and conditions when executing a Participating Addendum.

Certification of Non-Debarment

Disclosure of any significant prior or ongoing contract failures, contract breaches, civil or criminal

litigation in which the vendor has been alleged to be liable or held liable in a matter involving a

contract with the State of Nevada or any other governmental entity. Any pending claim or

litigation occurring within the past six (6) years which may adversely affect the vendor’s ability to

perform or fulfill its obligations if a contract is awarded as a result of this RFP must also be

disclosed.

Section IV: Scope of Work

All Categories For all categories below, the vendor:

• Must ensure that the facilities are in compliance with all existing Participating Entities rules

and regulations;

▪ CodeLynx will have a project kick-off meeting to discuss all facility compliance

rules and regulations. In this meeting, all rules and regulations will be

documented and any issues will be addressed and resolved before work

commences.

• Must be in compliance with current National Fire Protection Association (NFPA) Standards,

Participating Entities Contractor’s Board Licensing and Participating Entities State and

Local Fire regulations at the time supplies or systems are delivered pursuant to an order

under the Master Agreement;

▪ CodeLynx will ensure that all requirements are met and in compliance with the

NFPA, Participating Entities Contractor’s Board Licensing and Participating

Entities State and Local Fire regulations, at the time supplies or systems are

delivered to an order under this Master Agreement. CodeLynx will comply with

the life safety code ordinances as defined by the Authority having jurisdiction at

each installation site.

• Must ensure all services are conducted by a State Certified/Licensed Technician;

▪ CodeLynx will ensure all services requiring State Licenses will be conducted only

by technicians holding such licenses or certifications. State Certified Licenses will

be provided before the job has commenced and personnel certifications and/or

alarm registration documents will be supplied to the customers’ agent.

• Must ensure all services are conducted in accordance with any certification requirements

within Participating Entitles;

▪ CodeLynx is licensed in two states currently and our technicians are

certified/registered with those states in accordance with the respective entity

requirements. Any additional licenses or certifications for additional states

will be added, as needed.

• May offer additional services as related to awarded categories;

▪ CodeLynx will offer additional services that lie within the scope of work for this

contract. CodeLynx will make sure the items are listed under the master

agreement and agreed upon by the Purchasing Entity.

• Must ensure all equipment is compatible to the best industrial standards and must

function as designed after installation;

▪ All installations and materials will meet industrial standards, state and local

building codes, as well as fire and safety codes. All equipment will be warrantied

to function as designed. CodeLynx will provide only new material and

equipment, and will install these items in accordance with manufacturer’s

recommendations. CodeLynx will supply only UL-listed components or

equipment.

• Must designate a single point of contact to be the liaison for state information technology

staff to handle the day-to-day operations. References for this designee must be submitted

as part of the vendor’s proposal;

▪ Drew Weston will serve as the point of contact and contract manager for this

proposal. He can be contacted via email at [email protected] or by

phone at 843.266.2330, extension 301. Please see the Confidential Technical

Volume for Drew’s resume, credentials, and references.

• May not apply surcharges for transportation, fuel, energy, insurance or any other reason

throughout the duration of the contract(s); and

▪ CodeLynx will not apply any surcharges for transportation, fuel, energy,

insurance, or any other reason throughout the duration of the contract(s).

• Shall ensure permits must be current and remain current.

▪ CodeLynx will supply all permit documentations to the Participating Entity

Contact along with the expiration dates and recertification, when acquired.

When providing services, vendor must:

• Discuss findings with the Purchasing Entity’s point of contact prior to leaving site; and

▪ CodeLynx will immediately notify the Participating Entities Site Contact of any

findings prior to leaving the site and will follow up with a written report

detailing the issue(s). CodeLynx acknowledges and will conform to this

requirement.

• Submit a report including the findings no later than 24 hours after inspection.

▪ CodeLynx will submit a written report within 24 hours of the site visit for any

inspection resulting in findings.

• Inspections performed shall include the cost of the initial inspection, any required

maintenance, and any needed follow-up inspections (at no additional cost for the follow

up inspection).

▪ CodeLynx understands the terms for inspection and maintenance and will not

charge for any required follow-up inspection.

• Must be an authorized reseller of any manufacturer brand offered. Certification must be

made available to Participating Entities upon request.

▪ CodeLynx is an authorized reseller for all brands that we represent. Certifications

will be provided to the Participating Entity contact before work commences, or

as requested.

• Must not allow any part of the resulting contract from this solicitation be performed

offshore of the United States by persons located offshore of the United State or by means,

methods, or communications that, in whole or in part, take place offshore of the United

States.

▪ CodeLynx acknowledges this regulation and agrees to conform.

AGREEMENTS

The agreement between vendors and agencies will include, but are not limited to the

following:

• If vendors will require agencies to sign a subordinate agreement the subordinate

agreement must be approved by each Purchasing Entity prior to signing.

▪ CodeLynx acknowledges this requirement and agrees to conform.

• Awarded vendors shall provide separate quotes within 48 hours of request (unless

otherwise approved by Purchasing Entity) for each new or replacement installation as

required by the Purchasing Entity. Quotes should offer price differences for lease and

purchase options as requested by the Purchasing Entity.

▪ CodeLynx will provide separate quotes within 48 hours of request, as required by

Purchasing Entity for new or replacement installation. Quotes will include

purchase and leasing options, if required.

▪ Awarded vendors shall provide separate quotes within 48 hours of request (unless

otherwise approved by Purchasing Entity) for maintenance of new and existing systems as

required by each Purchasing Entity. Quotes should offer price differences for lease and

purchase options as requested by the Purchasing Entity.

▪ CodeLynx will provide separate quotes within 48 hours of request, as required by

Purchasing Entity for maintenance of new and existing systems. Quote will

include purchase and leasing options, if required.

▪ Purchasing Entity may have proprietary equipment. It will be the vendor’s responsibility

to work with or notify the Purchasing Entity regarding maintenance and repair of

proprietary equipment

▪ CodeLynx acknowledges that the Purchasing Entity may have proprietary

equipment. CodeLynx will work with or notify the Purchasing Entity when

proprietary equipment is encountered.

BACKGROUND CHECKS

▪ All background checks must be completed after contracts have been awarded, but prior

to any work being done.

▪ Background checks will be completed and filed with the Purchasing Entity after

the contract is awarded and prior to work commencing,

▪ All vendors’ employees providing on-site services to this contract must be required to

submit to and pass background checks. Upon request from Purchasing Entities, vendors

must provide copies of background checks or submit to additional security requirements.

▪ CodeLynx Company policy requires employees to pass drug screening and

undergo background checks as a prerequisite for employment at CodeLynx.

These checks consist of criminal arrests and convictions, Federal court records,

credit report, social security number trace, summary of residences, and a 10-

panel drug screening. Background checks will be filed with the Purchasing Entity

after the contract is awarded and prior to work commencing.

▪ All costs associated with background checks will be at vendor's expense.

▪ CodeLynx will bear the cost of all background and drug checks and shall provide

evidence, if required, for additional tests that may be required by hospitals,

government agencies, or any entities included under this contract.

It is the vendor’s responsibility to ensure the following:

▪ Vendors must not begin work on the contract until clearance has been issued by the

Purchasing Entity; and

▪ CodeLynx acknowledges this regulation and agrees to conform.

▪ Notification and access to facilities will be pre-authorized by Purchasing Entities.

▪ CodeLynx will provide an employee list along with the background check and

any other requirements to the Purchasing Entity or person in charge of the

contract prior to commencement of work for access approval. CodeLynx will

designate a site supervisor to coordinate access and approvals for installation or

service work 24 hours in advance to Purchasing Entity contact. CodeLynx

acknowledges this regulation and agrees to conform.

PUBLIC WORKS PROJECTS

▪ Any projects that are federally funded may be subject to the requirements of Davis-Bacon

Act and/or the Davis-Bacon Wage Decision.

▪ CodeLynx will comply with the requirements of Davis-Bacon Act and/or the

Davis-Bacon Wage Decision if required by the contract. CodeLynx acknowledges

this regulation and agrees to conform.

▪ Labor prices for affected projects may be negotiated between the using entity and the

contractor, provided the contractor provides adequate documentation for any negotiated

increase.

▪ Labor pricing will match the master contract pricing. Any negotiated price

increase will be adequately documented. Price increases will follow the rules of

the Davis Bacon Act or the prevailing regulation guidelines specified.

▪ Documentation may include payroll records, copies of wage decisions, and/or other

information that establishes a clear difference between the contractor’s standard wage

and the prevailing Davis-Bacon wage for any affected employee for that project.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Under no circumstances will that price be increased by an amount higher than the

difference between the normal hourly rate and the hourly rate required by the applicable

Davis-Bacon Wage Decision.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Vendors must include in job quotes the standard business hours and prevailing wage rate

for the job location. Quotes should include shift differential, if any, for working nights and

weekends.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Jobsites must be cleaned every day.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Awarded vendor(s) must complete any punch lists within five (5) days of receipt. Exceptions

to this standard may be addressed on an individual project basis.

▪ CodeLynx acknowledges and will comply with these requirements.

Asbestos

▪ Asbestos may be present within State-owned facilities, and may be encountered in

previously inspected buildings.

▪ CodeLynx acknowledges and will comply with these requirements. CodeLynx will

stop work and contact the Purchasing Entity’s contact if Asbestos is detected at

a location.

▪ Upon discovering asbestos or a suspected asbestos-containing material (ACM), all work

shall immediately stop in the affected area and contact the project manager and/or

building owner;

▪ CodeLynx acknowledges and will comply with these requirements.

▪ The project manager and/or building owner shall assume responsibility for taking material

samples for testing; and

▪ The project manager/building owner will convey all pertinent information regarding

asbestos test results to the vendor and, if necessary, conduct any required remediation

prior to resuming work in the affected area.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ All remediation work must be performed by a contractor specifically licensed and/or

certified to perform asbestos remediation.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Vendors may be held liable for violations of any applicable federal, state and/or local

environmental laws or regulations, whether committed through action or inaction.

▪ CodeLynx acknowledges and will comply with these requirements.

GENERAL REQUIREMENTS

▪ Vendors must guarantee workmanship at vendors’ expense for a period of twelve (12)

months from date of installation.

▪ CodeLynx warrants workmanship, installation, and materials for 12 months (1

year) after acceptance by Purchasing Entity. During the 1-year warranty period,

any equipment/product that is installed by CodeLynx that is determined to be

defective will be repaired and/or replaced according to manufacturer

specifications. Equipment/product replaced during the warranty period shall be

replaced per the manufacturer’s warranty replacement product/model.

▪ Work shall be performed in accordance with manufactures’ recommendations and with all

current local codes, regulations, and installation guidelines.

▪ CodeLynx acknowledges and will comply with all codes and recommended

standards of installation. These shall include, but are not limited to: Life Safety

and Fire Codes, OSHA safety codes, National Electric Code, and BICSI guidelines.

▪ The awarded vendor(s) may be required to do some work after normal business hours

(8am-5pm, unless otherwise specified by the Purchasing Entity); however, it is anticipated

that most work will be completed during normal business hours.

▪ CodeLynx understands that in some instances, work may have to be scheduled

after hours due to site operational considerations. CodeLynx will coordinate with

the Participating Entity if work is required beyond normal business hours. If work

is required beyond normal business hours by the Purchasing Entity, all wages and

regulations including the Davis-Bacon act will be followed.

▪ Vendor staff is responsible for performing a standard site walk-through and providing

competent personnel to perform the specific scope(s) required. Due to the nature of these

scopes of work and the liability involved, each Purchasing Entity will have the final

determination of competency in all matters regarding personnel provided by the vendor.

▪ CodeLynx acknowledges and will comply with these requirements. We will

provide resumes and credentials commiserate with the scope of work.

▪ Once the awarded vendor(s) has possession of the equipment to be installed, the

responsibility for all equipment, including storage during installation work, shall be at the

awarded vendor’s expense when storage space is unavailable at the jobsite.

▪ CodeLynx will provide secure storage for all equipment when jobsite storage

space is unavailable. This may be at our warehouse facilities, or in locked

vehicles, or secure portable storage and specialty containers. CodeLynx

acknowledges and will comply with these requirements.

PENALTY FOR IMPROPER PRICING

▪ It is the vendor’s responsibility to ensure that all prices proposed for all projects are

accurate and consistent with the terms of the contract.

▪ CodeLynx has accounting and audit procedures in place to provide contract

oversight and review to ensure that all terms and conditions of the contract are

upheld, followed, and met. CodeLynx acknowledges and will comply with these

requirements consistent with the terms of the contract.

▪ For all projects completed under this contract: if a vendor submits an invoice containing

incorrect pricing in favor of the vendor, that vendor shall submit a new, corrected invoice

with a 25% reduction in cost for each incorrectly priced item.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ If vendor continues to provide incorrect invoicing each Purchasing Entity has the option

to cancel their contract in its entirety without penalty.

▪ Vendors are not allowed to aggregate fees into contract after award has been made.

Failure to comply may be grounds for cancellation.

STANDARD OF PERFORMANCE AND ACCEPTANCE

▪ The Standard of Performance applies to all product(s) purchased under this Master

Agreement, including any additional, replacement, or substitute product(s), as well as any

product(s) which are modified by or with the written approval of the vendor and

acceptance by the Purchasing Entity.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ The Acceptance Testing period shall be seven (7) calendar days, or any other time period

identified in the solicitation or the Participating Addendum, beginning with the day after

the product is installed certification is received that the product is ready for Acceptance

Testing.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ If the product does not meet the Standard of Performance during the initial period of

Acceptance Testing, the Purchasing Entity may, at its discretion, continue Acceptance

Testing on a day-to-day basis until the Standard of Performance is met.

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Upon rejection, the vendor will have three (3) calendar days to cure any Standard of

Performance issue(s).

▪ CodeLynx acknowledges and will comply with these requirements.

If, after the cure period, the product still has not met the Standard of Performance, the

Purchasing Entity may, at its option:

▪ Declare the vendor to be in breach and terminate the order;

▪ CodeLynx acknowledges and will comply with these requirements.

▪ Demand a replacement product from the vendor at no additional cost to Participating

Entity; or

▪ CodeLynx acknowledges and will comply with these requirements.

▪ The warranty period will begin upon the Purchasing Entity’s approval.

A. TRAVEL

▪ All travel will be negotiated within each PA. Travel may be subject to limits of the

Participating Entity’s rules.

▪ CodeLynx acknowledges and will comply with these requirements.

B. AUTHORIZATION TO WORK

▪ Contractor is responsible for ensuring that all employees and/or subcontractors are authorized

to work in the United States.

▪ CodeLynx uses E-Verify to verify that all employees can legally work in the

United States. We will require the same of any subcontractors that are utilized

within the scope of this contract. CodeLynx acknowledges and will comply

with these requirements.

C. SYSTEM COMPLIANCE WARRANTY

▪ Licensor represents and warrants: (a) that each Product shall be Date Compliant; will operate

consistently, predictably and accurately, without interruption or manual intervention, and in

accordance with all requirements of this Agreement, including without limitation the Applicable

Specifications and the Documentation, during each such time period, and the transitions

between them, in relation to dates it encounters or processes; (b) that all date recognition and

processing by each Product will include the Four Digit Year Format and will correctly recognize

and process the date of February 29, and any related data, during Leap Years; and (c) that all

date sorting by each Product that includes a "year category" shall be done based on the Four

Digit Year Format.

D. TERMS AND CONDITIONS FOR GOODS

▪ The information in this section does not need to be returned with the vendor’s proposal.

However, if vendors have any exceptions and/or assumptions to any of the terms and

conditions in this section, they MUST identify in detail their exceptions and/or assumptions

on Attachment E, Technical Proposal Certification of Compliance. In order for any

exceptions and/or assumptions to be considered they MUST be documented in

Attachment E. The State will not accept additional exceptions and/or assumptions if

submitted after the proposal submission deadline.

E. EXPRESS WARRANTIES

▪ For the period specified on the face of the Contract, Contractor warrants and represents each

of the following with respect to any goods provided under the Contract, except as otherwise

provided on incorporated attachments:

Fitness for Particular Purpose

▪ The goods shall be fit and sufficient for the particular purpose set forth in the RFP or other

solicitation documents.

▪ CodeLynx acknowledges and will comply with these requirements.

Fitness for Ordinary Use

▪ The goods shall be fit for the purpose for which goods of a like nature are ordinarily intended,

it being understood that the purpose for the goods covered by the Contract are ordinarily

intended is general government administration and operations.

▪ CodeLynx acknowledges and will comply with these requirements.

Merchantable, Good Quality, No Defects

▪ The goods shall be merchantable, of good quality, and free from defects, whether patent or

latent, in material and workmanship.

Conformity

▪ The goods shall conform to the standards, specifications and descriptions set forth in the

incorporated attachments. If Contractor has supplied a sample to the State, the goods

delivered shall conform in all respects to the sample and if the sample should remain in the

State's possession it shall be identified by the word "sample" and the signature of Contractor's

sales representative.

▪ CodeLynx acknowledges and will comply with these requirements.

Uniformity

▪ The goods shall be without variation, and shall be of uniform kind, quality, and quantity within

each unit and among all units.

▪ CodeLynx acknowledges and will comply with these requirements.

Packaging and Labels

▪ The goods shall be contained, packaged, and labeled so as to satisfy all legal and commercial

requirements applicable to use by a government agency, including without limitation, OSHA

material safety data sheets and shall conform to all statements made on the label.

▪ CodeLynx acknowledges and will comply with these requirements.

Full Warranty

▪ The foregoing warranties are "full" warranties within the meaning of the Magnuson-Moss

Warranty - Federal Trade Commission Improvement Act, 15 U.S.C. § 2301 et seq., and

implementing regulations 16 C.F.R. pts. 700-703, if applicable to this transaction.

▪ CodeLynx acknowledges and will comply with these requirements.

Infringement Indemnity

▪ Refer to Attachment A ~ NASPO ValuePoint Master Agreement Terms and Conditions,

Section 33.

▪ CodeLynx acknowledges and will comply with these requirements.

Usage of Trade; Course of Dealings; Implied Warranties

▪ Contractor shall also be bound by any other implied warranty that, at the time of execution of

the Contract, prevails in the trade of government in the marketing area in and about the State

of Nevada. Contractor shall also be bound by any other implied warranty arising through

course of dealings between Contractor and the State from and after the execution of the

Contract. Contractor shall also be bound by all warranties set forth in Nevada's Uniform

Commercial Code (NRS Title 8) in effect on the date of execution of the Contract.

Warranties Cumulative

▪ It is understood that warranties created by the Contract, whether express or implied, as well as

all warranties arising by operation of law that affect the rights of the parties under the Contract,

are cumulative and should be construed in a manner consistent with one another.

▪ CodeLynx acknowledges and will comply with these requirements.

Priority of Warranties

▪ If it is held by a court of competent jurisdiction that there is an irreconcilable conflict between

or among any of the warranties set forth in the Contract and any warranties implied by law, the

parties agree that the specifications contained in the Contract shall be deemed technical and

mere language of description.

▪ CodeLynx acknowledges and will comply with these requirements.

Beneficiaries of Warranties

▪ Benefit of any warranty made in the Contract shall be in favor of the State of Nevada and

Participating Entities, any of their political subdivisions or agencies, and any employee or

licensee thereof who uses the goods, and the benefit of any warranty shall apply to both

personal injury and property damage.

▪ CodeLynx acknowledges and will comply with these requirements.

Delivery; Inspection; Acceptance; Risk of Loss

▪ Contractor agrees to deliver the goods as indicated in the Contract, and upon acceptance by

the State, title to the goods shall pass to the State unless otherwise stated in the Contract. The

State shall have the right to inspect the goods on arrival and, within a commercially reasonable

time, the State must give notice to Contractor of any claim or damages on account of condition,

quality, or grade of the goods, and the State must specify the basis of the claim in detail.

Acceptance of the goods is not a waiver of UCC revocation of acceptance rights or of any right

of action that the State may have for breach of warranty or any other cause. Unless otherwise

stated in the Contract, risk of loss from any casualty, regardless of the cause, shall be on

Contractor until the goods have been accepted and title has passed to the State. If given any,

the State agrees to follow reasonable instructions regarding return of the goods.

No Arrival; No Sale

▪ The Contract is subject to provisions of no arrival, no sale terms, but proof of shipment is to be

given by Vendor, each shipment to constitute a separate delivery. A variation of ten days in

time of shipment or delivery from that specified herein does not constitute a ground for

rejection. The State may treat any deterioration of the goods as entitling the State to the rights

resulting from a casualty to the identified goods without regard to whether there has been

sufficient deterioration so that the goods no longer conform to the Contract.

▪ CodeLynx acknowledges and will comply with these requirements.

Price; Taxes; Payment

▪ The price quoted is for the specified delivery, and, unless otherwise specified in the Contract, is

F.O.B. to the delivery address specified above. Unless otherwise specified in the Contract, the

price does not include applicable federal or State sales, use, excise, processing or any similar

taxes, or duty charges, which shall be paid by the State, or in lieu thereof, the State shall provide

Vendor with a tax exemption certificate acceptable to the applicable taxing authority. Unless

otherwise specified in the Contract, payment shall be made for Orders by State agencies by

warrant drawn on the State of Nevada (in accordance with Nevada law) and mailed to Vendor

at the address specified above (or to assignee if assignment is acknowledged by the State)

within the time specified above.

▪ CodeLynx acknowledges and will comply with these requirements.

Category 1: Access Control Systems

1.1.1. All aspects of access control system services.

CodeLynx is experienced in all aspects of access control systems installation, upgrade, and

maintenance. We work closely with many manufacturers as Value Added Resellers (VAR).

This involves initial consultation with end-users, design, and engineering of systems,

installation and implementation, as well as training end-users and providing maintenance.

Our technicians are required to be factory trained for all of the access control manufacturers

that we represent. CodeLynx has the capacity to perform all related services to implement

these systems. These tasks can include mounting of door hardware, cable pulling and

termination, configuring the software as required for each customer, test and checkout,

integrations with various systems, and training for the site personnel. CodeLynx can provide

detailed Installation Design Plans for documentation of as-built systems.

1.1.2 Installation of new systems.

Since our inception in 2003, CodeLynx has been designing, installing, upgrading and

maintaining access control systems. CodeLynx employs engineers and technicians that have

been in the security industry and the access control arena for decades. CodeLynx serves as a

Value-Added Reseller (VAR) for many leading manufacturers, such as AMAG, Avigilon, Open

Options, Kantech, S2, among others. We have factory-trained technicians who are well

versed in all aspects of Access Control System installation and commissioning.

Most access control systems in today’s market use Microsoft SQL as their database structure.

CodeLynx is a Microsoft Gold Partner, and in addition to our Security System Department,

we also have a Software Development Department. CodeLynx has the ability to draw on our

Microsoft SQL engineering talent for access control projects that require a higher level of

integration or migration.

CodeLynx provides services in all aspects of new access control systems and equipment

including, but not limited to:

▪ Security network infrastructure

▪ Access control systems (ACS)

▪ Badging Systems, physical installation and software layouts of badges

▪ Database Migration and Integration

▪ All types of Card Readers, Prox, iClass, Mifare etc.

▪ Biometrics

▪ Close circuit video (CCV), integrated with access control

▪ Various security intrusion detection and initiating devices

▪ Perimeter detection, dedicated uninterruptible power supplies and batteries

▪ Physical Barriers and Gate Control, mechanical and optical turnstiles

▪ Emergency Call Stations, integrated intercoms

▪ Control Room Installation and Video Walls

▪ Specialize Software Development with Access Control Systems

The CodeLynx Team will obtain any required permit(s) to perform installation. Each newly

installed system will have equipment and wiring clearly labeled. All equipment will be fully

integrated into Purchasing Entity’s existing Network Systems. A performance verification

test will be performed and presented to the Purchasing Entity Contact before scheduling

final acceptance testing. For each installation, a Project Integration Packet (PIP) will be

submitted with each project completion. The PIP will include the following

documents/forms, but not limited to:

▪ Field Panel Hardware

▪ Equipment Warranty Information

▪ As Built Drawings

▪ Equipment Manuals

The work is not considered complete until the CodeLynx Project Team has performed all

adjustments, user training and final performance verification testing with the Purchasing

Entity’s Contact. Once the installation is complete, we will provide the Purchasing Entity’s

Contact with a completed PIP package.

Cleanup and trash removal will be performed daily on all CodeLynx projects. Safety

meetings and site safety plans will be accomplished per the CodeLynx Safety Handbook.

1.1.3 Replacement or upgrade of systems.

CodeLynx has many years of experience in replacement or upgrades to existing access

control systems. The CodeLynx Team’s methodology is to first analyze the system to be

replaced, with attention to which components are safe or effective to re-use with the

upgraded system. Many times we are able to re-use the existing wiring and door hardware,

providing the customer with a more economical solution. When replacing or upgrading a

system, CodeLynx strives to minimize the down time at each access control point. Ideally an

individual cardholder should not realize a change when the new system goes live. We

believe communication with the customer and precise scheduling is the key to success. We

have also found that converting the old database to the new system database can eliminate

the need to rebadge the cardholders, which saves the customer valuable time and money.

Our Software Department is capable of performing the SQL database conversions, if

necessary. Every installation is different, and CodeLynx specializes in engineering the right

solution for each customer, whether it is a complete replacement or an upgrade utilizing

existing infrastructure.

The CodeLynx team will provide the same installation standards and methods for

replacements and upgrades as we do for new installations. The CodeLynx team will prepare

a Project Integration Packet (PIP) to provide the updated system configuration and

condition. Prior to removal, all equipment will be de-energized with proper lockout/tagout

procedures in accordance with OSHA requirements. CodeLynx’s certified technicians will

remove equipment and/or components. System verification tests will then be completed and

reflected in the PIP. Drawing packages will also be updated to reflect the changes. All

discarded equipment, circuit boards, batteries, and associated gear will be discarded in

accordance with Purchasing Entity’s recycling and removal procedures of the Purchasing

Entity. CodeLynx will be responsible for all cleanup and removal of debris from the work

area on a daily basis.

1.1.4 Removal of existing systems.

From time to time, CodeLynx has been tasked to remove existing access control systems.

This is usually the case when a customer is moving to another facility and needs to salvage

the equipment that is installed there. The important considerations in this instance are

employee safety and careful treatment of the equipment to be re-used. Key safety concerns

include the de-energizing of all components prior to their removal. CodeLynx will follow all

OSHA lockout/tagout safety procedures per the CodeLynx safety handbook when

decommissioning these systems. Batteries will be removed and protected from accidental

energizing. All components will be removed from the walls or door frames as needed, and

cosmetics completed to restore the area to original condition, if necessary. Safety

cones/barriers/tape will be used to keep pedestrian traffic away from the work areas. All

wires and conduits should be removed from the walls and ceilings. All trash and debris will

be cleaned up on a daily basis. Any unneeded equipment or parts will be disposed of or

recycled according to the customer’s approved procedures.

1.1.5 Integration of various types of systems.

The CodeLynx team has a diversified set of talents related to security system integrations.

Our Security team is experienced in system integration with Burglar Systems, Access Control

systems, Video Management Systems, Point of Sale systems, and video intercom systems.

CodeLynx technicians are also proficient with network protocols, wireless devices, display

systems, and many other integrations that provide complete situational awareness

capabilities. Additionally, our Software Development team can provide custom integrations

using the manufacturers’ Software Development Kits (SDK). The CodeLynx Software team is

well-versed in many software program languages has extensive experience providing

custom integrations for most types of applications. This includes integrations that leverage

the off-the shelf video analytics capabilities found in many camera manufacturers’

products.

1.1.6 Provide and install all related equipment and any items necessary for operation and

installation of equipment such as wires and fasteners that are needed to complete work.

CodeLynx provides and installs all equipment and related hardware, cable, conduit,

fasteners, hangers, etc. necessary to provide a turnkey access control solution. We have long

standing relationships with many security and electrical distributors, which ensures that we

can provide any equipment or parts at a competitive price with reasonable lead times. All

related equipment must meet the Purchasing Entity’s requirements, state codes, and will be

installed by certified technicians.

1.1.7 Maintenance and repair (including emergency repairs) of systems

CodeLynx is also a security system maintenance provider. We have many long-term

maintenance contracts in place. Our services are customizable per customer needs or

budgets. CodeLynx currently holds maintenance contracts where we provide full-time

technicians at a site. Some contracts are periodic preventative maintenance visits, with

emergency calls when needed. Some contracts are just emergency visits. The type of

maintenance is based on what the customer needs and the complexity of the system.

1.1.7.1 Respond on site to trouble calls within four (4) hours, including weekends and holidays.

CodeLynx provides maintenance service contracts based on the individual customer needs.

We can tailor our responses to onsite trouble calls to specific client needs, but at a minimum

the response shall be within 4 hours, including weekends and holidays, if the customer

desires this level of service. CodeLynx has many such long-term maintenance contracts in

place with technicians on-call at all times. Our technicians can provide non-emergency and

emergency repair service within 4 hours to the Purchasing Entity’s site at the time of receipt

of call, 24/7/365. CodeLynx provides multiple means of contact based on the size and scope

of the contract engagement; as such, the CodeLynx Team will provide contact telephone

numbers, email and other service call procedures, as agreed with the Purchasing Entity.

1.1.7.2 Repair personnel must carry adequate hardware inventory to replace, repair, and/or

maintain each system at the time dispatched.

The CodeLynx Team will provide spare equipment and parts to ensure that the system

remains fully operational. CodeLynx maintains a warehouse with inventory, hardware, tools

etc. required to maintain security systems. Inventory is stocked based on the systems that

we are contracted to maintain. Work trucks are supplied with general supplies and tools,

ladders, etc. to complete most onsite repairs.

1.1.7.3 Repair personnel must be prepared to provide an immediate replacement for defective

equipment and shall not remove a defective unit without an immediate replacement.

CodeLynx technicians will provide replacement equipment, as needed, to restore the system

to operational condition. Technicians will not remove a defective unit without an immediate

replacement, unless it is malfunctioning in a way that may present a danger to the personnel

or the facility (such as overheating or electrical sparking, etc.).

1.1.7.4 Replacement and repair of equipment must be provided to a specific location, or within an

assigned geographical area inside a location.

CodeLynx will replace and repair equipment at the desired geographical location or area

within that location, as designated by the customer.

1.1.8 Provide programming and work individually with each participating state’s information

technology staff when installing new or maintaining previously installed systems.

CodeLynx technicians work closely with Customer IT Department personnel by providing the

level of service needed within the guidelines and boundaries specified by the agency or

entity for whom we are providing service.

We customarily request all IP addresses from the IT department, but we perform no network

configuration without full communication and collaboration with the proper IT officer.

CodeLynx provides the level of programming and configuration that is needed within our

access control systems and components. This includes backups, patches, upgrades or

restores, as needed.

As a Microsoft Gold Partner, we adhere to all Information Assurance (IA) best practices for

server hardening and system administration to meet all compliance guidelines and relevant

polices and regulations that affect the customer environment.

Purchasing Entity locally and through call centers.

The CodeLynx security integration team specializes in the full life-cycle deployment of

integrated electronic burglar alarm systems from initial risk assessment, to design,

installation and long-term maintenance. CodeLynx is a Value-Added Reseller (VAR) for

several leading manufacturers in the alarm industry. CodeLynx provides cutting-edge

products to meet any customer needs, including products from vendors such as: Honeywell,

DSC, DMP, GE, Bosch and many other brands.

CodeLynx offers 24-hour alarm monitoring through a UL listed monitoring station with the

ability to receive alarms via radio, cell phone, landline, and network attached devices with

backup capabilities.

1.2.2 System Monitoring

CodeLynx will work with the Purchasing Entity’s communication team to design and

1.2.3 Installation of new systems.

CodeLynx is experienced with design, installation and maintenance of many types of

Burglar Alarm systems. Our technicians have worked with all types of intrusion detection

devices for protection of customers’ premises and perimeters. CodeLynx technicians are

certified to install and configure controller panels and keypad interfaces. Installation

services may include modifications to existing security systems equipment.

The services for new and existing burglar alarm equipment include, but are not limited to:

The CodeLynx Team will obtain any required permit(s) to perform installation. Each newly-

installed system will have equipment and wiring clearly labeled. All equipment will be fully

integrated into Purchasing Entity’s existing System. All equipment will be fully tested by a

certified technician prior to Purchasing Entity’s inspection and acceptance of the system. A

performance verification test will be performed and presented to the Purchasing Entity’s

Contact before scheduling final acceptance testing. Equipment will not be added to the

maintenance portion until the system has been fully accepted by the Purchasing Entity in

writing. For each installation, a Project Integration Packet (PIP) will be submitted with each

project completion. The PIP will include the following documents/forms but not limited to:

The work is not considered complete until the CodeLynx Team has performed all

CodeLynx technicians will follow all OSHA safety procedures. CodeLynx will abide by all

local Life Safety and Fire Ordinance codes. CodeLynx work will be in accordance with

National Electric Cod, BICSI guidelines, and industry standard practices. Cleanup of work

areas will be daily and trash will be disposed of or recycled, per the customer’s

recommended methods.

1.2.4 Replacement or upgrade of systems.

CodeLynx works closely with our customers to upgrade obsolete or aging systems, or

completely replace the system, if needed. Through our VAR relationships with many

manufacturers, we are periodically notified of End of Life systems. We keep our customers

informed of these developments and provide the recommended replacement information.

CodeLynx will provide the necessary services to keep the systems operational and effective.

CodeLynx will follow all of the same installation procedures and requirement during

upgrades and replacements as we follow during our new installations. We will provide the

same PIP information upon completion and all warranty services as with any new

installation.

1.2.5 Removal of existing systems.

CodeLynx is capable of decommissioning, uninstalling, and disposing of any obsolete

Burglar Alarm System. Again, safety is of utmost importance during this process. All circuits

must be de-energized per OSHA lockout/tagout procedures. Batteries must be removed with

their terminals insulated to prevent accidental contact with a conductor. Work areas must

be barricaded with safety cones/tape, etc. to deter pedestrian traffic. All equipment will be

removed and disposed of or re-used, if possible. All wiring and conduits can be removed and

walls/ceilings restored to original state, if part of the service contract.

CodeLynx technicians will follow all OSHA safety procedures. CodeLynx will abide by all

local Life Safety and Fire Ordinance codes. CodeLynx work will be in accordance with

National Electric Code, BICSI guidelines, and industry standard practices. Cleanup of work

areas will be daily and trash will be disposed of or recycled, per the customer’s

1.2.6 Maintenance and repair (including emergency repairs) of systems.

The CodeLynx Team will respond to service calls as required by the master contract and / or

the Purchasing Entity’s contract, if it differs from the master contract. The assigned

technician will respond via telephone to Purchasing Entity within one hour of receiving the

service request. The technician will contact the Purchasing Entity representative before

arriving at any location. All service calls, once started, will be worked until equipment is

returned to serviceable condition within the period stated in the service level agreement.

Status of the service performed will be logged into our ZEVA Work Order management

system based on the service performed before leaving the site. This status update will

include information such as:

▪ Any malfunctions found and corrective action(s) taken for each service call, including

parts/materials used.

▪ Upgrade suggestions to improve operation of the security system if warranted.

▪ Time and duration of performance.

The CodeLynx technicians will be responsible for moving, protecting, and replacing

furnishings in the work area when the work is complete.

The CodeLynx technicians will contact the Purchasing Entity’s Security Representative at

each location prior to the start of work to arrange for security escorts into secured areas. If

the technician determines that the repairs cannot be accomplished with the parts on hand,

he/she will notify the on-site Purchasing Entity to ensure that the affected area is properly

secured. The technician will not leave the building unsecured at any time.

Representative activities performed by the CodeLynx Project Team will include, but are not

limited to:

▪ Investigating all trouble tickets presented and taking corrective actions.

▪ Providing onsite and after-hours remote access support or phone support in the event

of a system failure.

▪ Taking actions to prevent or mitigate redundant service requests by scrutinizing all

system trouble tickets presented.

▪ Updating appropriate web-portal reporting databases to reflect the current status of

pending and completed service calls.

▪ Providing technical support for the Burglar Systems and performing routine repairs.

▪ Managing and directing all technicians responding to service and maintenance calls.

▪ Contact the Purchasing Entity’s representative to acknowledge service has been

complete before leaving the site.

1.2.7 Integration to existing systems as requested.

The CodeLynx Team has a diverse set of talents related to system integrations. First, we have

a Security team that is experienced in system integration with Burglar Systems, Access

Control systems, Video Management Systems, Point of Sale systems, and video intercom

systems. Second, we have a Software Development team that can provide custom

integrations using the manufactures Software Development Kits (SDK). The CodeLynx

Software team is well-versed in many software program languages making custom

integrations for almost any type of application. CodeLynx is a provider of turnkey Security

Systems, and we integrate many different technologies and devices to deliver complete

Security solutions to our customers.

1.2.8 Provide and install all related equipment and items that are needed to complete work.

CodeLynx provides and installs all equipment and related monitoring, hardware, cable,

conduit, fasteners, hangers, etc. necessary to provide a complete solution. We have long

standing relationships with many security and electrical distributors to ensure that we can

provide any equipment or parts at a competitive price with reasonable lead times. All wiring

and fasteners must meet the Purchasing Entity’s requirements, state codes, and will be

installed by certified technicians.

1.2.9 The authorized Purchasing Entity’s representative and/or designee will identify the

procedures by which work requests will be assigned.

CodeLynx agrees that the Purchasing Entity representative will identify the procedures by

which work requests will be assigned. The CodeLynx Project Manager will coordinate with

the designee to manage the fulfillment of work requests.

1.2.10 Existing systems must be matched in any new additions or new construction. During

renovations, the system in the renovated area being replaced must match the system that

is currently in operation and must become an integral part thereof. Vendors must ensure

complete connectivity and integration to each existing system in those instances where an

addition or upgrade is warranted.

Any new system installation or renovation that will be an addition to an existing system

will be matched by manufacturer, system, software version, and will be fully compatible

with the existing system, so as to provide a seamless addition.

1.2.11 Designate a single point of contact who can address the programing needs of alarm

systems in use throughout the Purchasing Entity’s facilitates with a certified tech.

CodeLynx will designate a single Project Manager to address the programming needs of the

alarm systems in use. The Project Manager will work closely with the Purchasing Entity to

provide Certified Technicians with the proper skillsets as needed throughout the various

facilities.

1.2.12 Vendors must possess the ability to provide for individual access codes.

All the systems sold by CodeLynx offer the ability to program individual access codes. The

CodeLynx Technician along with the Programming Contact will train the Purchasing Entity’s

contact the system’s capabilities. These capabilities include:

▪ Master Code - use for programming.

▪ Individual Access Codes - The ability to add a separate code for an individual.

▪ Reports - The ability to see which code armed and disarmed the system.

CodeLynx will supply all documentation to the Purchasing Entity Contact. All configuration

changes will be verified, tracked and recorded in appropriate system logs or template

provided to the Purchasing Entity Contact. The logs will be maintained and available for

audit and troubleshooting purposes, if required.

on many Video Management platforms, and can provide the initial setup and configuration

services to commission the system. Out engineers work with various manufacturer

calculators and tools to specify the correct amount of hard drive storage required by the

CodeLynx provides maintenance and emergency repair for Video Surveillance Systems. We

currently have many long-term maintenance contracts in place and provide Technician

response at varying levels of service to, which includes up to 24/7/365 coverage. The

CodeLynx Team will respond to service calls as required by each specific contract. Typically,

the assigned technician will respond via telephone to Purchasing Entity within one hour of

receiving the service request. The technician will contact the Purchasing Entity

representative before arriving at any location.

All service calls, once started, will be worked until equipment is returned to serviceable

condition within the period stated in the service level agreement. Status of the service

performed will be logged into our ZEVA Work Order management system, based on the

service performed before leaving the site, unless work is performed after hours or weekend;

in those cases, the status will be logged the next business day before noon Eastern Time.

This status update will include information, such as:

▪ Any malfunctions found and corrective action(s) taken for each service call including

parts/materials used.

▪ Upgrade suggestions to improve operation of the security system, if warranted.

▪ Time and duration of performance.

The CodeLynx Team technicians will be responsible for moving, protecting and replacing

furnishings in the work area when the work is complete.

We understand that work in secured areas is required under this contract and that we will

not be granted unlimited access to these areas. The CodeLynx technicians will contact the

Purchasing Entity’s Security Representative at each location prior to the start of work to

arrange for security escorts into secured areas. If the technician determines that the repairs

cannot be accomplished with the parts on hand, he/she will notify the on-site Purchasing

Entity to ensure that the affected area is properly secured. The technician will not leave the

building unsecured at any time.

Representative activities performed by the CodeLynx Team will include, but are not limited

to:

▪ Investigating all trouble tickets presented and taking corrective actions.

▪ Providing after-hours remote access support or phone support in the event of a

system failure.

▪ Taking actions to prevent or mitigate redundant service requests by scrutinizing all

system trouble tickets presented.

▪ Updating appropriate web-portal reporting databases to reflect the current status of

pending and completed service calls.

▪ Providing technical support for the Physical Security Electronic Systems and

performing routine repairs.

▪ Managing and directing all technicians responding to service and maintenance calls.

1.3.5.1 Respond on site to trouble calls within four (4) hours, including weekends and holidays.

The CodeLynx ESS technician will respond via telephone to the Purchasing Entity within one

hour of receiving the service request. The technician will provide repair service within 4

hours to the Purchasing Entity’s site at the time of receipt of call, day or night. Response to

maintenance requests originating after core hours on Fridays will be responded to within 4

hours unless specified under the Purchasing Entity’s contract. The CodeLynx Team will keep

the Purchasing Entity Contact informed of telephone numbers at which we can be reached.

1.3.5.2 Repair personnel must carry adequate hardware inventory to replace, repair, and/or

maintain each system at the time dispatched.

As required, the CodeLynx Project Team will provide spare equipment and parts to ensure

that the system remains fully operational. CodeLynx maintains a warehouse with inventory,

hardware, tools etc. required to maintain security systems. Inventory is stocked based on the

systems that we are contracted to maintain. Work trucks are supplied with general supplies

and tools, ladders, etc. to complete most onsite repairs.

1.3.5.3 Repair personnel must be prepared to provide an immediate replacement for defective

equipment and shall not remove a defective unit without an immediate replacement.

CodeLynx technicians will provide replacement equipment, as needed, to restore the system

to operational condition. Technicians will not remove a defective unit without an immediate

replacement, unless it is malfunctioning in a way that may present a danger to the facility

or personnel (such as overheating or electrical sparking).

1.3.5.4 Replacement and repair of equipment must be provided to a specific location, or within

an assigned geographical area inside a location.

CodeLynx will replace and repair equipment at the desired geographical location or area

within that location as designated by the customer.

1.3.6 Integration to existing systems as requested.

The CodeLynx team has a diverse set of talents related to system integrations. We have a

Security team that is experienced in system integration with Access Control systems, Video

Management Systems, Point of Sale systems, and video intercom systems. We have a

Software Development team that can provide custom integrations using the manufacturer’s

Software Development Kits (SDK). The CodeLynx Software team is well-versed in many

software program languages, making custom integrations possible for most types of

applications. CodeLynx also has an Audio Visual (AV) Team that specializes in control room

or command center installations and video walls. The AV team, along with the Security

team, are capable of designing and installing complex control rooms projects to enhance

situational awareness for our customers. The AV team is certified to work with many of the

leading manufacturers, such as Barco, Creston, Panasonic, LG, to name a few.

1.3.7 Provide and install all related equipment such as wires and fasteners that may be needed

to complete work.

CodeLynx provides and installs all equipment and related hardware, cable, conduit,

fasteners, hangers etc. necessary to provide a turnkey solution. We use only new material

and equipment in all of our installations. We have long standing relationships with many

security and electrical distributors that ensure that we can provide any equipment or parts

at a competitive price with reasonable lead times. All wiring and fasteners will meet the

Purchasing Entity’s requirements, state codes and are installed by certified technicians.

1.3.8 Provide the option to use video cards for video surveillance.

CodeLynx is a certified reseller for many Video System manufacturers with different options

for video cards. We sell both off-the-shelf systems with factory installed graphics cards, and

we configure customized servers and workstations with various graphics cards, as specified

by our AV and computer hardware specialists. The CodeLynx team is trained and certified

in most Microsoft products and computer hardware installation and configuration. The AV

team is factory-certified on many large-scale video wall applications that require video

cards of all types with advance configurations. All the teams work together to provide the

Participating Entity’s desired outcome for recording and viewing video.

1.3.9 Vendors must offer video cards with various capacity sizes to meet all potential needs.

Capacity and specifications as determined by the Participating Entity.

CodeLynx will work with the Participating Entity to recommend, specify, and install Video

Cards of various performance standards to meet the needs of each particular application.

CodeLynx offers Graphics Cards from different manufacturers, and includes several types,

such as Analog, HDMI, DVI, DSP, SDI, and more. CodeLynx technicians are trained and

certified to install computer hardware components, such as video cards and hard drives.

The AV team works with specialized Video Displays and Graphic solutions in Control Room

environments of all sizes. All CodeLynx teams work together to provide an integrated Video

Surveillance solution for our end-users.

system, or request that the vendor build it for them.

The CodeLynx ESS team will work with the Purchasing Entity to choose the best option.

CodeLynx will submit the manufacture’s specification sheets to the Purchasing Entity so they

may decide if building or buying their own server or workstation is an option. If the

Purchasing Entity requires CodeLynx to build or buy a server or workstation, CodeLynx’s

certified network team will work closely with the manufacture and the Purchasing Entity to

meet all required specifications.

1.3.11 Offer a wide variety of indoor and outdoor cameras and wireless transmitters to work in

conjunction with video cards.

CodeLynx represents many manufacturers with different options for cameras, such as IP and

Analog, indoor, outdoor cameras, PTZ cameras, fisheye cameras, high impact and

temperature sensitive cameras, 360 degree cameras, 180 degree cameras, and analytic

cameras that will work with different manufactures of video cards and other systems.

CodeLynx has established long-term relationships with many distributors of Video and

Security equipment. Our outstanding credit performance and volume of sales with these

distributors allows us to purchase almost any video or security product at competitive rates

with short lead times.

CodeLynx was a pioneer in IP video over broadband wireless solutions, when in 2005 we

successfully designed and deployed several large-scale systems for the National Park

Service using Panasonic first generation IP cameras and Motorola Canopy Broadband

wireless transceivers. CodeLynx is a certified reseller for many wireless manufacturers, such

5. Customer Service

This section contains information corresponding with Section 4.4.2 of the Request for Proposal

in regard to CodeLynx’s plan and offerings for customer service.

a. What are your hours of operation and when are key account people available to us?

CodeLynx normal business hours are from 8:30 AM to 5:30 PM EST. Normal support

hours are from 8:00 AM to 6:00PM EST. After-hours support is available via an on-call

support technician from 6:01PM to 7:59AM EST. Key personnel are available via normal

business hours in the office, and Project Managers and Executive Sponsors generally

provide their assigned customers with cell phone numbers for 24x7 access.

b. Describe how problem identification and resolution will be handled.

CodeLynx uses a combination of resources to allow any personnel to identify a problem

and track it in our database, so that the institutional knowledge can be documented.

This allows support resources to see notes about problems identified during installation

or for service personnel to see the case notes associated with a prior support call or event

for the same device. This helps to speed problems to a faster resolution, and also to

identify trends or potential defects.

At kick-off or upon project completion, CodeLynx provides clients with clear contact

information and escalation paths to empower the client to contact the resources they

deem fit for a timely resolution. At project kick-off, the contact information will be for

members of the installation team. At project close-out, the contact information provided

will be for our support or service team.

c. How will you service our account? Describe the system you will use to manage our

account.

CodeLynx customer support and service personnel use a series of tools to track and

manage interactions with customers and their sites. This creates institutional knowledge

about the interactions with the customer and the problem being reported. This makes

troubleshooting and resolving an issue easier and less impactful to the customer. The

tools that are used in the capacity are a CRM database, our Quality Management system

ZEVA, and the suite of Microsoft communications tools.

d. How do you respond to customer complaints and service issues?

CodeLynx has as escalation hierarchy and response plan that allows customers to

contact the appropriate resources to get the issues resolved in a timely manner. For most

larger projects, CodeLynx provides customers with an Executive Sponsor.

e. How do you assess customer satisfaction?

CodeLynx uses internal and external methods to survey our customers for feedback and

overall satisfaction. These surveys use online tools and phone calls to seek information

about the satisfaction and any areas of improvements that the customer may suggest.

f. What are your quality assurance measures and how are they handled in your

organization.

CodeLynx uses a software tool called ZEVA to implement and manage our quality

assurance standards across all customer installations. ZEVA is a web-based tool that

tracks information down to the component level of an installation and allows us to view

information, work with the end-user to create a punch or remediation list, track changes

in quality over time by employee or by location, and perform comparative analysis

across organizations to benchmark against industry standards.

CodeLynx also uses industry standards for installation and service such as ASIS,

Electronic Security Association, and Federal quality standards used by agencies like the

Departments of Defense and Energy.

6. Promotion The information included below describes how CodeLynx will manage promotion for the NASPO

ValuePoint Master Agreement, as noted in Section 4.4.4 of the Request for Proposal.

a. Briefly describe how you intend to promote the use of the Master Agreement.

CodeLynx currently has Federal Contract Schedules such as the GSA Schedule 70 and

holds other Statewide contracts. We intend to market and promote this NASPO contract

in a similar manner to the way we have done so with those contracts. CodeLynx is an

active supporter, speaker, and exhibitor for government agency events such as the South

Carolina Association of Government Purchasing Officials (SCAGPO) and the South

Carolina Office of Small and Minority Business matchmaking events. CodeLynx also

participate in industry conferences and trade shows, holds open houses and road show-

type events to educate the security community and end-users about the technologies and

services available via these contracts.

b. Knowing that state procurement officials (CPO) must permit use of the Master Agreement in

their state, how will you integrate the CPO’s permission into your plan for promoting the

agreement?

CodeLynx currently works with the State of South Carolina on multiple Statewide and

Agency contracts. We are familiar with the terms and conditions set forth by the State

and how to adhere to them in our marketing efforts with the State.

c. Public entities are sensitive to “scope” issues, that is, whether performance is within the

intended scope of the solicitation as awarded. In the context of your method of promoting

agreements of this nature, how would you clarify any questions regarding the scope the

agreement with respect to any potential order?

We are very sensitive to this question, as we have had direct impacts of this described

situation, where a particular good may be used for multiple purposes and it is not clear

which contract or schedule is the appropriate and allowable to use to procure said good

or service. Cameras are one example, as they relate to this contract. The same camera

that is used for a security or surveillance application, can also be used as part of a video

conference or distance learning application. In the past, when situations like this have

arisen, CodeLynx has typically sought the engagement of the State Procurement Official

in charge of administering the various contracts for guidance and clarification for both

the end-user and the company.

d. How will your company manage due dates for administrative fee payments and usage reports?

CodeLynx has setup reporting mechanisms as part of our accounting system to identify

all sales subject to contracts such as this. This allows us to pull real-time reporting of

sales at any point in time from our accounting system. As we currently have to report to

the State of South Carolina and the GSA for similar functioning contract, we have built

into our Standard Operating Procedures a process for reviewing and internally certifying

the reporting each month and quarter to ensure that the reports are accurate and fees

are being remitted on a timely basis.

e. Through its Cooperative Development Coordinators and Education & Outreach team, NASPO

ValuePoint assists Lead States by engaging vendors in strategies aimed at promoting master

agreements. What opportunities and/or challenges do you see in working with NASPO

ValuePoint staff in this way?

CodeLynx welcomes the opportunity to partner with NASPO ValuePoint staff to educate

users about the process to utilize this contract and the benefits and terms and conditions

incorporated therein. There are opportunities to deepen the usage of this contract to

other agencies that are smaller and more limited, and to whom it would be most

beneficial given their limited procurement resources.

The two greatest challenges for promoting this and other NASPO contracts would be

inundating end-users to the point that they stop paying attention to the message and

communications limitation placed on some agencies. Several of the previously

mentioned events hammer multiple Statewide or Cooperative purchasing contracts to

the attendees. Likewise, the participants that typically don’t use contract such as this are

generally closed off and do not typically participate in common industry or State

sponsored events. We have found this to be particularly the case with Quasi-

Governmental organizations and Authorities, particularly those organizations with

multiple funding sources such as a combination of tax dollars, donations, and fees for

services.

7. Usage Fee and Reporting Plan Responses to this section refer to the questions included in section 4.4.5 of the Request for

Proposal, as related to the formation of a current and detailed plan for meeting the usage fee and

reporting requirements of NASPO ValuePoint and Participating States.

The plan shall include but not be limited to the following components:

a. Offerors shall identify the person responsible for providing the mandatory usage

reports.

Drew Weston is responsible for all contractual obligations and will manage the

reporting and submission of fees associated with the performance of this contract. His

resume can be found in the Key Personnel Resume section of the Confidential Technical

Volume.

b. Offerors shall identify the method and frequency in which usage data will be collected

from authorized distributors.

CodeLynx will keep real-time information on all orders placed under this contract using

internal accounting systems. In the event CodeLynx uses a subcontractor in the future,

our team will continue to keep records of every transaction in our own accounting system

and will use the reports submitted via the subcontractor to validate information in the

CodeLynx accounting system. CodeLynx will maintain the responsibility to provide

reports in an accurate and timely manner of any subcontractors.

c. Offerors shall identify the method in which usage fees will be distributed to NASPO

ValuePoint and applicable Participating States.

CodeLynx currently uses electronic and hard copy methods to remit fees on similar

contracts depending on the preference of the agency. As a means of efficiency, CodeLynx

prefers to use electronic methods of reporting and fee submission via either Electronic

Funds Transfers or Credit Card.

d. Offerors shall identify the method in which up to date information will be provided to

NASPO ValuePoint and the Lead State Contract Administrator

CodeLynx captures all transaction information in real-time in our accounting system.

As such, reports are able to be provided on an ad-hoc basis, in addition to the regularly

Project Management At CodeLynx, we know customer relationships are critical to successful project execution. Clearly

defined and managed expectations, ongoing communication, and delineated roles and

Safety Our staff members go through a robust safety and security training upon employment with

CodeLynx as well as periodic refresher training at least annually. We utilize organizations such as

the Defense Security Services’ Center for Development of Security Excellence, North American

Electric Reliability Corporation, the Mid-Atlantic Safety Council and others to train all of our

employees as part of their on-boarding or pre-site entry process. The majority of our technicians

have the OSHA 10 safety certification. This allows us to ensure that our staff and our sub-

contractors are following all of the applicable industry standards both from a safety standpoint,

as well as to ensure we are complying with the applicable standards for the systems we are

accessing or implementing. CodeLynx has developed a Safety Manual that is available upon

request.

Integration CodeLynx is not a typical Electronic Security Systems Integrator. Our team takes pride in our

organization’s diverse skills, and leverages those dynamic capabilities to provide complete

integration services. This means in addition to the normal VAR relationships with hardware and

software firms in the industry, CodeLynx also has partnerships with leading industry technology

providers, which allows our team to customize, extend, integrate and enhance partner

applications.

The CodeLynx team also maintains API and SDK systems for many of the largest security

manufacturers in order to leverage their out-of-the-box software and hardware products in order

to create new solutions for security challenges. For example, CodeLynx is a member of the
