SECTION - I

THE WORK AND EXECUTION

1.0 BACKGROUND

The Work is being executed by The National Institute for Entrepreneurship

and Small Business Development (NIESBUD) on behalf of the CSC e-

Governance Services Limited, New Delhi, Department of Electronics &

Information Technology (DeitY), Ministry of Communications and

Information Technology, Government of India.

The Company is the Special Purpose Vehicle (SPV) for implementing

the Common Services Centre Scheme which is a part of the ambitious

National e-Governance Plan (NeGP). The Common Services Centres

(CSCs), to be set-up/implemented under a Public Private Partnership

(PPP), have been positioned as front end delivery outlets for delivery of

Government as well as Private Sector Services. Basically, CSC is an outlet

operated (and mostly owned) by a Village Level Entrepreneur (VLE).

2.0 CSC 2.0 PROJECT

2.1 The CSC 2.0 Project has been formulated by the Ministry of

Communications and Information Technology in pursuance of the

Government’s commitment to set-up CSCs in all 2.5 lakh Gram

Panchayats to provide the Services in rural areas under the Digital India

Programme.

3.0 COMMON BRANDING FOR CSCs

The design and appearance of the Common Services Centre’s shop

front and its signage has a big impact on persons visiting these Centres.

The Project provides that CSCs will have a common national branding

along with State/UT co-branding to ensure a standardized nation-wide

user experience.

DeitY has approved the Common Branding Logo. The Project provides

for assistance to each authenticated VLE for display of Common

Branding at the CSC.

The Signages comprised in the RFP are being got fabricated as a part

of this assistance under the Project.

4.0 STATES OF IMPLEMENTATION

The RFP is for fabrication, supply and installation of Signages in the

following States as per numbers indicated against each of them :-

While the above numbers represent Signages to be fabricated and

commissioned during the current year, the Institute reserves the right to

engage the same Vendor(s) for fabrication etc. of the Signages for the

year 2017-18 as well either for these States or others which may be

assigned to the Institute from time to time.

5.0 SPECIFICATIONS OF SIGNAGES [SIZE 6 FEET (W) × 3 FEET (H)]

5.1 The Signages have to be hosted on a iron frame with flex printing along

with appropriate light arrangements as per the Specifications mentioned

in Annexure-2.

6.0 SCOPE OF WORK

The scope of Work comprises of :

• Understanding the Guidelines of the Common Branding Scheme of

the Project.

• Fabrication of the Signages as per specifications prescribed.

• Delivery of the Signages at the designated point(s) in each District.

• Warranty/Guarantee cover for a period of one year from the date of

respective installation (on all the items except the normal wear and

tear). However, different components of the Signages will carry the

Manufacturers' respective Guarantee/Warranty. The Vendor will duly

assist NIESBUD in enforcing the same as may be required from time

to time.

During the period of Guarantee/Warranty, the concerned

defective or non-functional component will be replaced within 3

working days of receiving the information in this regard.

NIESBUD shall place different Order(s), upon the Vendor(s) in consonance

with the phased delivery as above with each subsequent Order

immediately following the successful delivery of the earlier lot.

However, all such Orders shall represent a continuum under the

Agreement.

7.0 UNDERSTANDING THE SCOPE OF WORK AND SEEKING CLARIFICATIONS

The Proposers, in their own interest, are advised to go through all the

relevant details of the Request for Proposal and expectations from them

before submitting the Bids.

While all the relevant details have been incorporated in the following

Sections, the Proposers may ask for further details/clarifications through

sending an e-mail at [email protected] latest by 22.02.2017

which will be replied within 02 days.

All Clarifications sought and provided will form an integral part of the

Agreement to be executed with the Vendor(s).

8.0 DELIVERY OF THE SIGNAGES

The Signages will be delivered at a central place of the concerned District

in the State.

The details of the Delivery Points at different places will be intimated

coinciding with award of the Work.

9.0 DELIVERY SCHEDULE

The delivery shall include the installation and commissioning of the

Signages at the designated places.

The details of places of installation and commissioning shall be duly

intimated at least 03 days prior to the scheduled delivery.

9.4. The Institute may assist in inter-state transfer of the finished Signages

only through making available documentation as may be required by the

designated authorities for the purpose of transfer from one State to the

other.

SECTION - II

THE PROPOSERS AND BIDS

1.0 ELIGIBILITY CONDITIONS FOR PROPOSERS

The Proposer should be either a Firm or Company with fabrication or

assembly of Signages (illuminated) as its principal business.

The Proposer should be in existence for at least the last three years.

The Proposer should have its own Unit for fabrication (composite) or

assembly of the Signages of similar nature.

The Proposer should have minimum average annual turnover during the last

three years from fabrication and assembly of Signages business

: as per details given below :-

• In case of Bids for U.P. 500

• In case of Bids for Punjab and Haryana 130

• In case of Bids for North Eastern States 75

The Proposer should be registered under all the relevant Statutes for

execution of the Work.

The Proposer should not have been blacklisted by any Government/Public

Organization either of the Central Government or State Government(s).

2.0 CONSORTIUM

Consortium, not having more than 02 Members, are also eligible to submit

the Proposals.

Both the Members of a Consortium should fulfill the Eligibility Conditions

mentioned at 1.1 and 1.2 above.

However, one Member of Consortium may have its principal business

as advertising, marketing, outdoor publicity, printing of flex for signages

and fabrication, assembly & installation of glow sign boards.

Either Member may fulfill the Eligibility Condition mentioned at 1.3.

While both the Members should be registered under all the relevant

statutes, their combined turnover will be taken into account for determining

their eligibility in terms of Clause 1.4 above.

Neither Member should have been blacklisted for rendering any kind of

services by any Government/Public Organization either of the Central

Government or State Government(s).

3.0 EARNEST MONEY DEPOSIT

The Earnest Money Deposit prescribed for submission of Bids for different

States is as follows :-

The EMD, in the form of a Pay Order/Bank Draft drawn in favour of

"NIESBUD" payable at "NOIDA" is to be enclosed in Packet-I

(Technical Bid) failing which the Bid will be rejected summarily.

The EMD of the Proposers which have not been technically pre-qualified

will be returned within 07 days of decision thereof. No interest shall be

payable on the EMD.

The EMD of the Proposers may be forfeited if :

• The concerned Proposer withdraws the Bid during the prescribed

period of validity of the Rate(s).

• In case of the successful Proposer if it fails to sign the Agreement

on the date and time specified for the purpose or commence

execution of the Work from the agreed date.

4.0 PROPOSALS FOR DIFFERENT STATES

A Proposer is at Liberty to bid for a particular State (except in case of Punjab &

Haryana which have to be covered through one Proposal only) or more than one

State or for all the States.

In case a Proposer submits Proposal for more than one State, the

prescribed minimum average annual turnover for the last three years,

shall be aggregated for determining eligibility in terms of sub-clause 1.4

above.

For an example, if a Proposal is for the States of Punjab & Haryana

and North-eastern States, then such a Proposer’s (or of Consortium)

minimum average annual turnover should be Rs. 205 lakh (Rs. 130 + 75

lakh).

Similarly, the Earnest Money Deposit will also be aggregated and

submitted accordingly.

In the above example, the Earnest Money Deposit would be Rs. 5

lakh (Rs. 3.20 + 1.80 lakh).

5.0 PREPARATION OF BIDS

The RFP must be downloaded from the Website of the Institute (No Hard Copies will

be made available).

The Proposers must complete and submit the RFP without making any

additions or alterations therein.

All entries by the Proposers should be in one ink and should be written in

a legible manner. Ideally, the desired details should be printed and

submitted.

All pages of the RFP shall be initialled at the lower right hand corner and

stamped by the authorised representative of the Proposer.

5.5 Incomplete, conditional and irrelevant Proposals/Bids are liable

to be rejected.

6.0 SUPPORTING DOCUMENTS

The Proposer(s) are to invariably enclose the following Supporting

Documents along with their Proposals for evidencing/authenticating

fulfillment of each of the Eligibility Conditions mentioned above :-

a) Firm or Company : Partnership Deed (Registered) or

Certificate of Incorporation of the

Company.

b) Principal Business : Copy of Partnership Deed or

Memorandum of Association of the

Company.

c) Fabrication Unit : i) A confirmation on the

Letterhead of the Firm or

Company about owing and running

fabrication (composite) or

assembly unit.

ii) The ownership/title papers of

the premises from which the said

Unit is running.

iii) In case of rented premises,

copy of the Rent/Lease

Agreement.

d) Turnover : Copies of Audited Books of

Accounts for the years 2013-14,

2014-15 and 2015-16.

e) Registration under Statutes : Copies of all the registrations as

may be applicable e.g. VAT,

Service Tax etc.

f) Blacklisting : A confirmation on the Letterhead

of the Firm or Company.

In case of Consortium, the Proposal shall contain the Consortium

Agreement or Deed and the above documents, as may be applicable, in

respect of both the Members.

A Proposal without the above Supporting Documents is likely to be

rejected summarily.

All the Supporting Documents are to be enclosed in Packet-I : Technical

Bid.

7.0 AMENDMENT OF RFP

At any time, prior to expiry of the prescribed period for submission of the

Proposals, NIESBUD may, for any reason whatsoever, modify the RFP

through up-loading the same on the Website and may also suitably extend

the time limit for submission of the Proposals through placing the Extension

Notification on its Website.

The amendments thus notified will form an integral part of the Agreement.

The Proposer(s) will submit the Amendments also duly signed as per the

prescribed procedure, in Technical Bid (Packet-I).

8.0 SCHEDULE OF RATES

The Proposer(s) shall quote a single Rate per Signage which shall

hold good in respect of all the Signages for that State or for all the States,

as the case may be.

The Proposer if submitting Bid for one or more or all the States, is at

liberty to quote either a single rate applicable for all the States, different

Rates for each of the States or a common Rate which is good for two

States and a different Rate for other States.

The Rate quoted shall be inclusive of all the costs, charges etc. like

Fabrication, Delivery and Installation Cost, Sales Tax/VAT etc.

Nothing extra shall be payable than the quoted Rate under any

circumstances.

If anything extra is payable including Taxes on part of NIESBUD, the same shall

be clearly mentioned in the Schedule of Rates (Section IV).

While filling the Rates, the Proposers shall ensure that there are no

discrepancies in the amount mentioned in figure and words.

In case of any discrepancy, that mentioned in words shall be taken

as final and biding.

9.0 SUBMISSION OF BIDS

The Bid shall be submitted in accordance with the procedure detailed in

the RFP. The specified documents shall be kept and sealed in separate

envelope(s) of appropriate size.

The Packet No. I : Technical Bid shall contain the RFP Document and the

copies of Supporting Documents as provided in Clause-6.0 above.

The Packet No. I shall also contain the prescribed Earnest Money Deposit.

The Packet No. II shall contain the Price/Financial Bid (Section IV : Schedule

of Rates) only, duly filled, in words and figure, signed and stamped.

The Bids should be duly signed with date by an authorised signatory of

the Proposer, sealed and witnessed. The proof of such authorisation, in

favour of the person signing the Bid, should also be submitted in Packet

No. I.

Both the Packets I and II should be put in a bigger outer envelope

superscribed as “Proposal for Fabrication and Installation of Signages

for : (Name of the State(s))”.

The Proposers should without fail mention clearly the State/States for

which the Proposal is being submitted on this bigger outer envelope

without which the Proposal may not be considered at all.

The Bids, duly completed, in the prescribed manner, should be deposited with the

Joint Director (Administration), NIESBUD against acknowledgement, not

later than 1500 Hrs. on 04-03-2017 at the Institute's Campus : A-23, Sector 62,

NOIDA.

NIESBUD at its sole discretion, may extend the date of submission of

the Bids through uploading the Extension Notification on the Website.

10.0 DELAYED/LATE BIDS

10.1 The Bids received after the closing hours of the prescribed date shall

not be entertained.

11.0 OPENING OF THE BIDS

The Technical Bids shall be opened at NIESBUD at 1600 Hrs. on the

same day i.e. 04.03.2017 in presence of representatives of the Proposers

who wish to be so present on the occasion.

It is expected that the process of technically pre-qualifying the Bids/

Proposers will be completed latest by 06-03-2017.

The names of the Proposers which have been so pre-qualified will be up-

loaded on the Website the same day.

12.0 APPROACHING THE PROPOSERS FOR CLARIFICATION/ADDITIONAL

INFORMATION

NIESBUD reserves the right to approach any Proposer for seeking

clarifications/additional information primarily with a view to adjudge

eligibility to bid for the Work.

The Institute also reserves the right to inspect the Fabrication or Assembly

Unit of the Proposer(s) so as to satisfy itself about competence of the

concerned Proposer to timely execute and deliver the Work of this

magnitude.

13.0 TECHNICAL PRESENTATIONS

All the technically pre-qualified Proposers shall be invited for making

Technical Presentation at NIESBUD Campus at 11.00 A.M. on

06.03.2017.

All the concerned Proposers shall be individually informed over telephone

and e-mail about Technical Presentations besides their names being put

up on the Website of the Institute.

The Technical Presentations besides giving brief details about the

Proposer(s) should concentrate upon the technical and financial capacity

/capability to deliver the Signages as per the prescribed delivery schedule

and also as to how the Proposer(s) intend to handle multi-State delivery

(if applicable).

14.0 OPENING OF THE FINANCIAL BIDS

Based upon details in the Technical Bids and Technical Presentations

and their assessment by NIESBUD, it is expected that finalisation of the

Proposers for opening of the Financial Bids shall be completed on

06.03.2017 itself.

The Financial Bids of the finalised Proposers shall be opened at 4.00

A.M. on 06.03.2017 at NIESBUD Campus in presence of representatives

of the finalised Proposers who wish to be so present.

All the concerned finalised Proposers shall be informed over telephone

and e-mail besides their names being displayed on the Website of the

Institute by evening of 06.03.2017.

The representatives of the Proposers who are present at the time of

opening of the Technical and Financial Bids shall sign the Register

evidencing their presence on the occasion.

15.0 CANVASSING

15.1 Canvassing in any form/manner in respect of the Proposal/Bid is strictly

prohibited and will result in summary rejection of the Proposal(s) / Bid(s)

of such Proposer(s) indulging therein.

16.0 RIGHT TO ACCEPT OR REJECT ANY OR ALL BIDS

16.1 NIESBUD reserves the right to accept, cancel or reject a Bid and to annul

and reject all the Bids at any time prior to award of the Work without

assigning any reason or incurring any liability/obligation to the Proposers

as regards communication of the grounds for such an action or otherwise.

17.0 PERIOD OF VALIDITY OF THE QUOTED RATES

17.1 The quoted Rates shall remain valid for a period of 30 days after opening

of the Financial Bids.

18.0 AWARD OF THE WORK

The lowest quoting Proposer shall be awarded the Work. However,

NIESBUD reserves the right to seek details/justification for Rate(s) which

are found to be too low and also to reject a bid if no satisfactory explanation

is forthcoming from the Proposer(s). In such a case, the Work shall be

awarded to the next lowest Proposer.

The successful Proposer shall be intimated about acceptance of its Bid

in writing.

The Letter of Acceptance will constitute part of the Agreement.

NIESBUD reserves the right to award the Work in a particular State to

more than one Proposer in view of exigencies of the Work at the lowest

rate approved for the State.

NIESBUD also reserves the right to enter into discussions with the

Proposer to whom the Work for a particular State(s) has been awarded

with a view to award it the Work in respect of some other State(s) for

which sufficient number of finalised Proposers are not available.

19.0 SIGNING OF THE AGREEMENT AND START OF THE WORK

On receipt of the Letter of Acceptance, the successful Proposer shall

enter into an Agreement with the Institute on 01.03.2017.

The format of the Agreement has been given at ANNEXURE-I.

The date of Agreement shall be taken as the date of start of execution of

the Work.

20.0 PERFORMANCE GUARANTEE

The EMD of the Vendor shall be converted into Performance Guarantee

and will be released after satisfactory expiry of period of warranty/

guarantee of the Work.

The Performance Guarantee of the Vendor shall stand forfeited in

case of determination of the Agreement as provided under Clause 9.0,

Section-III.

The Vendor may however submit the Performance Guarantee in the form

of an unconditional Bank Guarantee in favour of NIESBUD valid for a

period at least till 30 days of expiry of the prescribed period of warranty/

guarantee of the Work.

In such a case, the EMD of the Vendor shall be released as soon as the

Bank Guarantee is received.

SECTION - III

GENERAL TERMS AND CONDITIONS FOR THE PROPOSERS

1.0 PRE-DELIVERY INSPECTION

1.1 NIESBUD reserves the right to visit the Unit of the Vendor so as to verify

the quality of the materials etc. being used in fabrication and other

processes and satisfy itself about completion of the Work as per schedule

incorporated in the Agreement.

2.0 DESIGN, MATTER AND COLOUR SCHEME

NIESBUD shall provide the Design including Colour Scheme and Matter

of each of the Signages which shall be scrupulously followed by the Vendor.

3.0 DAMAGES DURING TRANSIT

3.1 The Vendor shall be solely responsible for replacing the Signages at its

own cost which get damaged during transit, storage or installation.

4.0 SUB-STANDARD/DEFECTIVE SIGNAGES

If any particular Signage, during the course of Pre-delivery or Delivery

Inspection is found to be fabricated/finished either with sub-standard

material (material other than as per the Agreement) or not as per the

approved Design/Layout, shall be rejected.

Such a Signage shall be immediately replaced by the Vendor at its own

cost.

The Vendor shall be allowed a maximum period of 02 days for effecting

the replacements.

5.0 LIQUIDATED DAMAGES

The timely delivery and installation of the Signages is one of the essences

of the Agreement and accordingly the prescribed Delivery Schedule shall

be scrupulously followed by the Vendor.

In case of delay, Liquidated Damages @ 1% (one) percent per day of

delay of total value of the affected lot/phase or the total value, as the case

may be, subject to a maximum of 5%, will be recovered from the payment

to be released to the Vendor.

In case the delay persists even beyond the period of 05 days, NIESBUD

shall have the right to terminate the Order for the entire affected lot/phase

or the total value as the case may be in addition to any other remedy as

may be available to it on this account.

6.0 Release of Payment to the Vendor

The payment to the Vendor for each of the lots/phases or the total value,

as the case may be, after making the statutory deductions or the amounts

as become payable to the Institute, shall be released in the following

manner :-

• Upon satisfactory completion of Pre-Delivery 70%

Inspection of the concerned Lot/Phase

(Finished Signages only)

• Upon satisfactory Delivery

30%

The payment, shall, however, be released upon submission of the pre-

receipted Bill by the Vendor which shall be invariably accompanied by

the satisfactory Delivery/Installation Reports by the designated Officials

of NIESBUD or CSC Limited.

7.0 SUB-LETTING / SUB-CONTRACTING

The Vendor shall not Sub-let/Sub-contract the whole or part of the Work

under the Agreement.

The Vendor shall not be permitted to transfer rights and obligations under

the Agreement to any other person, body etc.

8.0 ABANDONMENT OF THE WORK

8.1 If the Vendor for any reason abandons the Work or becomes

incapacitated for performing or fails to perform the Work for any reason

not directly attributable to NIESBUD, the Vendor shall be liable to pay

such damages to NIESBUD as may be assessed by NIESBUD for

carrying out the Work through alternate arrangements besides incurring

liability as per the following Clause.

9.0 DETERMINATION OR RECESSION OF THE AGREEMENT

NIESBUD without prejudice to any other remedy available against the

Vendor in terms of the provisions of the Agreement or otherwise shall

have right to determine the Agreement after issuing a written notice to

the Vendor to this effect in any of the following circumstances :

i) If the Vendor commits breach of any of the terms of the Agreement;

ii) If the Vendor is found guilty of misrepresentation, concealment of

material facts etc.;

iii) If the Vendor abandons the Work in terms of the previous Clause;

iv) If the Vendor fails to observe or perform any of the covenants of the

Agreement and such failure or non-performance has not been

remedied or set right within three days of this being brought to its

notice and

v) If there is delay of more than 5 days in delivery and installation in

terms of Clause 9.0 above.

If the Vendor has made itself liable for action under any of the cases

aforesaid, NIESBUD shall have powers to :-

i) Determine or rescind the Agreement and

ii) Engage any other Vendor to carry out the Work.

In such a circumstance, NIESBUD shall forfeit the Performance Guarantee

and be entitled to recover from the Vendor any amount by which the cost

of the Work through alternate arrangements shall exceed the amount that

would have been payable to the Vendor.

10.0 FORCE MAJEURE

The standard Force Majeure Clause subject to the express provisions of

this Clause shall apply and in such an eventuality, the rights and obligations

of the respective parties shall subject to the express provisions of the

Agreement, be determined in a mutually agreed manner.

Either party to the Agreement shall not be liable for non-performance of

its respective obligations under the Agreement from any Force Majeure.

However, the Vendor shall continue to make endeavours to execute the

Work as long as practical.

In the unlikely event of such a factor persisting even beyond a reasonable

period of time, either party shall have the right to terminate the Agreement

and the right and liabilities of the parties upon such termination shall be

determined in a mutually agreed manner.

11.0 GIFTS AND COMMISSIONS ETC.

Any graft, commission, gift or advantage given, promised or offered by

or on behalf of the Vendor(s) or other bodies or agent, officer, employee

or servant or anyone on their behalf in relation to this Agreement, shall in

addition to any Criminal/Civil liability which it may incur, render the

Agreement liable to be determined and make the concerned Vendor liable

to pay to NIESBUD for any loss or damage resulting from such cancellation

besides forfeiture of the Performance Guarantee.

NIESBUD shall then be entitled to deduct the amount so payable from

any amount otherwise due to the Vendor under the Agreement.

12.0 SETTLEMENT OF DISPUTES

In the event of any dispute or difference whatsoever arising between the

parties out of or pertaining to any Clause of this Agreement including any

question relating to meaning and interpretation of this Agreement or any

alleged breach thereof, except those the decisions whereof have been

specifically provided in the Agreement, the same shall be settled as far

as possible by mutual discussions and consultations between the parties.

In the case of failure to resolve the difference/dispute in the above manner,

the same shall be referred to the sole arbitration of any person appointed

by the Director General of NIESBUD in terms of the Arbitration &

Conciliation Act, 1996.

The Award, if any, of the Arbitrator, so appointed, shall be final and binding

on both the parties.

If any question, difference or dispute still remains unresolved, the same

shall be subject to the jurisdiction of the Courts in the State of Delhi.

ANNEXURE-I

AGREEMENT

This Agreement is executed on this day of 2017 between The National

Institute for Entrepreneurship and Small Business Development, a registered Society

under the Societies Registration Act, 1860 functioning under the administrative control

of the Ministry of Skill Development and Entrepreneurship, Government of India, operating

from A-23, Sector-62, NOIDA and being represented by its ........................................,

hereinafter referred to as NIESBUD, the Party of the First Part.

AND

(Brief description of the Vendor, the Party of the Second Part)

Whereas the First Party floated Request for Proposal for Fabrication and

Installation of Signages as a part of Common Branding under CSC 2.0 Project of the

Ministry of Communications and Information Technology, Government of India.

Whereas the Second Party represented to the First Party that it fulfils all the

prescribed eligibility conditions for the purpose and also willing to execute the Work in

terms of the Request for Proposal (RFP) floated for the purpose by the First Party.

Whereas the First Party based upon strength of the documents/claims made by

the Second Party, is prime facie satisfied about eligibility and capability of the Second

Party and has decided to award the Work to the Second Party.

Now both the Parties agree to the following:-

i) Responsibilities of the Parties

Both the Parties are committing to sincerely fulfilling their respective roles

and responsibilities to the fullest in order to execute the Work in accordance with the

RFP.

ii) Entirety of the Agreement

The Request for Proposal (RFP), Supporting Documents, Clarifications provided;

Amendments issued; Supplementary Information furnished by the Second Party if any;

the correspondence exchanged between the Parties regarding Award of the Work etc.

will form an integral part of the Agreement.

iii) Misrepresentation, Concealment of Material Facts etc.

If at any stage, it appears to the First Party that the Second Party has

misrepresented, submitted false documents or concealed any material information from

the First Party, it (the First Party) will have a right to immediately cancel the award of the

Work to the Vendor and/or terminate the Agreement and take further appropriate action

including forfeiture of the Performance Guarantee as provided for in the RFP.

iv) Relationship of the Parties

Nothing in this Agreement shall be construed as creating a relationship of

partnership, joint venture, agency or employment between the Parties. Neither Party

shall be responsible for the acts or omissions of the other Party and neither Party shall

have the power or authority to speak for or assume any obligations on behalf of the other

Party.

v) Creating False Impression

The Second Party will not use the name and / or logo of the First Party, Ministry of

Skill Development and Entrepreneurship and/ or Ministry of Communications and

Information Technology in any publicity material etc. so as to create a false impression to

the public at large of association/recognition by these Agencies of any of the activities

being carried out by the Second Party except in reference to the Work being executed

by the Second Party under the Agreement.

vi) Governing Law and Construction

a) This Agreement shall be governed by and construed in accordance with all the

Laws of India.

b) Both the Parties agree that nothing contained in the Agreement will create any

legal obligation between the Parties.

Annexure-2

Fascia

Flexible \ substrate - Flexible substrate should essentially have water mark

of the principal brand logo along with the product name.

The Properties will be as per Table given on the next page.

Manufacturer The manufacturers of the Flex and other material to be used should be

reputed manufacturers and 5 years warranty should be available for the

fascia materials (Flexible substrate) which the Vendor is going to use for

the Signages.

Sign Cabinet 1. MS square pipe(s) of 1" x 1" cross section & 18 gauge thickness & MS

square pipe(s) along with 1" x 1" cross section & 18 gauge thickness

as stiffeners. Painted with one coat of Anti-rust paint and 2 coats of

White enamel paint.

2. The box frame has to be covered from top, bottom, with 24 gauge &

back side covered with 26 gauge thick Gl sheets powder-coated in

white color.

3. Top panel should have drip cap with 25 mm extension and bend with

shearing machine for uniform look.
