1 . G E N E R A L A D M I N I S T R A T I V E P R O V I S I O N S

THIS IS NOT AN ORDER.

1.1. Tendering organizations

It is the intention of The Nature Conservancy (“Customer”) to solicit Proposals for a STRATEGIC PARTNERSHIP FOR THE DEVELOPMENT OF INNOVATIVE FINANCIAL MECHANISMS (“Vendor”). Those receiving this Request for Proposal (RFP) are referred to as “Vendor”.

THE NATURE CONSERVANCY (TNC) is a District of Columbia, USA, non-profit corporation with its principal place of business in Arlington, Virginia, USA. TNC has offices across the U.S. and in over 30 countries around the world.

Since 1951, The Nature Conservancy has been working with communities, businesses and people like you to protect more than 119 million acres of land and 5,000 miles of rivers worldwide. We also operate more than 100 marine conservation projects globally. Our mission is to preserve the plants, animals and natural communities that represent the diversity of life on Earth by protecting the lands and waters they need to survive. The Nature Conservancy is the host organization of TFA 2020 in Latin America. The Tropical Forest Alliance 2020 (TFA 2020) was founded in 2012 at Rio+20 after the Consumer Goods Forum (CGF) committed to zero net deforestation by 2020 for palm oil, soy, beef, and paper and pulp supply chains in 2010.

TFA 2020 is a global public-private partnership in which partners take voluntary actions, individually and in combination, to reduce the tropical deforestation associated with some specific commodities. Doing so significantly reduces global greenhouse gas emissions, improves the livelihoods of millions of smallholder farmers, conserves natural habitats, and protects tropical landscapes for future generations.

1.2. Purpose of the consultancy

Design and implement a communication strategy for TFA 2020 Latin America, aligned with TFA 2020 Global Secretariat, that: helps TFA 2020 achieve the overall organizational objectives in the region (and from the region to the global); engage effectively with key stakeholders of zero deforestation agenda; demonstrate the success of the work of TFA 2020 in the region; ensure people understand what TFA 2020 does and delivery.

The communication strategy shall include a Press/PR plan that looks specifically at how TFA 2020 aims to raise its profile through the specialized media and a Digital strategy that looks specifically at how TFA 2020 Latin America can build its online presence, using your own tools (TFA website, Digital Platform, Twitter etc, as well it’s Partner’s tools).

The consultancy will be focused on Latin America, mainly Brazil and Colombia -, and, for a determined period: from signature to july/2018.

1.3. TNC’s Procurement Process

Procurement activities will be conducted in a nondiscriminatory manner with fair treatment given to all Vendors. The Conservancy reserves the right to reject any and all offers for any reason whatsoever, to waive technicalities, and to pursue purchasing in a manner that is in the best interest of the organization

1.4. Customer's Obligations

Customer incurs no obligation or liability whatsoever by reason of issuance of this RFP or action by anyone relative thereto.

1.5. Vendor's Obligations

Vendor must analyze and respond to all sections of this RFP providing sufficient information to allow Customer to evaluate the Proposal. Vendor, by submitting its Proposal, agrees that any costs incurred by the Vendor in responding to this RFP, are to be borne by Vendor and may not be billed to Customer.

Vendor’s proposal must match the order in which the RFP was submitted or clearly state where the information resides. If Customer has any confusion or difficulty in retrieving the required information from a Vendor’s proposal, it may result in such proposal to be disqualified. Vendor may not have the ability to resubmit their proposal to Customer.

Vendor shall not use the names, logos, images or any data or results arising from the anticipated contract for advertising without Customer’s prior written consent.

1.6. Submission Requirements

1.7. Critical Dates

1.7.1. Questions Regarding the RFP

Vendor will submit questions to Customer by 05 December 2017

Customer will use its best efforts to answer questions by 11 December 2017

Answers may be shared by e-mail with all Vendors. Vendor understands and agrees that it has a duty to inquire about and clarify any RFP questions that the Vendor does not fully understand or believes may be interpreted in more than one way. Customer, however, is not required to answer all questions that are not pertinent to the RFP or are considered to be Customer’s proprietary information.

1.7.2. Proposal Due Date

Proposals shall be delivered to The Nature Conservancy on or before 08 December 2017. See Article 1.5 for Submission Requirements.

1.8. Restricted Communications

It is the policy of the Customer to avoid situations which (1) place it in a position where its judgment may be biased; (2) create an appearance of conflict of interest with respect to rendering an impartial, fair, technically sound, and objective decision prior to selection; or (3) give an unfair competitive advantage to competing Vendors. Therefore, to ensure an ethical evaluation process, all inquiries or other communications regarding this RFP shall be exclusively directed to the Customer's authorized Agent, to the person and location specified in Article 1.5.2 of this RFP. Vendors are hereby expressly instructed not to otherwise communicate with Customer’s officers or employees regarding this RFP. This prohibition is also applicable to Vendors' affiliates, officers, employees, agents, consultants, and subcontractors.

1.9. Disposition of Proposals

All material submitted in response to this RFP will become the property of the Customer and may be returned only at the option of the Customer and at the expense of the Vendor. Successful and unsuccessful vendors will be notified in writing. The Customer shall not be obligated to detail any of the results of the evaluation.

1.10. Contractual Commitment of Proposal

The contents of submitted Proposals will be considered obligations of the successful Vendor. No information should be submitted that is not intended to be incorporated into the Proposal and any contract which may result from such Proposal. If there is any inconsistency between the terms herein and any of the other contract documents, the terms in the other contract documents shall prevail.

After contract signature, Customer will issue Product Order for each of the products listed under 1.2, allowing Vendor to start invoicing for the respective line Product.

1.11. Confidentiality

Any data, documentation or other business information furnished by or disclosed to the Vendor shall be deemed the property of the Customer and must be returned to the Customer upon request.

1.12. Conflict of Interest Disclosures

It is the policy of The Nature Conservancy (“TNC”) to identify actual, potential or perceived conflicts of interest in any situation in which TNC has a significant business interest. To assist TNC in complying with this policy, we request that all individuals and/or organizations that will be involved in a proposed transaction with TNC complete our Conflict of Interest Disclosure Form. This relates to people who will be working, directly or indirectly, to respond to this RFP, as well as may be doing the resultant work if the Vendor receives the contract.

2 . D E L I V E R A B L E S A N D P R I C I N G

2.1 Deliverables:

TNC, on behalf of the TFA 2020 Latin America, seeks a partner organization to conduct this work.

The Vendor will count on previous and ongoing work developed by TFA 2020 global and regionally.

TNC reserves itself the right to select and contract the integrality of the Products presented below or just parts of them:

2.1.1 Product A – Communication strategy

The first activity of this consultancy is the development of a communication strategy for TFA 2020 Latin America in close alignment with TFA 2020 Global Secretariat communication activities and plans. It should include the follow sections:

2.1.1.1. TFA 2020 current situation on communication

The introductory part of the communications strategy should briefly outline what TFA 2020 does on the field of communication, what its main functions are and where it operates. It should also look at your organization’s communications strengths – what has been successful and what hasn’t worked well over the last years or so.

2.1.1.2 Organizational objectives and communications objectives

Based on the overall organizational plan (TFA 2020 global and TFA 2020 Latin America), this section should look at organization’s overall vision and core aims and objectives, suggesting how communications could help deliver these goals.

2.1.1.3 Identifying stakeholders

In this section should give a detailed description of TFA 2020 Latin America main audiences – both external (non partners) and internal (partners). These might show a prioritization of audiences based on specific criteria agreed previously by TFA 2020 and the consultancy.

2.1.1.4 Messages and key communications methods

This section needs to break down the TFA 2020 Latin America communicational objectives into relevant messages for each of the identified audiences, and the key communications methods to achieve communicational goals.

2.1.1.5 Work plan (including PR, Press and Digital plans/strategy)

With the audiences and key communications methods identified, the next step is to draw up a table that indicates the key communications activities, budget, and resources allocated to delivering the strategy – for the next 6 months.

TNC expects the consultant to deliver detailed written reports to each subset of products in Microsoft Word, covering the content mentioned above and additional elements the consultant considers appropriate preferably in English.

2.1.2 Product B – Special project communication work plans 2.1.2.1 Latin America Implementation Dialogue

Design and implement a specific communication work plan to the project called Latin American Implementation Dialogue (the concept note of the project can be accessed here), supporting TFA 2020 regional coordinator on the communication activities related to the project (including P&R, Press), as well, the 3 jurisdictions (Pará and Mato Grosso/Brazil – and Orinochia/Colômbia) to better frame/prepare their presentations and communicational documents.

TNC expects the consultant to deliver written work plan, covering the content mentioned above and additional elements the consultant considers appropriate preferably in English. The report must also contain an Executive Summary compulsorily in English.

2.1.2.2 TFA 2020 Colombian Alliance and Zero Deforestation Agreements

Design and implement a specific communication work plan to the project called TFA 2020 Colombian Alliance (the concept note of the project can be accessed here), supporting TFA 2020 regional coordination on the communication activities related to the project, involving the launching events of each agreement and the alliance (from November/2017 to June/2018), technical articles about the content of each agreement, joint collaboration with Colombian partners on the communication efforts among other activities.

TNC expects the consultant to deliver written work plan, covering the content mentioned above and additional elements the consultant considers appropriate preferably in English. The report must also contain an Executive Summary compulsorily in English.

2.1.3 Product C – Relationship and Monitoring report

The products A and B listed below needs to be implemented by the consultant – a relationship needs to be build between vendor and TNC to guarantee the alignment, improvement and reorientation of the work plan implementation. A proposal about how this relationship between the consultant and the TNC/TFA 2020 team, and monitoring of the implementation will be done - is demanded for this proposal, and it’ll be considered as one of the key indicator for the selection.

2.2 Pricing/Contract

2.2.1 Please list all net and gross pricing (after discounts and taxes) for each of the products (A, B, C).

2.2.2 Every product will have its full price paid upon its delivery in accordance to the content specified by TNC and within negotiated deadline. Otherwise, TNC will reserves itself the right of discounting the product value by 10%.

2.2.3 If applicable, list all additional costs, e.g. travel expenses, transport, surcharges, etc., if possible, relating to the Product, as listed before

2.2.4 If any subcontracting is included in the proposal, please specify its/their costs with the same level of detail used in your own proposal, the subcontracted Vendor and the specific scope of work for such sub contractor.

2.2.5 Specify length of time for which proposal is valid. This must be a minimum of 45 days.

2.3 Proposal elements

The submitted proposals most include:

2.3.1 Proposed approach, comment to the initial outline

2.3.2 Work plan, estimated deliverables tenors divided by product and/or sub product (counting from the contract singing date)

2.3.3 Relevant experience and qualifications of the organization

2.3.4 Description of the staff and team that will conduct the work described above. Any subcontractors must be identified along with the work they will perform, and a description of the rationale for using a subcontractor.

2.3.5 Basic information on the proposing organization including organization’s name, office locations in Brazil and/or in other latin American countries, number of employees, any past business relationships with TNC, and annual sales or revenues over the past three years.

2.3.6 Completed and signed Conflict Disclosure Form

2.4 Qualification

Partner organizations or consultants should have the following qualifications to conduct this work:

2.4.3 Team members comprise all technical and academic background to successfully cover all relevant aspects

2.4.4 Team members possess relevant connections and contacts within the sector

2.4.5 Team has demonstrated ability to deliver the proposed consultancy within the timeframe

indicated

2.4.6 Majority of team allocated to project based in Brazil and able to speak and write Portuguese and English – partners in Colombia.

2.4.7 No litigation that TNC considers impeditive.

2.5 Selection process

TNC expects to select a partner or consultant for this assignment through the following steps:

2.5.1 Invite proposals from qualified organizations

2.5.2 Assess the proposals based on the qualifications described above, proposed approach and work plan, and the proposed budget and timeline

2.5.3 Interview the highest rated organizations

2.5.4 Select a preferred partner or consultant

2.5.5 Negotiate an agreed contract for the assignment

2.6 Additional Information

2.6.1 TNC is a non-profit organization. We strive to minimize administrative costs to ensure that maximum resources go to our mission. If the Vendor can aid in our efforts by a donation or special pricing, it would be greatly appreciated.
