GENERAL TERMS AND CONDITIONS

ARTICLE 1 SCOPE OF WORK Supply of coal to NPM as per Specification mentioned at Art icle 2 of GTe ARTICLE 2 SPECIFICATIONS OF COAL TO BE SUPPLIED

ARTICLE 3 SUPPLY SCHEDULE 31 Unless otherwise notified by Purchaser Coal Consignments will be received at Nagaon Paper Mill

as per following timings on working days (i ) 600 AM to 330 PM at Material gate (ii) bull (a)Maxlmum 40 Nos Coal consignment per day sh all be allowed

(b) 15 Consignments between 200 PM to 330 PM (iii ) Coal c0nsignment wi ll not be allowed to unload in coal yard between 1230 PM to 200 PM ARTICLE 4 INSPECTION AND CHECKING OF CONSIGNMENTS 41 As soon as the Coal consignment reaches coal yard the consignment will be part ially unloaded and

samples will be collected for testing at Purchasers Laboratory Purchasers Laboratory testing procedure and results thereof shall be final and binding on vendors For Laboratory testing sample collection will be made by the representative of the Purchaser If any serious dispute arises at the discretion of the Purchaser joint sampling may be done by the representative of the Purchaser and the vendor However Testing will be done in Purchasers Laboratory and the result wi ll be final and binding on the Vendor Laboratory testing will be done generally for Fines Ash and MoistU re content

42 Visual Inspection On visual Inspection if the coal consignment is found to cont ain higher percentage (Le not more than 25 or 500 KG per Consignment which ever is lower) of foreign materia ls such as slate mud and fines etc and if consignment contain high moisture (water dripping while entering) the same shall be rejected outright

43 Fines Content Sieve analysis to determine the fines shall be done on the same day an d part of the sample will be sent to laboratory for testing ash and moisture content If the coal is found to be acceptable on the basis of fines content after sieve analysis the consignment wi ll be allowed to be unloaded

44 Ash Content Purchasers Laboratory shall furnish the consolidated test report of Ash content at the end of the day for all the samples collected from the consignment during the day However if the coal consignment is visually suspected to contain very high percentage of Ash conten t the coal sample of the particular conSignment wi ll be immediately tested at the Purchasers Laboratory for ash content and based on the Laboratory report the coa l consignment sh all be accepted or rejected In case of acceptance with penalty laboratory sha ll prepare lab test report separately general stores shall raise GRV separately for such consignment and shall be forwarded to FampA deptt for calculation of penalties separately per consignment basis for recovery from respective supplier

45 Moisture Content Moisture content will be tested in the Purchasers Laboratory for penalty deduction if any on consignment-to-consignment basis

RTICU 5 WEIGHME T bull The net weight of coal shall be determined from the difference between the weight of the consignment loaded with coal (GROSS WEIGHT) recorded at the Weigh Bridgeonline Weigh bridge installed within the premises of Nagaon Paper Mill Kagajnagar and the actual weight of the empty consignment (TARE WEIGHT) recorded on the same Weigh Bridge The net weight thus determined shall be final and binding Payment shall be effected for the net weigh t on ly ARTICLE 6 UNLOADING OF COAL IN THE COALYARD AT NAGAON PAPER MILL 61 The work of unloading of coa l in the Coal YardRoadway sid ing shall have to be carried out

strictly as per direction of the Purchasers the work of unloading of Coal in the siding will be carried out by Purchasers only Supplier wil l not be all owed to handle t he coal in any manner after the unloading

ARTICLE 7 PAYMENT TERMS 71 PAYMENT TERMS 100 within 30 days of receipt and acceptance of material at site 72 All payments due to the vendors shall be made through RTGS or core banking on submission of

current account number name of bank name of branch and IFSC No etc 73 SUBMLSSION OF BILLS The vendor shall submit bills immediately after delivery of coal addressed to

DGM(Fin) Nagaon Paper Mill Party should certi fy on the bill that all statutory obligation have been complied with

74 DOCUMENTS TO BE SUBMlmD ALONG WITH EACH CONSIGNMENT LOAD Delivery Challan Number serial number duly signed by the vendor or authorized representative carrying all information such as place of loading of coaJ Consignment number Name of the driver and date of issuance of Challan and place of destination ie Kagajnagar

75 Any other relevant document which the Purchaser may ask the vendor to produce from t ime to time

ARTICLE 8 PENALTIES 81 Penalty on Ash Content

Coal containing Ash up to 16 by weight on AD basis is only acceptable However Purchaser may accept coal con taining Ash above 16 and up to 20 imposing Penalty as shown below Coal supplied with Ash exceeding 20 shall be summarily rejected

Ash up to 16 by weight on AD basis No Pena lty

Ash above 16 and up to 17 3 of landed cost

Ash above 17 and up to 18 6 of landed cost

Ash above 18 and up to 19 9 of landed cost

Ash above 19 and up to 20 12 of landed cost

Ash above 20 Shall be summarily rejected

82 Penalty on Fines Content Coal containing Fines up to 40 by weight on AD basis is only acceptable However Purchaser may accept coal containing Fines above 40 and up to 50 imposing Penalty as shown below Coal supplied with Fines exceeding 50 may be accepted with higher penalty Fines up to 40 by weight on AD basis No Penalty

Fines above 40 and up to 45 1 deduction on Pro-rata basis

for every percent increase

on landed price

Fines above 450 upto 50 25 deduction on Pro-rata basis on landed price

for every percent increase

Above 50 Will be rejected

83 Penalty on Moisture Content If the moisture content is found to be more than the acceptable limit penalty shall be imposed for higher percentage of moisture by deducting the equivalent quantity of coal against each consignment If any consignment rake contain high moistu re (water dropping while entering) shall be rejected outright

84 Calculations for Penal ty In order to calculate the Penalty on Ash and Fines content figure shall be rounded off to the whole

number ie figures below 05 wi ll be rounded off to the lower whole number Similarly figures wi th

05 and above will be rounded off to the next higher whole nu mber As regards quality our

laboratory analysis report wi ll be final and binding For high ash and fines in individual tested

consignments individual consignment wise penalty shall be imposed

Rnru g GENERAL 91 The vendor shall not be entitled to cla im any compensation from the Company if he Is unable to or prevented from

performing the work due to any strike of any sect ion of the Companys employees or due to any event like a genera l strike bandh or hartal or due to any order or actions of the Government or any other authority or for any other reason beyond the control of the Company

92 The vendor should ensure that the supervisors workers engaged by him in the site of Nagaon Paper Mill shall not resort to any unlawful activities like organizing meetings in the area of Nagaon Paper M ill or any other activities subversive to the discipline or interest of the Company

93 The vendor should note that the entire plant area of Nagaon Paper Mill is NO SMOKING ZONE and therefore he or his workers sha ll hav e to abide by this direction

94 All the supervisors workmen engaged by the vendor shall keep their work place and surrounding area neat clean and tidy at all times

95 Vendor shall depute only one supervisor at Coal yard to take care of unloading arrangement The superviso r shall remain at designated area as indicated by purchaser representative wh ile the coal is being inspected and when sample is prepared At the time of sample collection they may witness t he sa me They shall interact with HPC personal when ca lled for only Fa lJure to mainta in such discipline may lead to stoppage of the receiving process and consignment may not be unloaded

96 In case any supervisor worker engaged by the Vendor fails to follow the above discipline strictly the vendor shal remove him from work at Nagaon paper Mill site

97 The order including the terms and conditions specifications thereto and any addit ional terms and conditions incorporated in it even subsequently shall constitute the sole and entire agreement between the Purchaser and Vendor No other terms and conditions shall be binding upon Purchaser unless accepted in writing Company reserves the right to suspend te rminate defaulting vendors and debar them from partiCipating in the future NIB at any or all the Mills of the Company including forfeiture of Security Deposit

ARTIClf 10 FORCE MAJEURE Delivery date will be extended without the vendor being subjected to pena lty on accou nt of liquidated damages

only In the event of Force Majeure conditions within the contractual delivery period Only the following will be conSidered as causes of Force Majeure -Act of God [Ea rth Qua ke Flood Storm etc) acts of States Direct and Indirect consequences of wars (declared amp undecla red) Hostilities National Emergencies Civil commotions and strike (only those exceeding duration of 10 continuous days) The vendor shall immediately Info rm the purchaser in writing supported by documenta ry proof at the beginning and end of such impediments It is to be understood that de livery schedule will be extended only fo r the duration ofthe above-mentioned impediments

ARTICLE 11 LIFTING OF REJECTED COAL All rejected Coal in respect of outright rejection high percentage of Fines Ash content (Tested in same day) have to be taken back by t he vendor immediate ly as per instruction of the Off icial of Stores of Nagaon Paper MilL The vendor shall have to lift the coa l so rejected within 48 hours of receipt of intimation from Stores as per Stores time schedule otherwise Purchaser shall not be responsible fo r sa fety security and mix up of rejected coal or for making any payment for rejected coal lying in coal yard beyond 48 hours of intimation Loading of rejected coal shall be done strictly as per t he advice of authorized representative of purchaser If there is any deviation noticed purchaser shall impose penalty as deem fit for sucti activity in addition to other provision of the contract

ARTICLE 12 STATUTORY OBLIGATIONS 121 The Vendor shall abide by all the standard rules and regulations relating to safety security traffic movement of

vehicles and other statutory rules of State Central Government 122 The Vendor and their nominated representatives workers and staff shall maintain decorous behavior U3 The Vendor shall not resort to any sort of malp ract ice prejudicial to the interest of the Company any use of force

and attempt forable entry into the premises of Nagaon Paper Mill tampering with equipment and other properties of the Purchaser

124 The Vendor shall abide by all instructions issued to them from time to time by officials authorized by the Company 125 The vendor sha ll have to obtain written approva l from the Purchaser for entry of their authorized representatives

into the premises of Nagaon Paper Mill for witnessing sampling etc Butno representative shall be allowed to remain beyond permissible period in and around Coal Yard Laboratory and Central Stores

126 The vendor sha ll contact Stores department before commenCing supply for advice and guidance to complete the formalities like approval for no mination of representative Gate Pass etc

ARTIClf 13 GOVERNING LAW amp JURISDICTION All disputes related to this purchase order shall be subject to and referred to the Court of Law situated in the District of Morigaon Assam

RTICU 5 WEIGHME T bull The net weight of coal shall be determined from the difference between the weight of the consignment loaded with coal (GROSS WEIGHT) recorded at the Weigh Bridgeonline Weigh bridge installed within the premises of Nagaon Paper Mill Kagajnagar and the actual weight of the empty consignment (TARE WEIGHT) recorded on the same Weigh Bridge The net weight thus determined shall be final and binding Payment shall be effected for the net weigh t on ly ARTICLE 6 UNLOADING OF COAL IN THE COALYARD AT NAGAON PAPER MILL 61 The work of unloading of coa l in the Coal YardRoadway sid ing shall have to be carried out

strictly as per direction of the Purchasers the work of unloading of Coal in the siding will be carried out by Purchasers only Supplier wil l not be all owed to handle t he coal in any manner after the unloading

ARTICLE 7 PAYMENT TERMS 71 PAYMENT TERMS 100 within 30 days of receipt and acceptance of material at site 72 All payments due to the vendors shall be made through RTGS or core banking on submission of

current account number name of bank name of branch and IFSC No etc 73 SUBMLSSION OF BILLS The vendor shall submit bills immediately after delivery of coal addressed to

DGM(Fin) Nagaon Paper Mill Party should certi fy on the bill that all statutory obligation have been complied with

74 DOCUMENTS TO BE SUBMlmD ALONG WITH EACH CONSIGNMENT LOAD Delivery Challan Number serial number duly signed by the vendor or authorized representative carrying all information such as place of loading of coaJ Consignment number Name of the driver and date of issuance of Challan and place of destination ie Kagajnagar

75 Any other relevant document which the Purchaser may ask the vendor to produce from t ime to time

ARTICLE 8 PENALTIES 81 Penalty on Ash Content

Coal containing Ash up to 16 by weight on AD basis is only acceptable However Purchaser may accept coal con taining Ash above 16 and up to 20 imposing Penalty as shown below Coal supplied with Ash exceeding 20 shall be summarily rejected

82 Penalty on Fines Content Coal containing Fines up to 40 by weight on AD basis is only acceptable However Purchaser may accept coal containing Fines above 40 and up to 50 imposing Penalty as shown below Coal supplied with Fines exceeding 50 may be accepted with higher penalty Fines up to 40 by weight on AD basis No Penalty

83 Penalty on Moisture Content If the moisture content is found to be more than the acceptable limit penalty shall be imposed for higher percentage of moisture by deducting the equivalent quantity of coal against each consignment If any consignment rake contain high moistu re (water dropping while entering) shall be rejected outright

84 Calculations for Penal ty In order to calculate the Penalty on Ash and Fines content figure shall be rounded off to the whole

number ie figures below 05 wi ll be rounded off to the lower whole number Similarly figures wi th

05 and above will be rounded off to the next higher whole nu mber As regards quality our

laboratory analysis report wi ll be final and binding For high ash and fines in individual tested

consignments individual consignment wise penalty shall be imposed

Rnru g GENERAL 91 The vendor shall not be entitled to cla im any compensation from the Company if he Is unable to or prevented from

performing the work due to any strike of any sect ion of the Companys employees or due to any event like a genera l strike bandh or hartal or due to any order or actions of the Government or any other authority or for any other reason beyond the control of the Company

92 The vendor should ensure that the supervisors workers engaged by him in the site of Nagaon Paper Mill shall not resort to any unlawful activities like organizing meetings in the area of Nagaon Paper M ill or any other activities subversive to the discipline or interest of the Company

93 The vendor should note that the entire plant area of Nagaon Paper Mill is NO SMOKING ZONE and therefore he or his workers sha ll hav e to abide by this direction

94 All the supervisors workmen engaged by the vendor shall keep their work place and surrounding area neat clean and tidy at all times

95 Vendor shall depute only one supervisor at Coal yard to take care of unloading arrangement The superviso r shall remain at designated area as indicated by purchaser representative wh ile the coal is being inspected and when sample is prepared At the time of sample collection they may witness t he sa me They shall interact with HPC personal when ca lled for only Fa lJure to mainta in such discipline may lead to stoppage of the receiving process and consignment may not be unloaded

96 In case any supervisor worker engaged by the Vendor fails to follow the above discipline strictly the vendor shal remove him from work at Nagaon paper Mill site

97 The order including the terms and conditions specifications thereto and any addit ional terms and conditions incorporated in it even subsequently shall constitute the sole and entire agreement between the Purchaser and Vendor No other terms and conditions shall be binding upon Purchaser unless accepted in writing Company reserves the right to suspend te rminate defaulting vendors and debar them from partiCipating in the future NIB at any or all the Mills of the Company including forfeiture of Security Deposit

ARTIClf 10 FORCE MAJEURE Delivery date will be extended without the vendor being subjected to pena lty on accou nt of liquidated damages

only In the event of Force Majeure conditions within the contractual delivery period Only the following will be conSidered as causes of Force Majeure -Act of God [Ea rth Qua ke Flood Storm etc) acts of States Direct and Indirect consequences of wars (declared amp undecla red) Hostilities National Emergencies Civil commotions and strike (only those exceeding duration of 10 continuous days) The vendor shall immediately Info rm the purchaser in writing supported by documenta ry proof at the beginning and end of such impediments It is to be understood that de livery schedule will be extended only fo r the duration ofthe above-mentioned impediments

ARTICLE 11 LIFTING OF REJECTED COAL All rejected Coal in respect of outright rejection high percentage of Fines Ash content (Tested in same day) have to be taken back by t he vendor immediate ly as per instruction of the Off icial of Stores of Nagaon Paper MilL The vendor shall have to lift the coa l so rejected within 48 hours of receipt of intimation from Stores as per Stores time schedule otherwise Purchaser shall not be responsible fo r sa fety security and mix up of rejected coal or for making any payment for rejected coal lying in coal yard beyond 48 hours of intimation Loading of rejected coal shall be done strictly as per t he advice of authorized representative of purchaser If there is any deviation noticed purchaser shall impose penalty as deem fit for sucti activity in addition to other provision of the contract

ARTICLE 12 STATUTORY OBLIGATIONS 121 The Vendor shall abide by all the standard rules and regulations relating to safety security traffic movement of

vehicles and other statutory rules of State Central Government 122 The Vendor and their nominated representatives workers and staff shall maintain decorous behavior U3 The Vendor shall not resort to any sort of malp ract ice prejudicial to the interest of the Company any use of force

and attempt forable entry into the premises of Nagaon Paper Mill tampering with equipment and other properties of the Purchaser

124 The Vendor shall abide by all instructions issued to them from time to time by officials authorized by the Company 125 The vendor sha ll have to obtain written approva l from the Purchaser for entry of their authorized representatives
