Terms and Conditions

I. Validity / Offers1. These terms and conditions apply to all present and future deliveries, and other services, contracts with businesses, legal entities or special purpose entities incorporated under public law. Buyers purchase conditions do not apply to us, even in cases where we have not explicitly objected to them after their receipt.

2. Our offers are non-binding. Provision of samples is also non-binding. Agreements, in particular spoken side agreements, acceptance, guarantees and any other assurances from our sales staff, are only binding when written confirmation is provided. The written form is also valid if delivered by fax or e-mail. 3. The authority for the interpretation of standards trade clauses such as “EXW”, “FOB” and “CIF”, is the most current version of the INCOTERMS.

II. Prices1. The basis for all price calculations is our currently valid price list, or, as the case may be, the written price agreement plus value added tax. The prices for delivery of goods includes only standard packaging and does not include disposal fees in line with our delivery conditions described below. Additional costs resulting from purchasers wishes for packaging or delivery are charged to the purchaser. When price agreements are valid for more than 4 months, we are entitled to make an appropriate price adjustment if it can be demonstrated that the costs have changed significantly. Differing conditions must be confirmed in writing.

III. Payment and accounting 1. Payment must be made – without any reductions – such that the money is available to us on the due date. If no other agreements are made, our invoices have a due date 14 days after after the invoice date. The purchaser will be regarded as being in default if the payment not made within 10 days after the due date, even if no reminder is sent. If a purchaser is in default on all, or part, of an invoice they will be required to immediately pay all bills outstanding. 2. Any prompt payment discounts granted are valid from the invoice date. An agreed discount is only applicable to the invoice amount, not including delivery, and requires the purchaser to make all payments in full within the timescale described by the discount agreement.3. Invoices with values under 50.00 EUR as well as those for assembly, repairs, moulds and tool costs are always immediately due and payment is for the net amount.4. Counters claims disputed by us, or not legally established, do not give the purchaser the right to withhold payments or to set-off claims against other invoices.5. If the due date is exceeded, at the latest once the purchaser is in default, we are authorised to charge interest at the relevant bank rate for overdrawn accounts, or at least the statutory defined default interest. We retain the right to claim further damages caused by the default. 6. If after the signing of a contract it is evident that our claims for payment are at risk through poor business performance of the purchaser, or through other circumstances arising that fundamentally affect the business performance of the purchaser, we can refuse to perform agreed work, as well exercise our rights as given by § 321 BGB. In these cases we can also claim all outstanding payments connected with the business relationship, aside from those barred by law. Poor business performance can also be applied if the purchaser is behind payments by at least three weeks for a significant amount (from 10% of all due demands), it can also be applied if the purchaser is significantly downgraded by a commercial credit insurer.7. We are authorised to withdraw from any assigned claims arising from our business relationship. 8. Purchasers can only set-off claims against other invoices, when their counter claim is legally recognised, are not disputed or are acknowledged; furthermore, the purchaser can only set-off claims when the counter claims are made within the same contractual relationship.9. We are entitled to collect, store, process and use information and data about the purchaser, and to provide this data to third parties, especially for the purpose of debt collection or for outsourced credit management, for them to store, process and use.

IV. Delivery times and delivery conditions. 1. Delivery dates and deadlines are met when the goods for shipment have left our premises before or up to the due date.2. Our delivery obligations are conditional on correct and punctual deliveries by our own suppliers, unless we are responsible for incorrect or delayed delivery. 3. In any cases of force majeure, we are entitled to delay the delivery for the length of the hindrance plus a reasonable recovery time. This also applies when such events occur at the time of an existing delay. Events that are regarded as being equivalent to a force majeure are: political monetary and trade actions and other sovereign measures, strikes, lock-outs, and operational disruptions which we are not responsible for, blocking of transport routes, delays during import and customs clearances, as well as all other circumstances that we are not responsible for, that make deliveries or services significantly more difficult or impractical. It is irrelevant if these circumstances occur at our facilities, a supplying facility, or any part of our supply chain. If through any of the above listed events the completion of a contract becomes unreasonable for a contract partner, they must immediately withdraw from the contract through a written statement.4. Our deliveries within Germany are made under the following conditions: up to 150. EUR net goods value – ex works – from 150. EUR net goods value – free delivery – Minimum order: 50. EUR. Our deliveries outside of Germany have the following conditions: ex works – minimum order value 1,000. EUR, delivered duty unpaid. If the explicitly promised delivery date is not met, the purchaser is required to provide us with a reasonable extension in writing. If the delivery does not take place by the end of the extension, the purchaser has the right to withdraw from the contract.

V. Execution of the delivery.1. With the transfer of the goods to a forwarder or freighter, or at the latest on leaving the warehouse or – in the case of drop shipments – on leaving the supplier, the risk for all transactions, including carriage paid and free deliveries, is taken by the purchaser. Obligations and costs for unloading are the responsibility of the purchaser. Insurance is only provided on instruction of the purchaser, who is also responsible for the costs.2. We are permitted to make partial deliveries in reasonable amounts. For custom-made goods, deliveries are allowed up to 10% more or less than the quantity ordered.3. With make and hold orders we are allowed to manufacture, or have manufactured, the entire order at one time. After the order is placed it is not possible to request changes, unless this has been explicitly agreed to previously. Delivery times and volumes can only be achieved within the limits of our delivery and manufacturing capabilities, unless explicitly agreed to. If the goods are not requested as defined by the contract, we are allowed to regard them as delivered after a reasonable extension period. 4. For contracts with consecutive orders, the purchaser is required request roughly the same amount and type of goods each month. If the orders are not requested or selected on time, and are not made during an extension period, then we are authorised to select and deliver the goods ourselves or to cancel the remaining outstanding deliveries in the contract, and to claim compensation. By the end of the contract any remaining stock must be requested.

VI. Ownership1. All delivered goods remain our property (title retention) until all requirements of our business contracts are fulfilled, regardless of the legal origin of the requirements, including future or conditional requirements.2. We shall be regarded as the manufacturer (according to § 950 BGB) of any worked or processed title retained goods, without committing us to any additional obligations. The processed goods are title retained goods according to clause VI/1. For processing, bonding or mixing of the title retained goods with other goods by the purchaser then we have a joint ownership in the made goods, with our part being in proportion to the invoiced price of the title retained goods to the invoice price of the other goods used. If our property is dispersed during the bonding or mixing, the purchaser transfers our ownership rights to the new product to the relation of the invoice price of the title retained goods, and retains those rights for us for no extra costs. The resulting joint ownership rights are titled retained goods according to clause VI/4 to VI/63. The purchaser is only allowed to divest themselves of the title retained goods as part of their normal business, and according to their normal terms and conditions, as long as they are not in default with us, providing that any claims held by the purchaser on the title retained goods after their sale are transferred to us according to clauses VI/4 to VI/6. The purchaser has no right to dispose of the title retained goods in any other way. 4. Any claims the purchaser has to title retained goods after their sale are immediately transferred to us. They serve as security in the same scope as the title retained goods. If the title retained goods are divested along with other goods not purchased from us, then the assigned claims from the divestment are only made to the amount of the divestment value of the divested title retained goods. For the divestment of jointly owned goods according to clause VI/2 the amount of the assigned claims in made according to the portion of the joint ownership. 5. The purchaser is entitled to make claims on the divestment of the title retained goods, up to the point that we revoke those rights as allowed. If the purchaser defaults on payments to us we are entitled, after a reasonable extension period, to demand the return of the goods and prohibit the processing and divestment of delivered goods. The demand for return does not represent the cancelation of the contract. At our demand, the purchaser is required to inform their customers of our claims – as far as we do not inform them ourselves – and to provide us with the necessary information and documents for the collection of the claims.

6. The purchaser must inform us immediately in the case of seizures or other actions by third parties.7. If the value of the existing securities exceeds the total secured claims by more than 50%, we are required to clear a part of our claims, on a security of our choice, at the request of the purchaser.8. All rights existing in our favour from the stipulated security agreements - in particular the ownership by way of security and the reservation of ownership in any form - shall be assigned to EUROFACTOR AG.

VII. Liability for defects1. The inner and outer qualities of the goods, in particular their quality, grade and dimensions are determined by the agreed standards, if there is no specific agreement, then the relevant DIN and EN standards at the time of the agreement of the contract are used, in the absence of such standards, normal trade uses and practices are used. References to standards, and similar systems, as well as specification of quality, grade, dimensions, mass and usability of the goods, specifications in drawings and figures, as well as claims in advertising material are not assurances or guarantees, unless specified as such in writing. The same applies to conformity declarations and their relevant marks, such as CE or GS. Risks related to suitability and use are borne by the purchaser 2. If the goods are defective, the purchaser is entitled to their statutory rights as stipulated in the BGB (German civil code), with the limitations that the choice between repair of the defect and replacement of the goods is ours, and that for minor (unerhebliche) defects the purchaser is limited to requesting a reduced purchase price (Minderung). 3. For the analysis of the goods and notification of defects, the provisions of the HGB (German commercial code) apply with the following limitations: We should be notified of material defects of the goods in writing without delay, at the latest five days after delivery. Defects that were not detected during thorough analysis within this deadline should be noted in writing without delay, at the latest five days after detection.4. We assume the expenses related to the replacement of goods only, insofar as they are isolated cases, and in particular when they are proportional to the purchase price, and on no account more than 150% the value of the goods. Purchasers costs that are excluded are: costs related to the assembly or disassembly of the defective goods, sorting costs, costs incurred in remedying the defect and any additional expenses related to the sold and delivered goods now being at a location other than the agreed place of fulfilment.5. As long as the purchaser does not give us the opportunity to be convinced of the defect, especially if they do not provide the defective goods, or samples thereof, on request, they do not have the right to define the goods as defective.6. Other claims are excluded by the limitations of clause IX. This applies in particular to claims for compensation of damages that have not originated on the goods themselves (Mangelfolgeschäden).7. An unjustified claim for remedies related to defective goods entitles us to claim compensation if the purchaser could have perceived that no defects were present during a thorough analysis.

VIII. Returns Returns can only be accepted if we have already given written approval. In such cases we will initiate the return shipment.

IX. General limitation of liability and limitation period1. In cases of violation of contractual and non-contractual responsibilities, in particular impossibility, default, incorrect advice, faults when initiating contracts and any unauthorised action – including our executives and other executive aides – we are only liable for cases of wilful intent and gross negligence, limited to those damages that are foreseeable at the time of the agreement of the contract and a typical of such contracts.2. The limitations in clause IX/1 are not valid in cases of culpable breaches of fundamental contractual obligations. Fundamental obligations are the responsibility to ship on time, that the goods are free from defects that have a more than negligible effect on the functionality or the use of the goods, and other advisory, protective and duty of care responsibilities which are intended to protect the purchaser or their employees from significant damages. The limitations are also not valid in cases of mandatory liability under German product liability laws, cases of injury to life, body or health and are also not valid if we have maliciously withheld information about product defects or have guaranteed their absence. Regulations concerning the burden of proof remain unaffected. 3. Unless otherwise agreed, liabilities for contractual responsibilities that the purchaser can claim against us, or that are derived from the delivery of the goods, are only valid for one year after the delivery of the goods. This limitation is also valid for goods that are typically used in the construction of buildings and have caused defects in said buildings, statutory limitations of our liabilities caused by our wrongful intent or gross negligence whether cases of injury to life, body or health or limitations of liability given by statutory rights of recourse remain unaffected. In cases of replacement of goods due to defects the liability period is not started anew.

X. Production and documentation of duplication tools, printing plates and toolsFor the production and documentation of duplication tools, printing plates and tools the following is also valid: a) The manufactured tools and related documents remain our property and under our ownership, even in cases where the costs have been paid by the purchaser.b) The samples/proofs approved by the purchaser are the only authoritative reference for the produced goods. c) The right to provide goods with minor colour variations and dimension tolerances typical of the trade remain reserved, unless specifically agreed to in writing. d) The purchaser carries all responsibilities to ensure that they have the legal authority to produce copies of the goods.

XI. Intellectual property rights1. All cost estimates, designs, drawings and other documents remain our property and under our copyright; third parties may only have access to them with our agreement. Drawings and other documents connected to offers are to be returned to us on request. 2. If we have delivered goods based on drawings, models, samples or other documents from the purchaser, the purchaser assumes the duties to ensure that the property rights of third parties are not affected. If a third party claims their property rights and prohibits us from producing or delivering goods we have the right – without being required to verify the legal claims – to stop all activities related to the goods, and in cases where the purchaser is at fault, to claim compensation. The purchaser is also obliged to release us from all associated claims made by the third party.

XII. Test parts, moulds and tools1. If the purchaser has to provide parts to enable the completion of the contract, they must be delivered for free to the production facility, in the quantity required for the production, including any replacements needed due to wastage, on time, at no cost and without defects. If this does not occur, they will be held responsible for any resulting costs2. The costs for test items, including the costs for moulds and tool and the responsibility of the purchaser3. For tools, moulds and other production items supplied by the purchaser our liability is limited to the normal care as application to our own facilities and devices. Costs for service and maintenance are the responsibility of the purchaser. Our responsibility to store the items – independent of the property rights of the purchaser – expires two years after the last use of the mould or tool at the latest.

XIII. Place of fulfilment, jurisdiction and applicable law1. The place of fulfilment for our shipments is our facilities. The jurisdiction is the same as the site of our headquarters. Whereas, for our assigned claims the place of fulfillment is the site of EUROFACTOR AG Deisenhofen and the place of jurisdiction is Munich. 2. All legal relations between ourselves and the purchaser are subject to German law, with the exception of the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11.04.1980.

XIV. Authoritative versionIn cases of doubt the German version of these terms and conditions is authoritative.

XV. Severability clauseThe legal invalidity of any individual term or condition do not affect the validity of the contract’s remaining terms and conditions. Invalid terms or conditions are replaced by the corresponding legal provision.
