LYNN E. SZYMONIAK, Esq., having been duly sworn, deposes and

states that if sworn as a witness she can testify competently to the

facts stated in this affidavit, based upon her personal knowledge:

1. I am an adult citizen of the United States, and have resided in Palm

Beach County, Florida since 1979.



2. I am an attorney and was admitted to the Florida Bar in 1980. My

business address is: The Szymoniak Firm, P.A., The Metropolitan, PH2-

05, 403 S. Sapodilla Avenue, West Palm Beach, Florida 33401.Telephone: (561) 630-6928. I have practiced law in Palm Beach

County for 31 years. I am a graduate of Bryn Mawr College in Bryn

Mawr, Pennsylvania, and Villanova Law School in Villanova,

Pennsylvania.

3. For the past twenty years, my practice has primarily been in cases

involving white-collar crime allegations, particularly, in representing

major insurance companies in claims that they have been defrauded

by large policyholders.

4. In the last ten years, I have also served as an expert witness in civil

and criminal cases. In criminal cases, I have served as an expert

witness for the United States of America and the State of California. I

have testified at trial in two federal court cases in Jacksonville, Florida,

where the allegations involved false and fabricated documents

including fabricated insurance policies and certificates of insurance.

The two Jacksonville cases were United States v. Thomas King, Case

No. 3:05-cr-52-J-99MMH, Middle District of Florida, Jacksonville

Division and United States v. Donald Touchet, et al., Case No.

3:2007cr00090, Middle District of Florida, Jacksonville Division. My

designation as an expert and the use of my testimony were affirmed in

an 11th Circuit opinion, United States v. Robert D. Jennings, Case No.

08-13434 (tt" Or. Jan. 5, 2010). I also submitted an expert opinionfor the government in a New York Northern District federal case that

ended in a guilty plea: United States v. James Kernan, Case No.

5:2008cr00061. I have also been designated an expert on insurance

regulatory matters in Florida and testified at trial in April, 2010, in a

federal criminal trial involving financial guaranty insurance, United

States v. Michael Zapetis, et aI., Case No. 8:2006cr00026, Middle

District of Florida, Tampa Division. This case also resulted in a guilty

verdict. I have also worked as a consultant/expert for the South

Carolina Department of Consumer Affairs and the South Carolina

Department of Insurance. I also submitted an expert opinion in a

California state case involving fraudulent insurance practices and

documents that resulted in a guilty plea in March, 2010, the People of

the State of California v. Mitchell Zogob, Orange County, California. I

have testified as an expert in a foreclosure case in Harris County,

Texas. I have also served as an expert and consultant for the South

Carolina Department of Insurance and for the South Carolina

Department of Consumer Affairs.

5. I have written several articles on mortgage foreclosures and

residential mortgage-backed securitized trusts, including the following:

6. I was formerly a Certified Fraud Examiner, and have had nine hours

training by the National Association of Certified Fraud Examiners in

identifying forged and fabricated documents, in a course taught by

retired agents of the FBI.

7. I have examined a copy of the Assignment of Mortgage in the

instant case, attached hereto as Exhibit A.

8. Regarding the Assignment marked Exhibit AI dated March 291 20101

the Grantor/Assignor is identified as "Mortgage Electronic Registration

Systems, Inc., as Nominee for First Franklin Division of National City

Bank." The Grantee/Assiqnee is Wells Fargo Bank, N.A'I as Trustee for

the Holders of First Franklin Mortgage Loan Trust 2006-FF17 Mortgage

Pass-Through Certlflcates, Series 2006-FF17. This Assignment was

signed by Bill Kochl who is identified as Asst. Secretary of "Mortgage

Electronic Registration Systems, Inc. as Nominee for First Franklin A

Division of National City Bank." This Assignment was notarized in Salt

Lake County, Utah.

9. I have examined over 5,000 other Mortgage Assignments, including

at least 1/000 Assignments where the GRANTOR was identified as

MERS or Mortgage Electronic Registration Systems, Inc. Most of the

Assignments I have examined involve Assignments made to residential

mortgage-backed securitized ("RMBS") trusts.

10. From my knowledge and experience, I know that Bill Koch signed

as an officer of MERS as Nominee for First Franklin, a Division of

National City Bank when he was actually employed by Select Portfolio

Servicing, a mortgage servicing company in Salt Lake City, Utah. Koch

did not disclose that he was employed by Select Portfolio Servicing on

the Assignment.

11. Bill Koch uses many different job titles when signing Mortgage

Assignments including:

• Asst. Secretary, Mortgage Electronic Registration Systems, Inc., as

nominee for Credit Suisse Financial Corp.;


nominee for Mortgage One, Inc.;


nominee for CMGMortgage, Inc.;


nominee for Pinnacle Direct Funding Corp.;


nominee for Diversified Mortgage;


nominee for Act Lending Corporation d/b/a Act Mortgage Capital;


nominee for Cherry Creek Mortgage Company, Inc.;

• Document Control Officer, Select Portfolio Servicing, Inc. f/k/a

Fairbanks Capital Corp.;

• Document Control Officer, Aames Funding Corp. DBA Aames Home

Loan By Its Attorney-In-Fact Seclect Portfolio Servicing, Inc., f/k/a

12. This pattern of signing many different job titles is consistent with

the practices of other employees of mortgage servicing companies. I

have written two articles on this practice: "An Officer of Too Many

Banks" (January 14, 2010, Fraud Digest) and "Too Many Jobs"

(January 19, 2010, Fraud Digest). This practice has also been

questioned by various courts, particularly by the Honorable Arthur

Schack in Kings County, New York.

13. Other courts have discovered that signers of Mortgage

Assignments have sometimes falsely claimed to be officers of

Mortgage Electronic Registration Systems, Inc. On September 30,

2010, U.S. Bankruptcy Judge Harry C. Dees, Jr., Northern District of

Indiana, South Bend Division, discussed Bethany Hood's claim to be an

officer of Mortgage Electronic Registration Systems, Inc" in Koontz v.

EverHome Mortgage and Mortgage Electronic Registration Systems,

Inc.,Case No, 09-30024, Proc, No, 10-3005, In this contested

foreclosure, EverHome and MERS moved for summary judgment, while

the plaintiff homeowners argued that there were genuine issues of

material fact that precluded summary judgment. One such issue

involved a Mortgage Assignment signed by Bethany Hood as Vice

President of Mortgage Electronic Registration Systems, Inc, (riMERS"),

Judge Dees noted as follows:

MERS, in its Answer to the plaintiff's Complaint, admit(ted)that Bethany Hood is not an employee of MERS, (citeomitted). The debtor claimed that the document[assignment signed by Bethany Hood as a MERS officer]was fabricated and MERS has offered no other explanation,nor has it submitted properly authenticated documentationof an assignment, It appears to this Court that afraudulent recorded Assignment of Mortgage might still befound today in the St. Joseph's County Recorder's Office,despite MERS' knowledge of the false signature, Indeed,MERS has completely sidestepped the fact that thisAssignment was signed by someone representing herselfto be a Vice President of MERS, and it has declined toexplain why this false document was attached to theamended Proof of Claim ...

In the view of this court, the conduct of the EverHomedefendants and the MERS defendant - reflecting a lack oftransparency and determination not to provide informationor documents until required - has burdened both thedebtor and this Court .. .On this case, the Creditors havebeen forced to admit that a non-employee signed theAssignment of Mortgage, representing herself to be a Vice

President of MERS and other banks or mortgage companiesheld the Mortgage and or Note at issue .. ,

Having determined that genuine issues of material fact

exist, the Court denies the Motions for Summary Judgmentfiled by the EverHome defendants and MERS.. . "

In other cases, lenders have filed "Corrective Assignments" because

the individuals signing the original assignments as officers of MERSlacked authority to do so.

15. I am familiar with the mortgage securitization process and I have

written several articles regarding mortgage securitization. The trust

referenced on the Assignment in this case had a closing date, the final

date when properties could have been added to the trust under the

terms of the Pooling and Servicing Agreement that governed the trust,

in 2006.

16. In the rush to securitize residential mortgages, many securities

companies did not secure the essential paperwork. In particular,

many trusts have missing Mortgage Assignments. This is true even

though the trust documents set forth plainly that such Assignments

shall have been delivered to the Trust by the loan originators. In the

present case, the loan originator should have delivered a signed and

dated Assignment to the Depositor of the Trust, who in turn should

have delivered the Assignment to the securities company/sponsor who

in turn should have delivered the Assignments to the Document

Custodian of the Trustee I 2006.

17. The failure of certain mortgage-backed securitized trusts to

produce Assignments has been noted by several Courts, including

Massachusetts Land Court Judge Keith Long, reaffirming a 2009 ruling

(Ibanez) that invalidated foreclosures on two properties because the

lenders did not hold clear title to the properties at the time of the

foreclosure sale. Mortgage assignments were a key issue in Ibanez, a

case that involved ineffective assignments to the Trust. Judge Long

noted:

.v.the plaintiffs' own securitization documents required

mortgage assignments to be made to the plaintiffs inrecordable form for each and every loan at the time theplaintiffs acquired them. Surely, compliance with thisrequirement would (and certainly should) have been apriority for an entity issuing securities dependent on

recoveries from loans/ such as these/ known from the startto have a higher than normal risk of delinquency anddefault (KCL). See/ U.S. BANK, N.A. v. Antonio Ibanez, et

el., Commonwealth of Massachusetts/ Land Court Dept.,08 MISC 384283 (KCL).

18. The Ibanez decision was affirmed by the Massachusetts Supreme

decision, "We agree with the judge that the plaintiffs, who were not

the original mortgagees, failed to make the required showing that they

were the holders of the mortgages at the time of foreclosure. As a

result, they did not demonstrate that the foreclosure sales were valid

to convey title to the subject properties, and their requests for a

declaration of clear title were properly denied ...In Massachusetts,

where a note has been assigned but there is no written assignment of

the mortgage underlying the note/ the assignment of the note does

not carry with it the assignment of the mortqaqe." This recent

decision/ one of the first to address foreclosures, mortgage

asslqnrnents and securlttzatlons, makes it clear that a foreclosing party

who is not the original lender must have a valid Mortgage ASSignment.

19. On the date that Bill Koch signed as an officer of MERS as nominee

for First Franklin a dlvlslon of Nat. City Bank, that entity no longer was

in existence. First Franklin, a/k/a First Franklin Financial Corporation

("FFFC") was a subsidiary of National City Bank of Indiana ("NCBI").

Merrill Lynch acquired FFFCfrom National City Corporation, the holding

company of NCBI on December 30, 2006. In March of 2008, as the

subprime mortgage market deteriorated severely, Merrill Lynch

transferred its ownership of FFFC to Merrill Lynch Mortgage Services

Corporation ("MLMSC"), a subsidiary. On January 1, 2009, Bank of

America announced that it had completed the takeover of Merrill Lynch

for $33 billion. On March 29, 2010, the date of the Assignment in this

case, FFFC was owned by MLMSC. FFFC ceased to be a subsidiary of

NCBI in 2006 and was owned by Merrill Lynch. An Assignment on

March 29, 2010, by First Financial a division of National City BanK was

an assignment from a long-defunct corporation.

20. In my opinion, the present case is another example of a trust

failing to produce the Assignment that should have been obtained in

2006. The Assignment Date on the Exhibit A Assignment is almost

certainly false because it is very unlikely that a Trust created (and

closed) in 2006 acquired a non-performing loan on March 29, 2010.

From my knowledge and experience with mortgage-backed securitized

trusts, such acquisition of non-performing loans is prohibited,

particularly after the closing date of the Trust.

21. From my knowledge of mortgage companies, I know that Bill Koch

and Select Portfolio, his actual employer, are most likely working for

the Trustee, Wells Fargo Bank. which filed this foreclosure action less

than one month later, on April 21, 2010.

22. On May 11, 2010, Judge Arthur J. Schack, Supreme Court, Kings

County, New York, addressed the issue of whether the signer of an

Assignment was working for the grantor or grantee in a case involving

an Assignment signed by an employee of the law firm representing the

mortgage company in the case. The case also involved a mortgage-

backed securitized trust. See U.S. Bank, N.A. v. Emmanuel, 2010 NY

Slip Op 50819 (u), Supreme Court, Kings County, decided May 11,

2010, In this case, the trust inexplicably did not produce a mortgage

assignment from the original lender to the securities company to the

trust. Instead, the assignment relied upon by the plaintiff was one

executed by Elpiniki Bechakas as assistant secretary and vice

president of MERS, as nominee for Freemont. Honorable Arthur Schack

determined sua sponte that Bechakas was an assoclate in the law

offices of Steven J. Baum, the firm representing the trustee and trust.

Judge Schack recognized that the Baum firm was thus working for

both the GRANTOR and GRANTEE. Judge Schack wrote:

"The Court is concerned that the concurrent representationby Steven J. Baum, P.e. of both assignor MERS, asnominee for FREMONT, and assignee plaintiff U.S. BANK isa conflict of interest, in violation of 22 NYCRR § 1200.0(Rules of Professional Conduct, effective April 1, 2009)Rule 1.7, "Conflict of Interest: Current Clients."

The foreclosure was denied. As in the Emmanuel case, Koch, the

signer of the Assignment, is signing on behalf of the GRANTOR while

actually working on behalf of the GRANTEE, and while identifying

himself as an officer of MERS, the GRANTOR.

23. In thousands of Assignments I have examined, new "replacement"

Assignments have been prepared and presented to Courts without any

disclosure to the Court or to the Homeowner/Defendants that the

original Assignments were lost. The First Franklin Mortgage Loan

Series of Trusts, including the trust that is the plaintiff in this case, are

among the Trusts that are frequently unable to produce the original

Assignments and regularly attempt to substitute Assignments prepared

by mortgage servicing companies specially to use in foreclosure

litigation.

24. The Assignment herein is also defective because it is an

Assignment from Mortgage Electronic Registration Systems ("MERS").

The many problems with MERS Assignments were recently set forth by

Florida Acting Circuit Court Judge Rob Crown in the foreclosure case,

Aurora Loan Services, LLC v. Judith Mendes DaCostaf et al., Case No.

09-142-CA, Collier County, Florida, where Judge Crown, citing New

York case law, stated:

The assignment attached to the amended complaint isfrom Mortgage Electronic Registration Systems, Inc.(hereinafter "MERS") to Plaintiff, and that assignment iscompletely ineffective. As nominee for the lender, MERSserves in a very limited capacity. Specifically, MERSrecords the mortgage and tracks ownership of the lien.MERS has no substantive rights itself and, therefore,cannot assign what it does not have. "A nominee of theowner of the note and mortgage may not effectively assignthe note and mortgage to another for want of anownership interest in said note and mortgage by thenominee." LaSalle Bank Nat. Ass'n v. Lamy, 824 N.Y.S.2d769, 2006 WL 2251721 (Sup.2006). When a state agencyfound that MERS is a mortgage banker subject to licenseand registration requirements, MERS appealed to theSupreme Court of Nebraska and outlined its very limited

role as nominee.

"Subsequently, counsel for MERS explained that MERS

does not take applications, underwrite loans, makedecisions on whether to extend credit, collect mortgagepayments, hold escrows for taxes and insurance, orprovide any loan servicing functions whatsoever. MERS

merely tracks the ownership of the lien and is paid for itsservices through membership fees charged to its

members." Mortgage Electronic Registration Systems, Inc.

v. Nebraska Department of Banking and Finance, 704 N.W.2d 784 (Neb.2005). "MERS argues that it does notacquire mortgage loans and ... only holds legal title tomembers' mortgages in a nominee capacity and iscontractually prohibited from exercising any rights withrespect to the mortgages (i.e., foreclosure) without theauthorization of the members. Further, MERS argues thatit does not own the promissory notes secured by themortgages and has no right to payments made on thenotes." Id. Emphasis added. "Documents offered duringthe Department hearing support the limited nature ofMERS' services," Id. Based on the explanation from MERSitself and documents presented by MERS and reviewed bythe Supreme Court of Nebraska, it is undisputed that MERS

serves in a very limited capacity and holds no substantiverights. MERS is contractually prohibited from exercisingany right in a foreclosure case without the authorization ofthe lender, and that prohibition was confirmed by MERSitself. There is no evidence of any such authorization in theinstant case.

Other courts around the country have likewise recognizedthe limited role that MERS plays as nominee. "Wespecifically reject the notion that MERS may act on its own,independent of the direction of the specific lender whoholds the repayment interest in the security instrument atthe time MERS purports to act... Nothing in the recordshows that MERS had authority to act." Mortgage

Electronic Registration Systems. Inc. v. Southwest Homes

of Arkansas, 2009 WL 723182 (Supreme Court ofArkansas, 2009). riMERS's role in this transaction casts nolight on the contractual issues raised in this case." Id. "Therelationship that MERS has to Sovereign is more akin tothat of a straw man than to a party possessing all therights given a buyer." Landmark National Bank v. Kesler,

216 P.3d 158 (Supreme Court of Kansas, 2009). "MERSpresents no evidence as to who owns the note, or of any

authorization to act on behalf of the present owner." In ReVargas, 396 B.R. 511 (Bankr.C.D.Cal. 2008). liAs notedabove, MERS purportedly assigned both the deed of trustand the promissory note to Consumer ... however, there isno evidence of record that establishes that MERS eitherheld the promissory note or was given the authority by

New Century to assign the note ... Accordingly, the Courtconcludes that there is insufficient evidence that Consumerhas standing to proceed with this litigation." Saxon

Mortgage Services, Inc. v. Hillery, 2008 WL 5170180(N.D.Cal. 2008).

As in the DaCosta case! there is no evidence of record that establishes

that MERS was authorized to assign anything to Plaintiff! and

therefore, the assignment is invalid.

25. On August 10, 2010, the Florida Attorney General's Office

announced that it was conducting a civil investigation of The Law

Offices of Marshall Watson, counsel for the plaintiff in the present case.

The allegations included whether the firm, and two others, fabricated

documents in court on numerous occasions when the original

paperwork needed to foreclose was missing.

26. For all of the reasons set forth above, it is my opinion that the

assignment In this case is fraudulent.
