69 33 7.1 Indemnity The Bidder shall execute and furnish to the

Bank/Purchaser, a deed of indemnity in favor of the

Purchaser in a form and manner, as given in Annexure

10, indemnifying the Purchaser its directors, employees,

agents and representatives from and against any costs,

loss, damages, expense, claims, litigations, suits,

actions, judgments, and or otherwise including but not

limited to those from third parties or liabilities of any

kind howsoever suffered, arising out of or incurred inter

alia during and after the Contract period including but

not limited to third-party claims due to infringement of

Intellectual Property Rights including but not limited to

patent, trademark, logo, copy-rights or industrial

drawings and designs arising from use of the Services or

any part thereof and/or otherwise. . The Bidder has to

execute the indemnity in the format prescribed by the

Bank and provide in Annexure - 10 of this RFP.

We suggest to modify indemnity clause with a view

that either party to indemnify each other for the

following:

1. For third party IPR infringement claims

2. For Wilful misconduct or gross negligence, causing

loss or damages to a person resulting into personal

injury or death.

3. Third party claims if arises due to the intentional

wrongs committed by either party.

Provided that the indemnification obligations shall

be subject to following :-

a) Immediate notice to be sent by the Indemnified

party.

b) Control of the defence of the claim by the

indemnifying party.

70 34 8.1 Intellectual

Property Rights

The Bank/ Purchaser shall own and have a right in

perpetuity to use all Intellectual Property Rights which

have arisen out of or in connection with the

implementation of this Contract, including all processes

and products which have been developed by the Bidder

during the performance of Services and for the

purposes of inter-alia use or sub-license of such

Services under this Contract.

The Bidder shall retain all rights and title to the

intellectual property belonging or introduced by the

Bidder. Execution of this agreement does not

envisage any transfer of IP rights from the Bidder to

the Bank.


71 34 8.4 Intellectual

Property Rights

If the Successful Bidder fails to comply and the Bank is

required to pay compensation to a third party resulting

from such infringement, the Successful Bidder shall be

responsible for the compensation including all

expenses, court costs and lawyer fees. The Bank will

give notice to the Successful Bidder of such claim, if it is

made, without delay

The Bidder shall not be liable to pay any

compensation in case the Bank itself has contributed

to the breach of IP rights. In such a case, the Bank

damages

If the Vendor fails to deliver any or all of the Service(s) /

Systems or perform the Services within the time

period(s) specified in the Contract / Agreement / fails to

meet the Service Level Requirements, the Bank /

Purchaser shall, without prejudice to its other rights

and remedies under and in accordance with the

Contract / Agreement, deduct from the Contract price,

as liquidated damages, a sum equivalent to 1% per

week or part thereof of 1st year cost (One Time Cost+

73 36 15.1.2 Liquidated

damages

The Bank / IDBI / the Purchaser may without prejudice

to its right to effect recovery by any other method,

deduct the amount of liquidated damages from any

money belonging to the Vendor in its hands (which

includes IDBI's/ the Purchaser’s right to claim such

amount against Vendor's Bank Guarantee) or which

may become due to the Vendor. Any such recovery or

liquidated damages shall not in any way relieve the

Vendor from any of its obligations to complete the

works / service(s) or from any other obligations and

liabilities under the Contract / Agreement.

We suggest that the Bank shall not unilaterally

adjust and/ or deduct any amount from the amount

belonging to Vendor. Any such adjustment or

74 39 21.1. Successful Bidder

Obligation

The Successful Bidder will abide by the job safety

measures prevalent in India and will free / indemnify

Purchaser from all demands or responsibilities arising

from accidents or loss of life, the cause of which is the

Bidder’s negligence.

Generic job safety measures will be carried out.

However in case there are any specific measures to

be taken then the Bank to intimate the same to the

Bidder prior hand in writing, failing which the Bank

shall be liable for any incident.

that nothing is done to make such insurance policies

void or voidable. The Bidder shall also furnish to the

Purchaser a certificate evidencing such insurance, risks

covered, names of beneficiaries, expiration dates,

names of insurers and all other features of the

insurance policy, both original and renewed and shall

keep the same alive during the term of this Contract.

27 1.2 The bidder must accept the payment terms

proposed by the Bank. The commercial bid submitted

by the bidders must be in conformity with the payment

terms proposed by the Bank. Any deviation from the

proposed payment terms would not be accepted. The

Bank shall have the right to withhold any payment due

to the bidder, in case of delays or defaults on the part

of the bidder. Such withholding of payment shall not

amount to a default on the part of the Bank.

Withholding of payment should be only for the

reasons solely attributable to service provider.

28 1.13 Any objection / dispute to the amounts invoiced in

the bill shall be raised by the Bank within reasonable

time from the date of receipt of the invoice. Upon

30 6. ORDER

CANCELLATION

6.1. The Bank reserves its right to cancel the order in

the event of one or more of the following situations,

that are not occasioned due to reasons solely and

directly attributable to the Bank alone:

i. Delay in shifting, site readiness, switch on at the

proposed new site and handing over the site to the

Bank.

ii. Discrepancy in the quality of service / facility /

security.

"Delay" should exclude any force majeure situations.

However the RFP document doesn’t not contain

Force-majeure clause requesting bank to

incorporate.

30 6.2. In case of order cancellation, any payments made

by the Bank to the SP would necessarily have to be

returned to the Bank with interest @ 15% per annum,

further the SP would also be required to compensate

the Bank for any direct loss incurred by the Bank due to

expenditure to be incurred by the Bank to appoint any

other SP. This is after repaying the original amount paid.
