69 33 7.1 Indemnity The Bidder shall execute and furnish to the
Bank/Purchaser, a deed of indemnity in favor of the
Purchaser in a form and manner, as given in Annexure
10, indemnifying the Purchaser its directors, employees,

loss, damages, expense, claims, litigations, suits,
actions, judgments, and or otherwise including but not
limited to those from third parties or liabilities of any

If the Vendor fails to deliver any or all of the Service(s) /
Systems or perform the Services within the time

of the events, faults occuring in the data center.
After identification of the fault, the resolution time
may vary depending upon the nature of failure and
designed redundancy of the equipment.
For all the critical equipments like UPSs, PACs,
electrical panels etc. the DC facility is provisioned
with redundant infrastructure components
confirming to Uptime Tier IV.
In certain cases such as Access devices, Cameras etc,
while the response time could be 10 mins and the
fact that the spares will be maintained at site, its
replacement/putting back to service may vary
between 30 mins to 45 mins.

27 1.2 The bidder must accept the payment terms
proposed by the Bank. The commercial bid submitted
by the bidders must be in conformity with the payment
terms proposed by the Bank. Any deviation from the
proposed payment terms would not be accepted. The
Bank shall have the right to withhold any payment due
to the bidder, in case of delays or defaults on the part
of the bidder. Such withholding of payment shall not
amount to a default on the part of the Bank.
Withholding of payment should be only for the
reasons solely attributable to service provider.

28 1.13 Any objection / dispute to the amounts invoiced in
the bill shall be raised by the Bank within reasonable
time from the date of receipt of the invoice. Upon
settlement of disputes with respect to any disputed

30 6. ORDER
CANCELLATION
6.1. The Bank reserves its right to cancel the order in
the event of one or more of the following situations,
that are not occasioned due to reasons solely and
directly attributable to the Bank alone:
i. Delay in shifting, site readiness, switch on at the
proposed new site and handing over the site to the
Bank.
ii. Discrepancy in the quality of service / facility /
security.
"Delay" should exclude any force majeure situations.
However the RFP document doesn’t not contain
Force-majeure clause requesting bank to
incorporate.

30 6.2. In case of order cancellation, any payments made
by the Bank to the SP would necessarily have to be
returned to the Bank with interest @ 15% per annum,
further the SP would also be required to compensate
the Bank for any direct loss incurred by the Bank due to

expenditure to be incurred by the Bank to appoint any
other SP. This is after repaying the original amount paid.

existence of any dispute between the Parties or the
subsistence of any arbitration or other proceedings.

39 23. SURVIVAL 23.2. The provisions of the clauses of this Contract in
relation to documents, data, processes, property,
Intellectual Property Rights, indemnity, publicity and
