precision air conditioning with redundancy. The

temperature in the server hall (caged area) should be

maintained at 20 +/- 4deg C, i.e. the temperature

should be in the range of 16 to 24deg C. The humidity in

the server room (caged area) should be maintained at

50 % +/- 10% RH and monitored periodically and

maintain logs of the same for Bank’s internal / external

/ statutory audit purposes.

ensure that the cables are laid properly as per

structured cabling guidelines and standards.

should be CCTV monitoring for surveillance of the

server hall area. The CCTV surveillance should cover

Bank's Server area and other critical areas where Bank's

components are placed. Activities to be recorded and

Monitoring Facility of CCTV recordings for Bank’s Server

area where Bank's components are placed.

10% of 1st year cost (One Time Cost+ Annual Recurring

Cost) in the form of Performance Bank Guarantee (PBG)

Issued by a scheduled commercial bank (other than IDBI

Bank Ltd) with a validity of 72 months (60 months

contract period + 12 months claim period) from the

date of issue of PBG and directly forwarded to the Bank.

The PBG will have to be renewed / resubmitted with

fresh validity of Six months (includes Six months

Supplementary Contract Period and a claim period of 12

months (total 18 months) at the end of five year of

original contract period in case of extension of the

contract.

The PBG will be issued for a period of one year and

will be renewed every year subsequently, request

1.4. Cost of the One Time charges and transit insurance

at actuals would be payable on successful

commissioning and completion of the acceptance test

exercise by the Bank from the new site for all the

policy to be purchased in the name of the Bank) will be

reimbursed at actuals after commissioning the Near DR

and full acceptance by the Bank

69 33 7.1 Indemnity The Bidder shall execute and furnish to the

Bank/Purchaser, a deed of indemnity in favor of the

Purchaser in a form and manner, as given in Annexure

10, indemnifying the Purchaser its directors, employees,

agents and representatives from and against any costs,

loss, damages, expense, claims, litigations, suits,

actions, judgments, and or otherwise including but not

limited to those from third parties or liabilities of any

kind howsoever suffered, arising out of or incurred inter

alia during and after the Contract period including but

not limited to third-party claims due to infringement of

Intellectual Property Rights including but not limited to

patent, trademark, logo, copy-rights or industrial

drawings and designs arising from use of the Services or

any part thereof and/or otherwise. . The Bidder has to

execute the indemnity in the format prescribed by the

Bank and provide in Annexure - 10 of this RFP.

that either party to indemnify each other for the

following:

1. For third party IPR infringement claims

2. For Wilful misconduct or gross negligence, causing

loss or damages to a person resulting into personal

injury or death.

3. Third party claims if arises due to the intentional

a) Immediate notice to be sent by the Indemnified

Property Rights

The Bank/ Purchaser shall own and have a right in

perpetuity to use all Intellectual Property Rights which

have arisen out of or in connection with the

implementation of this Contract, including all processes

purposes of inter-alia use or sub-license of such

Services under this Contract.

The Bidder shall retain all rights and title to the

intellectual property belonging or introduced by the

Property Rights

If the Successful Bidder fails to comply and the Bank is

required to pay compensation to a third party resulting

from such infringement, the Successful Bidder shall be

responsible for the compensation including all

give notice to the Successful Bidder of such claim, if it is

made, without delay

The Bidder shall not be liable to pay any

compensation in case the Bank itself has contributed

If the Vendor fails to deliver any or all of the Service(s) /

Systems or perform the Services within the time

damages

The Bank / IDBI / the Purchaser may without prejudice

to its right to effect recovery by any other method,

deduct the amount of liquidated damages from any

money belonging to the Vendor in its hands (which

amount against Vendor's Bank Guarantee) or which

may become due to the Vendor. Any such recovery or

liquidated damages shall not in any way relieve the

The Purchaser reserves the right to inspect and

monitor/assess the progress of the project at any time

demand and upon such demand being made, the

material or any other information, which it may require,

27 1.2 The bidder must accept the payment terms

proposed by the Bank. The commercial bid submitted

by the bidders must be in conformity with the payment

terms proposed by the Bank. Any deviation from the

to the bidder, in case of delays or defaults on the part

of the bidder. Such withholding of payment shall not

30 6. ORDER

CANCELLATION

6.1. The Bank reserves its right to cancel the order in

the event of one or more of the following situations,

that are not occasioned due to reasons solely and

directly attributable to the Bank alone:

i. Delay in shifting, site readiness, switch on at the

proposed new site and handing over the site to the

Bank.

ii. Discrepancy in the quality of service / facility /

security.

"Delay" should exclude any force majeure situations.

However the RFP document doesn’t not contain

Force-majeure clause requesting bank to

incorporate.

30 6.2. In case of order cancellation, any payments made

by the Bank to the SP would necessarily have to be
