MEMORANDUM AND ARTICLES OF ASSOCIATION

Memorandum & Articles of Association ( M&A ) - Definition

The Memorandum and Articles of Association ( M&A ) are the primary legal document of a company,by which the company will conduct its daily business, however this the contents of which must not infringe or over-ride any of the provisions and requirements of the Companies Act, 1965 or any other relevant legislation.

Memorandum of Association contains the name of the company, object clauses, authorised share capital and the full particulars of the initial subscribers members who are usually the initial directors of the company.Articles are a set of internal regulations that governs the day to day operations of the company.

Both memorandum and articles have to be filed to the Suruhanjaya Syarikat Malaysia at the time of incorporation or if there is any changes thereafter. At least two subscribers are required in the memorandum and each of the subscribers must subscribe to at least one share in the company.

3. To carry on the business of general contractors, suppliers, importers and exporters of foodstuff, meat, live and dead-stock and provisions of all kinds and

descriptions, to breed, raise, import, export and deal in livestock of all kinds, to carry on a general cattle grazing and agricultural business, to can, preserve and pack fruits, grains, meats, food and vegetable and their by-products of every kind or description which may be necessary or incidental in carrying out the said purposes.

1. To carry on the business as carries by helicopters and aircraft operation and services to petroleum industry and other industries requiring such services in Malaysia and abroad.

AIRLINE OPERATORS

1. To carry on the manufacturers, producers, designers, importers, exporters, traders, buyers, sellers, suppliers, indenters, agents, sub-agents, jobbers, brokers, repairers, cleaners or otherwise deal in and operate all types of aeroplanes, seaplanes, flying boats, hovercrafts, helicopters, and other craft or conveyances appropriate for the carriage of passengers, freight and mails by air and all or any parts, equipments, engines, machinery and plant relating thereto and to carry out and conduct any tests, experiments, research or development necessary or expedient for such purposes.

2. To purchase, take on lease, hire, take licenses of, or otherwise acquire or sell, let out, or otherwise give any exclusive or other right or interest in aerodromes, landing grounds, airport, helipads, land and sea planes bases, hangers, machine shops, sheds for servicing, maintaining, and landing all kinds of aircraft in any part of the world and to obtain and hold from any state, sovereign, governmental, or semi-governmental authority, any licenses, authorities or rights, necessary or convenient for such purpose.

2. To carry on business as contractors, sub-contractors and agents for builders and to undertake the construction and supplying of all kinds of building materials.

3. To carry on all kinds of exploration business, and in particular to search for, prospect, examine, and explore mines and ground supposed to contain minerals or precious stones, and to search for and obtain information in regard to mines, mining claims option, rights and other interests, mining districts and localities.

AMUSEMENT CATERERS

To carry on the business of proprietors and operators of amusement parks, and as promoters, organizers and managers of all kinds of entertainments, sports recreation, indoor and outdoor amusements, including funfairs, circuses, amusement arcades, exhibition, sideshows and games, competitions, tournaments, concerts, cinema and television performances, stage and variety shows, dancing, skating, aquatic, and equestrian events, and pyrotechnic, aerial and other displays.

ARCHITECTS

1. To enable the members of the Company and such of its employees as are qualified to do so under the laws of Malaysia for the time being in force to practice as architects under the Company’s name.

2. To employ or engage or in any other way to procure the advice and assistance of engineers, consultants and experts in whatever field to advise and assist the Company in the carrying on of company’s business or with reference to any of its objects or in connection with any project, development or other work for the time being be engaged in.

AVIATION

1. To carry on, engage and provide any agency business or in any other capacity in Malaysia or elsewhere whether for manufacturer, wholesalers, buyers or sellers, dealers, retailers, importers or exporters in the acquiring and disposing off of aircraft and machines of all kinds capable of being flown in the air and use on the land or sea aircraft and engines, utensils, machinery, implements and all equipment and spare parts capable of being use in connection with the foregoing machines whether in connection with the manufacture repair maintenance or working thereof.

2. To construct and maintain aerodromes, tracks or any surface together with all necessary or suitable building for the operation thereof whether such operation be commercial or by way of experiment or research.

3. To establish deports and agencies in any part of the world for securing traffic for or the disposal or acquisition of any of the machines aforesaid.

1. To carry on the business of commission agents, packers, manufacturers, agents, generals merchants importers, exporters, general storekeepers, wholesale and retail traders, buyers, sellers, dealers, in all kinds of adhesive and chemical products and other products connected therewith.

COMMODITIES

1. To carry on the business of general importers and exporters, general merchant, hire-purchase dealers, commission agents, manufacturers’ agents and representatives, manufactures, processors and distributors of and dealers in commodities, articles products and merchandise of all kinds in a manufactured, semi-manufactured or raw state and to buy and sell, barter, exchange or otherwise deal in the same.

2. To transact every kinds of agency business and generally to carry on business as Sole or Sub-agents, Distributors, Attorneys or Representatives of any company, firm or person whosesoever situated, carrying on or engaged in the commodities business, manufacturing distributing or otherwise in merchandise of all kinds.

To carry on any other business whether manufacturing or otherwise which may seem to the Company capable of being conveniently carried on in connection with any of the above business or objects or calculated directly to enhance the value of or render profitable any of the Company’s property or rights for the time being.

ELECTRONIC AND ELECTRICAL PRODUCTS

1. To carry on all or any of the business of manufacturers, assemblers, installers, maintainers, repairers of and dealers in electrical and electronics appliances and apparatus of every description and enter alia (i) black and white and colour T.V. Sets and accessories, (ii) radiograms and accessories, (iii) tape records, (iv) printed circuit boards, (v) resistor (fixed and variable), (vi) products and plated

processing (vacuum plating), and of and in radio, television and telecommunication requisites and supplies, and electrical and electronics apparatus appliance, equipment and stores of all kinds.

2. To carry out researches, investigations and experimental work of every description in relation to electronics and the application and use of electricity.

3. To carry on all or any of the business of electrical, mechanical, motor and general engineers, manufacturers and merchants of, agents for, and dealers in engineering specialties of very description.

FURNITURE

1. To carry on business as manufacturers of, importers and exporters of, and dealers in goods, articles and thing of all kinds and description in the manufacture of which timber or wood is used, and the business of contractors, carpenters, cabinet and furniture makers in all their respective braches and to deal in such articles and things in their raw unfinished, or manufactured state and either by wholesale or retail.

2. To construct, maintain, alter and improve or subscribe to the construction, maintenance and improvement of any buildings, factories, roads, ways, water works, canals tramways, railways, quays, wharves and works of all kinds relating to any business of the Company necessary or convenient for the purpose of the Company and to enter into such contracts and make such arrangements as may be necessary to carry out the same.

3. To carry on business as manufacturers of and dealers in rubber foam mattresses, cushions, pillows and the like articles of every kind or description.

4. To carry on the business of manufacturers, importers and exporters of plywood, veneer, timber forest product compositor and plastic, and to buy and sell by wholesale or retail, and generally to deal in all such materials.

5. To carry on the business as forest licensees and exploiters, lumberjacks, timber growers and merchants in all their branches and to grow, fall collect, deal in logs, wood and all other similar produce of all kinds and description , and to apply for, take on lease or license, buy or otherwise acquire, hold and work, forest right and timber estates, and to clear, plant, work such rights and estates, and to do all such acts and things as are necessary or in connection therewith.

FORWARDING

3. To establish maintain and work line or aerial conveyances between Malaysia and all parts of the world and generally to transport passengers, mails, cargo of whatsoever nature and; merchandise of all kinds, and to purchase, charter hire, or otherwise acquire aerial conveyances of all kinds.

To buy, sell manufacture, export, import, treat, refine and deal in (wholesale and retail) goods, stores, commodities raw; materials, ores precious stones, bullion, coins precious metals, foodstuffs, provisions, liquids, liquors, aerated water, grain of all kinds, textile goods materials, merchandise, articles and chattels whatsoever.

FINANCE

1. To carry on business as capitalist, financiers, concessionaires, commercial agents, mortgage brokers, financial agents and advisers; to advance and borrow money, negotiate loans and lend money with or without security, including the advancing or lending money to finance hire purchase and deferred payment agreements, discount and credit facilities in respect of any property or assets.

2. To finance and engage or to be concerned in here purchase and deferred payments agreements in relation to the sale and purchase of any goods or other articles or merchandise that can be traded with upon the hire-purchase system or any system of deferred payments for the purchase of same, and to deal in any goods or other articles or merchandise in which the company has been interested.

3. To carry on the business of generals merchants, dealers in, importers and exporters of all kinds motors, motor-cars, motor circle, motor chassis, motor coaches, omnibuses, carriage, bicycles and vehicles of all descriptions and all kinds of motor accessories, spares, tyres and tubes, motor batteries, carburetors, lubricating oil and component part of all description.

1. To acquire, manage, operate and or own hotels, motels, clubs, restaurants, resorts, holiday camps, tourist complexes and places of amusement, entertainment, games and or recreation and to carry on all and any activity business, and or undertaking whatsoever having any connection with any of the aforesaid activities and businesses or which may be considered or thought to be appropriately or conveniently or expediently carried on therewith.

2. To carry on the business of any and all forms of travel, transport and tours and touring and any and all kinds of entertainment, whether indoor or outdoor, including fun-fairs, exhibitions, sideshows and games, competition, tournament, concert, cinematograph and television performances, stage and variety shows, aquatic and equestrian events, pyrotechnic, aerial and spectacular displays dancing, skating, circuses, and other forms and types of like enterprise generally.

1. To carry on the business of manufacturers of, dealers in, repairers, cleaners, stores and warehouses of tractors, heavy equipments, plant and all machinery, motor cars, motor cycles, cyclecars, motors, scooters, cycles, bicycles and carriages, launches, boats, vans, aero planes, hydroplanes and other conveyances of all descriptions (all hereinafter comprised in the term ‘motor and other thing’) whether propelled or assisted by means of petrol, diesel, spirit, steam, gas, electrical, animal or other power, and of engines, chassis, bodies and other things used for, in, or in connection with motor and other things.

2. To buy, sell, let on here, repair alter and deal in machinery, component parts, accessories and fittings of all kinds for motors and other things.

3. To carry on the business of garage keepers and suppliers of and dealers in petrol, electricity and other motive power to motors and other things.

4. To carry on the business of mechanical engineers, machinists, fitters, millwrights, founders, wire drawers, tube makers, metallurgists, saddlers, galvanizers, japanners, annealers, enamellers, electroplater painters, and packing case makers.

5. To carry on all or any of the trades or businesses of manufacturers, assemblers, of and dealers in and hirers, stockiest, importers, exporters, repaired, modifiers,

To carry on the business of providing all kinds of services relating to Information Technology (IT) including the import, export, supply, assemble, manufacture, sale and purchase of computers hardware and software, system peripherals and other electrical and electronic equipment, computers and computer related equipment namely computer application and programming services, operating and managing all computer hardware and software, system support and maintenance, data preparation, research and survey on all computers related problems, administrative services, procurement and supply services, technical, scientific and operational advice including material and instructional aids, management coordination, supervision and control services, exhibition, seminars and computer personnel and management training courses and other ancillary services relating to IT and the computer industry.

INVESTIGATION AGENCY

1. To carry on business as private investigators and enquiring agents to companies, individuals, and other organizations for confidential investigations in civil and commercial cases, frauds, infringements of trade mark and matrimonial and family matters and to obtain and supply commercial and private enquires, information, advice and statistic of any kind and to perform all manner of services incidental thereto.

2. To carry on business as security experts, guards, watchman, escorts, messengers, debt collectors, and servant for any purpose, to receive goods for safe custody and to establish and carry on safe depositories.

3. To handle all claims, surveys inspections, appraisals, investigations, adjustment and settlements in connection with insurance business and in particular to represent and act for insurance companies and other organization and individuals in all manner and nature of claims by for and against such parties and to negotiate and adjust such claims and to perform all manner of services incidental thereto.

4. To effect insurance with any other company, association and individual in respect of any risk undertaken by this Company.

LABORATORY

1. To carry business of manufacturers of and dealers in laboratory, scientific, research, electrical, photographical, electronic, nuclear, atomic energy, dental optical, medical and surgical apparatus, equipment, instruments, and materials and technical and educational supplies and the business of chemists, druggists, drysalters, oil and colour men, importers and manufacturers of and dealers in pharmaceutical, medicinal, industrial and other, preparations and articles, compounds, cements, oil, paints, pigments and varnishes, drug, dyeware, paints and colour grinders, and makers of and dealers in proprietary articles of all kinds.

2. To carry on the business of manufacturers of and dealers in anatomical, orthopaedic, dental optical, and surgical, appliances of all kinds and for all requisites for hospitals, doctors, dentists, opticians, patents and invalids.

MANAGEMENT SERVICES

1. To carry on business as Advisers and Consultants to governments, business, commerce, industry and engineering in all their branches and in particular to advise upon, direct or manage the accounting, budgetary and other control costing business method and systems, efficiency, policy, organization, reconstruction, development, expansion, administration. Management, supervision, personal, purchasing, stores, production. and sales of any company, firm, person, or organization and the business, enterprises, operation, projects or undertakings thereof and to act as manager of any such company, firm or organization, and to take such steps as may appear necessary or desirable for the advancement and dissemination of knowledge, and to convene, hold and conduct seminars, conferences, meeting of companies associations, clubs, public and government authorities.

2. To supply to any person, firm corporation, government or local or other authority the services of personnel of every grade including those possessed of professional technical or other specialist qualifications, and in particular, but without detracting from the generality of the foregoing, personal competent to undertake or advise upon any of the matters referred to in paragraphs (1) and (4b) of this clauses.

3. To carry on all kinds of research (both general and particular) in the subject of economics, finance, industry, engineering, science, trade and commerce, education and culture and any other subjects allied thereto in all parts of the world and in the field of political and international affairs and any other subjects allied thereto, to collect and prepare al kinds of statistics and data relating to the said subjects and to publish the result of such research and the statistics and data so acquired either generally or privately or to make private reports and analysis in connection therewith for the benefit of customers and clients of the Company.

4. To provide any other services of an economic, financial, industrial, engineering, commercial or similar nature which it may from time to time be in the interests of the Company to provide and to act as agents and secretaries or either of them for any other company, association or persons, whatever be the business such

company association or person carries on, and to carry on the business of advertising contractors and agents and any other business which may be usefully carried on in connection with such business.

5. To undertake and transact all kinds of trust and agency business and to act as Executors Administrators, Receivers, Trustees, Registrars, and Transfer Agent.

MOTOR ACCESSORIES

1. To carry on the business of importers, exporters, wholesalers and retailers of all kinds of motor accessories, spare parts, supplies, fittings, tyres, and tubes, motor batteries, lubricating oil and component part of all kinds of motor vehicles. Circles, cars, bicycles, aeroplanes, and all other accessories and spare parts of every description.

To carry on the business as general agents for any company, firm or person of all kinds of motors, motor cars, motor cycles, motor chassis, motor coaches, omnibuses, bicycles, and vehicles of all descriptions and any other business whether manufacturing or otherwise, which may seem to be Company capable of being conveniently carried on in connection with any of these objects or calculated directly to enhance the value of or facilitate the realization of, or provision preservers, mechanical engineers, builders, and contractors, timber merchants, lumbermen, sawmill proprietors, ship-owners+ merchants, exporters and importers, carriers, agents, brokers, and bankers or any other business or businesses whatsoever and whatsoever which may in the opinion of the Board of the Company be conveniently carried on in connection therewith or circulated directly or indirectly to enhance the value of or render profitable any of the Company’s properties or rights and to transect any and every description of agency, commission, commercial, manufacturing, mercantile and financial business.

MONEY CHANGER

1. To apply for and obtain money changers license from the Government of Malaysia or Statutory Authorities and to carry on the business of money changers and to transact and do all matters and things incidental thereto or which may at anytime hereafter, at any place where the company shall carry on business, be usual in connection with the business of money changers or dealing currency on local and foreign.

2. To carry on the business of discounting and dealing in exchanges in currency of permitted countries.

PRINTING AND PUBLICATIONS

1. To carry on the business of printer, stationers, paper merchant, lithographers, type-founders, stereotypers, electrotypers, photographic printers, photo-lithographers, engravers, die-sinkers, bookbinders, designers, draughtsman paper and ink manufacturers, book sellers, publishers, advertising agents, engineers, and dealers in or manufacturers of any other articles or things of a character similar or analogous therewith; and any business which may in opinion of the Directors be conveniently carried on by this company in any part of the world.

2. To carry on business as printer and publisher of newspapers, journals, magazines, books and other literary works in Malay, English or any other language.

3. To establish competition in respect of contributions or information suitable for insertion in any publication of the Company or otherwise for any of the purpose of the Company, and to offer and grant prizes, rewards and premiums of such character and :n such terms as may seem expedient.

4. To acquire, purchase, register or obtain any rights, interest or privileges in the copyright of any book paper, pamphlet, picture, work of art, design, drama, poem or composition, musical or otherwise, patent rights or rights of an analogous character and licenses with reference to secret processes machinery, plant, implements and tools of all kinds and to grant leases or licences of or to sell or deal with the same.

To manufacture, produce and assemble and, either as principals or agents, trade and deal in printing machineries and any articles belonging to any such business, and all apparatus, appliances and things use in connection therewith, or with any inventions, patents or privileges for the time being belonging to the Company.

2. To carry on the business of servicing, repairers of and dealers in typewriters, duplicating and printing machines, calculating machines, tape recorders, Dictaphones and their accessories and components, office furniture, equipment and requisites of all kinds.

3. To carry on the business of general importers and exporters, manufacturers, general merchants, commission agents, and wholesale or retail dealers or articles of all kinds and descriptions and whether manufactured or in a raw state and to buy, sell, barter, exchange, or otherwise deal in the same.

4. To carry on any other business which may seem to the Company capable of being conveniently carried on in connection with its business or calculated directly or indirectly to enhance the value of or render profitable any of the Company’s property or rights.

PUBLIC RELATIONS

1. To carry on the business of public relations, show promotion, advertisers, advertising contractors and advertising agents, printers, publishers, designers, lithographers, engravers, and to acquire and undertake the whole or any part of the business property and liabilities of any person, firm or company carrying on any of such business or any other business which may be usefully carried on therewith including business relating to travels and tour promotions.

2. To make, give, undertake, carry out and provide market surveys, technical business information, cost investigations, organization assistance, surveys for the purpose of assessing existing or projected business and industrial organizations of all kinds and all.

3. To carry on the business of swimming pool consultants, mechanical and civil engineering contractors and to acts as advisers and consultants upon all matters affecting the design, supervision, development, construction, execution and planning of swimming pools and engineering projects and operations of every description.

RESTAURANTS

1. To carry on the business of restaurant, bar, cage, night-club, brewers, distillers, manufacturers of aerated and mineral water, caterers, bakers, confectioners, butchers, fishmongers, grocers, ice-cream manufacturers and to carry on any other business which may seem to the company capable of being conveniently carried on in connection with the above or otherwise calculated directly to enhance the value of the company’s properties and rights.

2. To carry on the business of recording sound tapes and installers, repairers and dealers in electrical and electronic appliance and apparatus of every description.

3. To carry on the business and to act as merchants, traders, commission agents or in any other capacity and to import, buy, exchange and deal in goods, produce, articles and merchandise and to finance or assists in financing the sales of goods, articles or commodities of all and every kind or description.

RENTAL OF ELECTRONIC AND ELECTRICAL GOODS

1. to carry on the business of agents, distributors, importers, exporters, buyers, sellers, hirers, renters, repairers, designers, consultants, experts, manufacturers and dealers of and in automatic leisure and pleasure machines of all kinds including wireless, television, video equipment, cassettes, radio gramophones,

gramophones, gramophones records, cinematograph and phonographic apparatus, video gramophone records, rolls, films, devices, accessories, appliances, material and requisites of every kind whereby sound or vision is recorded, amplified, produced, reproduced transmitted or recorded.

2. to carry on the business of financiers for the promotion of the sale for cash or credit, or on the installment system, hire purchase, hire agreement, or easy payment, or otherwise of automatic leisure and pleasure machines of all kinds, including wireless and television apparatus, video equipment, cassettes, radio gramophone records, films devices, accessories, appliance materials, and requisites of every kind, whereby sound or vision is recorded, amplified, produces, reproduced, transmitted or received and in connection therewith or otherwise to lend and advance money to or negotiate loans on behalf of such persons, firms or companies and on such persons, firms or companies and on terms as may seem expedient.

SOIL DRILLING AND INVESTIGATION

1. to carry on business in any part of the world as suppliers of all services and materials for use in connection with the exploration for the production of oil, petroleum, petroleum products and other minerals whether on land or at sea.

2. to tender for and enter into contracts for the manufacture procurement and supply of equipment, machinery, designs and articles of all kinds and descriptions required or used in the construction equipment or operation of drilling and other rigs used by the petroleum drilling industry or mining industry.

3. to acquire hold maintain and keep the ownership rights liberties and privileges in respect of petroleum lying anywhere.

4. to prospect, explore for, produce, exploit, refine compound, treat, process, manufacture products and by-product form pipe, store, transport, buy sell, transfer, distribute, supply and otherwise deal in petroleum, crude oil, natural gas and their products and by-products of any kinds whatsoever.

5. to obtain, procure, purchase, take on lease or sublease, exchange or otherwise howsoever acquire in any part of the world any concessions, grants, claims, licences, leases, option, rights or privileges for any mining objects or purpose or any mines, mining rights or concessions, or any metalliferous lands, gravels of rivers, or any lands containing or believed to contain any metals or minerals, mineral ores or product and to explore, work, exercise, develop let lease sublease out or otherwise howsoever turn to account, deal with or dispose of any such concessions, grants, claims, license, lease, mines, lands, option, rights or privileges and the produce thereof.

SHIPPING

1. To carry on the business of travel, shipping, stevedoring and transport agents of every description and to act as agents of steamship companies, airway companies, railway companies, motor touring companies, forwarding houses, tourist agencies, hotels, restaurants, boarding and lodging houses, insurance companies of every description, trading and shipping companies, and to act as commission agents, manufacturer’s representatives, bankers’ agents and to buy and sell gold, silver and metal coins and currency notes and travelers cheques and generally to act as local and foreign exchange brokers and agents.

2. to purchase, take in exchange, charter, hire, build or otherwise acquire and own steam and motor or other ships, vessels, launches, flats, barges and craft of every description with all engines, tackles, stores, equipment and furniture and to maintain, repair, reclass, improve, alter, sell, exchange, mortgage, charge, let on hire or charter or otherwise deal with and dispose of the same and to employ the same in the conveyance of passengers, mails, troops, munitions of war, livestock, meat, grain and other produce, treasure, specie and goods, merchandise and cargo of every description between such ports in any part of the world as may seem expedient.

1. to carry on all or any of the trade or business of weaving, spinning, doubling, combing, scouring, sizing, bleaching, coloring, dyeing, printing and finishing, working or manufacturing, cotton, wool, silk, flax, hemp, jute, artificial silk, rayon, nylon and other fibrous or textile substances and whether animal, vegetables or mineral in any state and whether similar to the foregoing substances or not.

2. to treat and utilize and deal in any waste arising form any such operations, whether carried out by the company or otherwise, and also of makers of vitriol and of bleaching, dyeing, and finishing materials, and the buying and selling of and dealing in all or any of the aforesaid substances.

3. to establish, purchase, lease or otherwise acquire and work textile weaving mills, spinning mills, whatsoever in any part of the world and every manner of right or interest therein.

4. to develop and turn to account any land acquired by or in which the Company is interested, and in particular by laying out and preparing the same for building

purpose constructing, decorating, decorating, maintaining, furnishing, fitting up, improving, altering, pulling down and re-erecting or reconstructing building agreement and by advancing money to and entering into contracts and agreements of all kinds with builders, tenants and others.

WATER PROCESSING EQUIPMENT

1. To carry on the business of manufacturers, designers, repairers, installers, merchants, importers, exporters, agent for sale and distributors of and dealers in water processing equipment and purifiers, and water softeners of every description, and all appliances equipment, materials, apparatus, articles and things required for use in connection therewith or in connection with the purifying, filtering, softening, storage and supply of water, and of and in water filtration, sterilization, sedimentation and softening, plant, machinery and materials, and reagent measuring apparatus, wet and dry feeders, zeolite and base exchange plant, heating, chlorinating and ozonizing apparatus of all kinds, importers, manufacturers of and dealers in chemicals, electrical, industrial and other preparation, articles and compounds and minerals, chemists and chemical manufacturers, and to make, build, construct, lay down and maintain water purification plant, reservoirs, waterworks, cisterns, culverts, filter beds, main and other pipes, and appliances, and to execute and do all other work and things necessary or convenient for obtaining storing, selling, delivering, measuring and distributing water.
